NAHT conference and exhibition terms and conditions 1. Definitions In these terms and conditions the term ‘conference supporter’ or ‘sponsor’ means any person, firm or company who has made application for and who has been granted display space in the conference refreshment areas and/or conference foyer or a sponsorship package. The term ‘conference supporter’ includes ‘not for profit’ organisations. The term ‘organiser’ means the National Association of Head Teachers. 2. These terms and conditions shall be construed in accordance with English law and shall be deemed to include all other terms and conditions or rules and regulations issued from time to time by the organisers in relation to the conference whether contained in the organisers Information or otherwise. 3. Duration of conference Details of the conference opening times, including refreshment breaks when delegates will have the opportunity to browse the display stands, are given in the conference programme. The conference has the nature of a delegate conference and is where NAHT policy and views are formulated. Whilst the organisers shall use their reasonable endeavours to encourage delegates to visit the conference supporters and sponsors, the organisers cannot be held responsible for a reduced viewing time due to policy debating sessions over-running. Therefore any statements made by or on behalf of the organisers as to conference times shall constitute only general indications. 4. Bookings Bookings for conference supporter or sponsorship packages must be made on the organisers official booking form 5. Provisional bookings Provisional bookings may only be made by telephone with NAHT events department. Provisional bookings will be held for five working days only and must be followed up within this period by confirmed booking using the organiser’s official booking form. 6. Signature The person or persons signing the organisers official booking form on behalf of the conference supporter or sponsor shall be deemed to have full authority to do so on behalf of the conference supporter or sponsor and the conference supporter or sponsor shall have no right to claim against the organisers that such person or persons did not have such authority. 7.

Cancellation of booking

A) In the event that the conference supporter or sponsor either wishes to cancel the booking after the acceptance by the organisers or fails to meet any of the payment obligations (whether as to the amounts or dates of payment) detailed in the organisers official booking form then the organisers reserve the right (but without being obliged to do so and without prejudice to any other right or remedy available to the organisers) to apply the 100% cancellation charges and to reallocate such space. Cancellation occurring: Less than 2 months prior to conference: 50% of total costs + VAT Less than 5 weeks prior to conference: 100% of total costs + VAT B) If the conference supporter or sponsor wishes to cancel then written notice of such wish must be forwarded and received by the organisers not later than the dates referred to above. Notwithstanding that the organisers may resell or reallocate the booking after payment of the cancellation charges the organisers shall be under no obligation to reimburse all or any part of such cancellation charges. 8. Relocation of stands For the avoidance of doubt and contract between the organisers and the conference supporter or sponsor for space is only for an amount of such space and no acceptance by the organisers of the organisers official booking form or allocation of the conference supporter or sponsors name to a particular part of the floor plan will constitute any agreement warranty or representation by the organisers that the conference supporter or sponsor is entitled to exhibit at the conference in a particular location and the organisers reserve the right without being required to give notice to the conference supporter or sponsor to alter the layout of any floor plan or position of any display space at any time. 9. Other conference supporter or sponsors Whilst the organisers shall act in good faith the name of any conference supporter or sponsor which may appear on any floor plan or any statement made on behalf of the organisers that any conference supporter or sponsor is booked to attend the conference provisionally or otherwise shall not constitute any warranty representation or undertaking that such conference supporter or sponsor shall attend the conference at any particular location. 10. Space not occupied The conference supporter or sponsors must occupy the space allotted to him by show opening time of the first day of the conference. Any conference supporter or sponsor failing to do so will be deemed to have cancelled his display space booking. In the event the terms and conditions relating to cancellation will apply and the organisers may resell or reallocate such space. 11. Attendance The conference supporter or sponsor acknowledges that the organisers shall not be held responsible for the failure of all or any other contracted conference supporters or sponsors to attend the conference or the failure of any number of attendees to attend the conference for any reason beyond the reasonable control of the organisers. 12. Indemnity The conference supporter or sponsor shall fully and effectually indemnify the organisers against all costs claims demands proceedings and losses whatsoever made against or incurred by the organisers as a result of the conference supporter or sponsor displaying or advertising any goods or services at the conference. 13. Bankruptcy In the event of the conference supporter or sponsor becoming bankrupt or committing any act of bankruptcy, going into liquidation, having a receiver or administrator appointed in respect of its assets then the organisers reserve the right to terminate the contract with the conference supporter or sponsor and the terms and conditions relating to cancellation shall apply.


14. Assignment The conference supporter or sponsor shall not be entitled to assign, sublet or grant licences in respect of the whole or any part of the display space or sponsorship package allocated to him, or assign or otherwise deal with their rights and obligations hereunder nor may any cards, advertisements or printed matter of persons who are not bona fide conference supporter or sponsors be exhibited or distributed on any stand. This shall not apply to persons, firms or companies being subsidiaries, agents or principals of the conference supporter or sponsor and who are duly listed on the organiser’s official booking form at the time of booking. The organisers shall be entitled to assign the benefit (subject to the burden) of the contact for space without notice to or consent from the conference supporter or sponsor. 15. Licensor and licensee Upon acceptance of the organiser’s official booking form by the organisers there shall be a contract between the organisers and the conference supporter or sponsor subject to these terms and conditions. The organisers in their discretion may accept the conference supporter or sponsor’s application for display space or sponsorship package orally (including telephone) by email, facsimile or by forwarding to the conference supporter or sponsor written acceptance (which shall include a copy of the organiser’s official booking form signed by or on behalf of the organisers). As regards any space allotted the relationship of licensor and licensee shall exist between the conference supporter or sponsor and the organiser from the date of the conference supporter or sponsor occupying the space. In case of non-payment of any sum due from the conference supporter or sponsor (whether formally demanded or not) or of any other breach of non-observance by the conference supporter or sponsor of these terms and conditions the organisers shall have the right to revoke his licence and re-enter upon the allotted space to remove and exclude the conference supporter or sponsor and all persons there from and have the right to recover all sums payable by the conference supporter or sponsor hereunder without prejudice to any other right or remedy available to the organisers. 16.

Promotion and presentations

A) Whilst the organisers shall use their reasonable endeavours to organise and promote the conference in such a manner as they consider appropriate the organisers reserve the right to amend or vary the manner or methods of such organisation and promotion and therefore any statements made by or on behalf of the organisers as to audience projections or methods or timing of promotion shall constitute only general indications organisers’ promotion and organising strategy and shall not amount to any representation or warranty. B) Any application for display space or any acceptance thereof by the organisers shall not be conditional on the presence or location of any other conference supporter or sponsor at the same or any other conference and any reference to such conditionality shall not apply to any contract between the organisers and the conference supporter or sponsor for display space or sponsorship. 17. Postponement/abandonment The conference supporter or sponsor shall not have any claim against the organisers in respect of any loss or damage whatsoever consequent upon the conference failing (for whatsoever reason) to be held or the conference venue being or becoming wholly or partially unavailable for the holding of the conference and for whatsoever reason. If by re-arrangement or postponement of the period of the conference or by substitution of an alternative venue for the conference or by means of any other reasonable matter or thing the conference cannot be held the contracts for space shall be binding upon all parties save that the same shall be deemed to be varied so as to allow for any unnecessary change in venue, dates, period of the conference, stand size, location or otherwise. 18.

Insurance, exclusions, limitation of liability

A) The conference supporter or sponsor shall effect at its own cost full indemnity insurance against usual risks in respect of loss, damage or injury to goods and persons. B) The organisers shall not be liable for any loss or damage (including consequential or indirect loss or damage) suffered by the conference supporter or sponsor whether such loss or damage arises from breach of a duty in contract or tort in any other way (including loss or damage arising from the organiser’s negligence) and which shall include (but not by way of limitation) loss of profits; loss of contacts; loss or damage to property or goods of the conference supporter or sponsor or any other person; personal injury to conference supporter or sponsor or any other person (but only so far as such injury is not caused by organiser’s negligence). 19. Dangerous materials The following are excluded from the conference: explosives, detonating or fulminating compounds, and all dangerous or harmful substances, including priming, fireworks etc. Primings, fireworks, matches and similar objects can only be displayed in the form of imitations, and on condition that they contain no inflammable matter. 20. Fire precautions All materials used for building, decorating or covering stands must be of non-flammable material. Conference supporter or sponsors must comply with all instructions given by the relevant authorities to avoid the risk of fire or any other risk. 21. Erection of stands The conference supporter or sponsor hereby acknowledges that the organisers will only provide display space. The organiser will not provide any shell scheme construction. No conference supporter or sponsor will be permitted to erect his display goods in such a manner as in the opinion of the organisers obstruct the light or impede the view along the open spaces or the gangways or to occasion, inconvenience or otherwise affect the display of other conference supporters or sponsors. 22. Exclusion of personnel The organisers reserve the right in their absolute discretion to exclude or remove from the conference any person whose presence is likely to be undesirable and the organisers may exercise such rights notwithstanding that any person is the servant or agent of the conference supporter or sponsor or otherwise in anyway connected or associated with the conference supporter or sponsor. 23. Conference supporter/ sponsorship manual Upon confirmation of the organiser’s official booking form, each conference supporter or sponsor will receive an ‘information pack’. This contains forms to be completed along with rules and regulations of the conference (some regulations are already covered in these terms and conditions) and must be adhered to. It must be noted that some parts of the conference supporter and sponsorship packages are inclusive of price; any forms relating to such items must be completed and returned to the organisers in order to gain such items. The organisers will not be held responsible for forms that are not completed by the conference supporter or sponsor by the deadline indicated.
