Change request to the Milestone Covenants The Milestone Board of Directors (Board) will be asking you in the near future to approve a change to the Milestone Covenants that will bring the Architectural Control Board (ACB) under the direction of your Board. The purpose of this letter is to explain how the ACB operates, and why consideration for this change is being requested.

Understanding the establishment of the ACB When Milestone first started as a planned community, developer control was necessary to assure the planned vision would be achieved. Understanding there would be many builders with different ideas, a set of guidelines and control of those guidelines had to be established. Thus, the ACB was created by the developer to maintain the planned objectives (covenants/bylaws). The ACB would have 3 members selected by the developer.

ACB responsibilities are usually passed to the HOA/Board The initial ACB responsibilities are usually passed to the members when the Home Owners’ Association and leadership Board are established. Unfortunately, this stipulation is absent from Milestone documents. Milestone has a freestanding ACB due to this lack of adjustment.

The ACB currently operates independently of your Elected Board As it stands, the ACB operates independently of your elected Board. Due to this situation, members of the ACB decide: • who will be appointed as members/replacements • how long those positions will serve • how architectural and landscaping guidelines will be interpreted and approved

There is no appeal process provided for ACB decisions. Your elected Board believes that all governance should be subject to owner representative scrutiny. Presently, the only influence the Board has over the ACB is deciding whether Milestone will fund attorney fees enforcing an ACB decision and requiring the ACB to meet Florida statutes in its operations.

Requested Change Milestone has reached the status of full maturity and your Board feels this condition is out dated. The Board will be asking for your approval to bring the ACB into the governance of your elected Board.

Requirement for the Change Our bylaws state that two-thirds (66.67%) of membership is required to approve such a change to the Milestone Covenants. We believe this change is in the best interest of an owner driven community that has a say in its leadership. Thank You, Baron P. Smith, HOA President
