THE EXECUTIVE DIRECTOR SEARCH IS UNDERWAY
A
s I am sure you are aware, Lorna Christie resigned from her position of Executive Director of the NHLA on May 5. Her last official day as Executive Director was June 30, 2021. The process to find and hire a new Executive Director is underway.
Every change brings opportunity. The NHLA Board of Managers’ goal is to find and hire an Executive Director that will lead our Association for the next ten years. We would like to find someone sooner rather than later but finding the “right” person for the job is our most important requirement. We started the process by looking back 20 years or so. NHLA has been blessed with Executive Directors who have had different sets of skills and attributes. Each Executive Director has had strengths and weaknesses. The last search team looked for someone who had strengths in the areas where we needed improvement to happen. They found that person in Lorna. Her strength was in strategic planning and leading the NHLA staff to focus their efforts on implementing our Strategic Plan. She operated like a consultant. Today the NHLA staff is functioning at a high level. We will be able to take the time we need to find the “right” Executive Director, in large part, because of how well our staff is doing their jobs today. Lorna deserves a lot of credit for the evolution that occurred in Memphis over the last five years. The Executive Committee has spent a lot of time preparing the groundwork for the search for a new Executive Director. We interviewed Lorna and each member of the senior staff. We wanted to get a feel for what they think we need at NHLA. We received many good ideas and concepts our staff believes are important. The EC’s preference would be to find someone who has a passion for and experience in our industry. In addition, our Association is focusing on marketing. We would like to find someone who has some experience and knowledge about marketing.
Organizational Oversite Strategy and Planning Leadership NHLA Ambassador Member Interaction Renee Hornsby and Desiree Freeman are putting together a job posting that the Executive Committee will approve. The job posting will be located online at www.nhla.com/applynow. All applicants will review the job description and apply for the job through the link. Once we finalize the members for the Search Committee, we will begin accepting applications for the position. Desiree Freeman will filter resumes, and applicants with suitable qualifications will be passed on to the Search Committee. Initial interviews of the best applicants will be done via Zoom or other audiovisual platforms. Finalists will be brought to Memphis for in-person interviews by the Search Committee and NHLA Senior Staff. If things go well, a candidate will be presented to the NHLA Board of Managers for approval within a few months. A realistic goal would be to have a new Executive Director in place in early 2022. In closing, I want to acknowledge the members of the Executive Committee. The purpose of the Executive Committee is to oversee financial performance and provide guidance and leadership to the Executive Director and Senior Staff. Added to the slate this year is the responsibility of finding a new Executive Director. These people are working key jobs in their companies and carving out time to serve our membership. Each of them has an unfettered passion for the industry, a big heart, and a great mind. I am honored to serve with each of them. Members are Darwin Murray, Bucky Pescaglia, Joe Pryor, Rich Solano, Jon Syre, Stephanie VanDystadt, and Ray White. When you see or talk to them, thank them for their service. PROPOSED BYLAWS CHANGE
I
n the spring of 2019, the NHLA Board of Managers finalized several proposed amendments to the Constitution and Bylaws of NHLA. The proposed amendments will allow the Constitution and Bylaws to become current with today’s business terminology and practices.
At the 2021 NHLA Annual Convention in West Palm Beach, Florida the NHLA membership will be voting on the proposed changes. Voting on the Constitution and Bylaws is one of the most important roles you can perform as a Member of NHLA. The amendments to the Bylaws will live on for generations. We hope you will attend this year’s convention and be present on September 24th for this important vote.

PROPOSED CHANGES Original ARTICLE II-CONSTITUTION & BYLAWS This Constitution and Bylaws may be altered or amended only by a two-thirds vote of the Active Members, in good standing, voting at an Annual Meeting, or a special meeting called for this purpose. Thirty days’ written notice, designating the changes that will be proposed at said meeting, must be mailed to each Active Member. Original ARTICLE III-QUORUM A quorum of 10% of the Active Members, in good standing, as of 30 days before the date of a meeting, is required. No amendment to the Constitution and Bylaws, or the Inspection Rules, may be considered without a quorum. Each Active Member shall be entitled to one vote; there shall be no voting by proxy.

Proposed Amendment to ARTICLE II CONSTITUTION & BYLAWS ARTICLE II— CONSTITUTION and BYLAWS The Constitution and Bylaws shall be subject to repeal, replacement, or amendment upon the following conditions. Any Active member in good standing may suggest a Constitution and Bylaws amendment. The proposed amendment first shall be presented to the Board of Directors for a vote for or against the proposed amendment at any special or regular meetings of the Board. If a two-thirds majority of the Board of Directors vote in favor of the Constitution and Bylaws amendment, the Secretary shall mail the board approved proposal to Active Members not less than 30 days prior to the Annual Meeting. During the Annual Meeting of the Association, the Governance Task Force Committee shall convene and hold an open forum to discuss such proposed Constitution and Bylaws amendment. Following the Annual Meeting of the Association, ballots with the Board of Directors approved Constitution and Bylaws amendment will be mailed to each Active Member in good standing. Each Active member in good standing may vote for or against the proposed Constitution and Bylaws amendment, provided such ballot is returned to, and received by, the Secretary within 30 days from the date on the ballot. A Constitution and Bylaws amendment shall be adopted by the Association upon such proposed amendment receiving a favorable vote of a two-thirds majority of the votes properly cast by the Active Members of the Association. A quorum of 10% of the Active Members is required. No repeal, replacement, or amendment to the Constitution and Bylaws may be considered without a quorum. Each Active member shall be entitled to one vote. Voting by proxy is expressly prohibited.

trong leadership and teamwork are at the heart of every successful business. A good leader enjoys working as part of a team and sets the mindset for the entire company, commonly referred to as its corporate culture.
Take the CEO of Continental Underwriters, Inc., C. Preston Herrington III, for example. He learned the value of decisive leadership and teamwork during five years in the U.S. Navy, three of which he served as a Navy SEAL. “The lessons I learned about the power of people aligning toward a common goal have guided me through every endeavor since. Training to become a SEAL was both the hardest and most rewarding thing I’ve ever done. I had to dig deep and learn a lot about myself, and this is where I discovered firsthand the importance of teamwork,” he recalls.

“During my SEAL Training Class, it became clear to me that each member of the team had to deliver on their specific role as well as collaborate and work together as a team,” he adds. “This mindset was critical to ensuring success in our missions.” After leaving military service, Preston cut his teeth working for several large insurance companies, which exposed him to underwriting, risk assessment, and technical insurance coverages. He then joined a family insurance brokerage business, which focused on forest products insurance. W W W. N H L A .C O M

Preston Herrington III Harking back to his SEAL training, working as a team became a foundational tool for him, leading the creation of Continental Underwriters in 2013. “My combined experience in the Navy, insurance company and brokerage side of the business led to the formation of an organization focused on attracting and retaining high-quality people,” he says, “with a goal of trading with the right people, under the right circumstances, with the right partners consistently.” GIVING EVERYONE A SEAT AT THE TABLE In starting Continental Underwriters, Preston sought to create an environment where different perspectives, experiences, and voices are valued. He wanted a company culture of inclusion, where thinking out of the box would be encouraged and welcomed, the type of setting that allows positivity to thrive and evolve. “When you do the right thing with the right people, good things will happen,” he says. “Continental Underwrites has what they call a ‘WE Proposition.’ It was developed over six months through a series of workshops, with each team member participating in the process. As an organization, and more importantly, as the people who make up our organization, we are always here to help,” Preston says. “We have your best interests in mind, so if our services are no longer a good fit for your business, we will be honest about that and let you know. This process takes courage – the courage to have difficult conversations. But it makes us all, and the industry we serve, better in the long run.” Preston is honored to be a part of the hardwood industry because of the people, the product, and the positive environmental impact of the industry. “Our space is the embodiment of a sustainable resource W W W. industry. Our product sequesters carbon, and we are constantly replanting and replenishing our raw material. We also use 100% of our raw material. At a minimum, we are a carbon-neutral industry, and I think a case could be made we are carbon negative.” CAREER FUELS STRATEGIC PARTNERSHIPS Looking back on a 20-plus year industry career, Preston says he thinks less about how he got here and more about why he’s stayed. “As thought leaders in our field, we understand nuances and anticipate emerging trends as we provide strategic counsel to help our clients and their businesses flourish. Our focused perspective allows us to bring value to our clients in ways that general insurance agencies simply can’t,” he adds. “I love this industry and the people it has allowed me to work alongside: family-oriented businesses, entrepreneurs, and extraordinarily hard workers who genuinely care about what they do.” Preston is proud that Continental Underwriters is part of NHLA. “Our membership allows our company representatives to be involved in the industry and meet with the leaders of hardwood companies. The yearly Conventions are productive, fun, and educational,” he says. “Honestly, if you are part of the Hardwood Industry or serve the Hardwood Industry, it would be irresponsible not to be a member. The benefits far outweigh the costs. A Right and a Privilege By DANA COLE, Executive Director Hardwood Federation
O
n December 15, 1791, the U.S. Constitution was adopted. The First Amendment to the Constitution guarantees, among other freedoms, the right of citizens to petition their government “for a redress of grievances.” This original right guaranteed to citizens has been expanded to include the right to express their views to the government on all issues under debate. In other words, we all have the right to express our thoughts on policy questions at every level of government, at the local, state, or federal level. It is a freedom many take for granted.
to share their perspective with President Ulysses S. Grant would hang out in the lobby of the Willard Hotel, where the President could often be found with a cigar and brandy, for the opportunity to speak with him (or buy him drinks) to influence his political decisions. While it is much more difficult to influence a decision with an expensive cocktail, thanks to strictly enforced election campaign laws, making your opinion known to someone who depends on your vote is still very much allowed.
Today, when most people think of how they can influence government action, they don’t think much beyond the casting of their vote. And, of course, the right to vote in an election is both a responsibility and a privilege. But once someone is elected to office, we have additional opportunities to impact their decisions about proposed legislation and regulations. We can advocate for the decision that best meets our personal and professional goals . . . we can lobby them.
Today, a lobbyist (or advocate) is any individual who seeks to educate or persuade members of the government, including members of Congress, to enact legislation and policies that benefit or protect their group. Anyone who meets with or contacts their member of the U.S. Congress to voice an opinion is functioning as a lobbyist. But so is anyone that attends a city council meeting to ask for a stoplight to be installed or a noise ordinance to be enforced. Or talks to their representative to the State House about proposed state regulation. The ability to advocate or lobby in our own best interest extends from our doorstep all the way to the halls of Capitol Hill.

advocate for hardwood-friendly legislation at the federal level. The Hardwood Federation was created to harness the advocacy capacity of the many hardwood-focused trade associations and industry groups that exist at the national, regional, and state levels. Our world moves much faster today than it did in Grant’s time . . . or than it did twenty years ago. The demands on businesses are such that day-to-day focus on politics is impractical, particularly at the federal level, which often seems far removed from the rigors of daily life and work. The Hardwood Federation pays close attention to the federallevel issues that impact the industry the most. These priority issues can change year to year, from Administration to Administration. Priorities can change month to month. And sometimes, the top priority can change overnight, as we saw during the U.S. trade dispute with China and the spread of the COVID 19 virus. Regardless of which political party controls the White House, the U.S. Senate, or the U.S. House of Representatives, there are always challenges to whatever construct is currently in place, just as there are always opportunities for the hardwood and wood products industries. We certainly advocate on your behalf to the Administration and Congress. But we also alert you about how you and your company can be your own best lobbyist. In 2021, Democrats control the White House and both chambers of Congress. This is a changed dynamic from the one we dealt with in 2020, and it will change again in the future. But regardless of who holds the reins of power in Washington D.C., the Hardwood Federation’s agenda, our top priority for advocacy efforts, is to better the business climate for hardwood businesses. This remains consistent and is our guiding philosophy. It has been from the beginning. The Hardwood Federation has identified the below issues as priorities for 2021, some likely to carry over to 2022.

• CLIMATE: The Biden Administration has been clear that addressing climate concerns is at the top of their priority list. Of particular concern to the hardwood industry are myopic efforts to consider forestlands — and only forestlands as the key to removing carbon from the atmosphere. While we applaud this long-overdue recognition of the role growing trees play in carbon sequestration, we are very concerned that most proposed legislation and regulatory efforts stop at the edge of the forest and do not make the important connection between a healthy forest products industry, healthy and sustainable forests, and carbon storage counting methods. We are actively communicating this oversight to Congress and the Administration in coordination with other wood products industry allies. We are also working with our forestry and forest product industry allies on a consensus definition of “biomass” that will enable us to influence federal climate and energy policymaking so that the energy and residuals we use in our facilities will be recognized as renewable and carbon neutral. • TAX POLICY: The Biden Administration has an aggressive agenda with many high-level goals. How to achieve and pay for many of the proposed federal programs is still up in the air. The Hardwood Federation is closely monitoring proposals to increase the tax burden on the small and medium businesses that form the bulk of the industry. In particular, we are alert to attempts to increase inheritance taxes, eliminate the stepped up in basis in calculating capital gains, and any other actions that raise the tax burden for S-Corporations and other pass-through structures that are popular in our sector. • WORKER SHORTAGES: The business community, in general, is finding it difficult to fill available jobs as the country recovers from the COVID crisis. The Hardwood Federation will support efforts to move workers back to the job site and oppose actions that will disincentivize return to work. The Federation also continues to support training

and workforce development programs, including those that impact loggers and truck drivers.
suppliers, to take the time to be their own advocate . . . at the local, state, and federal level.
• INFRASTRUCTURE AND TRANSPORTATION: There is much discussion about making a significant investment in the nation’s transportation systems and infrastructure. The Hardwood Federation supports targeted focus on projects that support the industry and the ability to move products to domestic and international markets, including roads, ports, power grids, and railroads. We are also engaged in a wide-reaching coalition raising awareness and proposing solutions to delays and impediments related to international shipping.
• Be informed about policies that impact you and your business. Don’t wait for someone else to speak on your behalf. Or worse, speak against your best interests.
Members of the Hardwood Federation team are proud to represent the industry and welcome the opportunity to communicate the great contributions every business in the sector makes to the U.S. economy and the role hardwood manufacturing and products play in a sustainable environment. But we cannot do it alone. We encourage everyone that is engaged in the industry, including landowners, loggers, truckers, manufacturers, and

2023 Rules Changes by Chief Inspector Dana Spessert
E
very four years, NHLA reviews the hardwood lumber grading rules and accepts rules change proposals for consideration. On June 8, 2021, the NHLA Rules Committee met with eleven committee members and four guests in attendance. In all, twenty-one Rules change proposals were submitted for consideration with seven Rules change proposals making it to the list.
During the 2021 NHLA Annual Convention in West Palm Beach, Florida there will be a Rules Open Forum. The goal is to develop a national consumer promotion campaign on a scale that’s never been seen before. And a lot has been accomplished in a short period of time—including the completion of an extensive consumer research initiative, establishing brand guidelines, registering trademarks, and launching social media profiles.

The next steps will have the largest impact on the industry and require buy-in from all industry stakeholders.
