CEDAR LNG AWARDS EPC CONTRACT FOR STATE-OF-THE-ART FLOATING LNG PRODUCTION UNIT

In a significant development, the Haisla Nation and Pembina Pipeline Corporation have announced that Samsung Heavy Industries and Black & Veatch have been chosen as the engineering, procurement, and construction providers for the Cedar LNG Project. This project aims to create the first Indigenous majority-owned liquefied natural gas facility in the world. The selection of SHI and Black & Veatch for the design, fabrication, and delivery of the floating LNG production unit marks a critical milestone towards the Final Investment Decision for the Cedar LNG Project. The Chief Executive Officer of Cedar LNG, Doug Arnell, expressed enthusiasm about securing world-class FLNG expertise and emphasized the project’s commitment to low carbon and sustainable LNG production. Black & Veatch Chairman & CEO, Mario Azar, highlighted their role in supporting

Cedar LNG’s groundbreaking endeavor and their dedication to delivering a reliable and resilient global energy supply amidst the ongoing energy transition. With major regulatory approvals already in place and long-term liquefaction services agreements secured for the project’s total LNG capacity, Cedar LNG is now in an advanced stage of planning and development. The FID is expected to be reached by the end of the first quarter of 2024.

Assuming a positive FID, onshore construction work for the Cedar LNG Project could begin as early as the second quarter of 2024. The FLNG is projected to be delivered and substantially completed by 2028. This milestone brings the Cedar LNG Project closer to its goal of establishing an environmentally-friendly LNG facility that will play a crucial role in the global energy landscape.

COLONIAL TERMINALS ANNOUNCES ACQUISITION OF BUCKEYE’S WILMINGTON, NC TERMINALS Colonial Terminals, Inc., a division of Savannah-based Colonial Group, Inc., acquired a bulk liquid terminal owned and operated by Buckeye Terminals, LLC. The terminal is located on the Cape Fear River and has approximately 550,000 barrels of storage capacity. This facility is adjacent to an existing bulk terminal owned and operated by CTI. The combined terminal complex will have over one million barrels of bulk liquid storage and offer marine, rail, and truck access into the fast-growing Southeastern United States. “Colonial Terminals is committed to growth in markets that support our team’s ability to deliver the highest levels of service to customers who value supply chain dependability and efficiency,” said Ryan Chandler, president of Colonial

Terminals. “This adjacent facility adds a new berth and substantial river frontage to our already large footprint on the Cape Fear River, and we’re eager to offer new capabilities for existing customers as well as attract new customers and products to the market.” The acquisition increases CTI’s storage infrastructure in Wilmington to more than one million barrels, 70 acres, and over a half mile of river frontage. Products stored at these facilities include industrial chemicals, specialty chemicals, petroleum, and others. CTI will retain all local employees who currently operate the acquired facility. “Wilmington is a gateway to the growing Southeastern US market, and we believe this acquisition strongly positions

our team to support current and new customer growth far into the future,” said Chandler. With the addition of the new facility, CTI now operates seven terminals, five in Georgia and two in Wilmington, with a total liquid capacity of approximately eight million barrels and a total dry capacity of approximately 200,000 tons of vertical storage, 400,000 square feet of covered flat storage, and significant outside storage acreage. Each terminal is strategically located in close proximity to a world-class container port and provides access to ocean and landside (road and rail) logistics networks, as well as global and regional sourcing and distribution pathways.

The purpose of the Spill Prevention, Control, and Countermeasure (SPCC) rule is to help facilities prevent a discharge of oil into navigable waters or adjoining shorelines. This rule is part of the U.S. Environmental Protection Agency’s oil spill prevention program and was published in 1974, under the authority of Section 311(j)(1)(C) of the Federal Water Pollution Control Act (Clean Water Act). The rule may be found at Title 40, Code of Federal Regulations, Part 112.

Spill Prevention Control and Countermeasure (SPCC) Overview and review of the Guidance Document for Regional Inspectors Mark Howard, U.S. EPA, Office of Emergency Management, Oil Program National SME

The short course is available for all SPCC stakeholders. This short course will provide an overview both the rule and the SPCC Guidance for Regional Inspectors. The session will be approximately four hours long, including time to address questions. This short course will describe the requirements for SPCC facility owner/operators and certifying professional engineers. The course will include an overview of the rule, the elements from the revised inspector guidance document and implementation issues encountered since the last course. This overview will include but is not limited to: • • • • • • • •

Applicability Jurisdiction General plan elements Oil Filled Equipment (OFE) Testing requirements Qualified facilities Specific requirements for bulk facilities New for 2024: Detailed discussions on emerging trends in combined AST and UST systems and how/or if they are regulated under the EPA SPCC and/or UST regulations.

A non-transportation-related-facility is covered by the SPCC rule if it has an aggregate aboveground oil storage capacity greater than 1,320 U.S. gallons or a completely buried storage capacity greater than 42,000 U.S. gallons and there is a reasonable expectation of an oil discharge into or upon navigable waters of the U.S. or adjoining shorelines.

The intended audience for this short course is stakeholders in the SPCC regulated community, which include, but are not limited to, Professional Engineers (PE), consultants, insurance professionals, and facility owners who maintain SPCC Plans or will be updating SPCC Plans. This presentation is similar to the presentation provided to EPA. You do not need a background in SPCC to attend.

In 1994, EPA finalized the Facility Response Plan regulation at 40 CFR Part 112.20 and 112.21. Promulgated under the authority of the Oil Pollution Act of 1990, the regulation requires certain facilities that pose the risk of substantial harm to the environment to prepare plans to respond to a worst-case discharge of oil. FRP-regulated facilities must prepare and submit a plan to their EPA Regional Administrator. EPA reviews and approves FRPs for certain facilities that have the potential to cause significant and substantial harm. There are about 3,800 FRP plan holders in the U.S.

PLANNED IN PERSON: Plan Requirements for Facilities Covered by EPA’s Facility Response Plan (FRP) Regulation Troy Swackhammer, U.S. EPA, Office of Emergency Management This presentation describes the requirements and expectations for the FRP plan holders. KINDER MORGAN CLOSES $1.815 BILLION ACQUISITION OF NEXTERA ENERGY PARTNERS Kinder Morgan, Inc. has closed on its previously announced $1.815 billion acquisition of NextEra Energy Partners’ South Texas assets, which includes a set of integrated, large diameter high pressure natural gas pipeline systems that connect the Eagle Ford basin to key growing Mexico and Gulf Coast demand markets. The acquisition includes a 90 percent interest in the NET Mexico pipeline (MGI Enterprises, a PEMEX affiliate, owns the other 10 percent), Eagle Ford Midstream and a 50 percent interest in Dos Caminos LLC (Howard Energy Partners (HEP) owns the remaining 50 percent and will continue to operate the pipeline). Dos

Caminos recently placed in service a 62mile pipeline connecting HEP’s existing midstream pipeline and facilities in Webb County, Texas to KMI’s new Eagle Ford pipeline, which was placed in service on November 1, 2023. This portfolio of assets is highly contracted, with an average contract length of over 8 years. Approximately 75 percent of the business is supported by take-or-pay contracts. “We are pleased to add these assets to our natural gas portfolio to serve growing LNG, industrial, Mexico export and power generation demand markets on the U.S. Gulf Coast,” said KMI President of Natural Gas Pipelines Sital Mody. “These assets integrate well with our existing South Texas footprint and extend our direct connectivity in the lean area of the Eagle Ford Basin, allowing us to offer LNG customers greater access to desirable low-nitrogen natural gas supply.”

KMI expects the acquisition to be accretive to its preliminary 2024 budget guidance with the purchase price equal to 8.6 times the 2024 EBITDA and a longterm investment-to-EBITDA multiple of approximately 7.0-7.5 times, inclusive of commercial synergies. Initially, we plan to fund the transaction with cash on hand and short-term borrowings, increasing our expected Net Debt-to-Adjusted EBITDA ratio for 2024 by approximately 0.1 times after including a full year Adjusted EBITDA contribution from the asset. Expected acquisition EBITDA multiples, Net Debt and Adjusted EBITDA are non-GAAP measures. SOUTH TEXAS GATEWAY TERMINAL WELCOMES NEW TEAM STGT, also known as the South Texas Gateway Terminal, is a state-of-theart crude oil export facility located in Ingleside, Texas. It operates a deep-water marine terminal at the mouth of the Corpus Christi Bay, providing open access to vessels. The terminal was officially placed in service in July 2020 and loaded its first vessel at that time. In March 2021, STGT completed the final construction phase of additional storage facilities, bringing its total terminalling capacity to 8.6 million barrels of crude oil across 20 tanks. This expansion allows

for increased storage and handling capabilities, meeting the growing demand for crude oil exports.
