Letter from the President The opportunities for suppliers to thrive in this rapidly-changing industry are infinite. Many of our members are already driving the industry’s emerging consumer lifestyle technologies and developing systems that will profoundly improve vehicle safety. The global marketplace is another key driver in this “new” automotive landscape with exponential growth opportunities in revenue, profits and global market share. Coupled with the onset of increased government and regulatory interest, the automotive industry is expected to change more in the next five years than it has in the last 50 years.

OESA is changing too. In 2015, we honed our mission to better clarify our role in the industry and reflect our commitment to the supplier community. Our mission is the guiding principle for everything we do: Champion the business interests of automotive OE suppliers. We also realigned our strategic initiatives to focus on the gamechanging events influencing the industry: • Be a relevant resource on advanced vehicle technology. New vehicle technology brings both new opportunities and challenges. OESA will be there to advise on both fronts. • Advance the interests of the supplier community on a global scale. Globalization is creating tremendous opportunities for suppliers. OESA will keep members abreast of relevant international information and trends. • Command a meaningful seat at the table of influence for our members. With the help of the MEMA advocacy team in Washington, D.C., OESA will continue to promote the supplier voice throughout the industry and value chain. In addition to emphasizing these strategic initiatives, we will continue to represent the supplier perspective; offer suppliercentric forums; and provide resources to help suppliers make mission-critical business decisions. The industry is in the midst of some of the most substantial technological advances in automotive history. It is at this crossroad that OESA serves as a valuable resource and positive change agent for the supplier community and the automotive industry. I look forward to our journey.

2015-16 Key Accomplishments OESA uses the collective strength of more than 430 member companies to serve as a positive change agent for the supplier community by: ► Advocating on behalf of the supplier voice throughout the supply chain, in Washington, D.C. and at the state level ► Providing forums to share pertinent industry information and best practices ► Forging stronger business relationships ► Fostering collaboration and networking opportunities with OEMs and other key industry stakeholders ► Providing thought leadership and industry insight to make critical business decisions ► Delivering dedicated support through a knowledgeable and member-focused staff
Following are a few key initiatives that demonstrate how OESA represents the supplier voice and provides forums and resources for the automotive supplier community:
The Voice of Automotive OE Suppliers: • Held a Supplier Roundtable with Marcus Jadotte, Assistant Secretary of Commerce, United States Department of Commerce, to discuss the need for better trade programs for the supplier industry • Hosted U.S. Representatives Debbie Dingell (MI-12) and Steny Hoyer (MD-05) at a Supplier Roundtable on the significance and impact of the Michigan supplier industry • Provided suppliers with one-on-one networking opportunities with key decision makers at six OEM Town Hall meetings • Automotive News recognized OESA President and CEO Julie A. Fream as one of the “100 Leading Women” in the automotive industry ̶ this honor acknowledged OESA’s reputation and influence in the industry • Honed the OESA mission and vision for greater clarity of the Association’s role in the industry

Government Advocacy Automotive OE suppliers are a driving force in the motor vehicle industry. They have a strong economic impact on U.S. and global economies, and are transforming mobility through innovation and new technology. Legislators and regulators need a keen understanding of how their decisions affect the supplier industry and the economy.

The MEMA Government Affairs office is a strong advocate for the business interests of OESA members. MEMA’s advocacy activities enhance the visibility and influence of suppliers, secure legislative initiatives, and provide policy makers and regulators with forward-thinking insight to better represent the voice of the supplier industry. Over the next five years, MEMA is dedicating its efforts to: • Increase its influence in Washington, D.C. and at the state level • Promote and protect new technology by addressing cybersecurity, V2V autonomous vehicles and fuel efficiency • Protect supplier intellectual property • Encourage safer vehicles, including the accelerated adoption of ADAS technology in the New Car Assessment Program (NCAP) • Provide for long-term growth through the ratification of meaningful trade agreements, implementation of tax reform and passage of a national energy policy Here are a few of MEMA’s recent advocacy successes and initiatives:
► Washington Auto Show MEMA sponsored the Washington Auto show to enhance its visibility among key industry stakeholders, government officials, regulators and members of congress. It also participated in “Policy Day” briefings on Capital Hill during the event.
► Legislative Summit MEMA held its annual Legislative Summit in Washington, D.C. Event attendees participated in several policy briefings, and held 175 meetings in congressional offices to discuss the importance and impact of vehicle suppliers.
► Supplier Roundtable with NHTSA Administrator Mark Rosekind Supplier executives and MEMA Board members met with NHTSA Administrator Dr. Mark Rosekind to discuss vehicle safety and recall issues, the NCAP and the role of suppliers in advanced vehicle technology.
► A Roadmap to Safer Driving through ADAS In cooperation with the Boston Consulting Group, MEMA released a study on Advanced Driver Assistance Systems that quantifies the benefits, market penetration and life-saving potential of advanced vehicle technology. MEMA promoted these findings to the members of the House and Senate as well as NHTSA officials. MEMA also testified before a House Energy & Commerce subcommittee on vehicle safety issues, advocating for enhanced NCAP ratings to include the advanced vehicle technologies detailed in the study.
► TPP Trade Agreement Negotiations During the Trans-Pacific Partnership (TPP) trade agreement negotiations, MEMA met with the U.S. Trade Representative (USTR) and provided relevant information about the automotive supplier industry. As a result of MEMA’s advocacy, the rules of origin provisions in the agreement were strengthened to the benefit of OESA members.
► Fixing America's Surface Transportation (FAST) Act House and Senate conferees finalized a longterm surface transportation bill, which retained the NCAP and CSA issues to the benefit of OESA members. Fixing America’s Surface Transportation Act was overwhelmingly passed by both the House and Senate, and signed into law by the President.
► Government Affairs Committee The Government Affairs Committee (GAC) serves as a vital platform in advancing supplier business interests on national, state and international policy issues and initiatives. The Committee provides input on government relations activities to promote the supplier industry. The GAC meets quarterly and is open to all OESA members. Executive Peer Group Councils Rated as one of the most valuable member benefits, OESA’s executive peer group councils bring more than 800 supplier executives together to network, discuss common issues, share best practices and promote the supplier industry. Council meetings and roundtable discussions focus on the unique challenges of supplier executives within their functional areas. Subject matter experts, OEM representatives and industry thought leaders provide relevant insight, action items, and timely information to address current and critical supplier concerns. Participation in OESA councils is open to senior executives at Supplier Member organizations (with the exception of the Automotive Public Relations, Tooling and Young Leadership Councils). Automotive Public Relations Council: The APRC is a network of public relations professionals dedicated to the advancement of the automotive industry. Also open to non-member organizations, the APRC serves as a networking and information resource with the unique focus of finding best practices for promoting the industry, and building relationships with the media and OEM customers. Chief Executive Officers Council: Faciliated by OESA President and CEO Julie Fream, the CEO Council addresses some of the most pressing business and industry issues. Supplier CEOs hear from subject matter experts and query each other on various topics, such as the economic outlook, hiring/retaining talent, supplier/customer relations, innovation, and the impact of new government regulations. Chief Financial Officers Council: The CFO Council works to address common financial management issues within the supplier industry. Members explore a widerange of strategic risk and compliance issues. Recent dialogue focused on vehicle production, supplier capacity, benefits strategies, tooling audits and material markets. Chief Information Officers Council: The CIO Council provides a forum for members to exchange ideas and address common concerns on automotive information technology (IT) topics such as cyber security, IT organization and design, cloud computing, and data storage and management. Chief Purchasing Officers Council: Make/buy decisions, material market forecasts and inventory hedging strategies are just a few examples of the broad range of topics discussed at OESA’s CPO Council meetings. Members share supplier purchasing sentiments on topics such as conflict minerals and customer purchasing practices. Communications Executives Council: Communications and marketing executives from Supplier Member organizations meet to address 12 │ 2015-16 Annual Report & Association Update
common marcomm issues, such as measuring marketing initiatives, improving global communications, social media and improving media relations with OEMs. CEC members receive press passes to the annual North American International Auto Show in Detroit, and are regularly invited to comment on industry topics in the media. Environment, Health and Safety Council: Members of the EH&S Council share information on safety performance improvement, energy use and sustainability initiatives. Discussions include topics on regulatory and legislative issues related to health, safety, the environment and public policy. Council members conduct numerous benchmarking surveys and invite outside experts to speak on a wide range of EH&S topics. Human Resources Council: Known for lively roundtable discussions, the HR Council draws on the specialized expertise of human resources executives. Subject matter experts discuss and share best practices on various topics, such as attracting and retaining specialized talent, developing benefits packages, implementing policies and expatriate assignments. Legal Issues Council: In-house counsel from Supplier Member companies discuss business-critical legal issues, such as product liability, industry terms and conditions, directed buys and intellectual property protection. Members of the council weigh in on the ongoing analysis of OEM terms and conditions, and discuss topics from other councils from a legal perspective. Product and Technology Development Council: The PTDC focuses on short- and long-term product development trends at supplier companies – with a particular focus on product and technology innovation. Recent topics include the future of automotive materials, advances in 3-D printing, and costs/benefits of new safety technology.
Sales Executive Council (Formerly OE Sales and Marketing Council): Discussions at SEC meetings cover a broad range of business development and sales topics. Sales leaders from OE suppliers have the opportunity to query OEM representatives, receive sales training and tips, network with industry peers and discuss the latest sales strategies. This council is one of the largest OESA councils and is known for its candid roundtable discussions. Small and Medium Enterprise Presidents Council: This council addresses the unique challenges facing OE suppliers with up to $150 million in annual revenue. Subject matter experts and roundtable discussions cover a wide range of strategic and tactical issues from a “small� business perspective. Recent topics include product development and innovation, raw materials and energy markets, global expansion and capacity. Tooling Council: The newly-created Tooling Council provides tool makers the opportunity to discuss best practices and address issues that affect the value chain. Members work together to address many industry issues and began the OESA/HRI Tooling Barometer to better understand the unique operational issues of the tooling community. Tool makers in the automotive OE sector are welcome to join this council.
Warranty Management Council: The WMC is a unique automotive-centric forum for warranty professionals to discuss topics such as warranty management data systems and cost recovery negotiations. OEM representatives address the group at almost every meeting. The council champions the comparative analysis of OEM warranty programs and supports the warranty audit process certification with AIAG. Young Leadership Council: The YLC was developed to help our members develop and retain high-potential employees in all functional areas. During the twoyear program, young leaders receive professional development opportunities through discussions and presentations on a wide range of topics including negotiating, customer service and leadership. About the Association OESA's mission is to champion the business interests of automotive original equipment (OE) suppliers. Since 1998, the Association has been addressing issues of common concern and advocating on behalf of the supplier community throughout the supply chain and in Washington, D.C. OESA is one of four divisions of the Motor & Equipment Manufacturers Association (MEMA). All divisions are represented by MEMA’s advocacy and emerging technology expertise.

OESA represents original equipment (OE) suppliers that design, engineer and manufacture parts and technology for passenger cars and light-duty trucks; and the affiliate companies that support them.
AASA represents automotive aftermarket suppliers that manufacture, distribute, retail and install vehicle parts, chemicals, equipment and accessories.
HDMA represents OE and aftermarket parts suppliers that participate in class 4-8 commercial vehicles and/or 50+ hp off-highway vehicles. Members operate in every segment of the heavy duty market— from components, service equipment and tires to chemicals, lighting and accessories.
MERA represents remanufacturers, their suppliers, and professional services firms operating primarily in the automotive and heavy-duty, off-road (HDOR) aftermarket.

OESA Publications OESA publications address topics of critical interest to the supplier community. They provide valuable guidance to keep members abreast of relevant industry events and information.
OESA Model Terms and Conditions The “OESA Model Terms and Conditions” publication was developed by a team of suppliers to present a fair and balanced relationship model between buyers and sellers. This publication addresses difficult industry issues, such as intellectual property, warranty, product liability and tooling. OESA encourages suppliers to work with their customers and suppliers to adopt these model terms and conditions throughout the supply chain.
OESA North American OEM Production P.O. Terms and Conditions Comparative Analysis OESA and Butzel Long publish and maintain a comparative analysis of the terms and conditions of BMW, FCA, Ford, GM, Honda, Hyundai, Kia, Mercedes, Nissan, Tesla, Toyota and VW. This analysis also features commentary from Butzel Long on commercial issues such as warranty, recall and product liability.
Directed Buy Agreement The "Directed Buy Agreement" is a fair and equitable model agreement and RASIC chart used to define responsibilities for parties involved in directed-buy and single-source arrangements.
OESA Comparative Analysis of OEM Warranty Programs The “Comparative Analysis of OEM Warranty Programs” examines OEM warranty management programs in North America and includes insightful commentary from Clark Hill PLC.
This document is the work of the OESA Warranty Management Council and is intended to help suppliers proactively manage the complexity of commercial warranty terms and customer programs. OEMs included in the analysis are BMW, FCA, Ford, GM, Honda, Hyundai, Nissan, Toyota and VW.
(CQI-14) Consumer Centric Warranty Management Guideline This guideline, jointly developed by OESA and the Automotive Industry Action Group (AIAG), promotes recent advancements in continuous warranty improvement processes. It provides a recommended warranty management program that instills a consumer-centric approach to warranty management.
Quarterly Newsletter Developed in-house by OESA subject matter experts, affiliate members and guest columnists, the quarterly newsletter provides legislative and regulatory updates, relevant industry news and analysis, and a calendar of OESA events. It also offers affiliate members the opportunity to share industry knowledge and trends.
Weekly Update The weekly update is an e-blast of the lastest OESA events, topics and news.
Member Directory The OESA Member Directory is a complete listing of OESA member companies, names of top executives, company contact information and their primary products and services. 2015-16 OESA Board of Directors The Original Equipment Suppliers Association is guided by a dedicated Board of Directors comprised of senior supplier executives. The OESA Board represents the diversity of the member base Ěś from large, multi-national, public organizations to small, private supplier companies. With a dual purpose of helping to set priorities for the Association and address common issues for the supplier community, members of the Board serve as an important resource for their peers in the industry. OESA Board members serve 4-year terms and are nominated by the Executive Committee. Elections are held annually in November.

This year, partially automated driving systems will be available for production.
