The Art of the Counteroffer Rochester’s home sales market is gearing up. Buyers are making offers! One of the trickiest parts of deals to navigate is the “counter-offer”. Experienced agents everywhere hear buyers casually toss out “The seller can JUST counter (offer) our offer”. Then these agents begin explaining counter-offers and how to successfully use them. Unfortunately some (seller and buyers) refuse to listen, misunderstand counter-offers, and then wonder why the deal fell apart.

What are counteroffers? A counteroffer is a reply offer based on the original offer, submitted back to the other party. Typically, it’s a seller’s reply to a buyer’s initial offer signaling the beginning of negotiations between the two parties. Sometimes terms are not agreeable. The countering party responds back with their preferred term(s). The body of the original offer along with changes necessary to come to agreement. The result is either agreement, further negotiation or no deal. Counteroffers can cover closing dates, sellers concessions, prepossession, the terms are unique in each deal. Counteroffers fine tune contracts satisfying both parties. Counteroffers can go back and forth without limit, between both parties, but the more counters, the less likely the deal holds. One of the most common reasons counteroffers are written is over price. If the difference is not too great, a counteroffer is usually sent. This can bring both parties together. There are cases where buyers are unrealistic. Some don’t understand current market conditions. They often consider themselves experts in real estate, because they have been paying attention to home sale trends, but too often neglect the market nuances. They ignore their agents comparative market analysis (CMA) on

the property they want. They usually include:“If the sellers don’t like the price they will counter-offer”, when discussing price. Umm, no, not always.

Real estate has its own unique psychology. Sellers are attached to their homes but most understand its real value. Offers that grossly undercut perceived value can bring feelings of anger or insult and distrust of the buyer, buyers agent and sometimes their own selling agent. If too low, an adversarial atmosphere develops, the deal becomes difficult, if not impossible since often sellers refuse to respond to low offers. If the seller refuses to counter, a good buying agent suggests re-submitting a more realistic offer. Explaining that sellers might forgive the “faux pas” to get their home sold, depending on their motivation. Some buyers submit a low-ball offer, hoping for acceptance, making them the “winning party”. They believe sellers are so desperate they’ll accept any offer, or might counter-offer at a price point lower than true market value. Reality is such desperate sellers are rare in our region and the outcome is usually no counter-offer and no deal.

buyers still wanted it, I pull out my CMA reviewing it with them. Sometimes the buyers become aware that they were wrong and decide to submit a higher offer. When they did, often those properties became theirs! Buyers must understand during the negotiation process, the house is still on the market and another buyer can scoop the house out from under, since it’s not yet firmly under contract. I have shown homes in the counter offer process, which allowed my buyers to submit their offers. With the right timing and better terms, they ended up the buyers. Before going to see the house, I tell my buyers the situation and that their first offer has to be their best and final, since they are in competition. When buyers met sellers expectations and chose not to haggle over details, their offers are preferred over the first buyer’s.

Buyers or sellers are not obligated to respond to counteroffers. Agents asking questions when there is no response can sometimes salvage the deal. If the seller rejects a counter, the buyers agent should inquire why and what might be acceptable to the buyer. The reverse is true for the sellers too. Sometimes terms end up working for all parties, with open communication to get there, through co-operation and by not taking adversarial stances.

When my sellers reject offers as too low, I explain to the buyers agent that the offer was too low. My sellers did not want to bother with a counter offer but are open to a better offer. I have also been that buyers agent. After rejection, I always ask: “How Buyers and sellers should offer badly do you want this property?” If my all counters in writing.

I worked a deal where my buyers offer was verbally countered. The selling realtor claimed a “drop-dead” price their seller absolutely had to have AND my buyers had to use the selling agents lender. Outraged, my client stopped me as I explained the terms, with a loud “no, we’ll keep looking”. Imagine my shock when my buyer called. The seller had contacted him directly wanting to know why we walked. My buyer recounted what the sellers agent had told us. After expressing shock and anger over his agents actions, which were taken without his knowledge, the seller wanted to negotiate a deal. And no, he did not care what bank was being used. He wanted to sell! Fortunately for all, a deal was struck despite the listing agent. If the counter had been in writing the seller would have had an idea what was being negotiated on his behalf. As it was, the deal was dead until the seller questioned what happened. Sometimes agents negotiate verbally until an agreement is (or not) made and then signed. Any “drop dead” terms should be written. Had the sellers counteroffer been in writing, their agent could not have jeopardized the deal. Also, had this owner not gone around his agent, the deal would have died because they were not trying to make the deal work. Counter-offers have their place in the art of buying and selling homes, but must be used judiciously. They are a tool for negotiation. Both buyers and seller should approach this tool in the spirit of creating a win-win situation for both parties. When done, transactions come together in a positive outcome for both parties.
