As Event Director I am proud to be able to say that we are the largest show dedicated to the business behind law and to be able to present you with a speaker line up that I could rave about for hours and I hope you will enjoy using this show guide to plan whose seminars you are going to visit this year, but just to whet your appetite I can tell you that you will be spoilt for choice deciding between speakers who are successful entrepreneurs, innovators, TV personalities and

Capital Allowances – Seizing the opportunity! The Finance Bill 2012 has fundamentally changed the landscape and placed a much higher significance on the role of the conveyancing solicitor in ensuring relief is not lost at the point of sale. As of 1st April 2014 (for corporation tax) or 6th April 2014 (for income tax) the issue of capital allowances relief must be raised by the acting solicitors on every commercial property transaction. Earlier this year, the Law Society, in conjunction with Catax Solutions, published a report on Capital Allowances, following research conducted with members of the Law Society who are involved in commercial property transactions. The research uncovered that whilst the legislation, previously pertinent to accountants, highlights the solicitor as accountable for addressing the capital allowances position of the property, only one third of solicitors accept they are responsible. The report states, “Solicitors are not secure in their knowledge of capital allowances legislation, as introduced in 2012. In fact, only one in five stated ‘I know everything I need to know about the changes to the FA 2012 and the impact of those changes on commercial property transactions’, whilst 70% admitted they would like to know more.’”

Ian White, Chair, Law Society Property Section comments: “To a large extent this recent research confirms what the profession has always known, namely that our understanding of capital allowances has been sadly lacking. We should take steps to ensure that we are advising our clients fully and properly in these areas and that clients and ourselves as practitioners benefit from ensuring best practice.” However, leaving the evaluation of capital allowances until after the property has changed hands is no longer an option and instead the topic must be dealt with at the pre-contract stage. Failure to do so is likely to lead to difficult discussions at a later stage when it becomes apparent that clients have missed out on a significant tax saving opportunity. What are the commercial implications to my clients if I do nothing? To safeguard the benefits for purchaser and vendor, in practical terms a “fair value” for the fixtures contained within the property must be agreed at the point of sale. Client is purchaser: If the Agreement/CPSE is silent on capital allowances your client is foregoing any rights they have to valuable tax relief. Client is vendor: Failure to establish a fair value for the fixtures within the property prior to sale will result in the forfeit of financial savings for your client and/ or the opportunity to use the available allowances to help negotiate the sale price. Whilst the implications for not giving competent advice are serious, acting in accordance with the new guidelines can be relatively straightforward.

4a. Request full details of which fixtures have been claimed on, the total amount added to the pool, and the current residual value of the claim.

4b. Establish whether or not the seller is eligible to claim. If the seller is a non-taxpaying entity (such as a charity or a fund), the new requirements may not apply.

5a. Negotiate the level of capital allowances to be passed to the buyer.

5b. If the pooling and fixed value requirements apply, it is the purchaser’s interest to enter into capital allowances provisions in the agreement. This will allow the purchaser to enjoy the benefit of the unclaimed capital allowances disposed to them by the seller.

Acting on behalf of the seller 1. Work with the seller, the accountant and the capital allowances specialist to ascertain whether all available allowances have been pooled appropriately. 2. Negotiate the final allocation of allowances - allowances can be retained in full or part by the seller or entirely transferred to the new owner. 3. Respond to section 32 of the CPSE.1. 4. Complete an s198 election notice to reflect the position.

A widely recognised name in the legal world, Jonathan Smithers is senior partner and head of Private Services at CooperBurnett’s, and in 2014 became vice president of The Law Society. Jonathan has been involved in local Law Societies for over 25 years. He was elected president of Tunbridge Wells, Tonbridge & District Law Society in 2002 and president of Kent Law Society in 2007/8. Jonathan joined the Law Society Council in 2007 representing over 2,000 solicitors in the Kent constituency. He has also held positions on the membership board and the Law Society Gazette Editorial Advisory Board. He is the immediate past chair of the Conveyancing and Land Law Committee and was instrumental in setting up the Conveyancing Quality Scheme, first on its project board and then as a member of the technical panel. SMART CLIENTS It’s the Age of the Client. Clients are more informed and more demanding than ever. They’re expecting outstanding service, but there’s a big gap between lawyers’ and clients’ views of the service that firms actually deliver. Most lawyers (80%) believe their service is ‘above average’, but only 40% of the private clients interviewed say service received is at this level. It’s critical for lawyers to better understand what clients need throughout their case. Currently, lawyers have a skewed view of what clients want – a view that doesn’t reflect what

clients told us they’re looking for. For example, ‘Providing regular progress reports’ ranks second on clients’ priorities, but lawyers rate it at tenth.

SMART FIRMS More and more independent lawyers are acknowledging that continued success means they’ll have to revisit many different aspects of the business, from client service to business development planning. Although there’s still resistance to the sorts of changes other service industries have embraced (such as bringing in external consultants and enabling remote working), many firms are redefining their business models as they search out new revenue streams.

The change in work practices and the advent of new technologies have a direct impact on the productivity of legal professionals. This article explores the link between staff efficiency, remote working, and the Cloud.

Solicitors are already checking emails on their tablets and smartphones, although they often lack access to their case files. This limits what they can achieve outside the office or increases work for them in updating their cases when they have access. Cloud-based practice management software overcomes this limitation. DPS cloud practice management makes the main features of practice management software available on any mobile Internet connected device, allowing users to work on files, record time, and see file history wherever they are. Many law firms underperform because they are unable to take advantage of the benefits technology offers. Being a good lawyer also means using the most appropriate tools for completing a task- document management software instead of filing cabinets and digital dictation instead of pen and paper. These tools enhance productivity and make aspects of legal work easier and faster to complete.

Mobile technology takes things further. By allowing users to perform critical aspects of their work remotely such as producing attendance notes whenever needed and automating certain processes (i.e. assigning these notes to the right files) web-based software helps productivity, irrespective of location or time. DIGITAL WORKING FOR THE LEGAL SECTOR The Criminal Justice System (CJS) is going digital; the current paper-based system will be replaced with a cloud-based service, leading to a greater transparency and better communication throughout the legal sector.

With courtrooms going digital in 2016, practitioners need to keep up to date and adopt new technology. Paper is going to be replaced by digital files that will make the CJS faster and more transparent. This change will also enable law firms to reduce their costs, increase productivity and improve their collaboration and customer service. Savings will be made on storage and archiving, stationery, transport, postage, and couriers as files will be stored digitally. With the right solution in place, this new form of storage will also improve data security and disaster recovery. The Ministry of Justice (MoJ) is modernising courtrooms to facilitate the effective use of digital evidence via video-link, accelerating the flow of information while saving money and time. Benefits like quicker ways to present video files as evidence, use of Criminal Justice Secure eMail service (CJSM), ease of sharing documents, and collaborating with third parties will come with this modernisation. Cloud computing is a major player in this process and enables law

firms to make the leap into the new CJS standards. However, law firms need to make sure they choose the right provider who complies with the Data Protection Act 1998 and have clear processes established regarding business continuity (BC) and disaster recovery (DR). The Information Commissioners Office (ICO) is very clear on what to consider when looking for a cloud provider; appropriate data storage treatment and control is a must. All data must be encrypted and only hosted in UK data centres that are not subject to overseas legislation such as the PATRIOT Act or US-EU Safe Harbor. The supplier also needs to be ISO27001 accredited and certified by the CJS to host CJSM. All files stored in a computer, laptop, or other devices need to be securely backed up. The Ministry of Justice states that CJSM can only be accessed by secure WIFI as the user login details could be intercepted in a non-secured WIFI environment. The use of file collaboration services are permitted, but while free services like Dropbox and Google Drive are great for

COSTS BUDGETING REQUIREMENTS POST-JACKSON The Jackson/LASPO reforms introduced a new regime of costs budgeting/management which is seen by the senior judiciary as being “the key to the Jackson Reforms” (Lord Justice Dyson). Prospectively managing the costs of litigation is now an essential skill for litigators to master.

Costs budgeting and management was a key feature of the ‘Jackson Report’ and was embodied in legislation through the Legal Aid, Sentencing, and Punishment of Offenders Act 2012 (commonly known as LASPO). The costs management regime has been described by the current Master of the Rolls, Lord Justice Dyson, as being the ‘key’ to the Jackson reforms. However, assessing and forecasting the likely costs of an action at an early stage in the proceedings does not come naturally to most practitioners and it is taking a considerable amount of time and cost for solicitors to comply with the regime. Assis-

tance from costs practitioners is vital as is submitting on time as accurate a budget as possible. Arguably of even greater importance is the necessity for budgeted costs to be properly monitored in order to ensure that the budget for each phase is not over-run and that fee earners are alerted in time to remedy the situation where possible. Finally, it is sensible (even necessary) to be able to analyse information from previous cases to ensure that future budgeting is carried out as accurately as possible. In his report Lord Justice Jackson said, “Software should be developed which will (a) be used for time recording
