WHAT IS XROSS INVESTMENT? A Private, by invitation only, online Platform linking serious investors with real financial growth opportunities that realize above market returns on physical assets. The Platform hosts two categories of asset opportunities from several regions of the world. These categories are: •

Infrastructure and Public-Private Partnership Projects.

Private assets and Companies.

First category returns are typically high single digit, to double digit, while all second category returns are in the double-digit range on physical assets that are owned and controlled by the prospective member. These physical assets can be real estate, oil fields, commodities, shipping vessels, aircraft, factories... etc. The Platform is linked with US and UK sourcing agents and associates in other countries providing it with these mostly off-market opportunities from around the world. Investment opportunities posted start at $ 50,000 USD and have no upper limit. The unique distinguishing benefit of the Platform is that, prior to posting an opportunity to investor members, each deal is rigorously cross-checked by our associates on the ground for an in-depth due diligence review. All postings from outside our network are reviewed and cross-checked by a reputable independent source, which could be either international accounting firms, CRE professional firms (e.g. Colliers International in the United States) or international banking and financial institutions. Furthermore, full details of the expected investment costs to the prospective member are included in this review along with the net expected return (before tax), allowing the member to make a speedy decision. Qualified prospective members face no fee for joining the Platform. All that is required from a member is to either purchase or post one new deal per year to continue their participation in accessing the Platform.

HOW DOES IT WORK? STEP 1: REGISTER ON THE PLATFORM Our “Application Pack” explains the process and provides clear, step-by-step guidance. Interested prospective members can join the Platform by sending their details to our nominated law firm in the UK to undergo due diligence, proof and source of funds, and security and money laundering clearance. All information is kept private with the law firm and is not passed on to the Platform. Once a prospective member is cleared, an invitation code is sent to access the Xross Investment Platform. Our “Welcome Pack” explains how to access and use the Platform and, of course, our staff are available to assist with any issues.

STEP 2: FIND AN OPPORTUNITY Platform members can search posted opportunities based upon the category or within a specific country. Each posted opportunity is independently evaluated by either an associate, international bank, international accounting firm or other approved entity to assure members that the deals are genuine. In addition, a full breakdown of the opportunity cost is provided to allow members to know exactly how much the investment will cost.

STEP 3: PURCHASE AN OPPORTUNITY When a member wishes to proceed with purchasing an opportunity, this is initiated by clicking the “Lock the Deal” button on the Platform. This will automatically notify both Xross and its UK law firm of the offer to purchase. The UK law firm will then act in a facilitation role and liaise between seller, buyer and, where necessary, Xross. The exact facilitation actions for any given transaction will depend upon the nature of the asset or opportunity and the relevant jurisdiction but will include, in all cases, details of the escrow account where the purchase price, commission and any administration fees must be deposited in advance of completion of the transaction. Our UK law firm will not be providing legal advice to either seller or buyer in this role. On completion, and on agreed terms, the UK law firm will release funds from the escrow to the seller (purchase price) and Xross Investment (commission).

WHAT MERGER AND ACQUISITIONS CHALLENGES DOES THE PLATFORM ADDRESS? The Xross Investment Platform solves three serious issues facing any member, whether the buyer or the seller of an asset: namely the time associated with screening and closing a deal, the authenticity of the deal and exposure to global audience.

The idea behind the Platform was initiated as the result of personal and client experience, mainly by family offices, in trying to improve efficiency in screening the many opportunities that come to them, thus ensuring they spend time only on serious opportunities. The Platform resolves these issues successfully. It also creates, for the first time, a marketplace to post any independently evaluated physical asset to a global audience of members who are pre-screened to ensure they are serious and genuine potential buyers. Members selling through the Platform can monitor the numbers viewing the opportunity and will be approached only by genuine potential buyers, who have accepted the terms of sale and deposited, in our approved UK law firm’s escrow account, part or all of the purchase amount (depending on the type of asset). Thus, the seller will not waste time with prospective buyers who are not serious about the transaction. This is what the Platform eliminates by providing to the buyer comprehensive information about the deal and a full breakdown of the cost of acquisition: this allows the buyer to do his own due diligence before locking-in the deal and proceeding with the purchase. The third challenge addressed by the Platform is the global exposure of physical asset investment opportunities beyond traditional methods and local markets. For example, if a manufacturer suffers the cancellation of order that is already partially or fully manufactured then, using the Platform, the finished product can be posted on the Platform for sale worldwide instead of just using the local market. Infrastructure and Public Private Projects is another sector of physical assets that can benefit by using the Platform to introduce projects to a global audience. Among the services offered under the Platform as part of the consulting facility is the packaging of infrastructure projects and public private partnerships to make them more appealing to international investors. Such global exposure will allow members to be aware of projects available globally, including, in particular, the USA where we have strong connections with numerous states and are working with them to package several projects.

WHAT OTHER SERVICES DOES THE PLATFORM PROVIDE? Xross Investment provides the following services to members of the Platform:

“Posting”: allowing members to post their own physical assets opportunities; All members and Xross Investment Associates can post any type of physical asset opportunity subject to the requirement of independent evaluation from a reputable international body (such as international banks, accounting firms, etc.). Before an opportunity is posted, the Platform posting form must be completed and Xross Investment will then work with the member to ensure the posting is prepared in accordance with the requirements and standards of the Platform.

“Find me”: a search service for opportunities that may be of interest to a member and currently not posted on the Platform;

This service operates on a “success-only” basis: if Xross Investment fails to find suitable opportunities within a maximum of 12 weeks, the fee will be returned. Members wishing to use this service submit a service request form and Xross Investment will reply with its fee quotation (minimum 10,000 USD).

3. “Consulting”: provides management and setup services for opportunities posted on the Platform through Xross Investment associates.

This consulting service is divided into three different categories:

a. Posting Service: This is an optional service where members can ask Xross Investment arrange for independent evaluation of opportunities on their behalf. This allows members to access our discounted rates with international evaluation companies.

b. Packaging Services: This service is primarily for Infrastructure and Public Private Partnership opportunities and involves Xross Investment and its Associates working with government entities, state officials, etc. to package their current projects in a format that will attract global Investors.

c.

Asset Management: This is an optional service that members can take up in their discretion. The majority of posted opportunities are capable of being managed by one of Xross Investment’s affiliated entities or Associates. Each posted opportunity will include a “management cost” which is the estimated fee for this Asset Management service.

The Xross Investment Platform is the first of its kind covering all types of physical assets. There are no membership or access fees: the only requirement is an Initial Fee (to cover application due diligence) of 3,200 USD paid direct to our nominated law firm in the UK. Once cleared for membership, the access code is provided and the new member can start using the Platform. Most opportunities on offer are ‘off market’ deals with higher than market returns. Data integrity is enhanced by the fact that no member information is kept on the Platform: all such information is secured offline with our nominated law firm in the UK and subject to professional conduct rules in relation to confidentiality. Hence, should the Platform be hacked, member data is not at risk. Our site is managed 24/7, is secured and has a disaster recovery plan for restoration of the site if needed at any time.

The fact sheet is a powerful tool that assists members in deciding quickly if they are interested in an opportunity or not. This is an actual post on the Platform and shows the full details, market analysis and projections provided by the developer and also independently evaluated in accordance with Platform standard operating procedures. Furthermore, in this type of opportunity, the Platform will facilitate face-to-face meetings between parties to negotiate the joint venture final details. 7. XROSS INVESTMENT DIRECTORS Dr. Naim Al-Jabari (CEO) Dr. Al Jabari holds a PhD from Heriot Watt University Petroleum Institute, Scotland, UK. His research resulted in two patents in core analysis domain. He worked in various companies holding different positions in research, business development, petrophysics and asset management for over 18 years. He formed Xross Technology in January 2015 to provide real reservoir solutions to oil and service companies. Most recently, he participated in starting new ventures in Oil field asset farming, brokerage, agriculture, mining, renewable energy, water treatment and waste management. The brokerage business success led to starting Xross Investment in January 2018 as the first global platform linking investors to double digit return opportunities in physical assets. Backed by successful family business as local agents in the UAE for over 20 years, Dr. Al Jabari has access to a large business network both in UAE and other GCC countries to support companies penetrating the GCC market mainly in the Oil and Gas sector. The family business has represented American and European companies such as IHS, Baker Atlas, GearHeart, Camco, Infoterra, AEA, SAI and ASTM. In July 2018, Dr. Al Jabari was one of the founders of US-UAE Investment Committee launched in association with the AmCham in Abu Dhabi-Dubai and the US Embassy in UAE Commercial Division to promote investment opportunities in USA. Our first major event will be during the Arab Health Conference in February 2019. Dr. Al Jabari holds various patents, technical awards and technical publications.

Mr. Dave Bowen (General Manager) Dave is the General Manager and a Director of Xross Technology. He has over 40 years’ experience in Corporate management, specializing in Managing Change in multi-cultural and multi-ethnic workplaces within the service sector. He is a recognized mentor and teacher in petrophysics and formation evaluation in both industry and academia, while specializing in Managing Change in multi-cultural and multi-ethnic workplaces within the service sector. For over 10 years, he researched and developed courses in petrophysics and formation evaluation on the two Masters’ degree programs at the Department (now Institute) of Petroleum Engineering, Heriot Watt University in Scotland. Before moving to Heriot Watt, he was at Edinburgh University for 2 years and the previous 16 years he was both a Director and General Manager, and a specialist in petrophysics and formation evaluation in the service sector. During this time, he worked on integrated solutions in the United States, Middle East and Far East, and acted as a facilitator for courses covering petrophysics, log analysis and special core analysis in academic, industrial and corporate environments. Towards the end of this time, he became the Quality Management champion and facilitator Asia-Pacific Dave was the Royal Society of Edinburgh and Scottish Enterprise Fellow in Oil and Gas in 1999 and has authored more than 16 international papers, and holds three patents. He served as a technical editor for the SPE and on the program committee for the Asia-Pacific Oil and Gas Conference 2003 & 2005. He has served on the board of the Abu Dhabi Chapter of the SPWLA and was Regional Director, South East Asia, for the Society of Core Analysts Division of the SPWLA. He was the founding first President of the Formation Evaluation Society of Indonesia. He has also been an accredited instructor in the NExT consortium since its inception, providing courses in Log Analysis and Formation Evaluation. Between 2002 and 2016 he continued to lecture for Heriot Watt on their distance learning program and at overseas campuses as an external lecturer.

Mr. Dan O’Donoghue (General Counsel) Mr. O’Donoghue qualified as a Solicitor of the Supreme Court of Judicature of England & Wales in 1985 and has B.A. and M.A. (Honours) Degrees in Law from Queens’ College, Cambridge University. Dan has over 33 years’ experience of legal practice, the vast majority of which has involved commercial and business matters with an international flavour. He has enjoyed a varied career spanning private practice in London, managing an overseas law office in Cairo, Egypt, inhouse with Glynwed International plc, Eaton Corporation Inc., Brown & Root and BG plc, and running his own consultancy and, most recently, his own law firm. With BG plc he served as Legal Counsel for all Eastern Mediterranean operations with responsibility for projects involving over $3 billion capital investment and was the lead lawyer / negotiator for the unprecedented $1.6 billion Egypt LNG Project, dealing with the matter from concept through to financial close and assisting the Egyptian Government in the re-drafting of their Gas Export Law. Dan has gained experience in a wide variety of industries and projects in many countries including the automotive, aerospace and controls industry, heavy manufacturing, building, construction & civil engineering (both general and oil-related), banking & finance, pharmaceuticals, personal products, chemicals, power generation, mining, shipping, tourism and, of course, extensive experience in oil, gas & LNG (upstream, mid-stream and downstream). Dan’s legal experience covers a broad range of corporate/commercial work including mergers & acquisitions, joint ventures, oil, gas & LNG contracting, building & construction, banking & finance, taxation & double taxation, agency & distributorship, intellectual property (including licensing), employment law, maritime law and even some exposure to commercial real estate and commercial litigation. Dan also held the post of Visiting Professor of International Business Law at Cairo University (part-time) and has contributed articles on international legal matters to a variety of publications including the FTSE Emerging Markets Journal and Bloomberg European Business Law Review.

Mr. Yasir Al Jabari (Director of Administration & Procurement) Mr. Yasir Al Jabari has over 18 years’ experience in business administration and office management. He has worked closely with several international companies such as IHS Global & Infoterra Remote Sensing. He successfully supported them to establish an office in UAE and helped them to increase their market share. He had to go through the full process with these companies starting from finding opportunities through to fully having a presence in UAE and in the region. A graduate of Ajman University, UAE, in Electronics Engineering, Yasir earned an MBA with one of the top ranked universities in strategy formation: Strathclyde Business School of the University of Strathclyde in Glasgow, Scotland. His MBA program was sponsored by a local company in return for solving their real case challenges. After that Yasir worked closely with several VIP governmental individuals in the manufacturing and education sector, supporting them in both the administration and the operational sides. He successfully enhanced the efficiency of several departments by building clear work processes, deploying correct IT tools & software. Yasir has developed the IT infrastructure for several companies including Xross Technology and Xross Investment. His wide experience includes HR, IT, procurement, business development, strategy formation and staff training.

9. FREQUENT QUESTIONS When was Xross Investment established? Xross Investment was established in January 2018 but did not open to the public until the third quarter of 2018 to secure sourcing contracts, ensure investor interest, build and test the Platform application and participate in several international events to increase awareness of the Platform.

What is the source of opportunities posted on the Platform? Xross Investment has a large network of brokers and associates who post opportunities in the Platform. Members are another source of opportunities posted as all members can buy and sell any physical asset. Most recently, several banks and repossession firms have expressed interest in posting distressed assets on the Platform.

What is the current Platform membership and purchasing power? The Platform opened officially for membership applications in Q3 of 2018. Throughout the year, we have been inviting potential members to state if they are interested in joining or not. So far, we have not met any potential member who did not express interest in joining the Platform. The current estimate of potential members who have expressed interest exceeds 1,000 in number and offers available purchasing power of more than 1 billion USD. This does not include sovereign funds, pension funds and other large institutions (Banks, International Private Equity Funds) who we are yet to invite.

What type of opportunities are posted on the Platform? We post all types of opportunities relating to physical assets. These can be divided into two main categories: firstly, Infrastructure and Public Private Partnership opportunities and secondly private assets and companies. These opportunities can be at one of the following stages from the revenue perspective:repossession firms have expressed interest in posting distressed assets on the Platform.

ash-flowing without any additional investment to operate or upgrade the C asset(s); Cash-flowing but requiring additional investment to improve operations; Joint Venture, where the posting member owns the opportunity and has all required permissions and requires a partner or partners to join development efforts in return for equity.

Opportunities can be also classified as fixed price or negotiable. Typically, real estate and commodities opportunities are fixed price and hence the exchange of ownership is straightforward. In the cases of company acquisition, infrastructure, public private partnership and other large projects, negotiation is required. This is facilitated by Xross Investment only after the applicable commission (as a minimum) plus any break-up fee the seller might request has been deposited in the escrow account of our nominated UK law firm.

What are the opportunities you do not post on the Platform? We do not post start-ups, fund-raising or any project that the poster does not own (or otherwise have the right to sell) or projects that do not have all necessary permits to start a development project of any type on Joint Venture bases against equity.

Do opportunities have to be exclusive to Platform? No, we do not require opportunities to be exclusively posted with us. All that is required is for the posted opportunity to meet the Platform’s requirement for independent evaluation and the pay the posting fee (if any). What is the commission you charge? Our commission depends on the asset type but is typically 5% and increases with ROI (Return on Investment) to 10% if ROI is above 20%. We do not take any carry-over or share in revenue: just a one-off commission.
