hether it is recruitment software, IT, telephony, back office services or finance, the modern day recruiter relies heavily on third-party suppliers. But what happens when things goes wrong, and a third-party service provider fails to deliver to the standards expected or contractually agreed? While it might be tempting to pull the plug on your telephony services provider when your telephone system goes down, or to drop your IT provider when they don’t provide the levels of technical support you expect, with all the resultant disruption to your business, in reality this is easier said than done. Indeed, doing so precipitately and in an unplanned way could have significant consequences for your business.

Based on interviews with owners of recruitment businesses, in-house recruitment professionals and experienced business consultants working in the recruitment sector, here are some top tips and practical advice on what to do when faced with such a scenario, and how to avoid getting to this stage in the first place.
Nip problems in the bud Measuring the performance of your suppliers is the starting point for highlighting any problems or issues, and dealing with them before they become more serious. Decide what key performance indicators (KPIs) you are going to use to measure their performance be they cost-related or qualityrelated, or a mixture. Hold regular meetings with your suppliers and initiate quarterly service reviews, and carry out more formal contract reviews on a regular basis. Ensure these commitments and service levels are clearly set out in the contact. Before bringing a problem to the attention of a supplier, make sure you prepare the ground first. Rather than reacting on an emotional level, get the data so you are clear precisely where their performance is falling down.
Communicate your worries with the supplier Meet with the supplier to tell them of your dissatisfaction, and to ascertain their willingness and capacity to improve their service. If the problem persists, escalate the process up the management chain, making sure you document each meeting, what was said and agreed. This will help you if you later need to justify, perhaps in court, why you terminated the agreement, and that you gave the supplier every opportunity to rectify the situation. Escalating the process is not necessarily a bad thing. Most suppliers won’t want to lose your business, and this may be the catalyst for them to raise their game and to bring in extra resource, new ideas and people.
Give the supplier time to show they have changed Improved levels of service are unlikely to happen overnight, so give the existing suppler a realistic timeframe to demonstrate that they have changed their ways. If it is a recruitment process outsourcing (RPO) contract it may take as long as six months to establish any clear improvement in KPIs. For large contracts, it could be up to a year. If by the end of this period a supplier’s performance has not improved sufficiently, you are fully justified in ending the agreement, in the knowledge that you gave them every chance.
Follow the correct process If you do decide to terminate an agreement with a supplier before the agreement is contractually due to end, don’t just jump in and terminate it without careful consideration. Not following the correct

where they have lost interest in you as a customer or where their performance is affecting your customers in a negative way, say, when your contractors don’t get paid on time, or when a supplier becomes a liability and damages your brand and reputation.
Bring in the lawyers process laid out in a supplier agreement can result in heavy financial penalties where that contract is terminated early. It is also risks destroying the relationship with the supplier. Check the contract carefully to establish when it ends. If it is due to end in a few weeks or months it may be worth sticking with the existing supplier to avoid all the hassle involved in terminating an agreement early. Be sure to stick strictly to the notice period laid out in the agreement. If you intend to terminate an agreement for breach of service levels, make sure you are clear about precisely what aspect of the service agreement you are triggering. Failure to adhere to the fine print of the agreement could land you in legal hot water, and even lead to retaliatory legal action. If unsure, seek legal advice.
If an amicable agreement to end a contract can’t be reached, and you are finding it difficult to extricate yourself from a contract, it may be time to bring in the lawyers. They should be able to help you reach a settlement with the supplier, for example, where the supplier claims damages for early termination, or denies they breached the terms of their contract. However, if you decide to go down the legal route don’t forget about the considerable legal costs involved, which may sometimes exceed the amount in dispute.
Know when to walk away Sometimes it is better to walk away from an existing supplier as soon as is practical, even if it means some business disruption and financial penalties. Decide what your red lines are for your suppliers, and make sure they know where they stand. This could be malpractice by the supplier,

Have a replacement supplier ready Before serving notice to an existing supplier that you intend to terminate the agreement, make sure you have a replacement supplier lined up. This avoids the risk of upsetting the relationship with the incumbent supplier before you have a new supplier on board. As part of the formal tender process ask those tendering for your business to provide a plan on how to manage the transition between the incumbent’s and their own service. Don’t underestimate the time needed to find an alternative supplier. It could easily take six months to line up a new back office provider. Check for any provisions in the existing agreement that require the incumbent supplier to assist with the transition to a new supplier.
Plan for the worst-case scenario If you don’t have a replacement supplier ready, have some sort of contingency plan to cover the period between the incumbent supplier leaving and a new permanent replacement coming in. This could include making amendments to your business continuity plan, and being particularly hot on backing up your data properly so that you can continue to function even if the worst happens and the incumbent supplier can no longer deliver even the most basic service. Could staff work from home, for example?

Better the devil you know? Don’t underestimate the costs and practical difficulties of extricating yourself from a supplier relationship, especially a long-standing one. Should you decide to terminate an agreement with an existing supplier, ask yourself how well prepared you are to deal with the considerable upheaval and the inevitable hassle involved. Are you willing and able to devote the considerable amount of staff and management time to disentangling yourself from a supplier and to finding and transitioning to another? The amount of change management required can be considerable, especially where vendor management systems, outsourcing arrangements, managed service
providers (MSPs) and applicant tracking systems (ATSs) are involved. Weigh up whether managing the supplier to help them improve their performance might not be a better option. Another factor to consider is that under the UK’s TUPE (Transfer of Undertakings) regulations, poorly-performing employees, who may be the reason for terminating a contract, could have the right to automatically transfer to the new service provider.
Don’t play the blame game It is tempting to blame a supplier whenever there is a problem with a third-party outsourced service. But, especially if this happens on a regular basis, ask yourself whether you could be contributing to the problem. Are you devoting enough time and effort to establishing and maintaining relationships with your suppliers? Do you take a legalistic, procurement-driven approach or are you prepared to work hard to build meaningful business partnerships? If you fail to set out precisely what you expect from a supplier, and you don’t communicate your concerns to them about their performance when they arise, is it right to expect them to be solely responsible and wholly accountable when things go wrong?
