ORDERS: Opening Orders: To maintain current account status, the annual re-buy minimum is requested in a 12 month period, excluding orders placed by you for your bridal clients. $1,500 for domestic store front and e-commerce boutiques, and for overseas store front boutiques. $2,000 for overseas e-commerce boutiques.
New Collections: We introduce new designs on an ongoing basis and showcase new collections at market in New York annually in the fall. Account Status and Reorders: To maintain current account status, the annual stock re-buy minimum is required (see above). This is applicable to both store front and e-commerce boutiques. Stock re-buy excludes orders placed for brides. Without maintaining current account status, clients listing on our Justine M Couture website will be removed and no formal or informal trunk shows are permitted. Permission to re-order existing stock for a period of 1 year after no longer holding current account status is allowed; after 1 year no reorders can be placed for older stocked items without first reinstating current account status by reordering minimum stock. Stock must be paid for and ship before bridal reorders can be shipped. Turn round times and delivery: Standard delivery is between 2 and 9 weeks from order date. Larger stock orders may take slightly more production time. Where possible we always ship purchase orders for customers to arrive at least 30 days prior to the wear date. These lead times do not include shipping. Order Confirmations: Please note we do not take “verbal” orders over the telephone or text. Even if you do give us a verbal order, we will always require that orders are sent via an emailed invoice. If you do not receive an order confirmation within 7 business days, it means we did not receive your order. Please call us to resubmit/confirm. We reserve the right to assume you have checked and confirmed all order confirmations irrespective of whether you confirm this via email or phone. Any order that is not reconfirmed by the retailer and has any errors, is the responsibility of the retailer. We encourage you to always double check your confirmation receipts from Justine M Couture and notify us within 7 days of any changes or errors, we require that rush orders are checked immediately and any errors reported within 24 hours. We will resend the amended order confirmations via email. Incorrect orders whereby Justine M Couture was not notified of the error, are the responsibility of the retailer and full price will be charged for the replacement. We are unable to buy back any standard line or custom designed item incorrectly ordered. Rush Orders: We are able to produce time-sensitive orders for some items. Please fax your order to us marked “urgent” with the due date and please follow up this order with a phone call so you can be sure that it was received. Rush orders on embroidered veils need to be discussed in person – the minimum time including rushes for embroidered veils and some embroidered sashes in 5 weeks, unless we have that sample in stock.

PAYMENTS AND FEES: Payments: All orders must be paid for in advance of shipment with a 50% non-refundable deposit taken at time of placing initial stock orders for new accounts. Payment in full is taken for accounts where shipment of stock is required within 30 to 45 days. We accept visa, MasterCard, Amex, Discover and business checks. For overseas customers, wire transfer options are available. Rush Fees: If the item and components are in stock, we do not charge a rush fee for anything under 10 business days of required ship date, but note that shipping may have to be expedited at the expense of the retailer. Orders requiring shipping in 10 business days or less may be subject to up to $50 rush fee, if we can fill the order. Returned Checks: A $25 non-refundable charge is required for all returned checks sent to prepay orders. A credit card on file may be charged without notice for the check amount plus all related charges. If there is no credit card on file, customer must send a certified check or money order or furnish a credit card to pay all amounts due. No orders will ship until account is paid in full. All subsequent orders will require payment by credit card. Collections: Any charge back via credit card or unpaid bill/invoice is considered a past due account. Past due accounts may be placed into collections at any time. Customers will be responsible for any bank, legal and/or collection fees in addition to the past due amounts. All legal fees incurred by Justine M Couture while trying to attain overdue payment to be borne by the customer/retailer. Un-stocked Sample Request - Loaner Fees: If you need a sample of one of our products that you do not currently stock, we can send one to you for a nonrefundable fee of $40. If you choose to purchase the item, then this fee will be deducted from the final invoice. All shipping and insurance charges to and from the store will be the responsibility of the retailer and items must be returned to Justine M Couture within 2 weeks of receipt. Any item may be borrowed for a maximum of 3 times before it must be purchased. Please check with us as to whether you can sell the loaner out of stock if your client needs it urgently.
SHIPPING: Shipping fees: Retailer pays all shipping fees. We require all retailers to have a UPS or Fed Ex account so we can use this for all shipments. For retailers who do not wish to have a UPS or Fed Ex account on file, please note our shipping fees for use of our shipping account - the minimum cost for UPS Ground with insurance being about $20 to $22 standard for a 1 lb box. We will keep retailers UPS/Fed Ex number on file. Balances on orders are due prior to shipping. Shipping is standard UPS ground with insurance. Expedited shipping is Overnight, Second Day air or 3 Day, which will be noted on invoice when necessary for rush orders or when requested.

SHIPPING CONTINUED International Shipping including Canada: Please note that we prefer to hold clients UPS account numbers and use these for all international shipments. USPS can be used and that expense will be charged to clients’ credit card on file. Note that a minimum order of $500 per shipment must be reached to ship via USPS as this process of shipment takes significant time to process outside of our office at the post office for international shipments. We are unable to ship single item shipments under $500 using USPS without an additional $45 handling fee per shipment. USPS is only shipped from our office once a week, so please check with us for orders containing a rush.
Freight and Insurance: Rates are based on the wholesale value of the shipments content and current, applicable carrier rates. Any surcharges including change of, incorrect or residential address and/or refused or undeliverable package, are the sole responsibility of the customer. Please note that weekend and holiday shipments will be delivered the next business day. Residential Address Deliveries: We will request “signature required” for all packages sent to a residential address, no exceptions. This classification may even apply if there is a business operating out of a residential address. Justine M Couture will not be responsible for any deliveries which are not made or received due to lack of signature. Drop Shipments: Drop shipments directly to your clients must be requested in writing with full address details. Drop-ship fee is $5 in addition to regular shipping, signature required fee and insurance fees, borne by the retailer. All packages will be marked for signature irrespective of residential or commercial address. Please note we only offer drop shipments within the continental U.S. excluding U.S. territories and Canada. Freight charges for any returns of drop-shipped items shall be the customer’s responsibility. Return address will also be noted as the customer and not Justine M Couture. Dispute of duty and other import taxes are the responsibility of the receiver/retailer, and we will refer the receiver to the retailer should a dispute occur. Expedited turnaround times can be assessed on an individual basis for drop-ship clients offering our products online. It is the client’s responsibility and it is imperative to follow up on all drop shipments with their customers and missing, lost or damaged shipments where the customer has not verified delivery are not the responsibility of Justine M Couture – we will try to refill any lost or stolen shipments at the cost of the customer.
Orders shipped outside of the US: Justine M Couture will not be responsible for any charges relating to these shipments including but not limited to duties or customs. Freight Credit: Please report any shipping or invoice errors or any damaged merchandise within 7 days of receipt. After that, no claims or returns will be allowed for shipping fee reimbursement. Reimbursement credit will be limited to actual UPS/carrier published rates for non-expedited merchandise. Please keep the original shipping box/packaging that is damaged as images may be requested for reimbursement purposes. We may require a photograph of the damaged shipment. We are typically unable to make a claim for damaged shipments where the original container/box has been disregarded.

RETURNS: General: We make every product to order and for this reason refunds, credits and returns are not permitted. A purchase order with a long lead time whereupon the product may have not yet been put into production, may qualify for cancellation at our discretion. We are unable to cancel purchase orders with a lead time of under 3 months. Health & Safety: No returns are permitted on merchandise that has been worn. Manufacturers Defects: We pride ourselves on creating flawless merchandise, however, occasionally damages and defects occur. Please let us know if you find a problem with an item within 7 days of receipt, we will immediately repair and return it to you free of shipping charges. Only when an item cannot be repaired or replaced, will a credit be issued. Justine M Couture has sole discretion as to whether an item is returnable for replacement or repair for requests made after 7 days of receipt of the merchandise. If the return is accepted after this time period, there will be an additional fee for replacements and/or repairs and any allowable credit may be reduced by up to 50%. Please note: defective products must be returned to Justine M Couture in order to be replaced. Defective Purchase Orders: Please check all incoming orders for defects and have your customers sign a disclaimer for pick up. We reserve the right to not replace product that has left your location and has been taken by the consumer for wear and/or during “pick up and try on� by client at the bridal boutique. Shipping Order Corrections: Product returned for repair or replacement will be shipped, where possible, within 7 days of receipt. If your return is time-sensitive, please alert us by phone or fax. Unless expressly reported to be a rush, order corrections will ship with your next order. It is imperative that all shipments be checked in within 7 business days for standard orders, and immediately checked in for all for all rush order shipments. For shipments whereupon an order has not been checked in within this time frame, and needs replacing, even if the error occurred by Justine M Couture this will be considered a new order and full price will be charged: It is essential that orders be checked in thoroughly at the time of shipment receipt, rather than when the customer comes to pick up their order from the boutique in order to provide a possible replacement for your customers for time-sensitive orders.
PRICING OUR PRODUCTS: Product Mark Up: A minimum of X2.5 is applicable on all products. We recommend a mark-up of X2.5 as standard on all accessories and anywhere from X2.5 to X 4 on veiling. We will supply you with suggestion mark-up pricing for all items.

PRICING OUR PRODUCTS CONTINUED: Discounting our product policy: Please note discounts can be applied as long as the retail price does not fall below X2 of wholesale cost, on any given item, including during a trunk show. We do not allow discounts or sale pricing for our current line to be listed on any e-commerce site. See contract for e-commerce sales. Items listed at a sale price (below X2.5) can only apply to officially discontinued items. A new updated price list for both veils and accessories is issued annually May 1st – any problem not listed on these price lists is considered discontinued. Discounted product can only be listed on e-commerce sites for a period of 3 months then must be removed from sale completely. The description of each product listed on line for close-out sale must clearly state that it is an official Justine M Couture discontinued product. Store front boutiques are welcome to sell out of stock any store floor sample at a discounted rate only if it is made clear that the item is being sold “as is” and is a floor sample. Selling on ETSY, EBAY, Amazon & other online sites: We reserve the right to sell any discontinued or close-out items through any means we see fit including online, such as on ETSY, EBAY, Amazon or our Justine M Couture website or direct to the customer. We do not authorize any retail boutique or e-commerce boutique to sell our products on these or any other website other than their own (see contract for e-commerce). E-commerce boutiques must be authorized to sell Justine M Couture in writing and have signed and agreed to our e-commerce contract. Authorization will be revoked for the selling of Justine M Couture current products at any discounted or sale price below the X2.5 mark up, immediately and product image usage and product listing will be revoked Trunk Show Discounts: Trunk Show Discounts are acceptable. All discounts are borne by the retailer. Discounts can be applied as long as the retail price does not fall below X 2.2 of the wholesale cost of any given item. Dress credit from other client (retailer) promotions cannot be applied to the purchase of Justine M Couture products.
REPRESENTATION AND COPYRIGHT: Representation: Approved representation of Justine M Couture products is required when selling our products at a retail location and online. Discounting our products is only authorized by written request, and written permission from Justine M Couture. Selling our current product line on discounted websites including EBAY and/or on retailers own e-commerce site is not permitted. Social Media: You are obligated to share with your clients on face book, Instagram, twitter and all other social media sites all tagged Justine M Couture posts including cross-promotional purposes. Only Justine M Couture watermarked images are authorized to be posted by retailer.

Use of Images: Use of Justine M Couture images is only permitted by written authorization and retailer/user must receive the following authorizations from Justine M Couture to ensure the integrity of our product and company is maintained: • Final sign off on use of images in advertising campaigns prior to publication. • Correct photo credit as requested by Justine M Couture. • Notice of which publications the image(s) will be used for. • Every new publication/usage will require new written confirmation of usage from Justine M Couture. • All images for use on e-commerce websites require Justine M Couture approval. • All reshooting of Justine M Couture requires final authorization of use by Justine M Couture INCLUDING FOR E-COMMERCE USEAGE (see e-commerce contract). • ONLY authentic Justine M Couture watermarked images are permitted for use. Under no circumstances can Justine M Couture images be used to promote “Sale Pages” on e-commerce websites, or for similar practices – images can only be used to sell that specific product on the specific product page pertaining to that product image.
BENEFITS: Advertising: Retailers who purchase our products consistently on an annual basis and that meet our buy-in requirements are considered current-account holders and will be listed on our website, blog and advertising programs. We only list accounts that have purchased our collections within 12 months on our website to encourage brides to seek out retailers that have our newest and best-selling products. TRUNK SHOWS: Formal Trunk Shows (Justine M Couture representative present): Current account holders with a minimum annual stock buy-in of $5,000 (new stock product – not reorders for brides) qualify for formal and informal trunk shows annually as benefits both parties. Our trunk show policy is available upon request and must be signed in advance of show date confirmations. Informal Trunk Shows: Current account holders with a minimum annual stock buy-in of $3,000 (new stock product – not reorders for brides), qualify for informal trunk (but not formal) shows annually as benefits both parties. Informal trunk show samples contain a good selection of 30 pieces combining all divisions (accessories and veils). The retailer is responsible for all shipping and insurance costs for onward shipping. Our trunk show policy is available upon request and must be signed in advance of show date confirmations. Exclusivity and Flagship Status: We find that many of our retailers choose to carry our line exclusively as our pricing, customer service and product range is excellent. Retailers who offer our line exclusivity receive the following benefits. Annual stock orders of over $3,500: “Specialized Retailer Status”: • Two designer and/or Justine M Couture representative-present trunk shows annually. • Placement on our website store locator listing as a “specialized retailer”.

Annual stock orders over $7,500: “Flagship status”. Flagship status is a great way to ensure specific exclusivity of the Justine M Couture brand placement in your area. Factors relevant to establish specific exclusivity catchment zones are discussed on an individual basis are based for example on your store location, sounding competing stores and area demographic. Please call us to establish whether Flagship status is available in your location. Flagship status also qualifies for the following additional benefits: • Four trunk shows annually including 2 designer-present shows and 2 either designer or Justine M Couture representative present shows with additional training on product line and selling accessories and veiling. • Flagship status on website with primary placement. • First to receive new products and seasonal products upon purchase. • Additional benefits to be discussed upon Flagship enquiry.

The following details come as standard in our collections: HARDWARE AND METALS: All of our veils and hair accessories are sampled with high quality tarnish proof metal combs, alligator clips and hair pins. Our jewelry findings (clasps, chain, snaps, links, earring components) are all TARNISH PROOF ARGENTIUM Sterling silver which is of equal quality to rhodium plate. Our gold jewelry findings are 24 carat gold fill. All metals are tarnish proof. TULLE: The highest quality illusion, English net and French net tulles are procured for all veiling in bright white, diamond white, candlelight and ivory. Custom colors available upon request. VEILING: Most veils can be ordered with fine, medium or full gather on the comb or with no gather. Our complimentary book of swatches ships with your initial stock order and details color swatches for tulles, laces, embellishments and trim colors and styles. Our Signature Collection of veils is fully customizable with different trims and embellishments, see our A La Carte Menu under the Retailer section of our website. CUSTOMIZATIONS: We are happy to customize our products to your client’s requests. Our website showcases all of our products with pictures of alternative color options.
