Welcome to the July 2013 Newsletter for clients of Voyager Software In this edition, you’ll be able to read what’s new at Voyager from a product and staff perspective – including new product updates and additional hires. With the strongest range of products in its history, Voyager continues to grow and we’re continually investing heavily in new and existing products to make sure we and our valued clients remain at the forefront of our markets. You’ll find out about the recent acquisition of FCP Internet, the providers of evolveTM, and Dillistone Group’s CEO goes further on this subject explaining the wider group strategy in the recruitment software market, although existing Voyager clients should rest assured this is not going to impact the products and services we currently provide. We’ve also teamed up with Dillistone Systems and Search-Consult.com to offer preferential customer rates on the European Executive Search Congress in London this November and on the enlightening Internet Research Techniques courses – something all recruiters can benefit from, not just Executive Search consultants. And finally, Voyager has 2 teams of people entering the Virgin London Triathlon at the end of July and all support would be gratefully received in aid of the NSPCC. What’s New at Voyager Product Update

We are pleased that Infinity, Voyager’s latest product for the permanent & contract recruitment market, continues to attract the interest of new and existing customers alike. Infinity v1.2 was released in May and it now includes User and Team Dashboards. Interest has been strong so it does mean that currently our projects team do have a very full diary of migrations from our Professional customers and hence we’d like to ask all customers to allow a little more time when contemplating their own migration – but to reiterate, Voyager Professional continues to be fully supported and customers are under no pressure to migrate to Infinity. Other product updates have included some improvements & enhancements to VDQ and the imminent release of Mid-Office v4.2, as well as updates for Professional & Commercial.

New Hires

Voyager is in a period of growth and to support the increased interest in our products and the number of implementations under way, for both new and existing customers, we’ve been strengthening the teams. Recent hires include a new Development Manager, a new team leader in Project Management, a new Developer, 2 new members in the support team and a new Finance Administrator.

Acquisition of FCP Internet, Supplier of evolve™ Recruitment Software

As some customers may have seen in the stock market and/or industry press, this week Dillistone Group Plc (DSG), the parent company of Voyager Software, has announced the acquisition of FCP Internet, the suppliers of the Evolve recruitment system (www.evolvedb.co.uk). Our Group CEO explains more on the next page of this newsletter, but we would like to reassure our existing Voyager customers that this is not going to impact the services we currently provide. The FCP Internet business itself has been acquired, along with its operational staff. The Evolve platform will continue to be supported and developed for the existing FCP Internet customers.

The London Triathlon is creeping up fast and the two Voyager teams have started to ramp up their training efforts. The Voyager Sprint Team Relay consists of, Simon Warburton Swimming (750m), Greg Pickett – Cycling (20km) and Ian Garrett Running (5km) The Voyager Olympic team Relay consists of Paul Thompson Swimming (1500m), Andy Goddard – Cycling (40km) and John Payne Running (10km) Greg has signed up for the 3 Counties, 50 mile cycle on 7th July in Farnham and would welcome anyone who would like to sponsor him or even join him. Paul Thompson completed his first full Triathlon at Eaton Dorney last weekend and is continuing to improve his fitness levels both cycling and swimming, John Payne is maintaining his momentum following his London Marathon run in April completed in 2.54 and Andy is doing a Triathlon this weekend after spending the previous Bank Holiday weekend competing in his first Iron Man 70.3 event in Austria, so our Athletes are busy, busy, busy! Acquision of FCP Internet, Supplier of evolve™ Recruitment Software Dear Client, As many of you will know by now, Dillistone Group Plc, the London Stock Market (AIM) listed parent of Voyager Software and of Dillistone Systems, announced the acquisition of FCP Internet (suppliers of the SaaS based recruiting system, evolve™) last week. I thought it might be interesting for readers to understand why we did this, and what the implications are for our clients. By way of background; a recent directory listed more than 75 suppliers of recruitment software active in the UK. There are many more in Europe, in the Americas, across Asia and in Australia. Those 75 suppliers are competing for the business of approximately 8,000 UK based recruitment agencies – an average of just 106 clients per firm (which ignores the fact that some of these agencies will have no systems whatsoever). The cost of product development gets higher and higher. Voyager and Dillistone Systems have spent – literally – millions of Pounds on our two flagship products. A market of just 8,000 agencies cannot support 75 suppliers each making this type of investment. Whilst we are certainly not so arrogant as to assume that spending more money automatically equates to having a better product, we do believe that not being able to spend enough money will – over the longer term – mean that smaller suppliers will find it increasingly hard to compete. Our view of the market, therefore, is that consolidation will have to occur and that, sadly, some smaller suppliers may not survive. We believe that we are strongly positioned to be a consolidator. Our group has a client base of over 2,000 firms spread across some 60 countries. We have an exceptionally strong balance sheet – no debt, whatsoever – we are profitable and we are cash generative. Our group is one of the largest suppliers of systems to recruitment firms anywhere in the world. When Dillistone Group acquired Voyager in September 2011, it was assumed that we would follow a strategy of cutting costs, of slashing and of burning. We said that was not the case, and our actions since then have demonstrated the truth in this. Not one person was made redundant (indeed, we are very proud of the fact that Dillistone Group has not made anyone redundant in the seven years since we floated on AIM), and our team at Voyager is now approximately 20% larger than it was on the day of the acquisition. Our strategy for FCP is much the same. Any client who wishes to remain on the evolve™ platform can do

so for the remainder of this year. And all of next year. And the year after. We will guarantee to support the evolve™ platform for at least three years from the date of the acquisition – probably longer. We will also continue to develop, support and sell the evolve™ product. The 2013 development budget that we inherited will be increased. We will shortly deliver an update to support Windows 8 and IE 10. We will support Windows 8.1 and IE 11, when they become available, and we will do the same for any successors over the next few years. In the longer term, we plan to take the key functionality from evolve™ and the key functionality from Voyager’s Infinity platform, and build it into a combined platform to which all clients will have a simple and highly cost effective upgrade path. To do that, we will be undertaking an extensive series of surveys and webinars, from September onwards, where our aim will be to better understand what matters most to you and where you would most like to see improvement. We’ll then build a plan to deliver on this – frankly, we’ve spent a lot of money on buying FCP and the only way we will make a return on our investment is by ensuring you are happy with what we are doing. We’ll do everything in our power to ensure that that is the case. Of course, in the meantime, we continue to develop and support the Voyager product range – and none of the Voyager development resources will be diverted to FCP.

FCP Internet’s directors – Nick John and Ben Stoneham – are not joining us, but we very much hope that the rest of the FCP team will do so. We will also be crosstraining members of our existing teams to ensure we can provide consistency of service, and will also have an on-going contractual relationship with Nick and Ben which means that they are available to help us out, should we require it. When we acquired Voyager Software we were extremely excited about the opportunity it gave our group. It’s been hard work since then, but the leadership of Simon Warburton and Paul Mather has meant that the business has come on a long way. We are proud of what has been achieved.
