Time to put on your multi-vision deconstruction glasses, dismantle your Picasso face and wrap a shiny silverabstraction around your neck! Embracing the questioning spirit of early modernism, the 2014 BJØRG ODYSSEY collection is inspired by the avant-garde art movements of the time, from early cubism to futurism, dadaism and surrealism. Playing with geometric shapes, lines, negative spaces and deconstruction, the collection absorbs modern ideas of perception and reality. Straight lines and cutout shapes are balanced with circles, balls and surrealistic elements to create a playful and intriguing whole. The BJØRG 2014 collection is based on silver and bronze. All items are plated with 18 karat gold, rosegold or silver.

GENERAL TERMS AND CONDITIONS

Dear customers, Bjorg Design GmbH has as its priority your total satisfaction with our products and services. Please notice that every single item from our catalogue of goods is handmade, unique and individual. We only use high quality stones and other natural raw materials and products. But for this reason please keep in mind that our items can be slightly different in form, shape, colour and weight from the products shown in this catalogue of goods. The offer in any previous catalogue is no longer valid. Please read these terms and conditions carefully before purchasing our goods.

§ 3 Prices and conditions of payment

§ 5 Default in acceptance (“Annahmeverzug”)

(1) Bjorg Design GmbH’s products can only be purchased through Bjorg Design GmbH’s cata-logue of goods and through its official website www.bjorgjewellery.com. The product numbers stated in the catalogue and on the website are exclusive.

In case of default in acceptance Bjorg Design GmbH is entitled to claim any resulting damage including additional expenses.

(2) The statutory VAT (“Umsatzsteuer”) is not included in Bjorg Design GmbH’s prices and shall be borne by the purchaser.

(1) In case the products are delivered by an appropriate carrier according to the table in enclosure 1 Bjorg Design GmbH is obliged to take out an appropriate insurance for the delivery of the products.

(3) In case of overseas delivery the purchaser is obliged to bear the customs duties and further costs incurred by overseas delivery. (4) The purchase price is due and payable within 7 days from the date of the invoice. (5) The purchaser shall be entitled to offset only insofar as the purchaser’s counterclaim is assessed in a legally binding judgement, undisputed or acknowledged in writing.

General terms and conditions § 1 General and Application

6) The costs and fees for transport, handling and invoice depend on the ordered value according to the table shown in enclosure 1.

(1) The following terms and conditions shall apply for all contracts between the purchaser and the Bjorg Design GmbH about the delivery of goods.

§ 4 Delivery

(2) Concerning the repair of Bjorg Design GmbH’s Jewellery or Bjorg Design GmbH’s ser-vices additional rules are recorded in a separate repair and service policy.

(1) The ordered goods will be delivered to the purchaser via normal post or an appropriate carrier, e.g. DHL express. The way of delivery depends on the ordered value according to the table in enclosure 1.

(3) The purchaser’s differing terms and condi-tions shall not apply except if expressly agreed upon in writing in advance.

(2) Bjorg Design GmbH is not obliged to stipu-late a precise date for delivery. The delivery period depends on the availability of the used natural products and raw materials in Bjorg Jewellery. In case Bjorg Design GmbH stipulates a precise date for delivery, this date is not binding unless it is given in writing.

(4) These terms and conditions are not applicable to consumers (“Verbraucher”). § 2 Conclusion and subject matter of contract

(3) In case Bjorg Design GmbH stipulates a precise date for delivery, this delivery period extends adequately in case of incident Bjorg Design GmbH cannot affect, e.g. delivery delays, disruption or industrial dispute practises. Bjorg Design GmbH will not be held liable for late delivery of goods caused by circumstances beyond its reasonable control.

(1) Bjorg Design GmbH’s advertising and presentation of products in the catalogue of goods is an invitation to treat (“Aufforderung zur Abgabe eines Angebotes”). The purchaser’s order constitutes an offer within the meaning of § 145 BGB. This offer is binding. (2) Bjorg Design GmbH is entitled to either ac-cept or reject the offer within two weeks.

(4) Bjorg Design GmbH is entitled to split the delivery of the ordered goods in case one part of the goods can be delivered shortly whilst the other part is not available immediately. The missing part of the goods can be delivered later. In that case the purchaser is not entitled to demand rescission, withdrawal and / or termination of the contract until the period of time between the two part deliveries amounts more than 6 weeks.

(3) In case of rejection the Bjorg Design GmbH informs the purchaser in writing. Bjorg Design GmbH accepts the offer either in writing, by email or by sending the ordered goods within the above mentioned period. The contract is not concluded before Bjorg Design GmbH has accepted the offer.

The used stones and other natural raw materials and products are not defective in case of deviations in form, shape, colour and weight within accepted standards of natural products due to raw materials. § 9 Resale

§ 6 Passing of risk (“Gefahrübergang”)

(1) The purchaser is obliged to inform Bjorg Design GmbH about the resale conditions. In particular he must inform Bjorg Design GmbH about the place and the manner of the resale. (2) The purchaser is obliged to coordinate advertising campaigns and advertising strategies with Bjorg Design GmbH prior to their launch or publication.

(2) In case of loss or damage Bjorg Design GmbH will assign all his claims against the insurance to the purchaser upon request by the purchase provided the purchaser has to bear the loss or damages.

(3) The resale prices stated by Bjorg Design GmbH are recommended resale prices. The purchaser shall inform Bjorg Design GmbH in case he will charge prices for products which deviate more than 30 % from the recommended resale prices.

(3) In case of collection of the goods by the purchaser the risk of loss or damage to the goods passes to the purchaser once the goods are ready for collection and the purchaser will be informed.

§ 10 Copyright and redesigning (1) Also after the purchase Bjorg Design GmbH is still the owner of all intellectual property rights, particularly design rights and copyrights, concerning its goods. The purchaser is not permitted to copy, re-work and / or commit an infringement in any other way or to damage Bjorg Design GmbH’s Intellectual Property Rights and reputation.

§ 7 Retention of title (“Eigentumsvorbehalt”) (1) Bjorg Design GmbH retains title to the goods until receipt of all payments in full. The purchaser is entitled to resell goods in the course of his regular business. The purchaser hereby assigns his claims arising from sales to its customers or third parties to Bjorg Design GmbH as a security for invoices not yet paid by purchaser. The assignation is limited to the amount which is not yet paid.

(2) The purchaser is obliged to coordinate with Bjorg Design GmbH all potential processings and redesignings. The goods are not permitted to be put to market until Bjorg Design GmbH agreed in writing.

(2) As long as the purchase price has not been paid completely by the purchaser Bjorg Design GmbH is entitled to reclaim the delivered goods after setting a time limit of at least 2 weeks.

§ 11 Data protection (“Datenschutz”)

(3) The purchaser is obliged to inform Bjorg Design GmbH immediately in writing in case of executing proceedings (“Zwangsvollstreckungsverfahren”) against himself or any other distraint of property or other third-party interventions so that third-party proceedings (“Drittwiderspruchsklage”) can be lodged.

Bjorg Design GbmH is entitled to collect, process and use our customers’ data in accordance with applicable data protection law. § 12 Jurisdiction and applicable law

§ 8 Warranty and liability (“Gewährleistung und Mängelhaftung”)

(1) The contract shall be governed by the laws of the Federal Republic of Germany, excluding the Convention on Contracts for the International Sale of Goods (“UN-Kaufrecht”).

(1) The purchaser’s warranty claims are restricted to either remedy (“Nachbesserung”) or replacement (“Nachlieferung”), which can be chosen by the purchaser. In case of failure of remedy or replacement the purchaser can either decrease the purchase price or demand rescission of the contract concerning the defective products.

(2) Exclusive place of jurisdiction for any dispute arising out or in connection with this contract is Düsseldorf. (3) In case that any of the provisions of these terms and conditions are not legally enforceable or valid, this will not affect the validity of the remaining provisions of the terms and conditions.

(2) The delivered goods are not defective in case of insignificant deviations from the agreed quality. 41
