Observations & Conversations We all know things are tough, but we shouldn’t lose perspective that the economy will eventually improve. The ICSC’s RECon in Las Vegas is just weeks away. If you’re attending the show, this is the year that you really need to network like a maniac and walk the convention floor until your feet can’t take it anymore. Everybody is operating on shoestring budgets, so don’t expect the big elaborate parties or many exhibitors offering a free lunch this year. Make sure you attend every free networking opportunity and chat up anyone you see with a name badge; you never know where your next opportunity will come from. Here are a few functions that I think are relevant for all attendees. On Sunday from 1:30 p.m. to 3:00 p.m. is the Retail Runway with retailers including Forever 21, Wal*Mart, Payless, Pinkberry and Dunkin’ Brands presenting their expansion needs. From 4:00 p.m. to 6:00 p.m. Monday, take a walk through the Trade Exposition and grab a beverage at the ICSC’s Welcome Reception. On Tuesday, you should check out the 2009 Hot Retailers Awards Ceremony from 11:00 a.m. to 12:15 p.m. If you are looking for a job or need to recruit, you should spend some time at the Reconnect Pavilion in the Grand Lobby of the Las Vegas Convention Center. It looks like a useful resource for job candidates to get some oneon-one advice. Unfortunately, I think a lot of folks at the show will be wearing a badge from a company they no longer work for and the only deal they’ll have on their mind during the show is landing a new gig. On the topic of new gigs, I’m amazed at how many national chains are run by executives that haven’t a clue what they’re doing. Not only are they afraid to make a decision unless they have a room full of analytical reports to back them up, but they don’t have any idea how to execute once they have a concensus. The time is so ripe for certain chains to dominate their category by reaping cheap real estate deals either by taking advantage of desperate landlords or subleases, bankruptcies and weak competition. Most of the larger chains, however, are focusing their efforts towards reacting to the economic climate, with cost cutting measures that have the finesse of a meat cleaver, instead of being proactive about the future. It’s a lot easier for unimaginative merchants to sever limbs rather than to actually fix their merchandise and marketing problems. Granted, the economy did play a big role in the demise of certain retailers, but most of them were their own worst enemy. There are good reasons, besides shoppers spending less and that so many bedding, furniture and electronics chains bit the dust. They were boring, over-priced and, in general, didn’t give the customers much motivation to come back. In countersuit, I’m talking to a number of operations with a dozen or less stores that are growing and actually doing business in their existing stores because now they have less competition. Obviously they were doing something right if they’re still ringing up sales. I also have to give credit to a newly hired CEO of a national chain that is actually visiting stores and chastising his merchandise managers for doing a lousy job at getting the right goods on the shelf. That’s his job; to correct what needs to be fixed, enhance what works and never take your eyes off the bottom line. Of course, retailers that page 4

are growing in this climate want rock bottom real estate deals and, for the most part, they’re funding growth internally since the bankers aren’t talking about new lines of credit yet. Talk about bankers not lending or refinancing or restructuring, geez General Growth’s mortgage debt got them in a bind – the largest real estate bankruptcy filing in history, mainly due to its securitized mortgage-backed bonds. Once a mortgage is securitized and has credit default swaps involved, it’s virtually impossible to restructure. GGP got some reprieve with DIP financing from Pershing Square Capital Management, a hedge fund that had stakes in Borders and Target. Pershing Square held 7.4 % of GGP’s shares, prior to the filing and had exposure to an additional 18.1% of the shares under certain cash-settled total return swaps. GGP is paying dearly for its $375 million DIP financing from Pershing, with a $15 million fee, interest at 12% over LIBOR (about 20% to 40% higher than most companies in a similar situation) and warrants to acquire 4.9% of the reorganized company’s shares and most likely a board seat. GGP’s DIP financing already has a big slice already spoken for, with Goldman Sachs taking a $210 million bite to repay existing debt and the remainder tagged for ongoing operations. Ongoing operation costs of $150 million sounds like a lot of dough, but when you’re operating in bankruptcy, the fees for expertise rack up fast and they can get obscenely expensive quickly. We’ll see if GGP can maneuver its reorganization, if not it will be really interesting to see how a $29 billion portfolio of real estate is brought to the market. The new CEO’s, Adam Metz, long term relationship with GGP dates back to 2002 when Metz’s then employer, Rodamco, was sold to Rouse, although GGP made a run to acquire Rodamco, which was then bought by GGP in 2004. Metz sat on GGP’s Audit Committee in 2003. He landed in his position of CEO at GGP during October 2008 after the former CFO dumped close to $90 million in GGP stock within a three-week period and the shares plummeted. So throw in a credit crisis and a loose-cannon for a former CFO – that spells trouble. According to Financial Week – the former CFO of GGP, who had a 15-year run with the REIT, had a total compensation package of $6.3 million, not including the close to $90 million in stock that he sold at fire sale prices… not a bad package for someone that created one of the most complicated financing scenarios that I’ve ever heard of. Metz has a good chance of getting GGP out of its mess, but it’s not gonna be easy. I know that, right now, I wouldn’t want Obama’s or Metz’s job – they both have some serious uphill battles ahead of them. I’m running out of space, so stop by our booth in Vegas at S2916 29th Avenue for a cool glass of lemonade and to say “Hello.” Here’s to a great convention and remember: you’re going to Vegas looking for future deals, not to have a bitchfest on how bad times are. Profile — A monthly column featuring retail real estate companies WLS Lighting Systems — Manufacturing a brighter outlook by Nicholas Hamner Throughout the past 40 years, many developments have come to the retail construction industry and many fads have come and gone. Building materials have entered in and fallen out of fashion as have the centers they constituted. Every building and center, regardless of its age or make, is ubiquitous in one aspect: lighting. WLS Lighting Systems has provided custom lighting solutions during the past 40 years and, in the process, has become one of the foremost providers of outdoor and indoor lighting solutions for projects nationwide.
including a detailed photometric analysis which lists the specific lighting properties and projected luminous intensity for the lighting of the site, along with timelines and projected budgets. For redevelopments and retrofit projects, the company is typically brought in by the developer or one of the developer’s consultants. WLS contractors then visit the site and study the existing lighting infrastructure. Using information gained from the on-site visits, the company is then able to recommend upgrades that meet the client’s demands.
The lighting company was founded in 1969 by Jim Pritchard as a manufacturer of lighting poles. WLS did not enter into the lighting side of the business until 1981, the same year it began its involvement with the ICSC. Currently celebrating its 40th anniversary, the company’s leadership has over 100 years of combined knowledge in site lighting and design. Dean Pritchard is the president and oversees the company his father founded. Steve Vardeman serves as senior vice president of sales and has over 15 years with the company. Randy Long has been with the company for seven years and serves as vice president of marketing and sales. Dave Muckey, the company’s vice president of business development and national accounts, has over 20 years experience as an Energy Management Specialist and oversees new product development. Tammy Bertrand serves as director of operations.
With the current recession causing a slowdown in virtually every facet of the real estate industry, Pritchard is pragmatic in his business approach. “We are educating developers and retailers on the benefits of good site lighting management,” he says “and we are conducting lighting energy audits on both interior and exterior lighting plans. We are also researching government rebate and tax credit information for our customers.” The company expects its new daylight-harvesting system to provide noticeable savings for its customers. The system, employing a network of “smart” fluorescent fixtures and skylights, allows the indoor electric lighting to be dimmed to levels as low as 20% during daylight hours allowing customers to take full advantage of the available sunlight. These sunlight harvesting systems have allowed those customers who have implemented them to save as much as 60% on their electrical costs.
WLS oversees virtually every aspect of light design and implementation, and currently operates pole and fixture design and manufacturing, site lighting design and electrical engineering, construction and installation, energy analysis and retrofit and sales departments. The majority of the departments are in-house, but Pritchard notes that some of the manufacturing and a majority of the electrical engineering workload are outsourced.
Environmentally-friendly products often tout their inherent cost savings as a feature, and WLS is at the forefront of economical “green” lighting technologies. Pritchard says, “Through a partnership with Venture Lighting, we are rolling out a 775-watt metal halide lamp created by Venture that is LEED certified. This lamp provides a longer lifespan and a brighter, truer white and uses less power than traditional 1,000-watt lamps commonly used.” Additionally, the company has begun offering wireless lighting control systems, which provide property managers the opportunity to maximize the efficiency of their lighting systems.
The company is routinely brought into a project by any number of parties, including the developer, the architect, site engineers, general contractors and retailers, and works off blueprints to develop a full lighting package for a new development. The package includes custom lighting parameters determined from both tenant requirements and local regulations; a lighting design plan,

more and more popular as a retrofit option, saying “a major trend today is replacing HID (high intensity discharge) hi-bays for fixtures that utilize either a T8 or T5 fluorescent lamps, which are the straight tube lamps most of us associate with fluorescent fixtures.” WLS is also venturing into the LED, short for light-emitting diode, lighting market. LEDs use very little electricity and feature very long lifespans compared to incandescent and even fluorescent lamps, and are commonly used in home and portable electronics. Pritchard notes that the diodes were, until recently, unproven in an outdoor environment but that the research and product development has progressed noticeably. The company is in the process of rolling out a line of outdoor fixtures utilizing LEDs for use in street lighting, parking lot, parking deck and wallmounted systems. In addition to combating air pollution by working to conserve energy, WLS is also able to assist customers who are required to limit or eliminate light pollution, often due to a municipality’s dark sky ordinance. Pritchard says, “We are able to offer customers a number of solutions to allow compliance with these type ordinances. In addition to new lamps that utilize flat glass to limit glare and are able to fit on old fixtures, we offer glare shields which attach to existing lighting and help limit ‘light spill’.” As the company began as a pole manufacturer and expanded into the manufacture of lighting products, it is not surprising to see their product line expand again. WLS is also marketing site furnishings, including seating, waste receptacles and planters, for use in retail, healthcare and corporate environments in addition to theme parks, universities and streetscapes. Bankruptcies & Closings Patrick Hackett Hardware Co. (315-3936101) closed a Hackett’s hardware store in Pulaski, NY during March and will close a 56,000 sq.ft. store in Watertown, NY during June. Ritz Camera Centers, Inc. (301-419-0000) will close 400 Wolf Camera locations this year. The company, during March, began liquidating its 130-store Boater’s World chain. Prior to the closings, the company operated 1,000 locations nationwide, throughout 45 states, under the Wolf Camera, Kits Cameras, Inkley’s and The Camera Shop trade names. Pier 1 Imports, Inc. (817-252-8000) will close 22 locations, cancelling 20 leases and shuttering two stores, following an announced fourth quarter 2008 loss of $29 million. G.I. Joe’s Holdings Co. (503-682-2242) filed for Chapter 11 bankruptcy protection during March and began liquidation proceedings last month. The company operated sporting goods stores under the G.I. Joe’s trade name until 2007, when the stores began operating as Joe’s Sports, Outdoors and More. At the time of filing, the company operated 30 stores and one outlet store throughout ID, OR and WA. Bassett Furniture Industries (276-629-6000) will close between 10 and 12 licensed locations this year. The company currently operates 115 Bassett Furniture Direct stores nationwide. Balducci’s, LLC (240-403-2440) will close four Balducci’s specialty gourmet grocery stores, including locations in Ridgefield, CT and New York, NY, in addition to the company’s only store in Washington, D.C., as part of a company reorganization.
