Capitalizing on a buyer’s market
Adam Taliercio GA Keen Realty Advisors specializes in the sale of real estate and enterprises, lease renegotiations and restructurings and strategic planning and valuation services for retailers and other property owners, tenants and investors. It also provides real estate investment banking, debt restructuring and receivership and other fiduciary services. The company has worked with virtually all types of property, including retail, office, industrial, multifamily and hospitality properties, as well as land. Since its founding in 1982, the company has handled more than two billion sq.ft. of real estate and leases – including 411 million sq.ft. of retail – and closed in excess of $3 billion in transactions. While the firm’s business initially grew out of serving clients that were in bankruptcy or other financial distress, it has since expanded to provide services to healthy companies, including lenders, private equity groups, law firms, investment banks and accounting firms. Originally known as Keen Consultants, the company became GA Keen Realty Advisors following a merger early this year with Great American Group, a leading provider of asset disposition, valuation and appraisal services for all asset classes, including real estate, inventory, machinery and equipment and intellectual property. Company co-president Harold Bordwin said that the merger enables Keen to offer its clients a full range of services across all asset classes. “Keen Realty has been a leading provider of real estate advisory and transactional services since 1982,” he said, “and it was obvious that the two firms’ strengths complemented each other. We also see synergies with GA Capital, an asset-based lender providing junior secured financing. GA Capital provides creative capital that could be very attractive to a lot of our clients.” The company distinguishes itself in its field both through the depth and breadth of its staff’s experience and its willingness to put the client first. “Our core team has been working together for more than 20 years,” Bordwin said. “Our clients find that the intellectual capital that we have at our fingertips is remarkably valuable. In addition, they appreciate the fact that we think of ourselves as fiduciaries. Our loyalty is 100% to our client, and we consider ourselves to be part of their team; we’re completely focused on guiding them to the best solutions. That perspective – even if it may, at times, be to our own financial disadvantage – is what has earned us our reputation for excellence and given us 29 years of staying power.” The company’s typical engagement lasts between three and six months, with some as long as a year or more. Many of GA Keen’s clients are facing a time constraint of some sort – either an operational or a court-imposed deadline – and demand quick results. “One of the ways that we distinguish ourselves is in our ability to very quickly implement and execute a complex transactional process, whether selling real estate, leases or a business, or implementing a lease renegotiation program,” Bordwin said. For example, the company worked with Blockbuster Video prior to the retailer’s recent bankruptcy and was able to help the client forestall its bankruptcy filing by over a year through the renegotiation of more than 3,500 leases nationwide. As part of their engagement, the firm assisted Blockbuster in reducing its occupancy costs by tens of millions of dollars. “Managing a process involving thousands of properties is complex,” Bordwin said. “Nevertheless, the skilled team and processes and procedures that enabled us to be effective for Blockbuster are the same skills and systems that help create value for all of our clients.” The company’s business has changed over time to reflect market conditions. With the recession, Keen saw a decrease in real estate sales and M&A activity and an increase in workouts and restructurings. In particular, Keen’s lease renegotiation business increased dramatically. “Leases were negotiated in the pre-recession years with expectations of increasing revenues,” Bordwin said. “As tenants suffered through the recession, it became obvious that occupancy costs had grown out of sync with the economic realities of their businesses.” As a result, Keen has been repeatedly called upon to help tenants rationalize their page 6

occupancy costs. The company’s success in this area has grown as landlords’ options for finding high-paying replacement tenants have diminished. “It’s generally in the landlord’s best interest to reduce rent and ensure a tenant will stay open at a particular location, versus risking a vacancy with the related costs of having a dark store, brokerage fees, and TIs.” In addition to working with struggling or even bankrupt retailers, the company has also helped healthy tenants that want to take advantage of the market and restructure leases to their benefit – such as value retailer Dollar General, for which the company has recently renegotiated more than 1,000 leases nationwide. “Our work with Dollar General is indicative of the opportunities that the current economy has created for healthy businesses,” Bordwin said. “It’s no secret that customers turn to discounters such as dollar stores during difficult times, and retailers in this sector have been thriving. Whereas the current climate has led many retailers to retrench in an effort to weather the storm, healthy companies that are in a position to commit to more term and extend lease expiration dates are now leveraging this into rent concessions.” In addition to its work with Blockbuster Video and Dollar General, GA Keen Realty Advisors has recently handled renegotiations for Jennifer Convertibles on 87 leases nationwide and Crabtree & Evelyn for 81 leases, saving each client millions of dollars in occupancy costs. GA Keen is also developing a debt restructuring plan for a shopping center owner in New Jersey, and is handling lease mitigation work for a national retailer by negotiating lease terminations and seeking replacement tenants to fill the resulting vacancies. The company’s greatest retail success stories include the $130 million reorganization of Frank’s Nursery & Crafts, Inc., a lawn and garden, crafts and seasonal merchandise retailer that once operated more than 200 locations nationwide throughout 16 states. After recovering from a bankruptcy filing in 2002, the company filed again during 2004 and retained Keen Realty, which facilitated the sale of 18 owned locations and 54 leased stores located throughout the central and northeastern regions of the U.S., while maintaining a portion of the fee-owned portfolio to lease to other tenants. The company also negotiated the sale-leaseback of two retail locations in East Brunswick and Livingston, NJ on behalf of Breueners Home Furnishings/Huffman Koos for $17 million, and served as the exclusive real estate consultant for the retailer upon its bankruptcy filing, auctioning off its entire leased portfolio. Keen also served as the sales advisor and agent for Family Golf Centers, which had maintained 109 golf centers and driving ranges nationwide before filing for bankruptcy during 2000. The company sold two portfolios of 34 and 77 facilities, respectively, located throughout the country and in Canada, on behalf of the client, for a combined value of $125.7 million. The numerous store closures that have taken place over the past several years have resulted in a large amount of available properties, while only a relatively small number of retailers are actively expanding, Bordwin explained, resulting in a “supply vs. demand” situation that favors the tenants over the landlords. He added that this continues to be a “buyer’s market,” as retailers have benefited in recent years from lower rents and an increased likelihood of obtaining concessions. This general lack of expanding retailers will continue to keep the retail sector relatively weak into the future, he said.
