Observations & Conversations For decades, Florida obeyed all the laws of attraction for shopping center developers and retailers: It was easy to get things built, building on spec wasn’t unusual and it was a hell of a lot cheaper to build in Florida than in any other densely-populated state.

Welcome to The Dealmakers special edition for the ICSC’s Florida Dealmaking. Attendance is expected to be stellar at this year’s event; in fact I hear that it’s so good that the main hotel has had to spill over rooms to a second site.

Finally, some good news from the state of Florida! I hear leasing is picking up in the healthier pockets of the state. A good indicator of how the state is faring is a quote from Johnny Hendrix, Executive Vice President and COO of Weingarten Realty. During a recent Investors Earnings conference call, he said, “We saw a good production from all of geographic regions, but really an exceptional improvement in Florida, which is refreshing. Florida represents only 15% of our retail portfolio, and during the quarter produced close to 30% of the leasing production.”

Leasing anchor and junior anchor space in the state is again a viable possibility, since the national chains are now doing more than just kicking tires and putting out feelers for cheap deals. Walmart plans to open 10 supercenters in southern Florida in the next few years.

Kohl’s is opening locations in Miami and Coral Springs this fall.

H&M is opening a 20,000 sq.ft. store in Tampa before the upcoming Christmas holiday. Family Dollar is also growing in the southern part of Florida. Electronics is definitely another segment of retail that is hot and heavy for growth opportunities in the state: hhgregg recently opened 10 stores in the southern part of the state, and rumors are that Microsoft also plans to enter the Florida market. MetroPCS is also growing in the state.

Although housing has a ways to go yet to catch up, home décor and improvement chains are also looking hard at the market. The former CEO of the Robb & Stucky furniture chain is launching a new concept, trading as Clive Daniel Home, with its first unit at an 85,000 sq.ft. former Robb & Stucky location in Naples. If the concept pans out, a few more stores are expected. The Container Store plans to open a 24,500 sq.ft. store in Tampa. Rocky’s Hardware and Home plans to continue its growth throughout Florida. Small shop space in the state is also getting some attention from specialty retailers: LaCoste is opening a location in Boca Raton next year, and Ulta is scouting sites in Florida as well. Restaurant and food concepts are also looking for plays in the state: Denny’s, T.G.I. Friday’s and Chipotle are all looking to open more locations in Florida, along with Abbott’s Frozen Custard and Bruster’s Real Ice Cream. Chuy’s, a Mexican restaurant chain, has plans to enter the northern Florida market. Handel’s Homemade Ice Cream and Yogurt, a 33-unit chain operating in California, Indiana, Ohio, Pennsylvania and Virginia, is entering Florida with a location in Bonita Springs. And that’s not all: Dunkin’ Donuts, 7-Eleven and Wawa are all looking to grow in the Sunshine State as well.

There’s enough existing vacancy in Florida to keep leasing agents busy, but new construction is also finally getting back on track in the state. On the new development side of the equation, things are starting page 4

to heat up. Kite Realty is developing Delray Marketplace in Delray Beach, with Publix and Frank Theatres as anchors, along with small shop tenants including Chico’s, Jos. A. Bank and White House|Black Market. Cousins Properties is developing a Publix-anchored center in Tallahassee. Ground was recently broken for a mixed-use project in Jupiter, with 60,000 sq.ft. of retail and space for seven restaurants.

The Goodman Co. is preleasing the second phase of a lifestyle center in Tampa, and Armstrong Development is also preleasing the second phase of a center in Lake Wells. Konover South is tackling the redevelopment of a shopping center in Delray Beach. Cedarwood Development plans to break ground on a power center in Stuart.

DeBartolo Development is preleasing a center in Jensen Beach, and I’ve heard some talk about a proposed project in midtown Miami with 200,000 sq.ft. of retail space attached to a hotel.

It’s getting hot on the acquisition side of the industry, too: Cole Credit Property Trust III, Inc. is acquiring Santa Rosa Commons, a Target, T.J. Maxx, Publix and PetSmart-anchored 133,574 sq.ft. center in Pace, for $25.45 million. Cole also recently closed on two Florida centers with a combined GLA of 300,000 sq.ft. for a little over $43 million bucks. Madison Marquette recently acquired four shopping centers in Naples, adding about 600,000 sq.ft. to their portfolio. Schottenstien Property Group Inc. acquired a 71,000 sq.ft. center in Cape Coral for $7 million. OfficeMax and dressbarn anchor the project, with a Walmart Neighborhood Market and Kohl’s as shadow anchors. Holiday Fenoglio Fowler has the listings to sell two fairly large centers totaling over 500,000 sq.ft. in Orlando. Colliers Arnold also has some retail product on the market. The Rotella Group has the listings for retail sites on the selling block. RJS Realty has several CVS locations listed for sale; and yes, I’m hearing lenders are actually closing on acquisition and construction financing deals in the state, too.

In the old days, every New Yorker I knew had a Florida real estate license and planned to open an office, build a center, or buy something in the Sunshine State. For decades, Florida obeyed all the laws of attraction for shopping center developers and retailers: It was easy to get things built, building on spec wasn’t unusual and it was a hell of a lot cheaper to build in Florida than in any other densely-populated state. Wow, how things changed! The ones that did take the plunge and made an investment in the Florida market, and weathered the storm, got some kicks in the teeth along the way.

A few of them had to put centers into bankruptcy or give the keys back to the bank in the last few years, but most are still standing and looking to make deals on the projects that were worth saving. It looks like their staying power will pay off with a slow but noticeable improvement in retail throughout the state.

Takes on Urban Core Projects

Adam Taliercio Terranova Corp., based in Miami Beach, FL, is a commercial real estate advisory firm offering asset and property management, leasing, tenant representation, disposition, financing, construction management and development services. The company also owns and operates a portfolio of retail, office and industrial properties throughout southern Florida with a valuation exceeding $1 billion.

The company has remained profitable throughout the recession – though not at the same level as it had been prior to the downturn – and was able to move through this cycle without any layoffs, said chairman and founder Stephen Bittel. “I think that people remember that, that we’ve been a safe harbor in a tough storm.” Throughout its 30-year history, Terranova has maintained the same ownership and continues to boast a very high rate of retention among its professionals, which Bittel said results in a deep knowledge of its assets’ history, as well as a wealth of experience that helped the company to better prepare for a recession it sensed was on the way. “We bring a consistency and passion to what we do that is uncharacteristic of much of the industry; it’s not just a job here, it’s our life,” he said.

Primarily operating throughout Miami-Dade, Broward, Palm Beach and Collier counties in FL, the company also handles transactions north of Orlando, Daytona Beach and Lee counties, as well as in the Keys, and will also consider projects outside of southern FL in certain circumstances. “Typically, we like to look at one or two types of projects,” Bittel explained. “We want to buy a core asset in the best of the best locations, with the best tenants, but we also look at properties that are unusual opportunities, where the initial yield may be lower but the opportunity for future performance is exceptional.

We try to go one way or the other, and stay out of the middle.” He added that, while the company has been the dominant operator of supermarket-anchored shopping centers throughout southern FL for most of its history, over the past five years Terranova has also added a focus on urban streetfront retail, with acquisitions including properties along Miracle Mile in Coral Gables and on Lincoln Road in Miami Beach. “We hope to continue to grow in that urban street front area, as our market continues its uncomfortable transition from being suburban to being more urban.”

The downturn has had a different degree of impact in various submarkets throughout Florida. Miami-Dade County, for example, has remained a strong market over the past several years, with occupancy rates high enough to warrant bidding wars for locations among certain concepts, including banks and frozen yogurt shops. The western coast of the state, on the other hand, has been hit particularly hard. An area once driven by residential construction, the region endured one of the largest amounts of foreclosures nationwide as the downturn hit. The Tampa and Orlando markets sit somewhere between the thriving Miami-Dade and the struggling western coast. “Markets that are very dense, with acute barriers to entry, have survived better,” Bittel said. “Clearly the primary markets have fared better, while the secondary and tertiary markets were hurt much more.” An increase in unemployment and flattening of wages leaves consumers with less spendable income, which in turn has caused many already-struggling tenants to fail. Compounding the problem, debt capital for new retail businesses has been scarce as home equity lines have dried up and banks have become less active, making it more difficult to fill vacancies as retailers pull out of locations. page 6

Fortunately, Bittel said, there have been signs of recovery of late, as retailers have been actively seeking leases in an attempt to lock down low rates while they are available. As has been the case throughout much of the country, the strongest performers in the state continue to be discounters such as Dollar Tree, Dollar General, Walmart and Ross Dress for Less. “If you have a product mix that offers [substantial] discounting, you’ve still got consumers out there looking to stretch their dollar and get as much as possible. But everyone went on a diet, lost what they needed to, and are now back at the table enjoying themselves again,” Bittel said. Luxury retailers are beginning to pick up in sales after suffering through late 2008 and 2009, he added.

Retailers have also been taking more of an interest in urban areas, with tenants that had previously gravitated toward conventional, suburban, anchored shopping centers increasing their focus on innercity markets. “It may be common in major markets like New York, but we’ve never seen this here,” he said. “Retailers are really returning to the urban core.”

The areas of Florida that are doing particularly well, such as Dade County, feature a level playing field between landlords and tenants in terms of lease negotiation, Bittel said, but conditions vary in different markets. Occupancy rates at Terranova’s centers in MiamiDade County have remained around 96% to 97%, allowing for some healthy turnover to introduce new retailers and concepts. Rates are somewhat lower in northern parts of the state, however, and seasonal areas with a high tourism factor tend to have more retail vacancies as well. Keeping rates high in this environment takes hard work, but what needs to be done is nothing new, Bittel said. “Answer phone calls, show spaces quickly, knock on doors, cold-call…everything you always had to do, you just have to do more of it, you have to do it quicker, and you have to do it better. You have to be a little faster and a little hungrier. It’s mostly perspiration that makes these retail deals happen.” Client interaction has changed somewhat in recent years, he added, as so many in the industry are increasingly concerned about keeping costs down. “What might’ve been a monthly call to discuss how a property’s leasing is now a twice-a-month call. Everyone wants to know a lot more, in real-time, about what’s happening at the properties.”

In February of this year, Terranova acquired a three-building portfolio along Lincoln Road in Miami Beach for $52 million – a deal that Bittel considers one of the most exciting accomplishments for the company during 2011. “It’s a unique location that draws a tremendous amount of repeat traffic from local residents and visitors,” he said, “so we serve the people who live there, daytime and nighttime traffic, and a gigantic tourist business. It’s a 24-hour location with staggering retail sales that we think is just beginning to really show its promise.” New tenants coming to the property on Lincoln Road include Forever 21, as well as an H&M under construction, a Dylan’s Candy that recently signed a lease, and a number of major retailers. Terranova has also recently refinanced several of their existing projects, taking advantage of some historically low rates. By putting long-term, fixed-rate debt on projects that previously had no debt attached, the company has been able to recapitalize and prepare to acquire more real estate in the future, Bittel said.

Terranova also has an anchored, open-air project in Miami-Dade County under contract to be sold. The company doesn’t typically

Ramps up retail tenant representation division

RMC specializes in the leasing and operation of groceryanchored and community shopping centers, and also has a reputation for its skill regarding shopping center renovation and redevelopment, said chairman Mitchell Rice. He added that the company’s ability to optimize income and a deep knowledge of the costs of both developing and operating shopping centers are what set it apart in the field. “At RMC, we hold the key to running the most successful community strip centers in Florida: The combination of designing the optimal tenant mix, effectively leasing up a property and reducing operating expenses, in conjunction with a hands-on approach, has enabled us to get through these tough economic times and continue to grow our portfolio,” Rice said. “Our solid reputation is a product of our experience, our proven capabilities, our track record and, perhaps above all, the integrity that has defined us over the past 22 years.”

During the past several years, RMC has suffered along with the rest of the industry: Following a halt to development during 2008, the company was forced to reduce both overhead and staff, and endured a substantial drop in leasing activity during 2009 and 2010. Rice said, however, that this difficult stretch afforded the company an opportunity to examine itself and improve upon its methods. “Someone once told me, ‘In good times, one can run a bad business and still be successful, but in bad times, you either run a good business or you fail,’” he said. “Our internal department examinations resulted in many adjustments in order to increase efficiency and operate more cost-effectively.” The company has capitalized on the recession by providing distressed asset services for banks, often through receivership assignments – a service for which demand has remained high throughout the downturn, Rice said. The company currently has several distressed properties under management throughout Florida, and is frequently called upon by clients for consultation services or to take over properties in need of workout assistance, revitalization or rehabilitation.

“Our experience has been that the earlier we are engaged, the more effective we can be for an owner,” Rice said of the best time for a company in distress to turn to RMC for help. “We believe that our experience working with lenders over the past two decades, in both good times and bad, has given us great insight into how to manage distressed situations, and calling us earlier in a down cycle increases the likelihood of avoiding further distress.” In ideal circumstances, he added, the company is able to assist an owner with a workout plan that allows the owner to retain ownership of the property.

RMC recently launched its tenant representation division last year, with the goal of becoming one of the preeminent retail tenant representation firms in the southeastern region of the U.S. Since its inception, the new division has worked with several new concepts entering the Florida market. One such tenant is health food grocer Fit Life Foods, which opened its first, 2,500 sq.ft. location along Dale Mabry Highway in South Tampa during the fourth quarter of last year with the assistance of RMC, and recently completed a deal for a second Tampa store in Carrollwood. The retailer plans to eventually open 12 locations throughout the state, and Rice said that RMC has been instrumental in developing a solid strategy for their rollout.

Other strong tenants the company has recently worked with include quickcasual nationwide restaurant chains such as Chipotle or Subway, both of which are well-served by their lower price points, Rice said. “We also do quite a bit of work with expanding dollar store operators who are becoming page 8

more sophisticated with their merchandising while still maintaining a very low price point,” he added. The company has also recently been selected as a preferred developer for Wawa throughout Florida, and has already secured several new sites for the convenience store chain throughout Tampa Bay and Orlando. “Wawa is a highly-regarded and excellently-operated retailer, and we’re very excited about the opportunity to work with them,” Rice said.

“Given the challenging times our market continues to face, we feel fortunate and honored to be working so closely, and so prolifically, with such a strong retailer.” The company also recently worked with Best Buy to introduce the state’s first Best Buy Mobile store in 2,700 sq.ft. along South Dale Mabry Highway in South Tampa – a deal that Rice considered a win-win for both the tenant and the landlord, as the signing brought the center to 100% occupancy.

RMC also has several deals with anchor tenants for their centers that are in the late stages of negotiation, which the company expects to be able to announce by the end of the third quarter of this year.

Retail expansion in general has been on the rise in Florida this year, but the pace is still fairly slow compared to before the recession hit, Rice said. Certain regions of the state are being affected in different ways: Areas with established housing and higher employment rates are recovering more rapidly, while the suburban areas outside of larger cities – regions that, by contrast, saw substantial growth during the housing boom – have been hit harder than most, as population growth has slowed and consumer spending remains weak. “As a result of the slowdown in new housing growth, the majority of new retail leasing activity is taking place at infill properties where vacancy has been created, and where those retailers that are now back in expansion mode can lease existing, well-located space,” he said.

RMC currently maintains an occupancy rate of about 87% for its own portfolio, with much of its vacancies due to anchor spaces abandoned by failed or struggling retailers during 2009 and 2010. Fortunately, Rice said, the company has been able to refill many of the larger vacancies since then, and has also maintained a focus on retaining existing tenants in order to maintain occupancy and NOI levels. “The key is to help drive additional traffic into the centers, and do anything you can to help improve tenant sales,” he said, citing promotional events at the center or leasing to new tenants with an eye toward the existing tenant mix as ways to accomplish this goal. “We have worked very hard with our ‘struggling but hopeful’ tenants to provide temporary rental concessions,” he added, “and our property management department has also spent significantly more time in the field in an effort to strengthen landlord and tenant relations. Our ability to keep the properties well leased and reduce operating expenses is a win/win for both the tenant and the landlord.”

Despite the need in some cases to provide such concessions to tenants, Rice does not feel that this is necessarily a tenant-friendly market, even though a weak market is typically more beneficial for retailers. “I believe it can cut both ways,” he said, adding that the quality of an individual location is more important than the overall health of the market. “As leases come up for renewal, we see some situations where rent reductions are indicated. However, as some of our vacancies are brought to the market, we’ve seen multiple tenants competing for the same space, depending on the location. In a market where new, ground-up development projects face enormous challenges, re-tenanting the recently-vacated space becomes more interesting to those retailers that have resumed their growth strategies.”
