Observations & Conversations When anchor stores enter a new market, that’s always an indicator that leasing activity will pick up, and it’s a very positive sign that companies have regained the confidence to test new retail concepts. Since this issue is being distributed at the ICSC’s PA/NJ/DE Dealmaking, I’m going to bring you some good news about what’s going on in the Tri-State region. One of the most exciting new concepts coming to the Pennsylvania market is Max & Jill, self-dubbed as offering modern fashion and home décor items with retro prices. Several weeks ago, its flagship opened at a former Barnes & Noble in Whitehall, soon to be followed by its second unit in Willow Grove. The new concept is also expected to enter the New Jersey market this year with a location in Holmdel, and then New York with a site in Levittown. According to my research, the trademark for the concept is owned by Max Mart Department Stores, LLC in New York, NY. The folks behind the Max & Jill rollout have been pros at branding, publicity and the use of social media to get customers in the door. The merchandise mix is similar to a T.J. Maxx and includes private labels. This is definitely a chain that’s making some waves. Also, entering the state of New Jersey, The Fresh Market signed a lease for a 77,000 sq.ft. store in Montvale. The supermarket chain is strong in the southeastern states, but however, it only operates three stores in Pennsylvania and one location in Connecticut. Another company looking to jump into New Jersey is Han Nam Chain Supermarket, based in California. The seven-unit chain of ethnic supermarkets caters to a Korean clientele and plans to take over a Pathmark in Ft. Lee, New Jersey. Bigoutlet.com, an e-commerce retailer of refurbished electronics, recently opened its first brick-and-mortar store in Pompton Plains, NJ. Food Lion is also rolling out Bottom Dollar, its discount supermarket concept that utilizes about 15,000 sq.ft., with openings planned in the greater Philadelphia market and New Jersey. When anchor stores enter a new market, that’s always an indicator that leasing activity will pick up, and it’s a very positive sign that companies have regained the confidence to test new retail concepts. Maybe, just maybe, the momentum will last long enough for more retailers to catch the upswing. More good news on the sales and acquisition side of our business: I’m seeing investors start to do more than just negotiate and wait. There are players actually signing on the dotted line – but only for the good stuff. “A” and “B” shopping centers are now deemed desirable investments and are moving fast, but there are virtually no buyers for vacant or distressed properties. Why would you take the risk of buying a white elephant at any price right now (pipe dreams to find a tenant included) if you have the opportunity to buy a wellleased center with a nice cash flow and solid guarantees at a 7% Cap? The no-brainer deals are getting all the attention, while the shopping centers that require elbow grease and a boatload of faith and optimism will probably still be on the market next year. Granted, most of the active buyers are REITs, but my hunch is that heavy wallets on the private front will start making big splashes too – and soon. REIT plans to close on a seven-center portfolio acquired from PREIT totaling almost two million sq.ft., with six of the centers located in the New Jersey-Pennsylvania market. The deal is valued at around $200 million and was done with RioCan, its joint venture partner. One of the centers, Whitehall Mall in Allentown, PA, is earmarked for redevelopment. The older project has interior mall space to be repositioned; however, it has strong anchors such as Sears, Kohl’s and Michaels. I’m also hearing of more developers actually paying fees and getting in front of local town officials with a credible tenant roster, plans and a solid proposed opening date. Benderson Development plans to start site work on a Giant- and Lowe’s Home Improvement-anchored center in the Reading, PA market. Stoltz is pushing forward with a highly-political proposal to build a 2.8 million sq.ft., 12-story project in Greenville, DE, 25% of which would be retail with an equal amount set aside for residential and the remainder used as offices. In Jersey City, NJ, approvals were recently granted for a 244-acre plan to develop the Journal Square area in the city’s central business district for mixed-use projects. Considering that the Tri-State region has some of the toughest barriers to new development in the nation, and that the economy has a long way to go for a full rebound, it’s good to hear that proposed retail projects are signing up tenants and starting to break ground. Of course it’s not all roses. Yes, the vacancy rates for most areas of the tri-state region are up compared to three years ago; however, rents haven’t dropped that much. I’m a little biased, since I’ve lived in New Jersey for decades and now live in Pennsylvania, and don’t think I would live anywhere else in the United States. Because I call the area home, I have a good feel for how the market is doing, and historically it holds up through economic downturns. Even in the worst of times, the Tri-State region always seems to keep its head above water. Neither New Jersey nor Pennsylvania is an easy state to do business in, but as a middle market between New York and Washington, DC, you can’t beat the population density of the major MSAs. Well, I have to wrap it up. Neccesity anchors set the course at Cedar
Adam Taliercio Cedar Shopping Centers, Inc., a real estate investment firm, specializes in “bread and butter®” shopping centers – retail properties with tenants that address the everyday needs of the consumer. According to chairman, CEO and president Leo Ullman, this typically entails a grocery anchor with a pharmacy component (or a separate drug store anchor), coupled with other retailers such as hair salons or office supply stores. “It’s necessity shopping,” Ullman explained. “It starts with the premise that everybody needs to eat, so the supermarket anchor is the critical component driving traffic to that center.” The company maintains a focus on developing, redeveloping and acquiring properties throughout CT, MA, MD, NJ, NY, PA and VA all of which Ullman said reflect the strong demographics and heavy population concentration of the Boston, New York, Philadelphia and Washington, DC corridor. “The barriers to entry in these areas remain very severe,” he said, “and unemployment remains less in these areas than in much of the balance of the country.” Suburbs and ex-urbs of major metropolitan markets in the Northeast also continue to show strong tenant demand, he added, and Connecticut and Massachusetts have fared better during the recession than the northern, less-populated New England states. Cedar will also consider going outside its primary region under certain circumstances: a sufficient concentration of nearby properties, a sense of comfort with the area, quality tenants within the property, a lack of current or potential competition, stable road patterns and a growth in housing starts are all important factors. “The company’s business strategy during recessionary times has been very much focused on protecting and enhancing our balance sheet position,” Ullman said. “We have consciously moved to reduce our overall debt, to fix our financings on properties to avoid risks attendant on short-term and floatingrate debt, and to drive down the proportion of debt to the total value of our company and its assets.” He added that the company issues equity judiciously and at reasonable pricing, using the proceeds to pay down floating-rate debt. As a result of these practices, Cedar currently has virtually no borrowings under its principal credit facility. Ullman said that the retail real estate landscape for supermarket-anchored centers throughout the region has only been modestly impacted by the recession, and that the company’s focus on “bread and butter®” centers has proven beneficial. “Such centers have performed well,” he said, “in large part because consumers need to eat, but also because they tend to purchase more groceries, and prepared foods in particular, during difficult times.” As the company’s portfolio is committed to this type of shopping center, most of its recent development activities and acquisitions have continued to involve various supermarket chains, which have an important presence in the company’s primary market areas. Ullman cited Giant Food Stores of Carlisle, PA; Stop & Shop, Weis, Price Chopper, Redner’s Warehouse Markets, ShopRite, Acme, Farm Fresh, Food Lion, Aldi’s and Giant Eagle as retailers that Cedar has dealt with recently. Drug stores such as Walgreens, CVS and Rite Aid are also frequent tenants at the company’s centers, along with dollar stores and office supply retailers. For larger properties, Cedar often works with value apparel concepts such as Marshalls, T.J. Maxx and Fashion Bug. “In our bigger box department stores, we think Kohl’s is very much on top of their game,” Ullman said. “Boscov’s has had a resurgence, and Bon-Ton, too, appears to be doing well again.” Among food retailers, Ullman named Panera Bread and Subway as consistently high performers, and cited popular concepts such as Five Guys Famous Burgers and Fries and Sonic Drive-In as proving successful in their newest centers. Occupancy levels within the company’s portfolio have remained around 92% to 95% for the past several years, and new developments approaching completion have occupancy rates approaching 80%. “The key to maintaining high occupancy, in our minds, has been to be careful with our underwriting of tenants in the first instance,” Ullman said. “We look for tenants who have, or are expected to enjoy, strong “health ratios” – the ratio of occupancy costs to annualized sales per square foot. We also look to tenants, especially in the case of supermarkets, to be the dominant players in their trade area whenever possible. It has been our experience that the dominant supermarket tenant, for example, is not only able to maintain sales in difficult times, but page 6

also continues to attract other tenants to the dominant center in a particular market.” He added that it’s vital to for the firm to be responsive to tenant needs and observe important lease provisions, such as exclusivity, so that a tenant’s business is not compromised within the center. Aesthetic concerns such as cleanliness, lighting, signage, parking lot maintenance and landscaping are also particularly important, in order to provide an attractive, safe and comfortable shopping experience. The company recently entered into joint venture agreements with RioCan Real Estate Investment Trust, the largest REIT in Canada, and has begun a twoyear program toward a planned $500 million in acquisitions. Through this joint venture, the company earlier this year acquired two shopping centers totaling $72 million in Exeter and Temple, PA, both anchored by Giant and several big-box retailers. Cedar also recently announced a contract to acquire as many as seven properties in NJ, PA and VA totaling 1.8 million sq.ft. for $200 million, and is currently in negotiations for several other properties (primarily supermarket-anchored). The company generally contributes 20% to the purchase price of each property acquired through the joint venture, and also provides management services. Cedar’s acquisition criteria vary depending on whether it is looking to purchase properties for its joint ventures or for its own balance sheet. For the joint venture(s), the company is seeking relatively newer projects featuring GLAs larger than 150,000 sq.ft., major anchor tenants – particularly supermarkets – with long remaining lease terms, a high credit rating, thin competition and high occupancy rates, preferably with no existing financing. When acquiring on its own, the company prefers properties suited to its expertise in development, redevelopment, re-tenanting and repositioning properties to add value over time, Ullman said. Currently, Cedar’s development pipeline includes several large developments, each totaling more than 100 acres in size. For example, The Shore Mall, located at the intersection of Garden State Parkway and Black Horse Pike in Atlantic City, NJ, is currently anchored by Boscov’s and producing income, but Cedar is arranging funding for planned road and access improvements. The company is also handling a three-phase development in Trexlertown, PA that includes two existing centers, Trexlertown Mall and Trexlertown Plaza, along with a 34-acre vacant parcel that Cedar plans to develop for big box retailers. “Our company’s approach to both development and redevelopment is heavily influenced by – and, in fact, dependent on – tenant demand,” Ullman said. “We generally will neither develop nor redevelop a retail property on a speculative basis. Rather, we would look to signed leases with anchor tenants with substantial remaining lease terms, commitments by tenants to improvements for their leased premises, a suitable mix of tenants and dominant anchors to drive traffic in both good and bad times, and, of course, actual or potential competition from other retail properties and competitive tenancies in the particular trade area.” He added that the company also looks at new housing starts in the region, disposable income, stable road patterns and site access as vital components for development or redevelopment at a given site.
