observations and conversations As leasing activity gains momentum in Arizona and California, a demand for new construction is also starting to percolate. Ann O’Neal Welcome to The Dealmakers special edition to be distributed at the ICSC’s Western Division Conference. While the supply and demand of retail space is still in the retailers’ favor, chains are charging to make their debuts in markets throughout the western states. I see lots of activity in the leasing and sales transactions in the western region with most of the action taking place in California and Arizona. Yes, there are still shopping centers with lingering vacancies in the region, however more and more chains are taking advantage of the opportunity to enter California and its surrounding states. The uses that I’m hearing leasing up lots of space in both states are supermarkets and chains carrying athletic apparel and sporting goods, as well as restaurant concepts. A newcomer to the market, Dollar General, recently entered California, with 50 stores that will be operating in the new territory by year’s end, and projections forecast the potential to operate up to 1,000 locations throughout the state. Destination XL, a 30-unit chain of men’s big and tall superstores launched by Casual Male Retail Group, is opening its second store in California and expansion plans call for 60 openings nationwide, next year. Lorna Jane, an Australian-based chain of women’s active wear shops, opened its first U.S. store in Malibu during March and has since added locations in Marina Del Rey, Santa Monica, Canoga Park, Westlake Village and Huntington Beach, California. The Fresh Market Inc., a 124unit chain of specialty supermarkets, is opening its first location in California at a site in Roseville, with additional locations to follow in Palo Alto and Santa Barbara. Lululemon, a 180-unit chain of women’s active wear stores operating throughout North America, chose California to test its newest concept, Ivivva Athletica, offering active wear for girls, ages six to 14, at a site in Corona del Mar. Natural Grocers By Vitamin Cottage, an 80-unit chain of specialty supermarkets, recently entered Arizona with the opening of its first three stores of approximately 10,000 square feet each in Flagstaff, Prescott and Sedona. Garbanzo Mediterranean Grill, a 14-unit chain of fast-casual restaurants operating in Colorado, is also entering California with Banzo Bean Inc., a franchisee that plans to open up to 10 locations in Orange County. Through franchisees, the restaurant chain is also growing in Texas with 15 locations to open in Austin and San Antonio, in addition to up to 10 restaurants in Oklahoma. Potbelly Sandwich Shop, a 250-chain of fast-casual restaurants is also entering Arizona with three openings. That’s a lot of expansion and growth too, since entering a new market is tough for any retailer and entering California requires chains to operate at higher costs than any other market in the states, exclusive of New York City and maybe Chicago. It’s becoming more and more obvious that retailers are taking advantage of the transition from recessionary rents before market rents are back in play. Not only are chains new to the market expanding in the western region, mainstays are growing too. Trader Joe’s, Walmart and The Grocery Outlet are continuing to expand in California. Sprouts Farmers Market plans to open up to 18 supermarkets next year, with new locations opening in Phoenix and Flagstaff, Arizona; Los Angeles, California; Houston, Texas and Denver, Colorado. Sleep Train Mattress Centers, a 97-unit chain, has plans to expand in northern California. Big Lots opened 32 stores in Arizona this year and has page 4

plans to open 50 more stores in the state. Habit Burger Grill, a 60unit chain of quick-serve restaurants operating throughout California and Arizona, is opening 16 locations this year, of which four will be in Orange County, California. Smashburger recently opened a location in Mesa, Arizona, which is the tenth of 30 locations that franchisee, SunWest Burgers, is slated to open during the next five years throughout the state. Westside Pizza recently opened its third location in California at a site in Redding through a franchisee. The chain operates another 17 restaurants in Washington. LA Boxing, a 75-unit franchised fitness concept offering boxing, kickboxing and mixed martial arts, has 50 franchise agreements in the pipeline for expansion, including growth designated for Orange County, California, and projections call for 220 locations to be in operation by 2015. Also, LA Fitness is growing and plans to open a location next year in Irvine, California. National chains have been more active in committing to deals in the western states for the past year and it’s starting to show with more centers filling anchor positions. Brixmor Property Group is just one example, as it added anchors to three of its centers in California with Dick’s Sporting Goods, T.J. Maxx and Toys ‘R Us recently opening stores. I’m seeing retailers growing their footprint in the western region with both the retrofitting of existing space and from ground up development. As leasing activity gains momentum in Arizona and California, a demand for new construction is also staring to percolate. A few retail projects in the works throughout the western states include a 48-acre site in Carlsbad, California that Caruso Affiliated recently acquired from the San Diego Gas & Electric Co. for future development. The Brown Group, Inc. recently named Fry’s supermarket as its anchor for a shopping center that it’s developing in Sun City West, Arizona, which is expected to open by 2014. In Tucson, Arizona a redevelopment of a former Mervyn’s is underway with SteinMart opening this year in a portion of the space, while Hobby Lobby will occupy the remaining space and open next year along with Mattress Firm and the Vitamin Shoppe. Near Bakersfield, California the Tejon Ranch Co. and The Rockefeller Group have partnered to develop The Outlets at Tejon Ranch. EWB Development is handling the leasing of the project, which is scheduled to open in 2014. On the acquisition side, a few notable recent closings include Phillips Edison - ARC Shopping Center REIT Inc. in a joint venture, acquired Broadway Plaza, an 83,612 square foot shopping center located in Tucson, Arizona which is anchored by a Sprouts Farmers Market. JMA Ventures, LLC recently acquired the struggling Downtown Plaza in Sacramento, California. DDR Corp. recently acquired the Tucson Spectrum Shopping Center, anchored by Target, Home Depot, Ross Dress For Less, Marshalls, J.C. Penney and Best Buy, in Tucson for $125 million. A&G Realty Partners, LLC was recently launched by Emilio Amendola and Andrew Graiser with offices in California, Illinois and New York. The partners have a long track record of assisting healthy and problematic retail chains with dispositions and non-core divestitures, restructuring real estate portfolios, acquisitions and avoiding bankruptcy. Retail chains also utilize the company to conduct portfolio reviews including valuation, due diligence and benchmarking future growth. In addition, the team has the expertise to assist major asset-based lenders with identifying opportunities for growth, disposition and acquisitions. As to acquisitions, A&G acquires real estate and participates in joint ventures. The company also acquires mortgages, and provides equity and “rescue” capital, as well as an auction platform to sell real estate nationwide in an expedited manner.

In addition, there have been a lot of real estate bankruptcies where the properties must be sold in a 45-day period. Our company’s ability to deliver short term liquidity will allow a 90 to 120 day real estate auction and will enable the trustee and their stakeholders to achieve “at market” sales.“ A&G also has focused its business on assisting owners that wish to retain their assets, yet that are in need of refinancing an asset that would not be considered a candidate for a conventional lender. “There is a tidal wave that is coming regarding the refinancing or restructuring of mortgage debt. There were a lot of financings completed in ‘06 and ‘07 where the mortgages are coming due, the property values have declined and the debt markets have gotten more conservative (realistic) as a percent of debt to market value. I feel that the restructuring of mortgage debt is going to continue to be significant over the next few years. In fact, our company is specifically focused on this issue and has selected certain markets where we can provide liquidity on good properties to assist with the restructuring of a retail asset,” added Graiser. Traditional lenders are slowly coming back to lending on retail real estate, however most conventional mortgages require more equity from the landlord and more credit worthiness from the tenant. Graiser noted that “we are seeing the debt markets opening up as it relates to retail

A&G’s acquisitions criteria include assets and mortgages valued in the $2 million to $15 million range and leveraged at 15% to 20%, plus I.R.R. The company will consider acquisitions nationwide of retail, restaurant, warehouse, office and industrial properties. Most typically, A&G acquires assets that are currently under some form of stress, and from borrowers that are challenged in refinancing their properties, in addition to loan-to-own candidates, REOs and large portfolios where troubled assets are hindering a sale or acquisition. Potential acquisitions for the company also include retail chains destined to close down their operations. Graiser explains that “We would look to conduct an orderly wind down of all of its assets and sell the inventory, fixed assets and IP with our strategic partners. Our greatest success has always been conducting an orderly wind down outside of a Chapter 11. In addition, we like retailers with good real estate where we can make an investment.”
