Casting Call

‘The Reel Deal’ premieres in Destin May 17-21 By Mac Deaver, MBA President The casting call has gone out. The MBA seeks hundreds of persons for roles in our four-day production of "The Reel Deal" which will be presented May 17-21 at the Sandestin Deaver Golf & Beach Resort. Many excellent parts are still available, including bank officers and directors, banker spouses, financial services professionals and vendors, regulators, public officials and others. (The casting director tells me he is especially looking for persons who enjoy learning, eating, socializing, dancing, playing golf, and just hanging out at the beach. And all cast members are invited to bring their families!) Everyone is encouraged to be part of the 2017 MBA Annual Convention as we conclude another successful MBA year. The convention schedule is filled with education, recreation and fellowship, with plenty of time left over to reconnect with old friends and to make new ones. And it all happens on Florida’s beautiful Emerald Coast! As usual, this year’s convention will be a “reunion” of Mississippi’s banking family, with lots of activities planned around our convention theme – “The Reel Deal” – which celebrates MBA Chairman Frank Sibley and his love of movies and television. And, as with any good family reunion, we’ll be sure that everyone gets a t-shirt! The MBA Convention is a great opportunity to recognize the many Mississippi bankers who played important roles in our association’s success this past year. With Frank in the director’s chair, the MBA was involved in a variety of genres this year, including drama and suspense, fantasy 2

and horror – and, yes, even a bit of science fiction and comedy! Our headliners, Frank and his leading lady, Kay, received critical acclaim for their outstanding performances as ambassadors for the MBA and Mississippi’s banking industry this past year. In Destin, we will express thanks to them for all they have done. I am especially excited about the cast members who will have “speaking parts" at the convention. Speakers include political analyst Fred Barnes, editor of The Weekly Standard and Fox News contributor; economist Ed Siefried, professor emeritus of Lafayette College; and Jill Castilla, CEO of Citizens Bank of Edmond, Oklahoma, and recipient of American Banker’s “Community Banker of the Year” award. We also will hear remarks from the elected leadership of both the American Bankers Association and the Independent Community Bankers of America. ABA chair Dorothy Savarese, chairman and CEO of Cape Cod Five Cents Savings Bank in Orleans, Massachusetts, and ICBA vice chair Preston Kennedy, CEO of Bank of Zachary in Zachary, Louisiana, will address general sessions. The convention will begin with Wednesday's Welcome Reception. The convention Trade Show will feature some 60 exhibit booths, along with fun activities, on Wednesday and Thursday, and the trade show giveaways will take place Friday. On Thursday evening, Trustmark National Bank will host its annual party, to be held in conjunction with our Second Annual Silent Auction to benefit the MBA Education Foundation. On Friday, First National Bankers

Bank and FNBB Capital Markets will host a convention-wide party on the lawn of the Grand Sandestin. And the convention concludes with Saturday night’s Annual Banquet, which will feature the music of The Tip Tops. (Dancing is encouraged!) In between, there will be many other events and activities, including the golf tournament on Friday, the spouse program on Saturday, and breakfasts hosted by the FHLB Dallas and GSB at LSU. (See pages 18-21 for more details.) Renasant Corporation, Metropolitan Bancgroup, Inc. Announce definitive merger agreement Renasant Corporation, the parent company of Renasant Bank, and Metropolitan BancGroup, Inc., the parent company of Metropolitan Bank, jointly announced the signing of a definitive merger agreement pursuant to which Metropolitan will merge with and into Renasant in an all-stock transaction currently valued at approximately $190.2 million. The proposed merger has been approved unanimously by each company's Board of Directors and is expected to close early in the third quarter of 2017. Comple-

tion of the transaction is subject to the satisfaction of customary closing conditions, including the receipt of required regulatory approvals and the approval of Metropolitan's shareholders. Founded in 2008, Metropolitan is a privately-held bank holding company with two offices in Nashville and two in Memphis, Tennessee, and four offices in Jackson. As of December 31, 2016, Metropolitan had approximately $1.2 billion in total assets, approximately $918 million in total loans and approximately $888

million in total deposits. "This is an attractive opportunity to partner with a dynamic franchise with tremendous banking talent. Metropolitan is a high quality commercial and private bank with a strong credit culture and an attractive client base which enhances our current presence and market share in the key markets of Nashville and Memphis, Tennessee, and Jackson," said Renasant Chairman and Chief Executive Officer, Robin McGraw. Bank of Forest set to acquire Bank of Walnut Grove The Board of Directors of Bank of Walnut Grove has agreed for the bank to be acquired by Bank of Forest in a merger whereby the existing shares of Bank of Walnut Grove will be purchased for cash. The transaction is expected to be completed during the second quarter of 2017, pending regulatory and Bank of Walnut Grove shareholder approval, and will result in what Bank of Forest President and CEO Allen Breland termed “the merger of two like-minded, independent banks that will benefit the customers of both institutions.” Upon completion of the acquisition, Bank of Forest will manage blended assets approaching $220 million with capital of approximately $25 million, a capital-toasset ratio of approximately 11.5% that exceeds federal capital requirements. In addition, Bank of Forest will expand its footprint to include Walnut Grove in addition to its Main Office in Forest and an office in Flowood. Bank of Forest also operates two other subsidiaries: Forest Insurance Agency, Inc. and Diversified Mortgage Corporation. 4

Both banks enjoy a long and lustrous tenure in their respective communities. Bank of Forest was founded in 1900 while Bank of Walnut Grove was established in 1923. The Board of Directors of Bank of Forest and its sole shareholder, First Forest Corporation, approved the acquisition on February 15, 2017. “We look forward to welcoming the employees of Bank of Walnut Grove into the Bank of Forest family,” Breland said. “At the same time, we embrace the opportunity to introduce their customers to our unique brand of community banking. We are working diligently to ensure as seamless of a transition as possible.” Bank of Walnut Grove President and CEO Ray Britt echoed Breland’s goal for a smooth transition by saying “We are looking forward to becoming a part of Bank of Forest. It has enjoyed a long history of excellence in Scott and Rankin Counties and has a legacy of fiscal integrity upon which the bank has grown and prospered.” Carl Ware, Senior Vice President of Bank of Walnut Grove, noted that changes in the regulatory landscape played a part

in the bank’s decision to be acquired. “Over the course of the past several years, the errors of Wall Street banks trickled down to affect the viability of independent banks in communities across America,” he said. “As a result, federal regulatory pressures have increased to the point that many independent banks have had to spend an inordinate amount of time on these issues, which takes us away from our core business. To join with Bank of Forest benefits both of our banks in this regard. I think this is a good union for all parties involved including both of our customer bases.” “In our role as a true community bank, we believe in the benefits of relationshipbased banking,” Breland continued. “To that end, we look forward to working with the Walnut Grove staff, knowing that their customers will find comfort in continuing to rely on bankers they have come to know and trust. And, Bank of Walnut Grove customers will soon be able to conduct their banking in Forest and in Flowood as easily as they do in Walnut Grove.”

Guaranty Bank expanding its Indianola office Officials at Guaranty Bank & Trust Company held a ground breaking ceremony marking the expansion of its location in Indianola, located at 215 Highway 82 West. Hue Townsend, President and CEO of the bank, said the project “reflects not only our investment in Indianola but the growth we’ve experienced by offering a unique brand of independent banking. Bankers unite to dedicate 'Banker Build' home Seven Jackson area banking institutions partnered for the second year in a row with Habitat for Humanity Mississippi Capital Area (HFHMCA) to build a home for a local family. On February 23, representatives of BancorpSouth, First Commercial Bank, Origin Bank, Regions, Renasant Bank, Trustmark National Bank and Wells Fargo, joined the homeowner family and supporters and staff of HFHMCA at for the dedication of the home. Employees from the seven banking institutions worked together in October and early November to construct the Habitat house at 2816 Greenview Drive. “The partnership serves as a model for the entire community, showing what can be accomplished when we work together,” said Larry Ratzlaff, Mississippi state president of Origin Bank and president of the Habitat Board of Directors. “We are proud to be community partners

Growing number of banks utilizing Captives for enterprise risk management By Josh Miller There is no avoiding it. Cyber security and reputation protection are among today’s significant, emerging risks, thus creating exposures for banks of all sizes. At the same time, commercial insurance carriers are pushing banks to higher deductibles, so there remain significant gaps in coverage and exclusions in commercial insurance policies. This creates unfunded risks, which must be evaluated as a part of any bank’s enterprise risk management process. To address the concerns, banks throughout the country are forming captive insurance companies – known as “captives” – to cover these unfunded risks. A captive is a legally licensed, limited purpose, property and casualty insurance company, which can write customized policies for related entities. While larger institutions (typical-

Covers the bank’s commercial deductible layers • Provides “difference in conditions” coverage for existing commercial policies, which primarily relate to sub-limits and exclusions on the commercial policy form • Increases coverage levels on existing policies (excess layers) • Identifies other currently unfunded risks to insure where commercial insurance is not available to the bank. Along with benefits received from enhancing a bank’s risk management process, Congress approved a small business incentive for mid-size companies that form their own insurance companies to insure these currently unfunded risks. Through the incentive, banks can form their own captive insurance companies and then make an election under Section 831(b) of the Internal Revenue Code.

This allows companies to pre-fund for potential future risks on a tax advantaged basis, provide an incentive to set money aside for future potential claims and create a mechanism for companies to formalize their current self-insurance program. In the December 2015 Appropriation Bill, Congress moved the annual allowable premium limit from $1.2 million to $2.2 million starting in 2017. Of course, this solution is not a fit for every bank. This solution should only be implemented by banks with sufficient capital and earnings. Holding companies that want to form a captive must be well managed and well capitalized and their affiliated bank that pays premiums into their captive must have sufficient capital and earnings to support the additional insurance expense at the bank level. Captive insurance companies are a growing trend for high performing banks throughout the country. As banks

become more aware of their unfunded risks through ongoing enterprise risk management, the captive offers a unique and customized approach to identify and fund for those risks on an annual basis. And, the significant small business incentive provided under Section 831(b) of the tax code provides further motivation to implement the structure.

‘Rooted in Tradition” draws over 440 to MYB Convention and Study Conference Over 440 attended the 2017 MYB Convention and Study Conference, held March 11-15 at Marriott’s Grand Hotel in Pt. Clear, Alabama. The theme of this year’s convention was “Rooted in Tradition." MYB President Kent Mortimer of Bank of Kilmichael in Kilmichael presided over the convention, which was highlighted by the election of new officers and councilmen and the presentation of scholarships sponsored by MYB and MBA Education Foundation. The 2017 convention featured a number of fun and educational events designed to promote fellowship among the bankers and families in attendance. The convention opened with a welcome by MYB Vice President Wes Rouse on Sunday, March 12. Sunday’s general session speakers included acclaimed economist Wil Tustin and workplace generational expert Cam Marsden. New this year, a CEO panel comprised of MBA Chairman Frank Sibley, MBA Vice Chairman Jerry Host, Former MBA Chairman Jimmy Clayton and former MBA Chairman Bill Sones, provided great insight based on the vast banking experience represented in the panel on Monday. Monday's general session closed out with Lieutenant Colonel Robert Darling who shared his riveting experience in the President's bunker on 9/11. During the convention, two annual scholarships were awarded. Zachary Irons of The University of Southern Mississippi was named the 2017 Swayze Scholar and was presented a $5,000 award. The Merit Scholarship was awarded to Julia Hancock. The scholarship awards were presented at the annual MYB Banquet by Jerome Brown, member of the MYB Scholarship Committee. Zachary Irons named 2017 Swayze Scholar Zachary Irons, a senior at the University of Southern Mississippi, was named the 2017 Swayze Scholar on March 14 at the Mississippi Young Bankers Convention. Irons received the Swayze Medallion and a cash award of $5,000 from the MBA Education Foundation. The Orrin H. Swayze Scholastic Awards have recognized outstanding college seniors studying banking at Mississippi universities since 1979. The annual awards bear the name of Orrin H. Swayze, who was a widely respected Mississippi banker and a pioneer in banking education. Among other things, Swayze was the founding director of the Graduate School of Banking at LSU. Each year, college seniors studying banking and finance at Mississippi’s public universities are nominated by their professors as candidates for the Swayze Awards.

The MYB Scholarship Committee selects five finalists and, during the MYB Convention, conducts interviews and names the Swayze Scholar. This year’s Swayze Finalists included Bryan Burton, Mississippi State University; Mary Chandler Izard, University of Mississippi; Picasso Nelson Jr., University of Southern Mississippi; and Brian Reed, University of Mississippi. They were recognized at the MYB banquet on March 14 and received cash awards of $1,500 each. The Swayze Awards represent one of a series of scholarship awarded each year through the cooperative efforts of MYB and the MBA Education Foundation. A committee of bankers evaluates nominees and makes the awards. This year, Jennifer Swoope, BancorpSouth, West Point, served as chairman of the Scholarship Committee. She was joined on the

A Winning Game Plan for 2017

Few would dispute that Washington is very much in the business of banking. But who is in the business of Washington? According to the Congressional Research Nichols Service, the members of the 115th Congress include a record number of women (109), African-Americans (52), Hispanic or Latino members (45), and Asian, Indian or Pacific Island Americans (18). They also include a fairly typical mix of professions, with a heavy dose of members having previously served in public office, business, law and education. A closer look at previous occupations reveals that our current class of lawmakers includes 36 from the real estate industry, 26 farmers or ranchers, 14 physicians, 11 accountants, nine social workers, eight ordained ministers, seven radio talk show hosts, six software company executives, three venture capitalists, two Peace Corps volunteers and one physicist. So where do bankers rank? There are currently 18 members who came to Congress with a background in banking. Relative to the other professions noted above, 18 bankers may seem like decent representation. But unlike the other professions, banking is an industry that plays a central role in economic growth and job creation. You have relationships with all these other professions, helping to meet their funding, cash management and payroll needs. You also have relationships with more than 112 million American households. That suggests we need far more bankers to serve in Congress, representing not just our institutions, but also the families, customers and communities that we serve. And if that isn’t enough reason, consider that of the 60 men and women who 32

serve on the House Financial Services Committee — one of Congress’ largest committees and the one that sets the agenda and oversight of laws governing banking — only five have banking experience. That’s absurd. Now here’s the good news. Bankers are already in the business of serving their communities, not just through their bank, but also on the boards of the local nonprofit, hospital and school system. Arguably serving in public office is nothing more than a logical next step rather than a giant leap. The even better news is that ABA has a way to help you take that next step. This September we are piloting our first ever ABA Candidate School to help bankers — Democrat, Republican or Independent — run for state or federal public office. The nonpartisan school, set for Sept. 13-15, 2017, in Washington, D.C., will provide all the information you need on how to file necessary paperwork, manage paid and earned media, fundraise, research and target, and get out the vote. It will demystify the process. As you may have heard me say when describing ABA’s Power Up initiative, aimed at building our industry’s political capacity, if the past decade has taught us anything, it’s that more bankers need to be involved in the public policy debates surrounding our industry. And those casting votes on banking policy must fully understand and appreciate the impact their decisions will have on a community and its residents. So if you have ever considered running for office, or if you have been a vocal advocate on state or federal policy issues and are ready to take your political engagement to the next level, I strongly encourage you to apply to this school.
