From the President THE MISSISSIPPI BANKER

Happy Holidays and 'thank you' By Mac Deaver, MBA President & CEO

Once again, the Christmas season is here. And once again, all of us in the Mississippi banking family have much to be thankful for. The MBA enjoyed Deaver another good year in 2018, thanks to the participation and support of hundreds of Mississippi bankers from across the state. Banker service to our association takes many different forms -- serving in the leadership of MBA or MYB, accepting appointment to committees, participating in an MBA banker education program, making a financial literacy presentation, attending a legislative event in Jackson or Washington, responding to a grassroots call to action, or providing feedback to the staff or lending expertise on important industry issues. Banker involvement serves as the fuel for the MBA's success. In my 32 years with the MBA, I have come to appreciate more and more the value of relationships within the Mississippi banking community. By maintaining these relationships, bankers gain an understanding of common industry issues and are prepared to work together to address them. Banker-to-banker relationships are the solid foundation on which the MBA has been built. In my view, fostering these relationships is the most important thing we do as an association. Our association also receives wonderful support from others, most notably our Affiliate members. These individuals, companies and firms participate in MBA activities as sponsors, exhibitors and advertisers, as well as sharing their expertise, products and services with Mississippi banks. Of course, we also enjoy great work2

ing relationships with elected officials and regulators. And we work closely with other membership organizations, including many Mississippi associations and national industry groups, such as the ABA, ICBA, and others. The MBA's long and proud history can be traced to the great relationships among our members and the relationships our association enjoys with others. And this enables us to fulfill our mission of promoting a strong Mississippi banking industry, which, in turn, promotes prosperity for our state and our communities. Perhaps the biggest highlight of the past year was the enactment of significant regulatory relief legislation (S. 2155) in May. This legislation represents a good start toward making bank regulation more reasonable. Federal agencies continue to work on regulations to implement the new law, and a more positive regulatory environment in Washington appears to hold opportunities for further progress. Several highlights of the MBA's year are reflected on the pages of this issue of The Mississippi Banker. Our "A Banker

(Page 10) Our MBA Education Foundation continues to provide opportunities through scholarships and financial literacy. (Page 8) MissBankPAC, our politician action committee, gave our industry a voice in November's midterm elections and continues to work toward the 2019 state elections. (Page 16) And nine of these Affiliates are "MBA Program Partners," providing financial support to our banker education programs throughout the year. (Page 9) Our MBA-sponsored health insurance program continues to be a stable source of medical benefits for employees of Mississippi banks. (Pages 16 and 29) Inevitably, in mentioning certain activities, I have left out many others that are vital to our success. And we continue to add new programs and activities. I personally appreciate the great support given by so many to the MBA this past year. Special thanks go to our banks and bankers, starting with Chairman Mary Childs and members of the MBA Board and Executive Committee. I am also thankful to the MBA staff members, all of whom have provided tremendous support to the association this past year. I want to express special appreciation to my wife, Susan, who has gone "above and beyond" during the past year and a half, working tirelessly to perform communications duties, including producing this magazine, managing the MBA website, and much more. served as the bank’s Chief Operating Officer for eight years. Freddie J. Bagley will ascend to the position of Senior Chairman after serving as Chairman of the Board Bagley since 2014. Bagley previously held the position of President and Chief Executive Officer of the bank for many years. In his new role as Senior Chairman, he will have an active and vital role in the bank’s daily operations. The Board announced the promotion of Gregory A. Moore to the position of President and CEO of

Community Bank. Moore, who has served as Metro Jackson area CEO for over 11 years, will now oversee the growth and further development of the bank across its four- Moore state footprint. He will continue to lead daily operations of the Metro Jackson area. Community Bank is one of the South's fastest growing financial institutions. Today, the bank has more than $3.2 billion in assets with 48 officers and over 800 staff members in Mississippi, Tennessee, Alabama and Florida.

The Mississippi Banker to publish Quarterly beginning in new year The Mississippi Banker, the official publication of the MBA since 1914, is becoming a quarterly publication. Beginning in 2019, the magazine will publish regular issues in January, April, July and October. "The Mississippi Banker will continue to provide timely information on industry and association activities, as well as news about what banks and bankers are doing in Mississippi," said Mac Deaver, MBA president. He said that the MBA continues to work toward a comprehensive communication plan, that will include increased use of electronic communications and social media. Deaver said the new publication schedule should allow the magazine to operate more efficiently as part of the MBA's overall communications plan. "The Banker" will continue to publish news on industry developments, bank promotions, and the MBA, Mississippi Young Bankers, and other supported programs and activities. Coverage of the association leadership, membership and Affiliate activities, and major events will

continue, along with event schedules, job bank, and other regular features. Deaver said that there will be renewed emphasis on reporting news about what Mississippi banks are doing to support their communities and customers. The magazine will continue to be supported by advertisers, Deaver said. New schedules are being distributed to current and prospective advertisers, and advertising rates will not increase in 2019, he said. MBA member banks and Affiliate members receive preferred ad rates. Bankers are encouraged to submit information and photos for publication. Trustmark kicks off financial education initiative

Web-based program brings financial literacy education to freshmen students Trustmark Community Market President Archie Anderson recently visited Meridian High School to kick off the Trustmark Financial Scholars Program. This online program, powered by EVERFI, teaches students important financial concepts for effective money management that can be applied now and in the future. Student participants received a personal note from Mississippi State Treasurer Lynn Fitch and performed activities that compared different scenarios regarding spending, saving and planning for the future. Trustmark is a founding member of Mississippi State Treasurer Fitch’s financial education initiative: Treasurer’s Education About Money (TEAM), a public-private partnership that includes local communities, businesses, nonprofits and educators all aimed at improving Mississippi’s financial literacy. “Our mission is to better the financial well-being of the communities that we serve, and this financial education initiative is a key piece of Trustmark’s larger commitment to the Meridian community,” Anderson said. “At Trustmark, we believe it is important for young people to learn the fundamentals of money management early in life. This online program provides students with the knowledge, skills and competencies to apply toward their future financial decisions.” The Trustmark Financial Scholars Program features an interactive, newmedia learning platform specifically designed to introduce financial literacy skills and build financial capacity necessary to assist high school students as they transition into adulthood.

Trustmark Financial Scholars Program kicks off at Meridian High School.

“It’s imperative that today’s students are better prepared for their financial futures, and we’re grateful to our many private-sector partners that have stepped up to be part of the solution,” said EVERFI CEO Tom Davidson. Through the web-based course, students are immersed in real-life financial scenarios and documentation. Each of the course modules allows students to move at their own pace, providing bite-sized instructional animations that make the topics approachable and relatable. Indepth processes – like buying a car or filling out the FAFSA form – are broken down for the student in an easyto-understand way. Additional topics include understanding a paystub, savings and investing and banking basics. The platform uniquely tracks the progress and performance of every student. Educators are able to see real-time data on student performance, while the technology aggregates crucial data on hours of learning completed and knowledge gained.

MissBankPAC meets 2018 fundraising goals, Makes difference in federal, state elections 2018 was a very active political year in Mississippi, and MissBankPAC, the MBA-sponsored political action committee, worked throughout the year to provide a voice for the state's banking industry in federal and state elections. MissBankPAC's Federal Fund had a productive and busy year in the 2018 Congressional elections. Thanks to strong support from Mississippi bankers, the Federal Fund met its annual fundraising goal for 2018. The Federal Fund, affiliated with ABA BankPac, contributed to successful candidates in all of Mississippi's U.S. Senate and House elections. MissBankPAC supported Sen. Roger Wicker and Sen. Cindy Hyde-Smith, along with Rep. Trent Kelly (1st District), Rep. Bennie Thompson (2nd District), and Rep. Steven Palazzo (4th District) in their reelection bids. The PAC also supported Representative-Elect Michael Guest in the 3rd Congressional District. The State Fund of MissBankPAC also had an excellent year, achieving 109% of its 2018 fundraising goal. This marked the fourth consecutive year that the Sate Fund substantially exceeded its goal. During the year, the State Fund made several contributions to pro-banking legislators, and also contributed to the ABA's Voter Education Fund, an important new political tool for the banking industry. MBA Education Foundation

Providing opportunities through scholarships, financial education The Mississippi Bankers Association Education Foundation is currently completing its 2018 fundraising campaign to support its mission of providing financial education in Mississippi through scholarships and financial literacy training. Established in 2012, the Education Foundation operates as a charitable subsidiary of the MBA. Each year the Foundation funds scholarships totaling $15,500 awarded to high school and college students and bankers in conjunction with the Mississippi Young Bankers section. Additionally, the Foundation supports personal finance education provided to students and consumers by the MBA, MYB and member banks. Its goal is to provide a stable, long-term source of funding for these important activities. Current scholarships include the Orrin Swayze Awards, given to five college seniors studying banking and finance, with one of the five being named Swayze Scholar; the Leadership Scholarship, given to a college junior studying banking; the Merit Scholarship, given to a high school senior who is the son or daughter of a Mississippi banker; and the Don Moak Achievement Award, given to the top graduate of the MBAsponsored Mississippi School of Banking. Each scholarship has specific rules governing eligibility and selection criteria. Greg McKee, president and CEO of The Citizens Bank of Philadelphia, and vice chairman of the MBA, serves as president of the Education Foundation. In a recent letter, McKee encouraged Mississippi bankers to consider making a gift to the Foundation before the end of 2018 and to include the Foundation in their giving budgets. “Supporting the MBA Education Foundation makes activities possible which benefit our communities and our state,” McKee states in his letter. Gifts to the Foundation are taxdeductible under state and federal law. McKee chairs a nine-member Board of Directors – composed of bankers serving in leadership of the MBA and MYB. In addition to McKee, other board members are Andy Anderson of Anguilla 8

'A Banker in Every Classroom'

Teachers, bankers spearhead 8th successful year Mississippi bankers celebrated the eighth annual "A Banker in Every Classroom' Week by visiting classrooms, making financial education presentations, and building relationships with teachers and future customers during the week of October 29-November 2. MBA staff assisted with approximately 274 matches between bankers and teachers across the state, with almost 40 banks participating in this successful

event. (See bank listing on page 11.) MBA senior vice president Amy Davis explained that in addition to presenting an exciting opportunity to magnify the impact of existing programs, BIEC has proven year after year that building relationships with local teachers offers benefits for our schools and banks. "This year, even more than other years, we had requests from teachers for specific bankers," shares Davis.

"MBA is pleased that teachers and bankers have embraced this program." In addition to the annual focus, bankers are encouraged to continue financial education presentations year-round. Presentation materials are available, but bankers and teachers can decide what works best for them and the students. GSB at LSU: Working to keep curriculum focused 69th annual session set May 19-31 in Baton Rouge

By Mike Highfield, PhD, CFA, CTP, Vice President for Curriculum, GSB at LSU Professor of Finance, Mississippi State University

Benjamin Franklin once said, “An investment in knowledge pays the best interest.” For 70 years, the faculty of the Graduate School of Banking at Louisiana State University has been investing in the next generation of banking leaders, providing them with the knowledge they need to be successful, both personally and professionally. Building on our tradition of excellence in instruction, the GSB at LSU leadership team has sought student and faculty comments, consulted with GSB alumni, compared our curriculum to graduate schools of banking in other regions of the country, and enhanced our relationship with our sponsoring state banking associations. Through these and other efforts, we are continuing a multi-year plan of modifications to our school’s curriculum, with the goal of increasing the value of a

diploma from our school. Below are highlights of recent and upcoming changes. First, across the curriculum, we are emphasizing ethical decision-making as part of leadership in the financial services industry. As a result, we have replaced the freshman financial planning case with a new freshman case on ethical decision-making in the banking world. Danny Payne, a long-time Texas banker, developed the course for 2018, and he is updating the case for the 2019 session. Second, we are pleased to introduce two new upper-level courses focused on

different facets of ethical leadership in 2019: Leading Inside and Outside the Bank will be a required senior course for 2019, and Leading through Advocacy will be a Junior/Senior elective for 2019. In the required course, Rita Floyd, Director of Organization Development at Trustmark National Bank, will emphasize the importance of ethical leadership, the critical difference between leading and managing, how to effectively deal with conflict, and the role of bankers as stewards in their community. organizational effectiveness through interacting with state and federal legislators, state and national banking associations, and the local community. Third, continuing our focus on ethical leadership, the Tuesday-evening keynote speaker during last year’s GSB session was Dr. James Olson, former Chief of Counterintelligence at the Central Intelligence Agency. His speech was not only patriotic, but it addressed deep questions regarding our world-view of leadership and ethics. For 2019, we will welcome Tommy Spaulding, a New York Times bestselling author, leadership expert, and nationally acclaimed speaker, to GSB at LSU for an inspirational discussion of how “heart-led leadership” is the key to personal and corporate success in the financial services industry. Finally, while many of the curriculum changes above relate to leadership, be assured that we remain committed to our role as a banking school. The GSB faculty are teaching leadership skills that are applicable to unique aspects of the financial services industry. Additionally, we are making changes in the operational and foundational por14

tions of our curriculum. For example, recognizing the increasingly competitive world for corporate bank services, last year we moved Treasury Management to a required course. Taught by Mark J. Krawczyk, Principal and Owner of CZYK & Associates, this course forces bankers to evaluate their bank products from the perspective of their customer. Also, last year we introduced a new course emphasizing the risks faced by banks in the digital age: Risk Management and Cybersecurity. Chad Tagtow, a graduate of GSB at LSU and Senior VP/CIO for Citizens Bank and Trust in Winter Haven, Florida, taught this course as a junior/senior elective for 2018. We have decided that this course will be required for our juniors, with a required bank study project, in 2019. At GSB at LSU, our goal is to ensure that our graduates are prepared to advance and serve the needs of our industry, both today and in the future. Our next session is scheduled for May 1931, 2019, and Mississippi bankers are invited to visit www.gsblsu.org to learn how GSB at LSU can help advance their careers and the success of their banks.

MBA-sponsored health plan offers stable source Of medical benefits for Mississippi banks For over 60 years, the Mississippi Bankers Association has offered a program of group medical insurance for its member banks. Since 1991, the association has spon- Phllips sored a self-insured program operated by the Mississippi Bankers Voluntary Employees' Beneficiary Association (VEBA) Plan & Trust. The MBA-sponsored program has enjoyed a consistent record of providing attractive benefits at stable premium rates. Currently, 47 MBA member banks - a majority of banks in the state - offer medical insurance to their employees though the program. The program operates as an independent trust governed by a Board of Trustees composed of senior officers of participating banks. The program offers medical coverage through six different plans which offer a range of premiums and benefits. The program's Board of Trustees manages plan reserves, monitors financial performace, and approves terms and premiums. In recent years, the trustees have taken actions to assure compliance with changing insurance laws and maintain the program's success. Sherell Taylor, MBA manager of insurance services, oversees internal administration of the program and works closely with member banks. Blue Cross Blue Shield of Mississippi handles claims administration and provides actuarial services. Stockett & Thomas Agency serves as program consultants and markets the program to MBA-member banks. MBA president Mac Deaver serves as secretary to the Board of Trustees. For more information about the MBA medical program, contact Chad Stockett or Curt Thomas at Stockett & Thomas, 601-948-3733. American Bankers Association THE MISSISSIPPI BANKER

Keeping Pace With Change

By Rob Nichols, President and CEO, American Bankers Association

If you are like many of the hundreds of bankers I have talked to since joining ABA three years ago, odds are you have an issue with your core provider. Yes, these companies are critical partners, Nichols and they deliver many excellent services in a professional and dependable manner. But when it comes to offering you the agility you need to keep pace with technological innovations, they may leave you lacking. That’s not to say that the industry’s primary core providers aren’t developing new products — but they do not always produce the ones you want to offer your customers or enable you to engage with those vendors that do. None of this would pose an insurmountable obstacle it if weren’t for the fact that breaking up with a core is exceedingly difficult. The contracts are long, your provider options are limited, conversion is a bear and a single bank’s leverage is almost nonexistent. So what can a bank do? Individually, options are limited, but collectively we can make a difference. That’s why I recently wrote to the leaders of the three major core providers on bankers’ behalf. The message, delivered respectfully: Empower community banks with the modern technology demanded by today’s competitive

marketplace. That means either delivering technology solutions themselves or, if they cannot, allowing banks to engage with other vendors that can. I invited each to engage with ABA and our new Core Platforms Committee, which is composed of community bankers charged with identifying concrete ways we can address these challenges.

The need for action is urgent, and I’m confident our committee and core providers will respond accordingly. The need for action is urgent, and I’m confident our committee and the core providers will respond accordingly. As we work to resolve this hereand-now issue, community bankers must also be focused on the future. Given the rapid and constant pace of innovation in the fintech space, it’s vital that banks as well as the associations that represent them are nimble and responsive to new opportunities. With that in mind, ABA recently made an innovative, direct investment in Summit Technology Group, an emerging company that is helping banks and other businesses migrate to the cloud. We view this action, which followed a thorough vetting process by

our staff experts and board members, as an investment in the future. It offers not just an opportunity for a return on our investment, but also better positioning for our members. We won’t stop there. ABA’s board has directed us to consider additional opportunities to invest in fintech companies that we expect to have an important impact on banking. We’ll specifically look for those that have a strong business model in a growth sector, that help banks in efficient and innovative ways and that benefit you. We’re doing this for the same reason you are exploring new technologies to serve your customers. And because we know how hard it is to focus on the future when the present has challenges of its own. Banks are used to technology transforming the way we do business—that’s not new. (After all, banks were fintech before fintech was cool.) It’s the pace of innovation that’s new - and it won’t stop. As the head of Google’s R&D arm tells Tom Friedman in the book Thank You for Being Late, the days of static stability are over, and we must learn to live in a new state of “dynamic stability”—the kind of balance you get when riding a bike, not trying to stand still on one. ABA and your state association are committed to helping you find and keep that balance, and to helping you keep pace with change, so that your banks can continue to grow and succeed.

Independent Community Bankers Association THE MISSISSIPPI BANKER

We’re already experiencing tangible benefits of S.2155 By Tim Zimmerman, CEO, Standard Bank, Monroeville, Pa. and Chairman, ICBA

They say the days are long and the years are short. This is often used in the context of raising children, but it’s just as relevant for community bankers in 2018. While our days were sometimes a grind, together Zimmerman we achieved numerous historic advocacy gains that have had tangible benefits for community bankers. We started 2018 digesting and implementing generational tax reform, which passed at the end of 2017 and features significant reductions in tax rates. Meanwhile, we kept our focus on pushing forward for regulatory relief. Thanks to the cumulative impact of grassroots calls and emails, op-eds, petitions and meetings, the Economic Growth, Regulatory Relief, and Consumer Protection Act (S.2155) was passed and signed into law with strong bipartisan support! This landmark law unravels many of the suffocating regulatory burdens community banks face. For community bankers, it is already paying dividends and providing real regulatory relief.

Let’s start with mortgage lending. The expanded “qualified mortgage” safe harbor for portfolio loans will benefit the vast majority of community banks. The agencies have begun to act on the exemption from expanded Home Mortgage Disclosure Act reporting, shielding many local banks from this excessive regulatory burden. Meanwhile, they’re working to

Community bankers this year sent more than 15,000 messages and 10,000 petition signatures to Congress advocating the passage of S.2155. implement relief from mandatory escrow requirements. For those community bankers who have considered leaving the mortgage lending market due to the regulatory headaches, these and other provisions could be a game changer. Or how about the broader regulatory reporting environment? S.2155 imple-

ments a short-form call report, expands access to the 18-month exam cycle, exempts most community banks from the Volcker Rule, simplifies capital rules and eliminates Dodd-Frank stress testing for larger community banks. This all adds up to a far more efficient and manageable regulatory regime, allowing community bankers to focus more on what we do best: serving our customers and communities. Amid these policy improvements, we’re also enjoying a welcome change in the “tone from the top” or culture of the banking agencies. The regulatory heads have professed a commitment to transparency, innovation and congressional intent while they’ve begun transforming their agencies to restore trust among community bankers and other regulated entities. As 2018 comes to a close, the community banking industry stands far stronger than it did at the beginning of this whirlwind of a year. The concrete policy gains that we achieved are already helping our banks thrive. I am confident that we will be able to continue building on these accomplishments in 2019. It’ll be here before you know it.
