Hitting the ground running By Mac Deaver, MBA President The MBA has "hit the ground running" as we begin a new association year. Chairman Jerry Host has been busy working to chart a successful course for the association, and the Deaver staff has already begun working on a "to do" list that includes many ongoing projects to finish and new opportunities to realize. The 2017 MBA Convention provided a great conclusion to another successful year and served as a springboard into 2017-18. Our convention continues to be one of the largest state bankers conventions in the nation, and this year’s truly was “The Reel Deal”! (Convention highlights appear on pages 17-21.) Thanks to all 671 persons who attended the convention. Topping our goals for 2017-18 is the continued implementation of the MBA strategic plan, adopted last fall. This fouryear plan includes dozens of initiatives and projects designed to help maximize the value of MBA membership. The plan not only covers the visible “moving parts” of our association (education, government relations, communications, services and products, etc.), it addresses other matters that will determine the long-term success of the MBA (such as our structure, financial operations, governance, and others). One key objective of the strategic plan is to increase participation by more banks and bankers in MBA activities. Needless, with the number of member banks declining, this objective presents a serious challenge. Input from bankers last summer provided the starting point for our strategic plan. As we work to define, prioritize and carry out details of the plan, we will need the continued input and involvement by member bankers. Thanks for supporting 2
the leadership and staff as we work to do this. One way the MBA is working to provide increased value is through arrangements that provide meaningful products and services to member banks on terms not otherwise available to them. In this process, we evaluate proposals from service providers wishing to partner with our association and, when we have adequately vetted the service and the provider, we negotiate for favorable pricing and delivery options for member banks. If an endorsement agreement is reached, the MBA recommends the program to our members, and we support our endorsed partner in its marketing to Mississippi banks. Importantly, the MBA receives financial support from these endorsed arrangements, and the non-dues revenue generated helps mitigate any need for member dues increases. At the recent convention, we highlighted our three most recent endorsed programs - the Office Depot Purchase Program, the Bank Captive Program offered by KeyState Captive Management, and geo-spatial imaging services offered by Vizaline. Brooke McCoy, MBA marketing manager, works with these programs, and she would welcome hearing from bankers who have interest in them. Brooke also is involved in identifying opportunities for other endorsed programs. Please contact her if you have questions or thoughts in regard to current or prospective MBA programs. For the second year, one of the most exciting events at the MBA Convention was a silent auction held to benefit the MBA Education Foundation. The Foundation, started in 2012, funds scholarship programs and supports financial literacy activities throughout the state. Thanks to the participation and generous support of many of you, the convention

silent auction generated over $13,000 for the Foundation. (See article on page 22). MBA Vice Chairman Mary Childs becomes president of the Education Foundation on July 1, and she will be leading the Foundation board as it explores ways to grow the Foundation and to expand its activities. I am constantly saying that any success enjoyed by the MBA can be attributed to involvement by Mississippi bankers. Not only does banker involvement benefit our association, it also helps to advance the careers of participating bankers and provides benefits to their institutions. With this in mind, I would like to recommend service on an MBA standing committee as a great way for bankers to become involved. Chairman Host will be appointing standing committees during the month of July, and I encourage bankers to volunteer to serve – or recommend others in their bank for service. Our committees cover many areas of banking – such as lending, compliance, communications, human resources, security, trust and others. Committee members stay abreast of the latest developments affecting their jobs (and their banks). Perhaps most important are the relationships that committee members develop with their colleagues in other Mississippi banks. I encourage you to contact Amy Davis or me if you would like to learn how you can serve on an MBA committee. As we begin a new MBA year, I want to express my personal thanks to our association staff, which works every day to support our member bankers and to make the MBA a success. I especially appreciate their dedication and commitment to their jobs, and the support they give to one another. I encourage all Mississippi bankers to call on any member of the MBA staff whenever they might assist you. They’ll be glad to hear from you!

Grubbs joins board of directors At Citizens Bank, Columbia Lee H. Fedric, Chief Executive Officer of Citizens Bank in Columbia announced the appointment of Mack Grubbs to the board of directors of Citizens Bank and Citizens Corporation. Grubbs Grubbs is a graduate of the University of Southern Mississippi with a bachelor’s degree in Accounting. He is involved in business and community activities with his business interest including Mack Grubbs Motors, Mack Grubbs Hyundai, Palo Verde Re-Insurance Holding LTD, Diversified Dealers Association, LLC; and Newk’s Express Café located in Hattiesburg, Mississippi.
Grubbs serves as a director on the Forrest General Healthcare Foundation Board, a member of the Mississippi Post Secondary Education Financial Assistance Board, and a member of the Marion County Development Partnership Board. He is past President of the University of Southern Mississippi Athletic Foundation and a University of Southern Mississippi Alumni Hall of Fame Inductee. Grubbs and his wife, Vickie, reside in the Bellevue Community and are members of Temple Baptist Church in Hattiesburg. He has a daughter and son-in-law, John and Terri Parker, two grandchildren, Warren and Ina Claire Parker, and a stepson, Phillip Rogers.

Copiah Bank names Bozeman president and Chief executive officer Carl S. Bozeman, Jr. was elected president and chief executive officer of Copiah Bank by the bank’s board of directors. George R. Marx, Chairman of
Guaranty Bank Acquires Ike Trotter Agency as Part of Guaranty Financial Services Hue Townsend, president of Guaranty Investment Corp., operating as Guaranty Financial Services, which is a whollyowned subsidiary of Guaranty Bank & Trotter Trust Company, has announced that they will merge with the investment subsidiary of the Ike Trotter Agency, LLC in Greenville, effective June 1, 2017. The merger, Townsend explained, is “reflective of Guaranty Bank’s commitment to providing comprehensive financial solutions to our customers – solutions that extend beyond traditional banking services.” The firm’s principal officer, Ike Trotter, will join Guaranty Financial Services at the bank’s location on Highway 1 in Greenville. Townsend continued, “This will expand our wealth management team and give our clients a full suite of financial services.” Trotter began his career by joining his father’s insurance agency, and later opening his own firm. Trotter is a graduate of the University of Mississippi, where he earned his bachelor of arts degree.

Aubrey Patterson receives national commendation From Boy Scouts of America Aubrey Patterson has been awarded Scouting's highest commendation of the invaluable contributions that outstanding Americans make to youth, the Silver Buffalo Award at the Boy Scout National Annual Meeting in Orlando, Florida, recently. Created in 1925, the Silver Buffalo Award is for service national in scope and can be independent of, or directly through, the Boy Scouts of America. Patterson, chairman emeritus of BancorpSouth Inc., has been a member of the BSA’s National Executive Board and has served as the treasurer, president and chair of the Yocona Area Council. In his 34 years of Scouting, he has been recognized with the Silver Antelope and Silver Beaver awards, and the Yocona Area Council Distinguished Citizen Award, just to
name a few. An Air Force veteran, Patterson served as a trustee and member of the executive committee of the Presbyterian Church USA Foundation and as a trustee of Columbia Theological Seminary. With a rebounding economy banks are faced with the growing challenge of retaining key officers given the increased competition for top talent, while other banks are growing assets through investment in key new hires. To that end, many banks are becoming more astutely and proactively engaged in their understanding

Nonqualified plans need to be tailored to meet the needs of the individual. For example, a younger officer in his or her 30s may not see the value of a retirement benefit targeted at age 67, but would see value in a plan that allows for earlier cash distributions to pay for a child’s college education or that allows for early retirement at age 55. Many organizations use a combination of plans and approaches to attract and retain their key people. Here are some examples of situations and challenges bankers have faced when contemplating compensation plans: 1. You have an executive in his/her mid-50s who has and continues to lead and grow the organization. This executive's personal focus is now being directed more at building wealth and deferring some portion of current cash compensation. Consider a deferred compensation plan (DCP) coupled with a supplemental executive retirement plan. 2. You have young officers in their 30s and 40s who represent your bank's emerging leaders and high value talent that need to be compensated for their efforts with more than just base salary and annual bonus amounts. Consider a performance-based DCP. Not only is it important to tie these individuals to your bank if you remain independent, but it can also enhance the sales price if these individuals stay with the purchasing bank in the event your bank is sold. Properly designed nonqualified plans can substantially increase the probability they will stay in either scenario. 3. For closely held banks that would like their management team to think like owners, consider nonqualified plans using a phantom stock or stock appreciation rights approach or, if another type of deferred compensation plan is adopted, consider linking the interest credited to the executive’s account to the bank’s return on equity. BankPlus awards scholarships to scholar athletes For the 12th consecutive year BankPlus has honored student athletes in the Jackson Metro area. The BankPlus Scholar Athlete banquet was held in April at Table 100 in Flowood, where students from schools all around the Jackson Metro were recognized for being not only great athletes, but for also having stellar academics. Each year, students are selected for this award by their schools, and are then invited to a banquet in their honor to recognize their outstanding achievement. At the banquet, they enjoy a fine meal and hear from leaders at BankPlus and WAPT, as well as a guest speaker. This year’s guest speaker was All-American basketball player and former Miami Hurricane, Darius Rice.
“BankPlus takes pride in rewarding excellence, and what better way to do this than to assist some of our brightest young minds with scholarships in order to further their education. We recognize an outstanding scholar-athlete from all the high schools in the tri-county area,” said Gene Delcomyn, Senior Executive Vice President & Chief Commercial Banking Officer at BankPlus. Throughout the course of the BankPlus Blitz 16 Scholar Athlete Program, over
$35,000 in scholarship funds have been awarded to student athletes. Also, the program won “The Mississippi Association of Broadcasters Television Community Service Award,” presented by WAPT.

Mississippi bankers engaged in the fight for Regulatory relief in Washington 2017 has already been a very active year for Mississippi bankers in Washington. There are a number of new bank-related developments in our nation’s capital, as the Trump administration takes shape and as Congress continues to consider banking legislation. Mississippi bankers have been involved in the debates that will impact our industry throughout the year. Mississippi bankers have participated in two separate advocacy trips to Washington this year. A group of 10 bankers attended the annual ABA Government Relations Summit on March 20-22. Later, on April 30-May 3, a group of 9 bankers participated in the ICBA Capital Summit. At both of these conferences, Mississippi bankers joined with bankers from all over the country in advocating for much needed regulatory relief. Bankers heard from key members of the Trump Administration and legislative leaders, and met with members of the Mississippi Congressional Delegation during both of these events. The MBA is affiliated with both the ABA and ICBA, and MBA staff
was involved in both events. Following these fly-ins, the U.S. House of Representatives took a major step toward enacting banking regulator relief on June 8 by passing HR 10 - Chairman Jeb Hensarling’s Financial CHOICE Act. MBA's newest endorsed program Mississippi based Vizaline uses geo-spatial imagery to resolve boundary issues Vizaline LLC, a Mississippi-based company that employs geospatial technology to help bankers resolve or head off property boundary issues, is the MBA's newest endorsed partner. Vizaline touts itself as being "created by bankers for bankers." The company has developed visualization tools and products to help those in the industry better understand assets, shield portfolios and protect customers. The company's Viza-Plat product can be used to determine boundary lines on properties without the need for a more expensive survey. It does not necessarily replace the need for a survey in all instances but can be used when a full survey is not required. Among uses for Viza-Plat: • For trust department customers wishing to get an accurate view of their real estate holdings; • During loan renewals to assure banks that loans have quality legal descriptions, and in conjunction with surveys to determine if the latter are correct, and • To see a visualization of improvements, easements and partial releases. Use of the product is relatively simple: A bank client downloads the legal description of the property to Viza-Plat, where it is read and platted and the legal description interpreted. The company places it on geo-spatial imagery and gets back to the bank within 48 hours with an image developed from the information. Bankers will be able to know of encroachments, easements and partial releases before they make a decision on funding a loan. Importantly, if Vizaline discovers a problem with a job description, it advises the bank about a solution. The MBA's agreement with Vizaline allows MBA members to use the service with prices starting as low as $90 per case. Mississippi School of Banking concludes 48th session 44 graduates are honored after completing two-year program
Forty-four students graduated from the 48th annual session of the Mississippi School of Banking, conducted by the MBA on the University of Mississippi campus. A total of 97 students attended the school this year during the week of April 2-8. During the two-year program, graduates completed over 80 hours of classroom instruction, including lectures and workshops on a wide array of banking subjects, and successfully completed a series of home study problems. Graduates also passed written examinations at the end of each session and participated in the ABA’s BankExec Financial Simulation during their second year. The 2017 student body was comprised students from 43 different Mississippi banks and organizations. Dr. Ken Cyree, MBA/Frank R. Day Chair of Banking and

129th Annual Convention was 'The Reel Deal' Mississippi bankers travel to Sandestin for annual reunion
Over 670 Mississippi bankers, banking associates and their families attended the 2017 convention to honor outgoing MBA Chairman Frank Sibley of Citizens Bank & Trust Co, in Marks. The 2017 MBA Convention was held at the Sandestin Golf and Beach Resort in Destin, FL. The theme of this year’s convention, ‘The Reel Deal’ saluted Sibley's love of movies and his being "the real deal" in community banking. The convention featured a trade show comprised of 60 exhibitors, three general sessions, golf tournament, spouse program and daily social and recreational events. General session speakers included Dr. Ed Seifried, banker Jill Castilla, ABA Chairman Dorothy Savarese, political analyst Fred Barnes and ICBA Vice
Chairman Preston Kennedy. At the annual business session, Jerry Host, Trustmark National Bank, Jackson, was elected MBA Chairman for 2017-18, and officers and directors were elected (see page 18 for more information). At the convention’s Annual Banquet, outgoing Chairman Sibley was honored with presentations from his bank, Citizens Bank & Trust Co., Marks, and the MBA. Entertainment was provided by The Tip Tops. General Session speakers draw large crowds During MBA Convention During this year’s MBA Convention, the general session speakers drew large crowds each day. On Thursday, Dr. Ed Seifried addressed convention participants providing an informative outlook on the 2017 economy. After Dr. Seifried, Jill Castilla captivated bankers with her presentation of how she managed the turnaround of her Oklahoma bank. The general session on Friday featured ABA Chairman Dorothy Savarese, who provided a Washington update. The Weekly Standard editor and Fox News contributor, Fred Barnes, also presented at the convention. He spoke on the current political landscape. On Saturday, ICBA Vice Chairman Preston Kennedy joined the convention to address bankers on how the ICBA is working in D.C. for regulatory relief. In addition, several Mississippi officials addressed the convention. These included Attorney General Jim Hood, Secretary of State Delbert Hosemann, Insurance Commissioner Mike Chaney, Chairman of House Banking Committee Hank Zuber, Chairman of Senate Banking & Finance Committee Rita Parks, and Department of Banking and Consumer Finance Commissioner Charlotte Corley.

Convention silent auction raises over $13,000 for MBA Education Foundation The MBA held its second annual silent auction to benefit the MBA Education Foundation at the MBA annual convention. The silent auction was conducted in conjunction with the Trustmark National Bank reception on Thursday evening. The auction offered over 50 items up for bid and raised more than $13,000 for the Education Foundation. The success of this event was due in large part to the generous donations given by numerous businesses from across the state. A full list of those who made donations to the auction are listed below. "The Foundation would like to express our sincere gratitude to every person, bank and organization who supported the event," said Jerry Host, Foundation president. "The silent auction would not have been a success without the generosity of the bankers and individuals." Through the continued support of MBA member banks and bankers, the Foundation continues to be able to support financial
literacy education throughout Mississippi. Plans are that the Silent Auction will continue to be a fundraising event at future conventions. The Education Foundation awards seven scholarships each year to bankers and college and high school students totaling $15,500. In addition, the Foundation supports financial literacy efforts throughout the state. A Do-Something Washington

Partisanship in Washington in recent years has led some to believe that Congress doesn’t “do” collaboration anymore. One party’s gain is seen as the other’s loss, making deals hard to come by. But many bankers who came to Washington in March for ABA’s Government Relations Summit and other meetings got a slightly different vibe from the policymakers they met with. Yes, some members of Congress predictably held firm against significant changes to the Dodd-Frank Act. Yet others, informed – and perhaps worn down – by bankers’ true stories of how over-the-top rules were harming their customers were positive about the possibility of finally doing something for community banks. There’s a similar realistic yet optimistic attitude behind an effort by the two leaders of the Senate Banking Committee – Chairman Mike Crapo (R-Idaho) and Ranking Member Sherrod Brown (DOhio) – to identify legislative changes that could help spur economic growth. They won’t pursue changes they don’t believe in, of course, but both see an opportunity to find and pursue common ground. These encouraging signs are made all the more hopeful by administration officials who have proactively reached out to community banks to learn what rules are acting as roadblocks to growth. In March, President Trump invited nine community bankers to the White House for a roundtable discussion of the industry’s regulatory challenges. Though the bankers represented institutions with different business models, operated in different parts of the country and were affiliated with different national trade associations (six were part of ABA’s delegation; three were with the Independent Community Bankers of America), there was remarkable alignment in our policy positions and priorities. The same can be said for the follow-up 32
Mnuchin following the meeting – are what’s right for America’s banks and the communities they serve. The white papers (which can be found at www.aba.com/executive-orders) articulate how regulation in areas like capital, liquidity, fair lending and stress testing can be improved. They were informed by the deliberations in recent years of bankers who serve on our many councils and working groups and who represent banks of different business models and asset sizes. Solutions born of such diverse perspectives are always stronger by ensuring that they make sense for all banks. Given how intent this administration is about using banks to spur growth, and given the interest Congress has shown in providing some community bank regulatory relief, having strong solutions with unified industry backing could just make something happen in Washington again. meeting that Treasury Secretary Steven Mnuchin held with 16 community bankers in April. That’s where the secretary made clear how serious the administration was about helping banks perform their critical role in promoting economic growth. And it’s where we dug into the specifics of issues related to mortgage, agricultural and commercial lending, as well as Consumer Financial Protection Bureau rules that are ill-tailored for community banks. There again, ABA and ICBA members were side-by-side, advocating practical solutions. Such alignment is critical to success in Washington. I’ve said before that Washington has enough challenges without trying to legislate issues on which an industry is divided. Policymakers up and down Pennsylvania Avenue are interested in addressing our problems – so long as we can agree on the best solutions. And I am confident that the solutions we have proposed – as detailed in white papers ABA shared with Secretary
