BOARD FIGHTS FOR RIGHTS
The fight between the Roxby Downs Council Administrator and the town’s Community Board is expected to escalate at the board’s next meeting on Monday night.
It’s at this meeting the Board will debate a letter from the Administrator Bill Boehm knocking back the board’s request for changes to its Terms of Reference within its constitution. Back in June the Board had a heated debate after discovering the Administrator held the right of veto over board decisions even after it had been incorporated. Following that meeting the board referred the proposed changes back to its Terms of Reference sub-committee. The Board then sent the series of proposed changes, mainly dealing with the selection panel for new board members, back to both BHP Billiton and Mr Boehm. BHP Billiton’s representative on the Board, Vice President of Finance Paul Dunn wrote to the board giving the company’s endorsement to the changes. A reply from Mr Boehm, tabled at the board’s last meeting was received by members moments before the meeting took place. A motion was passed that the reply would be debated at the October meeting because members weren’t given sufficient time to read the document and prepare an informed response. The main point of contention is that
before the Board can make any changes to its Terms of Reference or its Constitution it has to get approval from both BHP Billiton and the Administrator, even though a majority of the board may vote in favour of a change. The change the Board wants to implement is to the way board members are selected. They want the Terms of Reference changed to allow for a committee of five to interview and appoint prospective board members with the majority in favour. Currently a committee of three comprising the Chair or Deputy Chair, the Council Administrator and a BHP Billiton representative make those decisions. However in his letter to the Board, Administrator Bill Boehm says he will not agree to this change. “In light of Council’s role as a funder to the Association and its statutory duties, I would not want to see a situation where a Board member was appointed against council’s wishes,” Mr Boehm said. “BHP Billiton may or may not have a similar view as applicable to a situation where BHP Billiton could be out voted on an appointment. “In my view it would impair the Board in such a small community as ours, for a Board member to have been appointed, and be known to have been appointed, over the wishes of the Council or the wishes of BHP Billiton.
