From the editor Hello all,

T

he budget is out and I think everyone has benefitted from this wellbalanced financial package. It’s funny that Labour and the liberals

are criticising it by saying it was poor and had no vision, but when asked what they would do differently they had no answers, including Winston Peters. Once again, the left do not have any solutions. Andrew Little says the proposed number of houses that National will build, at 34,000 over the next 10 years, is far too few but they, Labour, will build 100,000. The question is how, when they want to cut immigration numbers to 25,000 from the current 71,000. Who will build the houses, the roads and all the other infrastructures? We need experienced and highly-skilled people and, at this stage, we do not have enough locals to do this and desperately need more immigrants to close the gap. The biggest argument to the current budget is why low income earners and beneficiaries will receive less in their pockets due to tax cuts and government assistance, than middle class Kiwis who will receive bigger tax reductions. Of course, that’s how the tax system works if you pay tax. When there are deductions the people who pay the most get the biggest refund. See the Tax story on page 10. Nobody wants Kiwis sleeping in cars and we, as a nation, want all our citizens looked after and in their own homes. See my article on beneficiary housing suggestions on page 14. There are a lot of things that National could be doing but everything costs. If our economy continues to grow hopefully, money can be spent on training apprentices and reducing company tax and, in doing so, business will be able to employ more staff. Governments do not create jobs, private businesses do. Governments need to create an environment that enhance and encourage business growth.

LEGAL UPDATE: EMPLOYMENT LAW

Confidential information: beware employees! There may be a cost to breaching terms of employment Eska Hartdegen, our in-house employment lawyer, discusses obligations employees have to employers under the law and the consequences for breach

C

onfidentiality, fidelity, good faith and honesty are implied terms of employment. An employee is subject to these implied terms, signed contract or not, and they impose an obligation on employees at all times to act in the interests of the employer. They also preclude employees from using business opportunities Eska Hartdegen that arise during employment to their personal advantage. Using confidential information gained in an employment context without authorisation will result in a breach of confidentiality and can lead to an ex-employee being sued. Examples of confidential information include customer lists, budget forecasts, detailed accountancy information, knowledge of customer requirements, pricing policies and proposed advertising campaigns. In Thomas Marshall Exports Ltd v Guinle, the Court held that for information to qualify as being “confidential” the owner must: believe that release of the information “would be injurious to him and of advantage to his rivals or others”, that “the information is confidential and secret and not already in the public domain”, that “the owner’s belief under the two previous heads must be reasonable” and lastly that the information was to be judged “in light of the usage and practices of the particular industry or trade concerned”. In the case of Peninsular Real Estate Ltd v Harris, two real estate agents commenced employment with a rival company. They took away with them work-related diaries and client contact books. The High Court granted an interim injunction restraining them from contacting any person named in the records they had taken away.

whether the employee in their role habitually handled confidential material or information, the nature of the information itself and whether it required the same level of protection as a trade secret, whether the confidentiality of the information was impressed on the employee, and whether the information can easily be isolated from other information. Here the employee was a senior manager. His employment contract provided no express restraint of trade or non-competition clauses. He subsequently set up in competition and sought to employ some of Korbonds’s employees. His new employer had approached and offered employment to some of Korbond’s employees, one had been employed and it was alleged that contracts with its clients had been terminated, with the defendant to carry out that work. Further allegations related to breach of an implied term and having disclosed confidential information and having wrongly used it. This included use of clients’ identities and contact organisations, identity of employees, their remuneration, Korbond’s profit margins and other financial matters. Chief Judge Colgan held that no distinction should be drawn between information that was written down, memorised or recalled. Rather the crucial matter was “the exploitation of particular and specific information concerning transactions – and especially on-going transactions – between the former employer and his customers.” Although a senior employee, Jenkins was not a director or decision maker. An arguable case had not been made out that there had been unlawful inducement of breaches of contracts with the plaintiff’s customers. There was however an arguable case that employees had been approached and persuaded to work for the defendant. In order to protect existing contracts of employment, an interim injunction was issued which restrained the defendant from inducing breaches of contract. To avoid the costs of being sued, take timely legal advice!

In a later case, Manchester Property Care (Christchurch) Ltd v Love, the employer did not succeed in their claim for an interim injunction. Here Love, a former salesperson, set up in competition with his former employer. It was alleged that he had either taken or memorised customer lists. Love denied this as Manchester only had 30 clients; he knew all their names and did not need to take lists or memorise them to recall them. The Court found that a seriously arguable case could not be made out as to misuse of confidential information. In Korbond Industries Ltd v Jenkins, the Employment Court spelled out “helpful guidelines as opposed to strict tests” for establishing in employment situations what information is confidential. ave you ever heard the story about the Kudu that fell in love with the Giraffe? Well, it’s true! It’s a relationship that continues to thrive today at Glen Afric game reserve north of Johannesburg, and it’s exactly what inspired the name for Kudu Imports.The Kudu is affectionately called Charles and the Giraffe is called Camilla. olcanoes are a bit like big dogs. However well you think you know them, however dopey and friendly they might seem there’s always the chance they’ll cut up rough, and if they do, look out.

Some volcanoes, of course, are stroppier than others. A stroll on Mount Eden, for example, feels safe. A poke around on the flanks of Whakaari — White Island — by contrast, does not.

to visit. It takes around 80 minutes — far less by helicopter — to get there by boat, landing in Crater Bay. On the way, you’ll be issued with a gas mask and a hard hat, which will make you feel really safe.

That’s because White Island is the most obviously active of our volcanoes. Ruapehu and Ngauruhoe have a history of waking suddenly and with very little warning, catching everyone by surprise. On the other hand, if you were to be so unfortunate as to be in the way when White Island blew its top, it’d be hard to argue you weren’t warned. In big dog terms, White Island has a permanent snarl twisting its lips, and slobber hanging from its jaws.

Once ashore, you’re greeted by a moonscape of volcanic desolation, with the melancholy, rusted remains of a sulphur factory visible at the terminus of the mudflow that overwhelmed it, taking 11 lives, in 1914.

Of course, that’s what makes it so much fun

One of the unique features of White Island is that there is no exhausting climb up sliding scree slopes or flinty lava flows to get to where the action is. Access to the central crater is a short stroll over packed dirt that may as well be flat. It takes you past hot springs and mini geysers, and fissures in

the rock through which steam hisses. In the crater area itself, active fumaroles de-gas in the middle of the crater area, earning themselves names such as Donald Duck and Noisy Nellie, and the sulphuric stink of geothermal activity hangs over everything. A crater lake has been intermittently present over the site of recent activity: this changes colour depending on the weather and the mood of the mountain, from milky grey to vivid green or azure blue. It’s a harsh environment for precious belongings such as digital cameras: you might like to take a disposable instead. G

ood Friday, Easter weekend, saw us once again heading off to Waiheke Island for the annual Jazz festival. Coming into our 8th year of living in this free and beautiful New Zealand got me thinking whilst on the ferry that finding things that make your heart sing is the thing that slowly makes you feel like you are home. Immigration leads you to reinvent yourself. It is not for the faint-hearted, and like many others I have had some almighty challenges to overcome. We luckily escaped from the ongoing earthquakes in Christchurch to settle here in fabulous Auckland with its vistas and oceans and multifaceted cultures. Forming new traditions and developing new tastes and new Karynne Potter and Patsy Jordens at the Jazz friendships to inspire us over time is definitely the way to on Waiheke. finding happiness and peace in a new land. Although I am really still the same, I have also changed so much, not least of all in my new love affair with Jazz music. Music is such a uniting force. Coming from an alternative background, I wasn’t that familiar with this genre until I heard Hopetoun Brown play at the festival last year. This year’s venue was an olive grove at the end of a short bus journey across the stunning island. After setting up our picnic mats and getting a drink, we let the beautiful music and people and surrounds roll over us. Hopetoun Brown opened the day and Dave Dobbin closed, to much dancing and delight.

The Jazz festival is an annual event over the whole Easter weekend and you can choose to do a day trip (like us), booking the combined ferry / bus /Jazz day on the internet, and off you go. But once outside the restaurant, the men began to compare their savings. 'I only got a dollar out of the $20', declared the sixth man. He pointed to the tenth man,' but he got $10!' 'Yeah, that's right', exclaimed the fifth man. 'I only saved a dollar, too. It's unfair that he got 10 times more than me!' 'That's true!!' shouted the seventh man. Why should he get $10 back when I got only 2? The wealthy get all the breaks!' 'Wait a minute,' yelled the first 4 men in unison. 'We didn't get anything at all. The system exploits the poor!' The 9 men surrounded the tenth and beat him up. The next night the tenth man didn't show up for drinks, so the 9 sat down and had beers without him. But when it came time to pay the bill they discovered something important. They didn't have enough money between all of them for even 1/2 of the bill! That, boys and girls, journalists and college professors, is how our tax system works. The people who pay the highest taxes get the most benefit from a tax reduction. Tax them too much, attack them for being wealthy and they just may not show up anymore. In fact, they might start drinking overseas where the atmosphere is somewhat friendlier.

Writing a will How can I ensure that my wishes will be carried out after my death? This is the reason for writing up a will. If you have a written will, it is much more likely that what you want to happen when you die will actually happen - and in the way that you want it to, e.g. how you would like your funeral to be carried out, how your dependent children will be provided for, and what happens to any property and treasured possessions you may own. A will is essentially a description of what you want to happen in the event of your death and a set of instructions to make sure your wishes are carried out. What is an executor? An executor is someone who is responsible for seeing that - as far as reasonably possible - the instructions in your will are carried out. The executor/trustee for your will could be a family member or friend, or it could be a professional executor (e.g. your lawyer or a Trustee Corporation which provides wills and estates services). You could have one person undertaking either roles or more than one person sharing the responsibilities - it is up to you. When you have decided who you want to be the executor and/ or trustee, it’s wise to consult with them so that they are aware of their responsibilities well in advance. What should my will cover? In your will you should include the following kinds of information: the name of the person or people you have appointed to manage the distribution of your belongings (your estate) i.e. the executor of your will whether you want to be buried or cremated, whether you want to donate parts of your body for medical or scientific research. the name of the person or people you have appointed as guardians for your children (if you have any) instructions for how you want your money and other assets to be distributed to your partner, children, grandchildren, other family members, friends, charities etc the names of the people you would like to receive specific items in your possession. it should state that it revokes any other wills (in case you’ve made one previously) . To be legally valid, your will needs to be: in writing, witnessed by two people who are not beneficiaries of the will, signed by the witnesses, in your presence; and signed by you (the will maker) It is a good idea to set up enduring power of attorney (EPA) at the same time as making a will. N

eville Fox reckons the stork made a mistake when it dropped him in South Africa. “I’ve always wanted to live in New Zealand and when I came here for the first time I

felt at home – it felt like I should have been born here,” says Port Taranaki’s Head of Marine Services. Having finally arrived at his ‘spiritual home’, he is determined to stay put. But it has been a circuitous route for the Durban-born father of four, who first went to sea as a 17-year-old engineering cadet. Cape Town, Mombasa, the Seychelles, Perth, Sydney, Brisbane and Singapore have all been ports of call as Neville has moved from offshore engineering work to onshore management roles.

He worked for marine services provider MMA Offshore Ltd for the past 10 years, the last five as General Manager International Fleet Operations in Singapore. He was responsible for the operations of 36 vessels providing marine logistics services to the oil and gas industry. Having decided to pack up, move to New Zealand, Port Taranaki, Photo: Dave Young settle down and possibly do some consulting work, serendipity occurred. “My wife and I travelled New Zealand looking for a place to live. I found a patch of land at Opunake and felt right about it straight away. I believe the oil and gas sector is going to pick up in the next 12 months and we need to be proactive and have the services available to support that offshore work.” Keen to be hands-on, Neville divides his time between office-based management and getting out alongside the 28 staff he manages – from pilots and masters of tugs and launches, to marine engineers and support personnel.

hy are we in business? Some say it is for the lifestyle, some say it is so they can be their own boss. If we are really honest though, we are all in business to make money. A business makes money by simultaneously increasing its net profit, earning a return on the investment made, and managing its cash-flow.

It is important to understand that cash-flow and profit are two completely different things. Cash is the petrol that makes your business’s engine run. Cash-flow can be defined as the way money moves into and out of your business; it is the difference between having enough to open a business and having enough to keeping it running. Cash-flow analysis is the way of checking your business’s financial health. It is the review of the movement of cash through your business, to determine patterns of how you take in and pay out money. The goal is to maintain sufficient cash for your operations month on month.

Net profit is determined by deducting all the expenses from the revenues. Expenses and revenues are recorded as they happen, not necessarily as you receive or spend the money for them. The end of the financial year is just a ‘line in the sand’. It is a date set by the directors of the company and the Inland Revenue, and is the point at which the business profit results are calculated. This will determine tax liability, and these reports can be provided to financiers. However, it is just a ‘snap shot’ at that point, and may not reflect the actual ability to pay the bills as they come due. As Chartered Accountants we hear from time to time the exclamation: “I don’t have any money to pay for tax/wages/ creditors/new machine” etc. How can this be if the business is actually profitable? Let’s look at Accounts Receivable. Suppose you have a customer to whom you extend credit. That customer buys your product or service. On your profit statement, that sale shows up immediately even though you have not yet received payment. On your cash flow report, that sale does not show up until you get paid. Inventories are also something to keep an eye on. You need products on your shelves to make a sale, but obviously you needed to pay for them first. Depending on how long these have been on your shelves, you may very well have paid for them long before a sale has been made. Managing the cash-flow of these two very important aspects of your business can be the difference between staying in business or, sadly, having to close the doors. come into play, 4 of which are: 1. How long have you been in your current employment or business, at your current income? Recently moving into a job in a new industry, or starting your own business, will probably result in the bank holding off on approval until you have established a track record at your current income level. 2. How much other debt do you have? Piles of Credit Card, HP, Car Loan, etc, debt is a big red flag to the Bank. And just before you think you can hide this debt, the banks do call for all bank statements, and will notice these loan repayments being deducted! 3. Do you continuously conduct your Bank Accounts poorly? A once off hick-up going into unarranged overdraft or having a payment returned, which can be explained, may not be too much of a problem. But a steady stream of misconduct will result in a big red declined stamp. 4. Do you have a poor Credit Rating? Every time you apply for a Loan or Hire Purchase arrangement, the company does a credit check to ensure you’re above board. With every enquiry into your rating, your rating score is reduced, until it dips so low, that the banks are no longer enthusiastic about your custom.

Who is buying homes in Auckland?

D

ata from Corelogic* shows that buyer activity in the Auckland residential property market has softened, and that Auckland prices have reduced slightly over the last few months. (see chart 1)

Corelogic data also shows that that the total number of listings in Auckland is now 50% higher than a year ago, which will put pressure on prices during the months ahead. Even though the market is slower, properties are still being sold, and it is interesting to look at who is buying. Chart 2 shows the share of sales to each group of buyers. Corelogic commented "The latest round of LVR restrictions has caused a significant drop in sales volumes, and this impacted all buyer groups. The impact has been more on first home buyers and movers than investors.” As a result, the share of dwellings purchased by Investors (light blue) has increased to over 40%, while the share of dwellings purchased by Movers (dark blue) has dropped to around 20%. First Home Buyers (red) also account for around 20% of purchasers.

Corelogic commented that “The strength in investor share is mainly due to cash investors remaining active, while those requiring a mortgage have reduced their activity due to them not having the required 40% deposit.” “New to Market buyers (yellow), being mostly people new to the country and paying in cash, are unaffected by lending restrictions and increases in interest rates.” In my article in the last issue of The South African magazine, I suggested that there was a window of opportunity to purchase property before prices start increasing again, and my opinion remains that buyers who may be able to purchase should be actively looking for finance and for the right property, and purchasing when they find it.
