Chapter 1 Managing Legacy Disputes
Wills disputes often hit the headlines because of the particular public interest in the outcome. Disputes involving wills benefitting a charity have increasingly become high profile, with damage to charities’ reputations sometimes an unfortunate by product of litigation. Figures from the Ministry of Justice reveal an increase in the number of trust, wills and probate claims. Notably, in 2016 there was a significant increase in the number of claims issued under the Inheritance (Provision for Family and Dependants) Act 1975 - up from 116 claims the previous year. However, few wills disputes reach court. Most are settled through mediation, negotiation, and discussion. This rise in wills disputes reflects greater confidence on the part of claimants to claim what they perceive to be their rightful portion of the deceased’s estate, many undoubtedly emboldened by the recent ruling in Ilot v Mitson1. Whilst many claims are undoubtedly genuine, others involve individuals who are simply trying their luck. The high profile Supreme Court ruling in Ilot v Mitson was a watershed moment, particularly as far as the testator’s wishes and charitable giving in wills is concerned. Following the testatrix’s estranged daughter’s claim under the 1975 Act for reasonable financial provision, the final outcome - following a decade long legal fight - meant a £50,000 reduction in the amount the four charities named in the will would finally receive.
Managing legacy disputes Charities and their solicitors have quite a task when they face the prospect of a legal claim against an estate where the charity is a beneficiary named in the will. Those acting for the charity must manage the dispute efficiently, remembering that the charity’s trustees have various legal duties - including to maximise the charitable giving under the will in question. Throughout any dispute, the charity’s trustees must ensure they comply with the Trustees Act, including the duty to gather in and protect charitable legacies.

They should not be tempted to settle a claim early where, for instance, the claimant makes an unreasonable offer to settle. Nor should they just sit back and wait for the court to make its judgment on an application for reasonable financial provision, or a claim that a will is invalid for want of testamentary capacity, without fighting the charity’s corner. On the other hand, (as Ilot v Mitson) shows, charities do not have to justify a claim on the basis of ‘need’ for reasonable provision, as did the claimant. If the charity is defending a claim, it needs to consider the merits of doing so, balancing the charity’s interests (and the trustees’ legal duties) against the potential for bad publicity. Where there is a real risk that a charity’s legacy in the will could be severely depleted, or even wiped out should a claim against the estate succeed, the stakes are particularly high. Where an action is based on lack of capacity, the charity (or its solicitors) should be able to obtain copies of the testator’s medical records, and any other evidence on which the claimant is relying. Claims based on alleged testamentary incapacity, want of knowledge and approval, or alleged fraud or duress are potentially a greater threat to charities than dependency claims because the will itself could be found invalid. Any charities named in the will would then get nothing.
Guidance for charity trustees The Charity Commission has published important guidance for trustees2 of a charity involved in a dispute, including where there is a claim contesting a charity’s right to property under a will. The guidance sets out important principles, and gives vital guidance on what charity trustees need to know when defending, or considering taking legal action, and when the Charity Commission needs to be involved. In considering whether or not to defend legal action, the trustees should take and consider legal advice, and: • Consider and assess the economic prospects of success or failure
and the impact on the charity
• Consider whether their intended actions are proportionate in the circumstances • Decide whether it is necessary or appropriate to ask for the Commission’s
consent or advice

Note that the Commission and the court will expect the trustees to have thoroughly explored and, if appropriate, ruled out all other reasonable ways of resolving the issue beforehand, including negotiation and mediation. Weighing up the potential costs of litigation, the time involved, and the reputational risks, against the merits of the claim and how much money is at stake, as early as possible, is therefore a vital exercise. This is where sound commercial legal advice, taking into account the charity trustees’ legal duties, must be given. Litigation should be a last resort, but where the claimant’s case is weak it should be robustly defended. Note that where there is more than one charity benefiting under the terms of the will, it may be mpre cost effective to appoint one law firm to represent their joint interests.
Steps to consider When defending a claim, or negotiating a settlement, any evidence that can help in establishing the merits of a party’s position should be obtained. This includes copies of witness statements, medical records, the attendance notes of the instructing solicitor, medical records, and copies of any correspondence between the testator’s solicitors and the charity about the testator’s specific testamentary intentions. It may be necessary to lodge a caveat at the Probate Registry early on while the evidence is obtained, to prevent a Grant of Probate being obtained and to halt the distribution of the assets. The best outcome (other than the claimant pulling out of their claim against the estate) is reaching a compromise that is in the charity’s best interests. Charities must make sure they secure as favourable a settlement as is reasonably possible in light of the circumstances of the case, taking into account all relevant factors (and the Charity Commission’s Guidance). Where a compromise is reached, the trustees must be satisfied that they have the power to implement the settlement terms (which should ideally include a confidentiality clause preventing the release of the information to third parties). If the case reaches a final hearing, the ruling would be public – a factor the charity and its legal advisers may wish to ponder.

What’s the future? Wills reforms are on the horizon, with warnings being sounded to implement safeguards minimising the risk of disputes involving charities. The Law Commission’s consultation on proposals on the reform of wills closed in November 2017. Proposals include enabling the court to dispense with will formalities where it’s clear what the deceased wanted, and new rules protecting those making a will from being unduly influenced by another person - as well as proposals for video and electronic wills. However, there are concerns surrounding the potential implications for charities. Rob Cope, Director of Remember a Charity, says safeguards for legacy giving are needed to minimise the scope for conflict and disputes between potential beneficiaries and charities. Private client and charities lawyers will be watching developments closely. In the meantime, charities must protect their interests robustly when faced with the prospect of wills disputes. 1. Chapter 2 Estate Planning: Charitable Giving in Wills
Charitable giving is the lifeblood of charities. Without the gifts of individuals and business organisations alike, charities would not exist. Without charities, many sections of society would become increasingly disadvantaged. Perhaps unsurprisingly, the evidence shows that charitable giving is on the rise. The days have long since gone when only the richest in society were in a position to donate in any meaningful way to charities. According to the latest Charities Aid Foundation (CAF) UK Giving Report (2017)1, people (and particularly women) are becoming more charitable, donating an average of £18 to charities. However, younger people were found to be less likely than older people to give to charity.
Charitable legacies What about charitable legacies from deceased estates? It appears charitable giving in wills is booming: Legacy Foresight, analysts of the legacy and in-memory sectors, says charitably legacy income is now worth a staggering £2.8bn, with the average residual bequest at £46,000. It says residual bequests currently account for 92% of all legacy income, while average pecuniary gifts are now worth £3,300 each. This is expected to rise even further, with predictions from the Office for National Statistics that there will 5% more deaths in the next five years than it previously predicted. Legacy Foresight believes this means an extra £310m will be left to charity in legacy gifts over the next five years.
The role of solicitors Charities are dependent on charitable donations to survive – yet many people consulting their lawyer about making a will do not even consider making any charitable provisions in their will. Private client solicitors therefore have a valuable

role to play in the sustained health of charitable organisations. Without the encouragement of solicitors to consider leaving legacies to charities clients may not even have considered doing so. This is entirely understandable: looking after their family and the interests of their loved ones on their death is, of course, uppermost in most clients’ minds. Last year’s Legacy Giving and Behavioural Insights Report2 revealed, perhaps surprisingly, that just two thirds of solicitors and wills writers surveyed said they reminded clients about legacy giving. However, this represented a big increase from 53% just five years previously. In addition, 46% of respondents believed that solicitors have a duty to raise the issue of legacy giving to clients. So private client practitioners are encouraged to raise, with their clients, the possibility of leaving a gift to charity as part of their general discussions about making a will when taking client instructions. Solicitors are not, of course, permitted to recommend specific charities to clients (it’s interesting to note that, according to Smee and Ford Legacy Trends 2017 update, 23,000 charities have been named in wills since 2012). A generic encouragement may be all that’s needed to prompt clients to give to charity in their will. In reality, it should not be difficult to tell clients of the potential for leaving a charitable legacy (or two!) given the fact that solicitors will, except maybe in the smallest of estates, be discussing the tax implications of their will in any event. Discussions around tax provide practitioners with a timely opportunity to ask the client if they have considered leaving a legacy to charity.
The tax advantages Until their solicitors explain the clear tax benefits of leaving money to charity, clients are typically unware of just how generous the state is when it comes to charitable giving. Charitable legacies are free of inheritance tax, and there is a reduced rate of IHT (36% instead of the usual 40%) available to estates of those who die on or after 6 April 2012 and who leave at least 10% of their net estate to charity (though note that this additional tax advantage only kicks in if the estate is actually liable to IHT). Now that the new main residence nil-rate allowance is effective, with the prospect that this may mean fewer legacies for charities, it has never been more important from the perspective of charities for practitioners to suggest charitable giving to clients in their wills.

For estates that will be liable to IHT on death, there are potentially large tax savings to be had through efficient wealth planning and will drafting, whether through charitable legacies, lifetime gifts, trust funds, and charitable foundations (so long as the requirements of the Charities Act are met).
Exercising caution Practitioners must, however, be mindful of recent legal developments involving will disputes and charities. Notably, charitable legacies should not be at the expense of children unless clear reasons are given. Even then, the court could reduce a charitable legacy in favour of the child of a testator, as in the high-profile case of Ilot v Mitson4. Here, the testatrix left her £500,000 estate to three charities in which she had never shown any interest during her lifetime. Even though she left a letter explaining her reasons for excluding her daughter, the Supreme Court allowed her daughter’s claim under the Inheritance (Provision for Family and Dependants) Act 1975 - limiting the final award to £50,000. As the judge said: “…charities depend heavily on testamentary bequests for their work”, but they do not have to justify a claim on basis of ‘need’ as the claimant did in this case. In light of this long running case, it is vital that private client solicitors safeguard the interests of charities who testators wish to benefit under the terms of their will. Though they do not need to justify why they want to benefit a particular charity (a principle affirmed by the Supreme Court in this case), they should at least ensure their reasons are set out if a child or dependant – even an estranged adult child – is excluded under the will. Chapter 3 Charity Fundraising: tighter regulation
Individuals are becoming more charitable, according to the latest Charities Aid Foundation UK Giving Report (2017)1. CAF says financial donations are the main way in which people engage with charity -61% having done so in the last year. Charitable organisations work incredibly hard to facilitate effective fund-raising campaigns in the UK, seeking innovative ways to tap into potential donors where possible. Modern technology, particularly social media, provides charities with an invaluable addition to the traditional methods of raising cash. Today, social media platforms and the prevalence of mobile devices play a vital part in charity fundraising, helping them particularly to target the younger generation of society who are not as charitable as the older generations. According to UKFundraising2, 17% of online donations in 2016 were made using a mobile device compared to 14% the previous year; and 71% of non profit organisations say social media is effective for online fundraising. The organisation also says donations made through websites, social media and digital apps now account for ÂŁ26 in every ÂŁ100 donated in the UK. However, whilst a growing variety of fundraising techniques offers greater flexibility for charities seeking to reach the full breadth of potential donors, the burden on charities to ensure they remain compliant with the law is increasing.
Tightening the Fundraising Code Charity fundraising is self-regulated, with the Fundraising Regulator setting and maintain standards. The Code of Fundraising Practice, published by the Regulator, outlines the standards expected of all charitable fundraising organisations across the UK. However, whilst the vast majority of charities strive to ensure they are compliant in their fundraising efforts, since the Fundraising Regulator was launched in 2016 there have been increasing areas of concern surrounding some charities’ fundraising practices.

Many concerns have been highlighted, such as individuals receiving too many letters and phone calls; individuals feeling they cannot stop contact from fundraisers; people feeling pressurised to donate; and too many cold calls. In a survey3 of charities which actively fundraise, the Regulator found that 38% of complaints to charities in 2016 related to addressed direct mail, followed by door to door fundraising (16% of complaints), and email fundraising and clothing collections (10% of the total number of complaints). Other key areas of concern for members of the public in 2016 included telephone fundraising. In mid-2017, major changes were therefore incorporated into the Code, following many examples of poor fundraising practices. These changes include: • Charities should ensure that every addressed fundraising communication carries
a clear message explaining how people can stop receiving communications
in future
• Charities must end a call when asked to do so • Charities must not sell an individual’s personal data, and must not share it without
their specific consent and opting in for this
Other changes have been made, and will continue to be made from time to time. It’s worth noting that the Fundraising Regulator states clearly: “Alongside compliance with the rulebooks [for face-to-face fundraising] it is the duty of fundraising organisations and fundraisers to ensure that their fundraising practices and those of any organisations they sub-contract are compliant with the Fundraising Regulator’s Code of Fundraising Practice.” The buck stops with charities as far as compliance is concerned.
Charity Commission Guidance Effective charity governance of fundraising by charity trustees is crucial to ensure compliance. The Charity Commission’s guidance4 aimed at charity trustees on fundraising from the public in accordance with their legal duties, will help them protect their charity’s reputation. The guidance gives trustees invaluable guidance as to their duties, setting out six key principles for trustees. They are required to: 1. Plan effectively 2. Supervise your fundraisers 3. Protect your charity’s reputation, money and other assets

4. Follow fundraising laws and regulation 5. Follow recognised standards for fundraising 6. Be open and accountable Note that the Charity Commission has statutory powers to issue official warnings to charities; and there are new requirements that agreements between charities and professional fundraising organisations must cover certain areas.
What are the implications of the GDPR? Fundraising campaigns and appeals frequently involve handling personal data. Caution must be exercised so that strict data protection rules are not breached by the charity during and following fundraising campaigns, particularly with new rules imminent. The Information Commissioners Office (ICO) treats breaches of the DPA very seriously. In 2017, for instance, the ICO issued fines to a number of charities for various breaches, including many high profile charities such as the Royal British Legion (fined £12,000 for data protection breaches), and MacMillan Cancer Support (fined £14,000 for failing to follow data protection rules). Data protection law will be strengthened yet further once the General Data Protection Regulation (GDPR) comes into effect in May 2018. A fundamental principle underlying the GDPR is that of consent, and charities are not exempt from the requirements. Come May, fundraising organisations will be required to show that consent received from donors to contact them has been freely given, specific and informed, with a positive indication to signify the donor’s agreement. Consent must not be assumed: silence, or a failure to opt out, does not amount to consent. Guidance on the GDPR has been published by the Fundraising Regulator. Charities and lawyers will find this useful in reviewing their data and consent processes and procedures, and updating them ahead of the implementation date of the GDPR. Note that in the event of a breach of the new rules, potential sanctions include hefty fines. Charities are ‘data controllers’ for the purposes of the Data Protection Act (and will be for the purposes of the GDPR). They must, therefore, be aware of the key principles of the data protection legislation. Note that the Commission’s Code of Fundraising Practice and Guidance

(Appendices) includes a dedicated section on data protection, identifying key regulatory and best practice standards. Charities would also do well to ensure their volunteers are fully trained in the new rules under the GDPR which are, undoubtedly, more burdensome than the existing data protection framework. With tighter regulation and updated guidance – charities are better able to run their fundraising campaigns effectively, while consumers can have greater confidence that their interests are effectively protected.
Legal expertise Charities and their trustees rely on expert legal advisers to help them comply with their legal and regulatory obligations. Chapter 4 Will Writing: potential pitfalls, and looking to the future
For the wills and probate solicitor, the potential risks inherent in will drafting seem far greater than they were a decade ago. The fundamental principle of testamentary freedom, for example, has stood the test of time, but it has received somewhat of a battering from the courts in England and Wales in recent months.
Disinheriting estranged children Testamentary freedom gives the testator the right to leave their property and assets on death to whomever they chose. This includes the right to exclude an adult child – or anyone else who might normally expect an inheritance. This is, of course, limited: a dependent who is not provided for under the terms of the will can claim reasonable financial provision under the Inheritance (Family and Dependants) Act 1975. Whilst an adult child can be a dependent for the purposes of the Act, the meaning of ‘dependent’ has been stretched by the courts to include adult children who are in difficult financial circumstances. Whilst each claim will be considered on its own merits, this development means a greater burden on solicitors advising their wills clients. In Ilot v Mitson1, the testatrix’s adult daughter successfully claimed financial provision (though she was awarded a limited amount) from her late mother’s estate in which four charities were the beneficiaries. What was noteworthy in the case is that the daughter had been estranged from her mother for some 26 years. Her mother was found to have “acted in an unreasonable, capricious and harsh way” towards her daughter, who was by now dependant on state benefits and had no such expectation of inheriting from the estate. In 2017, the Supreme Court reinstated the ruling of the District Judge awarding the daughter £50,000. In a subsequent case2, (this time in the County Court), an adult child - who also had financial problems - succeeded in her claim under the 1975 Act. She was one of three daughters who were estranged from their father, the testator, who left his entire

estate to a friend in financial difficulties. Even though he left a letter of explanation as to why he was excluding his daughters, the judge decided that the estrangement was not the claimant’s fault and allowed her limited provision from the estate of £30,000. These rulings demonstrate how important it is for practitioners to take full instructions from clients who are seeking to make a will. Where a client intends cutting a child out of their will, the solicitor should extract enough information so that they can understand the fuller picture, including the family circumstances behind any estrangement. Only then will they be able to meaningfully advise the client of the risks of excluding a child. Including a letter explaining their reasons for doing so may not be enough to prevent a successful claim against the estate after the client’s death.
Mutual wills When is a mutual will not a mutual will? Another potential pitfall to be aware of concerns the distinction between mutual wills and mirror wills. A ruling3 in Summer 2017 considered whether or not mutual wills had been created, and when a constructive trust may then have arisen. The spouses had made wills leaving everything to each other, and on the death of the survivor to their two children. Following the husband’s death, the wife lived for 15 years but her relationship with her daughters deteriorate and she changed her will a number of times. On her death, they were left small legacies with the bulk going to two grandchildren. The daughters claimed that the original wills were mutual wills, and asked for a declaration that the estate was held on trust for them both equally. On the evidence, it was ruled that verbal agreements between the spouses not to change the wills were enough to invoke the doctrine of mutual wills. A mirror will does not have any such mutual obligation. The court held that a constructive trust arose at the death of the claimants’ mother, the trust comprising everything left in her estate. The implications for practitioners are clear: the nature, consequences and limitations of mutual wills (and mirror wills) must be explained very clearly and unambiguously, with written records of conversations kept on file in case a dispute arises.

Keeping up with the times Whilst the courts make decisions that seem to fly in the face of longstanding legal principles, the courts increasingly strive for a common-sense approach. In a 2017 ruling4 involving an estate worth almost £1.9m, a homemade holographic will was held to be valid. There were a number of issues with the will, including the fact that it was undated, save for the year “2012”; there was no attestation clause; and some amendments had been made by way of alterations and deletions. The court applied a practical and common-sense approach to the will. The testator was from Montenegro but had been in England since WW2. He had made a will where the grammar was faulty, words were often misspelt and punctuation misplaced. But the judge said: “Bad English can still make a good will, as long as the testator’s meaning can be understood.” These recent rulings demonstrate that the courts cannot be second guessed, and they are likely to continue to hand down perhaps surprising rulings. The implications are clear: practitioners must work hard to adequately protect their clients, and their beneficiaries of choice, by explaining the risks associated with their proposed will terms. They should also protect themselves by taking full, detailed instructions from clients, explaining their advice in writing in clear and plain English, and keeping contemporaneous records of attendance notes. Solicitors might also consider the value of asking the witnesses to the execution of the will to sign a statement setting out what they witnessed, and what was explained to the testator at the time.
What’s the future for will writing? Will drafting needs to reflect the prevailing culture, and the universality of digital property has already been recognised by the Law Society in the context of wills. Some time ago, the Society urged people making a will to think about their digital legacy and to consider what will happen to their digital property after their death. In the latter half of 2017, the Law Commission consulted on proposals for reform of the law of wills, with some aspects of the law needing urgent updating to reflect life in the 21st century. The Consultation, which closed in November 2017, sets out various proposals in light of significant changes in society, including the emergence of and increasing reliance upon digital technology.

• Using the Mental Capacity Act test to establish capacity to write a will • Introducing a statutory presumption of capacity to write a will • Reducing the age at which someone can make a will from 18 to 16 • The possibility of online or electronic will writing The Law Society is broadly supportive of the proposals, and says that although the Wills Act 1837 “has proved to be a strong foundation, imaginative judicial interpretation has often been required to apply its provisions to modern circumstances, and the rise in disputed wills demonstrates that there is a need to reform this area of law”. Founded in 1920 for the ‘comfort, cheer and entertainment’ of ex-servicemen wounded in WWI, The Not Forgotten Association continues to help and support serving and ex-service men and women with injuries or disabilities of any kind. Anyone who has served or is currently serving in the Armed Forces, regular or reserve, whatever their age, may be eligible for our help. Pain is a vital alarm bell to the brain, telling us that we have damaged ourselves and that something
is wrong. So, when the damage is treated, the pain has normally done its job and usually goes away. But then there is chronic pain, and that is very, very different. No matter how much treatment you give the painful area it doesn’t go away; painkilling drugs often don’t work; even opioids often don’t kill the pain, it is relentless and sufferers are subject to a lifetime of agony!! Here are just a few hard facts to consider: • 1 in 7 people in the UK suffer from chronic pain – which does not go away. • Chronic pain is a desperate debilitating pain bringing a life sentence of agony. • Over half of sufferers endure chronic pain all day, every day of their lives. • Many sufferers say they can’t remember what it is like not to be in pain. • 1 in 5 chronic pain sufferers say their pain is so bad that they just want to die. • Pain stops sufferers from enjoying simple activities like walking, shopping, sleeping, or just playing with their children. • Many thousands of chronic pain sufferers lose their jobs because the pain is so bad that they cannot work. • When a chronic pain sufferer lose their job, they are often on the downward spiral to poverty. • A quarter of chronic pain sufferers are diagnosed with depression. We obviously pursue active research on Cancer Pain, because many cancer charities and research organisations are prevented from funding work on cancer pain. Their Trust Deeds specify ‘research into the cause and cure of cancer’ and this, of course, excludes pain. Yet, for every £10,000 donated to cancer research, chronic pain research receives a donation of less than one (1p) penny. The Pain Relief Foundation in Liverpool is a research charity working to find the causes of chronic pain; seeking new ways of improving the available treatments; educating all doctors and all other medical professionals on treatment methods to ease the pain; providing information packs for patients, sufferers and carers. If you need help, don’t hesitate to contact us. Research costs money, and there is always an urgent need for more and more research. The Pain Relief Foundation DOES NOT receive funding from the NHS or any other Government body. Instead, our vital work depends entirely on donations and the generosity of people like you. Help the Homeless was founded in 1975. We started with two national appeals and, as a result of the careful management of funds; we have been able to give grants totalling over £2million to date.

We are a cost efficient charity with very low overheads enabling us to distribute a large proportion of out funds to organisations nationwide that help some of the UK’s most deprived people come off the streets and into safe accommodation. Help us create a Living Landscape for Suffolk Suffolk Wildlife Trust is the county’s largest voluntary organisation working on nature conservation and environmental issues. We have 29,000 members and are part of a network of 47 Wildlife Trusts operating across the United Kingdom. The Trust owns or manages more than 50 nature reserves – over 7400 acres of Suffolk’s most precious wildlife habitat – which is free for anyone to enjoy. We are committed to creating a living landscape that is rich in wildlife and in this sense legacy support is targeted towards the purchase and management of nature reserves and projects to safeguard threatened species and habitats. Environmental education is a major part of the Trust’s work. Every year thousands of children visit our education centres and hundreds of families enjoy our wildlife events and activities. THE BARRISTERS' BENEVOLENT ASSOCIATION The Barristers’ Benevolent Association exists to support, help and comfort those members of the Bar in England and Wales and their families and dependants who are in need, in distress or in difficulties. During the recent past we have helped barristers and their families in every circuit, often saving not only dignity but careers.
Please do not hesitate to bring potential cases to our attention and remember us when things are going well and you can afford to make a gift. The BBA office staff will be more than happy to answer queries, either by telephone or by email – details are given on the Contact Us page of our website.
We are not nearly as well-known in the profession as we would like, and there are possibly people who qualify for our help but aren’t aware of our existence… we also feel that there are other people who would be willing to contribute to the welfare of their less fortunate colleagues but who are also unaware of us.
