As a homeowner in the Hamilton Mill Community Association, you have an opportunity to provide leadership and advance the best interests of the community by running for a position on the Board of Directors. Serving on the Board will allow you to have direct involvement in “directing” the business of the Association and adopting policies that reflect the benefits and services provided to our neighborhood. Please consider the following reasons why you should be nominated to serve as a Board Member: • Opportunity to make decisions on issues that have an impact on the quality of life for all residents of Hamilton Mill • Governance – policy making, oversight, and strategic planning • Opportunity to address issues and concerns of neighbors Serving on your Homeowner’s Association Board of Directors can be exciting and rewarding. You have the opportunity to work with neighbors to make our community a great place to live, work, and play (A Hometown Community). NOMINATIONS FOR BOARD OF DIRECTORS Board Member Duties and Responsibilities and Obligations To All Hamilton Mill Owners: In accordance with the By Laws for Hamilton Mill Community Association, Inc., three positions of the current board are up for re-election. The Nominations Committee is currently accepting applications for nomination and the Closing Date for nominees for the Board is November 30, 2018. The duties and responsibilities of a board member include governance, decision making, and oversight and requires a great deal of time, dedication, and knowledge on the workings of the community. In addition, a clear understanding of the association’s covenants, restrictions, bylaws, and a working knowledge of the association’s finances, insurance requirements, and contract obligations for the vendors that work for the association will be required. The affairs of the Association are governed by the Board of Directors, elected by its members. GA Code requires a director to discharge his or her duties in a manner the director believes in good faith to be in the best interest of the Association, and with the care an ordinary person in a like position would exercise under similar circumstances. The legal duties of a Director are: • Duty of Care – must exercise good judgment; includes an obligation to make informed decisions; ignorance is no defense • Duty of Obedience – must comply with the Association’s governing documents and act consistent with goals • Fiduciary Duty – must be loyal to the Association and never use position for personal gain or illegal acts; loyalty includes confidentiality Below is an overview of the role of officers of the Association which are appointed by and consist of elected Board members. Please read the information below carefully and take all the information into consideration before considering a position on the Board of Directors. Thank you and best of luck in your decision!! Officers of the Association: PRESIDENT The president of an association is vested with all the powers generally given to the chief executive officer of a corporation. While specific by-law provisions may vary the president’s
10 | HOMETOWN HERALD | November 2018
duties, it is generally presumed that he or she will preside at all meetings of the board and the membership. The president will execute contracts, orders and other documents in the name of the association as its agent. When signing documents, the president should indicate the capacity in which he or she is signing in order to avoid any personal liability since the president’s signature, under most circumstances, will bind the association under a doctrine of inherent powers. The president also assumes general charge of the day-today administration of the association and has the authority to order specific actions in furtherance of the board’s policies. The president serves as spokesperson for the board of directors in most matters relating to general association business. Like all officers of the association, the president has an affirmative duty to carry out the responsibilities of the office in the best interests of the association. Unless otherwise specified in governing documents, the president serves at the will of the board of directors and can be removed with or without cause at any time by a majority of the full board. VICE PRESIDENT The vice-president is vested with all the powers which are required to perform the duties of the association president in the absence of the president. The vice president does not automatically possess inherent powers to act in the capacity of the chief executive officer and may act for the president only when the president is actually absent or otherwise unable to act. The vice-president may assume such additional duties as are defined by the board of directors. Often, the vicepresident will chair one or more substantive committees like that of architectural review. SECRETARY The secretary of the association is responsible for keeping and maintaining a record of all meetings of the board and the membership and is the custodian for most of the official records of the association. The position of secretary is not simply a clerical position. As the custodian for the minutes and other official records of the association, the secretary is responsible for insuring access to those records by the members of the association and their authorized representatives. TREASURER The treasurer is the custodian of the funds, securities and financial records of the association. When the association has a manager or Management Company that handles the funds on a daily basis, the treasurer’s duties will include overseeing

the appropriate people to ensure that the financial records and reports are properly kept and maintained. Unless the by-laws otherwise specify, the treasurer is responsible for coordinating the development of the proposed annual budget and for preparing and giving the annual financial report on the financial status of the association. The treasurer does not have the authority to bind the association or the board of directors in dealings with third parties unless the board has provided express authority for the treasurer to do so. As with the association’s secretary, the treasurer does not have to perform the day-to-day record keeping functions of the association when this responsibility is transferred to a management company, but the treasurer will ultimately be responsible for insuring that the financial records of the association have been maintained properly in accordance with sound accounting practices. Fiduciary Relationship and Responsibility The members of the board of directors and each officer of the association have a fiduciary relationship with the members of the association. This fiduciary relationship imposes obligations of trust and confidence in favor of the corporation and its members. It requires the members of the board to act in good faith and in the best interests of the members of the association. It means that board members must exercise due care and diligence when acting for the community, and it requires them to act within the scope of their authority. The fact that the association is a not-for-profit corporation, or that the members of the board are volunteers and unpaid, does not relieve them from the high standards of trust and responsibility that the fiduciary relationship requires. When a member accepts a position on the board of directors, he or she is presumed to have knowledge of the duties and responsibilities of a board member. Board members cannot be excused from improper action on the grounds of ignorance or inexperience and liability of board members for negligence and mismanagement exists in favor of the association and the property owners. Each board member must recognize the fiduciary relationship and the responsibilities that the board has to the association and each of its members. The board’s duties must be performed with the care and responsibility that an ordinary prudent person would exercise under similar circumstances, and the ultimate responsibilities of these unique positions cannot be delegated to a manager, a management company or other third party. Operating a homeowner association carries with it many of the very same duties and responsibilities as overseeing any other business. Serving as a board member is a valuable and rewarding experience that should be undertaken by those who see it as an opportunity to serve their fellow neighbors while protecting and enhancing the assets of the community.
A Recap of the Board Member’s Role: • Protect, preserve, and enhance the values and assets of the Association and its members • Read, understand, and adhere to Association’s governing documents • Where appropriate, select, support, and evaluate the management company or general manager • Adopt and cause to be implemented policies for the maintenance, administration, and financial wellbeing of the Association • Attend and participate in meetings • Set amount of assessments to ensure adequate resources to meet the Association’s purpose • Oversee resources and finances and ensure financial controls are in place • Determine the scope of services and monitor • Enhance the Association’s public image • Act legally and ethically • Recruit new Board members • Adopt rules and regulations

For the past several years we have been lucky enough to help the Gwinnett Department of Family and Children Services, and this year we have 15 foster children who are counting on us to make their Christmas dreams come true. CHASTAIN NIGHT 2018 Hamilton Mill’s annual Chastain Night was on Saturday, September 29 on the soccer field. The weather was perfect, the bands were out of this world, and the crowd was ready to rock out 80’s style! The doors opened at 6:30pm as Hamilton Mill residents and guests arrived with food, coolers, and ready to have fun! Some even dressed the part with totally rad 70’s and 80’s outfits and accessories. Opening for us was a local band from the Dacula/Lawrenceville area FAT ARM DADDY–and they set the mood for the night with original songs and 70’s/80’s covers. We celebrated Erik Viel’s (from FAT ARM DADDY) 50th birthday and played “Birthday” by The Beatles. His dad also joined us all the way from Rochester, NY and saw him play live for the 1st time! What a cool start to Chastain Night! The headliner was DEPARTURE–The Ultimate Journey Tribute Band! They rocked Hamilton Mill out with 2 solid hours of all the hits you know and love by Journey and the man Steve Perry. Just before the start of their show, we had an engagement in the crowd! The love birds met at Chastain Night 2 years ago and Mark popped the question to Mercedes this year… congrats to the happy couple! The crowd was all aglow with glow sticks provided by Berkshire Hathaway Home Services and sang and danced the rest of the night away. What a great night in Hamilton Mill!

RICH & NUTTY C omfort Food for Breakfast Bread pudding is a tasty concoction made with simple ingredients that, when combined, pack a delicious punch. Bread pudding often can be crafted from ingredients one likely already has in the kitchen. In addition, recipes can be adjusted depending on the number of servings desired. While bread pudding may be thought of as a dessert, it also can make for a tantalizing meal at breakfast or brunch. Ideal for warming up on autumn or winter days, this ‘Breakfast Bread Pudding With Pecan Crumble,’ courtesy of The American Pecan Council and Brandon Matzek, founder of the culinary website Kitchen Konfidence, is sure to be a hit. This satisfying dish can also be prepared ahead of time and then garnished before warming and serving.

Ingredients For the bread pudding: 1/2 tablespoon unsalted butter, for greasing 1 pound brioche bread, cut into 3Ú4-inch cubes 8 eggs 2 cups milk 1/2 cup heavy cream 1/2 cup sugar 1/2 cup packed light brown sugar 1 tablespoon vanilla extract 2 tablespoons good bourbon Pinch of fine grain sea salt 1/2 cup chopped pecans, toasted For the crumbled topping: 1/2 cup flour 1/2 cup pecan pieces 1/2 cup packed dark brown sugar 1 teaspoon cinnamon 1/4 teaspoon fine grain sea salt 3 tablespoons unsalted butter, at room temperature Sliced persimmons, for serving (optional) Maple syrup, for serving (optional)

Directions 1. Lightly butter a 9 x 13 baking dish, then place cubes of brioche in the baking dish in an even layer. 2. In a large bowl, whisk together eggs, milk, heavy cream, sugars, vanilla, bourbon, and a pinch of sea salt. Sprinkle toasted pecans over the brioche, then pour the wet ingredient mixture evenly all over the bread, making sure it’s covered thoroughly. Cover and let sit in the fridge for at least 2 hours (or up to overnight). 3. To bake the bread pudding: Preheat the oven to 350 F and remove the baking dish from fridge. 4. Meanwhile, prepare the crumble: Add flour, pecans, dark brown sugar, cinnamon, salt, and butter to a medium bowl, and using your fingertips, rub ingredients together until evenly combined and clumps start to form. Sprinkle the surface of the bread evenly with the crumbs. 4. Bake until the bread pudding is puffy and the top is golden, about 45 minutes to an hour. To serve, cut squares of warm bread pudding, and place on small plates. Top with sliced persimmons and maple syrup, if desired.
