Peter Oundjian: A Legacy of Leadership The 2017/18 season will be Peter Oundjian’s 14th and final one as TSO Music Director. Over the course of his extraordinary tenure—the second longest in the TSO’s history—Peter has made a tremendous impact on the TSO and the culture of Toronto. Peter’s transformational leadership has been most evident in the areas of artistic development, touring, and community engagement. Throughout his term, Peter created two successful annual festivals—the Mozart Festival and the New Creations Festival—and established The Decades Project. Peter has selected 40% of the Orchestra’s current roster of outstanding musicians, and he has conducted the TSO on eight recordings including the JUNO-nominated recording of Rimsky-Korsakov’s Sheherazade on the Chandos label. Peter has led the Orchestra on eight international tours, including the TSO’s return to Carnegie Hall in 2008 after a 10-year absence, and another appearance there in 2011. As part of a European tour in 2014, Peter conducted the TSO in the first performance by a North American orchestra at Reykjavik’s Harpa Hall. And in 2017, Peter and the Orchestra took part in the TSO’s first-ever tour of Israel. Peter’s many contributions to the TSO and the city include community partnerships with the Luminato Festival, the Regent Park School of Music, the Pan Am/ Parapan Am Games, and the Toronto Blue Jays. He established the annual Chinese New Year Celebration, conducted a benefit concert for The Hospital for Sick Children (SickKids), and led the TSO on numerous Northern Ontario residencies.

The Toronto Symphony Orchestra is exceedingly grateful to Peter for his vision and leadership over the years. To recognize his many accomplishments, Peter will be honoured with the title of Conductor Emeritus when he completes his tenure at the end of the current season.

2017 Tour of Israel & Europe From May 7 to 22, 2017, the Toronto Symphony Orchestra was proud to act as a cultural emissary for Canada during its sesquicentennial year by taking part in an important international tour. Appearing in Israel for the first time in its history, the TSO performed concerts in Jerusalem and Tel Aviv, before travelling to Europe and playing in Vienna, Regensburg, Prague, and Essen. In Israel, the distinguished IsraeliRussian violinist Maxim Vengerov joined Music Director Peter Oundjian and the Orchestra for performances of Brahms’s Violin Concerto. On the European leg of the tour, along with Vengerov, celebrated Canadian pianist Jan Lisiecki and dazzling Canadian soprano Carla Huhtanen were featured as soloists in performances of Schumann’s Piano Concerto and Boulez’s Le soleil des eaux, respectively.

Canada Mosaic To mark the 150th anniversary of Confederation, the Toronto Symphony Orchestra is presenting Canada Mosaic—a year-long, national celebration of the nation’s diverse musical landscape and a Canada 150 Signature Project funded in part by the Government of Canada. The TSO is proud to lead this important cultural project, which commemorates Canada’s rich musical past, present, and future through performance, education, innovation, and collaboration with orchestras in every province and territory. Canada Mosaic comprises three main components:

Commissions & partner orchestras In partnership with 40 Canadian orchestras, hailing from every province and two territories, the TSO has commissioned Canadian composers to write two-minute orchestral works. These “Sesquies” are premièred by the TSO in Toronto, and by partner orchestras in their local communities. In addition, the TSO commissioned 12 large-scale Canadian compositions, many of which are being performed by professional and amateur orchestras across Canada.

Website & e-learning The TSO has developed a website and free digital learning platform— TSO.CA/CanadaMosaic—that highlights the nation’s unique musical heritage through recorded TSO concerts, lesson plans, and other interactive educational resources.

Musical legacy The TSO is performing musical tributes and thematic programs dedicated to showcasing existing Canadian orchestral music and celebrating trailblazing Canadian artists. The first half of Canada Mosaic (January–June 2017) was an astounding success. The Sesquies

demonstrated a diversity— in orchestration, mood, and inspiration—that reflects the very fabric of the nation. Other programming included Canadian classical and popular music; new pieces by acclaimed composers such as Nicole Lizée, Vincent Ho, and Owen Pallett; and powerhouse performances by celebrated guest artists including throat singer Tanya Tagaq, violinist James Ehnes, and singer-songwriter Carly Rae Jepsen. To reach the largest audience possible, most performances were recorded, posted to the Canada Mosaic website, and shared on the TSO’s social media platforms. These recordings form the basis of the e-learning modules, which educators across the country can use as a resource to teach their students about Canadian music.

Message from the Board Chair Our perennial goal is to make the TSO one of the world-class cultural experiences in our city—synonymous with Toronto, a must-see date on the calendar for locals and visitors. To that end, we can report on the milestones of the year just past, and transformations planned for the ones upcoming. First, though, I would like to give credit where it is due.

I wish to highlight a number of people who are key to our success at the TSO, beginning with the person with whom I have had the good fortune to work closely, Interim Chief Executive Officer Gary Hanson. Gary’s perspicacity is invaluable, and we are fortunate that, among his many other responsibilities, he is helping us select his successor. The leadership of the Toronto Symphony Foundation, specifically outgoing Chair Larry Ward and incoming Chair Tom MacMillan, must be acknowledged as well. Larry guided the Foundation for four-plus years, including a challenging 2016, and Tom’s leadership will continue to ensure the long-term growth and stability of the Orchestra. A special thank you and a salute to Music Director Peter Oundjian, who enters the 2017/18 season as his 14th, and the final one at our helm. This year promises to show the Maestro in full flourish, with a number of outstanding concerts demonstrating the breadth of his contributions. My greatest pleasure is to praise the symphony musicians. Becoming Chair has given me the opportunity to get to know each of them—to understand why they chose this route in life, the dedication required to achieve their current standing, and how they give back to the audience and greater community in various ways. On behalf of the Board, we thank you. As to the Board, our priorities are to augment the Orchestra’s artistic reach and establish our institution on sensible and sustainable footings. This past year, the TSO made a groundbreaking and much-lauded tour of Vienna, Prague, Tel Aviv, and Jerusalem. We also produced a detailed four-year financial plan that brings costs in line, reduces the accumulated deficit, and increases the endowment. For the first time, this Annual Report contains our complete audited financial statements and notes, together with the first signs of our plan’s success. We have also taken important steps to ensure our Board members are among the leading contributors in annual

donations and special gifts, and are responsible for developing new sources of philanthropic income for the organization. To underline the latter, I have taken on the role of Chair of the Board’s Development Committee. We gratefully acknowledge the work of our TSO staff; our volunteers; BMO Financial Group, the TSO’s Season Presenting Sponsor for a sixth consecutive year; immediate past Board Chair Richard Phillips; and past Interim President & CEO Sonia Baxendale; as well as the important support we receive from the Canada Council for the Arts, the Ontario Arts Council, and the City of Toronto. 2016/17 Season in Review

Season breakdown In its 95th concert season, the Toronto Symphony Orchestra presented 125 performances to the community. These comprised 115 at Roy Thomson Hall, including 18 School Concerts; six at Koerner Hall; three at George Weston Recital Hall; and one at the TSO’s original home of Massey Hall. The TSO also performed nine concerts while on two successful tours: The 2017 Tour of Ottawa & Montreal brought a performance to each city, and the 2017 Tour of Israel & Europe included concerts in Jerusalem, Tel Aviv, Vienna, Regensburg, and Essen, and two performances in Prague. Throughout the season, the Orchestra presented 18 World Premières and three Canadian Premières. The TSO also commissioned 32 works. This unprecedented number is a direct result of the Canada Mosaic project, funded in part by the Government of Canada.

Total attendance for the TSO’s 2016/17 season was 258,806, and the number of first-time attendees was 22,736.

Artistic achievements Over the course of the season, 22 guest artists, nine of whom were Canadian, made their TSO débuts. The Orchestra also welcomed back some of classical music’s most celebrated performers including Renée Fleming (who lent her stunning voice to the TSO’s Opening Night concert), Itzhak Perlman, Yuja Wang, and Emanuel Ax. In the winter, the TSO held two critically acclaimed festivals. The Mozart@261 Festival was co-curated by Music Director Peter Oundjian and Bernard Labadie, and took place in Koerner Hall. The New Creations Festival—featuring significant Canada Mosaic content—was curated by composer Owen Pallett and included a diverse roster of guest artists performing new works by many accomplished composers.

The final installment of The Decades Project was presented at the end of the season. The concerts brought the ’30s to life in three monumental programs: Belshazzar’s Feast, led by TSO Conductor Laureate Sir Andrew Davis; The Seven Deadly Sins, featuring mezzo-soprano Wallis Giunta in a new, semi-staged production by Joel Ivany; and Carmina Burana, with Peter Oundjian conducting four performances of Orff’s choral spectacular. Rounding out the 2016/17 season were a number of crowd-pleasing series, including the ever-popular films with live orchestra; the Pops Series, programmed by TSO Principal Pops Conductor Steven Reineke; the Young People’s Concerts; and the intimate pre-concert performances by The TSO Chamber Soloists, curated by Concertmaster Jonathan Crow.

Music education The TSO presented 18 School Concerts to 36,694 GTA students and their teachers in the 2016/17 season.

These entertaining, curriculum-based performances take place in Roy Thomson Hall and are designed by TSO education staff in consultation with music coordinators from school boards in the Greater Toronto Area. High school students from across the region had the opportunity to experience the Orchestra live through the Morning with the Toronto Symphony Orchestra open-rehearsal program. These youth were given a rare glimpse into how the Orchestra prepares for a performance, including an opportunity to meet with a TSO musician for a Q&A. In 2016/17, the Toronto Symphony Youth Orchestra (TSYO)—comprising 84 talented young musicians led by TSYO Artistic Director & Conductor Earl Lee—performed three concerts in Toronto and three side-by-side performances with the TSO on the Tour of Ottawa & Montreal.

Community involvement In an effort to engage with local communities, the TSO was pleased to partner with many of the city’s most outstanding organizations throughout the 2016/17 season. Programming included collaborations with The Royal Conservatory of Music (the Mozart@261 Festival), the Art Gallery

Orchestra personnel In 2016/17, the TSO bid a fond farewell to two long-standing members of the Orchestra: Principal Keyboard Patricia Krueger, who officially joined the Orchestra in 1977 under the directorship of Walter Susskind and was a member for 40 years, retired in January 2017. Principal Flute Nora Shulman, who was appointed to her position in 1986 by Sir Andrew Davis after joining the Orchestra as Associate Principal Flute in 1974, retired at the

end of the 2016/17 season after 43 years with the TSO. In January 2017, the Orchestra welcomed Nicholas Hartman to the position of Fourth Horn. Moreover, since the end of the fiscal year, the following seven musicians have joined the TSO: Charles Settle, Principal Percussion; Kelly Zimba, Principal Flute; Michael Chiarello, Associate Principal Double Bass; Alastair Eng, Cello; Miles Jaques, Bass Clarinet; Douglas Kwon, Violin; and Clare Semes, Violin.


CEO’s Message I am pleased to report that the Toronto Symphony Orchestra is on a path to financial stability.

Over the course of last season, the TSO’s executive team carried out a detailed and comprehensive analysis of our financial strengths and weaknesses. Making an unvarnished assessment uncovered challenges that have dogged the TSO for years, while revealing steps that we can take to achieve fiscal stability. The result is the most rigorous strategic plan ever created at the TSO. Using conservative baselines and achievable growth projections, the plan involves restoring net operating revenues, slowing the growth of fixed expenses, and increasing annual renewable fundraising—and doing so simultaneously (see page 12). In order to be financially stable, an orchestra must also be artistically excellent. The fact that the Toronto Symphony Orchestra is an artistically strong institution was made apparent in landmark events throughout the 2016/17 season—including Canada Mosaic (see page 3) and the Tour of Israel & Europe (see page 2). Indeed, the calibre of the artistry demonstrated by the members of the Orchestra is consistently outstanding. My career has allowed me to attend concerts performed by virtually every major orchestra on the planet, and I can say with full confidence that the TSO’s musicians are among the best in the world. Going forward, we want to make our musicians, and the ensemble they comprise, the focus of our programming and our pride. Music Director Peter Oundjian deserves enormous credit for the Orchestra’s triumphs. When he assumed the role of Music Director more than 13 years ago, Peter breathed new life into the Orchestra and he electrified audiences. I thank Peter sincerely for his vital role in the success of 2016/17, and for his remarkable legacy as this institution’s artistic leader. Indeed, there is no role more important to the success of a symphony orchestra than that of the Music Director, which is why I am pleased to report that our process to select Peter’s successor is progressing well. Moreover, for two seasons between permanent Music Directors, the TSO is delighted to welcome its Conductor Laureate, Sir Andrew Davis, in the role of Interim Artistic Director.

The TSO has a truly great leader in Board Chair Cathy Beck. Cathy is as generous as she is uncompromising in her commitment to seeing the Orchestra succeed both financially and artistically. I am grateful to Cathy and the other members of the Board of Directors for their invaluable leadership in 2016/17. I would like to recognize the Trustees of the Toronto Symphony Foundation for generously supporting the TSO and helping ensure its longevity. The passionate members of the Board of the Toronto Symphony Volunteer Committee, who continue to raise funds for the TSO’s operations and education programs, deserve our appreciation as well. My thanks to Sonia Baxendale, who served as Interim President & CEO of the TSO during the first part of the season, and former Board Chair Richard Phillips, who together saw the TSO through a very crucial time for the organization. The musicians of the Orchestra directly contributed to the TSO’s positive financial results in 2016/17 by selflessly accepting a one-year contract extension with no pay increase. I am grateful to them and to their Orchestra Committee, under the leadership of Shane Kim, for the successful negotiation of a new three-year Master Agreement before the beginning of the 2017/18 season.

The work of the TSO staff is almost entirely behind the scenes. Nevertheless, the members of the TSO’s highly professional administration deserve recognition and thanks from all of us for the essential part they play in the organization’s accomplishments. No TSO constituency is more important than you, the readers of this Annual Report, who contribute private philanthropy and public subsidy to support this great institution. All three levels of government provide meaningful operating grants to support the symphony. Last year, these grants totalled more than $5 million, representing 17% of our overall revenue. These generous grants to the TSO are part of the institution’s lifeblood, making possible the broad range of artistic achievement and community service. We are very grateful to the Board and staff of the Ontario Arts Council, led by Peter Caldwell, Director and CEO, who have watched closely the symphony’s trajectory in recent years and applied appropriately rigorous criteria to the adjudication of our grants. Likewise, the Canada Council for the Arts, under the direction of Simon Brault, Director & CEO, provides the TSO with an annual grant in support of continued artistic excellence, devotion to Canadian composers and artists, and service to the broader community. Lastly, the City of Toronto remains an important and generous financial supporter of the TSO, something the City has been every year since 1943. This season, 2017/18, is the 75th anniversary of the City of Toronto’s annual support of its symphony orchestra. No other source, public or private, comes close to this unbroken record of long-term support. Throughout 2017, the Toronto Symphony Orchestra is proud and grateful to be collaborating with the Department of Canadian Heritage on what is by far the largest-ever effort to commission and present Canadian compositions by Canadian artists. The resulting Canada Mosaic project is described on page 3 of this report. We are grateful to the Minister of Canadian Heritage, Mélanie Joly, and Andrew Campbell, Senior Executive Director, Federal Secretariat, Canada 150, whose vision and enthusiasm allowed the TSO to conceive, develop, and manage a

program that will leave a lasting artistic impact of our nation’s sesquicentennial celebrations. Over the course of the past decade, orchestras everywhere have seen a shift in which private philanthropy has become the largest single source of revenue, surpassing even annual revenue from ticket sales. The TSO crossed this threshold recently, and we are deeply grateful to the thousands of individuals, corporations, and private foundations who provide vital support and who recognize that no cultural asset is more important to our community than the Toronto Symphony Orchestra. The generous donors and sponsors who gave to the TSO in 2016/17 are detailed by name in this Annual Report between pages 14 and 21, and a number of them are worthy of very special mention: Mrs. Mary Beck, together with her husband H. Thomas Beck who passed away in 2016, has been a steadfast supporter of the TSO for roughly four decades. Sheryl & David Kerr and Richard Rooney & Laura Dinner are long-time donors and are early supporters of the TSO’s Transition Fund. The TSO’s Path to Financial Recovery

Beginning in December 2016, the TSO undertook an objective analysis of its overall financial performance. Board and management carried out a detailed, multi-year study of the institution’s situation, in particular, its chronic fiscal weakness. What did we learn? Net revenues from our core business of concert production and presentation had declined significantly. As recently as 2014, the direct costs of presenting concerts was $6.3 million, producing revenues of $9.5 million. Since then, the net numbers took a downturn with concert costs up to $7.7 million but without an increase in the associated revenue. Meanwhile, non-artistic expenses, especially marketing and administration, increased dramatically. As a result, the need for contributed revenues ballooned, and balanced budgets were often the product of end-of-year, urgent fundraising appeals.

The TSO needs rigorous, meticulous

In each of these areas, the message is clear: the TSO needs rigorous, meticulous renewal, not earth-shaking revolution. To effect a durable financial restoration will take time and thus this plan will be fully implemented over the course of four fiscal years. That’s the time needed to turn around the concert business, to grow the base of annually renewable philanthropy, and to strengthen the balance sheet. In the end, the annual budget will be balanced because predictable ongoing expenses will be matched with annually renewable earned and contributed revenues. Over the course of those four years, a special “Transition Fund” is required. A total of $12 million (over and above annual fundraising) is needed—$5 million to bridge the annual budget while core business operations improve, and $7 million to eliminate the balance sheet deficiency.

The resulting 4-Year Path to Financial Recovery outlines a reliable program to achieve long-term stability. Its budgetary goals include restoring the TSO’s previously healthy net results from concert performances and limiting the growth of fixed costs. The plan primarily addresses the numbers, but it is nevertheless equally concerned with thoughtful approaches to: • Ongoing artistic achievement • Broader community engagement • Rigorous new governance practices

The year ended June 30, 2017, comprises Year 1 of the plan and we finished the year successfully. Most dramatically, significant increases in administration and marketing expenses were reversed, with savings over the previous year of more than $2 million in these two areas alone. More importantly, Year 1 of the plan ended with gifts and pledges to the Transition Fund totalling more than $6 million of the $12 million goal. As planned, almost $1.4 million of this amount was applied to the 2016/17 fiscal year. As noted above, fiscal health alone is not enough. At the same time, significant steps are being made to ensure ongoing artistic health. For example, we are filling long-standing vacancies in the Orchestra (see the final paragraph on page 9); we are building a board of generous, engaged community leaders who love music and care about the institution; and we are creating a vision for deeper and broader engagement with our diverse communities.

Finally, and most importantly, successful implementation of the 4-Year Plan will permit the TSO and the Toronto Symphony Foundation to aggressively pursue endowment growth. Even while soliciting funds for the Transition Fund, quiet preparations are being made to double the Orchestra’s endowment over the coming decade.

Report on the financial statements We have audited the accompanying financial statements of The Toronto Symphony, which comprise the statement of financial position as at June 30, 2017 and the statements of operations, changes in net deficiency and cash flows for the year then ended, and a summary of significant accounting policies and other explanatory information.

Management’s responsibility for the financial statements Management is responsible for the preparation and fair presentation of these financial statements in accordance with Canadian accounting standards for not-forprofit organizations, and for such internal control as management determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

Auditors’ responsibility Our responsibility is to express an opinion on these financial statements based on our audit. We conducted our audit in accordance with Canadian generally accepted auditing standards. Those standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the financial statements are free from material misstatement. An audit involves performing procedures to obtain audit evidence about the amounts and disclosures in the financial statements. The procedures selected depend on the auditors’ judgment, including the assessment of the risks of material misstatement of the financial statements, whether due to fraud or error. In making those risk

assessments, the auditors consider internal control relevant to the entity’s preparation and fair presentation of the financial statements in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the entity’s internal control. An audit also includes evaluating the appropriateness of accounting policies used and the reasonableness of accounting estimates made by management, as well as evaluating the overall presentation of the financial statements. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our audit opinion.

Opinion In our opinion, the financial statements present fairly, in all material respects, the financial position of The Toronto Symphony as at June 30, 2017 and the results of its operations and its cash flows for the year then ended in accordance with Canadian accounting standards for notfor-profit organizations.

Notes to the Financial Statements 1. DESCRIPTION OF ORGANIZATION The Toronto Symphony [the “Symphony”] is a not-forprofit performing arts organization incorporated under the Corporations Act (Ontario). The Symphony provides performances of orchestral repertoire and serves a spectrum of musical needs within the Toronto community. The Symphony is registered under the Income Tax Act (Canada) as a charitable organization and, as such, is exempt from income taxes. The financial statements of the Symphony do not include the net assets and income of The Toronto Symphony Foundation [the “Foundation”] [note 11] or the Toronto Symphony Volunteer Committee as both organizations are independent legal entities. Both organizations, at their discretion, provide funds to the Symphony each year.

2. SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES These financial statements are prepared in accordance with Part III of the CPA Canada Handbook – Accounting, which sets out generally accepted accounting principles for not-for-profit organizations in Canada and includes the significant accounting policies summarized as follows: Revenue recognition The Symphony follows the deferral method of accounting for contributions, which include grants and donations. Grants, bequests and unrestricted contributions are recorded in the accounts when received or receivable if the amount to be received can be reasonably estimated and collection is reasonably assured. Unrestricted contributions are recognized as revenue when initially recorded in the accounts. Externally restricted contributions are deferred when initially recorded in the accounts and recognized as revenue in the year in which the related expenses are recognized. Externally restricted contributions for depreciable capital assets are deferred and amortized over the life of the related capital asset. Revenue from subscription and other ticket sales, concerts and special events is recognized in the accounts at the date of the performance. Other revenues are recognized at the date on which services are provided or goods delivered. Financial instruments Financial instruments, including accounts receivable, bank indebtedness and accounts payable and accrued liabilities, are initially recorded at their fair value and are subsequently measured at cost, net of any provisions for impairment. Capital assets Purchased capital assets are recorded at cost. Donated capital assets are recorded at fair value at the date of

contribution. Amortization is provided on a straight-line basis over the estimated useful lives of the assets as follows: Tangible Computer equipment Furniture and equipment Musical instruments Leasehold improvements

Donations of items included in the historical musical instruments are recorded as a direct increase in capital assets and a direct decrease in the net deficiency at an appraised value established by an independent appraisal in the year receipted by the Symphony. These instruments are considered to have a permanent value and are not amortized but are assessed annually for any indicators of impairment. Employee and musician benefit plans For multi-employer defined benefit pension plans and defined contribution plans in which the Symphony’s employees and musicians participate, contributions are expensed as due. Multi-employer defined benefit pension plans are accounted for consistent with defined contribution pension plans since these plans do not provide sufficient information for the Symphony to apply defined benefit plan accounting. Foreign currency translation Revenue and expenses denominated in foreign currencies are translated into Canadian dollars at exchange rates prevailing at the transaction date. Monetary assets and liabilities are translated into Canadian dollars at exchange rates in effect at year end. Exchange gains and losses are included in the statement of operations. Contributed materials and services Because of the difficulty of determining their fair value, contributed materials and services are not recognized in the financial statements. Allocation of expenses The costs of each function include the costs of personnel and other expenses that are directly related to the function. General support and other costs are not allocated.

3. ACCOUNTS RECEIVABLE As at June 30, 2017, accounts receivable includes $56,211 [2016 – $823,853] representing the estimated outstanding payments with respect to three [2016 – four] bequests and $683,020 [2016 – nil] with respect to total pledges receivable.

Subsequent to June 30, 2017, the banking agreement was renewed for another twelve months. The new banking agreement is supported by an increase in the City guarantee to a maximum amount of $5,000,000 and a reduction in the Foundation guarantee to $4,200,000. All other terms in the renewed banking agreement remain unchanged. The agreement with the City provides that the Symphony must repay, to the City, any amounts paid by the City to the bank. Interest is incurred at a rate of prime plus 0.5% [2017 – 3.2%]. Interest recorded in the statement of operations on the line of credit totalled $203,476 [2016 – $221,411] for the year. As collateral for the guarantee provided by the Foundation, the Symphony has provided, to the Foundation, a security interest in all of its assets. The Symphony has provided the bank with a second security interest in all of its assets, subordinated only to the Foundation.

6. GOVERNMENT REMITTANCES PAYABLE As at June 30, 2017, accounts payable and accrued liabilities include government remittances payable of $168,948 [2016 – $49,603].

Deferred capital contributions represent the unamortized amount of donations received for the purchase of capital assets. 5. BANK INDEBTEDNESS The Symphony has a banking agreement that provides a demand credit facility of $9,200,000 and a facility for hedging foreign currency exposure with a maximum aggregate face value of U.S. $500,000 and maximum contract term of twelve months. This agreement is supported by guarantees from the Foundation in the amount of $6,200,000 and the City of Toronto [the “City”] to a maximum of $3,000,000.

11. THE TORONTO SYMPHONY FOUNDATION [a] The net assets of the Foundation, at fair value, are as follows:

The Foundation, at its discretion, provides support to the Symphony as determined by restrictions on the various funds comprising the net assets. During the year, the Foundation provided the Symphony with a distribution of $2,249,000 [2016 – $4,895,000]. As at June 30, 2017, accounts receivable included nil [2016 – $8,597] due from the Foundation and accounts payable and accrued liabilities included $5,250 [2016 – $77,375] related to donations whereby a portion was to be transferred to the Foundation. [b] The Symphony provides administrative and fundraising services to the Foundation at no cost to the Foundation. During the year ended March 31, 2017, the Foundation recorded fundraising revenue from donations and bequests of $41,904 [2016 – $158,891] raised in connection with these services that is not reflected in these financial statements.

12. MUSICIANS’ DEFINED BENEFIT PENSION PLAN The defined benefit pension obligations of the Symphony’s musicians are the responsibility of the Musicians’ Pension Fund of Canada [“MPF”], which is administered by the Musicians’ Pension Fund of Canada Board. The most recent valuation for financial reporting purposes completed by the MPF as at December 31, 2016 disclosed net assets available for benefits of $783.3 million. The Symphony is required to contribute 10% of the musicians’ minimum basic fee.

[b] The Symphony has entered into various agreements with conductors and guest artists for services to be performed in fiscal 2018, aggregating approximately $3,957,500. Included in this amount is U.S. $1,428,000 translated to Canadian dollars using an exchange rate of $1.30. This includes an increased number of special projects compared to fiscal 2017 and sesquicentennial initiatives specific to 2017 and 2018. [c] Rental payments to Roy Thomson Hall for auditorium usage vary depending upon the number and types of performances. Under the existing agreement, which is on a year-to-year basis, rental payments for auditorium and office space are estimated to be $1,095,000 for fiscal 2018. 14. FINANCIAL INSTRUMENTS The Symphony is exposed to various financial risks through its transactions in financial instruments. Credit risk The Symphony is exposed to credit risk in connection with its accounts receivable because of the risk that one party to the financial instrument may cause a financial loss for the other party by failing to discharge an obligation. Interest rate risk The Symphony is exposed to interest rate risk with respect to its operating line of credit because cash flows will fluctuate because the interest rate is linked to the bank’s prime rate, which changes from time to time. Liquidity risk The Symphony is exposed to the risk that it will encounter difficulty in meeting obligations associated with its financial liabilities.

15. COMPARATIVE FINANCIAL STATEMENTS The comparative financial statements have been reclassified from statements previously presented to conform to the presentation of the 2017 financial statements.
