ACabrolous’tn Charlie’s In order to explain Carlos’n Charlie’s brand, we need to talk first about the restaurant’s founder and biggest influence -Carlos Anderson. Carlos was a fun-loving, charismatic man who was adored by all. And in return, he truly admired those around him. He didn’t care who you were. He didn’t care about your social status. He only cared about making guests in his restaurant happy – no matter the sacrifice. Early in life, Carlos learned he had a special gift for making people around him enjoy themselves.

He also understood and appreciated the fact that all people were different --What made one guest smile might not work for another, so it was up to him to figure each person out. With that in mind, Carlos quickly became an expert in reading people. He learned to pick up on the clues that tapped into the mind of each guest, clues that helped him figure out what it took to ensure they had a great time.


About Carlos’n Charlie’s His restaurants cater to that belief at every turn. People don’t visit Carlos’n Charlie’s just for a meal, they come for the experience. And that experience starts the minute they approach the entrance and read a humorous sign bearing the words: “Members and Non Members Only.” (That was Carlos’ way of saying everyone who enters is treated equally.) Inside, guests mingle with the owner, chat with the servers and enjoy plenty of interactive entertainment, since they often get to participate on the skits that employees put on. They’ll make them do things they might not normally do in the outside world, like sit in a barber’s chair to take a shot of tequila. Through this, the servers create lasting memories and build customers for life.

If this is not enough, the restaurants also provide a reflection of Carlos Anderson’s personality. The walls are covered with antiques, novelty signs, streamers, green-and-white decorations, sight gags and more. Where else can you see dance lessons, complete with painted and numbered footsteps, right in the middle of the floor? Some years later, we (the current management of Carlos’n Charlie’s) realized that it was our responsibility to carry on his legacy, so we kept the restaurant going strong with the same basic philosophy Carlos had created when he first opened the doors.


About Carlos’n Charlie’s Since then, we learned Carlos had it right all along -people want to have fun. Problem is, as people grow older, they come to accept “boredom” when it comes time to eat. At Carlos’n Charlie’s, we still think eating should be fun. We want people to experience the opposite of what’s expected and normal – and that’s what we deliver. Come as you are, as long as you aren’t naked. As you read on, you’ll gain a better feel for our brand and what makes us so unique. What kind of food do you serve? The menu at Carlos’n Charlie’s is also a direct reflection of the personality of Carlos Anderson, who traveled the world and always brought a piece of his travels back into his restaurants. The menu is based on authentic recipes, but many items also include flavors from other parts of the globe, including Italy and Japan.

How many locations do you have and where are they located? There are 15 Carlos’n Charlie’s: Acapulco (3), Cancun, Cozumel (2), Cuernavaca, Mexico City (4), Playa del Carmen, Saltillo, Austin, TX, and Lake Mary, FL. When was Carlos’n Charlie’s founded? In 1970 by Carlos Anderson. Why does the wait staff wear these funny costumes? Because we found them all at the circus, and they refuse to wear normal clothes! Can I kiss the waiter if I want to? Sure, go ahead! But just so you know: you might be disappointed! What kind of music do you play? We feature music ranging from favorite “oldies” to today’s hottest hits, and everything in between. Our music is recognizable by every one of our guests because we want to make sure that everyone ends up on the dance floor (or on their chairs, whichever they prefer)!

The restaurant staff does whatever it takes to make sure every guest has a great time. When Carlos was around, none of his servers were allowed to dance with the young, pretty girls; the rule was, “the old, overweight ladies come first.” This was his way of making everyone feel accepted.

In other words, it was the unique blend of different ingredients and experience that Carlos had gathered in his travels.

Agreement

___________________, represented herein by ___________________ (“___________________”) and OPERADORA ANDERSON’S S.A. DE C.V., represented herein by __________________________, a corporation organized under the laws of Mexico (“OPERADORA”) mutually desire to engage into this Confidentiality Agreement related with the services __________________ will provide OPERADORA and for which OPERADORA will furnish to _______________ confidential information (as defined below), which OPERADORA does not wish to make public or common knowledge. It is the intention of the parties that the information provided by OPERADORA with regards to the services ___________________ will offer and/or will provide OPERADORA, including the information provided at and during negotiations, meetings and discussions between the parties, to be considered as confidential information thus to be guarded and protected by the parties. To achieve this purpose, the parties hereby confirm their understanding and agree as follows: 1. For purposes of this agreement “Confidential information” shall mean all information or material proprietary to OPERADORA to which ____________________ may have knowledge or access as a result of the discussions and negotiations with OPERADORA (whether or not reduced to writhing of other tangible medium of expression). The Confidential Information includes, but is not limited to, information set forth on documents and information pertaining to the manufacturing and sales activity of OPERADORA, or relating to OPERADORA’s personnel, designs, drawings, specifications, techniques, data documentation, formulas, research, budgets, projections, forecasts and marketing and developing plans. The Confidential Information also includes the fact that __________________ and OPERADORA are holding discussions and negotiations, the nature of such discussions and negotiations and any details about the services to be provided by ____________________ to OPERADORA. 2. _____________________ agrees not to reproduce any Confidential Information without prior written consent of OPERADORA. 3. ____________________ agrees only to use the Confidential Information for the purposes authorized by OPERADORA.


4. _____________________ agrees to maintain in confidence and not directly or indirectly reveal, disclose, report, publish, disclose or transfer to any person or entity, any Confidential Information for any purpose other than as contemplated in this agreement. 5. ______________________ shall only disclose the Confidential information to its advisors, agents and representatives: (I) to whom it is necessary to disclose the Confidential information for the purpose of assisting ___________________ in evaluating the project; (II) who are previously informed by _____________________ of the confidential nature of the information; and (III) who agree in writing to be bound by the terms and conditions of this agreement. 6. Because of the unique nature of the Confidential information, ___________________ understands and agrees that OPERADORA will suffer irreparable damage in the event that ________________________ fails to comply with any of this obligations established herein and that monetary remedies could be inadequate to compensate OPERADORA for such breach. Accordingly, ____________________ agrees that OPERADORA will, in addition to any other remedies available at law or equity, be entitled to injunctive relief to enforce the terms of herein agreed. 7. If for any reason parties do not proceed with the services, ___________________ agrees to promptly return all Confidential Information to OPERADORA. No copies will be retained by ___________________. 8. OPERADORA agrees to maintain in confidence and not directly or indirectly reveal, disclose, report, publish, to any person or entity, the fact that OPERADORA and ____________________ are holding discussions and negotiations, and shall make reasonable efforts to, cause its advisors, agents and representatives to secure and keep confidential such discussions and negotiations. 9. The person or persons signing this agreement represent and warrant that the execution and delivery of this agreement has been duly authorized and will constitute the valid, binding and enforceable obligation of ___________________ and OPERADORA. 10. This agreement shall be governed by the laws of Mexico. For the interpretation and enforcement of this agreement the parties submit to the jurisdiction of the competent courts in Cancun, Quintana Roo, Mexico.
