The Story There was a cat called Lola. She lived on the street for many years. One time, she was hungry, so she started looking for food. As she passed by a pastry shop, she stayed right outside the door, meowing. After a while, a girl came out and gave Lola a small cupcake. And, that’s how Lola and Aida met. For many days, Lola would stop by Aida’s shop waiting for food. Then, Aida started opening up the door to let Lola in. Now, Lola got a real home, she was not a stray cat anymore. Aida took very good care of Lola, and soon became a very important friend to Lola. Lola enjoyed every minute spent in Aida’s
shop. However, Lola still went out every night, for she already had a life on the street, and that is not a life she can simply put behind her. On the street, Lola was known to the other cats as the “the Warrior Cat”. She fought for her territory, and scared off unwanted intruders. Many times, she would come home with scratches and wounds all over her body. Still, every night, she went out and fought. She fought more freely, because she knew that she has a friend, Aida, to take care of her and mend her wounds.
For many years, Lola fought alone, and didn’t have any special purpose in life other than protecting her territory. Until one day, she saw some strange strays surrounding a cardboard box, and there was a weak sound coming out of it. A puppy was trapped. Without a second thought, Lola sprung over and fought off the strays. Luckily, the puppy was uninjured, but it was really weak. It looked like the little thing was abandoned by its mother. Lola was also an orphan, she never knew her family, and she never had any children. She immediately took pity in the lonely little puppy. She decided to take it under her wings, and raise it as her own. Now, Lola got a family, Michi. And, he became Lola’s new purpose in life.
The Characters LOLA
A house cat by day, a tough warrior on the street by night. • Motivation: Protect Michi and Aida, make sure they are happy and safe. • Goal: Fight any intruder off her territory. • Conflict: She is cold and distant, it is hard for her to open up her heart and let others in. • Epiphany: She learnt how to love freely and express her feelings. Because perfect love drives out fear.
AIDA
She is a professional baker. She works at a pastry shop, and creates all kinds of cute desserts and pastries. • Motivation: Use delicious desserts to bring joy to people. • Goal: Run the pastry shop. • Conflict: She spend too much time working, she hardly has time to hang out with friends. She sometimes feels lonely. • Epiphany: She realize friendship can be found anywhere. And, she enjoys the company of Lola and Michi.
MICHI
Michi has never met his family, but he still feels super loved and secure because of Lola and Aida. He is very thankful of what he has. He has so much love and happiness, he wants to share it with everyone he meets. • Motivation: Enjoy life and make new friends. • Goal: Be friendly and jump on anyone he meets. • Conflict: His enthusiasm sometimes hurt people. • Epiphany: He realize he shouldn’t come out so strong while expressing his love. Sometimes what he wants to give others is not what others want.

BRAND ASSURANCE A. Licensee agrees that the Licensed Products shall be of the highest standard and quality and of such style and appearance as to be best suited to their exploitation to the best advantage and to the protection and enhancement of the Licensed Products and the good will pertaining thereto. The Licensed Products shall be manufactured, sold, and distributed in accordance with all applicable national, state, and local laws. B. In order to insure that the development, manufacture, appearance, quality, and distribution of each Licensed Product is consonant with the Licensor’s good will associated its reputation, copyrights, and trademarks, Licensor shall have the right to approve in advance the quality of the Licensed Products (including, without limitation, concepts and preliminary prototypes, mechanicals or camera-ready art prior to production of first sample; production sample and revised production sample, if any) and all packaging, literature, advertising, publicity, promotion, and displays for the Licensed Products. C. Licensee shall be responsible for delivering all items requiring prior approval pursuant to Licensing Agreement without cost to the Licensor. Licensor agrees not to withhold approval unreasonably. D. Licensee shall not release or distribute any Licensed Product without securing each of the prior approvals provided for in the Licensing Agreement.
LICENSING AGREEMENT 1. Vanessa Du (the “Licensor”) hereby grants to Fluid World (the “Licensee”) a non-exclusive license to use the Lola the Warrior Cat image (the “image) created and owned by Licensor on apparel, stationary, tech products on (“Licensed Products” and to distribute and sell these Licensed Products in United States for a term of five (5) years commencing January, 2018, in accordance with the terms and conditions of this Agreement. 2. Licensor shall retain all copyrights in and to the Image. The Licensee shall identify the Licensor as the artist on the Licensed Products and shall reproduce thereon the following copyright notice: “© Vanessa Du, 2017”. 3. Licensee agrees to pay Licensor a nonre fundable royalty of ten (10%) percent of the net sales of the Licensed Products. “Net Sales’ as used herein shall mean sales to customers less prepaid freight and credits for lawful and customary volume rebates, actual returns, and allowances. Royalties shall be deemed to accrue when the Licensed Products are sold, shipped, or invoiced, whichever first occurs. 4. Licensee shall pay Licensor a nonrefundable advance in the amount of$1,500 upon signing of this Agreement. Licensee further agrees to pay Licensor a guaranteed nonrefundable minimum royalty of $1,000 every month. 5. Royalty payments shall be paid on the first day of each month commencing January, 2018, and Licensee shall furnish Licensor with monthly statements of account showing the kinds and quantities of all Licensed Products sold, the prices received therefore, and all deductionsFor freight, volume rebates, returns, and allowances. The first royalty statement shall be sent on June, 2017, 6. Licensor shall have the right to terminate this agreement upon thirty (30) days notice if Licensee fails to make any payment required of it and does not cure this default within said thirty (30) days, whereupon all rights granted herein shall revert immediately to the Licensor. 7. Licensee agrees to keep complete and accurate books and records relating to the sale of the licensed products. Licensor shall have the right to inspect licensee‘s books and records concerning sales of the licensed products upon prior written notice. 8. Licensee shall give licensor free of charge 100 samples of each of the licensed products for licensor‘s personal use. Licensor shall have the right to purchase additional samples of the licensed products at the licensee‘s manufacturing cost. “Manufacturing cost” shall be $1 per licensed product. 9. Licensor shall have the right to approve the quality of the reproduction of the Image on the Licensed Products and on any
approved advertising or promotional materials and Licensor shall not unreasonably withhold approval. 10. Licensee shall use its best efforts to promote, distribute, and sell the Licensed Products and said Products shall be of the highest commercial quality. 11. All rights not specifically transferred by this Agreement are reserved to the Licensor. 12. The Licensee shall hold the Licensor harmless from and against any loss, expense, or damage occasioned by any claim, demand, suit, or recovery against the Licensor arising out of the use of the Image. 13. Nothing herein shall be construed to constitute the parties hereto joint ventures, nor shall any similar relationship be deemed to exist between them. This Agreement shall not be assigned in whole or in part without the prior written consent of the licensor. 14. This Agreement shall be construed in accordance with the laws of the United States; Licensee consents to jurisdiction of the courts of California. 15. All notices, demands, payments, royalty payments and statements shall be sent to the Licensor at the following address: 501 W Olympic Blvd, Los Angeles, CA, 90015; and to the Licensee at: 85 Albany St, London NW1 4BT, UK. 16. This Agreement constitutes the entire agreement between the parties hereto and shall not be modified, amended, or changed in any way except by written agreement signed by both parties hereto. This Agreement shall be binding upon and shall inure to the benefit of the parties, their successors and assigns.
