Across our three villages— Bbira, Laminadera, and Suubi, 3,336 children are being raised in a loving family. Here they are growing up with food, clothes, medical care, and an education as we teach them their value in Christ.

Last year, we rescued 59 babies. That means 59 of Uganda's most vulnerable little ones were rescued and will grow up knowing the hope of Jesus.

Founders' Message

As Marilyn and I reflect over the past 40 years, we stand in awe and wonder at God’s incredible faithfulness. Jesus made a way where there didn’t seem to be a way. And today, we can only look back and say, “Glory to God. Look what He did.”

I realize, in many ways, Marilyn and I have been a recognizable part of Watoto, but it has never been about us. It’s always been about Jesus and the army of people who decided to be obedient to God’s calling to help look after the vulnerable.

Today, Watoto is full of people serving with all their hearts. From the parking lot attendant to the person cleaning the toilets—everyone is critical because we’re all serving Jesus. I think of the story of the widow’s mite in Luke. She gave everything she had. To the casual observer, it didn’t look like much, but Jesus saw and marveled at her generosity. It’s the same throughout Watoto. There are literally thousands of people playing a vital role, giving all they have to serve God and His Kingdom—people like you. Because of your commitment, sacrifice, and generosity we are able to do the work God has called us to do. You might not ever be called on a stage and be applauded for what you do, but God sees you and He knows. And I want to say thank you.

Marilyn and I will continue to be a support anyway we can. But we have felt that undeniable nudge in our spirits that it’s time to release and let the next generation lead. So, it’s with great joy and a sense of pride that we’ve handed over the leadership of Watoto to Pastor Julius Rwotlonyo and his wife Vernita. Some of you may know they have been assuming more and more responsibilities over the past few years as Marilyn and I prepared for our next stage of life. It has been a little like teaching someone to drive a car. I was behind the wheel, explaining, teaching. Then slowly I went into the passenger seat, then the back seat. Eventually Julius was driving on his own.

We could not be more excited for what God has in store for Watoto. He has always provided, including relationships with people like you. As we reflect and celebrate the past 40 years, we know the next 40 years will be even more exciting. Thank you for your love and continuing this journey with Watoto.

The Legacy of Love

In February 2023, Watoto celebrated a truly historic moment. As a result of years of mentorship and a deep personal relationship, our founders Gary and Marilyn Skinner officially handed over the leadership of Watoto to Pastor Julius and Vernita Rwotlonyo.

This Commissioning Service was a public declaration of the Skinner’s commitment to the future of Watoto and their belief in the next generation of leadership. It was also a beautiful opportunity to honor the enduring legacy of love we saw exemplified in the lives of Gary and Marilyn. And above all, it was a celebration of God’s faithfulness and provision to Watoto yesterday, today, and tomorrow.

The Commissioning Service, February 2023. A time to celebrate our Founders Gary and Marilyn Skinner, our new leaders Pastor Julius and Vernita—and most of all our Lord and Savior Jesus Christ.

Nearly 40 years ago, God gave Gary Skinner the vision to start an Englishspeaking church in Kampala, Uganda. Moving his family to war-torn Kampala, he was determined to obey God and bring hope to the hopeless through the gospel of Jesus. Because of this selfless act of faith, Watoto Church was born.

Not long after, Africa was completely devastated by the AIDS crisis. Throughout Uganda people began dying, making thousands of children orphans. Again, God spoke to Gary saying, “Look after my children.” It was a reminder that God is the father to the fatherless.

Today, over 30,000 people attend weekly celebrations, and tens of thousands watch services on TV and online. And as we share the love of Christ as a church, we care for thousands of people in our communities. We are grateful for our legacy and inspired to move forward into the future with the same dependence on God as we Celebrate Christ and Care for Community.

Message from our Leaders

God is faithful—He will never abandon us or leave us alone. I know this deeply. When I look at all the good things happening in Uganda, South Sudan, and Africa as a whole, we are not where we used to be, and I can only say it is because of God’s faithfulness.

Some of my earliest memories were of the fighting that was taking place in Uganda. No child should know the sound of bombs exploding, but I did in the early 80’s as a little boy. Shortly after, the entire continent was ravaged by HIV/AIDS. The affects are still being felt today. God saw us through this season and is still bringing healing today.

When I was 10, I went to a place called KPC (now Watoto Church)

to watch an evangelistic drama and that’s when I gave my heart to Jesus. As I became a teenager, I faced personal challenges. Once again, I found myself at Watoto Church. This time, I sat towards the back. As I experienced the dynamic and youthful worship service, the word of God spoke to me in a practical way; and with the clear vision of the church, my heart was drawn to get involved in this transformational journey of bringing healing to broken communities. At age 16, I recommitted my life to Jesus. Shortly after, I joined Watoto Church and began serving in the youth group and small groups. After graduating from university in civil engineering, I went as a missionary to the UK for a year on behalf of the church. Upon my return, I again volunteered with the youth eventually joining staff as the youth pastor and later a campus pastor.

I even met my amazing wife, Vernita, at church. Today, we have a beautiful family and the awesome privilege and honor of giving leadership to all of Watoto.

We are thrilled to see where God takes Watoto in this next season. The vision of the ministry is still the same—to lift the name of Jesus and love our neighbors as ourselves. We’re a church that celebrates the greatness of God, and as we do this together, we care for the hurting people around us with an unwavering passion to see communities, cities, and nations healed by the love of Jesus.

As we gathered for the Commissioning Service in February, we celebrated God’s faithfulness and the legacy started by Gary and Marilyn Skinner. It was an event we will treasure in our hearts forever.

Because the calling God has placed on Watoto is so massive, we understand it takes each one of us working together to accomplish all the good things He has for us. Throughout Europe there are several cathedrals that took centuries to build. That’s what we have at Watoto, a cathedral mentality. I’m stewarding Watoto, Lord willing, for the next number of years that God allows Vernita and I to serve and then we’ll pass on the baton to the next leaders of Watoto, just like

Gary and Marilyn did for us. This is a generational vision of God’s Will and Kingdom being established here on earth as it is in heaven.

At the Commissioning Service Pastor Gary gave me the jacket he was wearing, a special moment representing the passing on the responsibility of leadership, similar to the moment in the Bible in 2 Kings between Elijah and Elisha.

Another symbolic moment that had a huge impact on us was when Gary washed my feet and Marilyn washed Vernita’s feet. Jesus did this as a servant leader. This ceremony was almost too much for us to fully absorb. Here we were standing in front of the church being handed a mantle by two people we dearly love, respect, and honor as much as anyone else on earth—and they’re washing our feet. With everything God did through their lives, we were humbled by their display of a true servant attitude, and we will devote ourselves to this same posture. Watoto belongs to Jesus.

There is more I would love to say but this is our conviction—Great things are ahead for Watoto, not because of me or Vernita, but because of the same faithful, powerful, and awesome God of wonders.

We believe Jesus can change anyone's story, just like He has done for Gloria. There was a time Gloria couldn't afford to go to school, but now at Watoto she's receiving an education—and found hope for her future. This is the love of Christ in action, and we're forever grateful.

59 Babies rescued in 2022

Throughout last year, we provided 167 babies with the medical care, food, and protection they needed to thrive. Today, they are safe and are surrounded by the love of Christ.

That means 59 of Uganda's most vulnerable babies were rescued and given a lot of love, care, and a bright future where they will grow up knowing the hope of Jesus.

Babies represent hope and a new beginning. Yet sadly the situation that little ones like Jonathan are born into paint a different reality— orphaned or abandoned, often born into tragic circumstances that put their lives at risk. But God has not forgotten them—and neither have you.

And we’re incredibly grateful for each little life that we’re able to rescue together. Your support ensures some of Uganda’s most vulnerable babies are given the

special care they need to grow up healthy and strong, surrounded by the love of Jesus.

With your help, babies who were once orphaned or abandoned are now fed, cared for, and embraced with God’s love.

Meet Ella and Eli

We know that every baby who is abandoned, rejected by those who were supposed to love and protect them, can rest in the confidence that they are accepted by God and are precious to Him.

We see this so clearly in the lives of twins Ella and Eli. Born premature, weighing just 2.4 and 2.8 lbs., as newborns they were abandoned in a bush. A Good Samaritan heard their cries and rushed them to a nearby hospital while authorities searched for their mother or any possible relatives. Unfortunately, there was no trace of any family, so the twins were welcomed into the loving arms of their nanny at Baby Watoto. Here, they were given the care they desperately needed.

Every time a baby arrives on our doorstep, we pray for their healing because we know that God’s light shines brightest in the dark. So, although Ella and Eli may have begun their lives with an uncertain future, four years later they are thriving.

Like many four-year-olds around the world, Eli loves riding his bike and Ella enjoys playing with her dolls. And they both love soaking up lots of cuddles from their nanny as they feel the warmth and safety of her embrace.

Abandoned as newborns, we’re thrilled that in 2023 Ella and Eli were able to move into their forever home and family in our Bbira village. We can’t wait to see all that God has in store for these precious children.

Every child deserves to grow up in safe place with a family that loves them, surrounded by the peace of Jesus—never worrying where their next meal might come from. And this is exactly what your sponsorship provides.

Thanks to your support, across our three Watoto villages— Bbira, Suubi, and Laminadera—children like Stella and Hakim are being raised in a loving family. Here they receive everything they need to grow up healthy and whole—nutritious food, clothes, medical care, an education, and a home with a mother who loves them.

Stella, a precious five-yearold, is a beautiful example of how God is using people like you all around the world to transform lives.

Rescued when she was less than a week old, today Stella’s a healthy, active little girl who loves to sing, play, and help Mama Joyce around the house.

In 2022, 56 children and toddlers were newly welcomed into a family on one of our villages. Each one was embraced with the love of Jesus and reassured that they are not alone.

We have 388 families living in homes throughout our Watoto villages. In each home you’ll find a Watoto mother who is raising eight children who were once orphaned or vulnerable. But now they’re a family, and she’s raising them with love.

In 2022, 2,751 students across our three Watoto villages were learning and studying, striving to become the future leaders God has called them to be.

Each of our Watoto villages has a medical clinic to provide the care needed for our families. We also extend healthcare to people in the surrounding communities.

Last year, with the help of our amazing international partners, we were able to provide medical care to almost 9,000 people in northern Uganda. Plus, 929 children and mothers received much needed dental care.

Five of our children participated in the National Paralympics qualifiers. Three of them won gold and one was chosen to represent Uganda in the Special Olympics in Germany. We couldn't be prouder.

Abandoned as a newborn, Innocent is now being raised in a loving family on Watoto’s Laminadera village and knows his value in Christ. Recently Innocent shared, “I like growing up at Watoto because here I get to go to school, I have a mother who loves me, and I have wonderful friends.”

Sports Academy

We continue to expand education beyond the purely academic, so that we can encourage and equip our children—wherever their talents lie.

Through our Sports Academy, we take a child’s natural love of sports and teach them to play at their best with support and guidance from coaches. In 2022, our coaches taught and mentored 607 children—helping them not only improve their athletic skills, but also their character, so they can become leaders in whatever area God leads them.

One of these future leaders is Brandina, captain of our U15 girls’ basketball team. At only 12 years old, she helped lead the team to win the first FUBA Junior league championship. And although Brandina and the team are all incredibly talented, what we’re most

proud of is how they conducted themselves on and off the court.

Thanks to our dedicated coaches, and gifted athletes, as our kids have competed with teams throughout Uganda, they’ve used the opportunity to share their faith and their values with other athletes— and we couldn’t be prouder.

And thanks to each of you who has supported and cheered on our kids in sports and in life, every step of the way.

Your love and encouragement mean the world to them—and to us.

3x3 Winners of the Uganda

Last year, we celebrated as our boys' soccer team won a trophy in the Uganda 3x3 Schools National Championship.

We're using sports to build skills and character as we raise Uganda's future leaders.

In 2022, we had 607 students who not only worked on their individual athletic skills, but they also prayed together and learned to work as a team.

Worship Academy

With over 850 students in music, dance, media, and fine arts, our Worship Academy is equipping young leaders with skills and a passion for worship. We're teaching children like Raymond to use their gifts to tell their own story—and find healing in the process.

Through our Worship Academy, last year 857 students across our three Watoto villages explored how they can use worship and the arts to creatively share God's love.

Song of Rescue

Raymond was born on Christmas Day, a time when many people around the world are opening gifts, gathering with friends and family, and celebrating the birth of Jesus. But tragically his life started very differently. Instead of being embraced in his mother’s arms and feeling the love and joy of

That could have been the end of his story, but God has a beautiful plan for Raymond’s life.

The next morning a janitor found him, scooped him up, and rushed him to the authorities for help. Soon after, he was placed in a local orphanage, but it was overcrowded, and he wasn’t able to receive the proper care or nutrition he needed. Eventually, Watoto learned about Raymond’s situation— and rescued him. He was finally able to feel the warm embrace of a mother’s love by his new Watoto mother, Mama Susan, and he began to heal.

As he shared his story, with a smile on his face Raymond exclaimed, “I’m grateful to God for Watoto. Here, I’ve found joy and hope in being part of a family.”

At an early age, Mama Susan discovered Raymond had a talent for music and begin to nurture the calling on his life. And when he was eight years old, Raymond’s gift of music was further affirmed when he got the amazing opportunity to travel with the Watoto Children’s Choir, sharing his beautiful voice and story everywhere he went.

After tour, Raymond continued to use his voice to praise God for all He was doing in his life. He joined the Worship Team at children’s church and eventually in the main church, and as Raymond praised God, his relationship with Him grew deeper and deeper.

During a song writing retreat, Raymond went off alone and God reminded him of his story.

"I opened my Bible and as I read, tears started rolling down my cheeks. I was overwhelmed by the presence of God and right in that moment He reminded me of my story. From that flowed the lyrics to my song, 'A Song of Rescue.'"

Through the Worship Academy, Raymond has had amazing mentors teach and inspire him—both locally and from around the world; worship leaders like Brad and Rebekah, Mia Fields, and Jon Goode, along with some of our very own including James, Jackie, Emma, Bruce, Ben, and many others. And he's also had incredible sponsors who have supported and encouraged him along the way.

In 2015, Raymond was among a few kids who were chosen to help James Skinner, and some of our worship leaders in Uganda, pioneer what today we know as the Watoto Worship Academy. This experience opened Raymond’s mind to what God wanted to do in his life and stirred something inside of him to begin writing music.

This is the power of Jesus' love in action. He takes a newborn baby who was thrown out with the trash, rescues him, and teaches him his value in Christ as he shares his story of transformation with the world.

Watoto Children's Choir

For the past three decades, the Watoto Children’s Choir has been traveling the world, sharing the good news of Jesus. Through song, dance, and a powerful expression of praise, our Watoto children inspire people everywhere as they share their stories of restoration and hope.

During the last few years, however, the pandemic had a major impact on our choir. But Jesus provided and allowed for us to use this time to hear from him and create some new music. This is why we are proud to present our brand-new album, “Better Days—There Is Hope”. And we’re thrilled to announce we are back on the road again.

We cannot wait for you to hear the album or see us in person on tour. We firmly believe our new music will minister to you personally and remind you how we all serve a God who can heal, comfort, and meet all our needs. Look for us on the road and check out the album anywhere you stream music.

The first tour of the new album begins in September 2023 in the United States. This choir alone is featuring ten children that were rescued by Watoto when they were only babies. Now you can meet them and see firsthand how love has made a difference in their lives. We cannot wait to see you at our concerts again.

Because of your support, Roney was rescued as a baby and now gets to grow up with everything he needs to be healthy and whole—a warm bed, yummy food, an education, medical care, a family who loves him, and the hope of Christ.

When asked what he loves most about growing up in Watoto, Roney said, "Here I have a mother who loves me."

Watoto Farms

Our farms are a key part of our sustainability efforts. They provide fresh produce and eggs to nearly 3,700 children and mothers across our three villages—helping them grow healthy and strong.

In addition to our agriculture and chicken farms, we have a goat farm that supplies goats' milk to Baby Watoto, ensuring the littlest ones in our care receive the vital nutrition they need.

Our farms not only feed our families, but they also strengthen the community by providing jobs, as well as hands-on training for our children. Here, young adults like Maria get the opportunity to learn and gain firsthand experience. Our goal is to train and empower people as we facilitate community transformation. We believe that together, we have a bright, sustainable future.

In 2022, 16 of our Watoto graduates and young adults were either working or interning on our farms—gaining incredible experience for their future.

Our chickens laid over 1.7 million eggs last year, providing nutritious food for our children and mothers. And there was more than enough, so we sold the surplus in the local market to help the community.

Stephen came to Watoto when he was only three years old and credits his Watoto mother for who he is today. He’s spent the last year on the farm and loves to plant, nurture, and watch seeds grow. He says it makes him feel like a Doctor of Agriculture because he's able to give plants life which in turn feed and sustain life for others.

Thank you for every partner who sowed seeds of love into Stephen's life so that he's able to become the leader that God is calling him to be.

Amos and Fazil both came to Watoto as young boys. Here, they were embraced by their new Watoto families, and as they grew up they discovered a passion for farming. Amos and Fazil are excited to continue learning and growing in this field and look forward to being able to give back and help their younger Watoto brothers and sisters one day.

Hudson, Mama Irene, and Albert

Earning just $1 a day, Irene found providing for her two sons Albert and Hudson impossible. This is heartbreaking for any mother, and it was completely devastating for Irene. As a single mother, she was lost and alone. At her most desperate moment, a friend invited her to come over for a bible study. There she learned about Watoto Neighbourhood and how vulnerable women, just like her, were receiving business training and hope for tomorrow.

“When the community worker from Watoto found me,” Mama Irene shared, “I couldn’t even afford to buy a candle to have light at home.”

When she joined Watoto Neighbourhood, her situation started to change. Irene explained, “I started to go through classes. I was taught to first accept who I am, then figure out ways to get out of my situation and become a better person.”

Through discipleship classes, she learned about Jesus, discovering the power of being forgiven and forgiving those who hurt her. And as she was embraced by love of Christ, she accepted Jesus as her Savior.

Through business training, the skills she learned gave her more confidence and determination to change her situation.

With a big smile, Irene continued,

“Watoto taught me to believe in myself and that even though I am a single mother, I can achieve my dreams in life. I thank God that Watoto taught me business skills, and the importance of saving even from the little I would earn.”

Today, Irene is running a small business selling food in the market and working as a photographer. And her sons are healthy and doing well. Both boys are going to school, and her oldest, Hudson, is studying at a Watoto school and is thriving.

“I don’t have enough words to express my gratitude to the sponsors, but may God bless them so much for how they have transformed our lives. We have been healed, empowered, and are living a happy life because of their support and the love of Jesus.”

Catherine is a mother of seven. Sadly, after giving birth to her youngest three—triplets who aren’t even one year old yet—her husband abandoned her. In an instant she became a single mother with no source of income—and felt hopeless.

As a mother, she wanted the best for her kids, but instead she struggled to provide enough milk and food for her little ones, so they became malnourished and were in and out of the hospital frequently. And with no way of paying school fees for her oldest children, they weren't able to go to school, leaving them vulnerable and their futures uncertain. Catherine was desperate and felt it was all just too much for her to bear.

At one of her darkest moments, a friend reached out and told her about Watoto Neighbourhood, hoping that they could help. With all

the strength she could muster, Catherine walked to their offices and shared her story. It was at this moment she began to feel a peace wash over her. She was welcomed with open arms and as she attended discipleship classes, she began to understand God’s love for her and realize that He has a plan for her life.

Catherine is currently learning business skills and hopes to one day have her own small business. In the meantime, while she’s still getting on her feet, Watoto is helping her with childcare for the babies and providing her family with food.

In 2022, 453 women received start-up capital so they could start their own small businesses. Today, they are excited for the future God has in store for them.

Throughout the years, we've embraced over 6,650 vulnerable women with the love of Christ, providing them with discipleship, adult literacy classes, vocational skills, and business training. As we've empowered these mothers, we're helping stop the cycle of poverty.

"Before I joined Watoto Neighbourhood, I was lost and alone, struggling to raise my children. But through discipleship, I learned my value in Christ. Through adult literacy classes, I learned to write my own name for the very first time.

Keep a Girl in School

Imagine not being able to afford feminine hygiene products, soap, or clean panties for your daughter—and imagine her future depended on it. Sadly, this is the reality for many in Uganda and South Sudan; girls drop out of school simply because they can't afford feminine hygiene products or the basic fees to go to school.

But together we’re changing this! Through our Keep a Girl in School initiative, we’re working hard to ensure that no girl misses out on an education because of her economic circumstances.

So, we’re coming alongside girls and their families to help ease the financial burden by meeting their basic need of sanitary products— and helping reduce the dropout rate in the process. In fact, last year we distributed packages of sanitary pads, bars of soap, and new panties to thousands of girls throughout Uganda and South Sudan.

With your support, we are keeping girls in school, educated, and empowered. Thanks for giving these girls the bright future they deserve.

9,938 Girls reached through our Keep a Girl in School initiative

In addition to providing sanitary products, we reached 9,938 vulnerable girls in Uganda and South Sudan with the love of Jesus—teaching them feminine hygiene education and letting them know that their lives matter. 69

27 Former dropouts returned to school

Our team works hard to keep girls in school. So, we celebrate that after lots of follow up, 27 girls who had previously dropped out of school, returned to class. That's 27 girls who could have ended up a tragic statistic, but now have a bright future ahead.

Last year, we partnered with 69 schools in Uganda and South Sudan as part of our Keep a Girl in School initiative.

Watoto began in the 1980s in Kampala, Uganda. As the ministry grew, so did the need to facilitate support. Today, we have 11 support offices throughout the world where our partners and sponsors live. Opinion

We have audited the accompanying consolidated and separate financial statements of Watoto Childcare Ministries and its subsidiary, set out on pages 14 to 35 (of our full 2022 Financial Audit Report on watoto.com/Financials), which comprise the consolidated and separate statement of financial position as at 31 December 2022, and the consolidated and separate statement of comprehensive income, consolidated and separate statement of changes in reserves and consolidated and separate statement of cash flows for the year then ended, and a summary of significant accounting policies and other explanatory notes

In our opinion, the accompanying consolidated and separate financial statements give a true and fair view of the financial position of Watoto Childcare Ministries and its subsidiary as at 31 December 2022 and of their financial performance and cash flows for the year then ended and are prepared in accordance with International Financial Reporting Standards for Small and Medium-sized Entities and the requirements of the Uganda Companies Act, 2012

Basis for Opinion

We conducted our audit in accordance with International Standards on Auditing (ISAs). Our responsibilities under those standards are further described in the Auditor’s Responsibilities for the Audit of the consolidated financial statements section of our report. We are independent of the Company in accordance with the Institute of Certified Public Accountants of Uganda Code of ethics (ICPAU Code of Ethics), which is consistent with the International Ethics Standards Board for Accountants Code of Ethics for Professional Accountants, together with other ethical requirements that are relevant to our audit of the financial statements in Uganda, and we have fulfilled our other ethical responsibilities in accordance with these requirements

We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion

Other Information

The Directors are responsible for the other information, which comprises the “Report of the Executive Director” and appendices. The other information does not include the consolidated and separate financial statements and our auditor’s report thereon. Our opinion on the consolidated and separate financial statements does not cover the other information and we do not express any form of assurance conclusion thereon. In connection with our audit of the consolidated and separate financial statements, our responsibility is to read the other information and, in doing so, consider whether the other information is materially inconsistent with the consolidated financial statements, or our knowledge obtained in the audit or otherwise appears to be materially misstated. If, based on the work we have performed on the other information that we obtained prior to the date of this Auditor’s report, we conclude that there is a material misstatement of this other information, we are required to report that fact. We have nothing to report in this regard.

Responsibilities of the Directors for the Consolidated and Separate Financial Statements

The Directors are responsible for the preparation of consolidated and separate financial statements that give a true and fair view in accordance with International Financial Reporting Standards for Small and Medium-sized Entities and the requirements of the Uganda Companies Act, 2012, and for such internal controls as Directors determine are necessary to enable the preparation of consolidated financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the consolidated and separate financial statements, the Directors are responsible for assessing the Company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Directors either intend to liquidate the Company or to cease operations, or have no realistic alternative but to do so. The Directors are responsible for overseeing the Company’s financial reporting process

Auditor’s Responsibilities for the Audit of the Consolidated and Separate Financial Statements

Our objectives are to obtain reasonable assurance about whether the consolidated and separate financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs will always detect a material misstatement when it exists.

Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these consolidated financial statements.

As part of an audit in accordance with ISAs, we exercise professional judgment and maintain professional skepticism throughout the audit. We also:

• Identify and assess the risks of material misstatement of the consolidated and separate financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

• Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the organization’s internal control.

• Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the Directors;

• Conclude on the appropriateness of the Directors’ use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the consolidated financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Company to cease to continue as a going concern;

• Evaluate the overall presentation, structure and content of the consolidated financial statements, including the disclosures, and whether the consolidated financial statements represent the underlying transactions and events in a manner that achieves fair presentation.

We communicate with the Directors regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.

Report on Other Legal and Regulatory Requirements

As required by the Uganda Companies Act, we report to you, based on our audit, that:

• We have obtained all the information and explanations which to the best of our knowledge and belief, were necessary for the purposes of our audit;

• In our opinion, proper books of account have been kept by the company, so far as appears from our examination of those books of account; and

• The company’s consolidated and separate statement of financial position (balance sheet) and consolidated and separate statement of comprehensive income (profit and loss account) are in agreement with the books of account.
