RTC NETWORKS 71st ANNUAL MEETING MINUTES

The 71st Annual Meeting of Reservation Telephone Cooperative doing business as RTC Networks was held on Thursday, June 9, 2022 at 6:30pm. The meal was provided by the 4 Bears Event Center staff and registration was held from 5:00 p.m. to 6:30 p.m. Daniel Johnson played the National Anthem.

President Jeanette Hoff called the meeting to order. Mr. Wayne Johnson gave the invocation.

President Hoff appointed Human Resources Manager Gretchen Edwards as Recording Secretary and RTC Networks Attorney Alicia Brenna as Parliamentarian of the meeting. President Hoff announced there were 155 members registered and there was a quorum.

President Hoff introduced the Board of Directors, Attorney Alicia Brenna, CEO/GM Shane Hart and Chief Financial Officer Jon Lee. Special guests attending were also introduced.

A motion was made and seconded to dispense with the reading of the Notice of the 2022 Annual Meeting and Proof of Mailing. M/C

A motion was made and seconded to dispense with the reading of the 2021 70th Annual Meeting Minutes and to approve as per copy in the Annual Meeting book. M/C

A motion was made and seconded to dispense with the reading of the 2022 Nominating Committee minutes and to approve as per copy in the Annual Meeting book. M/C

Secretary-Treasurer Jennifer Sorenson presented the candidates for director districts. Candidate for District 1A is Wayne Skarda. Candidate for District 4 is Jeanette Hoff. Candidate for District 6 is Barbara Steinmetz. All candidates are running unopposed.

A motion was made and seconded to cast a unanimous ballot for Wayne Skarda for District 1A, Jeanette Hoff for District 4 and Barbara Steinmetz for District 6. M/C

Secretary-Treasurer Sorenson introduced RTC Networks employee Dar Huus and asked her to kick off the drawings for door prizes.

President Hoff introduced Chief Financial Officer Jon Lee.

CFO Lee presented the audit report. CFO Lee stated auditor Moss Adams gave RTC Networks a clean, unmodified audit opinion for 2021.

CFO Lee reported RTC Networks generated over $47 million in revenue last year. Net margins for 2021 totaled $12,756,574 and assets rose to more than $167 million.

In summary, CFO Lee stated 2021 was another successful year for RTC Networks.

A motion was made and seconded to approve the 2021 Audit Report as presented. M/C

President Hoff and CEO/GM Shane Hart gave a joint report.

CEO/GM Hart welcomed members and stated things at RTC Networks are moving fast and the cooperative had another very successful year.

President Hoff reported the purchase of Midstate Telephone Company and Midstate Communications was completed on December 31, 2021. Our service area has increased by almost 40% and now covers 11% of the state of North Dakota in square miles.

CEO/GM Hart spoke about working diligently to integrate the telephone switch platforms, internet access and transport technologies, plant records, billing and accounting systems into one common network of systems.

President Hoff stated our goal is to get fiber to each home and business across all of our service area. The only areas with no fiber are some of the cabin sites. We continue to evaluate areas needing access and making necessary investments as we are financially able to do so.

CEO/GM Hart reported that RTC Networks fiber-based service allows for extremely fast internet of up to 1 Gig at homes or 10 Gig for businesses. Also available to all RTC Networks members, is an app which protects devices from both viruses and malware as well as controlling your home wi-fi.

President Hoff reported that the Board of Directors approved a general capital credit retirement for service years 1993, 1994, and 1995 which totaled just over $2.1 million.

CEO/GM Hart reported that part of the retirement of capital credits requires RTC Networks to have each member’s tax ID number for issuing 1099s. Please make sure to update your information with RTC Networks to ensure you receive all capital credits due to you.

President Hoff reported the RTC Networks Board of Directors increased the opportunities for college scholarships to students in our local communities. This year 29 college scholarships were awarded, totaling $39,500. The scholarship recipients are listed in our annual meeting book.

President Hoff and CEO Hart thanked Daniel Johnson for playing the national anthem, Wayne Johnson for the invocation and the 4 Bears Event Center staff for their work preparing the venue and meal. President Hoff thanked her fellow board members for their support and service as directors of RTC Networks.

CEO/GM Hart recognized and thanked the employees that work at RTC Networks every day and directed members to the annual meeting book to see the employees that serve them.

President Hoff thanked the member/owners for their patronage and their collaboration with the employees and directors to work towards the same goal of success as a cooperative.

There were drawings for door prizes.

President Hoff called for unfinished business. There was none.

President Hoff called for new business. There was a question regarding discounted internet service for snowbirds.

There was a drawing for the Grand prize, a trip to Medora. There was a motion and second to adjourn. President Hoff adjourned the meeting.

The Nominating Committee met Wednesday, March 22, 2023 at 2:00 p.m. through a conference call.

The Nominating Committee reviewed the packet they were given including the Notice of Meeting and RTC bylaws regarding director nomination.

The Nominating Committee received three signed Certification of Nominee forms completed by Jennifer Sorenson-1B, Terry Wilber2B and Lance Kalmbach-3. No other Certification of Nominee forms were received by committee members or at the RTC Networks office.

Motion by Best, seconded by Billadeau to nominate Jennifer Sorenson for District 1B. M/C

Motion by Billadeau, seconded by Hannegrefs to nominate Terry Wilber for District 2B. M/C

Motion by Livingston, seconded by Essler to nominate Lance Kalmbach for District 3. M/C

It is the recommendation of the Nominating Committee to have the paper ballots, alternated 50/50 with each candidate’s name at the top of the ballot, if there is a contested election.

Discussion about committee members being available to count ballots if they are in attendance at the annual meeting, which will be on Thursday, June 15 at the Four Bears Event Center in New Town. Chairman Tollefson agreed to read the Minutes of the Nominating Committee Meeting at the Annual Meeting, if needed.

CEO/GM Shane Hart discussed what is happening at RTC Networks.

Chairman Tollefson called for any other business.

72ND ANNUAL MEETING DIRECTOR CANDIDATES

Jennifer Sorenson

DISTRICT 1B CANDIDATE

Alexander, Arnegard, Keene, Homesteaders Gap, Watford City

Jennifer Sorenson has served on the RTC Board of Directors for 15 years. She and her husband Curtis farm and ranch five miles south of Watford City. Jennifer graduated from Watford City High School and North Dakota State School of Science. Jennifer and Curtis’ son Jarvis, his wife Kadie, and their three children join them as 4th and 5th generation on the family ranch. Their daughter Erin, husband Tim Fjeldahl and three children also live in Watford City. Jennifer enjoys keeping up with her grandchildren’s activities and traveling. Jennifer is a member of District One Cattlewomen. She is serving on the First Lutheran Church council and enjoys volunteering and being active in the community.

Terry Wilber

DISTRICT 2B CANDIDATE

Mandaree, New Town, Ross

Terry Wilber has served on the RTC Board of Directors for 24 years from District 2B. Terry is a past president of the RTC Board of Directors. Terry was employed by Northrop Grumman in New Town and retired after 32 years, with over 28 years as the Plant Manager. He graduated from New Town High School and Dickinson State University with a degree in Business Administration.

Terry is currently involved in a variety of organizations including the New Town Health Support, Van Hook Cemetery Association and the Bethel Lutheran Church. Terry was involved in the startup and initial operation of TJMD, LLP, which performs various oilfield services. Terry has been married to Marcia since 1974 and they have three children: Dana, Mike and Jesse; and ten grandchildren. When time allows, Terry enjoys yard work, hunting, fishing, golfing and getting involved in projects that provide business development and employment opportunities in the area.

Lance Kalmbach

DISTRICT 3 CANDIDATE

Kenmare, Norma, Spencer

Lance was born and raised on a farm and graduated from Flaxton High School. He started in the grain elevator business out of high school and currently works as Operations Manager for CHS SunPrairie in Bowbells. Lance and his wife Jane have lived in Kenmare since 1991 and have two grown children and one grandson, Sam, his wife Kelsey and son Kit, live in Weyburn, Saskatchewan and Sarah who lives in Moorhead, MN. Lance currently serves on the transportation committee of the North Dakota Grain Dealers Association and is also on the board of the Kenmare Housing Authority to the city of Kenmare. Some of his hobbies include hunting, fishing, camping and just spending time with friends and family.

ADVANCING TECHNOLOGY & RTC NETWORKS President and CEO Report

Greetings RTC Networks community and welcome to your 72nd Annual Meeting!

It is an extraordinary time in our nation’s history in regards to rural broadband internet. The COVID-19 pandemic brought to light how important robust, reliable broadband is to our nation. We learned that broadband internet is an absolute necessity for people to work remotely, learn remotely, seek medical care

remotely and to transact commerce remotely. The necessity of broadband internet, for day-to-day life during the pandemic, called attention to the fact that there are several areas throughout the country that lack reliable, robust broadband. Even in ND, a state considered one of the most connected in the nation, we recognized that there are underserved areas that lack broadband services!

RTC Networks has spent much time over the last year in a concerted effort with other Broadband Association of North Dakota (BAND) members, to ensure everyone across our state has access to high speed internet. This work included a significant amount of communication with our state legislators, the State Information Technology Department (ITD), and the Governor to gain access to federal funds given to each state to build broadband to those who are unserved or underserved.

To address the broadband inconsistencies across the nation, over the last couple of years the federal government has awarded several billion dollars in grants and low interest loans to companies who are building, and will build, broadband infrastructure to unserved and underserved areas of the country. Moving forward, more funds will be available through various programs such as: American Rescue Plan Act (ARPA), and the Broadband Equity, Access and Deployment Program (BEAD). These programs are in addition to the traditional programs RTC Networks has used through USDA’s Rural Utility Service Program.

Last year, we told you that RTC Networks was awarded grant funding from the United States Department of

Agriculture (USDA) to build broadband infrastructure to underserved areas outside of our traditional service area. We are excited to announce that we have been awarded another grant to provide broadband infrastructure to additional underserved areas in Richland and Wibaux County, MT including the community of Wibaux, MT. Additionally, the RTC Networks Board of Directors has authorized an investment to build broadband infrastructure in the city of Fairview, MT. These investments will add over 1,000 subscribers to our service area, making RTC Networks even stronger!

In 2022, RTC Networks worked with other broadband services providers, to advocate for continued federal Universal Service Fund (USF) support of these networks long after they are built. USF support is vital for the continued maintenance and operation of the fiber and electronics necessary to make these networks work! Without USF support, there would be a degradation in the network over time. Continued USF support is extremely important to RTC Networks in order for us to maintain our network!

RTC Networks is always looking for ways to improve its products and services offerings. For example, we are proud to now offer a new cloudbased phone system to our business customers. This new product offers several new features including an app individuals can use on their mobile devices to make their desk landline phones completely accessible from anywhere at any time! We are also excited to offer a Voice Over Internet Protocol (VOIP) landline telephone service to customers’ homes. This VOIP service offers the same quality of service our subscribers are used

to, at a lower cost! Please call one of our friendly, knowledgeable, helpful customer service representatives to learn more about these new offerings!

In other exciting news, the RTC Networks Board of Directors has voted to retire over $1.8 million in a general capital credit retirement for those who received service from RTC Networks in 1996 and 1997. These dollars are a direct benefit from doing business with your cooperative.
