TERMS OF TRADE

General sales terms 1. General Measures: Every order booked implies that the buyer unreservedly accepts the present sales terms. There are not any clauses, on the order forms or on any mail received from our buyers, that consequently go against the rules unless a conflicting stipulation is clearly indicated in the text of our offers or our acceptances. 2. Orders – Right to Cancellation All orders must be drawn up on our form and signed by the customer. All orders will be accepted only after an order confirmation to be sent to the customer summing up notably product quantities and designation, delivery and invoice address, price and payment conditions, as well as the scheduled delivery periods Any request for a change or cancellation, either total or partial, by the customer must be sent to us at the latest within 4 weeks following the booked order. In the event of a partial cancellation of the order: -it must be absolutely stipulated by registered mail -an allowance will be invoiced to the customer according to the following scale of charges: -cancellation within 30 days following the order: 10% of the tax free amount will be invoiced + tax -cancellation within 60 days following the order: 30% of the tax free amount will be invoiced + tax -cancellation within 90 days following the order: 50% of the tax free amount will be invoiced + tax 3. Delivery By delivery, we mean the remittal of the merchandise to our customer to the address indicated on the order form and the confirmation order. Delivery dates are only given as an indication knowing that these dates are reasonable delivery delays taking our requirements into consideration. We reserve the right to deliver the remaining goods of the order within 4 weeks from the week initially indicated on the order form. We reserve the right to choose the carrier unless we receive a specific request from the customer, confirmed on the order confirmation. 4. Litigation Should damage occur during the transportation, and we have not delivered the goods, it is up to the receiver to bring an action against the carrier according to articles 103 et seq. of the French Code of commerce. Should there be litigation on the arrival of the goods, it is absolutely necessary for the merchandise to be inspected in the presence of the driver and “open box” (damaged, re-taped.) must be indicated on the delivery slip, once the contents has been checked. The customer must advise the carrier by registered letter within 3 days after the delivery date (holidays not included) specifying the missing goods. The customer must also notify us by registered letter within 24 hours after receiving the goods if any goods are missing according to the delivery form independent of any damages. We will then proceed to a verification. Should we deliver the goods ourselves, complaints must be filed at the time of delivery. 5. Warranty Complaints concerning the quality of the goods, except for transportation litigation, must be filed immediately during the delivery or the removal of the goods on our premises if there is an apparent defect and within 8 days of the said delivery or removal if there is not an apparent defect. In such cases, the customer must return the goods for verification once the customer has received approval by our department for a return form. Prices and billing Any change, either in rate or in the nature of the fiscal taxes will be enforced to our sales, from their legal date of application having repercussions on the price that we give to our customers and also for the current orders. The unit tax-free price invoiced for each of our goods will be the one on our price lists, keeping in mind that we reserve the right to change our prices at any moment without prior notice. 7. Payment Payments are to be sent to SAS RIP CURL Europe, 407 Avenue de la Tuilerie, 40150 Soorts-Hossegor, France. Invoices are to be paid within 30 days of the date indicated on the invoice by check or bill of exchange, or within 5 working days, a 0.75 % discount per month of advanced payment will be granted. Repairs as well as custom-made wetsuits will be sent by cash on delivery (unless under warranty). Any order under 300€ tax free will be sent by postage due and cash on delivery. Any order between 300 € and 2290 € tax-free will be sent on advanced postage. A bill of exchange will be issued and presented to your bank. The refund of a 0.75 % discount per month for cash payment will only be applied to orders over 300 € tax-free. This refund will be done as soon as we receive the check. The paid postage will become postage due and the 0.75 % discount will be refused for any late payment. To refuse a bill of exchange for acceptance or the non-payment of a bill of exchange at its payment date will immediately allow us to claim complete payment without prior notice. Therefore, all deals and orders will be automatically cancelled and will free us from our commitments. According to the article L441-6 of the French commercial code, charges for late payment will be applied when the amount due are paid after the payment date indicated on the invoice, when the payment is made after the deadline determined by the present general sales’ terms. These charges are calculated at a rate three times more than the legal interest rate. During a previous order, if the buyer should deny one of his obligations (non-payment or late payment, for example), we may refuse to book a new order, unless this buyer submits sufficient guarantees or a cash payment. Discounts for cash payment or advanced payment will not be allowed. In addition, any incident or late payment may also lead to the payment of a lump indemnity equal to one hundred Euros exclusive of tax. This additional charge is applied as a penalty clause according to the articles 1152 and 1226 of the French Civil Code. When the accomplishment of a deal before or during the delivery, we reserve the right to claim payment guarantees for the price of the supplies sent or to be sent and to terminate the transaction should the buyer refuse to produce such evidence. All payment terms are confirmed in writing by our headquarters and are indicated on the order confirmations. We reserve the right to deliver certain customers cash on delivery or once we have received the payment by check confirmed by our bank. We reserve the right to change at any moment the payment terms applied to a customer in order to acknowledge financial information that may be obtained by our services concerning a customer. In the event a customer should refuse the change of his payment terms, we will be allowed to cancel any order yet to be delivered. 8. Retention of title Our merchandise remains our property until complete payment has been made (Act of 25/01/85). However, the responsibility of risks for damage, lost, or theft of the merchandise will be transferred to the buyer once delivered. He must be insured to cover these risks. In the event the buyer is subject to bankruptcy; the salesperson reserves the right to claim the sold goods according to legal measures and regulations in force. 9. Return of goods / Exchanges Goods may be returned with our approval, a return authorization will be given, no exceptions will be tolerated and without this approval, your package will be refused. Goods are to be returned in their original packaging, that means new (ironed, folded, bagged, if needed). Otherwise, we will decrease the value of the goods according to our decision. Returns by due postage will be refused. 10. Re-exportation: It is strictly forbidden to re-export our merchandise. 11. Discounts Potential discounts will be paid at the end of each season, August 31st and February 28th, by check if the account is cleared. Granted discounts will only be applied if our customer has completely respected our general sales terms during the entire period previous to the agreement of the discount. We reserve the right to amend, reduce or cancel any discount granted to a customer for a season in case of cancellation of orders (total or in part) concerning such season. 12. Governing law - Jurisdiction attribution: The relations with our clients are exclusively governed by French laws.Any dispute, trouble or claim arising out of or in connection with our supplies or with our customers shall be heard and determined by the commercial Court of Dax city (France) and any subsequent court of appeal, and said courts shall have exclusive jurisdiction over such dispute, trouble or claim.
