NAPLES BAY RESORT YACHT & RACQUET CLUB: A PRIVATE PLACEMENT Naples Bay Resort Yacht & Racquet Club offers amenities surpassed by no other resort on the Gulf Coast! Club membership will include use of the 15,000 sq. ft. clubhouse with its state-of-the-art fitness center, fully equipped locker rooms, steam and sauna facilities, fully staffed spa, massage rooms plus fitness coordinators. The pool area offers limitless funin-the-sun for people of all ages. Along with the 5,000 sq. ft. resort pool there is a separate kids’ pool, a lap pool, a tropical walk-thru waterfall and a lazy river. Step out of the pool to be surrounded by tropical foliage, a beautiful sun deck, poolside cabanas as well as pool side dining and libations at the Blue Water Bar and Grill. Tennis activities for children & adults are plentiful. The tennis center features 6 Har-Tru lighted courts, on-site tennis professionals and a tennis pro shop. Additionally, several championship golf courses have reciprocity and can be arranged by the concierge. Nature tours plus kayaking in the 10,000 Islands are offered for the adventurous family. The beach is a short distance either by shuttle, cycling or a fitness-walk. Boats are available for half or all day usage. Private captains will tour your family around Port Royal, Marco or Keewaydin Islands or go fishing! The Yacht Club boasts a Bay front pool, a Club Room with members’ only lounge and waterfront bar, the Captain’s Room complete with laundry facilities, men’s and women’s locker rooms, an internet hot spot and satellite weather service! At The Marina are ninety-seven boat slips (some of which are for sale or lease), charter boat services, food, fuel, and a dock master. NAPLES BAY RESORT YACHT and RACQUET CLUB A PRIVATE PLACEMENT (continued) Four individuals or families are being offered a unique opportunity to purchase a downtown luxury hotel condominium on Naples Bay for a 1/4 share or thirteen weeks of ownership and usage. This is not a fractional ownership nor is it a timeshare. A corporation L.L.C. will be formed with four equal share holders. Usage will be assigned based on prime season (January thru April), shoulder months (November, December, and May) and off peak (remaining months). Any time that weeks are not being used can be put into the hotel rental program to earn money. All four shares must be funded before the corporation is formed. Resales will be handled by the individual shareholder.

Original purchase cost fully furnished in 2008: $770,000 Now asking $500,000 or ¼ fractional share of $125,000 + $7,500 club initiation fee = $132,500

Average rental per night ranges from $225 off peak, $265 shoulder months & $395 in peak season

Membership dues and fees described below will be shared equally:

Quarterly condo fees of $5,054 or $5,054 per share annually

Quarterly amenities fee of $692 or $692 per share annually

o

Annual real estate taxes are $4,019 for 2010 or $1,005 per share

o

Average monthly electric bill is $145 or $435 per year per share

o

Therefore total cost is $7,186 per share annually divided by 13 weeks or $552 per week.
