DERECHO SOCIETARIO Brindamos asesoría en todo tipo de temas societarios, incluyendo constitución y mantenimiento de todo tipo de sociedades, establecimiento de sucursales o agencias, incluyendo la asesoría en la elección de la forma societaria más adecuada y eficiente, la elaboración del pacto social y del estatuto de la respectiva sociedad, la negociación y elaboración de convenios de accionistas, y otros. Asimismo, asesoramos en contratación mercantil compleja, y especialmente en contratos de consorcio, joint venture, alianzas estratégicas, inversiones estratégicas, comisión mercantil, agencia y representación, entre otros. Nuestra asesoría comprende todos los temas registrales vinculados al derecho de sociedades.

FUSIONES Y ADQUISICIONES Brindamos toda la asesoría necesaria para el manejo de transacciones de alta sofisticación y complejidad dirigidas a la adquisición o venta de acciones de empresas, listadas en bolsa o no, o para la adquisición o venta de activos, incluyendo las transacciones combinadas con fusiones, escisiones y todo tipo de reorganizaciones sociales, y las transacciones que involucren a empresas en reestructuración debido a situaciones de insolvencia. Trabajamos junto con la banca de inversión y nuestro cliente, ya sea vendedor, comprador o entidad que financia la operación, en el diseño de la estructura corporativa y tributaria más conveniente y eficiente para la operación, así como en la negociación de los distintos contratos de la transacción. Nuestra asesoría incluye el realizar un due diligence preventivo, si asesoramos al vendedor, o un due diligence de compra, si asesoramos al comprador
MERGER AND ACQUISITION We provide all the advice necessary for the management of highly sophisticated and complex transactions intended for the acquisition or sale of company stock, whether listed in the stock market or not, or for the acquisition or sale of assets, including transactions combined with mergers, spinoffs and all manners of social reorganizations. We also provide advice governing the transactions that involve companies undergoing restructuring due to insolvency. We work jointly with the investment bank and our client, be it seller, buyer, or the financing agent of the operation. We design the most convenient and efficient corporate and tax structure for the operation, as well as the negotiation of the different contracts involved in the transaction. Our advice includes carrying out a preventive due diligence, if advising the seller, or a purchase due diligence if we are advising the buyer.
