MEGABANK
Megabank is a modern financial institution that combines a loyalty to traditions with search and implementation of new solutions in the area of banking. The network of the bank’s structural units covers 18 regions, and this makes it possible to ensure maximum comfort in customer servicing. Megabank has been operating in the banking market since 1990. The bank keeps developing and uses its own and borrowed funds to achieve its goals. We consider our activities in establishing relationships with investors and partners as an important part of our work in increasing attractiveness of the bank and improving the efficiency of its work. The funds that the bank attracts will be used by the bank’s top managers to support Ukrainian micro, small, and medium-sized enterprises, first of all those that work in the area of agriculture, as well as to finance energy efficiency and energy saving projects. Development plans and goals. Strategy for 2018-2020
Strategic goals: • Return on equity (ROE) - 15%.
The Strategy of the MEGABANK PJSC for 2018-2020 was approved by the Supervisory Board and then also approved by the General Meeting of Shareholders of the bank on 24 January 2018. The Strategy envisages an increase of the Bank’s marginality and a considerable growth of return on assets and return on equity as of the end of 2020. The Bank plans to increase its profitability by means of developing SMB and microbusiness as well as retail lending. The SMB and microbusiness remain the key segment for the Bank. The share of loans to SMB and microloans as of 01.01.2021 is planned to be at the level of 74% in the total loan portfolio of the bank. The sectoral specialisation consists in agriculture. The share of agricultural loans in the portfolio of legal entities as of the end of 2020 is planned to be at the level of 41%. The share of retail loans as of 01.01.2021 is planned to be at the level of 17% in the total loan portfolio of the Bank. Development of the segment of servicing individuals by means of introducing innovative technologies and on-line services. The current implementation of the Strategy is 01.07.2018 Plan

Innovative product — communal card The purpose of the Municipal Card Project is transformation of existing customers / payers of the Integral Clearing Centre into the Bank’s customers by means of providing them with a credit/debit card that makes it possible to pay for utility services and other services on a free or beneficial basis. Also, the customers who are holders of cards issued by other banks are provided with a mobile application that makes it possible to get these cards connected to the system and to use them for paying for utility services (as well as to store the history of such payments) in this mobile application of the Bank.

Competitive advantages Corporate governance: • The bank is guided by corporate governance principles, which are based on protection of interests of the bank and its customers, lenders, employees, and other stakeholders; distribution of authorities and responsibilities between its shareholders, its Supervisory Board, and its Management Board; professional behaviour and honesty of the bank’s employees; disclosing information and transparency. In 2007, Megabank together with IFC successfully completed the pilot project “Corporate management”. Since 2009, the Bank has constantly been in Top-3 of the rating “Corporate management in the banking sector”. The Supervisory Board of the Bank consists of 7 members of the Board and includes representatives of the Bank’s shareholders and independent members of the Board. Who specifically is on the Board: 1. Oleksii Iatsenko – Chairman of the Supervisory Board since April 2015, has been in the Bank for 16 years, a representative of the majority shareholder. 2. Oleksii Aristov – the independent member of the Board since April 2017, worked at the audit company of the “four” Deloitte Touche in the field of corporate finance for 13 years. Oleksii Aristov’s candidacy was preliminary agreed with the Bank’s shareholders, EBRD, KfW, IFC. Oleksii Aristov heads the Audit Committee of the Supervisory Board of the Bank. 3. Monika Waga – the member of the Board since January 2018, has worked in KfW for 24 years, senior risk manager, represents on the Board the German Development Bank KfW. The previous KfW repersentative Dareg Zabarah resigned as a member of the Board on the application of 01.11.2017 due to the transfer to another work.
4. Desmond O’Maonaigh – the independent member of the Board since April 2018, worked at the International Finance Corporation, was the manager of the project “Corporate management in the banking sector of Ukraine”, and has experience as a financial director in the Ukrainian commercial banks. Desmond O’Maonaigh’s candidacy was preliminary agreed with the Bank’s shareholders, EBRD, KfW, IFC. Desmond O’Maonaigh heads the Risk Management Committee of the Supervisory Board of the Bank. 5. Olena Zhukova – the member of the Board since April 2017, 24 years of banking experience, a representative of the majority shareholder, was the Chairman of the Management Board more than 10 years. 6. Roman Kipot – the member of the Board since April 2017, a representative of the majority shareholder, 6 years of banking experience. 7. Oleksandr Fedoseiev – the independent member of the Board since April 2017, was the head of the Kharkiv Directorate of the Raiffeisenbank Aval more than 12 years, Ph.D., Candidate of economic sciences. Oleksandr Fedoseiev’s candidacy was preliminary agreed with the Bank’s shareholders, EBRD, KfW, IFC. Oleksandr Fedoseiev heads the Nominating and Compensation Committee of the Supervisory Board of the Bank.

Competitive advantages Support of international financial organisations:
Use of international standards:
• The bank’s shareholders include the European Bank for Reconstruction and Development (EBRD), German Development Bank (KfW), and International Finance Corporation (IFC). Megabank cooperates actively with international financial organisations. As of 01.07.2018, the bank is implementing 13 long-term programs in the total amount of equivalent USD 98 million in the framework of agreements with 11 investors.
• Multi-year experience of being audited in accordance with IFRS. • Efficient risk management system developed with technical assistance provided by EBRD and with participation of the PKF (UK) LLP consulting company. Representatives of EBRD and KfW in the Supervisory Board of the Bank.
Stable business and financial steadiness:
• In its activities, the bank uses the International Standard of ISO 26000:2010 (Guidance On Social Responsibility).
• The balanced structure of resource base: the aggregate scope of time funds of legal entities and individuals amounts to 53% of the bank’s liabilities; the funds attracted by the bank in the international market, 13%; and the demand funds of customers, 18%. • Availability of a unique system - Integral Clearing Centre. Due to the ICC, the bank has a high share of net commission income, viz. 56% (while the average value for Ukrainian banks is 35%), which is more stable and less sensitive to the deterioration of the general situation if compared with the interest income.
