ince 1972, Eastern Pennsylvania Youth Soccer has worked throughout Eastern Pennsylvania’s 36 counties to promote, foster, and perpetuate the game of soccer to the region’s youth. Through competitions, educational programs, workshops and coaching clinics, each year Eastern Pennsylvania Youth Soccer impacts the lives of more than 120,000 youth soccer players from ages five to 19. Minutes of the Annual General Meeting Sunday February 28, 2021
The meeting was held by video conference and called to order at 10:00 AM
I.
President Jeff Sommer called the meeting to order.
II.
Roll Call/Credentials Report: It was established that representatives and were properly credentialed, and logged on to the call establishing 343 affiliate votes and thus, confirming a quorum. There was a motion from Secretary Melissa Weber to dispense with the roll call given the quorum was established through registration. Motion was seconded by District Commissioner Phil Frederick and approved by acclamation.
III.
Mr. Sommer asked for a motion to approve the minutes of the 2020 Annual General Meeting. Motion made by Mrs. Weber, seconded by multiple delegates from the floor and was approved by acclamation.
IV.
Mr. Sommer asked for a motion to accept the actions of the Board of Directors since the last council meeting in 2020. Motion made by vice President Lennie Brown, was seconded by multiple delegates from the floor, and was approved by acclamation.
V.
Reports were presented by Mr. Sommer, Chief Executive Officer Chris Branscome. Additional reports were presented in writing and published in the AGM book of reports for this meeting. a. Mr. Sommer again welcomed everyone to the meeting. He presented that this was our first virtual meeting and that it would be necessary to suspend certain rules of to achieve and orderly meeting in this new environment. b. Mr. Sommer thanked the membership for their efforts and their patience over the previous 12 months during this terrible pandemic. This has been an unprecedented period. He also praised the staff for their efforts to navigate the pandemic and work alongside the membership to get the kids back on the fields safely. c. CEO Chris Branscome welcomed all and thanked the membership for their continued dedication to the youth of eastern Pennsylvania. Mr. Branscome reiterated the comments of Mr. Sommer and praised the work of so many to maintain the health and safety of our players, coaches and referees. He stressed the need to continue with our diligence with health and safety protocols. He discussed the hope for normal spring a return of the Cups and other programming and that all organizations can work to bring all children back to the game. The goal is for everyone to be back at full strength for fall of 2021. d. Mr. Branscome updated the audience on Philadelphia’s current efforts to host the 2026 World Cup. He then introduced Meg Kane, Communications Manager of Philadelphia Soccer 2026 to provide additional insight and details.
VI.
New Business: a. The presentation of the budget for fiscal year 2021-22, was provided electronically in advance and also published in the Annual General Meeting workbook. Mr. Sommer asked for a motion to accept the budget. Motion made by Mr. Brown, was seconded by multiple delegates. The budget was adopted by acclamation. b. Mr. Sommer presented a proposal to amend the Rules of the Arbitration Board. The motion was made by Jeff Heaton, Chair of the Arbitration Board and seconded by multiple delegates. The motion passed.
ii.
Mr. Sommer presented a proposal to amend the Constitution, Article IX section 5. The motion was made by Mr. Brown, and seconded by multiple delegates. The motion passed.
iii.
Mr. Sommer presented a proposal to amend the Constitution, Article IX section 8. The motion was made by Registrar Jim Christian, and seconded by multiple delegates. The motion passed.
iv.
Kristian Bates of PA Rush presented a proposal to amend the Bylaws, Article VII section 10. The motion was made by Mr. Bates, and seconded by multiple delegates. The motion Failed to reach a 2/3 majority.
Election of Officers: a. Mr. Sommer turned over the chair to Mrs. Weber for the election of President. Mr. Sommer was the only nominee and was elected by acclimation. b. The nominee for Vice President of Travel (known going forward as Second Vice President) is Bill Fuller. With no other nominations, Mr. Fuller was elected by acclamation c. The nominee for Secretary is incumbent Melissa Weber. With no other nominations, Mrs. Weber was elected by acclamation. d. The nominee for Treasurer is Jim Brown. With no other nominations, Mr. Brown was elected by acclamation.
VIII. Election of District Commissioners. The following were elected: a. District 1 Becky Barlow b. District 3 Bill Ross c. District 5 Scott Merritt IX.
Good of the Game: a. Mr. Branscome recognized outgoing treasurer Warren Beideman and thanked him for his many years of service to the Board and the membership. b. Branscome again thanked everyone for their incredible efforts on behalf of our youth players to provide them opportunities to play during this Covid pandemic. c. Mr. Branscome further thanked the membership for their lively debate and discussion during this meeting and encouraged more participation in our governance.

Report of the Chief Executive Officer Chris Branscome
2021 provided challenges, but was more certainly a step towards normalcy from the previous year. We gained experience that we never intended to, but 2020 provided us with a better ability to navigate the challenges of 2021. One of my hopes for 21-22 was to see us all return to full strength. We ended 20-12 year with over 100,000 registered players, roughly 20,000 short of recent non-covid years. The pandemic is still hurting many families and a number of clubs. A full and complete return to full strength has not yet happened. Travel numbers are near normal but recreation and intramurals have not bounced back. There are positive signs that we are rebounding strongly. The resilience of our kids, our coaches, administrators and the overall community has been impressive, if not inspiring. Player registration as of February 1, 2022 has already cleared 100,000 players. Our ODP numbers are as strong as ever and the number of teams entering the 2022 Cups is on target with a “normal” year. We’re still experiencing a shortage of referees. More classes were added this past fall and over the winter. Clubs, leagues and other partners are coming forward to support the recruitment and training of a new generation of referees. We need to continue on this path and grow our corps of officials. In addition, we need to continue to change our behavior towards them, and each other. We established the task force on Sideline Behavior last year and they have been diligently working towards providing resources and solutions. This is being done together with the referee community and with the coaching community. We must be better examples to the players and to the parents. The interactions of coaches and referees need to be more respectful and professional. It will lead to a better experience for all. Financially, we fared well although much of our programming was still at reduced levels. Coaching education was mostly online; the indoor cups were cancelled; resident camp was cancelled and of course registration was down 17 %. Supply chain issues and inflation has at times made things more difficult, and also more expensive. We are all experiencing this and we must prepare for the continuing rise in expenses. The major news we’re all waiting for is the announcement of the host cities for World Cup 2026. We had an incredibly successful visit with FIFA in September. By all accounts, we exceeded expectations. Thank you to all of the supporters who lined the streets that day and everyone who has attended the many other events that were held over the summer. We’re near the finish line and expect the announcement later this spring. Lastly, this is the 50th anniversary of the founding of this association. What started in 1972 with charter members Inter-County, Delco and United Juniors and nearly 5000 players has grown in to the sixth largest state association in the country and has consistently been among the best in developing players, coaches and referees. Eastern Pennsylvania has proudly hosted some of the most significant soccer events and games of the past fifty years. We’ve also provided the country with some of the great leaders and visionaries of our sport. I’m proud that we are all here today as part of this great heritage. The challenge ahead of us is to grow the game in new directions and lift our community towards greater achievements. Let’s keep pushing forward to bring the game to every, and any child who wants to play. Let’s continue to remove barriers and create opportunity for all. On behalf of all of our players, coaches and families, thank you for your continued efforts and support of them and our great game.

Report of the Treasurer Jim Brown
FY ending 8/31/2021
I am very pleased to report that the financial position of the Eastern Pennsylvania Youth Soccer Association remains secure and strong. Despite the continuing challenges and disruptions of the worldwide pandemic, Chief Executive Officer Chris Bransome and Chief Operating Officer Kelly Connor continue to do a commendable job of managing the Association’s finances.
Balance Sheet
Total assets are almost $4M coming in at $3,992,855. The majority of those assets is in investment funds that are managed by Mark A. Vergenes of Mirus Financial Partners. The balance of invested assets at year’s end was $3.7m, an increase of approximately $536,000 from the previous year. Investments are targeted to allow for supporting capital projects and grants as well as for strengthening the association’s reserves and stability. The investment mix includes growth assets (equities), income assets (bonds) and other Income opportunities (cash, real estate-REITs) Liabilities total $271,270, including $132,500 from the second payroll protection program (PPP) from the federal government. While technically a loan, these funds soon will convert from a liability to revenue on the asset side of the ledger since rules and guidelines for use of the funds were fully followed by the Association. The first PPP loan of $152,430 was forgiven fully. Net Equity - Assets minus liabilities = slightly over $3.7m
Income Statement
Income from operations was $2.3m up from $2.1m in the prior year. Other Income from the first PPP loan forgiveness ($152,430), a Covid relief grant ($10,000), interest ($133,804) and the opening fund balance ($22,203) resulted in Total Income of $2.629m. Total Expenses were $2.367m including staff compensation, benefits, payroll taxes, insurance, grants, scholarships, office supplies, office rent and utilities, uniforms, USYSA and US Soccer fees and other operating expenses. Net Income - $2.629 minus $2.367 = $262,000

Report of State Youth Referee Administrator Jeff Tener
I typically cover to a few areas related to the referee program each year, but for the 2021 AGM update, I’d like to focus on one key area. While many challenges continued in 2021, we are making good progress in terms of overall recruitment and training. Our number 1 challenge was lack of referees. The Lack of referees has hit all the other States in the U.S. at all levels, from youth to adults, recreational to professional. Soccer is not exclusive in this area, the same impacts are happening in baseball, football and other sports. Entering 2021 we had just over 1,700 referees. Historically we would have over 3,200. Working throughout the year, we ended at 2,600. We achieved this in a few ways: •
We trained and certified more Referee Instructors to teach more classes
•
For returning referees we made the system easier for their annual license. It’s now online. The online modules included the new Laws of the Game and focused on common issues like offside and handball.
•
We ran numerous (57) new referee courses throughout the Eastern Pennsylvania
•
We also offered online clinics for anyone who may have been a referee in the past or cross over with High School or College
•
We added more referee Assignors hosting 2 new referee Assignor classes, recertifying current Assignors and added new Assignors
All the above will be continuing this year, along with some new approaches and strategies being developed. Looking ahead, we need to leverage the resources and programs in EPYS while taking the advantage of potential synergies. To give an example the coaching training staff developed a training newsletter reviewing coaching strategies and tactics. While the referee population are certified each year on the Laws, they don’t get overall coaching trends. Creating that knowledge base referees it allows the referee to better anticipate play and how to be in a better position to not interfere with play. This lets them be in the best position to observe active play. We are also on looking to create better partnerships between coaches and referees. When we build common understanding and trust we can then make the game more enjoyable for all. This will also create a unified front for dealing with issues like poor sideline behavior. Poor sideline behavior negatively impacts our retention of newer referees and players enjoyment of the game. We recognize this was a challenge year and suspect your Club experienced some sort of referee shortages. With our limited referee pool and Fall Season’s surge of return to play games back to 2019 numbers, we were pressed to make all the assignments. Your support has been greatly appreciated. PROPOSED AMENDMENTS TO THE CONSTITUTION AND BYLAWS Proposed by the Board of Directors
Constitution, Article IX - Officers, section 1 Current: a. Officers of the Association shall be the President, First Vice President, Second Vice President, Secretary, Treasurer, At Large Member and Immediate Past President shall comprise the Executive Committee The President, Second Vice President and Treasure shall be elected for a two year period in odd numbered years by the Council. The First Vice President, Secretary and At Large Member shall be elected for a two year period in even numbered years. The State Youth Referee Administrator will be appointed as a voting member to the Board of Directors by the President with the approval of the Board of Directors. b. The elected officers shall assume their duties the day following their elections. c. In order to be eligible for the position of President of this Association, a candidate must have been a member of the Board of Directors. d. Any person must attain a majority vote of the Council in order to be elected an office of this association. e. When a District Commissioner is elected to the Executive Committee, thereby relinquishing their original status, the district, which they represented, shall be elected a replacement in accordance with Article X, Section 6 in this constitution. f. An Officer of this Association shall not also be a District Commissioner.

How it Will change (changes in bold or strike out): a. Officers of the Association shall be the President, First Vice President, Second Vice President, Secretary, Treasurer, two At Large Members, and Immediate Past President. shall comprise the Executive Committee. Rationale: Good business governance should seek to avoid, wherever possible, conflicts of interest. By simply codifying that the member of the Board shall not also serve as an officer or director of any member organization removes potential conflict of interest in voting as well as arbitrations and discipline. Similarly the State Youth Referee Administrator is moving to an in house operational staff position in order to better serve the membership. The SYRA will report directly to the Chief Executive Officer. Over the past few years, as more duties have moved from a volunteer role (i.e. Registrar) to an operational role the Board of Directors has been amended to reflect these changes. As with the Registrar position the Board kept a spot as an At-Large Member to allow for broad representation, so to the move of the SYRA toward an in house operational position will allow for a second At Large position to be filled by the membership. The current SYRA term runs through December 31, 2022. The incumbent will remain as a Board member until the end of that term. The board position will sit vacant until the new Member At-Large will be elected at the AGM in February of 2023. ANNUAL GENER AL MEETING

Travel League
Intramural League (In-House)
• A league with a minimum of two (2) age divisions of five (5) teams from at least four (4) different clubs.
• A league/ in-house program based on a recreation play philosophy with constitution and bylaws, registrar, appeal process, insurance coordinator and officers.
• A league program based on a recreation play philosophy with constitution and bylaws, registrar, appeal process, insurance director and officers.
• Intramural fees for players and teams must be paid.
• Recreational fees for players and teams must be paid.
•Participation does not qualify a team for travel team tournament and/ or US Youth Soccer/ Eastern Pennsylvania Youth Soccer Cup play. • All players are registered through one in-house affiliate (Soccer Organization).

Insurance Coverage
2021-22 SUmmary of insurance policies Secondary Medical Accident Insurance
Accident Insurance provides coverage for accidental injuries incurred by Insured Persons, while participating in covered activities of Eastern Pennsylvania Youth Soccer.
Policy Limits
Accidental Medical & Dental Expense Limit $ 300,000 Max Benefit Amount Accidental Death Benefit and Dismemberment: $ 5,000 Principal Sum Accidental Death and Dismemberment Aggregate: $ 100,000 Deductible per Participant: $ 500 Benefit Period: 104 Weeks from Date of Injury Claims Basis: Full Excess Chiropractic/Physical Therapy limit per claim $2,000 ($50 Maximum per Visit) Loss Period 60 Days Accident policy is written on a Full Excess basis which means if they have any other insurance (for example – through their parent’s employer) they would need to use that insurance first.
Definitions
104 Week Benefit Period: We will pay for charges incurred within 104 weeks from the date of injury. Insured/Eligible Persons: Participants, including volunteers and staff, performing their normal duties at a covered activity. Covered Activity: While participating in scheduled games, team practice sessions, or sponsored activities, provided they are under the direct supervision of a team official or a sanctioned local or national tournament as a member of a contestant team. Includes organized and supervised group travel as authorized by the policy holder. Loss Period: The period of time within which the insured person needs to visit a medical professional in order for the claim to be eligible for payment from the carrier.
General Liability Insurance
General Liability Insurance covers claims for liability or negligence for bodily injury or property damage arising out of sponsored activities, premises or operations of the association, its member teams, leagues and participants.

Insurance Coverage

This coverage is for non-sanctioned Eastern Pennsylvania Youth Soccer events. Liability and weather event disruption coverage is available for tournaments or other club level events that are not sanctioned by Eastern Pennsylvania Youth Soccer.
General Liability
Land, buildings or long term leased properties that require 24/7 coverage. Policies are available to protect clubs’ assets and provide defense and indemnity for allegations of third-party bodily injury or property damage.
D&O/Employment Practices Liability (EPLI)
Member clubs may choose to maintain a separate policy for officers and board members with lower retention limits. EPLI provides defense for allegations of harassment or abuse by employees or third parties.
Workers Compensation
Clubs with employees are required to purchase coverage for employee injuries sustained while working. PA state law requires all employers to maintain this coverage.

Registration for 2022 Eastern Pennsylvania Youth Soccer Camp is now open! Sign up before April 1 for the early bird special! WHAT: Eastern Pennsylvania Youth Soccer Resident Camp for players aged 9-15. Two weeks of camp (July 10-14, 17-21) and three options (resident single occupancy, resident double occupancy, and commuter) are offered.
