EDEN VALLEY HOSPICE, CARLISLE COMPANY LIMITED BY GUARANTEE TRUSTEES' ANNUAL REPORT (continued) YEAR ENDED 31 DECEMBER 2012 The Trustees, who are also Directors for the purposes of the Companies Act, have pleasure in presenting their report and the financial statements of the charity for the year ended 31 December 2012. Eden Valley Hospice is dedicated to providing specialist palliative and end of life care to adults from the local area and children throughout Cumbria, as well as caring for their families, friends and carers. We aim to provide the highest standards of nursing and medical care, to sustain quality of life and dignity and to provide patients with relief from pain. Our aim is to control symptoms, relieve physical and emotional distress and provide support to both patient and family. We aim to:
Provide specialist palliative care in a therapeutic environment for people living with a progressive illness, supporting them to live life comfortably and fully. Extend care and comfort to families, supporting them as partners in care and recognising their individual needs. As well as managing physical symptoms, we offer care for the spiritual, emotional, psychological and social needs of patients and carers. Provide bereavement care and support. Provide a local resource, as a centre of knowledge for the management and support of those requiring palliative care, from which the community can access help. Share our knowledge and beliefs to support each other, listening and communicating effectively. Be aware of and respect each individual’s strengths and weaknesses.
Eden Valley Hospice Services include 12 bedded Adult In-Patient Unit, Adult Day Hospice, Out-Patient Clinics, Family Support Team, Complementary Therapies and Training and education. Eden House Children's Hospice is an integral part of Eden Valley Hospice providing day to day palliative care and support to children and young people who are living with a life limiting illness. Family and sibling support are also important elements of our service. Care is provided in a home from home setting and each young person who is staying with us has their own bedroom. The ethos of Eden House is to work in partnership with the child, their family and other professionals. The aim of the care team is to maintain the child’s normal routine and make their stay as special and enjoyable as possible. We aim to: Provide a flexible, high quality and child/young person focused service of respite and palliative care across Cumbria. Work in partnership with the children, their families and all agencies involved with their care. Offer support to families as well as children. All our services are provided by qualified and experienced staff, supported by a large team of committed volunteers.

EDEN VALLEY HOSPICE, CARLISLE COMPANY LIMITED BY GUARANTEE TRUSTEES' ANNUAL REPORT (continued) YEAR ENDED 31 DECEMBER 2012 2012 Impact and Achievements 2012 has been a positive and dynamic year, creating a good basis for future development. The Hospice has received positive evaluations from two external sources. First the Investors in People accreditation gave positive feedback about the developing culture and ethos across the Hospice. “The Hospice has a dedicated and stable team of staff who collectively possess considerable skills, knowledge and experience – they are in turn supported by dedicated volunteers in all parts of the organisation. The key will be to ensure that they are all fully engaged with the external challenges, understand the part they can play and receive the learning and support they require. The management challenge is influenced by the complexity of the organisation, its range of services areas, the involvement of a large number of volunteers and the need to operate within the community including shops.” Both staff and volunteers contributed to the Investors in People accreditation process in March 2012. The Assessor reported it was clear that staff and volunteers remain committed, energised and enthusiastic – “all have successfully maintained the happy and caring atmosphere at the Hospice and there have been impressive improvements to the facilities since the last review”. He recognised a collective awareness and appreciation of the future role of the hospice within the community it serves, improved communications and a changing culture. Secondly on 27 April 2012, inspectors from the Care Quality Commission (CQC), the independent regulator of health and adult social care services in England, paid an unannounced visit to Eden Valley Hospice to assess our compliance with the CQC standards that apply to hospices. They found the hospice to be compliant with all the outcomes which were included in the inspection. “The people we talked with, who were using the services of the Eden Valley Hospice, all expressed satisfaction with the support and services they were receiving. People told us that the staff looked after them well and their needs were being met,” said the report. “We observed staff engaging with people in ways that demonstrated that they were trained and experienced to deliver appropriate and sensitive support.” The positive nature of the Care Quality Commission report suggests that the constructive approach we have taken to the standards, using them as a tool to bench mark and identify areas for improvement has been a constructive one which we will build on during 2013. This achievement reflects the ongoing commitment of staff and volunteers to provide consistently high quality care to all patients and their families. The Hospice will continue to monitor itself against these and other standards, such as those for Information Governance, and new forms of monitoring will be introduced by 2013 including the Patient Safety Thermometer.

STRUCTURE, GOVERNANCE AND MANAGEMENT Governing Document Eden Valley Hospice was incorporated on 15th January 1992 as a company limited by guarantee with a company registration number of 2677824, and is registered with the Charity Commission with a registration number of 1008796. The company is governed by its Memorandum and Articles of Association. Recruitment, Appointment, Training and Induction of Trustees Trustees serve for four years and for a further four years if they wish, with a maximum period of eight years. They may offer themselves for re-election in accordance with our memorandum and articles, if they have expertise, or skills, which the Board wishes to retain, and if there are no alternatives available. Trustees can be elected for a maximum of a further 4 years.

EDEN VALLEY HOSPICE, CARLISLE COMPANY LIMITED BY GUARANTEE TRUSTEES' ANNUAL REPORT (continued) YEAR ENDED 31 DECEMBER 2012 Trustee skills audits are carried out on an annual basis, and if there are any retirements pending or skill gaps within the Board, recruitment takes place. Advertisements are placed in local newspapers and on the website, applications are sought and members of our Board of Trustees, led by the Chairman, carry out interviews. Trustees are only appointed after references and an enhanced Criminal Record Bureau Disclosure is received. An induction programme is drawn up and agreed by the Chairman, which includes individual meetings with the Chief Executive and Senior Management Team members, along with visits to Eden Valley Hospice, and where appropriate to other hospices. Information from the Charity Commission and Companies House relating to the duties and responsibilities of trustees is given to each new recruit. Details of relevant courses are shared with trustees, to enable them to increase their knowledge and understanding of their role. At the end of 2012 Carole Ferguson, who has been Chair of the Board of Trustees for 5 years stood down and John Remmer was elected as the new chair. Organisational Structure The Board of Trustees has overall responsibility for the governance and delivery of services, including agreeing strategy, meeting at least bi-monthly and taking special interest in specific areas of the hospice. In 2012 Building on Our Strengths was agreed as the strategy for 2012 to 2015. All conflicts of interest are stated at Board meetings, with expressions of interest noted at any meetings with regard to agenda items. A developmental review of the Board took place in 2012. Positive outcomes from this included the development of three new sub committees with clear terms of reference and delegated powers; these are Remuneration and Appointments, Finance and Audit and Complaints and Disciplinary. A Trustee also chairs the Clinical Governance Group and trustees participate in the Energy Efficiency Group and the Marketing Group. The Chief Executive has responsibility for implementing strategy and overseeing day to day running of the hospice, which is co-coordinated through the Senior Management Team (SMT). The Senior Management Team consists of Chief Executive, Head of Finance, Administration and Support Services, Head of Nursing and Head of Marketing and Fundraising. The Management Team which was created in Autumn 2011 includes operational managers from across the hospice and is now becoming well established in its role. This Management Team receives reports from all working groups across the hospice, undertakes identified pieces or work and monitors the CQC outcomes. Related Parties Eden Valley Hospice will continue to work in partnership with other non-statutory and with statutory service providers, with commissioning authorities and with service users, to develop specialist palliative care services for both adults and children. The structures and responsibilities of the NHS which is a key partner, has been changing rapidly in 2012. The Trustees and Senior Management Team are proactively engaged in developing and sustaining links with a range of commissioning leads and other local providers.

EDEN VALLEY HOSPICE, CARLISLE COMPANY LIMITED BY GUARANTEE TRUSTEES' ANNUAL REPORT (continued) YEAR ENDED 31 DECEMBER 2012 Risk Management Statement The Hospice has a risk management strategy, which comprises: Reviewing the risks faced by Eden Valley Hospice and documenting in a Risk Register. Establishing and reviewing policies and procedures to mitigate those identified risks. Implementing policies and procedures designed to minimise any potential impact on Eden Valley Hospice should those risks materialise. Process for recording and reviewing all accidents, incidents and near misses. Compliance with Laws and Regulations The Chief Executive reports to Board meetings and meets regularly with the Chairman. Minutes from Senior Management Team meetings and from the Clinical Governance committee are circulated to all Board members. Following publication of the Health and Social Care Act 2008 (Regulated Activity) Regulations 2009, the Hospice is monitored on Essential Standards of Quality and Safety by the Care Quality Commission (CQC). The Hospice received an unannounced inspection in April 2012 which was very positive. Copies of the inspection reports are available from the Hospice or from the Care Quality Commission Website. The Hospice continues to be monitored in respect of health and safety and food hygiene, the latter resulting in a five star rating. All employees receive a copy of the staff handbook. Mandatory training for staff and volunteers is provided regularly and is reinforced by a mandatory training workbook. The content of mandatory training is reviewed and updated by the Training Group. Staff appraisals take place annually to ensure individual training needs are identified and met. FINANCIAL REVIEW The total cost of running Eden Valley Hospice was borne by the Hospice, although there was some contribution from the local health economy. NHS Cumbria contributed £566,242 towards the running of the Adult Services, including pharmacy, bloods and pathology costs, and £104,039 towards the running costs of Eden House Children’s Hospice. There was an amount of £159,281 recognised in the year in respect of monies received direct from the Department of Health, via section 64 monies, towards the running costs of the Children’s Hospice, these funds are currently applied for on an annual basis. The contribution of the Hospice lottery, legacies and donations, and many large and small fundraising events enabled the Hospice to provide its services to the community. The Hospice’s shops continue to be a great success and contribute to the overall income, with profitability reviewed annually to ascertain sustainability. The move to Lonsdale Street from Botchergate has been a great success, with much improved profitability after the move. Basic budget expenditure was effectively controlled, and wages were maintained within budget in 2012. Cash reserves decreased slightly in 2012, after a small loss £114,036 was posted and after charging depreciation of £137,861. The small loss relates to lower legacy receipts compared to 2012, down some £570,650 on the previous year, similar amounts are expected in 2013.

EDEN VALLEY HOSPICE, CARLISLE COMPANY LIMITED BY GUARANTEE TRUSTEES' ANNUAL REPORT (continued) YEAR ENDED 31 DECEMBER 2012 With the appointment of a new Head of Marketing and Fundraising in 2012, it is imperative that income generation is further enhanced in 2013 to meet the budgeted running costs of the Hospice. With the generosity of the people of Cumbria, the numerous businesses, professional and voluntary organisations which support and assist us, in addition to the support of the local media, this challenge can be met. There are regular discussions with the Cumbria PCT health commissioners regarding the level of their contribution to Hospice costs, and a rolling three-year service level agreement, ensures that the Hospice receives a continued proportion of statutory NHS funding. GP Commissioning is developing and the new funding mechanism is being explored. Reserves Policy The Trustees have reviewed the reserves of the charity. The review encompassed the nature of the income and expenditure streams, the need to match variable income with fixed commitments and the nature of the reserves. The review concluded that, to allow the charity to be managed efficiently and to provide a buffer for uninterrupted services, cash reserves equivalent to twelve months running costs should be maintained (This is not being achieved at the present time). Investment Policy Eden Valley Hospice, at the present time, only invests funds in interest bearing accounts, with our current banks, these rates have improved slightly in 2012. The Role and Contribution of Volunteers The charity is fortunate in having in excess of 400 volunteers working for the Hospice, who willingly give their time, to provide valuable service in the Hospice, as well as in our shops and at various fundraising venues throughout Cumbria. Using National Minimum Wage rates these volunteers save Eden Valley Hospice in excess of ÂŁ350k in any one year, with the hours that they provide. Their continued support has lead to both local and national recognition. Employee Involvement Working groups are held on a regular basis, to ensure that all staff are kept informed of and contribute to developments as necessary. The Management Team continues to develop and assists with the overall running of the Hospice and to discuss all topical issues. PLANS FOR FUTURE PERIODS The last five years have seen the expansion of services within the Hospice and the development of the premises, along with improved staff and volunteer development and good budgetary control. Further developments with regards to Accessibility are envisaged in 2013. An application to the Department Of Health for Section 64 grant monies has been made to fund this work; the work will not go ahead without this funding, news is expected in March 2013, with all building work to be completed by March 2014. 2013 will also see the launch of Deciding Right supported by a facilitator form the Hospice; this work is financially supported by Cumbria Primary Care Trust. In addition there will be extra training to support the improvement of end of life care for people with dementia and to extend the Six Steps Programme to Improve End of Life Care to domiciliary agencies. Partnership working with other agencies, both statutory and voluntary, remains a major focus in achieving objectives. Creating links with the emerging Cumbria Clinical Commissioning Group will be a priority; alongside this further joint initiatives with the other Cumbria hospices will be developed.

INDEMNITY INSURANCE The charity has purchased indemnity insurance at a cost of £349.80 (2011 - £525) during the year on behalf of the Trustees of the charity. The insurers have indemnified the Trustees in respect of any loss arising from any claim which may be made arising from any breach of duty, negligent act/omission, and breach of warranty/authority or libel/slander/defamation committed in good faith in connection with the conduct of the business carried out by the charity. RESPONSIBILITIES OF THE TRUSTEES The trustees (who are also the directors of Eden Valley Hospice, Carlisle for the purposes of company law) are responsible for preparing the Trustees' Annual Report and the Financial Statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice). Company law requires the trustees to prepare financial statements for each financial year which give a true and fair view of the state of affairs of the charitable company and of the incoming resources and application of resources, including the income and expenditure, of the charitable company for that period. In preparing these financial statements, the trustees are required to:
select suitable accounting policies and then apply them consistently;
observe the methods and principles in the Charities SORP;
make judgements and estimates that are reasonable and prudent;
state whether applicable UK Accounting Standards have been followed, subject to any material departures disclosed and explained in the financial statements;
prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charitable company will continue in operation. -8-

The trustees are also responsible for safeguarding the assets of the charitable company and hence for taking reasonable steps for the prevention and detection of fraud and other irregularities. In so far as the trustees are aware: 
there is no relevant audit information of which the charitable company's auditor is unaware; and

the trustees have taken all steps that they ought to have taken to make themselves aware of any relevant audit information and to establish that the auditor is aware of that information.

ACCOUNTING POLICIES Basis of accounting The financial statements have been prepared under the historical cost convention and in accordance with applicable United Kingdom accounting standards, the Statement of Recommended Practice "Accounting and Reporting by Charities" issued in March 2005 (SORP 2005) and the Companies Act 2006. The charity has availed itself of paragraph 3 (3) of schedule 4 of the Companies Act and adapted the Companies Act formats to reflect the special nature of the charity’s activities. Consolidation The consolidated financial statements comprise those of Eden Valley Hospice, Carlisle and its subsidiary company for the year ended 31st December 2012. No income and expenditure account is presented for Eden Valley Hospice, Carlisle as provided by section 408 of the Companies Act 2006. Funds The unrestricted fund consists of funds that the charity may use for its purposes at its discretion. The restricted fund represents funds that are to be used in accordance with specific restrictions imposed by donors or which have been raised by the charity for particular purposes. Further explanation of the nature and purpose of each fund is included in the notes to the financial statements. Fixed assets All fixed assets are initially recorded at cost. Depreciation Depreciation is calculated so as to write off the cost of an asset, less its estimated residual value, over the useful economic life of that asset as follows: Hospice building Fixtures and equipment Motor vehicles Leasehold improvements

No value is included for the freehold land which was originally donated to the appeal. Stocks Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items. Operating lease agreements Rentals applicable to operating leases where substantially all of the benefits and risks of ownership remain with the lessor are charged against income on a straight line basis over the period of the lease.

ACCOUNTING POLICIES (continued) Income All incoming resources in the form of cash have been included in income. Donations, grants and income from investments are credited to the income and expenditure account on a receipts basis, gross of income tax where applicable. Donated assets are included at a valuation by the directors. Legacies are included in the Statement of Financial Activities where the charity is legally entitled to the income and the amount can be quantified with reasonable accuracy. Expenditure Charitable expenditure comprises costs incurred by the charity in the delivery of its activities and services for its beneficiaries. It includes both costs that can be directly allocated to such activities and costs of an indirect nature necessary to support them. Expenditure has been charged to the income and expenditure account on an accruals basis. Costs of generating funds comprise the costs associated with attracting voluntary income and the costs of trading for fundraising purposes. Governance costs are those incurred in connection with meeting the constitutional and statutory requirements of the charity and include audit fees. All costs have been allocated between expenditure categories in proportion to the usage that the trustees deem appropriate for that particular charitable activity. Financial instruments Financial instruments are classified and accounted for, according to the substance of the contractual arrangement, as either financial assets, financial liabilities or equity instruments. An equity instrument is any contract that evidences a residual interest in the assets of the company after deducting all of its liabilities. Deferred taxation Deferred tax is provided in respect of the tax effect of all timing differences at the rates of tax expected to apply when the timing differences reverse.

The Restricted Capital Funds represent funds which have been raised or donated for specific areas of the Hospice or specific machinery and equipment. The costs are included within fixed assets and the outgoing resources relate to the relevant depreciation charge. Palliative Care Training – these funds are held ex-North Cumbria PCTs for adult palliative care training. The PCT Grant – Children’s Unit – these funds were received specifically for the running costs of the Eden House Children’s Hospice. The Department of Health grant was received to help with general running costs within Eden House Children’s Hospice. The Macmillan social worker was monies received from Macmillan Cancer Support towards a specialist social worker in collaboration with Adult Social Care and Macmillan Cancer Support. A grant was received from the Cumbria and Lancashire End Of Life Network to establish an End of Life Facilitator role, based at Eden Valley Hospice, with the remit of rolling out the ‘Six Steps to Success Programme’ to improve end of life in Care Homes across North Cumbria.

COMPANY LIMITED BY GUARANTEE Every member of the company undertakes to contribute to the assets of the company, in the event of the same being wound up while he is a member, or within one year after he ceases to be a member, for payment of the debts and liabilities of the company contracted before he ceases to be a member, and of the costs, charges and expenses of winding up, and for the adjustment of the rights of the contributories among themselves, such amount as may be required not exceeding £1. 24. PENSIONS Pension contributions are charged to the Income and Expenditure account in the period to which they relate and during the period amounted to £103,096 (2011 £106,966). At the balance sheet date £11,558 (2011 £9,557) was included in Other Creditors in respect of outstanding pension contributions. 25.
