About Better Business Bureau BBB is dedicated to promoting and fostering the highest ethical relationships between businesses and the public through voluntary self-regulation, consumer and business education, and service excellence. Our goal is to connect consumers with businesses, brands and charities they can trust. BBB is a 501c(6) non-profit business membership organization supported by local businesses that believe the local marketplace becomes a better place to live, work, and raise a family when it operates fairly and ethically.
About BBB Board of Directors BBB Directors work with the CEO to set policies and goals. While election to a Director’s seat signifies trust by one’s contemporaries, the job is more than an honor or recognition. BBB Directors must also make important decisions that impact the future of BBB.

Directorship Position Summary A BBB Director has a prominent and accountable position with specific responsibilities and opportunities. He or she serves in the nature of a trustee charged with guarding the ethics of the marketplace in the community. The manner in which the Director provides the leadership for the overall activities of BBB will determine the level of service available to businesses and the public. It is a task which is both demanding and rewarding. Together with your fellow Board members, you have strong influence over BBB policies and performance as governed by its bylaws. The Board provides oversight for BBB’s finances, budget, accreditation approvals, cancellations and revocations and new programs.
Expectations and Responsibilities ADVOCACY AND PERSONAL INVOLVEMENT • Be well-informed to convey our mission, strategies, policies, programs, strengths, and needs • Board Meeting Attendance—Attend a majority of the board meetings annually
Board Duties • Electing officers • Employing a full-time President/CEO who is responsible for the day-to-day management of BBB and annually reviewing his/her performance • Determining policy and ensuring its implementation and adherence to system-wide BBB policies. Exercising control over the affairs, funds and property of BBB
• Committee Participation—Actively participate on at least one committee and we hope that as your tenure grows, you will be willing to chair a committee • Actively participate in BBB and Foundation events and functions • Abide by all confidentiality/non-disclosure and conflict of interest requirements • Exhibit an ongoing commitment to minimum three-year tenure; a six-year term is preferred
LEADERSHIP AND DEVELOPMENT • Board Recruitment—Identify strong candidates for the board who will represent our mission effectively • Provide individual expertise and resources toward organizational growth and development • Use business background, knowledge and relationships to positively connect BBB to the community • Apply financial acumen to fiduciary duties and oversight • Model professional and ethical business behavior • Self-Assessment—Complete annual self-assessment to appraise performance
• Acting upon accreditation applications • Terminating accredited businesses for cause • Ensuring BBB regularly conducts financial audits and reviews • Amending the bylaws, when necessary • Ensuring BBB has sufficient revenues so that it provides a high level of service to the community

Time Commitments
• A personal drive to impact ethics in our community
• Effective written and verbal communication skills
• Currently, Board Meetings are for 90 minutes 10 months out of the year
• Association with an organization in good standing with the BBB • Previous or current board or leadership experience • Three or more years’ experience in the business community
• Leadership skills • Ability to work effectively with a team • Ability to think strategically • Analytical skills • An appropriate level of financial acumen • Reliability and responsiveness • Ability to assume the essential responsibilities of the position

• Executive Committee Meetings are as needed at least once per quarter • Time commitments for committees range from 1 hour per month to up to 4 hours, depending on the committee. The minimum a committee will meet is four times per year • Actively participate in BBB and Foundation events and functions
