Paralegal, Governmental and Business Relations

Job purpose Compliance with business goals, governmental statutes, and regulations. Responsible for ensuring that financial and capital transactions of the TexBel group of companies are carried out properly according to the relevant laws and statues. The incumbent also ensures that the various companies operate within the legal requirements set forth by local and international regulations regarding trade, governance and employee rights. Works closely with Financial Director/Director of Shareholder and Board Relations in Houston. Duties and responsibilities Duties include:
Assist in draft for review of articles of incorporation; bylaws; minutes and consents; maintenance of stock certificates; share ledgers; organizational charts; director/officer appointment and resignation; arrange for both annual Shareholder and Board of Directors meetings; ensure timely and accurate filings of statutory requirements and local regulations updates. Perform periodic audits of minute books and corporate files to ensure corporate compliance with company policy and Central Business and Banking Registry. Assess new entities, register and de-register in domestic and foreign jurisdictions and merge and/or dissolve/liquidate them as required. Assist both inside and outside counsel with drafts, contracts, and contract administration. Assist with any official company secretarial requests. Maintain filing, hard copy, and electronic records in relation to assigned legal entities. Ensure all activities comply with Company policies and Belize labor, environmental and safety standards Other ad hoc projects as required by the Managing Directors or Business Manager/CFO.
Qualifications The incumbent must have the following qualifications and skills:

A degree in Law or Business from a well-recognized local or international university. At least 2 years’ experience in a law firm, corporate law department, corporate management, or government. Experience in preparing and executing contracts. Familiarity with Belize Corporate Registry and Belize Central Bank filing requirements. Ability to work in a cross functional team and direct employees who are not direct reports. Ability to develop direct reports: coaching employees on performance and to give timely and factual feedback. Good computing skills, especially in Excel, Word and email and document storage programs (eg. Dropbox). Good teamwork and problem solving skills Ability to set and meet priorities and to show initiative Ability to work in Belize. Valid driver’s license. Working proficiency in English; Spanish is not required but is helpful.
Working conditions
The role involves regular weekend and evening calls and visits with key stakeholders. Able to work extended hours as business requires
Physical requirements The role requires the incumbent to spend some time driving between TexBel’s farm locations and other key sites in Belize. It may also involve lifting heavy objects such as file boxes and exhibits on a regular basis. Other requirements include periods sitting at a desk doing repetitive tasks. Direct reports

Authorized access and maintain confidential company files for the purposes of preparing contracts and corporate filings. Authorized to pick up goods and services on behalf of TexBel Farms and pay invoices as required.
