Dear readers, his November is the month of events and awards for BIDV. Here are some important highlights in the month.

Mrs. Nguyen Thi Hong – deputy governor of the State Bank received the State President's Decision on appointment as Governor of the central bank. Mrs. Hong is the 15th Governor of the State Bank and also the first woman to hold this post in the history of Vietnam’s banking system.

In the month, BIDV was honoured in the category of the Best Investment and M&A Deals in 2019-2020 at the 12th Vietnam M&A Forum held in Ho Chi Minh City for its deal with Hana Bank. Previously, in November 2019, BIDV signed the strategic cooperation agreement with and announced Hana Bank as its foreign strategic shareholder. Particularly, BIDV issued over 603.3 million shares as a private placement to Hana Bank with a total value of nearly VND20,300 billion (USD875 million). This is the biggest M&A deal with a strategic investor in Vietnam's banking industry.

On 10 November in Hanoi, BIDV co-hosted the 10th CAIBA Executive Board Meeting and ASEAN+3 Inter-bank Cooperation Mechanism 2020 Meeting (APTIBCM). This is also the first time the CAIBA Executive Board Meeting has virtually been held. Under the theme of "Deepening financial cooperation for sustainable growth in a Post- Pandemic World", the participating members joined to share and exchange key issues of the finance - banking industry, especially experiences in coping with Covid-19. On 25 November, at the announcement ceremony of Vietnam National Brand 2020, BIDV was awarded the title Vietnam Value. This is the sixth time BIDV has been honoured with this prestigious title. The Vietnam Value Programme is the unique and long-term trade promotion programme of the Vietnamese government, aimed at building and developing national

In retail banking, BIDV continues to maintain its position as the largest bank by retail banking. Recently at the Vietnam Retail Banking Forum, the bank was honoured with two awards namely Outstanding Retail Banking and Digital Transformation Banking from Vietnam Banks Association and International Data Group. For the SME segment, BIDV has received “Best SME Bank in Vietnam” and “Best Corporate Banking Solution in Vietnam” award by The Asian Banking & Finance (Singapore) for the 3rd consecutive year. On 10 November in Hanoi, the Joint Stock Commercial Bank for Investment and Development of Vietnam (BIDV) co-hosted the 10th CAIBA Executive Board Meeting and ASEAN+3 Interbank Cooperation Mechanism 2020 Meeting (APTIBCM).

he meeting has the great honor to welcome Mr. Nguyen Kim Anh, Deputy Governor of the State Bank of Vietnam and representatives from the International Cooperation Department of the State Bank of Vietnam; Mr. Deng Xijun - Ambassador Extraordinary and Plenipotentiary of China to ASEAN, representatives of the Vietnam Banks Association, and nearly 70 banking leaders and experts from the member banks and observing banks of CAIBA and APTIBCM.

The year 2020 marks the 10-year establishment and development of CAIBA. This is also the first time the CAIBA Executive Board Meeting has virtually been held. Under the theme of "Deepening financial cooperation for sustainable growth in a post-pandemic world", the guests and representatives of member banks as well as observing banks of CAIBA and APTIBCM joined to share and exchange key issues of the finance - banking industry in the current period, especially sharing experiences in coping with the impacts of Covid-19. Addressing the meeting, Mr. Nguyen Kim Anh, Deputy Governor of the State Bank of Vietnam congratulated CAIBA Association on its 10th anniversary and applauded the ASEAN+3 Interbank Cooperation Mechanism which was established in 2019. On this occasion, the Deputy Governor also reviewed the results achieved by Vietnam in response to the pandemic’s

In the meeting, the banks emphasized the need to promote greater cooperation among member banks, especially in the current difficult time of the economies. Besides, they also proposed the solutions to encourage bilateral and multilateral cooperation activities among member banks in order to enhance the effectiveness and active role of CAIBA Association and APTIBCM Cooperation Mechanism, which thereby would contribute to the achievement of shared prosperity in the region. “Over the past 10 years, on the basis of shared interests and for the prosperity of the region, the Association's member banks have strengthened their bilateral and multilateral cooperation and financial connectivity, which enhances the role of the Association in the region” affirmed Chairman of BIDV's Board of Directors, Mr. Phan Duc Tu. “In particular, on the foundation of CAIBA Association and the consensus of member banks, the cooperation mechanism of ASEAN Member Banks and CDB, KDB, JBIC have been established to further expand collaboration and open more opportunities for all parties,

contributing to the development of the ASEAN+3 region”. During the discussion session, the member banks shared information, experiences and in-depth assessments on topics of interest, including: Regional cooperation to respond to Covid-19 and post-pandemic recovery; Promoting banking digitization during and after Covid-19; and supporting SME clients - the customer segment that was seriously impacted during and after Covid-19. Accordingly, the member banks have launched initiatives, drawing on experiences to better adapt to new circumstances, hence uniting to overcome difficulties and to seize growth opportunities, as well as setting business trends. The member banks also agreed to sign Joint Statements, demonstrating the determination of CAIBA and APTIBCM member banks in implementing a number of specific contents to cope with the Covid-19 pandemic, in which emphasizing the members’ assurance to support measures taken by Governments and central banks of the countries, and to provide their assistance for businesses and projects affected by the pandemic

through various forms of cooperation in accordance with the laws and regulations of the parties. The Joint Statements also reaffirm their efforts to promote cooperation in new areas through strengthening the digital economy, enhancing cooperation in sharing information, experiences and lessons learned in response to Covid-19. Mr. Dong Gull Lee, Chairman and CEO, Korea Development Bank said: “By signing the Joint Statements today, we are opening up an important corridor of cooperation that will lead us to innovation, sustainability, and economic leadership in the region”. Mr. Nobumitsu Hayashi - Deputy Governor, Japan Bank for International Cooperation expressed his heartfelt appreciation to all the staff, especially those at BIDV and CDB, for organizing the meeting at these difficult times. “We sincerely hope that this Mechanism and the Joint Statements to be announced today will contribute to the regional development in the ASEAN region through our cooperation”, said Mr. Nobumitsu Hayashi. Cementing leading position in retail banking With the orientation for 2020 “Change to lead”, BIDV has continued to maintain its leading position in the retail banking segment in Vietnam, winning 2 awards including “Outstanding Retail Banking” and “Digital Transformation”.

T

he award ceremony took place at Vietnam Retail Banking Forum 2020 held by Vietnam Banks Association and International Data Group (IDG). The annual Vietnam Retail Banking Forum is the biggest event of the finance and banking industry in Vietnam, participated by the largest banks in the country. The awards under the scope of this event signified the recognition of the business results and outstanding achievements of the banking sector during the challenging and unpredictable year 2020. With specific and detailed criteria, after a fair and transparent assessment process, the judges highly appreciated the achievements and efforts that BIDV had made in the past year. The “Outstanding Retail Banking 2020” award recognizes BIDV’s effort in maintaining its leading retail banking position with the highest net retail growth in the first 9 months of 2020 among other domestic banks. Particularly, the bank’s retail outstanding balance reached nearly VND400,000 billion (USD17.2 billion); retail deposits hit VND630,000 billion (USD27.2 billion). With an average annual growth rate of 1.3 million new

customers per year, BIDV has been serving a total of 12 million individual customers. The lender has given retail banking efficiency the highest priority while managing risks according to international practices. Profit before tax from retail banking reached VND6,200 billion, accounting for 65 percent of the bank’s profit before tax. BIDV has taken advantage of having a foreign strategic investor - Hana Bank - to implement 7 key retail projects focusing on 3 products: private banking service, retail credit, and international money transfer - thus creating a breakthrough in BIDV's retail banking operations in the Vietnamese banking system. The 2020 retail banking award introduced a new category for “Digital Transformation Banking” award to promptly appreciate the largest transformation in banking operations over the past years. of banking operations in 2020. With a strong and comprehensive digital transformation strategy, BIDV has achieved practical and specific results. The number of customers using e-banking has skied rocket to nearly 6.5 million individual customers and 60,000 business ones. The number of transactions and value via e-banking and self-service channels has increased sharply, accounting for 87 percent of total transactions. Mobile and internet banking accounted for 52 percent with yearly average reaching nearly 200 million transactions via digital channel. The rate of error transactions and customer feedback drops below 1 percent. BIDV has connected a payment gateway (BIDV Paygate) to 24 out of 32 Fintechs and 756 merchants in Vietnam, providing 1,550 online payment services to implement intermediary payment services such as online payment, e-wallet, and cash collection services.

BIDV wins “Best SME Bank in Vietnam” award

Thanks to its banking solutions for SMEs and positive business results, BIDV has received “Best SME Bank in Vietnam” and “Best Corporate Banking Solution in Vietnam” award by The Asian Banking & Finance (Singapore) for the 3rd consecutive year.

r. Tran Long – Senior Executive Vice President of BIDV said: “This award marks a milestone in the 5 years BIDV has concentrated on the SMEs sector. With the orientation of putting customers at the center, employing breakthrough technology, BIDV continues to accompany SME customers towards building a dynamic and sustainable SME community”.

To make a decision on the award, the consulting council of The Asian Banking & Finance has taken into account the business results and commitments that BIDV had made for SMEs compared with other banks. Having made continuous efforts, BIDV has achieved outstanding results in SME banking, such as: customer base expanding rapidly to 310,000 SME customers in 2020, accounting for 39 percent of those in Vietnamese banking system; outstanding balance of SMEs at the bank reaching VND350 trillion (USD15 billion), a 20 percent year-on-year growth; income from SMEs banking contributing more than 30 percent to the bank’s total income. To land such outstanding results and maintain its leading position, BIDV has provided comprehensive solutions to customers.

Promoting sustainable green credit line BIDV has been focused on promoting green credit growth and social risk management in its credit activities. The bank has proactively prioritized capital of up to USD1 billion for SME customers doing business in renewable energy, wind energy, and solar energy; especially women-owned businesses and those in agricultural and rural sectors.

Providing synchronized solutions to support SMEs So far, BIDV has implemented a lot of supporting programs exclusively for SMEs customers such as the VND100 trillion (USD4.3 billion) credit package; the VND5 trillion (USD215 million) credit package for micro-enterprises and start-ups. The lender has signed a master agreement with the Small and Medium Enterprise Development Fund to create favorable conditions for businesses in Vietnam to access capital at low cost and create momentum for SMEs’ further development.

In addition, BIDV has been actively cooperating with domestic and foreign organizations such as the Embassy of Belgium, UNDP FI, AFD, WB, GIZ, the Ministry of Natural Resources and Environment, and the State Bank, to develop programs on green credit, sustainable development, social environment protection, CSR, etc.

In late 2018, BIDV launched BIDV iBank – an online banking platform designed for enterprise customers. By October 2020, BIDV iBank had reached over 45,000 users, making over 1 million transactions p.a., the total value of transactions hitting more than VND800 trillion (USD34.5 billion). BIDV keeps providing comprehensive solutions to promote cashless payment in hospitals, educational institutions, rapidly completing financial service ecosystem for enterprises including

In 2020, BIDV has promptly supported SMEs to overcome the impacts of the pandemic and natural disasters, cutting lending interest by up to 2 percent p.a. for over 3,000 customers with outstanding balance of VND50 trillion (USD2.15 billion); offering a VND70 trillion (USD3 billion) credit package for new customers affected by the Covid-19 pandemic, among others.

AFD to fund BIDV for financing energy projects Recently BIDV and the Agence Française de Développement (AFD) has signed a Letter of Interest on SUNREF green credit line to finance enterprises for green growth.

ccordingly, AFD is committed to fund BIDV a long-term loan worth USD100 million as well as providing technical assistance up to EUR300,000 to BIDV and its customers. Mr. Le Ngoc Lam - Senior Executive Vice President in charge of the Board of Management of BIDV, and Mr. Fabrice Richy – Director of AFD Vietnam, represented the two sides to sign the Letter of Interest. BIDV is one of the leading financial institutions in Vietnam with long experience in managing foreign entrusted funds and providing modern banking products and services for customers, contributing to effective realisation of the target set by donors and the government of Vietnam.

credit line marks a significant milestone in the cooperation between BIDV and AFD. It reaffirms the partnership of BIDV with major donors in promoting Vietnam's economic development, contributing to the successful implementation of the resolutions of the Party and the Government”.

In recent years, BIDV has been trusted and selected by the Government, ministries and donors as the bank to relend key and large foreign entrusted funds. In particular, for AFD funds, BIDV has been trusted to implement a number of projects such as the Northern Power Transmission Project worth EUR40 million; housing development program in flood-hit areas in the Mekong Delta worth EUR25 million, among others.

Mr. Fabrice Richy, Director of AFD Vietnam, expressed his confidence: “We are very proud of the cooperation with BIDV to set up this USD100 million green credit line. This credit line will finance projects mainly in the renewable energy and energy efficiency areas, thus helping improve the country’s energy structure in response to climate change and the implementation of the Paris Agreement on climate change - the core topic of AFD's operational strategy in Vietnam”.

The loan scale for the energy area at BIDV has grown constantly during 2017-2019 at the rate of 9.66 percent p.a. Outstanding balance of this sector reached over VND46,000 billion (USD2 billion), accounting for 4.2 percent of the lender’s total outstanding balance.` As well as providing BIDV with a long term fund to finance green and sustainable development, AFD will cooperate with BIDV to optimize the positive social and environmental impacts of the credit line, assisting the construction of a social and environmental management system and sharing practical experience in implementing SUNREF in other countries.

Top 10 largest companies in Vietnam the banking industry to support businesses and people to overcome the consequences of Covid-19, ensuring stable living conditions and production and business activities. According to preliminary calculations, BIDV expects to spend VND3,500-4,500 billion (USD195 million) in 2020 to support customers to overcome Covid-19.

BIDV continues to be honored as one of the 10 largest enterprises in Vietnam according to the VNR500 list (ranking top 500 largest enterprises in Vietnam) recently announced.

his is the 4th consecutive year (2017-2020) BIDV has been among the top 10 of the VNR500 Ranking. Also, according to the Profit 500 Ranking (top 500 most profitable enterprises in Vietnam) in 2020, BIDV ranked 14th. Previously, from 2017 to 2019, BIDV continuously ranked in the top 15 in the Profit 500 Ranking BIDV is the leading commercial bank in Vietnam with the total assets as of the end of September 2020 reaching about VND1.47quadrillion (USD63.3 billion), customer deposits over VND1.15 quadrillion (USD50 billion); customer loans reaching VND1.15 quadrillion (USD50 billion). Especially, in the first 9 months of 2020, promoting the role of a special state-owned enterprise, BIDV joined

he Vietnam M&A Forum 2020 took place in the new normal while Vietnam, as part of the global economy, is trying to shake off the blow from the coronavirus pandemic and make the most of the new investment trends of the region and the world at large. Nevertheless, unlike most other economies, the outlook for the Vietnamese economy remains quite positive thanks to the country’s efforts to take drastic measures to reform the domestic investment and business climate, effectively curb the pandemic, and potentially benefit from a noticeable shift in foreign investment flows.

Vietnam’s M&A market forecast to make strong bounce Mergers and acquisitions (M&A) in Vietnam is forecast to recover to reach USD4.5 - 5 billion by 2021 before strongly bouncing to reach USD7 billion in 2022.

“T

he M&A market in Vietnam has developed strongly with thousands of transactions totalling nearly USD50 billion over the past decade. However, the global Covid-19 pandemic has seriously affected international trade and investment activities. The value of M&A deals in Vietnam in 2020 is expected to decline, estimated at USD3.5 billion, equal to 48.6 percent of 2019”, said Mr. Tran Quoc Phuong, Deputy Minister of Planning and Investment Phuong at the M&A Forum 2020. In the first half of 2020, (foreign direct investment) FDI into developed economies plunged 75 percent compared to 2019 while FDI into developing countries slid by 16 percent. In particular, the total value of cross-border M&A transactions stood at only USD319 billion. Of this, developed economies that account for 80 percent of global M&A transactions saw a 21 percent decline. However, according to the Mergers & Acquisitions Forum (MAF) research of the CMAC, Vietnam’s M&A market is least affected by the pandemic

compared to other countries in Southeast Asia. The Corporate Investment and Mergers & Acquisitions Centre (CMAC) said in the period June 2019 – October 2020, main industries attracting M&A deals are real estate, finance - banking, industry, retail, logistics, agriculture, health, and construction. The market continues to be led by foreign investors from countries such as Japan, Korea, Thailand and Singapore. The latest report by the Euromonitor Market Research Group on M&A index has rated Vietnam as the market with the most dynamic and potential M&A activity globally this year. and acquisitions environment attractiveness index. The country’s score is only behind the U.S.’s for both years with 102 in 2020 and 94.6 in 2021. In terms of the fastest increase in the scores, Vietnam was the fifth in the world behind Singapore, Ireland, the Philippines, and Qatar. Vietnam has numerous charms for foreign investors, being the only country in the region to produce positive growth this year. In addition, the country’s free trade agreements namely the Comprehensive and Progressive Agreement for TransPacific Partnership (CPTPP), EU Vietnam Free Trade Agreement (EVFTA) and EU - Vietnam Investment Protection (EVIPA) also make Vietnam more attractive for foreign investors.

New changes in Law on Enterprises On 17 June 2020, Vietnam’s National Assembly passed the amended Law on Enterprises which will take effect on 1 January 2021. BIDV Review introduces some key highlights of the new law. New definition of State-owned enterprises As defined in clause 11 of Article 4 in the 2020 Law on Enterprises, stateowned enterprises (SEOs) include those in which the State owns more than 50 percent of the charter capital or total voting shares as provided in Article 88 in this Law. Meanwhile, under the regulations in the 2014 Law on Enterprises, a state-owned enterprise is an enterprise with 100 percent of its charter capital held by the State.

Amending regulation on the right of common shareholder As prescribed in the 2020 Law on Enterprises, a shareholder or a group of shareholders must own 5 percent or more of total common ordinary shares, or own a lesser percentage thereof as stipulated in the company's charter to hold the rights granted to common shareholders prescribed in Clause 2 of Article 115 in this Law. The new law removes the regulation on the possessing time of “at least 06 consecutive months” of shareholders or groups of shareholders owning 10 percent and above of the common shares. In reality, there are many cases that the investors have purchased a lot of shares in the business but lost their rights and benefits since they could not meet the

regulations on ownership period for at least 06 consecutive months. Therefore, this regulation is to protect the legal interests of shareholders

Adding more obligations to shareholders In addition to inheriting the provisions on obligations of common shareholders laid down in Article 115 of the 2014 Law on Enterprises, the 2020 Law on Enterprises sets out the following additional regulation in Article 119: “Secure information provided by the company in accordance with the company's charter and law; only use the information provided to exercise and protect its legitimate rights and interests; strictly prohibit distribution, duplication or sending of information provided by the company to the other organization or individual.”

removes the procedure to notify the seal specimens, including the carving seal and digital signatures, to the Business Registration Authority (BRA). Additionally, enterprises are allowed to decide on the type, number, form, and content of the seals for its branch, representative offices (ROs) and other units without notifying the BRA. The requirement on changes to the personal information of a company manager has also been removed.

Non-voting depository receipts The 2020 Law on Enterprises includes an additional regulation regarding nonvoting depository receipts as follows: Ordinary shares used as underlying assets for issuing non-voting depository certificates are referred to as underlying ordinary shares. Nonvoting depository certificates have economic benefits and obligations corresponding to underlying ordinary shares, except voting rights. The Government will regulate non-voting depository receipts.

Law on e-transactions to be amended The Ministry of Information and Communications is proposing to amend and supplement some articles in the 2005 Law on Electronic Transactions in order to solve shortcomings.

he law was passed by the National Assembly in 2005, and it had played an important role in creating a legal basis to promote e-transactions, promoting the application of information technology and contributing to socio-economic development for nearly 15 years. However, there are some shortcomings which needed to be amended and supplemented. Statistics in the e-Commerce White Book 2019 showed that the size of the e-commerce market reached about USD7.8 billion in 2018, including online retail, travel, marketing, entertainment and purchase of other digital products and services. If the growth rate continues at 30 percent, the market size will reach USD13 billion by the end of this year. However, many experts believed that the implementation of contracts, digital signatures, electronic authentication and payments still had many shortcomings which limited the development of electronic transactions even though the Government had a policy to promote the digital economy.

According to the Ministry of Information and Communications, the goal is to build in the direction of expanding the scope to suit the development of Industry 4.0 and the digital economy. At the same time, the amendment also aims to suit international treaties related to free trade agreements to which Vietnam is a member to facilitate the promotion of development as well as the protection of legal rights and interests for those participating in e-transactions. The amendment and supplementation draft will include regulations on prohibited acts related to electronic identification and authentication, electronic transactions among state

agencies, electronic transactions between state agencies and organisations and individuals. The Ministry of Information and Communications will be the agency responsible to the Government for presiding and co-ordinating with relevant ministries and agencies in performing the state management of electronic transactions. The draft will supplement the regulations on converting paper documents into electronic documents and additional regulations on electronic identification, authentication, trusted services and service providers.

AFD, 녹색성장 지원 위해 1억달러 신용한도 제공 2020년 11월12일, BIDV와 프랑스 개발청 (AFD)은 기후변화 대응과 녹색성장 및 환경 보호 분야 기업을 지원하기 위한 SUNREF녹색기후기 금 지원의향서에 서명하였다. 이에 따라 AFD는 BIDV에 1 억 달러의 장기 대 출과 최대 3십만 유로의 기술 지원 금액을 BIDV 와 BIDV 고객에게 제공 할 예정이다. 프랑스 개발청(Agence Française de Développement – AFD) 는 프랑스의 개 발 정책을 실행하는 공공 금융기관이다. 2019 년 AFD는 개발 도상국의 지속 가능한 개발 프 로젝트를 지원하기 위해 141 억 유로 규모의 지원계획을 수립했다. AFD는 1994 년부터 베 트남에서 활동하고 있으며, 90 개 이상의 프로 젝트에21 억 유로 이상을 투입하였다.

베트남 수도 하노이의 특산물 베트남 북부에 위치한 수도 하노이 음식의 경우 통상적으로 분짜, 쌀국 수 등이 떠오르는 편이다. 다만, 오 늘 소개할 음식들은 조금 더 하노이 만의 색다른 매력을 가지고 있는 음 식들이다.

꼼 (Com) – 번화한 도시에 시골의 '선물' 베트남 북부는 남부나 중부와는 다르게 4계절 이 뚜렷한 특성을 지니고 있으며, 이로 인해 곡 류가 타 지역에 비하여 다양한 편이다. 일반적 으로, 곡식은 다 익어 노란색으로 변한 후 추수 하여 밥 등으로 만들어 먹는다. 그러나 ‘꼼’ 이 라고 불리는 이 음식은 곡식이 익기 전, 초록색 으로 변할 때쯤 (8-10월 시쯤) 추수하여 만들 어 먹는 하노이의 특징 있는 음식 중 하나이다.

바잉 똠 호떠이

넴꾸어베

하노이의 '꼼'에 대해 애기하자면, Lang Vong 의 '꼼'은 매우 유명하다. 일반적으로 꼼은 연꽃 잎으로 싸여 있으며, 하노이 사람들은 잘 익은 바나나와 함께 먹는다. 또한, 하노이에 살고 있 는 베트남 국민들에게 '꼼'은 도시에서 벗어나 시골 정감을 담긴 “선물” 으로 인식되고 있다.

바잉 똠 호떠이 (Banh Tom Ho Tay) – 하 노이 사람의 간식 바잉 똠은 길거리에서 인기있는 간식이지만, ‘ 바잉 똠 호떠이’는 CNN에서 방송될 정도로 극 찬을 받았다. ‘바잉 똠 호떠이’는 새우를 주 재 료로 사용하여 만든 전으로, 하노이 서쪽에 위 치한 호떠이(Ho Tay)에서 처음 만들어진 음 식이다. 이 전은 호떠이(Ho Tay)의 타잉니엔 (Duong Thanh Nien)길에서 1970~1980 년도에 처음으로 베트남 정부측에서 직접 음 식판매대를 설치하여, 일반 국민들에게 판매 하기 시작한 음식으로 유명하다. 21세기들어 다양한 음식들이 베트남 유명 음 식들로 자리잡으면서 ‘바잉 똠 호떠이’의 인기 는 다소 시들었으나, 단순한 맛이 마치 과거를 추억할 수 있는 음식으로 불리우며 여전히 하 노이 호떠이 지역에 가면 흔하게 접할 수 있다.
