Business Valuation and the Retirement Gap

The small business exit is most likely the largest and most important financial transaction of a business owners’ life. One of many questions is if this sale is at the highest / best valuation (sale price) for that company and another question is if the sale is enough to accomplish the business owner’s wants, needs and desires for their financial retirement goals. Is the sale enough for the business owner to live their desired lifestyle? What are the numbers? How do you calculate the sale price to optimize the value? Some call this difference in the business sale proceeds and the retirement financial needs a wealth gap or a value gap. As a Certified Valuation Analyst and Financial Planner working with the Wealth Managers at Prime Capital Investment Advisors (PCIA), we take a holistic approach from multiple angles to solve for this wealth / value gap and create a step-by-step process to thoroughly work through this comprehensive analysis and extensive exercise. One of the first tasks of the process is to establish a sale price for the business. How do you determine the sale price? In past articles, I discussed the different approaches and methods, as well as the specific intangible and tangible value drivers that affect the sale price and the pros and cons of each. The approach and method used is very important and should be examined in detail. (If there are questions regarding the different approaches and methods, and the vast number of intangible and tangible value drivers, please reach out to me at PCIA here in Boerne.) As a Certified Valuation Analyst, I establish this price and drill down into the specific strengths and weaknesses, risks and rewards,
and the quantitative and qualitative aspects of each. This information fully informs the business owner so that they can clearly communicate and articulate in detail the business value / sale price. Another aspect of the number calculated is how the subject business ranks against its peers. Higher ranking businesses obviously deserve higher valuations and this needs to be confidentially and accurately described. These are then measured within my certified valuation to figure and defend the sale price. After the sales price is solved, the net proceeds need to be figured. The net proceeds will take into account the tax basis of the business to determine the tax consequences, additional fees and other expenses associated with the sale (i.e., Real Estate Commissions, Attorney fees, etc.). The business owner will also need to identify their personal resources to add to the net proceeds from the business sale. Once we add the net proceeds of the sale and the personal resources, the wealth management team at PCIA works with the business owner to create their investment strategy. This investment strategy is worked into a financial plan to create projected returns and / or income needed to accomplish the retirement goals and financial security goals to live their desired lifestyle. As a part of the analysis, we will work through different scenarios, such as when to sell, estimated taxes, potential buyers, which business brokers to consider, inflation, how to handle employees, etc. If needed we can also work with the business owner in the discussions and negotiations with potential buyers to defend the accurate sale price. There

are also different tax effects for the value of different assets within the business and if assessed correctly can potentially save the business owner substantial amount in taxes. However, all of the above information is constantly changing and moving. This is why we suggest starting the full process well before sale discussions and maintaining regular communication with your advisors to keep this full plan current and accurately updated. The determination of whether income from personal assets plus income from the transfer of the business meets or exceeds projected objective takes time and diligence and, as mentioned, is more than likely a life changing event and deserves qualified, professional advice. The designs created by Haute Air go far beyond a bouquet of balloons; these displays are nothing short of works of art. In fact, Holly and Ariel even create custom colors to match with their customers’ themes. According to Holly, “I could spend hours mixing balloons to create unique colors.” In addition to the creative part of the job, Forren and Kallemyn wear a lot of other hats within the company as well. They are also the installers, billing department,
inventory specialists, CFOs, marketing department and cleanup crew! “Our work is our brand and reputation. From the first time you contact us to after the install, we strive to make sure you’re treated like family and get the best from start to finish,” said Holly. “We know how much these celebrations mean to our customers. We are honored that they have chosen us to help make them extra special and we work hard to give them the best products and customer service we can,” added Ariel. Haute Air Balloons got its start in January of 2020, not long after Holly and Ariel met while serving on their children’s school PTO Board. Their first project together was decorating for the Fall Festival and making none other than balloon arches and columns! It was there that the idea to start a balloon business was born. “At first Ariel thought I was joking, but eventually she realized I was serious that we needed to start this balloon art business,” joked Holly. It didn’t take long for the word to get out. Their beautiful balloon displays struck a chord with the local audience and the pair were soon decorating everything from colorful fiesta parties to elegant weddings. As the jobs kept coming, so did the creative ideas and Holly and Ariel began branching out from those original balloon arches and began creating organic garlands, balloon bursts, table top bouquets and incorporating fun add-ins and customized messages into their designs. continued on page 18

They have recently added oversized helium-filled bouquets with tassle steamers too! Even during the strictest restrictions of the pandemic, Haute Air continued to be able to brighten people’s days. “It was the perfect way for people to still be able to celebrate their loved ones, even at a distance. We decorate lots of porches, gates, and drop off balloon bursts for every occasion. That part of our business model really appealed to customers during that time. It was nice to be able to provide them with a special surprise for their family and friends even when they couldn’t be together,” said Ariel. Haute Air offers a variety of options to fit any price point. Whether you want a small table top design or an elaborate display, Holly and Ariel are happy to accommodate. They offer installation and delivery, but even have “hang it yourself” options! The designs last a long time too! For exterior projects, expect them to last approximately three to four days as long as it’s not in the heat/sun or wind. Interior balloon designs can last weeks! “A Dickens Celebration”

The City of Boerne is excited to announce that Dickens on Main is back--and now part of a lineup of festivities that includes three more unique weekends of holiday fun! “A Dickens Celebration” will begin with a reimagined Dickens on Main the evenings of Thanksgiving Weekend, November 26-27, where snow is in the forecast and guests can stroll along a traffic-free Main Street, freely crossing from shop to shop while enjoying holiday music, festivities and fun surprises along the way. As in years past, streets will close at 4 p.m., but the Dickens fun begins each day when Boerne’s sweet boutiques and shops open at 10 a.m. The Dickens Handmade Market opens at noon in Dickens Village (Main Plaza)
where visitors will enjoy a variety of performances each afternoon and evening. Stay late to continue your holiday shopping as stores along the Hill Country Mile will stay open until 9 p.m. Be sure to don your favorite holiday apparel, as photo opportunities are aplenty throughout the celebration! The following weekend, December 3 & 4, is Weihnachts Weekend, with boutiques open 10 a.m. to 9 p.m. daily and the 34th annual Weihnachts parade at 6 p.m. on Saturday. Lost Buddy Spice’s Original Dry Rub is a recipe that has been passed down and perfected over four generations by Sarah Wilburn’s family. “I can’t take the credit for the family recipe itself, but I can take the credit for getting it out to the public,” said Wilburn, who launched Lost Buddy Spices in June of 2016. “This rub is something that has defined our family meals for my entire life. Family and friends asked for it all the time,

we even gave it out as our wedding favor when we got married 11 years ago. With all that in mind, I decided it was time to share our beloved family spice with the world,” Sarah added. The art of cooking, whether over an open fire or in a cozy kitchen and sharing delicious food with family and friends is what drives Sarah’s desire to share the rub. “Using our Original Dry Rub enhances the flavor of the food that you are already
cooking, making the experience even more enjoyable. And when we say it’s the only rub, you’ll ever need, we mean it.” Wilburn has been friends with local chef, Jared Campbell, for many years. He recently moved back to Boerne, Texas to start his own personal chef business, Your Culinary Experience. “I have been using the Original Dry Rub in my cuisine on just about everything I was making,” said Campbell. From meat to veggies to fish and salads, he appreciated the versatility of the spices on the dishes he was serving up. Although using the rub complimented his cooking, he decided to create another spice mixture to use in conjunction with it. Once he had his blend perfected, he called Sarah to see if she would consider bringing it into the Lost Buddy Spices umbrella, and that’s how their partnership and Garden Salt was born! Sarah had never considered partnering in business prior to Garden Salt, however as soon as she tried it she was hooked! According to Sarah, “I knew it was the perfect compliment to the blend of the Original Dry Rub.” The real value in these spices is that you don’t have to
use only one or the other, they pair amazingly well together in a variety of recipes. More than one of every ten people moving to Texas during the 2020 pandemic year was from California, said an economist with the Texas Real Estate Research Center at Texas A&M University. "The movement of Californians to Texas is not new," said Research Economist Dr. Luis Torres. "In 19 of the last 20 years, California ranked as the top move-to-Texas state. The only exception was Louisiana in 2005 as a result of Hurricane Katrina. The share of Californians relocating to Texas has increased every year since 2011." Florida was the second largest source of new Texans with a 7.2 percent share, less than half the California influx. Rounding out the top five sources were Colorado, Illinois, and Louisiana. International movers were not included in this study. At the county level, the majority of newcomers were from Los Angeles (CA) County, or 3.1 percent of the total migration. “This is not surprising since Los Angeles County is the most populated in California,” said Torres. “Four other Southern Californian counties— San Diego, Orange, Riverside, and San Bernardino—made up the top ten counties with residents moving to Texas. “Contrary to popular belief, the majority of people moving from California are coming from the southern part of the state and not from Silicon Valley, which is farther north,” said Torres.
