ABOUT BRADUTCH Established in the heart of Amsterdam, the Brazilian-Dutch Chamber of Commerce – BRADUTCH is a non-governmental association focused on promoting trade and investments between Brazil and the Netherlands. Since its foundation in 2015, the chamber has enthusiastically devoted its activities into building long-lasting business partnerships between both nations.

Our mission as a chamber is mainly to promote and support trade and investments with the aim of strengthening business ties among Brazilian and Dutch firms and professionals. We endeavor to lead, provide support and influence economic vitality and growth through the exchange of information among parts interested in doing business overseas.

Dear reader, welcome to our first business magazine!

Constantly striving to innovate our operational practices, we accepted the challenge to develop our first online business magazine displaying the most recent projects and activities involving investors from Brazil and the Netherlands. The objective of the magazine’s project is to offer business agents and companies a free, well-structured and up-to-date communication vehicle, highlighting the most recent economic topics and sectors’ trends with the capacity to align business opportunities and overcome constraints of both countries.

This first edition of our online magazine is without a doubt a big step for our concept developers.

Moved by our latent desire to take one-step further towards our vision of becoming an effective and efficient business catalyst channel, we perform our operations by continuously building solid pillars to support a proactive business community between the countries which has inspired us from beginning to end.

In the last few decades, businesses have been confronted with uncountable technological enhancements and advancements leading to inevitable societal changes.

The era of traditional business practices is long gone and that was accountable for the need of a radical shift in business models, strategies and integration processes across a variety of industries and sectors.

At Bradutch, it was not different.

Therefore, exploring innovation, technology and international business opportunities have become the daily core activity at our office. The online presence of Bradutch’s business platform is a clear example of how we continuously adjust the performance of our operations in order to exceed

the expectations of our customers and audience. The platform offers a large set of advantages regarding network development, market information, economic trends and customized consultancy services.

This first online magazine is the outcome of the effective stakeholders’ engagement and collaboration towards data collection, content development and accessibility. Furthermore, parties from both private and public sector have devotedly provided us substantial content and relevant information on their actual crossborders projects and investments.

We hereby would like to take the opportunity to express our sincere gratitude to every single person who took some time from their busy agendas to collaborate, either directly or indirectly, to the production, customization and launching of our magazine.

It is a pleasure to participate in the inaugural edition of the new magazine from Bradutch, the Brazilian Chamber of Commerce in the Netherlands. The Brazilian Embassy is proud to have Bradutch as one of its partners in promoting, diversifying and deepening the reciprocal knowledge between Brazil and the Netherlands in the area of commerce.

Brazil and the Netherlands enjoy a long and mutually beneficial partnership in the economic and commercial aspects of the bilateral relationship. Currently, trade between our countries exceeds ten billion euros, and the Netherlands occupy the first place in direct foreign investment in Brazil, according to data from the Central Bank, considering the criterion of the immediate investor. With more than 200 million inhabitants, Brazil has historically been a large consumer market for Dutch companies and a fertile field for investments in the agricultural, industrial, transport and infrastructure sectors.

The complementarity of the economies can also be observed by the presence of large Brazilian companies with subsidiaries in the Netherlands, several of which concentrate their European operations in this country. It should also be remembered that almost the entire bilateral trade flow and most of the Brazilian trade with Europe transit through the port of Rotterdam, making the Netherlands a unique and privileged partner of Brazil.

Government to consolidate the economic growth are bearing fruit. International trust in Brazil is reflected in the interest shown in the extensive program of reforms begun in 2016. The investment partnerships launched by the Brazilian government offer multiple opportunities - ports, airports, highways, electricity transmission lines and several other initiatives. These are fundamental projects to increase the competitiveness of Brazil, which will generate employment and income, and also guaranteeing better services to the population.

Brazil is also moving towards greater trade and integration with our main partners. The Mercosur - European Union Association Agreement is in the final stages of negotiation, with the expectation that its conclusion can be announced shortly. The conclusion of the Agreement will be an important message to the international community that we are able to overcome protectionist tendencies and provide effective benefits to the populations in both our regions.

The year 2017 was particularly rich for Brazil’s trade promotion activities in the Netherlands. In March, we received the visit of the Governor of Ceará, Camilo Santana, accompanied by an expressive governmental and business delegation. In addition to attending the “Brazil Network Day”, a trade promotion event organized twice a year by the Brazilian Embassy, Governor Santana signed a Memorandum of Understanding between the Ports of Pecém and Rotterdam, which provides for training of human resources and exchange of

experiences in port operations.

In July, the Mayor of Rio de Janeiro, Marcelo Crivella, attended the 2017 Velo-City Conference, the largest urban mobility event in the world dedicated to cycling. Rio de Janeiro will host the conference in 2018. During his stay, Mayor Crivella got acquainted with the work of business incubators, or “startups” in the Netherlands, an experience he intends to take back to the city of Rio de Janeiro.

More recently, we received the visit of our Minister of Transport, Ports and Civil Aviation, Maurício Quintella, who, together with his delegation, presented to Dutch entrepreneurs in the transport, logistics and infrastructure sectors the business and investment opportunities offered by the Investment Partnerships (PPI), in particular with regard to ports and airports.

Finally, in November, the most recent edition of “Brazil Network Day” was attended by the Vice Minister of Agriculture, Livestock and Food Supply, Eumar Novacki, on his second visit to the Netherlands this year, as well as by the Secretary of International Affairs of the state of Santa Catarina, Carlos Adauto Virmond Vieira, and the President of the Federation of Industries of Santa Catarina (FIESC). The meeting brought together around 300 participants, most of them Dutch entrepreneurs interested in business and investment in Brazil.

Trade promotion activities in 2017 also included missions such as those of the Brazilian Association

of Vegetable Oil Industries, the Brazilian Specialty Coffee Association, Agropolo Campinas-Brazil and the Minas Gerais Investment and Foreign Trade Promotion Agency, among others, the accompaniment and advice offered to individual businessmen by the Trade Promotion Sector of the Embassy of Brazil in The Hague.

All these initiatives and projects show the degree of interest in Brazil’s economic-commercial relationship with the Netherlands. I am confident that in 2018, with the consolidation of growth in Brazil, bilateral relations in business and trade promotion, and in all other areas will be even more fruitful for our countries. The Brazilian Embassy in The Hague and Bradutch will continue to work for this.

The aim of Bradutch is to bring together Dutch and Brazilian entrepreneurs and to thereby strengthen the economic ties between the two countries. These ties have already been close – the Netherlands has been among the five biggest investors in Brazil for decades, whereas Brazil supplies one third of the bulk goods for the port of Rotterdam - , however they can be further strengthened.

Fortunately, over the past decade not just big multinational companies from Brazil have been active in the Netherlands but also more and more medium-sized and small(er) companies, often in collaboration with a Dutch partner. The opposite also happens more frequently. For the Dutch, working in Rio de Janeiro is the dream job as the film Weg van jou demonstrates.

The intensity of cooperation between the Netherlands and Brazil is stressed by regular contacts between the different governments, not just at head-of-state-level but also at city level. Thus, the mayors of Rotterdam and Amsterdam visit Brazil regularly and trade missions are also organised on a regular basis. The Port of Rotterdam is active in Brazil, both financially and with know-how.

Therefore, the board has a broad base.

As CEO of Embraer Europe Jorge Ramos de Oliveira Junior knows how it is to be a Brazilian entrepreneur in the Netherlands. Dionaldo Passos and Eduardo Santos work for NeoGrid and KPMG respectively, two global organisations that are active in both Brazil and the Netherlands. As COO of Apex Brasil-Europe, the Brazilian Trade Promotion and Investment Agency, Alex Figueiredo has excellent connections with the government of Brazil.

Hans Mulder is the managing director of Dutcham, the Dutch-Brazilian Chamber of Commerce, the Bradutch equivalent in Brazil, and well-informed of the differences in business culture.

Former minister of foreign affairs, Uri Rosenthal, provides access to the world of international relations and diplomacy. Lastly, I contribute my expertise as a lawyer with regard to setting up and advising foreign companies in the Netherlands.

Challenges for Bradutch One major task for Bradutch will be to assist Brazilian entrepreneurs who intend to become active in the Netherlands, now that the recession in Brazil is over. As a gateway to Europe, the Netherlands has a lot to offer to entrepreneurs from Brazil and vice versa. It is important that the education level in Brazil has significantly increased in recent years.

The Netherlands provides special programmes which make it easier for highly educated people and starting entrepreneurs to become active in the Netherlands. In addition, the new Dutch government plans to make the establishment of foreign companies that intend to qualify as more than letterbox companies financially more attractive.

In addition, Dutch people need to be better informed of the advantages of cooperating with Brazilians.

Currently, the Dutch still have cold feet as stories about political unrest prevail in media coverage. Bradutch may play a significant part in dismantling prejudices and informing entrepreneurs from Brazil about the Dutch culture and way of doing business.

THE DUTCH LOGISTICS

Logistics, a term of Greek origin, means accounting and organization. However, the current meaning we give to logistics stems from the French logistique that emerged with the military in planning the storage, distribution, and maintenance of materials.

Subsequently, its definition became: management, storage and distribution of resources for a given activity.

With globalization, a fast and efficient logistic is essential for ensuring that the handling of a particular product, from obtaining the raw materials for its manufacture to the production and distribution, is properly concluded without

negative impact on the supplier, customer, government and consumers in general.

In this way, it becomes clear that logistics consists of a series of actions necessary to ensure adequate transport, storage, manufacturing and distribution of products to the market. In this context, how can we ensure fast and efficient logistics?

Certainly, we need to consider details such as: language, culture, tax, customs, accounting and other procedures; but as we are talking about dynamism, I understand that technology and infrastructure are fundamental pillars.

The Netherlands are a benchmark in

technology and infrastructure, being recognized as the “Gateway to Europe� because of its strategic location with access, within 24 hours, to the majority of the most lucrative consumer markets in Europe. In the 17th century, Amsterdam already had the largest port in the world.

Even today, despite representing less than 0.5% of the world population, the country has an excellent infrastructure, considering that it is home to one of the largest ports in the world (Rotterdam), has centrally located airports, an extensive network of roads and highways and benefits from a high quality broadband network. Besides

that, the country has an international business climate with around 50% of Dutch GDP derived from foreign trade, with stable policies and economy, high quality of life, various tax incentives and other factors.

Regarding tax incentives, the Dutch system provides several advantages for the establishment of logistics centers in the Netherlands. For example, when importing products to the Netherlands for the European market, companies that store these products can benefit from deferred payment of customs duties (and VAT).

This storage, which can be in a physical or virtual warehouse (concept that segregates the physical input of the product and the financial transaction), can be done for an unlimited period. In other words, customs duties only need to be paid when the goods enter the European market, offering a significant cash flow advantage. Another example is the introduction of numerous simplifications in customs procedures which reduces delays in the release of

goods. In addition to general benefits, there are specific tax agreements with each country. As is the case of the tax exemption on the distribution of dividends and reduction of the tax rate between Brazil and the Netherlands.

On the basis of the above reasoning, it is easy to understand why the Netherlands are one of the main business destinations in the world, known for hosting many holding companies. In addition to the well-known Dutch benefit of exemption from taxations of dividends received from companies based in several countries outside the European Union (making profits made outside the European area non-taxable), the country ensures fast and efficient logistics through its high technology and strong infrastructure, complemented by simplified customs procedures and tax advantages that minimize the impact on the cash flow of companies and, consequently, consumers.

combat deforestation by innovative approaches in agriculture, while generating more profit at the same time 10

Forests in Brazil are under threat. For instance, in the past 50 years, almost one fifth of the famous Amazon forest has been lost. Other forests, including the Atlantic rainforest on the coast, are also under threat. Three quarters of the deforestation occurs to make way for agriculture and livestock farming, which also account for almost one third of the country’s total CO2 emissions. Something clearly has to change, especially now that global demand for food will only continue to rise

and the consequences of climate change make it more difficult for farmers to grow their crops. Therefore WWF Brazil and Rabobank are exploring, in a partnership with farmers, the options available in the wide expanses of the South American landscape to combat deforestation by innovative approaches in agriculture, while generating more profit at the same time.

Rotating agriculture and livestock farming

In Integrated Crop-Livestock-Forest (ICLF) systems, farmers rotate land for both agriculture, such as growing soy or eucalyptus, and livestock farming or forestry activities. In the 90s of the previous century, the first Brazilian farmers took the initial steps with this innovative form of crop rotation. Traditionally, farmers already rotate crops on their land in winter and in summer. For instance, they may grow soy beans in winter and corn in summer, on the same land. Letting livestock graze instead of growing the second crop hugely increases yields and far fewer investments are required, for instance in artificial fertilisers. Owing to the livestock and their fertilisation, new nutrients enter the soil, which in turn improves both pastures and animal health. The more productive soil makes the crops more resilient in the face of the emerging consequences of climate change, such as irregular rains and droughts.

Six times less land required That this system is effective is evident from a joint study that Rabobank and WWF Brazil carried out as part of their partnership with the farmers. While the yield of ICLF systems may be the same as from regular agriculture, six times less land is required to achieve it. This reduces the pressure entailed by demand for new production areas, and thus helps to combat deforestation. This system also offers economic benefits for the farmers.

They do not have to maintain as much land and can invest less in herbicides and pesticides. On top of this, farmers also contribute to reducing greenhouse gas emissions.

ICLF systems are often used by livestock farmers, who introduce crops such as rice, soy and corn on the pastures in order to increase their productivity. But growing numbers of agricultural farms are also letting livestock graze on their fields.

Productivity One of those is the Gazarini Group, a family business in the Central-West Region of Brazil, which has already been working with Rabobank for around ten years. The business grows grain, soy beans, barley, beans and corn on a large plot of land, of 4,000 hectares. Caroline Gazarini, daughter of the founder and since recently also active in the family business, discusses

how ICLF has improved the productivity of its business operations. “Do we let plots of land lie idle after the harvest, or can more be done with them? That is why we started, around ten years ago, to let livestock graze on plots of agricultural land after harvesting. The aim was to improve our productivity. After harvesting corn, we replaced the soil with grass so we could let livestock graze on it. Thanks to this system, our operations are now diversified, which reduces our business risks. At the same time, productivity is increased and the soil no longer becomes depleted as its use changes continually. This in turn means our crops are affected by fewer illnesses and plagues and we can reduce the use of pesticides. And importantly: we can produce without having to cut down forests. We continually re-use our own plots of land. There are many forests around our farm. They are a nature reserve and are protected by law.�

Rabobank Brazil added information on sustainable water management, the application of the forest code and the farmers’ 10 best sustainability practices to its CSR manual

As one of the front-runners in the field of sustainability, the Gazarini Group has taken things even further. For instance, besides deploying more sustainable agricultural systems, it sources all the required energy for the grain silos and storehouses from solar energy, having installed its own solar panels. As a result, the Gazarini Group is one of the first agricultural businesses in Brazil that is virtually self-sufficient for its energy. “We often receive visits from other farmers who want to see this for themselves, because they want to do the same,” says Gazarini. “Our solar panel system generates 1240 kW of clean electricity every day. This powers not only the silos but is also enough to supply electricity to all our employees’ houses as well as our own home in Jatai, where we live. Which is a good thing, given the problems with the distribution of energy that are a regular occurrence in Brazil.

Thanks to this solution we no longer depend on this.”

The Gazarini Group is continually pursuing further improvements. For example, it is working on better processing of byproducts and waste from silos, which in turn is used as animal feed, for instance.

It is using technology and GPS to work on more efficient agriculture, for instance to ensure that less seed is lost while sowing.

“And we also want to do more to advance the reforestation of the land around the sources of small rivers. These are often already protected areas, but we want to improve this even further.”

Partnership Besides exploring the use of the ICLF systems, in part by carrying out research, the partnership between WWF Brazil, Rabobank and farmers comprises further elements. Thus Rabobank Brazil added information on sustainable water management, the application of the forest code (the Brazilian act intended to combat deforestation of the Amazon), and farmers’ 10 best sustainability practices to its CSR manual. The bank has agreed with each customer that the latter will set up their business operations in accordance with this CSR manual.

Advertorials on sustainable land use have been placed in conjunction with the agricultural specialist publication Globo in their magazine and farmers who are frontrunners in sustainable business practices have won the Globo Award.

WWF Brazil also held a workshop on the 10 best sustainability practices during the Sustainability Field Day. This day, in which 100 farmers participated, was hosted at the Gazarini Group’s farm.

- BRADUTCH: Let’s start quoting one of the most inspirational words under the entrepreneurial perspective of Mr. Ozires Silver, founder of Embraer: “with competence, we are able to deal with global competition”; how would you describe the role of Embraer, as one of the biggest such as Boeing and Airbus, having Europe as its main current market?

Since it was founded in 1969, Embraer has delivered more than 8,000 aircraft. About every 10 seconds an aircraft manufactured

by Embraer takes off somewhere in the world, transporting over 145 million passengers a year. In July, the current family of E-Jets commercial aircraft accomplished the impressive milestone of 1 billion passengers transported worldwide since entry into service.

- JORGE RAMOS: From humble beginnings in 1969, Embraer was often dismissed as trying to achieve an impossible dream.

How could a company from a country without even a car industry realistically hope to develop an aircraft industry and compete on the world stage? Now, nearly 50 years, our company has the respect of both our customers and industry peers – no more will you here our aircraft referred to as ‘jungle jets’. Having one hundred operators across 60 countries speaks for itself.

Embraer is the leading manufacturer of commercial jets up to 150 seats. The company maintains industrial units, offices, service and parts distribution centers, among other activities, across the Americas, Africa, Asia and Europe.

How has Embraer achieved this ‘impossible dream’? Through hard work and determination, just as with all business ventures. Our commitment remains the same today as it was in 1969, we live for the challenge.

BRADUTCH spoke with Mr. Jorge Ramos de Oliveira Junior, the President of Embraer in Europe, Middle East and Africa

Europe is a very important region for Embraer, it accounts for around 18% of our sales, but also a similar percentage of our global supply chain is from Europe. You just need to look at airports such as Schiphol and London City to see Embraer aircraft connecting businesses and families across the region. At London City for example, nearly 50% of all aircraft movements are Embraer aircraft. And KLM is our largest customer in Europe with 49 E-Jets currently in service.

- BRADUTCH: How did you perceive the closing deal for Embraer being chosen as the one for KLM fleet replacement, literally the Royal Dutch Airlines, especially when it was supposed to take the place of the Dutch legendary Anthony Fokker?

- JORGE RAMOS: KLM is a hugely important customer for Embraer – in fact I would say partner, as our relationship needs to be almost symbiotic to achieve the goals we have set. Fleet replacement is difficult task at the best of times – a seamless transition must be the goal, but it requires retraining for pilots, cabin crew, engineers and so on, not just the on time delivery of new aircraft. With KLM however, the task was conducted under the pressure of replacing the much loved Fokker aircraft that’s actually native to the Netherlands. Getting this wrong was not an option. It was just a few days ago now that KLM retired their last Fokker, and the airline and it’s passengers are pleased with the performance and comfort of our E-Jets. To some this has looked easy, but I can assure you the level of work and the hours that went into getting this right are unimaginable. Of course this is why we were chosen by Austrian

Airlines and TAP for their fleet renewal, and we begin with Wideroe in April, this time with the first of our new generation of aircraft the E2.

- BRADUTCH: Being among global giants in aviation, contributing therefore to the environmental impact caused by the massive expansion of global air traffic, how would you describe Embraer’s responsibility role in the current global focus on sustainability, especially on environmental issues?

- JORGE RAMOS: Embraer is very conscious of the aviation environmental impact, not only from the emissions of our aircrafts, but also during the whole manufacturing processes, and indeed in all aspects of our operations. We fully support the initiatives from ICAO and IPCC to reduce the environmental impact of global aviation. Our new generation of aircraft, known as the E2 family are up to 24% more fuel efficient due to innovations in engines, wing technology, and flight control systems. We have also worked in partnership with companies like Boeing to further develop the use of bio fuels, and we are actively looking into electric and hybrid technologies. One thing you learn quickly about Embraer is that we never stand still.

DUTCH ANTI-ABUSE LEGISLATION TO TARGET BRAZILIAN INTEREST PAYMENT ON NET EQUITY

Due to changes to European legislation, the Dutch taxation of hybrid equity payments has changed. Hereafter we will review the impact of the changed Dutch taxation of the Brazilian interest payment on net equity (Juros sobre o capital próprio in Brazilian, hereafter referred to as “IPoNE”).

Brazilian law As of 1995, Brazil promotes financing Brazilian companies with equity by means of the IPoNE. The IPoNE is an actual payment (or payment which is recognized as a future payment obligation) which is deductible from the taxable profit of the Brazilian company and taxed with 15% Brazilian withholding tax. The maximum IPoNE deduction is limited to: 1. - The applicable long term interest rate published by the Brazilian Central Bank applied to the equity of the Brazilian company; and 2. - The maximum of either (i) 50% of the annual profit or (ii) 50% of the retained earnings.

New Dutch legislation Before the changes to the European Parent-Subsidiary Directive, the Dutch participation exemption ruled that qualifying payments received by a Dutch parent from a subsidiary, out of the equity of the subsidiary (such as dividend), are exempted from Dutch corporate income taxation. As a consequence of the mandatory implementation of the changed European Parent-Subsidiary Directive, the Dutch participation exemption has changed as of 1 January 2016. After the changes, any payments or remunerations received by the Dutch shareholder are denied from the Dutch participation exemption (and thereby effectively taxed) in case they can legally or effectively (i.e. deductible by nature, de facto deduction is not required), directly or indirectly be deducted from a profit based tax at the level of the paying participation.

Dutch-Brazilian tax treaty To prevent double taxation, the Netherlands and Brazil have concluded a tax treaty for the prevention of double taxation in 1990. Under the application of this tax treaty, it is important to determine whether the IPoNE is deemed to be a dividend - or an interest payment.

Although the tax treaty itself is not clear on whether the IPoNE should be taxed as dividend - or interest payment, it is most likely that the payment is taxed as dividend. Please note that the qualification as dividend - or interest payment does not lower the Brazilian withholding tax of 15%, this distinction is only important for the prevention of double taxation the Netherlands provides.

Prevention of double taxation tax sparing-credit Based on the tax treaty, as explained above, Brazil is allowed to levy 15% withholding tax on a IPoNE to a Dutch shareholder company. In order to prevent double taxation of the IPoNE, the Netherlands agreed in the tax treaty that the Netherlands will provide a credit of the lowest of either: • The actual Brazilian withholding tax paid; or • 25% of the net dividend.

With regard to the first limit, the tax treaty has a special paragraph which is called the tax sparing-credit. Based on this tax sparing-credit, any dividend payments out of Brazil are deemed to be taxed at 25% (or 20% in case the Dutch shareholder holds less than 10% of the equity of the Brazilian company) and any interest payments are deemed to be taxed at 20%. Thanks to this tax sparing-credit, the Netherlands will unilaterally provide a credit against the Dutch taxable profit which is higher than the actual Brazilian withholding tax paid of 15%. Please note that, as already explained above, the importance of distinction between categorizing the IPoNE as a

dividend or interest payment becomes clear in light of the different tax sparingcredit percentages (25% for most of the dividends or 20% of interest payments).

Impact of new Dutch legislation on tax sparring-credit Before the new Dutch legislation which changed the Dutch participation exemption, it was irrelevant for the Dutch taxation whether the IPoNE was reported as gross income or as net income (after deduction of either the actually withheld 15% Brazilian withholding tax or the 25% tax sparing-credit) because the income was exempted from Dutch taxation whatsoever.

there might be other factors to take into account to determine whether you should restructure the financing of the Brazilian subsidiary (such as the benefit of debt financing in case of liquidation and chances of legislation changes of the IPoNE in Brazil as proposed in 2016). After the new Dutch legislation which changed the Dutch participation exemption, the gross income will be included into the taxable profit and taxable with 20%/25% Dutch corporate income tax (20% for the first EUR 200,000 of taxable profit and the surplus is taxed at 25%). To prevent double taxation, the Netherlands will provide a tax sparing-credit of 25% (provided that the IPoNE is deemed to be a dividend payment) which effectively fully compensates the maximum 25% Dutch corporate income tax.

Conclusion Because of the new Dutch legislation, IPoNE in combination with the tax sparringcredit results in a non-taxable income in the Netherlands which is deductible in Brazil. However, after the new Dutch legislation, there is no longer a true incentive for Dutch companies to finance their Brazilian subsidiaries with equity over debt from a Dutch tax perspective. Due to the elimination of the incentive for equity financing from a Dutch perspective, the new Dutch legislation effectively makes the Brazilian aim of promoting equity financing through the IPoNE obsolete. Nevertheless on the upside, the new Dutch legislation does not increase the Dutch taxation.

PORT’s MoU PÉCEM - ROTTERDAM CREATING BUSINESS OPPORTUNITIES photos: Pollyane dos Reis

With a total length of approximately 42 kilometers, the Port of Rotterdam in the Netherlands (PoR) - one of the world’s biggest and busiest - has recently signed a Memorandum of Understanding (MoU) with the Brazilian State of Ceará, with the purpose to perform studies, discussions and negotiations to foster a cooperation towards the formation of the joint venture Industrial Port Complex of Pecém (CIPP).

Located in a strategic area considerated to be the gateway of the European inland waterways network, the PoR is the largest of the continent and ideal for the transshipment of all sorts of cargos.

To support the massive volume of its cargo, the port offers well-structured and extensive intermodal transportation network of rails, inland shipping’s, roads,

short sea and pipelines to all the best possible connections to the rest of Europe.

The port’s commercial relations with Brazil has a long and solid time line in history.

Approximately 30 million tons of cargo are yearly transported between Brazil and the Netherlands, having iron ore as the major cargo type. While also engaged in the development of other Brazilian ports, for instance Porto Central in Vitória, Espírito Santos, PoR is globally known for its investments on creating opportunities for ports abroad with promising perspective for growth.

Among the Brazilian cargos shipped to PoR there are oil products, basic chemical products, fresh fruit, fruit juices, meat, car parts and others. With rich natural resources and progressive development

in infrastructure, Brazil offers, through its ports, a great business potential in the arena of international trade. The fact has certainly caught the eyes of PoR, operating in Brazil since 2010, when asked by the country’s federal government to advice on strategic studies into remodeling the Brazilian port sector covered by more than 30 public ports along 8.000 kilometers of coastline.

The MoU with the Industrial Port Complex of Pecém, located 50 km close to the capital, Fortaleza is seen as a big step towards bilateral cooperation between both countries. Fortaleza is the fifth largest city of Brazil and is one of the fastest growing economically due to progressive public and private, national and international investments. CIPP is

a brownfield port which had in 2016 a throughput of 11 million tons of mainly coal, iron ore, containers, and LNG. It encompasses a robust industry in various segments such as steel, oil, shipping and cement, in a well-established structure fully operating for about ten years, capable to serve as framework for many other industries.

The Port of Rotterdam Authority for Foreign Policy outlines the consistence and subsequent commitment involved in the MoU. PoR has built its expertise in partnerships as has been proven by successful joint ventures for the development and management of SOHAR Port & Freezone in the Sultanate of Oman, Porto Central in Brazil and Kuala Tanjung in Indonesia. Furthermore, it is active in multiple ports as advisor. In 2016, the

subsidiary companies in Oman, Brazil and Indonesia contributed with more than 8.9 million euros to the financial result of the Port of Rotterdam.

Supply Chain & Logistics is nowadays accountable for a massive portion in the success of businesses operations in global trade agreements. Partnerships of ports can therefore bring along a set of advantages and great economic value for trade between countries, in this specific case to the Netherland and to Brazil. It is important to mention that the structure necessary to support international transportation services offered by ports is extremely complex and depends heavily on domestic infrastructure scenarios.

On the Brazilian side, with around 1600 unfinished projects and going through a

delicate political phase, the financing for infrastructure in the country has been dominated by the Brazilian Development Bank (BNDES) and its subsidized loans are expected to decrease according to changes in congress legislation.

However, recent publications illustrate that the Brazilian Government has been reinforcing partnerships for investments in infrastructure. As said by the Ministry of Planning, Budget and Management early this year, Brazil has invested in 2016 R$ 42 billion in infrastructure projects.

Moreover, provisional measures for concessions are being in course under the Investment Partnership Programme (IPP) to boost investors’ confidence, and not only to strengthen domestic public and private partnerships, but also to extend the country’s infrastructure attractiveness to

increase the level of certainty for foreign investors to apply their capital in higherquality projects in Brazil.

Clearly, more alliances between PublicPrivate Partnerships are essential for further development to create potential business opportunities. As market trends are to a certain extent substantially unpredictable, projects guide lined by partnerships are to foster a greater exchange of knowledge and technology to build concise strategies capable of minimizing uncertainties. Therefore, taking into consideration the different current scenarios in both countries, the MoU between PoR and CIPP represents

a positive outlook by which global trade agents can be inspired. It has the potential to generate great value for the economic activities between the Netherlands and Brazil, consequently bringing advantages to all kind of players in their international business achievements.

In Brazil, Rabobank has been expanding its portfolio of investments focused on offering products and financial solutions to rural producers through its banking branches present in the country’s main agricultural economic areas. With a

Among the products offered, the bank finances projects from the purchase of land, crop planning and infrastructure expansion, with the differential of also giving support in the expansion of its client’s agribusiness knowledge as well as in the expansion of the network between producers and buyers . Under the latter, Rabobank, engaged in one of its most recent projects to boost the Brazilian market of coffee production, organized a business mission to Utrecht in the Netherlands, bringing Brazilian farmers to a network event called “From Farm to Cup”.

BRADUCTH was present at the event and had the opportunity to interview Mr. Berry Martin, Rabobank’s executive director and one of the mission’s organizer. In his opinion, “Brazil produces the best coffee in the world and the main idea was to bring Brazilian producers to get closer acquaintance to their customers in the Dutch market. With a current production of approximately 8 million bags of special coffee, known as “gourmet coffee,” Brazil is still below its potential, and can undoubtedly double that production value,

increasing its share in the global coffee market. “ From the Brazilian perspective, the Superintendent of the “Federation of Coffee Producers of the Cerrado”, Mr. Juliano Tarabal, said that the presence of Brazilian producers and representatives of the sector in this Rabobank initiative was very productive since it allowed the creation of closer relationships between Brazilian producers and their international buyers. Through visits to Dutch roasters ‘site, rounds of business discussions, and the presentation, followed by the tasting of the Brazilian coffee in the event, the mission has consequently allowed the generation of businesses between the two countries.

FORMING A COMPANY IN THE NETHERLANDS THE NETHERLANDS IS A PERFECT BUSINESS LOCATION FOR FOREIGN ENTREPRENEURS (2,000 SUBSIDIARIES IN AMSTERDAM, 140,000 JOBS).

Incorporating a Dutch entity The most common business entities in the Netherlands are the Besloten Vennootschap (BV: private company with limited liability) and the Naamloze Vennootschap (NV: public limited company). Both entities have legal personality, issue shares and provide limited liability for their shareholders. The main difference between NVs and BVs is that a BV can only issue registered shares, whereas as NV can issue both registered and (freely transferable) bearer shares. For this reason, only the shares of an NV can be listed on a stock exchange. Another important difference is the paid-in capital: a BV can be incorporated with a paid-in capital of only EUR 0.01. The incorporation of a NV requires a paid-in capital of EUR 45,000.

It is the gateway to densely populated Western Europe and has a well-developed logistic and technical infrastructure. The highly skilled, multilingual and flexible work force, its favorable tax regulations for businesses, its stable political climate and its high standard of living make the Netherlands the ideal place to start a business.

Dutch law is based on the continental European civil law tradition and is – the Netherlands being a founding member of the European Union – highly influenced by the laws of the European Union. This means that the law is mostly written, but one should not underestimate the relevance of case law. Since the Dutch Civil Code dates from 1992 and is updated frequently with new case law, the Dutch law has an advanced legal system.

The first step in the incorporation process of a BV or NV is to draw up a deed of incorporation. The deed of incorporation is drawn up by a civil notary and includes the (initial) articles of association. The (minimum) costs for these deeds are approximately EUR 900 – EUR 1,050 (excluding 19 percent VAT and dues) for a standard entity and depending on the number of shareholders. The articles of association contain the regulations regarding the (internal) organization of the company and, among other things, the name and the purpose of the company.

After the execution of the deed of incorporation and the fulfilment of the abovementioned minimum capital requirements, the BV or NV can be registered with the Chamber of Commerce.

This registration finalizes the incorporation procedure.

Before the incorporation procedure is finalized however, a BV or NV can already do business independently. In that case, the BV or NV has to register with the Chamber of Commerce as a “company in the process of incorporation.� After the incorporation procedure has been finalized, the BV or NV will be able to confirm the transactions made during the process of incorporation. Without that confirmation the founders or the first directors appointed in the articles of the BV or NV are jointly and severally liable for potential damage arising from these transactions.

Finally, it is recommended to conduct a trade name search before the final registration of the new BV or NV. Because of intellectual property regulations, an earlier registration of the same or a similar trade name could result in having to change the name of the newly established company. This, of course, would not be a good start.

Structure of BVs and NVs BVs and NVs have similar structures.

However, the rules on BVs are less complex and provide more flexibility.

In this paragraph, the main powers and responsibilities of the different bodies within a BV or NV will be discussed.

Shareholders and the general meeting of shareholders The shareholders are the owners of the company. For that reason all major decisions regarding the NV have to be taken or approved by the general meeting of shareholders (hereinafter: general meeting). Major decisions include, for example: amendments to the articles of association or issuing new shares.

Shareholders have the right to vote in the general meeting. If they own at least 1 percent of the shares, they have the right to put items on the agenda of the general meeting. Other important rights of the general meeting include approving or dismissing of the company’s financial statements and having the power to

appoint and dismiss directors of the management board.

The articles of a BV may stipulate that a body of the company (for instance, the general meeting of shareholders) has the power to bindingly instruct the management board. However, if the aforementioned instruction conflicts with the interests of the BV, the management board may decide otherwise.

Management board The primary responsibilities of the management board of both BV and NV are: the proper management of the company and the timely and accurate drawing up of its financial statements.

The management board is in charge of determining the strategy and the (external) representation of the company. In this capacity, the management board and its individual members are authorized to bind the company. To what extent they are collectively or individually authorized to do so is often specified in the articles of association. Therefore, it is recommended to verify, prior to a transaction, whether a particular member is actually authorized to bind the company.

If a member of the management board has a conflict of interest with respect to a certain transaction, he or she is not allowed to participate in the decision-making process. In case the entire management board has a conflict of interest, the decision has to be taken by the general meeting, or, if existing, by the supervisory board or the non-executive directors, unless otherwise stipulated in the articles of association.

Supervisory board and non-executive directors Dutch corporate law is known for its two-tier management system wherein supervisory directors take seat in a separate body, the supervisory board.

Although BVs and NVs are only obliged in specific cases (i.e. when the BV or NV qualifies as a structuurvennootschap) to install a supervisory board, many entities do (voluntarily) have one. The supervisory board oversees and advises the management board independently and actively. The supervisory board is usually appointed by the general meeting of shareholders. Nowadays, a BV or NV can also opt for a “one-tier board model� consisting of only one board (thus no supervisory board) with both executive and non-executive directors.

Participation of employees An entrepreneur who has 50 or more employees is obliged to establish a works council. The employees can participate in the decision-making process of the company through this works council.

According to the law it has, depending on the subject at issue, the following rights: 1. the right to render advice, 2. the right of approval, and, 3. the right of information, consultation and initiative.

Financial statements and annual report Every year, both BV and NV have to disclose their financial statements (jaarrekening). The financial statements of big and medium-sized companies are presented to the shareholders in an annual report (jaarverslag). APEX - BRASIL AND THE EUROPEAN UNION DELEGATION IN BRAZIL LAUNCH BILATERAL INVESTMENT MAP The Brazilian Trade and Investment Promotion Agency (Apex-Brasil) and the European Union Delegation in Brazil launched the “Bilateral Investment Map: Brazil – European Union” in September.

The document gathers official data and information on announced foreign direct investments, with the recent investment relationship between the country and the European Union.

The analysis of investments made between 2006 and 2015 evidence that Brazil and the European Union have a long business relationship, with robust bilateral investments in sectors such as mining, agribusiness, and value-added goods and services.

Brazil stands out in comparison with other BRICS economies

In 2015, the European Union’s FDI stock in Brazil reached € 327.1 bn. Thus, in terms of FDI stock originating in the European bloc, Brazil was the third destination outside the European Union (behind the United States and Switzerland) and the first among BRICS and Latin American countries. In addition, Brazil’s economy represented 48.5% of total European FDI in Latin America, and 81% in Mercosur.

The map also shows that Brazil stands out in comparison with other BRICS economies.

The stock of FDI from the EU in Brazil was 1.14 times greater than in China (including Hong Kong), 1.9 times greater than in Russia, 4.2

times greater than in South Africa and about 6.4 times greater than in India.

For the president of Apex-Brasil, Roberto Jaguaribe, European investment in Brazil is highly significant, which is an indicator of the wealthy relationship between the country and Europe as a whole. “Brazil has a traditional relationship with the European Union, as we have received investments from Europe since the XIX century. The study shows that 55% of foreign investments in Brazil by 2015 came from Europe, and that we received 50% of European investments in Latin America”, says Jaguaribe.

Beyond demonstrating the extent of economic integration between the two regions, the study offers inputs for public policy formulators seeking to foster the relations between Brazil and the European Union, aimed at promoting the economic development of both through innovation, environmental sustainability, and job generation. The publication also seeks to help investors with information that is useful for their investment strategies.

The EU Head of Delegation in Brazil, João Gomes Cravinho, believes that the Investment Map will be very helpful to subsidize public policies and entrepreneurial decisions, as an unprecedented tool to assess the investment relations between Brazil and the European Union.

“The study clearly shows there is a rich, complex economic relationship and the possibilities of deepening this relationship even further. One of the study’s merits – which will certainly surprise many people – is to show that Brazil is also a great investor in Europe. It is a balanced relationship that provides a favorable environment for a trade agreement” evaluates Cravinho.

THE NEGOTIATIONS BETWEEN MERCOSUR AND THE EUROPEAN UNION FOR AN ASSOCIATION AGREEMENT FIND THEMSELVES AT A CRUCIAL STAGE, PERHAPS NEVER WITNESSED BEFORE.

A number of factors, domestic, regional as well as global, account for the increased importance of this agreement, not only for the Parties themselves, but also from a broader, systemic perspective.

In order to explain the broader significance of what is involved in the MERCOSUR-EU negotiations, I should like to make the following points in this article: 1) Brazil and the EU have a common interest in the proper functioning of the global economic order at this moment of crucial challenges. Both actors should aim at improving this order to face current and

new challenges; 2) The deep and intense economic ties that unite Brazil and the EU are not a given.

They have been built over the years. This means both sides need to invest in this partnership if it is to retain its value for Brazil and the EU; 3) An EU-MERCOSUR Association Agreement – presently being negotiated – could ensure that our bilateral relations remain solid going forward.

How can Brazil and the EU work together in enhancing the international economic order.

The international order established in the aftermath of World War II and after the end of the Cold War faces challenges of considerable magnitude. These challenges come from the top, from actors that question the relevance of the international order but also from below, from segments of society that believe that opening up to more international integration leads to unemployment, loss of their living standards and environmental degradation.

This is a defining moment when actors should join forces to preserve – and possibly improve – the institutions and rules in order to ensure stability and prosperity and overcoming disparities and vulnerabilities. This is also the moment to make the case for multilateralism.

Brazil and the EU have a strong track record of defending the rules-based economic order. We see the value it has in ultimately improving people’s lives, and providing tools to promote sustainable development.

Our bilateral collaboration permitted the adoption of ground-breaking decisions such as the one that calls for fully eliminating the export agricultural subsidies, during the WTO Nairobi Ministerial Conference, in 2015.

Brazil and the EU are also working together to ensure a successful WTO Conference in Buenos Aires, next December. In the lead up to Buenos Aires, we have submitted a proposal to discipline domestic support

for farmers, thus avoiding distortions in international trade. In short, Brazil and the EU converge on a number of areas that need to be addressed by the global trade regime in order to make it work for all.

But we also share a number of deeper values, which underpin – or should underpin – international trade. For instance, Brazil joined Argentina and the EU, at the UN General Assembly this year, to endorse a proposal to end trade in goods used in torture and capital punishment.

Economic integration and openness have benefitted both Brazil and Europe. The following facts and figures may sound counter-intuitive, but they reveal just how dense the economic relations between Brazil and the EU are: - Brazil is the 5th largest investor in the EU. Our stock of investment in Europe (EUR 127 billion) is larger than that of China.

- Brazilian companies generate jobs and innovation in the EU in a number of ways, such as through the manufacture of airplanes and engines.

- The EU is the largest investor in Brazil, with a stock of EUR 327 billion.

- Last year, Brazil was the main destination for the EU’s global investment flows (EUR 33 billion). This is no mean feat, as the EU is the largest investor in the world.

THE BRAZILIAN ECONOMY IS GROWING AGAIN

Brazil and the EU’s convergent views on the global economic order draw on this deep integration between our economies and societies. These are just some of the reasons why Brazil and the EU are strategic partners. It is a partnership between two global actors, which in 2017 celebrates its tenth anniversary. But this partnership is the result of a joint and continuous construction over the years.

It was not a given. In order to remain at this dense level, constant investment is required. At this defining moment of global rearrangements at many levels, it is our responsibility to preserve the acquis of the Brazil-EU relations.

And here is where geopolitics – or perhaps more appropriately, geoeconomics – comes in. A number of ongoing shifts – at the local, regional and global levels – may affect how Brazil interacts with the global economy in the near future. These shifts might also have an impact on Brazil-EU economic relations.

After two years of deep recession, the Brazilian economy is growing again.

Inflation is around 3% a year, interest rates are at their lowest mark in years (7.25%), the unemployment rate has stopped to rise and new jobs are being created. These signs have led financial institutions to revise Brazil’s growth rate for 2018 to 2.5% or even higher. Foreign reserves closed at US$ 381.2 billion at the end of September.

At the domestic level, Brazil is currently

implementing much needed reforms aimed at putting in place conditions for economic growth and competitiveness.

Ultimately, these reforms seek to provide, in a sustainable manner, jobs, education and decent living standards for the Brazilian people. The benefits of this recovery go beyond our borders: they also benefit the societies and the economies of our partners in MERCOSUR – Argentina, Paraguay and Uruguay.

Brazil has traditionally ranked as one of the top 10 destinations for foreign investment in the world. But, with the measures being put in place, the investment flow to Brazil, in 2017, is expected to reach a very significant volume, with estimates ranging around US$ 80 billion.

Some of the measures already being put in place – such as concessions for infrastructure – will lead to an increased internationalization of the Brazilian economy. Earlier in 2017, for instance, hydropower generation plants have been granted to companies from China and France. Furthermore, also in 2017, bids for 4 airports were won by operators from France, Germany and Switzerland.

On the trade front, in 2017 China became our number 1 trading partner. This means the EU – which has traditionally held this place – is now in second place. And this seems to be a trend that will only intensify, since the gap in trade volume between

Brazil and China and Brazil and the EU is already sizable.

Also on trade, along with the MERCOSUR countries, Brazil has begun negotiating a trade agreement with EFTA (Iceland, Liechtenstein, Norway and Switzerland).

Mercosul and Canada announced recently the decision to advance their joint scoping exercise, with a view to possible negotiations on free trade. We are also working to expand our Preferential Trade Agreement with India from 500 tariff lines to 1000 lines.

In Latin America, MERCOSUR has increased its collaboration with the Pacific Alliance countries (Chile, Colombia, Mexico & Peru), in a movement that will further contribute to the economic integration of the region. Some results are already visible, such as the agreements on services and investments that Brazil has signed with Chile, Colombia and Peru. We are also working with Mexico to enlarge the scope of our free trade agreement. In fact, by 2019 most of the South American region will become a virtual free trade area, as a result of the network of trade agreements signed under the ALADI – the Latin American Integration Association.

Finally, but no less important, Brazil has presented its bid for accession to the OECD. This process, when completed, should induce impacts at different levels for Brazil – and for the global economy.

All these events are likely to challenge the relative economic position the EU currently enjoys in Brazil. Now is the moment to make decisions that will influence the structure of our economic relations in the future.

We have a unique opportunity to act, as MERCOSUR and the EU approach a crucial stage in the negotiations for an Association Agreement.

This is one of the largest ongoing trade negotiations in the world today, with a combined GDP of approximately US$ 19 trillion and a market of 750 million people.

Among the EU trade negotiations, as the President of the European Commission recently put it, the negotiation between EU and MERCOSUR is four times the agreement reached by the EU with Japan and eight times the CETA with Canada.

But these are not the only features that make the EU-MERCOSUR agreement unique. This agreement could not only grant the EU a first-mover advantage to access the goods market of MERCOSUR, but also pave the way for European companies to provide services and participate in public procurement in the MERCOSUR countries. This is not a minor consideration: in Brazil alone, public procurement at the federal level is estimated to correspond to 8% of our GDP – that is, 8% of US$ 1.8 trillion.

In 2016, despite the crisis, e-commerce in Brazil increased by more than 7% to sales that reached around EUR 12 billion to 48 million consumers, nearly a quarter of Brazil’s population. Furthermore, since most of the major European economic operators are already present in Brazil, this trade agreement will perhaps have a more palpable effect on small-scale economic actors.

These actors will be able to access the MERCOSUR market on better competitive

terms with the removal of tariffs and the establishment of mutually agreed trade rules. They, therefore, stand to gain much.

This negotiation can make a lot of economic sense, if both sides succeed in achieving a comprehensive, ambitious and balanced agreement. But it also makes sense from a strategic perspective, for Brazil, for MERCOSUR and for the EU. In order to achieve this, we must make progress also on the issue of agriculture.

On this issue, the ball is squarely in the EU court. Its offer on market access for agriculture goods of interest to MERCOSUR is, so far, out of step with the opening the EU expects from MERCOSUR in industrial goods, IPRs, services, public procurement and other disciplines.

In a way, the agreement is an insurance policy aimed at preserving what Brazil and the EU have built together over the years.

But its success depends on determination and political will on both sides of the Atlantic.

The choices we make in the next few months will shape the future of our societies. We must put aside complacency and seize the opportunity to build a better future together.

THE EMBASSY OF BRAZIL IN THE HAGUE & ITS FAMOUS BND - BRAZIL NETWORK DAY

Already in its 13th edition, the “Brazil Network Day” - BND - is a business meeting for the promotion of the bilateral trade between Brazil and the Netherlands, organized twice a year by the Embassy of Brazil in The Hague. The event attracts an audience of about 300 participants, representing the public and the private sectors, mostly Dutch entrepreneurs with investments in Brazil and Brazilians with ventures in the Netherlands.

Contributing to the success of each BND, the Brazilian Embassy counts on crucial supports as from the Brazilian Agency for the Promotion of Exports and Investments (ApexBrasil), the City Hall of the Dutch city where the event is being held, and the partners always present in each edition, for example Rabobank, Baker McKenzie, CBMM and TAP Air Portugal.

Each issue focuses on a particular economic sector of common interest to both countries; it highlights the attractiveness and opportunities for

commercial cooperation, and usually receives a Brazilian delegation on a business mission in the Netherlands.

Each delegation brings the political representation of a Brazilian state, usually with the presence of the State Governor and his international business advisory board, as well as representatives of Industries’ Federations and entrepreneurs of the emphasized sector.

The BND held in March 2017 was attended by the Governor of the State of Ceará, Mr. Camilo Santana, accompanied by a delegation composed of, among other authorities, Mr. Beto Studart, President of FIEC, Mr. Danilo Serpa, President of Porto of Pecém and investors and entrepreneurs from Ceará. An important and integral part of the objectives of the mission was the signing of a “Memorandum of Understanding” between the Port of Rotterdam and the Industrial Complex of the Port of Pecém.

The most recent BND in November 2017 in Utrecht focuses on Brazilian agribusiness and brings high expectations regarding lucrative trade cooperation between Brazil and the Netherlands. Considering the current context of expectations about a possible Mercosur - European Union agreement, this BND has the essential support of Rabobank, and receives the distinguished presence of Mr. Eumar Novacki, Executive Secretary of the Brazilian Ministry of Agriculture (MAPA) and Mr. Alexandre Pontes, Director of the MAPA’s Secretariat for International Relations; Mr. Carlos Adauto and Mr. Guilherme Marques of the Government of the State of Santa Catarina; Mr. Glauco Côrte and Mr. Mário Cezar of the Federation of Industries of the State of Santa Catarina (FIESC).

Global climate changes are progressively capturing the attention of authorities and society on an international scale.

Since the Paris climate conference (COP21) in 2015, nations engaged in the first-ever legally binding global climate arrangement. Countries across the globe are openly showing their interests and ambitions to reduce the CO2 emissions, which consequently results in a stronger international cooperation.

The Netherlands and Brazil signed the agreement and are developing policies regarding the climate change issue. The Netherlands, for instance, is endeavoring to become the front-runner by encouraging domestic economic activities based on fossil resources to switch into operational processes that use more biomass and/ or other sustainable resources such as

solar and wind energy. Solid ties with the agricultural and the chemical industries can provide the Netherlands the essential ingredients to turn this ambition into a tangible achievement. Brazil, with its tropical climate, has been presenting many opportunities and alternative resources to offer. The country is striving to become the first world’s CO2 neutral nation, and according to a recent study supervised

by Harvard University, the country has indeed the potential to do so. There is a high volume of biomass and organic waste streams available, 20% of the world’s biodiversity, expertise and topnotch knowledge in biofuels, due to its national ethanol program started in the 70’s (ProÁlcool).

Since November 2014, Dutch and Brazilian government bodies, private companies,

agencies and universities began working together with the aim to foster innovation in the called BioBased Economy. We do this through the Living Lab BioBased Brazil. The lab, taking the format of a consortium among universities, companies and public organizations, is a network organization coordinated by a Dutch and Brazilian partnership with the purpose to focus on applied research projects to tackle problems arising from the private sector with the public sector being actively supportive regarding the projects.

Considering the geographical size of Brazil, we deliberately decided to focus on one specific state, Minas Gerais. The main reason was the concentration of excellent universities in the area, like UFMG, UFSJ, UFV and PUC Minas. In addition to that, the region’s agricultural sector is one of

the largest in the country. We initiated the cooperation on low profile by supporting the exchange of students between both countries.

Since 2015, more than 40 students who studied in the Netherlands moved to follow their studies on university in the state of Minas Gerais. On the other hand, 15 Brazilian undergraduate and graduate students moved to the Netherlands to perform group researches at Dutch Universities of Applied Sciences, for example at Avans in Breda and at NHL in Leeuwarden. The main difference among the research groups from both countries is that Dutch students are used to cooperate with the private sector regarding applied research. Even though the approach is quite new in Brazil, we have experienced so far that the knowledge exchanged

with Dutch students has increased the willingness for cooperation from the Brazilian universities side.

Fulfilling the ambitions of the Paris agreement is not a simple task. It requires dense cooperation and commitment from both, private and public sector. Therefore, from an educational perspective, we are striving to add value to the agreement by continuous joining applied research projects. The consortium has currently five projects running in line, for example one based on converting Free Fatty Acid (FFA) waste oil from MacaĂşba nuts to biodiesel, and another one based on a study about rest streams in the dairy industry in Minas Gerais.

Dutch and Brazilian companies are actively engaged in the projects, which enables us to exchange innovation and

technology across the countries, not only from an academic perspective, but on a business level as well. Next to this, Living Lab BioBased Brazil has access to a database of the brightest students from both countries and we use the network to facilitate the recruitment process of companies.

Normally the students are first employed as interns to work on projects in the foreign country and substantially high probabilities are that they immediately engage in a long-term working agreement after the internship period. In Brazil we have access to around 125.000 students from Federal Universities - considered the best national educational organizations in the country while in the Netherlands we have access to around 100.000 bachelor students.

In fact, our final goal is to create a broad network formed by complementary actors. In this network, we will create new applications for the market, leading from regional and national to international economic growth.

Consequently, the need for human capital and development will increase and we expect to give the students the confidence

Our main office is located in Breda, the Netherlands, but we have representatives in the network from more cities in the Netherlands and also a few cities in the state of Minas Gerais in Brazil.

EDUCATION AND BUSINESS In the Netherlands, education is one of the three pillars of the Ministry of Education, Culture, and Sciences. Following its mission of safeguarding a knowledgeable, skilled, and cultured country, the Ministry adds the objective of ensuring that everyone is prepared for personal independence and responsibility to its list of top priorities.

The recently selected new Minister of Education, Ms. Ingrid van Engelshoven, is well-known in Dutch politics for her investments in teachers, which is expected to make a fine contribution to the style of her predecessor, who re-directed education, including higher education, towards a path of talent development that

was considered innovative when she took over her position in 2013.

Higher education in the Netherlands In the Netherlands, higher education is offered in different forms from the rest of the world, including Brazil. There are three types of higher educational institutions: government-funded, approved, and private institutions. Only government-funded institutions receive funds from the Ministry of Education, Culture and Science or the Ministry of Economic Affairs. All three types of institutions are allowed to award officially recognised degrees. However, since university tuition fees are established by

law in public institutions, fees of bachelor degree are rather similar in all universities, for Dutch students. Tuition fee differences are more noticeable in the types of programs.

There are two types of publically funded universities offering bachelor degree programmes: Research Universities (WO) and Universities of Applied Sciences (HBO).

Research universities focus on research, offering a three-year bachelor programme.

The focus of a University of Applied Science is on practical training over a duration of four-years. Both of which result in a bachelor diploma.

The 13 research universities and 43 universities of applied sciences often work together, sharing expertise and sometimes-even campuses; however, identities are separate. By sharing competences, institutions are able to offer students an array of study programmes aiming at practical training or research on a certain topic, depending on the desired final degree. It is very common to encounter students from different institutions and programmes in one class during their final years, especially when they are following a minor. Dutch students are encouraged to join minors in

different institutions. By following minors, students get the chance to emphasise their studies in a specific language, region, or on a specialised subject such as: Entrepreneurship, International Marketing, Latin American Business, and Supply Chain Management. Minors are designed to accommodate both students and professionals who want a skills’ update.

The Amsterdam International School of Business (AMSIB) is part of the Amsterdam University of Applied Sciences (AUAS), which has close ties with the University of Amsterdam (UvA). e, among whom ten were from Latin America: including one

Brazilian student. Last year three AMSIB exchange students were sent to partner universities in Brazil; mainly to Rio de Janeiro and SĂŁo Paulo.

This year, the Amsterdam University of Applied Sciences (AUAS) celebrated 50 years of education in the Netherlands.

Many of the alumni are prominent professionals in the country and abroad.

Former students of the minor Latin American Business were present among the alumni during the celebration week.

The need for a designated Latin American alumni network and a community was put forward.

An integral part of the Dutch higher education is the international aspect. In 2016 around 80,000 international students were following full-time (bachelor and master) programmes and 20,000 were following part-time education (bachelor and master). They represented almost 8% of the total higher education students in the country. According to Nuffic (The Dutch Organisation for Internationalisation in Education), the growth rate has been steadily increasing. The growing number of international students coming to the Netherlands is linked to the legislation passed by the Ministry of Education in 2015 which created attractive solutions for international students to study in the Netherlands by enabling universities (both research and applied sciences) to reduce or even waive tuition fees for students who are following a combined course of study at an institution in the Netherlands and an institution abroad. During the past years many Brazilian exchange students found their way to Dutch universities, in areas including business, sciences, and technology. A small number also joined as full-time students, and started their first

Both local and international students are affected by the Dutch housing situation. Some international students find suitable living before the start of their study, but many begin the semester without a fixed address, especially in the city of Amsterdam.

Amsterdam caters to 180 different nationalities. Exact numbers of Brazilian higher education students living in the city are hard to find, but it is believed to be around 50.

The language challenge is mostly dealt with at the language departments of universities. Although international students enrol in educational programs offered in the English language, Dutch language classes are offered all year around. International offices motivate foreign students to follow these classes for integration. The result is that after a few months following Dutch training, food is ordered in the local language at the school cafeteria and small talk starts in

class. Learning the language helps social life. An interview with many of the AMSIB’s foreign students, including a few Brazilians, showed that waiting lists for language classes can be long, thus foreign students tend to join international societies where they communicate in English and network for internships, housing, and jobs.

The educational legislation passed by the Ministry of Education in 2015, also helped Dutch students to pursue their education outside the Netherlands. To facilitate Dutch students adapting to Brazilian universities, AUAS, AMSIB and the UvA offer Portuguese classes. A few years ago, AMSIB incorporated Portuguese as part of the curriculum from year one. Thus when students reach their third year, when they are ready for Global Exchange, they are able to follow regular classes at the university abroad. Currently AMSIB has one regular class of Portuguese as a foreign language.

According to AMSIB students, Brazil is an interesting country to study and a very attractive place to visit, however, the language scares them the most, thus very few students choose to go to Brazil during

their exchange semester. Moreover, very few Brazilian universities adopt classes in the English language in their regular curriculum. By having classes in the English language would motivate a large number of Dutch and international students to register at a Brazilian university.

Knowledge Economy International students chose to study in the Netherlands with a number of expectations: proactive institutional systems, innovative integration of academia and private sector, and valuable use of knowledge. Moreover, international students choose a Dutch university because they know they will be exposed to an international and professional environment. Selecting an educational institution with an extensive partner network has been listed by students as the best way to collect future benefits of their degrees. The relationship of university and business is indeed strong in universities of applied sciences in the Netherlands.

Company visits, guest lecturers, and career days are embedded in the curriculum to expose students to their future working life.

Dutch universities benefit from having international students because of the culture exchange which enriches the academic life of both local students and the university. From the country’s perspective, it is a way to safeguard its knowledge economy. Nuffic estimates that 25% of international students

establish themselves in the Netherlands permanently after completing their education.

Skills training in companies is part of the study programme of a full-time bachelors diploma at AUAS. In a university of applied sciences, integration of academia, society, and the private sector make up the backbone of the bachelor’s degree.

Internships are part of students’ university curriculum. When training at a company, talent development is approached from two sides: soft skills and hard skills.

At AMSIB, students must spend one full semester honing their skills at an international company. The internship is arranged by a signed contract by both the school and the company. The internship has two supervisors: one at school and one at the company. The connection between school and company is made through site visits which enriches the school network resulting in more opportunities for internships, guest lectures, and sometimes job opportunities for students.

Exchange students benefit from the international network by finding training either in their country of origin or in the Netherlands. Quite often when an exchange student finds training in the Netherlands the chance of an extension of permanence in the country increases.

Global companies are famous for their recruiting process of local and international students. Interesting to note is that, Dutch

companies of all sizes also have an intense appetite for international interns.

Language barriers are broken by the adoption of English as the main language in offices located all over the country, which facilitates recruitment and retention of trainees. These companies are quite proactive contacting the universities when looking for students with specific knowledge.

An entrepreneurial mind-set is highly appreciated in Dutch business culture, which fits well with proactive students who are willing to invest a great deal of effort in limitless possibilities for learning and job progression. Brazilian students who are registered in education in the Netherlands are eligible candidates for these internships. Due to investments of Dutch and global companies in Brazil, it makes sense to recruit interns that understand the culture and are also international students who are exposed to the language during their years of higher education. Brazilian companies operating in the Netherlands can explore different opportunities by forging strong ties with Dutch universities, not only for technical programmes, but also in business and social studies. This can be achieved, for example, by the opportunities of contributing to forming future innovative professionals, as well as the courtesy of extending the network of academics into the business sector.

The national entity, headquartered in São Paulo (SP) and with offices in Brasília (DF), represents the supermarket sector in Brazil, which accounts for more than 5% of the Gross Domestic Product (GDP) and generates more than 1.8 million direct jobs. Currently, the entity is headed by João Sanzovo Neto, shareholder of the Jaú Serve chain, in the countryside of São Paulo.

Established on November 11, 1968, and about to complete 50 years of existence next year, the entity created a broad network of relationship with the society, government agencies and several national and international institutions.

ABRAS operates actively as a network with the 27 affiliated State Supermarket Associations, always focusing on the evolution of the stores; in stimulating healthy exchange with suppliers; in addition to the effort aiming at better customer service and the evolution of the

Through the work developed at ABRAS, such as the RAMA Program (Traceability and Food Monitoring) aimed at controlling the residues of pesticides in fruits, vegetables and greens, great partnerships can be achieved.

“I think it’s fantastic to come to Brazil, to São Paulo to be part of this event, which is the leading event not only in terms of Brazil, but one of the leading events in all of Latin America, and to meet over 500 retailers, it’s fascinating. For myself, I made the journey specially from Amsterdam to be here because I think it’s very valuable to understand the trends and the developments that are shaping this region, and I hope that also today with my presentation I could share with the delegates what we see happening internationally”.

And when asked whether there are plans of expansion of his group in Latin America and Brazil, he answers:

“Yes, we want to establish ourselves in Latin America. If we do that, Brazil will be the first market in which we will focus. I believe that together with SPAR, retailers from Brazil could maintain their independence while having access to the resources of a global group whose revenue reached 3 billion euros. Not to mention access to the skills and know-how we share working together”.

Due to this relevant experience brought

by Dutch companies to our Convention, ABRAS will seek to continue this exchange of knowledge and networking with the Netherlands, with the objective of expanding these relations.

In 2018, ABRAS will be celebrating its 50th anniversary and its Convention will take place on March 19, 20 and 21. It will be a great milestone, since the largest meeting of Brazilian Supermarket chain leaders will return to Rio de Janeiro, where this event took place for many years.

COLLABORATIVE INNOVATION AS A TOOL FOR THE CREATION OF “CAMPINAS: CITY OF BIOECONOMY”

The Campinas-Brazil Agropolo (Agrihub) was stablished on June 26, 2015, inspired by the development model of Agropolis International in Montpellier, France, as a result of a cooperation agreement between the State Government of São Paulo (State Secretariat of Agriculture and Secretariat of Economic Development, Science, Technology and Innovation), the Campinas City Hall, the State University of Campinas (UNICAMP), Associtech Technopark Campinas and the Agropolis International Association, with the participation of the Brazilian Agricultural Research Corporation (Embrapa) and the Consulate General of France in São Paulo.

The Campinas-Brazil Agropolo is an interinstitutional platform, based on the concept of “collaborative innovation”, which aims to articulate efforts with

Knowledge-Generating Centers (University and Research Centers/Institutions), the Private Initiative and the Government (Municipal, State and Federal) aiming at the development of a bioeconomy in the Campinas Region through technological development and innovation, focusing on: (i) agriculture, (ii) food, (iii) health, (iv) biodiversity, (v) bioenergy, (vi) green chemistry and (vii) sustainable development.

According to the Brazilian National Confederation of Industry (CNI): “Bioeconomy emerges as a result of a revolution of innovations applied in the field of biological sciences. It is directly linked to the invention, development and usage of biological products and processes in the areas of human health, agricultural and livestock productivity,

as well as biotechnology. Therefore, it involves several industry segments”.

According to the Food and Agriculture Organization of the United Nations (FAO): “Bioeconomy, if done right, offers countries, particularly those with scarce fossil resources yet ample land for agriculture and forestry, an opportunity to increase the value-generation potential of their agricultural production and to boost their economic development through the processing of agricultural products into renewable materials and energy, while ensuring food security and nutrition”.

Within this context, the Campinas-Brazil Agropolo understands that bioeconomy represents a great opportunity for Campinas and for Brazil to develop a new research model, as well as to leverage

Within this context, the Campinas-Brazil Agropolo understands that bioeconomy represents a great opportunity for Campinas and for Brazil to develop a new research model, as well as to leverage economic development and put Brazil as one of the main global powers in this sector. However, this new economy will require the development of a new model of action, through efficient and sustainable agricultural models and a productive sector with greater synergy between the main axes of the economy, that is, between the Institutions of Science and Technology (ICTs), the Government and the private sector. Only in this way will it be possible to build a new sustainable economy with good prospects for the new generations in terms of employment and income, and thus better quality of life.

Currently, the Campinas-Brazil Agropolo has been working on the elaboration of a study on public policies, aiming to better understand the new demands, opportunities and challenges of this new economy, and thus enabling the construction of a strategic plan that should support the transition from the current “fossil economy” to the “bioeconomy”.

This project is entitled “Campinas-Brazil Agropolo: Roadmap for identifying strategic areas of research aiming at the creation of a world-class bio-economic ecosystem” and is supported by the Foundation for Research Support of the State of São Paulo (FACESP) with the objective to construct a “technological roadmap” for the development of the strategic areas described above, based on broad transparent and collective discussions among specialists from all sectors (academia, government and private initiative). In addition to working on the development of strategic areas, the Campinas-Brazil Agropolo also aims to create a conducive environment to deepen relations between comprehensive areas, thus creating a highly interconnected ecosystem and favoring sustainable development, disruptive innovations and bioeconomy growth.

Since its inception, the Campinas-Brazil Agropolo has been working intensively to connect the scientific community and the productive sector, stimulating debate and planning actions along the 12 strategic areas, outlining short, medium and longterm actions towards bioeconomy.

In this context, the objectives of the Campinas-Brazil Agropolo are: i) building a strategic plan of short, medium and long-term actions for the development of the bioeconomy in the State of São Paulo; ii) aggregating the scientific knowledge of the region of Campinas in Joint Research Units (UMPs); iii) connecting technical-scientific knowledge (UMPs) to the productive sector aiming at technological development and innovation through the development of Technical Cooperation Projects (PCTs); iv) forming a collaborative network with

the objective of developing programs focused on supporting actions towards micro and small enterprises of the region of Campinas aiming at: a) identification of demands and trends of the sector; b) technological advisory services and technical services; c) training in business management; d) assistance to attract financial resources; e) development of processes and products; (f) access to new markets (commercialization and export); v) building a Technological Park focused on Agribusiness; vi) creating a world-class innovative ecosystem in order to maximize the births and installations of startups and spin-offs and the innovation in the Campinas region.

The goal of the Campinas-Brazil Agropolo is to expand the economy based on BIO, replacing the current fossil economy, using as vectors: (i) the expansion of the number and quality of formal jobs, (ii) the creation of new products with high added value, and (iii) the reduction of greenhouse gas (GHG) emissions.

Given the opportunities and challenges to be faced, the Campinas-Brazil Agropolo has been working hard on establishing and consolidating national and international partnerships that foster technological development, innovation and new business development. At the international level, the current partnerships are focused on the Kingdom of the Netherlands, France, Germany and Belgium.

In the case of the Netherlands, the current partnerships are with BE-Basic Foundation, TU Delft and the Consulate General of the Kingdom of the Netherlands in São Paulo/Holland Innovation Network. These partnerships were established based on past and ongoing work and the experience and opportunities present in both countries regarding the development of bioeconomy.

Among the main objectives of this partnership are: creation and transfer of knowledge; networking and development of partnerships and collaborative projects focused on innovation among private companies, universities and research institutes, mainly focusing on: biofuels

and bio-chemicals, bio-materials and sustainable agriculture.

Between November 29 and October 4, 2017, representatives of the Campinas-Brazil Agropolo visited the Netherlands. Throughout this week, they discussed the next steps of work with the current partners, and visited and prospected, together with other Dutch and Brazilian institutions, potential projects for the development of the strategic areas and the consolidation of the CampinasBrasil Agropolo as a new model of organization of applied scientific research with focus on innovation in the State of São Paulo. Among the meetings held are: Yes Delft, BraDutch, Food Valley, Wageningen UR, SkyNRG, Good Fuels, BDS BioDetection Systems, the Netherlands Organization for Applied Scientific Research (TNO), The Netherlands Organization for Scientific Research (NWO) the Brazilian Embassy in the Netherlands and the Ministry of Economic Relations of the Kingdom of the Netherlands. Among the future actions, the Campinas-Brazil Agropolo will concentrate its efforts in order to make technological development projects in aeronautical and marine fuels and biomass valorization for chemical products with the BE-Basic Foundation/TU Delft feasible, as well as presenting business opportunities in the State of São Paulo and the city of Campinas alongside the Embassy of Brazil in the Netherlands.

É para mim uma satisfação participar da edição inaugural da revista da Bradutch, a Câmara de Comércio do Brasil nos Países Baixos. A Embaixada do Brasil tem orgulho de contar com a Bradutch como uma de suas parceiras em atividades de fomento, diversificação e aprofundamento do conhecimento recíproco entre brasileiros e neerlandeses na área do comércio.

Brasil e os Países Baixos desfrutam de uma parceria longa e mutuamente proveitosa nos aspectos econômicos e comerciais do relacionamento bilateral. Atualmente, o comércio entre nossos países supera os dez bilhões de euros, e os Países Baixos ocupam o primeiro lugar no investimento estrangeiro direto no Brasil, pelo critério do investidor imediato, de acordo com dados do Banco Central. Com mais de 200 milhões de habitantes, o Brasil representa para as empresas neerlandesas, historicamente, um grande mercado consumidor e campo fértil para investimentos nos setores agrícola, industrial, de transportes e de infraestrutura.

A complementaridade das economias pode ser observada também pela presença de grandes empresas brasileiras com filiais nos Países Baixos, várias das quais concentram suas operações europeias neste país. Cabe lembrar, ainda, que quase a totalidade do fluxo comercial bilateral e a maior parte do comércio brasileiro com a Europa, passam pelo porto de Roterdã, o que faz dos Países Baixos um parceiro único e privilegiado do Brasil.

Os esforços do Governo brasileiro em consolidar a retomada do crescimento econômico estão rendendo frutos. A confiança internacional no Brasil se reflete no interesse pelo extenso programa de reformas iniciado em 2016. Dotadas de marcos regulatórios racionais e previsíveis, as parcerias para investimentos lançadas pelo Governo brasileiro oferecem múltiplas oportunidades - portos, aeroportos, rodovias, linhas de transmissão e diversas outras iniciativas. São projetos fundamentais para aumentar a competitividade do Brasil, o que gerará emprego e renda, além de garantir melhores serviços à população.

O Brasil também avança no caminho da maior abertura comercial e integração com os nossos principais parceiros. O Acordo de Associação Birregional Mercosul - União Europeia encontra-se em fase final de negociação, com a expectativa de que sua conclusão possa ser anunciada proximamente. A celebração do Acordo constituirá importante mensagem à comunidade internacional de que somos capazes de superar tendências protecionistas e proporcionar benefícios efetivos para as populações dos dois blocos.

O ano de 2017 foi particularmente rico no que diz respeito às atividades de promoção comercial do Brasil nos Países Baixos. Em março, recebemos a visita do Governador do Ceará, Camilo Santana, acompanhado de expressiva delegação governamental e empresarial. Além de participar do “Brazil Network Day”, evento de promoção comercial organizado 2

vezes por ano pela Embaixada do Brasil, o Governador Santana assinou Memorando de Entendimento entre os Portos de Pecém e Roterdã, o qual prevê treinamento de recursos humanos e troca de experiências em operações portuárias.

Em julho, o Prefeito do Rio de Janeiro, Marcelo Crivella, esteve presente na Conferência “Velo-City” 2017, o maior evento de mobilidade urbana dedicado ao transporte em bicicleta no mundo. O Rio de Janeiro sediará a conferência em 2018. Durante sua estada, o prefeito Crivella conheceu o trabalho de incubadoras de empresas, ou “startups” nos Países Baixos, experiência que pretende levar à cidade do Rio de Janeiro.

Mais recentemente, recebemos o Ministro dos Transportes, Portos e Aviação Civil, Maurício Quintella, que, junto com sua delegação, expôs a diversos empresários neerlandeses do setor de transporte, logística e infraestrutura as oportunidades oferecidas a investidores neerlandeses no âmbito das concessões do Programa de Parcerias de Investimentos (PPI), em especial no que tange a portos e aeroportos.

Por fim, em novembro, a mais recente edição do “Brazil Network Day” teve como convidados de honra o Secretário-Executivo do Ministério da Agricultura, Pecuária e Abastecimento, Eumar Novacki, em sua segunda visita aos Países Baixos neste ano, o Secretário de Assuntos Internacionais do estado de Santa Catarina, Carlos Adauto Virmond Vieira, e o Presidente da

Federação de Indústrias de Santa Catarina (FIESC). O encontro reuniu cerca de 300 participantes, a maioria deles empresários neerlandeses interessados em negócios e investimentos no Brasil.

As ações de promoção comercial em 2017 compreenderam, também, missões como as da Associação Brasileira das Indústrias de Óleos Vegetais, da Associação Brasileira de Cafés Especiais, do Agropolo Campinas-Brasil e da Agência de Promoção de Investimento e Comércio Exterior de Minas Gerais, entre várias outras, além do acompanhamento e assessoria oferecidos a empresários individuais pelo Setor Comercial da Embaixada do Brasil na Haia.

Todas estas iniciativas e projetos mostram haver interesse crescente pelo que o Brasil oferece no seu relacionamento econômicocomercial com os Países Baixos.

Tenho a confiança de que, em 2018, com a consolidação da retomada do crescimento no Brasil, as relações bilaterais nesta e em todas as demais áreas serão ainda mais frutíferas para nossos países. A Embaixada do Brasil na Haia e a Bradutch continuarão trabalhando para isso.

O objetivo da Bradutch é aproximar empreendedores holandeses e brasileiros e dessa forma fortalecer os laços econômicos entre os dois países. O laço entre os países já tem sido próximo – a Holanda tem figurado entre os cinco maiores investidores no Brasil por décadas, enquanto um terço da exportação brasileira de mercadorias a granel desembarca no Porto de Roterdã -, no entanto ele pode ser ainda mais fortalecido.

Felizmente, durante a última década não são apenas grandes multinacionais brasileiras que têm se estabelecido na Holanda, mas também cada vez mais pequenas e medias empresas, muitas vezes em colaboração com um parceiro holandês. O oposto também tem ocorrido com mais frequência. Para os holandeses, trabalhar no Rio de Janeiro é o emprego dos sonhos, como mostrado no filme Weg van jou.

A intensidade da cooperação entre a Holanda e o Brasil é salientada pelos frequentes contatos entre os governos de ambos os países, não apenas entre os chefes de Estado, mas também a nível municipal. Dessa forma, os prefeitos de Roterdã e Amsterdã visitam regularmente o Brasil e missões comerciais também são organizadas com frequência. O Porto de Roterdã atua no Brasil tanto financeiramente quanto com seu know-how.

CONSELHO CONSULTIVO DA BRADUTCH Os membros do Conselho Consultivo da Bradutch possuem o suporte da equipe da Bradutch. Assim sendo, o conselho tem uma ampla base.

Como CEO da Embraer Europe, Jorge Ramos de Oliveira Júnior sabe como é ser um empreendedor brasileiro na Holanda. Dionaldo Passos e Eduardo Santos trabalham para NeoGrid e KPMG, respectivamente, duas organizações globais que atuam tanto no Brasil quanto na Holanda.

Como COO da Apex Brasil-Europa, a Agência Brasileira de Promoção de Exportações e Investimentos, Alex Figueiredo possui excelentes conexões com o governo do Brasil.

Hans Mulder é o diretor geral da Dutcham, a Câmara de Comércio Holando-Brasileira, equivalente à Bradutch no Brasil, e conhece bem as diferenças entre as culturas coorporativas entre os dois países. O ex-Ministro das Relações Exteriores, Uri Rosenthal, fornece acesso a um mundo de relações internacionais e diplomacia. Por último, eu contribuo com minha expertise como advogado no que toca ao estabelecimento de negócios e consultoria a empresas estrangeiras na Holanda.

DESAFIOS PARA A BRADUTCH A maior tarefa da Bradutch será a de auxiliar empreendedores brasileiros que desejam atuar na Holanda agora que a recessão no Brasil chegou ao fim. Como uma porta de entrada à Europa, a Holanda possui muito a oferecer aos empreendedores do Brasil e vice-versa. É importante que o nível educacional no Brasil tenha aumentado significativamente nos últimos anos. A Holanda fornece programas especiais que facilitam com que profissionais altamente qualificados e empreendedores iniciantes possam atuar no país. Além disso, o novo governo holandês planeja tornar o estabelecimento de empresas estrangeiras que desejam se qualificar como mais do que empresas “de fachada” financeiramente mais atrativo.

Adicionalmente, o povo holandês precisa ser melhor informado acerca das vantagens da cooperação com o Brasil. Atualmente, os holandeses ainda possuem certo receio, uma vez que histórias sobre o instável cenário político brasileiro dominam os noticiários. A Bradutch pode desempenhar um importante papel ao desconstruir preconceitos e informar empreendedores do Brasil sobre a cultura holandesa e sua forma de se fazer negócios.

CENTROS LOGÍSTICOS NA HOLANDA

Logística, um termo de origem grega, significa contabilidade e organização.

No entanto, o atual significado que damos a logística tem origem do francês logistique que surgiu com os militares no planejamento do armazenamento, distribuição e manutenção de materiais.

Posteriormente, sua definição passou a ser: gestão, armazenamento e distribuição de recursos para uma determinada atividade.

Com a globalização, uma logística rápida e eficaz é essencial para que a movimentação de um determinado produto, desde a obtenção das matériasprimas para confecção, até a sua produção

e distribuição, se conclua adequadamente sem impacto negativo para o fornecedor, cliente, governo e consumidores em geral. Desta forma, fica claro que logística consiste em uma série de ações necessárias para garantir o adequado transporte, armazenamento, fabricação e distribuição de produtos ao mercado.

Nesse contexto, como é possível garantir uma logística rápida e eficaz? Com certeza, precisamos considerar detalhes como: língua, cultura, procedimentos fiscais, alfandegários, contábeis e outros; porém, como estamos falando de dinamismo, entendo que tecnologia e infraestrutura

são pilares fundamentais.

A Holanda é referência em tecnologia e infraestrutura, sendo reconhecida como a “Porta da Europa” devido a sua localização estratégica com acesso, dentro de 24 horas, a maioria dos mercados consumidores mais lucrativos da Europa.

No século 17, Amsterdã já tinha o maior porto de trânsito do mundo. Ainda hoje, apesar de representar menos do que 0,5% da população mundial, o país possui excelente infraestrutura, considerando que abriga um dos maiores portos do mundo (Roterdã), têm aeroportos localizados centralmente, possui uma extensa rede de

banda larga de alta qualidade. Além disso, possui um clima internacional de negócios com cerca de 50% do PIB holandês derivado do comércio exterior, com política e economia estáveis, alto nível de qualidade de vida, diversos incentivos fiscais e outros fatores.

Em relação à incentivos fiscais, o sistema holandês prevê uma série de vantagens para estabelecimento de centros logísticos na Holanda. Por exemplo: ao importar produtos para os Países Baixos com destino ao mercado europeu, as empresas que armazenam esses produtos podem se beneficiar do diferimento do pagamento dos direitos aduaneiros (e VAT). Esse armazenamento, que pode ser em um depósito físico ou virtual (conceito que segrega a entrada física do produto e a transação financeira), tem prazo indeterminado. Em outras palavras, os direitos aduaneiros só precisam ser pagos quando a mercadoria entrar em circulação no mercado europeu, oferecendo uma

significativa vantagem de fluxo de caixa.

Outro exemplo é a introdução, pelo país, de numerosas simplificações nos procedimentos aduaneiros que reduz atrasos na liberação das mercadorias.

Além de benefícios gerais, há acordos fiscais específicos com cada país. Como é o caso da insenção de imposto na distribuição de dividendos e redução da alíquota de imposto firmado entre o Brasil e a Holanda.

Com base no exposto, fica fácil entender por que a Holanda é um dos principais destinos empresariais do Mundo, conhecida por sediar muitas holdings (sociedades gestoras de participações).

Além do famoso benefício holandês de isenção da tributação de dividendos recebidos de empresas com sede em diversos países fora da União Européia (fazendo com que os lucros obtidos fora do espaço europeu não sejam sujeitos a impostos), o país assegura uma logística rápida e eficaz por meio de sua

alta tecnologia e forte infraestrutura, complementado com procedimentos aduaneiros simplificados e vantagens fiscais que miniminizam o impacto no fluxo de caixa das empresas e, consequentemente, dos consumidores.

As florestas no Brasil estão sob perigo. Por exemplo, nos últimos 50 anos, quase um quinto da famosa Floresta Amazônica foi perdido. Outras florestas, incluindo a Mata Atlântica, também estão ameaçadas. Três quartos do desmatamento é destinado para abrir espaço para a agricultura e pecuária, que por sua vez é responsável por quase um terço do total de emissões de CO2 do país. Algo claramente precisa mudar, especialmente agora que a demanda global por alimento apenas

continuará a crescer, e as consequências das mudanças climáticas fazem com que seja mais difícil para os agricultores expandirem suas plantações. Por esse motivo, a WWF Brasil e o Rabobank estão explorando, em parceria com agricultores, as opções disponíveis nas amplas extensões da paisagem sul-americana para combater o desmatamento através de abordagens inovadoras na agricultura, ao mesmo tempo que gera mais lucro.

ROTACIONANDO LAVOURA E PASTAGEM

PRODUTIVIDADE

Em sistemas de Integração LavouraPecuária-Floresta (ILFP), agricultores praticam a rotação de suas terras tanto para a agricultura, como o cultivo de soja ou eucalipto, quanto para atividades pecuárias ou de silvicultura. Nos anos 90, os primeiros fazendeiros brasileiros deram os passos iniciais nesta inovadora forma de rotação de culturas. Tradicionalmente, agricultores já realizam a técnica da rotação de culturas em suas terras no inverno e no verão. Eles podem, por exemplo, cultivar soja no inverno e milho no verão, utilizando da mesma terra.

Deixar o gado pastar ao invés de plantar a segunda safra aumenta os rendimentos e exige muito menos investimento, como por exemplo em fertilizantes artificiais.

Deixando essa tarefa para o gado e sua fertilização, novos nutrientes penetram o solo, o que por sua vez causa uma melhora na qualidade tanto da pastagem quanto da saúde animal. O solo mais produtivo torna as plantações mais resistentes diante das consequências trazidas pelas mudanças climáticas, como a irregularidade de chuvas e secas.

Entre eles está o Grupo Gazarini, uma empresa familiar na região Centro-Oeste do Brasil, que já trabalha com o Rabobank há cerca de dez anos. A empresa cultiva grãos, soja, cevada, feijão e milho em um grande terreno de 4.000 hectares.

Caroline Gazarini, filha do fundador que desde recentemente vem atuando no negócio da família, conta como o ILFP tem aumentado a produtividade de suas operações. “Deixamos partes da terra inativa após a colheita, ou podemos fazer mais com elas? Esse é o motivo pelo qual começamos, há aproximadamente dez anos, a deixar o gado pastar em nossas lavouras depois do período de colheita. O objetivo era melhorar nossa produtividade.

Após a colheita de milho, nós substituímos a terra por grama para deixar o gado pastar. Graças a esse sistema, nossas operações agora são diversificadas, o que reduz os riscos de nosso negócio. Ao mesmo tempo, a produtividade é maior e o solo não fica mais gasto uma vez que seu uso é mudado constantemente. Isso por sua vez significa que nossas plantações são menos afetadas por doenças e pragas, e que podemos reduzir o uso de pesticidas. E o mais importante: podemos produzir sem ter que desmatar florestas.

Nós continuamente reutilizamos nossas próprias terras. Existem muitas florestas ao redor de nossa fazenda. Elas são uma reserva natural e são protegidas por lei”.

SEIS VEZES MENOS TERRA NECESSÁRIA A efetividade desse sistema fica evidente no estudo conjunto que o Rabobank e a WWF Brasil realizaram como parte de sua parceria com os agricultores.

Enquanto o rendimento dos sistemas ILFP possa ser o mesmo em comparação à agricultura regular, seis vezes menos terra é necessária para alcançá-lo. Isso reduz a pressão decorrente da demanda por novas áreas de produção e, portanto, ajuda a combater o desmatamento. Esse sistema também oferece benefícios econômicos aos agricultores. Eles não precisam mais cuidar de uma grande extensão de terra e podem economizar em herbicidas e pesticidas. Além disso, agricultores também contribuem para a redução da emissão de gases de efeito estufa. Os sistemas ILFP são mais frequentemente utilizados por criadores de gado, que introduzem culturas como arroz, soja e milho em suas pastagens para aumentar sua produtividade, mas há um número crescente de lavouras que estão introduzindo pastagens em seus campos.

O Rabobank Brasil adicionou informações sobre gerenciamento sustentável de água, a aplicação do Código Florestal [...] em seu manual de responsabilidade social corporativa

Como um dos líderes no campo da sustentabilidade, o Grupo Gazarini levou o assunto ainda mais além. Por exemplo, além de desenvolver sistemas agrícolas mais sustentáveis, a empresa retira toda a energia necessária para seus silos e armazéns de grãos da energia solar, tendo instalado seus próprios painéis solares.

Como resultado, o Grupo Gazarini é um dos primeiros negócios agrícolas do Brasil a atingir auto-suficiência energética. “Nós recebemos visitas de outros agricultores que desejam ver por si mesmos, pois eles querem fazer o mesmo”, diz Gazarini.

“Nosso sistema de painéis solares gera 1240 kW de energia limpa todos os dias.

A energia gerada não vai apenas para os silos, mas é também suficiente para fornecer eletricidade para as casas de todos os nossos funcionários assim como nossa própria casa em Jataí, onde nós vivemos. O que uma coisa boa, levando em consideração os problemas com a distribuição de energia que são comuns no Brasil. Graças à essa solução, nós não dependemos mais disso”.

O Grupo Gazarini busca continuamente novas melhorias. A empresa está trabalhando, por exemplo, em uma melhoria no processamento de subprodutos e resíduos dos silos, que por sua vez são utilizados como alimento animal. O grupo também utiliza tecnologia e GPS para trabalhar com uma agricultura mais eficiente, por exemplo, para garantir com que menos sementes sejam perdidas durante o processo de plantação. “E também queremos fazer mais para avançar o reflorestamento da terra ao redor das nascentes de riachos. Essas áreas quase sempre já são protegidas, mas queremos ir ainda mais além”.

PARCERIA Além de explorar a utilização de sistemas ILFP, em parte através do desenvolvimento de pesquisas, a parceria entre a WWF Brasil, o Rabobank e os agricultores é também composta por outros elementos.

Desta forma, o Rabobank Brasil adicionou informações sobre gerenciamento sustentável de água, a aplicação do Código Florestal (o conjunto de leis brasileiras voltadas ao combate ao desmatamento na Amazônia), e as 10 melhores práticas de sustentabilidade

dos agricultores em seu manual de responsabilidade social corporativa. O banco acordou com seus clientes que os mesmos deverão abrir seus negócios de acordo com esse manual.

Editoriais sobre o uso sustentável da terra foram publicados em conjunto com a editora Globo em sua revista especializada em agricultura, Globo Rural, e fazendeiros líderes em práticas sustentáveis de negócio ganharam o Prêmio Fazenda Sustentável, oferecido pela publicação.

A WWF Brasil também realizou um workshop sobre as 10 melhores práticas de sustentabilidade no Dia de Campo da Sustentabilidade. Esse dia, em que 100 agricultores participaram, foi organizado na fazenda do Grupo Gazarini.

A Embraer é o principal fabricante de jatos comerciais de até 150 lugares. A empresa mantém unidades industriais, escritórios e centros de serviços, distribuição de peças e outras atividades, nas Américas, África, Ásia e Europa.

- BRADUTCH: Usando como inspiração

uma das várias conhecidas frases sob a perspectiva de motivação ao empreendedorismo do fundador da EMBRAER, Sr. Ozires Silva, “com a competência necessária, podemos enfrentar a concorrência mundial”; como o senhor descreveria o papel da EMBRAER, que já estando entre as maiores gigantes mundiais ao lado da Boeing e Airbus, configura hoje a Europa como um dos seus principais mercados?

- JORGE RAMOS: Desde seu humilde começo em 1969, a Embraer foi muitas vezes vista como uma tentativa de realizar um sonho impossível. Seria realmente possível uma empresa de um país sem nem mesmo uma indústria automobilística desenvolver uma indústria aeronáutica capaz de competir no cenário mundial?

Agora, quase 50 anos depois, nossa empresa tem o respeito, não só de nossos clientes, mas também de outras empresas do setor – nunca mais irão se referir a nossas aeronaves como “jatos selvagens”.

Ter uma centena de operadores em 60 países já diz tudo.

Como a Embraer conseguiu esse “sonho impossível”? Através do trabalho árduo e determinação, como é o caso de todos os empreendimentos comerciais. Nosso compromisso permanece hoje, o mesmo de quando em 1969, vivemos para o desafio.

A Europa é uma região muito importante para a Embraer pois representa não apenas cerca de 18% das nossas vendas, mas também uma percentagem similar da nossa cadeia de abastecimento global é da Europa. Basta apenas observar aeroportos como Schiphol e London City para ver as aeronaves da Embraer conectando empresas e famílias em toda a região.

Na cidade de Londres, por exemplo, quase 50% de todo o movimento aéreo é realizado com aeronaves da Embraer. Nos Países baixos, a KLM, nosso maior cliente na Europa, trabalha atualmente com 49 E-Jets da Embraer em serviço.

- BRADUTCH: Como a Embraer recebeu a notícia de que iria ser a responsável pela nova geração de aviões da KLM, literalmente traduzida como a Empresa Aérea Real, “substituindo” o legado de décadas deixado por Anthony Fokker?

- JORGE RAMOS: A KLM é um cliente extremamente importante para a Embraer. Na verdade eu diria até que é um parceiro, pois nosso relacionamento precisou ser quase simbiótico para alcançar os objetivos que definimos juntos. Substituir uma frota é uma tarefa difícil. Uma transição perfeita precisa ser o objetivo principal, pois requer um retreinamento de pilotos, das tripulações de cabine, de engenheiros e assim por diante, não significa apenas entregar a tempo novas aeronaves. Com a KLM, nossa tarefa foi ainda mais delicada conduzida sob a pressão de substituir uma coleção do tão querido avião Fokker, na verdade nativo da Holanda. Não tivemos portanto a opção de errar. Faz apenas dias que a KLM aposentou seu último Fokker, e não só a companhia aérea, como também seus passageiros demonstram estar satisfeitos com o desempenho e conforto dos nossos E-Jets.

Para alguns, isso pareceu tarefa fácil, mas posso assegurar-lhes que o nível de trabalho e as longas horas de trabalho pareciam inimagináveis. Está claro agora o motivo pelo qual fomos

escolhidos pela Austrian Airlines e pela TAP para a renovação de suas frotas. Começaremos em abril negociações com a Wideroe, desta vez com a primeira geração das nossas aeronaves E2.

- BRADUTCH: Estando entre as gigantes mundiais na aviação global, contribuindo portanto para o impacto ambiental causado pela progressiva extensão massiva do tráfego aéreo mundial, como o senhor descreveria o papel responsável da Embraer em vistas ao foco global em sustentabilidade, sobretudo nesse tema ambiental?

- JORGE RAMOS: A Embraer é muito consciente do impacto ambiental causado, não apenas pelas emissões de nossas aeronaves, mas também pelas emissões durante todo o processo de fabricação e, de fato, todos os outros aspectos das nossas operações. Apoiamos plenamente as iniciativas da ICAO e do IPCC para reduzir o impacto ambiental causado pela aviação global. A nova geração das nossas aeronaves, conhecida como a Família E-2, é 24% mais eficiente de combustível devido a inovações motoras, tecnologia de asa e sistemas de controle de vôo. Trabalhamos também em parceria com empresas como a Boeing para desenvolver o uso de biocombustíveis, e estamos ativamente buscando novas tecnologias elétricas e híbridas. Uma coisa que você aprende rapidamente sobre a Embraer é que nós nunca paramos.

Povo feliz A felicidade é sempre um bom ponto inicial, e nós temos o prazer de concordar com o Relatório Mundial da Felicidade 2017 preparado pela ONU, que coloca a Holanda como o 6º país mais feliz do mundo. Nosso próprio Escritório Central de Estatísticas (CBS) confirma o que foi observado, através de pesquisas que apontam que 88% dos holandeses se consideram felizes enquanto apenas 3% se consideram infelizes.

LEGISLAÇÃO ANTI ABUSO PAGAMENTOS BRASILEIROS DE JUROS SOBRE CAPITAL PRÓPRIO

Devido a mudanças na legislação europeia, a taxação holandesa que incide sobre o capital híbrido foi alterada. A seguir, vamos analisar o impacto da mudança da taxação dos pagamentos brasileiros de juros sobre o capital próprio (doravante designado “JCP”) na Holanda.

Lei brasileira Desde 1995, o governo brasileiro promove o financiamento de empresas do país por meio do JCP. O JCP é um pagamento real (ou pagamento registrado como uma obrigação futura) que é dedutível do lucro tributável da empresa, e tributado com 15% de imposto retido na fonte. A dedução máxima do JCP é limitada a: 1. - Taxa de juros de longo prazo vigente segundo o Banco Central do Brasil aplicada ao patrimônio da empresa; e 2. - O máximo de (i) 50% dos lucros anuais ou (ii) 50% dos lucros acumulados.

Nova legislação holandesa Anteriormente às mudanças realizadas na diretiva sobre sociedades-mãe e sociedades-afiliadas (Parent-Subsidiary Directive) da União Europeia, a regulação na Holanda determinava que os pagamentos elegíveis recebidos por uma controladora da holandesa de uma subsidiária, fora do patrimônio líquido da subsidiária (como por exemplo os dividendos), eram isentos de tributação do imposto de renda holandês. Em consequência da aplicação obrigatória da nova diretiva, a isenção sofreu alteração a partir de 1 de janeiro de 2016. Após as mudanças, quaisquer pagamentos ou remunerações recebidas pelo acionista holandês possuem isenção negada (e, portanto, são efetivamente tributados), caso legalmente possível (ou seja, dedutíveis por natureza, não é necessária dedução de fato), serem direta ou indiretamente deduzidos de um imposto com base no lucro ao nível da parte pagadora.

Acordo tributário entre Holanda e Brasil A fim de prevenir a dupla tributação, os governos holandês e brasileiro realizaram um tratado tributário com essa finalidade em 1990. Através da aplicação desse tratado, é importante determinar se o JCP deve ser qualificado como um dividendo – ou encargo de juros. Apesar o tratado tributário em si não ser claro nesse sentido, é mais provável que o pagamento seja taxado como dividendo. Observe que a qualificação como pagamento de dividendos ou juros não reduz a retenção na fonte de 15% no Brasil, esta distinção é apenas importante para a prevenção da dupla tributação fornecida pela Holanda.

Prevenção da dupla tributação – crédito fiscal Baseado no acordo tributário, como explicado acima, o Brasil pode cobrar uma retenção na fonte de 15% através do JCP a uma empresa holandesa. De forma a prevenir a dupla tributação do JCP, a Holanda acordou no tratado tributário que o país oferecerá um crédito definido de acordo com o valor mais baixo registrado entre: • A retenção na fonte paga no Brasil; ou • 25% do dividendo líquido.

Em relação ao primeiro limite, o acordo tributário possui um parágrafo especial que trata do crédito fiscal. Baseado nesse crédito fiscal, qualquer pagamento de dividendos no Brasil é tributado em 25% (ou 20% no caso de o acionista holandês detiver menos de 10% de participação na empresa brasileira) e quaisquer pagamentos de juros são tributados em 20%. Graças a este crédito fiscal, a Holanda fornece unilateralmente um crédito sobre o lucro tributável na Holanda que é maior do que a retenção na fonte no Brasil, de 15%. Observe que, conforme explicado acima, a importância da distinção entre a qualificação do JCP como dividendo ou pagamento de juros torna-se clara à luz das diferentes porcentagens de crédito fiscal (25% para a maioria dos dividendos ou 20% para pagamentos de juros).

Impacto da nova legislação holandesa sobre o crédito fiscal Antes da nova legislação holandesa que realizou mudanças na isenção de impostos, era irrelevante para a tributação do país se o JCP era reportado como receita bruta ou líquida (após a dedução da retenção na fonte de 15% no Brasil ou do crédito fiscal de 25%) uma vez que o rendimento era isento de tributação na Holanda de qualquer maneira.

Após a nova legislação, os rendimentos brutos são incluídos no lucro tributável e taxados em 20%/25% através do imposto de renda holandês para pessoa jurídica (20% para os primeiros 200.000 euros de lucro tributável, enquanto o excedente é tributado em 25%). Para evitar a dupla tributação, a Holanda fornece um crédito fiscal de 25% (desde que o JCP seja classificado como pagamento de dividendos) que efetivamente compensa o imposto de renda máximo de 25% pago pelas empresas.

deve reestruturar tais financiamentos (como o benefício do financiamento de débito em caso de liquidação e possibilidades de mudança na legislação sobre o JCP, conforme proposto em 2016).

Conclusão Devido à nova legislação holandesa, o JCP, em combinação com o crédito fiscal, resulta em uma receita não tributável na Holanda que é dedutível no Brasil.

No entanto, após a nova legislação holandesa, não há mais um verdadeiro incentivo, de uma perspectiva fiscal, para que as empresas holandesas financiem suas subsidiárias brasileiras com base no patrimônio em comparação ao financiamento através de dívidas. Devido à eliminação do incentivo ao financiamento do capital próprio de uma perspectiva holandesa, a nova legislação do país efetivamente fez com que o objetivo brasileiro de promoção do financiamento do patrimônio através do JCP tenha se tornado obsoleto. No entanto, no lado positivo, a nova legislação holandesa não aumenta a tributação do país.

compreendido por mais de 30 portos públicos ao longo de 8.000 quilômetros de sua área litoral.

O recente MoU assinado entre o PoR e o Complexo Industrial do Porto de Pecém, localizado a 50 km da capital Fortaleza, é visto na comunidade empresarial internacional como mais um avanço em direção à cooperação bilateral entre os dois países. Fortaleza é a quinta maior cidade em termos de território urbano no Brasil e é uma das que mais rapidamente crescem em termos econômicos devido a constantes investimentos públicos e privados, nos âmbitos nacionais e internacionais. O CIPP é o que podemos chamar de “brownfield”, termo que, ainda sem consentimento unânime na sua tradução oficial para a língua portuguesa, significa um local onde

apesar da degradação por abandono ou por ações do tempo, representa grande potencial de reestruturação. O porto movimentou em 2016 aproximadamente 11 milhões de toneladas de carvão, minério de ferro, diversos contêineres e navios transportadores de gás natural liquefeito, ou GNL. O porto também comporta uma indústria robusta em vários segmentos, como o aço, o petróleo, o transporte marítimo de cimento, e em sua estrutura bem estabelecida que já opera por cerca de dez anos, mostra capacidade para servir muitas outras indústrias.

A autoridade de política externa do Porto de Roterdã descreve e exige coerência no subsequente comprometimento às cláusulas do MoU. Através dela, o PoR construiu sua experiência através de outras já comprovadas parcerias no

desenvolvimento e gerenciamento de portos como em SOHAR Port & Freezone no Sultanato de Omã, no Porto Central do Brasil e em Kuala Tanjung na Indonésia.

Além disso, atua como conselheiro em vários outros portos espalhados no mundo.

Só em 2016, as empresas subsidiárias em Omã, Brasil e Indonésia contribuíram com mais de 8,9 milhões de euros para o resultado financeiro do Porto de Roterdã.

ABRINDO UMA EMPRESA NA HOLANDA A HOLANDA É O LOCAL PERFEITO PARA NEGÓCIOS DE EMPREENDEDORES ESTRANGEIROS (2.000 SUBSIDIÁRIAS EM AMSTERDÃ, 140.000 EMPREGOS).

Constituindo uma entidade holandesa As entidades comerciais mais comuns na Holanda são as Besloten Vennootschap (BV: sociedade limitada) e as Naamloze Vennootschap (NV: sociedade anônima).

Ambas entidades possuem personalidade jurídica, emitem ações e seus acionistas possuem responsabilidade limitada. A principal diferença entre as NVs e BVs é que uma BV pode emitir apenas ações nominativas, enquanto as NV emitem tanto ações nominativas quanto títulos ao portador (livremente transferíveis). Por esse motivo, apenas as ações de uma NV podem ser listadas na bolsa de valores.

Outra diferença importante é o capital social: uma BV pode ser constituída com um capital social de apenas 0,01 EUR. A constituição de uma NV requer um capital social de 45.000 EUR.

É a porta de entrada para a populosa Europa Ocidental e possui uma infraestrutura logística e técnica bem desenvolvida. A lei holandesa baseia-se na tradição do direito civil europeu continental e é – com a Holanda sendo um membro fundador da União Europeia - fortemente influenciada pelas leis da União Europeia. Isso significa que a lei é em grande parte escrita, mas não se deve subestimar a relevância da jurisprudência. Uma vez que o Código Civil holandês data de 1992 e é atualizado com frequência com nova jurisprudência, a lei holandesa possui um avançado sistema jurídico.

O primeiro passo no processo de constituição de uma BV ou NV é elaborar uma escritura de constituição. A escritura de constituição é feita por um tabelião e inclui os artigos (iniciais) do estatuto do negócio. Os custos (mínimos) para essas escrituras são de aproximadamente 900 EUR – 1.050 EUR (não incluindo os 19% de IVA e taxas) para uma entidade padrão dependendo do número de acionistas.

O estatuto contém os regulamentos que regem a organização interna da empresa e, entre outras coisas, o nome e a finalidade da empresa. Após a execução da escritura de constituição e o cumprimento dos requisitos de capital social mínimo acima mencionados, a BV ou a NV pode ser registrada na Câmara de Comércio.

Esse registro finaliza o processo de constituição. No entanto, a BV ou NV já pode realizar livremente seus negócios mesmo antes da finalização desse processo.

Acionistas e a assembleia geral dos acionistas Os acionistas são os donos da empresa.

Por esse motivo todas as principais decisões em relação a NV devem ser apresentadas e aprovadas na assembleia geral dos acionistas (a seguir denominado: assembleia geral). Decisões importantes incluem, por exemplo: emendas aos artigos do estatuto ou emissão de novas ações. Acionistas possuem o direito de votar em uma assembleia. Se eles detêm pelo menos 1 por cento das ações, possuem o direito de colocar itens na agenda da assembleia. Outros direitos importantes da assembleia incluem a aprovação ou rejeição das demonstrações financeiras de uma empresa e o poder de nomear e destituir diretores do conselho administrativo.

Os artigos de uma BV podem estipular que um corpo de uma empresa (por exemplo, a assembleia geral) tem a competência de obrigatoriamente instruir o conselho administrativo. No entanto, se essa instrução conflitar com os interesses da BV, o conselho pode reverter a decisão.

Conselho administrativo As responsabilidades principais do conselho administrativo da BV e da NV são: gestão adequada da empresa e a elaboração pontual e precisa de suas demonstrações financeiras. O conselho é responsável por determinar a estratégia e a representação (externa) da empresa. Nessa capacidade, o conselho administrativo e seus membros individuais estão autorizados a vincular a empresa.

Até que ponto eles são coletivamente ou individualmente autorizados a fazêlo, é frequentemente especificado nos estatutos. Portanto, é recomendável verificar, antes de uma transação, se um membro em particular está realmente autorizado a vincular a empresa.

Se um membro do conselho administrativo possui um conflito de interesses que diz respeito a uma determinada transação, ele ou ela não é autorizado(a) a participar do processo de decisão. Caso a totalidade do conselho tenha um conflito de interesses, a decisão deve ser tomada por uma assembleia, ou, caso existente, pelo conselho de supervisão ou pelos diretores não-executivos, salvo estipulação contrária no estatuto.

Conselho de supervisão e diretores nãoexecutivos O direito societário holandês é conhecido por seu sistema administrativo de dois níveis, onde diretores supervisórios fazem parte de um organismo separado, o conselho de supervisão. Apesar das BVs e NVs serem obrigadas apenas em casos específicos (ou seja, quando uma BV ou NV se qualifica como uma structuurvennootschap) a instituir um conselho de supervisão, muitas entidades (voluntariamente) o fazem.

O conselho de supervisão monitora e instrui o conselho administrativo de forma ativa e independente. Os membros do conselho de supervisão são geralmente nomeados durante uma assembleia geral dos acionistas. Hoje em dia, uma BV ou NV pode também optar por um modelo de “conselho de um nível” que consiste em apenas um conselho (portanto sem conselho de supervisão) com diretores executivos e não-executivos.

Participação dos funcionários Um empreendedor que possui 50 ou mais funcionários é obrigado a constituir um comitê da empresa. Os funcionários podem participar dos processos de decisão da empresa através desse comitê. De acordo com a lei, ele possui, a depender do assunto em questão, os seguintes direitos: 1. o direito de prestar aconselhamentos, 2. o direito de aprovação, e 3. o direito a informação, consulta e iniciativa.

Demonstrações financeiras e relatório anual Todos os anos, tanto a BV quanto a NV precisam divulgar suas demonstrações financeiras (jaarrekening). As demonstrações financeiras de grandes e médias empresas são apresentadas aos acionistas através do relatório anual (jaarverslag). Pequenas empresas apenas precisam apresentar suas demonstrações financeiras; elas não são obrigadas a preparar um relatório anual.

Responsabilidade na BV/NV Após finalizado o processo de constituição, os acionistas são responsáveis apenas por sua participação nas ações da empresa. Os diretores administrativos não são, a princípio, responsáveis por dívidas da companhia. Eles serão apenas responsabilizados caso seja provado que cometeram sérios atos de negligência. Nesse caso, os diretores serão solidariamente responsabilizados pelos danos que a empresa sofrer. Em caso de falência, isso pode também se aplicar aos danos que os credores da empresa sofrerem.

APEX - BRASIL E DELEGAÇÃO DA UNIÃO EUROPEIA NO BRASIL LANÇAM MAPA BILATERAL DE INVESTIMENTOS A Agência Brasileira de Promoção de Exportações e Investimentos (Apex-Brasil) e a Delegação da União Europeia no Brasil lançaram em setembro o Mapa Bilateral de Investimentos Brasil – União Europeia. O documento foi construído a partir de dados oficiais e informações de investimentos estrangeiros diretos anunciados com o histórico recente da relação de investimentos entre o país e a União Europeia.

A análise dos investimentos realizados entre 2006 e 2015 demonstrou que Brasil e União Europeia possuem um longo relacionamento comercial, com robustos investimentos bilaterais em setores como mineração, agronegócio, produção de bens e serviços de alto valor agregado.

Brasil se destaca na comparação com as demais economias dos BRICS.

Em 2015, o estoque de Investimento Estrangeiro Direto (IED) da União Europeia no Brasil chegou a € 327,1 bilhões. Com isso, em termos de estoque com origem no bloco europeu, o Brasil foi o terceiro destino fora da União Europeia (atrás dos Estados Unidos e Suíça) e o primeiro entre países dos BRICS e da América Latina. Ainda em relação a esse quesito, a economia brasileira representou 48,5% do total de IED europeu destinado à América Latina e a 81% quando se avalia o Mercosul.

O Mapa mostra também que o Brasil se destaca na comparação com as demais economias dos BRICS. O estoque de IED da União Europeia no Brasil foi 1,14 vezes maior que na China (incluindo Hong Kong), 1,9 vezes maior que na Rússia, 4,2 vezes maior que na

África do Sul e aproximadamente 6,4 vezes maior que na Índia.

Para o presidente da Apex-Brasil, Roberto Jaguaribe, o investimento europeu no Brasil é altamente significativo, o que representa um indicador da riqueza do relacionamento o país e a Europa como um todo. “O Brasil tem uma relação tradicional com a União Europeia e recebemos investimentos de lá desde o século XIX. O estudo mostra que 55% dos investimentos estrangeiros no Brasil até 2015 vieram da Europa e nós recebemos 50% dos investimentos europeus na América Latina”, destacou Jaguaribe.

Além de demonstrar o tamanho da integração econômica entre as duas regiões, o estudo tem como objetivo subsidiar formuladores de políticas públicas que favoreçam as relações entre o Brasil e a União Europeia com objetivo de promover o desenvolvimento econômico de ambos através da inovação, da sustentabilidade ambiental e da geração de empregos.

O levantamento busca ainda ajudar a investidores com informações úteis para as suas estratégias de investimentos.

Embaixador da União Europeia no Brasil, João Gomes Cravinho, acredita que o Mapa será muito útil para a fundamentação de decisões de políticas públicas e também dos empresários, uma ferramenta para conhecer o panorama das relações entre Brasil e União Europeia que não existia no passado.

“O estudo demonstra claramente uma textura muito rica do relacionamento econômico e as possibilidades de aprofundar ainda mais esse relacionamento. Um dos méritos do estudo que surpreenderá muita gente é mostrar que o Brasil também é um grande investidor na Europa. É uma relação equilibrada e isso propicia ambiente favorável para um acordo comercial”, avalia Cravinho.

AS NEGOCIAÇÕES DO ACORDO DE ASSOCIAÇÃO ENTRE MERCOSUL E UNIÃO EUROPEIA ENCONTRAM-SE EM ETAPA CRUCIAL, TALVEZ NUNCA ANTES VISTA.

Diversos fatores, domésticos, regionais e também globais tornam esse acordo ainda mais importante, não apenas para as partes diretamente envolvidas, mas sob uma perspectiva sistêmica mais ampla.

Para explicar o significado mais amplo das negociações Mercosul-EU, eu gostaria de destacar neste artigo os seguintes pontos:

1) Brasil e União Europeia têm interesse comum no bom funcionamento da ordem econômica global neste momento de desafios fundamentais.

Ambos devem buscar aperfeiçoar esta ordem, de modo a enfrentar desafios atuais e novos;

2) Os laços profundos e intensos que unem Brasil e União Europeia não são um dado garantido da realidade.

Eles foram construídos ao longo dos anos. Isso significa que ambos os lados precisam investir nessa parceria de forma a conservar seu valor para o Brasil e para a União Europeia.

Mercosul e UE – que está atualmente em negociação – poderá garantir que nossas relações bilaterais continuarão sólidas e em progressão contínua.

Como Brasil e União Europeia podem atuar em conjunto para fortalecer a ordem econômica internacional.

A ordem internacional estabelecida após a II Guerra Mundial enfrenta desafios de grande magnitude. Esses desafios vêm “de cima”, de atores que questionam a relevância da ordem internacional, e também “de baixo”, de segmentos da sociedade que acreditam que uma maior abertura à integração internacional leva ao desemprego, à queda de padrão de vida e à degradação ambiental.

Este é um momento de definição, em que atores devem juntar forças para preservar – e se possível, aprimorar – instituições e regras, de modo a garantir estabilidade e prosperidade e superar disparidades e vulnerabilidades. Este é também o momento de defender o multilateralismo.

O Brasil e a União Europeia têm um forte histórico em defesa de uma ordem econômica baseada em regras. Nós vemos a contribuição desse sistema para a melhoria da qualidade de vida das pessoas e para o fornecimento das ferramentas necessárias para o desenvolvimento sustentável.

Nossa colaboração bilateral permitiu a adoção de decisões inovadoras como a que elimina totalmente subsídios para exportação agrícola, durante a Conferência Ministerial da Organização Mundial do Comércio, em Nairóbi, em 2015.

Brasil e União Europeia também estão trabalhando em conjunto para assegurar o sucesso da Conferência da Organização Mundial de Comércio que acontecerá em Buenos Aires, em dezembro próximo. No período precedente à reunião em Buenos Aires, nós apresentamos uma proposta para disciplinar o apoio doméstico a fazendeiros, impedindo assim distorções no comércio internacional. Resumindo, Brasil e União Europeia convergem em várias áreas que precisam ser abordadas pelo regime de comércio global, de modo a que este funcione para todos.

Mas nós compartilhamos também inúmeros valores que sustentam - ou deveriam sustentar – o comércio internacional. Por exemplo, o Brasil se juntou à Argentina e à União Europeia, na Assembleia Geral das Nações Unidas este ano, em apoio a proposta para acabar com o comércio de produtos usados em tortura ou na aplicação de pena de morte.

A ECONOMIA BRASILEIRA RETOMOU O CRESCIMENTO

Integração econômica e abertura beneficiaram tanto o Brasil, quanto a Europa. Os fatos e números que exporei a seguir podem parecer surpreendentes, mas eles revelam o quão densa são as relações entre Brasil e UE: - O Brasil é o quinto maior investidor na União Europeia. Nosso estoque de investimentos na Europa (EUR 127 bilhões) é maior que o da China.

- Companhias brasileiras criam empregos e promovem inovação na Europa de maneiras variadas, como a produção de aviões e motores.

- A União Europeia é o maior investidor no Brasil, com estoque de EUR 327 bilhões.

- No ano passado, o Brasil foi o principal destino do fluxo de investimento europeu (EUR 33 bilhões). Não é um feito menor, considerando que a UE é o maior investidor no mundo.

Alguns fatos demonstram a força da integração econômica entre Brasil e União Europeia: - A cidade de São Paulo abriga uma das maiores concentrações de empresas alemãs no mundo – com mais de 900 empresas germano-brasileiras operando na cidade. A França tem mais de 850 companhias operando no Brasil. São Paulo é também o segundo maior polo industrial sueco depois de Gotemburgo.

- O Brasil frequentemente corresponde a parcela relevante – ou mesmo à parcela principal - dos lucros

de empresas europeias. Nós somos, por exemplo, o terceiro maior mercado de produtos de beleza e cosméticos do mundo.

A visão convergente do Brasil e da União Europeia sobre a ordem econômica global alimenta-se desta integração profunda entre suas respectivas economias e sociedades. Essas são algumas das razões pelas quais o Brasil e a União Europeia são parceiros estratégicos. É uma parceria entre dois atores globais, que em 2017 celebra seu 10º aniversário. Mas essa parceria é o resultado de uma articulação e construção contínua ao longo dos anos.

A saúde da parceria não é algo garantido.

Para mantê-la no mesmo nível de densidade, é necessário constante investimento. Neste momento decisivo de reorganização global em diversos níveis, é nossa responsabilidade preservar as conquistas das relações entre Brasil e União Europeia.

E é aqui que a geopolítica – ou talvez mais apropriadamente, a geoeconomia – entra em campo. Numerosas mudanças em curso – em nível local, regional e global – pode afetar a maneira de o Brasil interagir com a economia global no futuro próximo.

Essas mudanças também impactam nas relações econômicas entre Brasil e União Europeia.

Após dois anos de profunda recessão, a economia brasileira retomou o crescimento. A inflação é de aproximadamente 3% ao ano, as taxas de juros estão no nível mais baixo dos últimos anos (7,5%), a taxa de desemprego parou

de subir e novos empregos começam a ser criados. Estes sinais levaram as instituições financeiras a reavaliar a taxa de crescimento esperada para o Brasil em 2018, elevando-a a 2,5% ou mais. As reservas internacionais chegaram a US$ 381,2 bilhões no final de setembro. Em nível nacional, o Brasil está implementando atualmente as reformas necessárias para garantir condições para crescimento econômico e competitividade. No final das contas, essas reformas buscam criar, de maneira sustentável, empregos, educação, e um padrão de vida decente para os brasileiros. Os benefícios desta recuperação ultrapassam fronteiras: também alcançam as sociedades e as economias de nossos sócios no MercosulArgentina, Paraguai e Uruguai.

O Brasil vem mantendo a tradição de figurar entre os 10 principais destinos para investimento estrangeiro no mundo. Com as medidas que estão sendo colocadas em prática, o fluxo de investimento para o Brasil, em 2017, deve alcançar total significativo, com estimativas de aproximadamente US$ 80 bilhões.

Algumas medidas já adotadas – como as concessões feitas na área de infraestrutura – promoverão uma crescente internacionalização da economia brasileira.

Em 2017, por exemplo, o direito de exploração de usinas hidrelétricas foi concedido a companhias da China e da França. Também neste ano, leilões de quatro aeroportos foram vencidos por operadores da França, Alemanha e Suíça.

Em comércio, a China se tornou, em 2017, o parceiro número 1 do Brasil. Isso significa que a União Europeia – que até então tradicionalmente ocupava esse posto – está agora em segundo lugar. E essa é uma tendência que deve se intensificar, visto que a lacuna no volume de negócios entre Brasil e China e Brasil e UE já é significativa.

Ainda em relação ao comércio, o Brasil começou a negociar - em conjunto com os países do Mercosul – acordo comercial com a EFTA (Islândia, Liechtenstein, Noruega e Suíça). Recentemente, Mercosul e Canadá anunciaram a decisão de avançar o seu exercício conjunto de avaliação, com vistas a possíveis negociações de livre comércio. Nós estamos também trabalhando para expandir nosso Acordo de Comércio Preferencial com a India, passando de 500 a 1000 linhas tarifárias.

Na América Latina, o Mercosul aumentou sua colaboração com países membros da Aliança do Pacífico (Chile, Colômbia, México e Peru), em um movimento que vai aprofundar a integração da região.

Alguns resultados já são visíveis, tais como acordos sobre serviços e investimentos assinados entre Brasil e Chile, Colômbia e Peru. Nós estamos também trabalhando com o México para expandir o escopo do nosso acordo de livre comércio.

De fato, até 2019, a maior parte da América do Sul se terá transformado em uma virtual área de livre comércio, como resultado de uma rede de acordos comerciais assinados sob a ALADI (Associação Latino-Americana

de Integração).

Finalmente, mas não menos importante, o Brasil apresentou sua candidatura para ingresso na OCDE. Esse processo, quando completado, vai causar impactos no Brasil em diferentes níveis e também na economia global.

Esses eventos gerarão desafios no tocante à posição econômica que a União Europeia atualmente ocupa em sua relação com o Brasil. Agora é o momento de tomar decisões que influenciarão a estrutura das nossas relações econômicas no futuro.

Nós temos uma oportunidade única de agir, tendo em vista que as negociações do Acordo de Associação chegam a um estágio crucial.

Esta é uma das maiores negociações comerciais em curso no mundo atualmente, com Produto Interno Bruto (PIB) conjunto de aproximadamente US$ 19 trilhões e um mercado de 750 milhões de pessoas. Entre as negociações comerciais da União Europeia, como indicou recentemente o Presidente da Comissão Europeia, a negociação entre a UE e o Mercosul é quatro vezes o acordo entre UE e Japão e oito vezes o CETA, celebrado com o Canadá.

Mas não são apenas esses fatores que tornam único o acordo UE-Mercosul.

Esse acordo não garante apenas à União Europeia o benefício de acesso pioneiro ao mercado de bens do Mercosul, mas prepara o caminho para que empresas europeias ofereçam serviços e participem de licitações de compras públicas nos países do Mercosul. E esse fator não é irrelevante: somente no Brasil, a estimativa é de que o mercado de contratos públicos em nível federal corresponda a 8% do PIB – ou seja, 8% de um total de US$ 1,8 trilhões.

Em 2016, apesar da crise, o e-commerce no Brasil cresceu mais de 7%, com vendas chegando a EUR 12 bilhões e a 48 milhões de consumidores, quase um quarto da população brasileira. Além disso, tendo em vista que os principais operadores econômicos europeus já estão em atividade no Brasil, este acordo comercial

terá talvez efeitos mais palpáveis em atores econômicos de pequeno porte.

Esses atores poderão ter acesso ao mercado do Mercosul em condições mais competitivas com a remoção de tarifas e com o estabelecimento de regras comerciais mutuamente acordadas.

Nessas condições, eles têm muito a ganhar.

Essa negociação pode ser muito proveitosa em termos econômicos, se os dois lados chegarem a um acordo abrangente, ambicioso e equilibrado. Mas a negociação também faz muito sentido sob o ponto de vista estratégico, para o Brasil, para o Mercosul e a União Europeia.

Para conseguir isto, nós precisamos também progredir no tema de agricultura.

Nessa questão, a bola está com a UE. A oferta de acesso a mercado para bens agrícolas de interesse do Mercosul está, por enquanto, desalinhada com a abertura que a UE espera do Mercosul em bens industriais, propriedade intelectual, serviços, compras públicos e outras disciplinas.

De certo modo, o acordo é uma apólice de seguro que visa preservar o que o Brasil e a União Europeia construíram juntos ao longo dos anos. Mas seu sucesso depende de determinação e vontade política de ambos os lados do Atlântico.

As escolhas que faremos nos próximos meses vão moldar o futuro de nossas sociedades. Nós precisamos colocar de lado atitudes complacentes e agarrar a oportunidade que temos para construirmos juntos um futuro melhor.

Já na sua 13a edição, o “Brazil Network Day” - BND - é um encontro empresarial para a promoção comercial bilateral entre o Brasil e os Países Baixos, organizado semestralmente pela Embaixada do Brasil na Haia. O evento atrai um público formado por cerca de 300 participantes, representantes dos setores público e privado, em sua maioria empresários neerlandeses com investimentos no Brasil e brasileiros com empreendimentos na Holanda.

ENTREVISTA COM: Líder do Projeto Biobased Economy na Universidade Avans de Ciências Aplicadas

As mudanças climáticas globais estão progressivamente capturando a atenção das autoridades e da sociedade em uma escala cada vez mais internacional.

Desde a conferência climática de Paris (COP21) em 2015, as nações se comprometeram no primeiro acordo global climático legalmente vinculativo.

Países de todo o mundo estão mostrando abertamente seus interesses e ambições para reduzir as emissões de CO2, o que consequentemente resulta em uma cooperação internacional mais forte.

A Holanda e o Brasil assinaram o acordo e estão desenvolvendo políticas em relação à questão das mudanças climáticas. Os Países Baixos, por exemplo, estão se esforçando para estar na linha de frente, encorajando a transformação de atividades econômicas domésticas baseadas

em recursos fósseis em processos operacionais que usam mais biomassa e/ou outras fontes sustentáveis, como energia solar e eólica. Laços sólidos entre as indústrias agrícola e química podem fornecer aos Países Baixos os ingredientes essenciais para transformar essa ambição em uma conquista tangível. O Brasil, com seu clima tropical, vem apresentando muitas oportunidades na oferta de recursos alternativos.

O país está se esforçando para se tornar a primeira nação com emissão neutra de CO2, e de acordo com um estudo recente supervisionado pela Universidade de Harvard, o país tem realmente o potencial de fazê-lo. Há no país um alto volume disponível de fluxos de biomassa e resíduos orgânicos, 20% da biodiversidade mundial, experiência e conhecimento

de primeira linha em biocombustíveis, esta última característica derivada do um programa nacional de etanol iniciado nos anos 70 (Pro-Álcool).

Desde novembro de 2014, órgãos governamentais holandeses e brasileiros, bem como empresas privadas, agências e universidades começaram a trabalhar em conjunto com o objetivo de promover a inovação na chamada “BioBased Economy”, ou Economia de Base Biológica.

Fazemos isso através do Living Lab BioBased Brasil. O “Lab”, ou laboratório, tem o formato de um consórcio entre universidades, empresas e organizações públicas, e é uma organização de rede de contatos coordenada por uma parceria holandesa e brasileira com o objetivo de dar foco a projetos de pesquisa aplicada para enfrentar problemas decorrentes no

setor privado, com o apoio ativo do setor público nos projetos.

Considerando é claro o tamanho geográfico do Brasil, decidimos deliberadamente concentrar nossos projetos em um estado específico, Minas Gerais. O principal motivo é a concentração de excelentes universidades na região, como a UFMG, UFSJ, UFV e a PUC-Minas.

Além disso, o setor agrícola da região é um dos maiores do país. Iniciamos a cooperação discretamente, apenas apoiando o intercâmbio de estudantes entre os dois países.

Desde 2015, mais de 40 estudantes neerlandeses mudaram-se para o Brasil para seguir parte de seus estudos em universidades do estado de Minas Gerais. Em contrapartida, cerca de 15 estudantes brasileiros em cursos

de graduação e pós-graduação se mudaram para a Holanda para realizar pesquisas de grupo em universidades neerlandesas de ciências aplicadas, por exemplo, a Avans em Breda e a NHL em Leeuwarden. A principal diferença entre os grupos de pesquisa de ambos os países é que os estudantes holandeses são mais acostumados na cooperação de estudos de pesquisa aplicada com o setor privado. A abordagem ainda nova no Brasil, já experimenta alto nível de troca de conhecimento com estudantes holandeses, o que aumentou a vontade de cooperação do lado das universidades brasileiras.

Atingir as ambições do acordo de Paris não é ao todo uma tarefa simples. Exigese uma cooperação e um empenho densos, tanto do setor privado quanto do

sector público. Portanto, dentro de uma perspectiva educacional, estamos nos esforçando para agregar valor a acordos para projetos de pesquisa e com adesão contínua. O consórcio tem atualmente cinco projetos em linha, por exemplos, um baseado na conversão de óleo de resíduos de ácidos saturados livres (FFA) de macaúba para biodiesel, e outro baseado em um estudo sobre fluxos de repouso no setor de laticínios em Minas Gerais.

Empresas holandesas e brasileiras estão ativamente envolvidas em nossos projetos, o que nos permite trocar inovação e tecnologia entre os países, não apenas sob uma perspectiva acadêmica, mas também em nível de empreendedorismo.

Além disso, o Living Lab BioBased Brasil tem acesso a uma base de dados dos estudantes mais brilhantes de ambos os

países, e usamos essa rede para facilitar o processo de recrutamento das empresas.

Geralmente os alunos são contratados como estagiários para trabalhar em projetos no país estrangeiro e as probabilidades são substancialmente altas de que serão imediatamente convidados a um acordo de trabalho de longo prazo após o período de estágio. No Brasil, temos acesso a cerca de 125.000 estudantes de universidades federais - consideradas as melhores organizações educacionais do país - enquanto na Holanda temos acesso a cerca de 100.000 estudantes de bacharel.

Em um futuro próximo, nossa busca é por adquirir todos os recursos necessários para apoiar as indústrias holandesas e brasileiras com suas convergentes ambições sobre questões técnicas de

pesquisa aplicada no tema da Economia BioBased, bem como no recrutamento de pessoal para o setor. O envolvimento de todos os agentes representa uma forte parceria para projetarmos um quadro sustentável, capaz de operar em uma escala maior do que apenas o intercâmbio de estudantes. Nosso objetivo final é na verdade criar uma ampla rede formada por atores complementares. Em tal rede, criaremos novas aplicações para o mercado, levando em conta do crescimento econômico, não apenas regional ou nacional, mas também internacional. EDUCAÇÃO E NEGÓCIOS Nos Países Baixos, a educação é um dos três pilares do Ministério da Educação, Cultura e Ciências. Na sua missão de salvaguardar um país experiente em conhecimentos, hábil e de cultura, o Ministério acrescenta em sua lista de prioridades, o objetivo de garantir que todos estejam preparados para a independência pessoal e responsabilidade.

A recentemente eleita Ministra da Educação, Ingrid van Engelshoven, é bem conhecida na política neerlandesa por seus investimentos em professores, o que espera-se, trará uma refinada contribuição ao estilo de seu antecessor, que reorientou

a educação, incluindo educação superior, para um caminho de desenvolvimento de talentos, considerado inovador quando assumiu o cargo em 2013.

Ensino superior na Holanda Nos Países Baixos, o ensino superior é oferecido em formas diferentes às do resto do mundo, incluindo o Brasil.

Existem três tipos de instituições de ensino superior: instituições financiadas pelo governo, aprovadas e privadas.

Somente as instituições financiadas pelo governo recebem fundos do Ministério da Educação, Cultura e Ciência ou do

Ministério da Economia. Todos os três tipos de instituições podem conceder graus oficialmente reconhecidos. No entanto, uma vez que as taxas de matrícula universitária são estabelecidas por lei em instituições públicas, as taxas de bacharel são bastante semelhantes em todas as universidades, para estudantes holandeses. As diferenças em taxa de matrícula são mais visíveis nos tipos de programas. Existem dois tipos de universidades com financiamento público que oferecem programas de bacharelado: Universidades de Pesquisa (WO) e Universidades de Ciências Aplicadas

Este ano, a AMSIB recebeu 220 estudantes de intercâmbio de todo o mundo

(HBO). As universidades de pesquisa se concentram em pesquisas, oferecendo um programa de bacharel de três anos.

O foco de uma Universidade de Ciências Aplicadas é sobre treinamento prático com duração de quatro anos. Ambos resultam em um diploma de bacharel.

As 13 universidades de pesquisa e as 43 universidades de ciências aplicadas muitas vezes trabalham juntas, compartilhando conhecimentos e, às vezes, até campus; no entanto, as identidades são separadas.

Ao compartilhar competências, as instituições oferecerem aos alunos uma série de programas de estudo com o objetivo de treinamento prático ou pesquisa sobre um determinado tópico,

dependendo do grau final desejado. É muito comum encontrar alunos de diferentes instituições e programas em uma mesma classe durante seus últimos anos de curso, especialmente quando estão seguindo um programa secundário no final do curso, mais conhecido na sua forma em inglês – ou “minor”. Os estudantes holandeses são encorajados a seguirem o “minor” em diferentes instituições. Tendo assim a chance de dar maior ênfase a seus estudos em uma língua específica, um região específica ou em um assunto especializado, tais como: Empreendedorismo, Marketing Internacional, Negócios Latino-americanos e Gestão da Cadeia de Suprimentos. Tais programas de “minor” são projetados para

acomodar estudantes e profissionais que desejam adquirir uma habilidade maior e mais atualizada em um específico tópico.

A Escola de Business Internacional de Amsterdã (AMSIB) faz parte da Universidade de Ciências Aplicadas de Amsterdã (AUAS), e tem laços estreitos com a Universidade de Amsterdã (UvA).

Este ano, a AMSIB recebeu 220 estudantes de intercâmbio de todo o mundo, dentre os quais dez da América Latina: incluindo um estudante brasileiro. No ano passado, três estudantes de intercâmbio da AMSIB foram enviados para universidades parceiras no Brasil; principalmente para o Rio de Janeiro e São Paulo.

ste ano, a Universidade de Ciências Aplicadas de Amsterdã (AUAS) celebrou 50 anos de educação na Holanda. Muitos dos ex-alunos são proeminentes profissionais do país e do exterior. Ex-estudantes do minor “Negócios na América Latina” estiveram presentes entre os ex-alunos durante a semana de celebração. Na ocasião foi apresentada a importância da criação de uma rede de ex-alunos latinoamericanos.

Grandes Expectativas Uma parte integrante do ensino superior holandês é seu aspecto internacional.

Em 2016, cerca de 80.000 estudantes internacionais seguiram programas em tempo integral (bacharel e mestrado) e 20.000 seguiram programas de educação em tempo parcial (bacharel e mestrado).

Eles representaram quase 8% do total de estudantes de ensino superior no país.

De acordo com o Nuffic (A Organização Holandesa para Internacionalização na Educação), a taxa de crescimento vem aumentando constantemente. O crescente número de estudantes internacionais que vêm para a Holanda está vinculado à legislação aprovada pelo Ministério da

Educação em 2015, que criou soluções atraentes para estudantes internacionais para estudar na Holanda, permitindo que universidades (tanto de pesquisas como de ciências aplicadas) reduzissem, ou até mesmo não cobrassem taxas de matrícula para estudantes que seguissem curso em estudos combinados, em uma instituição na Holanda e uma instituição no exterior. Durante os últimos anos, muitos estudantes de intercâmbio brasileiros encontraram caminho em universidades holandesas, em áreas como negócios, ciências e tecnologia. Um pequeno número também se juntou como estudantes de tempo integral, iniciando seu primeiro ano de educação na Holanda.

O crescente número de estudantes estrangeiros também cria desafios em muitas cidades holandesas. As dificuldade de moradia devido alta procura, e o aprendizado da língua estrangeira são os desafios mais comuns. Estudantes locais e internacionais são afetados pela situação habitacional holandesa. Alguns estudantes internacionais encontram uma vida adequada antes do início do estudo, mas muitos começam o semestre sem um endereço fixo, especialmente na cidade

de Amsterdã. A cidade atende cerca de 180 nacionalidades diferentes. O número exato de estudantes brasileiros de ensino superior que vivem na cidade é de difícil definição, mas acredita-se que o número seja de cerca de 50.

O desafio da linguagem é principalmente tratado nos departamentos de línguas das universidades. Embora estudantes estrangeiros se inscrevam em programas educacionais oferecidos na língua inglesa, as aulas de língua holandesa são oferecidas durante todo o ano. Escritórios internacionais motivam estudantes estrangeiros a seguir essas classes para integração. O resultado é que, após alguns meses de treinamento em holandês, estudantes já usam o idioma local para por exemplo comprar lanches na cafeteria da universidade e já se engajam em pequenas conversas na sala de aula. Aprender a língua ajuda na vida social fora da escola.

Entrevista com estudantes estrangeiros da AMSIB, incluindo alguns brasileiros, revelou que as listas de espera para as aulas de idiomas podem ser longas, portanto, os estudantes estrangeiros tendem a se juntar a sociedades internacionais onde se comunicam em inglês e já iniciam sua

O treinamento de habilidades em empresas também faz parte do programa de estudo para um diploma de bacharel em tempo integral na AUAS. Em uma universidade de ciências aplicadas, a integração da academia, da sociedade e do setor privado constituem a espinha dorsal do diploma de bacharel. Os estágios fazem parte do currículo universitário dos estudantes. Ao estagiar em uma empresa, o desenvolvimento de talentos é abordado por dois lados: habilidades emocionais e habilidades específicas. Na AMSIB, os estudantes passam um semestre inteiro aperfeiçoando suas habilidades em uma empresa internacional. O estágio é organizado por um contrato assinado tanto pela escola quanto pela empresa.

O estágio tem dois supervisores: um na escola e um na empresa. A conexão entre escola e empresa é feita através de visitas locais que enriquece a rede de contatos da universidade, resultando em mais oportunidades de estágios, convidados para palestras, e, por vezes, oportunidades de trabalho para estudantes.

Os estudantes de intercâmbio se beneficiam da rede internacional ao encontrar estágio em seu país de origem

ou na Holanda. Muitas vezes, quando um estudante de intercâmbio encontra estágio na Holanda, a chance de uma extensão da permanência no país aumenta.

Empresas multinacionais são famosas por processos de recrutamento para estudantes locais e internacionais. É interessante notar que empresas holandesas de todos os tamanhos demonstram forte interesse por estagiários internacionais. As barreiras linguísticas são quebradas pela adoção do inglês como língua principal em escritórios localizados em todo o país, o que facilita o recrutamento e retenção de estagiários.

Essas empresas são bastante proativas e com frequência contatam as universidades quando procuram por estudantes com conhecimento específico.

Uma mentalidade empresarial é altamente apreciada na cultura de negócios na Holanda, o que se encaixa bem com os estudantes mais proativos e dispostos a investir grande esforço em possibilidades ilimitadas de aprendizagem e progressão no trabalho. Estudantes brasileiros inscritos no sistema educacional dos Países Baixos são candidatos legítimos para esses

estágios. Devido aos investimentos de empresas neerlandesas e multinacionais no Brasil, é pratica comum portanto a preferência por estagiários que compreendam a cultura e também são estudantes internacionais expostos à língua durante seus anos de ensino superior. As empresas brasileiras que operam na Holanda podem explorar diferentes oportunidades criando fortes laços com universidades holandesas, não só para programas técnicos, mas também em estudos comerciais e sociais.

UM POUCO SOBRE A ABRAS A Associação Brasileira de Supermercados (ABRAS) atua firme em sua missão de representar, defender, integrar, impulsionar e desenvolver o setor supermercadista no País.

Criada em 11 de novembro de 1968, e prestes a completar seus 50 anos de existência no próximo ano, a entidade criou uma ampla rede de relacionamento com a sociedade, com órgãos de governo e diversas instituições nacionais e internacionais.

A ABRAS atua em rede, de forma participativa, com as 27 Associações Estaduais de Supermercados afiliadas, sempre com foco na evolução das lojas; no estímulo ao saudável intercâmbio com os fornecedores; além do esforço dirigido ao

melhor atendimento aos consumidores e à evolução do mercado de consumo no País.

A entidade nacional, com sede em São Paulo (SP) e escritório em Brasília (DF), representa o setor de autosserviço no Brasil, que responde por mais de 5% do Produto Interno Bruto (PIB) do País, com faturamento de 330 bilhões e gera mais de 1,8 milhão de empregos diretos.

Atualmente, a entidade é dirigida por João Sanzovo Neto, acionista da rede Jaú Serve, no interior de São Paulo.

“A ABRAS tem como prerrogativa o trabalho em prol dos supermercadistas brasileiros e neste ponto, atua como um grande hub, ao conectar fornecedores, órgãos governamentais e empresários do setor”, afirma Marcio Milan – superintendente da ABRAS.

Sendo assim, o mercado holandês é de grande importância para a entidade, já que possui empresas que são grandes indústrias, como é o caso da própria Unilever, empresa holandesa que é parceira da ABRAS desde a sua fundação, além de prestadoras de serviços, do setor de tecnologia, financeiro e empresas ligadas ao agronegócio, complementa Milan.

O trabalho colaborativo e de realizar encontros que a ABRAS desenvolve, nos trouxe para a Convenção ABRAS em 2017, ótimas palestras, além de parceiros comerciais para o setor. Por meio dos trabalhos desenvolvidos na ABRAS, como o Programa RAMA (Rastreabilidade e Monitoramento de Alimentos) que visa efetuar o controle dos resíduos de defensivos agrícolas em frutas, legumes e verduras, é que surgem grandes parcerias.

Pessoalmente, eu fiz a viagem de Amsterdã para o Brasil, especialmente porque acredito que é de grande valia conhecer as tendências e entender o desenvolvimento desta região, e espero que minha apresentação possa ter trazido ao público presente o que vemos internacionalmente”.

E complementa quando questionado se há planos de expansão do grupo na América

Latina e o Brasil, ele responde: “Sim, nós queremos nos estabelecer na América Latina. Se fizermos isso, o Brasil será o primeiro mercado no qual iremos nos concentrar. Eu acredito que junto com a SPAR os varejistas daqui poderiam manter a independência deles e ainda assim ter acesso aos recursos de um grupo global, cuja receita alcançou 3 bilhões de euros. Sem contar também o acesso às habilidades e ao know-how que compartilhamos trabalhando juntos.”

Devido à relevância trazida pelas empresas holandesas em nossa Convenção, a ABRAS buscará continuar com esta troca de conhecimento e networking com a Holanda, buscando a expansão destas relações.

Em 2018, a ABRAS completará 50 anos de existência e sua convenção acontecerá no mês de março nos dias 19, 20 e 21. Será um grande marco, já que o Maior Encontro de Líderes do Setor Supermercadista Brasileiro irá retornar ao Rio de Janeiro,

INOVAÇÃO COLABORATIVA COMO FERRAMENTA PARA A CRIAÇÃO DA “CAMPINAS: CIDADE DA BIOECONOMIA”

O Agropolo Campinas-Brasil nasceu em 26 de junho de 2015, inspirado no modelo de desenvolvimento do Agropolis Internacional/Montpellier-França, como fruto de um acordo de cooperação entre o Governo do Estado de São Paulo (Secretaria Estadual de Agricultura e Abastecimento-SAA e a Secretaria de Desenvolvimento Econômico, Ciência, Tecnologia e Inovação-SDECTI), a Prefeitura Municipal de Campinas, a Universidade Estadual de Campinas (UNICAMP), a Associtech Techno Park Campinas e a Associação Agropolis Internacional, com interveniência da Empresa Brasileira de Pesquisa Agropecuária (Embrapa) e do Consulado Geral de França em São Paulo.

O Agropolo Campinas-Brasil é uma plataforma interinstitucional,

fundamentada no conceito da “inovação colaborativa”, que tem por objetivo articular esforços junto aos Centros Geradores de Conhecimento (Universidade e Centros/ Instituições de Pesquisa), a Iniciativa Privada e o Governo (Municipal, Estadual e Federal) visando o desenvolvimento da bioeconomia na Região de Campinas por meio do desenvolvimento tecnológico e da inovação, com foco em: (i) agricultura, (ii) alimento, (iii) saúde, (iv) biodiversidade, (v) bioenergia, (vi) química verde e (vii) desenvolvimento sustentável.

Segundo a Confederação Nacional da Indústria (CNI): “A Bioeconomia surge como resultado de uma revolução de inovações aplicadas no campo das ciências biológicas.

Está diretamente ligada à invenção, ao desenvolvimento e ao uso de produtos e

processos biológicos nas áreas da saúde humana, da produtividade agrícola e da pecuária, bem como da biotecnologia.

Envolve, por isso, vários segmentos industriais”.

Segundo a Organização das Nações Unidas para Alimentação e Agricultura (FAO): “A Bioeconomia, se desenvolvida corretamente, oferece aos países, particularmente aqueles com recursos fósseis escassos, ainda que com amplas áreas para agricultura e silvicultura, uma oportunidade de aumentar o potencial de geração de valor de sua produção agrícola e impulsionar seu desenvolvimento econômico através da transformação de produtos agrícolas em materiais renováveis e energia, garantindo ainda a segurança alimentar e a nutrição”.

Para isso, desde sua criação, o Agropolo Campinas-Brasil tem trabalhado intensamente para conectar a comunidade científica e o setor produtivo, estimulando o debate e planejando as ações junto às 12 áreas estratégicas, delineando assim as ações de curto, médio e longo prazos, rumo à Bioeconomia. Atualmente, o Agropolo Campinas-Brasil vem trabalhando na elaboração de estudo em políticas públicas, visando melhor entender as novas demandas, oportunidades e os desafios dessa nova economia, e assim viabilizar a construção de um plano estratégico que deverão suportar a transição da atual “economia fóssil” para a “bioeconomia”. Esse projeto é intitulado “Agropolo Campinas-Brasil: Roadmap para identificação de áreas estratégicas de pesquisa visando a criação de um ecossistema bio-econômico de classe mundial” e é suportado pela Fundação de Amparo à Pesquisa do Estado de São Paulo (Processo Fapesp

2016/50198-0) e tem por objetivo construir um “mapa de rotas tecnológicas” para o desenvolvimento das áreas estratégicas descritas acima, a partir de amplas discussões transparentes e coletivas entre especialistas de todos os setores (academia, Governo e iniciativa privada).

Além de trabalhar no desenvolvimento das áreas estratégicas, o Agropolo Campinas-Brasil ainda tem por objetivo criar um ambiente propício para intensificar as relações entre as grandes áreas, criando assim um ecossistema

fortemente interligado e favorecendo assim o desenvolvimento sustentável, as inovações disruptivas e o crescimento de bioeconomia.

Neste contexto, os objetivos do Agropolo Campinas-Brasil são: i) construir um plano estratégico de ações de curto, médio e longo prazo para o desenvolvimento da Bioeconomia no Estado de São Paulo;

ii) agregar o conhecimento científico da região de Campinas em Unidades Mistas de Pesquisa (UMPs); iii) conectar o conhecimento técnicocientífico (UMPs) ao setor produtivo visando o desenvolvimento tecnológico e a inovação por meio do desenvolvimento de Projeto de Cooperação Técnico (PCTs); iv) formar uma rede de colaboração visando o desenvolvimento de programas focados em suportar ações junto à micro e pequenas empresas da região de Campinas visando: a) identificações de demandas e tendência do setor; b) assessorias tecnológicas e serviços técnicos; c) capacitação em gestão empresarial; d) auxílio para captação de recursos financeiros; e) desenvolvimento de processos e produtos; f) acesso a novos mercados (comercialização e exportação); v) construir um Parque Tecnológico com foco no Agronegócio; vi) criar um ecossistema inovativo de classe mundial de modo a maximizar os nascimentos e as instalações de empresas startups e spin-offs e a inovação na região de Campinas.

A meta do Agropolo Campinas-Brasil é centrada na ampliação da economia baseada no BIO, em substituição à economia fóssil atual, tendo como vetores: (i) ampliação do número e a qualidade de empregos formais, (ii) criação de novos produtos com alto valor agregado e (iii) redução das emissões de gases de efeito estufa (GEE).

Face às oportunidades e os desafios a serem enfrentados, o Agropolo CampinasBrasil tem trabalhado intensamente nas formações e consolidações de parcerias nacionais e internacionais que favoreçam o desenvolvimento tecnológico, a inovação e o desenvolvimento de novos negócios.

No âmbito internacional, as parcerias atuais estão centradas no Reino dos Países Baixos, França, Alemanha e Bélgica.

Em se tratando do Reino dos Países Baixos, as parceiras atuais se dão junto ao BE-Basic Foundation, a TU Delft e o Consulado Geral do Reino dos Países Baixos em São Paulo/ Holland Innovation Network, parcerias estas estabelecidas face aos trabalhos passados e em curso, as expertises e as oportunidades existentes em ambos os países no âmbito do desenvolvimento da Bioeconomia. Dentre os principais objetivos desta parceria, destacamse: a criação e transferência de conhecimento; a criação de networking e o desenvolvimento de parcerias e projetos colaborativos com foco na inovação entre empresas privadas, universidades e institutos de pesquisa, principalmente, com foco em: biocombustíveis e produtos bio-químicos, biomateriais e agricultura sustentável.

Entre os dias 29 de novembro e 04 de outubro de 2017, representantes do Agropolo Campinas Brasil estiveram visitando a Holanda. Ao longo dessa semana, o Agropolo Campinas-Brasil esteve discutindo com os parceiros atuais as próximas etapas de trabalho, bem como, visitando e prospectando juntos à outras instituições Holandesas e Brasileiras potenciais projetos em parceria para o desenvolvimento das áreas estratégicas e a consolidação do Agropolo Campinas-Brasil como um novo modelo de organização da pesquisa científica aplicada e com foco na inovação no Estado de São Paulo. Dentre as reuniões realizadas, destacam-se: Yes Delft,

BraDutch, Food Valley, Wageningen UR, SkyNRG, Good Fuels, BDS BioDetection Systems, the Netherlands Organisation for Applied Scientific Research (TNO), The Netherlands Organisation for Scientific Research (NWO), a Embaixada Brasileira na Holanda e o Ministério de Relações Econômicas do Reino dos Países Baixos. Dentre as ações futuras, o Agropolo Campinas-Brasil deverá concentrar esforços de forma a viabilizar projetos de desenvolvimento tecnológico em combustíveis aeronáuticos e marítimos e valorização da biomassa para produtos químicos junto ao BE-Basic Foundation/TU Delft, bem como, apresentar as oportunidades de negócios no Estado de São Paulo e na cidade de Campinas junto à Embaixada do Brasil na Holanda.
