How To Get Top Dollar For Your Business In 2023
A business is defined as “an organization or enterprising entity engaged in commercial, industrial, or professional activities” (Investopedia. com) or “any activity or enterprise entered into for profit” (Wikipedia) but is also an amalgam of dynamic, intangible, fluid human interactions and activities that celebrate the human spirit through enterprise and meaning.
A business broker’s role is to synthesise these elements into a whole and convert them into cash.
That cash amount can be the top value of the business or not! How can a business owner assist in the process of ensuring that their business has maximised its value?
Start with an exit plan! This will provide the framework and be the analysis tool for ensuring all the elements that comprise the business are performing in unison to ensure optimal value. An exit plan is a comprehensive plan that will enable an owner to exit their business on their terms and at their price. The Covid pandemic has changed the focus within the plan for many businesses, particularly when it comes to people. With unemployment sitting at 3.5% the availability of both skilled and unskilled workers has become critical and a threat to the exit strategy of many businesses.
Enact a strategy to attract and retain staff. Seeing people as the most important element within your business may be critical to attracting key people. People play a key role in deciding workplace culture, in the words of the great Peter Drucker, “recruitment is a life and death decision”.
Drucker also said that "organizational culture eats strategy for breakfast, lunch, and dinner and shouldn't be left unattended." As a business owner looking to exit your business ensure that the people culture within your
business is the glue that holds it together and is part of the magic that creates excellence. It is important to see knowledge and skills development as an investment and a way of doing business and not a cost. A business owner with a strong people culture and plan that has been used to attract and retain staff gives a business added value.
The corollary being excellence in customer service that has both an internal and external focus that follows from such a focus.
A successful people investment strategy will enable an owner to focus on working on the business and not in it. A buyer is more likely to pay a premium if you can demonstrate that your business can be run independently.
There are many elements to an exit plan and I have highlighted just one very important one, people.

TO BUSINESS BROKER
Since my early childhood living in inner Melbourne, I have always been around businesses, in a family heavily involved in the hospitality industry. We owned and operated petrol service-stations incorporating restaurant and takeaway facilities. Located on major traffic highways between Melbourne and Sydney, it was not unusual for 50 full busloads of passengers to arrive hungry and thirsty in a short space of time, in addition to the everyday service needs of car and truck commuters.
After moving back to Melbourne, I was involved in a range of successful businesses including French and Italian restaurants, pizza takeaway shops, sandwich bars and a fast-food establishment. My involvement included buying, operating, and selling these profitable businesses. With this extensive hospitality experience, I then shifted to the food service sector.
As a food service distributor for 20 years, my company supplied more than 150 businesses weekly with over 7000 product lines needed for customer food and beverage demands. Financial opportunity, lifestyle and flexibility, are all motivating factors for people to own a business. As I built bonds and relationships with business owners, both personally and professionally, I saw businesses flourish and fail. I also witnessed
ownership and management changes. I grew a deeper understanding of what determines success, where mistakes happen, and changing customer trends.
I know that owning a business is challenging with a high risk-toreward ratio. If everything goes well, then financial benefits are reaped. If the business fails –after placing so many hopes and resources on the business – much can be lost. These insights formed a bedrock of knowledge and the foundation of a crucial network of business operators for me. A natural platform was created to transition towards the opportunity to become a business broker.
I needed a new challenge and knew my skills would be well suited to supporting people to understand and navigate what can sometimes be a minefield when entering and exiting businesses. Having stood on both sides of the counter - as a buyer and a seller, I knew I could gain trust through regular communication and supply of factual information, to allow an educated decision with confidence in the process.
In addition to a lifetime of business acumen, as a business broker I can now identify and highlight the most important aspects in any business, and interpret critical information including pressures and problems that may crop up within a transaction for both
vendors and purchasers.
With vast experience and keen instincts in all aspects of business sales and operations, I have confidence in approaching every business sale, knowing that I can broker a deal that will leave all parties satisfied. RESEARCH SHOWS 9 OUT OF 10 STUDENTS WANT TO BE ENTREPRENEURS
Based in Melbourne, Australia, I am delighted to share my business and teaching experience with young entrepreneurs, to help them discover their inner talents and learn new skills, naturally. My goal is to have a driven child who wants to learn how to make money and how school studies can benefit in realising their entrepreneurial dreams.
WHY IS THIS HAPPENING?
Entrepreneurship trends are on the rise among young people. And while some of them are yet to complete formal education, their ambitious and entrepreneurial mindsets are shaping the way to their future employment.
We are talking about Gen Z. Born between 1995 and 2009, they are called the valuesdriven generation. Mccrindle research identifies their top hopes as owning a home and having financial freedom and independence, and one of their greatest fears is not having enough money to live comfortably.
The same research finds that most Gen Z anticipate running their own business or a side hustle,
which will help them complement and diversify their future income streams. Interestingly, this trend is predicted to intensify among newer generations, such as Gen Alpha, with 4 in 5 today’s primary school kids expected to run a business of their own at some point in their lives.
There are a few factors that contribute to this trend. More people from the family or community venture to start a business of their own, enjoy flexible lifestyles and align work with their values. Exposure to such experiences, and often involvement in support roles, inspires and helps young people build confidence to commercialise their own business ideas.
Secondly, business education is widely available at low or no cost, with virtual learning
convenient to pursue at any time. Lastly, the availability of easyto-enter platforms to produce and monetise self-made content also plays a role in driving entrepreneurial thinking forward.

It is thus safe to suggest that interest towards entrepreneurship will continue to rise among young generations in the coming years.
WHAT DOES IT MEAN FOR BUSINESSES IN THE FUTURE?
Being tech-savvy and visually
engaged, Gen Z live increasingly digitally integrated lifestyles. They expect more flexibility in the workplace and more alignment with their core values.
According to McCrindle, 3 in 5 of them fear being stuck in a job they don’t enjoy or find fulfilment in. This may prompt employers to be very clear about the purpose and values their organisations deliver to the world, to ensure the provision of more meaningful careers for Gen Z employees.
Greater career mobility (an average school leaver could have 18 jobs across 6 careers over their working life) and less reliance on a single source of income may suggest less loyalty to employers, with financial incentives not seen as a major benefit. This may mean that organisations should think of a greater alignment of jobs with the core values of their employees and offer non-monetary benefits, such as flexible working lifestyles and learning opportunities to help them excel in their careers.

LINK’S EXPANSION FUELS SUCCESS

rom an inauspicious start as an entrepreneur, Farzin Hesari has worked hard to build powerhouse business brokerages – first in Tasmania before expanding to Melbourne and, more recently, Adelaide.
In the early 2000’s, Farzin realised that the growth and income opportunities for business owners far exceed those of employees, so he decided to enter the import business. Saving sufficient funds from his part-time employment for his first order, he confidently paid $1,000 for a shipment of DVD players from China.
Farzin explained, “ I could bring them into Australia for about $150 and sell them for $500 or $600 each, which is cheaper than you could find them anywhere else. I thought that was a good way to make some money.”
However, the supplier’s enthusiasm for sending the goods did not match Farzin’s enthusiasm to receive them, and eventually, Farzin had to accept that he had been scammed. Fortunately for future-Farzin, he decided that this disappointment would not determine his fate.
This early experience taught him the value of research and that everyone you deal with in business does not share common interests, so a degree of healthy scepticism is required until trust is earned. He borrowed another $1,000 from the bank of Mum and Dad and tried again.
“This time, I did my due diligence and made sure the supplier was legitimate. I made sure it was an operating business, I spoke to the people, and I got advice from other importers.”
Repeating the process many times over the next few years, the orders and the range of products became bigger until the business finally outgrew his parents’ garage. After his friend made an amicable exit from the business, Farzin tried to continue with
outsourced help, but he quickly realised that it was time to sell the existing inventory and move onwhich he did.
THE VIDEO ERA
With the surplus funds he raised, 17-year-old Farzin decided to buy a video store with potential in a small shopping centre.
While negotiating the lease transfer from the existing owner, Farzin’s determination piqued the landlord's interest.
“He happened to be a very prominent businessman, and I was a teenager putting in an application to transfer the lease from the existing owner. He was thinking, who is this 17-year-old trying to buy a business with cash? He met me and saw something in me, took me under his wing, and mentored me to this very day.”
THE LIGHTBULB MOMENT
After successfully operating that video store for a few years, Farzin decided to sell. He was advised to engage a real estate agent to assist with the transaction.
As Farzin explained, “The real estate guy says, ‘how much do you want to sell your business for?’ I was expecting some guidance on what it was worth, but no, I had to tell them. The agent said, ‘You just tell me what you want for it, and we’ll sell it.’ “
Disillusioned with this situation, Farzin decided there had to be a better way. He continued, “I started researching online. I was looking for my next business opportunity where I could use my background in finance and my Bachelor of Business. So, I was back and forth, testing my ideas and thinking about what I wanted to do in life. I thought there has to be a better way for people to confidently know what their business is worth and who might be interested in buying it as well as how to market it.”
“During my search, I came across LINK Business Brokers. I could see that their systems and processes were market leading, but there was still room to improve”.
Farzin joined LINK in 2015 with the intention of building a career as well as changing the way the business broking industry operated. He worked hard and successfully marketed many clients’ businesses the way he envisioned. The LINK organization noticed his success, and he was invited to become part of the network.
Being given a greater degree of control was all Farzin needed. He proceeded to help further develop LINK's robust systems related to business value appraisals, customer relations, marketing, and comprehensive training for new business brokers entering the industry. These systems are continuously refined and upgraded for implementation throughout the LINK network in Australia & New Zealand.
The effectiveness of the LINK systems was demonstrated with the acquisition of the Melbourne office (formerly Klemms) in 2018. Since converting to the LINK process, the business volume has doubled and is still improving. This process is being duplicated in the recent acquisition of the Adelaide office.
SO, WHERE TO FROM HERE?
Of course, Farzin is not ready to slow down. He disclosed that, in early December, he and his childhood friend and business partner Nawwar Alshawi, entered into a joint venture partnership of the LINK master franchise in Australia and has significant expansion plans for the group.
“We're in the process of expanding and growing the network, bringing on new franchise partners and new brokers to join the existing offices. We’ll be doing a roadshow next year and expanding into
all (not just some) major cities. We're also going to be creating new offices within those cities and expanding further into Western Australia, Northern Territory, Far North Queensland, and other areas in Victoria and New South Wales. There’s plenty of growth for us in 2023.”
“We may decide to enter a new market by acquisition of an existing firm or opening a brandnew office, but more recently, existing brokers have approached us wanting to join the LINK group. They want to join the only real national or international business broking network. They want access to the benefits of being part of the network.”
“Access to our training and market value appraisal systems and other software, as well as our CRM systems, are major benefits. We provide all the IP and the technology to create and hold excellent brokers.”
The training, which includes six months of mentoring, is invaluable for those just starting out. The training program is structured and expertly delivered by successful brokers.
A key feature of the training is negotiation skills which are a critical part of the broking business. Walking the fine line between a buyer and a seller is an important skill to achieve a successful transaction.
“All our brokers receive training on becoming expert negotiators. We've redefined and refined this training over many years, and I genuinely believe nobody else in the world does what we do.”
Training also extends to potential vendors who are trained in business valuation principles, including the key factors affecting the current market value appraisal of their business and how to improve the market value. The vendors are also educated on the need for accurate and
reliable financial information.
“If the vendor cannot provide us with accurate and true financial records, we can't demonstrate and justify the market value to potential buyers.”
WHAT MAKES A SUCCESSFUL LINK BUSINESS BROKER?

ARE HIGHER INTEREST RATES MAKING IT TOUGHER TO SELL BUSINESSES NOW?
Farzin does not believe interest rates will affect business sales significantly. He explained, “the traditional return on investment on a business, let's say, ranges from 35%, all the way up to 100%, depending on risk, where the current market interest rate is
following redundancies or simply the desire for a change.
“I believe people who have come from either an executive level or middle management level, where they've got experience in managing people, will do really well managing businesses. They'll take on businesses that may be struggling and put their expertise and talent into turning those businesses around.”
ARE THERE ANY HOT INDUSTRIES AT THE MOMENT?
LINK business brokers are seeing strong demand for businesses in the service sector - medical, dental, commercial cleaning, building services, maintenance, logistics, transport, childcare, and anything in allied health areas.
Farzin also included hospitality businesses. “Contrary to what people might believe, there is always a demand for businesses in the hospitality sector. If location, rent, and takings line up, the business will sell. The challenge with those industries is finding suitable staff to run them. It’s not just that the borders have been closed restricting the number of backpackers; it’s that people only want to work for three or four days or want to work from home.”
In summary, “For us, success means working collaboratively, working with integrity, being part of the passion for the disruption we're going through, and celebrating the successes is the key. When you do the best for your vendors and your purchasers, the money will come. You don’t become successful by chasing the money.”

However, he sees continued high demand for quality businesses. He considers that businesses are bought for strategic reasons by other businesses or by individuals looking to replace incomes
Unfortunately, there’s no easy solution to this problem, so Farzin believes that there will be a high turnover of these hospitality businesses in 2023 as the current owners decide that the industry is not for them and seek an exit.
And Farzin could not avoid the temptation to add business broking to the “what’s hot” list. He is keen to talk to any broker looking for an opportunity to join a strong and dynamic network of business brokers or someone wanting to consider joining the industry.

These seasoned entrepreneurs have focused on events but agree there is so much room for weekday trade for energetic owners.
“We also have a location if someone did want to work during the week as well. They can park any days they want to.”

With corporate and school events - there is the opportunity to extend the trading hours. Whilst it would be beneficial for the buyer to take on the current pre-booked events, Streatrader makes it easy for food vans to move throughout Victoria.

When questioned by Bsale who would be the perfect buyer the ladies laughed,

IT’S ALL ACTION IN QUEENSLAND!
2023 is shaping up to be extremely active across the Queensland business sales sector.
With the property market finally starting to slow down, the share market continuing to be quite unpredictable and at times volatile, and interest rates continuing to increase, many investors are looking to invest their funds into a solid business venture.
And why not? A solid business with strong foundations is going to provide an excellent return on investment compared to bricks and mortar or the average stock.
Due to this increase in buyer activity, sellers have the opportunity to create a competitive market for their business, especially if they are prepared to offer a proportion
of vendor finance or would be open to staying on for an earn-out period. This will often maximise the end result as it gives a buyer plenty of increased confidence.
As a great location for investment, Queensland is also experiencing an interstate migration boom.
According to a report from Sky News in September 2022, Queensland has again recorded the nation's highest population growth rate as it continues to benefit from residents leaving New South Wales and Victoria in their thousands.

“Queensland's population grew by 1.8% in the year to March 31. The Sunshine State added more than 92,000 new residents in the 12-month period, taking its population to 5.296 million”.
The industry is also experiencing a generational shift away from
traditional means of family business, transitioning ownership to the children or grandchildren.
Many young entrepreneurs are chasing their own dreams online in areas they’re passionate about, not their parents or grandparent’s dreams. This often leaves the family no choice but to sell the business and an astute investor will reap the great rewards on offer.
Franchising also appears to be back on track, experiencing plenty of confidence across a variety of industries.
With many markets saturated with strong brands, whether it be food, fitness, beauty, manufacturing, pharmacy etc. a motivated buyer faces many obstacles with entering the market as a greenfield site. Therefore,
an established franchise with a trading history to measure, a secure lease and systems and processes already in place is extremely attractive to buyers. Finally, don’t hold on too long.
We have seen on countless occasions owners considering selling their business however delaying their decision and then the unthinkable happens and their business is worth considerably less or nothing at all.
You don’t want to make that decision.

For better or worse (Yes, it is a type of marriage), I can call myself a business broker. I have been a business broker for over 15 years and without being too nostalgic, I periodically think about my broking journey.
One story that springs to mind is when I remember a situation where I was a much less experienced broker.
It was a Friday evening at around 8pm and I had just put the final touches of a deal together. The deal was complicated by the fact that the buyer was crossing the border between Lesotho and South Africa during the negotiations.
He was relocating to South Africa but was needing to finalise
business interests before making the move permanent. It involved a payment of the purchase price in cash. (South African banks and money transfers were heavily regulated and primitive in comparison with modern-day banking systems).
This cash payment was even more complicated as there was a huge risk factor of being murdered and robbed at any stage of the transit. Furthermore, the payment was made in Pula, the currency of Lesotho and I was responsible for the money until Monday when I could with considerable risk, take it to the bank and exchange it for Rand, the South African currency.

of the reasons already outlined: Not very common. (Furthermore, the banks charged a high levy on cash placed in the bank since they then carried the risk against bank robberies).
Another complication was that the cash transaction created suspicion and unease between the buyer and seller. Any negotiation has an element of unease as each of the parties postures to maximise their advantage, however, cash is definitely a catalyst as you will likely agree.
This was the final payment required to settle the business and pass ownership on to the buyer, the new owner.
As it was after office hours, I was sitting in the office surrounded by empty chairs and desks with my buyer. The silence was palpable but not unpleasant as we went through the finalisation of the documents and we hand-counted the cash.
When completed, I locked the money into the office safe, within another safe and I immediately extended my hand to him as an act of congratulations. He was now the new owner of his retirement business: A small but popular and dynamic bar.
We both fell silent for a period as the rigours of the previous negotiations that had exacted their toll over several months caused us to pause and reflect.
What happened next was to me, very, very interesting.
We were both high on the wonder “drug” adrenalin and he punctuated the sensory peace and reflection with the following comment.
“Ray you make this look very easy”.
This was a massive compliment to me.
He had recognised and witnessed my expertise, professionalism and duty of care but it was also a message to me, that I had achieved exactly what I had attempted to do and that was to manage all eventualities and expectations and making it much easier for the buyer and the seller and all of the other parties involved, to get the deal together.
It is important to understand that a business broker is about selling a business.
You have two primary parties, a buyer and a seller but the reach is much bigger than this as there are a lot of other parties that are involved.
If you ask me what my job as a business broker is; I would say to you that effectively, I am about managing conflicting agendas and responsibilities from different professionals such as landlords, solicitors, accountants and business advisors.
Each of these parties have their own agenda, risk management criteria and methodologies. They have their own outlook, paradigms and they have their own responsibilities that are required on their compliance spectrum.
When a broker comes along to do his/her job, the challenge is to find strategies that enable him/ her to manage these personalities, issues and work within the privacy framework in such a way that they can progress the deal.
Unfortunately, in so many ways, people think of the job as a business broker, to be merely a transactional negotiation. This means that you have a buyer and you have a seller. The idea is that you should get the job done in a manner not unlike a supermarket transaction.
However, it soon becomes apparent that the nature of business, the various personalities of business owners and buyers placed in juxtaposition with other
stake holders will enforce the need for a more comprehensive and involved solution.
Put plainly; to expect a straight transactional process is oversimplistic. It does not address a myriad of other elements, requirements and constraints that must be addressed in the sale of a business.
The complication is compounded as a business broker also operates in his/her professional compliance constraints. S/He by definition is the glue or fulcrum and leverage of the sale positioning.
It is also necessary that all the involved parties recognise that there are a whole lot of other requirements that are encountered in a deal to affect it. For example, a business broker although working for the Seller, must be reasonably neutral between the parties and focus on the desired outcome or sale.
The broker too must be driven by processes due to legal requirements and the interactions between people with different levels of expertise and the business as an entity.
The broker must avoid at all costs, the handicap of compulsion, bullying and fear as a methodology.
The aim is a Win-Win environment or as it is traditionally stated a “Willing Buyer and a Willing Seller”.
ARE MERGERS & ACQUISITIONS FOR SMALL BUSINESS?
What does the average person, including small business owners think of, when they hear the words “Mergers & Acquisitions”?
Those words conjure up images of movies and television shows about huge, billion dollar corporations attempting to take over other huge companies with high profile powerful lawyers, accountants and billionaire owners in $5,000 suits, all attempting to outdo each other. It all starts with a friendly proposal for a merger or an acquisition, but after several massive bun fights in the boardrooms and possible court room drama, in reality, it usually ends up with one of the corporations completely swallowing up the other. Even after all the promises to the contrary, in a short period of time, there’s very little left of that company’s identity or culture.
On the large movie screens or the small television screens, mergers and acquisitions are considered to only be in the domain of huge, multi-million or billion dollar businesses. In reality, a merger or an acquisition can be between any size company, including very small businesses.
Here is a scenario; Imagine a
very successful Mum and Dad fish & chips shop operating next to a family run struggling fried chicken shop. The owners of the fried chicken shop are tired of the long hours they must work just to survive, without getting ahead, no way to increase profits. The owners of the fish & chips shop decide that they would love to expand and by buying out the fried chicken business, not only will they have larger premises, but they can add fried chicken to their current impressive menu, increase the number of customers, reduce their administration costs and possibly obtain a better deal with the landlord. They engage a business broker who approaches the owners of the fried chicken shop. By utilising the services of a business broker, emotions are taken out of the equation, especially during the negotiating process. The broker sorts a deal with both parties, they agree on a price and take over the shop. This transaction is an acquisition, nothing less, nothing more. If the owners from both businesses had decided to join the two shops and benefit from each other’s customers, save money by reducing the staff, etc, this would have been a merger.
Very often the most cost effective,
best and quickest way for a small business to grow, expand their customer base and increase their profit is to acquire another business. The acquisition may be either in the exact same industry or a business that might be able to bolt on to their existing enterprise, by offering an additional range of product or services. Generally, there are also several cost savings, such as administration, to be achieved by merging with or acquiring another business.
If you own a small successful business and are finding it difficult to increase your turnover, number of customers, etc, you should seriously consider acquiring or merging with another business. Organise a meeting with an expert business broker for advice on how to proceed forward.
THE IMPACT OF COVID ON SMALL BUSINESSES IN AUSTRALIA

In particular, small businesses in Australia have been hard hit by the economic shutdowns and social distancing protocols that have been put in place to slow the spread of the virus. THE IMPACT ON SMALL BUSINESSES GENERALLY
As with other countries, Australian small businesses have suffered greatly during this pandemic. The Australian Bureau of Statistics (ABS) reported that 577,000 jobs were lost between March and May 2020, with more than half of those losses coming from small business owners. Many of these businesses had to close their doors due to restrictions on movement.

Factories had been down on production, either because they had been locked down or their staff were home sick. This led to short supply and was the beginning of the inflation crisis now devastating economies.

For one reason or another, businesses were hit by staff shortages. Almost all industries were struck by this, however physical service business were severely affected. Pool services shops, landscaping businesses, general maintenance businesses, just to mention a few, suffered greatly. Work couldn’t be taken on, cost of wages went up as staff were poached and inexperienced staff left after only a few days as the pressure was too much.
Good News
While many businesses suffered, others did well. Here’s a list, which is by no means exhaustive:
• Suburban cafes and bakeries (people working from home and supporting local businesses)
• Business associated with take
away as opposed to sit down meals (Pizza for example)
• Mortgage brokers, financial planning businesses and insurance brokerages
• Courier businesses supporting the online economy
• Businesses supporting home working, like technology equipment suppliers and other IT related businesses
• Real estate, both sales and property management.
Winners and Losers
The losers were those that relied on personal contact to make business.
The winners were those that could operate from home and whose industries didn’t have to close down during the pandemic.

HERE IS WHAT WE FOUND.
For over two years, the Australian economy has faced uncertainty and market volatility as a result of the COVID-19 Pandemic and the ensuing lockdowns. While market shifts, particularly those observed during the pandemic, can induce fear and worry among brokers and clients, a transition in focus and mentality is required to adapt to the "new age" of business brokering.
Our determination to change gears in the face of shifting markets has been critical to our performance over the past year, leading to our success in selling over 15 businesses in the hospitality (40%), retail (20%) and distribution (20%) sectors.
Here, we offer some insights we've gained over the past year that could help you succeed in this dynamic, fast-paced industry – in the context of a highly unstable economy and environment:
ROBUST SYSTEMS AND PROCESSES ARE FAIL-SAFE GUARANTEES
During the prior year's pandemic lockdowns, we made an effort to focus on our systems and processes, essentially fine-tuning all our back-end activities. We optimised our coordination process, analysed market trends and Purchaser requirements as
well as found the most effective and user-friendly marketing channels and tools available. We had many things ready to go when the COVID-19 pandemic hit, enabling us to work with minimal disruption.
KNOW WHAT YOUR CLIENTS NEED
Instead of putting up as many listings as possible, we focused on investigating what our clients needed. Beginning in 2020, we concentrated on understanding Purchasers' reasons for acquiring, whether they are operators looking to expand, parents who have lost their corporate jobs or hospitality operators thriving thanks to government subsidies.
We anticipated what strategy to take when clients were ready to purchase or sell since we had already identified who required what. This has been beneficial, especially for private equity clients, who typically have extremely precise mandates. We were able to readily establish a common interest between Vendors and Purchasers that we are attempting to pair up due to our thorough grasp of the varying demands of our
clients. This enabled us to simplify our role as sales facilitators, requiring relatively little effort to persuade Purchasers to make an offer.
UNDERSTAND MARKET TRENDS AND PROJECTIONS
It is no secret that the COVID-19 lockdowns have created significant hurdles for business owners, including workforce and supply chain issues. This is also the fundamental reason for the
high ratio of Vendors to Purchasers during the last two years, as Purchasers sensibly fear the risks of running a business during this period. However, as business brokers, we believe that it is our responsibility to identify these challenges and understand how they may be mitigated as well as how the shifting market will influence or improve them in the long term.
As the economy gradually recovered in 2022, it is our responsibility to ensure that Purchasers recognise that these challenges are just temporary. In a way, they are acquiring a business at a discounted rate. The assured recovery of immigration is also certain to improve revenue over time, particularly for hospitality businesses that rely on tourism. Furthermore, while income for the previous two years has been predictably low for most businesses, Vendors ought to be aware that more Purchasers are now acquiring primarily on goodwill rather than financial records.
THERE’S NO NEED FOR CONVINCING WHEN YOU’RE BEING REALISTIC
Most brokers today value businesses primarily on their Vendors’ pricing expectations and multiples, often missing the step of reviewing and considering updated market data. However, we were one of the few brokers in the market that priced adequately based on comparable business sales in the past.
In 2022, we found that Vendors prefer to deal with us because of our brutal honesty! We weren't hesitant to offer them comparable sales, advise them to lower pricing if necessary and be upfront about how different the market is during the pandemic. While our pricing strategy is contemporary and suitable for the times, it has occasionally resulted in Vendor pushback.
Vendors frequently take time to recognise what we do. We've had vendors hang up on us or slam doors in our faces because they believe other brokers can get them twice as much as we can. At the end of the day, the same vendors contact us, and some of them have led us to some of our most successful sales. Overall, we strongly believe that being realistic is what propelled us to the next level.
THE PANDEMIC HELPED US FORGE STRONG TIES
Some of the Purchasers we've dealt with in the previous six months, in our experience, have already forgotten who we are. On the contrary, the Purchasers we communicated with during the pandemic lockdowns are still calling and displaying interest in dealing with us.
During the pandemic, one of our prospective Purchasers made an offer but had to relocate overseas. As a result, the transaction fell through. Only recently, he called us to say he's returned and wants us to find him a solid business to acquire. Despite speaking with ten different agents and being presented with ten various listings, he sought us first to engage our services – not because he wants to acquire now, but because he wants to buy with us.
KNOW YOUR WORTH
We acknowledge that the manner we market our listings is rather unconventional and more expensive than that of other brokers. Nevertheless, both Vendors and Purchasers choose to spend a premium price to engage us for our services. Business brokering has become more technologically driven which we have adapted with flying colours while staying current with recent industry trends. We have the expertise and results to justify our premium price. We have established our cutting-edge marketing approach over the years, and we are certain that the market must adapt to what we do.
If clients do not appreciate our way of doing things, we do not take them on. Simple as that.

2022 was a bright year for business brokers, as both Purchasers and Vendors gained confidence as market conditions were more steady than the previous year, if not improving. Life is challenging, but we often assume that everyone has equal access to tools of selfempowerment and independence, but this is not always the case. People from refugee backgrounds have often experienced trauma, significant upheaval, loss and months or years of uncertainty
before arrival in Australia, and once in Australia, they are faced with the added complication of having to navigate the practical and personal challenges of starting a new life, often without that all-essential support structure.
SCARF, a refugee support service, established in the Illawarra in 2005, by co-founders Sharyn and Kel Mackenzie, was created to facilitate a range of targeted programs tailored to directly help refugee entrants overcome barriers and build a secure, vibrant life in their new home.
The service is about creating connections, generating opportunities that build a sense
of belonging and promoting social and economic inclusion. It is, at its core, about empowerment.
Today SCARF has over 2100 community members registered with them, representing nearly 400 households. Most have been out of their country and living in camps or other desperate conditions for at least five and, in some cases, up to 20 years. Over 150 volunteers work now with the community through SCARF’s varied programs.

For an organisation like MMJ, the concept of utilising a triple bottom line approach as an accounting framework (looking at 3 parts: social, environmental, and economic), is not a new concept. What this does do, however, is ensure that the focus is on more than just financial impact, allowing teams to look for more unique ways to put back into the community.

Instead of flying by the seat of your pants, spend time planning an awards calendar - find out the open and closing dates so you can plan your time and manage your resources, review the criteria so you know what the awards are looking for, and collate the information that will support your entry claims.
It’s obvious to judges when someone has rushed the entrythere are typos, spelling mistakes, and lots of hyperbole to cover the fact that their submission has little substance.
GET ORGANISED TO MAKE THE PROCESS SMOOTHER
‘Prior planning prevents poor performance’ is not just a naff saying people pull out to make those who are unorganised feel inadequate. There's a sound time management sense to this saying.
After you have created a 12-month awards calendar so you know what is coming up, you can create an awards black box - a folder on your computer or Cloud drive to collate and file anything and everything to support your award claims.
Go back through your diary/ calendar to take note of deals won, podcasts, interviews and other aspects of business you have achieved in.Google yourself
and file all media wins and other third-party credibility pieces.
Reach out to clients/ customers for reviews and testimonials. Develop case studies of successful projects or client work. If you make a habit of filing this information regularly, when the awards open, you do not have to wrack your brain trying to remember all the things you have accomplished during the award’s timeline.
SPEND TIME REVIEWING THE QUESTIONS
Comprehension is also a valuable skill for those who want to walk away with an impressive trophy. This means read the questions over and over to ensure you clearly understand what the judges are looking for. The category criteria will also be a dead giveaway of what will make your submission rise to the top. As you write your answers to the category questions, keep going back to review, asking yourself if you have answered them succinctly, clearly and with substantive evidence or proof.
Once you are happy with your answers, proofread and edit because glaring mistakes can count against you. If you are going to spend money or time or both on this process, making sure you have followed the instructions is key.
RESPECT WORK AND TIME LIMITS
Understanding and sticking to word or time limits (if submitting a video) can make or break your entry. Nothing screams ‘disrespect’ more than someone who waffles or goes over the limit. Limits are there for a reason. Respect the judge’s time. Respect other entries who stuck to the limits. If you do go over the limit, re-read the questions and review your answers because you may have repeated yourself or not comprehended the question.
Ignore this at your peril, because if you do the judges will put your submission to the bottom of the pile.
DON’T MAKE CLAIMS YOU CAN’T PROVE
In many awards, at the end of all the questions, is the opportunity to upload OPTIONAL supporting documentation. Here is your chance to give a little more information to support your entry. Most awards have tight word limits, and it is hard to convey 12 months of achievements in a few hundred words.
The support documents are your chance to validate, substantiate and qualify your claims in the written section. Say you have achieved a 100% business growth in the past 12 months, the support document can include graphs of your financial growth monthon-month. Or you have helped several people improve their offerings, the support document can highlight case studies and data insights on how you did that.
GO FOR THE WIN
Making the finals or winning awards all comes down to a few very simple and easy to implement actions.
Given the time it takes to enter an award, or the money invested to get someone to do it for you, it’s worth it for the third party credibility awards given, the PR opportunities, and the business that will come your way because people love doing business with a winner.

Global supply chain issues and pandemic-related printing needs have delivered strong growth for MBE Brisbane CBD as the business centre chalks up 20 years of operation.
Under the leadership of American backpacker-turned-business owner Chris Ryder, the enterprise – now one of the highest performing MBE stores in Australia – has recorded 200 per cent growth since COVID’s emergence.
“The pandemic prompted significant demand for business printing, both COVID-related and general advertising, and the shift to working from home saw an uptick in demand for mailbox, virtual office and courier services,” said Mr Ryder.
“Global supply chain issues also saw many companies return to local printing to counteract untenable delays and stay agile in an ever-changing environment.”

A 27-year-old high school dropout with limited design experience when he arrived Down Under, Mr Ryder needed to study to stay in Australia, so decided to pursue graphic design at TAFE.
He excelled and, by April 2007, had landed his first Australian job, beginning work at MBE Eight Mile Plains
in the Brisbane Technology Park.
It was there, while working in production and graphic design over a number of years, that he learned the ins and outs of the trade.
“The store started breaking sales records really quickly and I learned a lot about business, customer service and sales from my boss, Neil,” Mr Ryder explained.
“I was taught to never say no to a client and to under promise and over deliver, both of which remain central to how I work today.
“It’s also important to empower your customers and teach them how to save money on printing, because that makes them more likely to succeed.”
From his early days as a general MBE employee, the father-of-two worked his way up to become MBE Queensland State Manager.
He turned the Brisbane CBD centre around within months of taking over, and has managed six other MBE centres, helping them to scale up their operations.
“If you’re prepared to work hard – and as an owner, you should be prepared to work twice as hard as your employees – and are dedicated, you can run a successful small business,” said Mr Ryder.
“It’s critical you learn to be resilient, not to fear failure and to face your challenges head on.”

Remarkably, the launch was undertaken during the turmoil that was the 2020 COVID lockdowns in Victoria. As the founder and consultant of Food Specialists, Emma was already ‘flat-out’ in her thriving consulting business, assisting her clients in the Food Manufacturing industry, supporting Australian manufacturers in the challenging endeavours to supply food, in the retail market.
With the news of the COVID lockdowns, school shutdowns and her clients facing intense stress, the pressure cooker of life was
set to maximum. Her husband Ashley was working in his day job at the time and his role required attendance at work. In the chaos of home schooling, managing COVID crisis talks as a consultant and planning the launch of her new start up The Why Meat Co. needless to say, something had to give.
While at home, Emma unexpectedly suffered severe pain in the head and was quickly rushed to hospital for scans and treatment. Hours later, drugged up and in immense pain, she was diagnosed with severe head trauma with a dangerous condition that had the potential to take her life, namely a Subarachnoid Haemorrhage on the brain. This is an emergency condition in which a blood vessel ruptures near the brain
and causes internal bleeding. Due to the serious nature of her condition, she was rushed to the specialised neurological ward at the Austin Hospital, the day after being admitted to emergency at Box Hill hospital.
Extremely painful, this illness requires the patient to undergo many brain scans and tests, including weeks of monitored supervision in a specialised neurological ward. Mostly on her own, with nurses as companionship, visitor restrictions kept family visits to a minimum.
Emma was warned by the leading neurologist that patients with this condition were often incapacitated for weeks. The nurses were amazed when she was sitting up from day three. Her release from hospital was fast-
tracked with strict instructions. Miraculously she was picked up the day of her daughter's 7th birthday, testament to a mother’s will not to miss her girl’s special day.
Informed that full recovery can

2. MAKE SURE ALL REMOTE WORKERS HAVE A SAFE AND HEALTHY WORKING ENVIRONMENT
As an employer, remember you still have a duty of care of your employees. That's hard to monitor when they're remote. You should do your best to check on employees and ensure they are working in conditions that are equally safe and comfortable to that of the office workspace. Ensure safety and providing ergonomic chair, mouse and setup is common practice.
Keep an eye out for signs of poor mental well-being like decreased engagement with digital communication, or not responding to work matters for extended periods. Engage employees with socialization and regular communication as much as you can.
3. LIMIT REMOTE WORKERS TO 8-HOUR WORKDAY
Remote workers are entitled to the same working hour restrictions and reliefs as regular employees. If your employees are subject to longer working hours, it could result in the need for special compensation. The legal limit of working hours in NSW is set at 38 hrs weekly. Any work provided over this 38-hour weekly cap would require employers to pay at least 1.5 times an employee’s hourly rate. Or in lieu of overtime pay, employers are obligated to offer time off.
4. PROVIDE APPROPRIATE LEAVE ENTITLEMENTS AND BENEFITS. YOU ALSO WANT TO AVOID BURN-OUT
Employers must respect & fulfill legal requirements for remote workers (e.g. leave entitlements, benefits, & superannuation) the same as in-office workers, incl. vacation time, sick pay, parental leave, & protection from unfair dismissal. Employers must also maintain regular office policies & resources for remote workers experiencing stress.
5. MAKE SURE ALL REMOTE WORKERS ARE PAID THEIR FAIR WAGES ON TIME.
Australia's minimum wage is $19.84/hr and applies to both remote and in-office workers.
Employers must comply with the Fair Work Act and ensure remote workers receive the same entitlements, such as overtime, public holidays, etc. as in-office workers. Per the National Employment Standards, remote workers must be paid for any work done on public holidays. Check relevant awards as well to ensure compliance.
OTHER CONSIDERATIONS:
Consider legal requirements and provide guidance for employees working from home, such as tips for maintaining a work/life balance and up-to-date insurance policies. Also, use the ATO's simplified method for calculating additional expenses, and utilize collaboration tools for digital communication like Monday, Asana, or Slack.
A 'Working From Home Policy' is a really good idea as well to set the standards for conduct and reporting, confidentiality, security and laptop use etc.

As a small business owner, having your finger on the pulse to take advantage of trends and innovation is key to remaining relevant. In 2023 we'll see a continuation of the need to be digitally advanced, and suppliers in the health and wellness industry, as well as those who support other businesses, will see strong demand from consumers still looking to capitalize on the lessons learned during the pandemic from 2020 through to early 2022.
In small businesses, the key to success will be your ability to remain flexible, particularly around the changing needs of the workforce. Employees are demanding greater workplace flexibility and the ability to better balance their time between work and how much time they have for play. If you haven't considered it yet, as an employer, you must start to consider the benefits of flexible working arrangements like a 4 Day Work Week or a 9-day fortnight.
These aren't just concepts for the big corporates, they are for small businesses too. Given it costs more than one year's salary to employ and train a new hire, can you really afford for anyone on your current team to quietly quit because you didn't offer the flexibility they were looking for?"
The year of 2022 has left its mark on a lot of Australian businesses. Having Covid running rampant has forced many businesses to reconsider how they engage with their customers. Consumers are starting to realise the value of local businesses as well as how good it is to be able to order products and services from the comfort of their living room. With that in mind businesses in 2023 will need to reconsider how they market their products while ensuring that they have a decent online presence.
My advice would be to:
• Revisit your main products and services through the lens of a digital environment. Whatservices can be shifted to an online format to better cater to the needs of customers.
• For any events consider running the event for an online audience as well as just a physical audience.
• Its time to revisit your websites design and organic SEO to ensure that you are performing inthe local search results. People are starting to value local a lot more these days.
• Its time to revamp that google my business listing to ensure you are showing up in the local pack for your key services.
• Last but certainly not least make sure that website of yours is mobile friendly. If Covid has taught us anything its that even when stuck at home people are still using mobile devices over computers.
In summary my number one top tip for small businesses in 2023 would be to get your butt into gear and double down on your online efforts. Even after Covid people are reluctant to attend events and shop in person as they have grown more comfortable with purchasing online.

As inflation keeps biting and interest rates hike, asset prices come down but the cost of ownership is still rising the discretionary spending of consumers will be reduced once they run out of credit. The key industries our clients are doing well at and we are seeing significant growth will always be in the essential items, services and Government funded industries. The main sectors we will see continued growth in are essential food items, energy, health, and aged and disability care.
However this does not mean that regular businesses can prosper in potentially difficult economic outlooks, this is actually the best time to start any business. An economic slowdown is a huge opportunity for multiple reasons, when there are large layoffs as we are seeing in the tech space in the USA it now means a competitive labour market will favour smaller businesses, as unemployment increases staff who were being paid well above the productivity they produced will no longer be able to find a job paying as much giving opportunity for smaller businesses to pick up the great talent they can afford.
At the same time as larger companies lay off staff, and reduce their service and capacity, the bureaucracy and inefficiencies of being large can no longer be masked by large demand. This means that a small enterprise can really come in, undercut a larger company, provide a better service to the end customers and really grow. The other positive around downturns is that marketing costs and lead costs can drop as many traditional businesses cut marketing expenses first when revenues drop leading to a lower barrier to entry for many businesses that usually wouldn't be able to get their name out there in a booming economy where most marketing channels are saturated bringing the costs right up.
Know Your Numbers!
A consideration at the forefront of a lot of people’s minds as we move into 2023 is the Reserve Bank’s recent series of interest rate rises, a trend that is expected to continue into the new year and beyond. As such, business owners may find themselves impacted, not least of all at a trade or revenue level, as customers spend less with them and on a more infrequent basis, but also on a personal level, as business owners find themselves needing to extract more money than usual from their businesses to meet increasing loan repayments.
Since it can be too easy to take more money from your business than your business can support, it is critical to keep up-to-date with your numbers. If you don’t know what’s happening financially, you won’t know if you’re still making money or not; what business activities or sales items are or aren’t generating revenue for you; and/or what you may owe to creditors and staff. In addition, if you’re extracting more cash from your business than usual, you’ll likely be hit with associated tax consequences. For business owners already struggling to make ends meet, a larger tax bill than normal is the absolute last thing they need.
The good news is that your accountant is typically well-placed to provide you with the insight necessary to identify any concerning trends that may be emerging in your business well before things get ugly. They should always be one of your first ports of call when things start changing.
