Welcome to the New Financial Year! As we close the doors on the 2022 FY, business owners are looking toward the year ahead. How to grow their businesses, where they struggled, how to improve, and what’s next. July 1st is like a ‘Happy New Year’ for businesses. If only the current news headlines reflected this. It's hard to ignore the cries from business owners lately with the rise in inflation, increased gas and electricity prices, staff shortages, rising superannuation and minimum wages. Business owners are demanding support from the government and borders to reopen faster. It’s been a difficult 2 years for many businesses with covid restrictions and many are still recovering. This raises the question in our environment, how will this impact business sales. What can buyers and sellers do to navigate this current climate? We learned a lot in the past 2 years. Business brokers learnt ways to navigate the environment, how to prepare their client's businesses for sale better, and how to handle and negotiate transactions with buyers. Whilst times may appear turbulent at the moment, businesses in Australia are strong, they have strong leadership and know how to pivot the storm. $12 lettuce may be creating havoc, but just as quickly, KFC pivoted to cabbage and owners put up prices. Businesses learn to adapt and change with the environment. Clients learnt to accept there is a need for the increase. In this edition, we are focused on start-ups. How you can grow a startup faster by buying an already established business, why an established business has its benefits and how to grow a business with the intent to sell. We had the pleasure of interviewing Justin Bunt from MMJ Real Estate Wollongong for this edition. His experience as a business owner and broker has been invaluable to his clients. He shares his journey and advice with current business owners. The AIBB annual conference is being held at the Novotel in Brighton Le Sands, Sydney, NSW on August 18, 19, and 20, 2022. A message from Ian Jones, President | National Chair (AIBB) Now that the federal election has been decided, it appears that many business brokers are taking full advantage of the increasingly positive environment for listing and selling businesses. Times are still challenging in certain markets and regions but on the whole we are experiencing an increasing number of business owners keen to sell their business which is driving more listings and activity in the market. I am thrilled that even during these challenging times, your AIBB team continues to focus on the things that matter most to members. One event all of us should be excited about and have set aside in our calendars is this year’s AIBB national conference held in Sydney on the 18th, 19th and 20th August. We have an incredible program planned, including excellent speakers, insightful panel discussions and interactive workshops and of course plenty of fun and a few surprises. IS IT WORTH BUYING A BUSINESS ESTABLISHED IN UNDER THREE YEARS? “Well-established” seems to be a very common bullet point when it comes to advertising the key considerations of a business for sale. Indeed, the longer the business has existed – the more attractive it should theoretically be.

Which, of course, leads to the question: what about buying a business that has been established for under three years? Is it too much of a gamble? Is it any better than simply starting a business from scratch. Well, to answer that, we must first ascertain a few things: first of all, purchasing an existing business is often incredibly beneficial versus starting a new one. Successful existing businesses will generally have a track record of success and a reputable name within their

communities. Businesses also have existing customer bases, established revenue streams and fully trained staff members, tried-and-tested systems and procedures among others. While most purchasers look for businesses that have been operating for years due to their stability and tenure, start-up businesses that have less than three years of operations are also appealing for several reasons.

ALL THE ADVANTAGES OF AN EXISTING BUSINESS A business operating for less than three years can have most of the advantages of one that has operated longer. It already has all of the plant and equipment 7


needed to operate with minimal to no additional investments needed from a purchaser to continue. The business has also secured its lease agreement if renting the property from a landlord. The benefits may also be enhanced due to there being only minimal time spent on the lease agreement (considering that the terms are beneficial) and the plant and equipment should be in almost-new working order.

BENEFIT FROM THE HYPE GENERATED BY BEING A NEW BUSINESS Most new businesses generate tremendous hype, which brings plenty of customers their way. New businesses that have recently launched benefit from increased visibility and word-of-mouth referrals, especially if the products or services are amazing in the eyes of customers. While generating the initial hype may need a marketing budget, the lingering effects of referrals and high online reviews last for years to come. If the business continues to succeed, then it may entrench itself as one of the key establishments within its immediate vicinity and derive recurring revenue from loyal customers.

HIGH LEVEL OF POTENTIAL The sky is the limit for most young businesses. They have yet to meet their full potential and are still early or in the middle of their growth trajectories. As such, active owneroperators who have an aggressive mindset towards growth would have a perfectly malleable business that they can do as they please. Young businesses that have great growth potential may not meet the expectations of their original owners early on, especially if the founders are lacking the capital needed to maintain operations. This need

not mean that these businesses are failing or unprofitable. It could simply be that the businesses are experiencing steady and stagnant operations with no growth in sight. Notwithstanding this, all it would need is an outside eye and a motivated new owner to identify the key points for improvement and create actionable steps to save the business. A motivated new owner with a keen eye for detail may help a fledgling business adjust its product catalogue or suite of services to focus on those with the best sales potential. It is also under a new owner that the young business may strengthen relationships with customers and suppliers to create excellent payment terms, secure beneficial agreements and construct a robust supply chain system.

FLEXIBILITY OF OPERATIONS A fledgling business is typically very flexible. It may not yet have cultivated a certain brand image, which would make it very easy for new owners to change course. Perhaps the original product or service was not a big hit despite business plans and case studies saying so. A young business will have the flexibility of rebranding as long as it stays within its original industry so as not to waste the plant and equipment invested by the original owners. For example, an Italian restaurant has not been successful in selling its cuisine to customers residing in or visiting the area due to there being a handful of pizza shops and related establishments nearby. However, the new owner identified that it can start offering Japanese cuisine and benefit from minimal to no competition in the area, which enables it to have firm control of the market. The business having a fully equipped commercial kitchen could potentially rebrand and

start offering a different cuisine to attain the success it was originally envisioned to have.

HAVE A PLAN Despite there being many advantages to purchasing a young business, it is still very important to have a plan in place as if you were planning for your first three years as a business owner. It is also very important to learn as you go as you study the market and be willing to change tracks when necessary. Other important things to consider for purchasers acquiring a start-up business are diversifying customer bases, staying within the budget, delegating work to skilled staff members and harnessing the skills of contractors whenever necessary. CONCLUSION Most purchasers would be looking for an established business to benefit from the stability of operations and a consistent revenue stream. However, young businesses that have been operating for under three years also deserve to be scrutinised. It may be possible to find a diamond in the rough that is just waiting for a motivated new owner to help lead it to its full potential with the potential promise of exponential financial reward. It is incumbent on Business Brokers to identify the key strategic advantages of this new business – particularly when compared to other longerestablished businesses in the market, and turn these into Key Considerations to Prospective Purchasers. Imagine if we could run an experiment in parallel universes with two sets of identical people who are starting the same business in the same markets on the same day. They have the same opportunities; they have the same starting resources and the same initial abilities. The only difference is that one of the business owners begins with the intent to sell, while the other allows fate and see how it goes to be their guiding idea. If we fast-forwarded 10 years and had a look at the progress of each

The fact is when we build a successful business, we should have also built a valuable asset that has produced income over many the years as well as something we can sell. What most business owners fail to do is realise the full value of their asset. This ‘failure to realise’ is due to their business no being built in a way that allows the true value to be unlocked. This is such a waste after going through the journey of building a company. So how do you make sure that you don’t miss out on realising the value of your asset when it comes time to sell? The first thing to do is at the beginning is clearly understand who would want to buy a business like yours? Who has acquired businesses like yours before and why did they buy them? Once you understand why businesses like yours have sold you can then work

out how potential buyers valued these businesses? We call this knowing the key value drivers. You may be asking why do I have to worry about this from the start and can’t you just figure it out later? The answer is simple: because you should always be looking to maximise your efforts and resources when building a business. Day one is a good day to begin this habit. You may also find that undoing parts of your business can be very costly down the track. It costs nothing to be well informed from the beginning… just a little effort. Once you understand the key value drivers for the asset you will find decision-making, strategy and basically every function of the business easier as you have a guiding light by always asking does this add or detract from the value of my business if I was to sell?. Having an understanding of the end game changes how you will operate.

Simply build a quality business that becomes a valuable asset. Do this successfully and you will not only have created a great business but have an asset you can sell and reap the rewards of a job well done. 9

aving personal experience in buying, selling, and starting businesses can be a valuable asset for a business broker to have. Justin Bunt from MMJ Real Estate has a wealth of experience as an entrepreneur, creating multiple startups to now advising owners as a business broker. Bsale recently spoke to Justin about his business journey and his advice for entrepreneurs on growing faster. Many owners think a startup is the only way to be successful; his professional experience in business sales has more to tell.

ENTREPRENEURIAL JOURNEY Justin studied commerce and hospitality at university and worked for Tricon Restaurants, now known as KFC. It was here that Justin met his first business partner, and they embarked on a journey in the hospitality industry. “I started my first business when I was 23. I decided I wasn’t made to work for somebody else. I wanted to start my own business. I started a business called That Wicked Sandwich shop. [We] both quit our jobs at KFC at the time and built our shop at Meadowbank in Sydney. We built that up from scratch and lasted in that together for about six years.” Justin said. As many business owners and entrepreneurs can appreciate, those early years were a learning curve for both Justin and his business partner. They worked second jobs to cover expenses, and the business partners soon discovered there was money to be made in catering, which transpired in their following business path. “The shop transformed into a corporate catering company and was renamed Wicked Foods after a couple of years. We sold it to 12

a competitor, who I ended up working with to grow the business. We actually bought another CBD based catering company as part of that growth.” “Wicked Foods started in 1993. I sold it in 2000 (and) I went back to work for the guys that bought it, and with them, I started up another business called Ezy Fridge. It was leading into the GFC, and it just didn’t take off because of that. The timing was a big problem with that one. So we had experience in buying an existing business, and we also set up a couple of start-ups along the way with mixed results.” Justin said. Justin’s experience as a business owner was not solely focused on operating one business. As a true entrepreneur, while working with Wicked Foods, Justin had multiple start-ups and other business ventures on the side. He also went to work for the Department of Health and found he still had that desire of owning a business so he went back to Wicked Foods. In 2009, the new owners of Wicked Foods gave Justin a share of the business. “I did that for a couple of years, working back at Wicked Foods, growing that business in a marketing capacity.” “During this time, startup was called ‘Pigeon House 150’ and

funnily enough, that was with Martin Lo Surdo, who is now my boss at MMJ. We played soccer together and it was my idea to have a local food wholesaler, we had all products from the South Coast. There is a mountain down here called Pigeon House Mountain and that was kind of the centre of the area where we were getting the food from.” Justin was with Pigeon House for approximately 4 years while still working with Wicked Foods and when Pigeon House 150 closed down, he took on a more substantial role at Wicked Foods before selling it again in 2019, right before Covid hit. “I sold Wicked Foods again in 2019 to one of the staff members and when Covid hit, Wicked Foods being in mostly corporate catering at this stage, the business went from turning over $35,000 a week in sales to $1,000 a week overnight.” “I was still working for them doing their marketing, but even with the subsidies, the business couldn’t find a new way of getting revenue, so that folded pretty quickly actually, which is rather sad because that was a 25-year-old business with 20 staff that lasted not even 2 months after Covid hit,” Justin said.


With Wicked Foods officially shut down and with more time for opportunities on Justin’s hands, Martin encouraged Justin to join him at MMJ real estate and work in business sales. So Justin came across to MMJ in September of 2020. The transition to business sales for Justin was smooth thanks to his varied background in business.

TRAINING TO BECOME A BUSINESS BROKER “I had to do the real estate training, which took a bit over a year to do on top of working. I think the main thing with business sales is understanding business owners, with which I had enough personal experience.” “I understood how the business owner’s mind works. I know how to look at a business and kind of see what is going on there pretty easily.” “Probably the hardest thing is learning new sectors. We’re selling a solar installation business, for instance, I didn’t know anything about that at all. You have got to learn how that all works because the people ringing up about that business do know how it works”

“ So you have got to be able to talk solar or laundromat or whatever it is that you’re selling, you need to have that level of language.” After working in and adjacent to food industries for the majority of his professional career, Justin said that learning a new business every couple of weeks is the best part of the job as a business broker. “There is a lot to learn in terms of the technical side with agency agreements, contracts, that kind

of legal. When I had sold my businesses before, I did my own contracts so I knew a bit about that process, but in most business sales now, you have a buyers lawyer and a sellers lawyer doing a lot of that, and we are just helping make sure it all goes smoothly.” Justin said.

BUSINESS OWNERSHIP CAN BE A CAREER As an experienced entrepreneur, Justin understands what it takes to build and successfully own a business. As a broker, he has met many business owners and understands their journeys. Buyers' motives are changing post covid, with many new potential business owners coming from varied backgrounds. “It actually is possible to have a career, or even your entire career could be in your own business and sell it when you’re ready to retire or step back.” Whilst professionals such as accountants, lawyers, and architects see the benefits of owning their practice or firm. There is an entire section of business ownership that is about management and operations. Whether it's selling a product or service, it can be an effective career move. “There are plenty of people that have done it for 10 or 20 years. You achieve that dream of being your own boss, that does happen, it isn’t an illusion.” Often people don't see owning a business as a career move, it is seen more as the chance to be in control of your lifestyle and to make decisions. There is so much variety in the businesses for sale that a buyer needs to have a plan. “It’s important to consider as a business owner how involved

you want to be at the start and then make a plan around that from day one. When you buy a business, it would be pretty scary to jump in there when you’re learning everything but if you’ve got a plan in mind to get to the point you want to be, that legendary work-life balance and it is possible.” Justin said. “It’s not easy to get to that level where you’ve got a business which is flexible, there is that real small business mindset which is that they ‘can’t step back’ but you can, most of the time you can, it’s just hard to do and when they sell the business, the buyer will come in and run it differently.” “Actually working out why you want to own a business, there are all sorts of reasons for that, controlling your own destiny is a big part of that.”

THE TWO MOUNTAINS OF BUSINESS SALES Business sales are not just a simple process of finding a buyer and having a conversation: “There really are two big mountains. One is finding a buyer which can be years of working through hundreds of leads, and dozens of inspections, it’s very different to a house sale. Then once you find them and you think you’re done, then you have the second mountain to climb.” “The next phase, I call them the 3 ‘L’s the Lawyers, Lenders and Landlords. It all starts again basically once you’re in that second phase and that's where, as a broker, you kind of prove your worth. It’s so easy for things to go off course and no one is objective aside from the broker. We’re not totally objective but we’re more objective than the buyer-seller, lawyer or landlord because we’re 13


always focused on getting the deal done.” Justin said.

STARTUP VS EXISTING BUSINESS CHALLENGE Buying an existing business as an entryway to building a startup can be a really cost-effective approach for the right business person. Justin says the key is knowing when and what to compromise on. “There are usually two types of buyers we see like in a couple for example or business partners, one is the person that sees the potential and one sees the problem. They could be the right buyer, I don’t write off somebody because they see the problem, it’s just about knowing that different approach to those two types of people.” “Someone seeing the problems, for example, that the business is on the wrong street or the kitchen isn’t big enough or whatever [it may be] that is obviously harder as a broker to work with. You want to try to make them see that the chances of them finding what they’re looking for exactly is almost zero and that goes back to a start-up point of view. “ 14

Sometimes you will have a potential buyer, who constantly sees problems and wants to start a business from scratch to try and get exactly the vision they are after. “Theoretically, with a start-up, you can do that, you can build it exactly how you want it to be, but it’s certainly going to cost a lot more than you think and it is something that needs a location and obviously finding a space to rent in the right area can be impossible and if it’s an area that has a good chance of having a successful business then there is a good chance there is already leased out to someone.” “So you might need to buy a business just to set up in the space you want.”

there were no retail vacancies. “We had a guy who had a cafe there, he didn’t reopen his cafe after the last lockdown, but he was doing a lot of catering on properties so he kept using the kitchen. We sold the business in the end to someone who turned the cafe into a bar, totally different and was happy to pay a fair amount of money to access the fitout and the space.” “Buying an existing business and then making a start-up, I think if that buyer had built that business from scratch, she would have paid a lot more money and at least she knew it was in a spot where there would be a lot of customers. It wasn’t a lucky dip, she knew it was going to work.”

Justin recently sold a business in Berry, a small busy tourist town on the South Coast of NSW, to a buyer who wanted to run a business on the busy main strip in town where

“There are just so many more variables [when starting up a business] and getting to the point where you’re cashflow positive, it is


so hard to predict that when you’re a start-up, you just don’t have the data, you don’t know.” “Thinking back to that very first sandwich business I set up, I still remember that very first day, 29 years ago, we had no idea when we opened the doors what was going to happen and I think we got about $120 of sales and we were hoping to pay two guys wages. I don’t know what we were hoping for but it was nowhere near what we were going to get.” Justin said.

WHY THE ROI OF AN EXISTING BUSINESS HELPS Return on investment (ROI) is hard to pinpoint when you start your own business, and there is no certainty in your sales and future earnings. But when you look at buying a business, you have a sales history and the ability to predict your ROI.

“Return of investment, the general kind of rule is if the ROI is less than 30%, it’s hard to sell a business and that’s after you’ve paid a reasonable wage, that is the actual profit of the business.” “After you’ve paid your own wages is there enough there to get a 30% return?” “With buying a business versus a start-up, it’s tough to project that ROI in a start-up whereas at least when you buy a business you know you can keep everything as it is, and if that business is returning 30%, that should be a good investment for you.” A buyer is in a different mindset than the person selling the business. They are excited

and passionate about the opportunity they are buying, and can potentially drive profits and achieve their returns faster. “It’s a nice baseline for you to work off and most people who buy a business, are going to do the job better than the person they bought it off after a little while of learning how to do it, so that can make a really worthwhile financial exercise to get your ROI higher as you learn more.” “To compare that to a start-up where you just don’t know, you can do your excel spreadsheet ‘if we do this much we’ll get this much profit’ but with an existing business you’ve already got that data to work off of.” If you require a loan for your business, it is easier to obtain finance when the business has established figures versus trying to get capital for a new venture or startup. There is often a misconception, even amongst accountants, about the level of finance needed to secure and run a business. “I have someone buying a business and an accountant has told them ‘you need $100k working capital to buy the business’ which is not true. If this business is turning over $30k a week, that profit is coming in week one of ownership, if there is positive cash flow now you don’t need that much working capital and it is surprising that accountants are giving their clients that advice as if they’re doing a startup. “ “Yes, if you’re doing a start-up, you need working capital but for an existing business you clearly demonstrate it has positive cash flow, you don’t need that much working capital.” “This was a hospitality business turning over that much money ($30,000 a week). You don’t pay

suppliers for a month and you don’t pay your staff for 2 weeks, so for the first 2 weeks the only expense they had to pay was their rent upfront, so by the end of those first 2 weeks they have around $50,000 in the bank. They can pay their wages easily and away you go, this you cannot get from a start-up.” Justin said. Of the choice between buying an existing business or starting one from scratch, Justin appreciates that it is a real genuine choice that the buyer has to make. Justin suggests buying a business that, perhaps isn’t exactly what you want, but turning it into what you wanted, can be the best approach for most buyers.

SELLERS NEED AN EXIT STRATEGY Selling a business isn’t as easy as placing a for sale sign, signing a contract and handing over the keys. As a business owner, you know the complexities within your business. What needs to be established is an exit plan, whether it's 6 months, 5 years or 2 decades. A plan must be in place, especially if a business has multiple owners. “You definitely need to have an exit strategy in place, especially if you have a partnership. Most of my businesses have been partnerships and while none of them has ended horribly, it’s definitely better if you know how it is going to work if say one person wants to get out, and even better if you’ve got an idea of what point you want to get out.”

“You might have that set up to be at 5 years or x turnover or x profit or if we’re not making x much in 3 years we’ll move out of the business.” 15


“If there's not a partnership, why wouldn’t you start with an exit plan? Even if you want to run the business for 40 years, that’s still an exit plan, to build it up over 40 years is different to 3 years in and out.” “I’ve seen a few business sales recently that have been like that, where a person has gone ‘I’m doing this for 3 years’ and they have a plan to tidy it up and that’s quite effective. They want to keep keen and they don't want to get jaded by hanging on for too long. You need a good plan.” Justin said. An exit strategy is like a contingency plan, so if something happens, be it good or bad, you know what to do next. If your goal is to sell the business for as much as possible, you may sell it once a certain turnover is reached. If your goal is to have a business to support you until retirement, your plan may be to sell when you're 68 years old. “An exit strategy is not essential but it’s definitely important for a partnership, if you’re running the business yourself this exit can be more of a target.” “I think it’s always great to have some destination in mind, to have potential Plan A and Plan B and it probably won’t end up exactly like that but at least it keeps you on track.”

CURRENT MARKETPLACE TRENDS When asked about what his current buyers and sellers are like and if he has noticed any trends, Justin said there is a little bit of everything. “It’s actually really strong on both sides at the moment, at the end of last year we definitely had a big uptick in people looking to sell and I think there was a lot of ‘Covid lag’. People didn’t want to sell during Covid, nothing wrong with the businesses as such but then they 16

came through Covid and went ‘okay it’s time now’.” “We went from 5 to 10 enquiries to 20 to 30 from November [2021] and every month has been up at that level. Really strong on that side, to the point where we’re almost at capacity, we should get another broker on board!” Justin laughed. “On the buyer side, I was a bit nervous in November last year that this volume of seller enquiry was going to be an oversupply, but there has been a new lot of buyers coming through.” Justin suggested that a lot of these new buyers were looking to buy as a result of stress and burnout from Covid. For example, he has seen a lot of teachers and nurses who are in the final stages of getting out of their careers after experiencing “burnout from working in tough sectors and now they’re buying restaurants and ceramic studios and stuff like that. An interesting little churn is happening.” Justin said. “There is still definitely acquisition type buying as well, in some industries, it’s not across the board but we’ve seen a bit of that. Because we’re regional as well, we’re definitely getting that ‘Sydney refugee tree changer’ type of buyer this year, that has been really strong. Last year we were waiting for it and it didn’t happen but this year it has.” Going on to say that he has also

received a lot of enquiries and interest from Canberra, but that

ranchising is one way of raising capital and increasing market share or geographical reach. Franchising involves the licensing

Here are some fundamental things that are critical to establishing a franchise network.

SYSTEM Entrepreneurs who establish a franchise either create a system or acquire and improve an existing system someone else developed for the supply of products and/or services. The term ‘system’ is essentially the unique business methods, procedures, processes that have been developed to acquire and sell specific products and/or services.

Franchising grants each franchisee a right to use that system and imposes on them an obligation not to change or depart from the system. This extends the reach of the business undertaken by the franchise network and maintains uniformity in the way the franchise business in undertaken. Before you start selling franchises you need to know the system works and that a franchisee can understand the system and follow or apply the system’s requirements. Not all systems can be easily replicated. For example, you may have an established brand connected to a sports celebrity or have an instinctive knack for certain skills. However, you need to translate that instinctual


knack or brand into procedures that another person can follow to ensure that franchisees can implement the system and are equally successful. Replication is the process in which all the products, operations process, and marketing is replicated so that it can be uniformly applied and followed in every franchisee’s business.

FRANCHISE UNIFORMITY Once you have a system that can be replicated, you are ready to grant rights to use that system in return for a fee. Replication is the result of all franchisees uniformly applying and following the methods, operations, processes, and marketing of the franchise system in the operation of each franchisee’s franchise business. It often extends to acquiring products from a confined range of suppliers to ensure quality control and consistency in what is offered by franchisees to the public. Uniformity in the franchise network is a very important key to success. Different outcomes lead to disappointed consumer expectations, and this damages the franchise network’s brand and reputation. You should document the franchise system in an operations manual. This is a means to keep franchisees accountable.

INTELLECTUAL PROPERTY It is imperative that you simultaneously protect that system by having rigorous mechanisms in place to protect the intellectual property that inherently exists in the system. That is, the products, processes, know-how, trade secrets and formulae to name a few. Trademarks, patents and well drafted legal documentation stipulating the terms and conditions of use of the intellectual property are common mechanisms

to protect the intellectual property. The success of your franchise business is dependent on many factors and a well established name or brand is one. Having control over the franchise’s branding means you can determine how and when it can be used and this is particularly important when it comes to advertising, promoting and marketing the brand. This is why franchisees are required to obtain your written consent before using the franchise name or logo for advertising purposes.

THE FIRST FRANCHISEES If you are about to franchise your business system, your current employees are your greatest asset because they are familiar with the business and have tested and tried the system. They may wish to become your first franchisees. Cultivating a happy first franchisee who will act as the brand ambassador is critical to creating a successful franchise network. It is imperative that a franchisor provides incentives and operational support to the first or first few franchisees. You need to make sure that you will always be prepared to support your franchisees. It is essential that your franchisees receive training before they commence operating the franchise business. Have a clear training plan and ensure your training is comprehensive. If you do this, you are on your way to having consistency and uniformity across the franchise network. A source of many franchise disputes is different expectations between franchisors and franchisees as to what support and training the franchisor will provide. There must be clear communications about what support and training will be provided to a prospective franchisee before the franchise agreement is signed to avoid future disputes.

TERRITORY Having clearly defined territorial boundaries is important especially as ecommerce becomes the predominant method of sales of products as opposed to the traditional shop front premisesbased method. In an online sale environment, you can maintain control of the operation of the franchise network and the supply of its approved products and services by having a centralised call centre/customer relationship management system to help in allocating customer enquiries to the most proximate franchisee. You can also allocate specific areas in which a franchisee has a right to promote and market his or her franchise business to the exclusion of other franchisees. Where goods and services are supplied through the traditional premises-based method, territorial boundaries can be determined by either geographical region or a specific site or sites to ensure the franchise business is sustainable. The geographical region may be determined by the analysis of the demographics of the area. A defined geographical area in a franchise agreement may confer exclusivity to a franchisee operating in that geographical area. An exclusive territory is an area within which a franchisee has exclusive rights to conduct the franchise business to the exclusion of all other franchisees (and also can exclude the franchisor) in the franchise network. Alternatively, a franchise system may limit exclusivity to marketing activities by providing for an exclusive marketing territory where franchisees have exclusive rights to advertise their franchise business within the territory to the exclusion of all other franchisees from the franchise network. www.morganmac.com.au

he digital space is everevolving and changing. Digital products, tools and services are released on a daily basis that can be utilised by business owners to help them grow. Ignoring these trends and new releases can be detrimental to an organisation's success. This can have an impact on the profitability, and ultimately the price they will achieve, when selling a business. Bsale recently spoke with Liz Ward, the CEO and co-founder of Navii, a company dedicated to helping businesses use digital tools and systems to operate more efficiently. The development of Navii came off the back of Liz’s personal experience working in the tourism industry. “We started a digital coaching

business called Tourism Tribe back in 2015, it tackled those problems of digital adoption for small business. 90% of the tourism industry are small businesses.” Liz knew they could help more owners navigate the digital landscape. “We always knew that the opportunity was there to do what we do with tourism for other business sectors.” After winning a Government Grant, Navii was launched in 2020 to assist small business owners. When it comes time to sell a business the owner needs to be aware of the technology and tools available; if they are not yet implemented into their organisation, they need to look at why.

When you are selling a business, you want to achieve the best possible price. After all, you worked hard to build your business. Technology, tools and services can lead to an increase in revenue and reduced expenses which ultimately increases the net profit of the business, thus a higher sale price.

Often it’s lifestyle that is the driver for starting or buying or owning a

small business, it’s often not for the money but we want small businesses to be sustainable and to do really well.”

BUSINESS OWNERS LEARNT TO ADAPT DURING COVID. The timing of the grant Navii received and Covid was uncanny, over the last two years business and consumers' digital literacy, competency and confidence have changed drastically due to Covid. These changes have been a widespread shift in business. “You had this incredible growth in the use of video messaging people using zoom and Facebook messenger. People's confidence grew enormously. Paypal reported extraordinary, never before seen growth in what they call their ‘silver tech’ generation which is the over 50 - 75-year-olds downloading for the first time.” “So it was this perfect storm of consumers from all age groups (and for the first time ever in the older age group) having the confidence and the necessity to use eCommerce and online payments and they were using social media video platforms and video platforms generally like never before.” “There was a whole lot going on in the business world as well, this really interesting humanisation in certain sectors like finance, software and different types of companies that had their business or consumer customers under a lot of hardship so they had more empathy with their customers with extended payment terms or extended software licence terms or rental agreements and all these other things,” Liz said. Customer service expectations were changing and “the whole bar has been lifted for business”. During Covid, there were

incredible stories of businesses “pivoting with their products and business models”, while at the same time consumer expectations were going up. The expectation for both sides was lifted which means there are a lot of small businesses that were left behind to catch up.

THE NEED FOR DIGITAL LITERACY IN BUSINESS Liz and Navii recognise the need for digital literacy and competency for businesses now more than ever, particularly as Australian organisations were below the benchmark average prior to Covid and now the benchmark is even higher. “It’s not about digital literacy with the younger people, it’s about business strategy, they know how to use the apps or websites they’re not scared of breaking anything they just go for it. What they really appreciate [about Navii] is the business and digital strategy. Why am I doing this? What is the investment? What am I expecting to get out of it? It’s just part of business.” “I think eventually we will get to the stage where we won’t put the word digital in front of marketing or business, it will just be marketing, it will just be business, but we’re not there yet. I think when we think about marketing now most people's minds now go to digital methods of marketing so we are getting there. We’ll change the language in 5 years or so.” Liz said. Whilst businesses continue to grapple with the technology available, when your selling a business you need to think about how your business is catering to today. Are your products and services delivering to the current tech saavy clients. Whether you are placing a cafe for sale or a supermarket, do you have the


best software? Can your clients order from their tables? Can you split bills? Can you place orders online? Is your email marketing effective?

ONLINE STRUGGLES FACED BY OWNERS Of the businesses coming to Navii, the biggest things they need help with are their key objectives, that they don’t know where to start and feel overwhelmed. “Their lightbulb moment, they know it’s important but they don’t know where to start and the other thing that we know is that most of the people who get benefit from, or are attractive to Navii, are coming because they have a business objective of getting more sales and they’ve got that growth objective. Another lightbulb moment is that they are clear about their future.” Owners who are thinking about selling a business may find it hard to review their technology and where they can improve. There is often alot of stress when preparing a business for sale and this is why companies such as Navii can be utilised. Helping owners to understand where they are at now, and where they could be in the future. Social media is also a big driver. Liz said that businesses often use language such as; ‘I just want to do it better, I want to know how to do it to have benefits for my business’. “They’re trying but they just don’t know whether what they are doing is of any use, whether they’re wasting their time, and that is completely understandable because if you just look at Facebook and Instagram by way of example, being two main social media platforms that nearly every business will want to be on, they

have changed so much.”

“The algorithm has changed so much in the last 3 years and the posting format, the tools and the way you use the platforms has moved so quickly, and these poor business owners just can’t keep up.” Understanding the technology, tools and services that are available to assist your business is important. Whilst we know owners can struggle with the amount of information available and sometimes head into overload. Selling a business is about obtaining the best possible price for your business sale.

Technology and tools can help drive an increase in revenue and reduce expenses, ultimately leading to a higher sale price at settlement.

“Against best practice, the average for small business in Australia is below 50%, out of the opportunities that exist across these fundamental marketing platforms, Australian small business is about halfway there generally speaking.”

CHECK YOUR DIGITAL HEALTH BEFORE SELLING A BUSINESS

Education and access are key to helping small businesses in Australia keep up in an increasingly online marketplace.

Selling a business is an extensive process; a lot is involved, even from the initial phase of preparing your exit strategy. If you are considering selling a business, it’s a good idea to check your digital health as an initial step. There may be areas you could address before placing it for sale.

Implementing technology months before selling a business could positively impact the sales process. If you’re unable to implement any new tools, mention relevant technology in your Memorandum in the ‘potential growth’ section, so the buyer is aware.

Why is it so difficult to find a buyer for a business, even a great one? One single word: Secrecy. Selling a business is completely different to selling a residential property. When an agent is selling a residential property, he is able to advertise the property, he is able to promote and advertise all aspects about it, out in the open. The more everyone knows about the sale, the better. As business brokers, we cannot do

Life as a business broker would be so much simpler if we didn’t have to keep the sale of a business a secret. Advertising, marketing and promoting a business sale in secrecy is why it is critical to utilise the services of a large business brokerage agency. Due to the volume of ads, a large business brokerage agency is in a position to advertise on all business sales websites. Due to their large database, the large agency is able to effectively promote through email campaigns. They will also promote on social media and so much more, which is very time consuming. The large agency will cast a very large net to reach as many potential buyers as possible. Without any disrespect to some of my colleagues in our sector of the business world, individual business brokers, no matter how capable they are, or brokers who work with a small agency are not able to offer the same level of service. 2. AVOIDING COMMON MISTAKES Common mistakes are common because people keep making them. Lots of people. Don’t become one of them! Avoid, for example: •

Poor cash flow. Ironically, those with lean revenues perhaps appreciate that more than those with massive capital inflows. Because largesse often breeds complacency: both for companies and high-income earners. Underpaying yourself. Business owners often don’t pay themselves properly – income or superannuation. “The business is my retirement plan!” they claim. All good if it becomes the next Google or Facebook. But if it fails? They’re left with nothing. Or devalued, extract value while you can. Legal quagmires. Especially pertinent when relationships breakdown: marriages or business partnerships. And disputes can erupt among beneficiaries/relatives when a business owner dies without proper estate planning. These situations inevitably affect the business’s value and future as a going concern.

Conduct a financial risk assessment to identify your vulnerabilities – everything from natural disasters destroying assets to ill health or redundancy unexpectedly interrupting your earning capacity. Examine what protections you have over your assets and your ability to generate income. Are your insurances – property, life and disability, income protection, professional indemnity etc – current? Do they offer enough cover and the best value? Do you have an emergency cash fund to draw on? Establish contingency plans. What if you can’t physically get to work? How could you afford retirement if the company collapsed? Or your key person can’t work? How will your family cope should you or our business partner die prematurely or suffer long-term illness/ disability?

4. PLANNING YOUR EXIT

What if any stock options do you have? When can/should you exercise them to maximise value and minimise tax?

Will you retire? How will you fund retirement?

Will you take another role? How will that impact your earnings, reputation, investments, even your quality of life? Will that move adversely affect the company you’re leaving?

Your own plans should be developed in parallel with the business’s, ensuring an orderly transition that doesn’t adversely affect the company’s value and prospects, nor your professional reputation.

5. LOOKING AFTER YOURSELF While running the company and ensuring everyone else has everything they need, it’s easy to overlook your own wellbeing: physical, mental, and financial. Your health, sleep quality, financial stresses, and mental clarity directly affect not just you but the company too in myriad ways:

n early 2020, just before Covid, Liz and her business partners saw that the Federal Government Department of Industry had tendered a grant, for a successful grant applicant to be able to develop a platform and services to help small businesses go digital.

Seizing the opportunity, Navii was launched in November of 2020, not even two years old yet Liz says that Navii is already seeing great brand recognition and is doing quite well. The core backbone and inspiration behind Navii is the desire to help these small businesses around the country, not just in tourism, and having worked in a corporate environment, Liz identified a “solution to helping these businesses without the political agenda circling around.” “My business partner and I, we are the directors and owners of our companies and we do have an advisory board and we obtain input all the time but we definitely drive the agenda and can envision the solutions and move really quickly to implement them,” Liz said.

RECEIVING THE $1.9 MILLION GOVERNMENT GRANT There is a big difference between being government-funded as a business, relying on continuing funding from one financial year to the next and a grant. A government grant is a one-off opportunity that recipients really need to “make the most of”. Speaking on the grant Navii won, Liz said: “It’s a balance, you’ve got your government stakeholders who want it to look good so that they feel good about it, their political masters will be happy to announce it and happy to report on it. So you’ve got those kinds of government stakeholders that you absolutely want to do the right thing by, and then you’ve got your own because it’s a grant that has a finite end date, we’re to make the most of that opportunity, a 36

brand new business basically a startup. A startup with an awful lot of infrastructure from a sister company.” “Use the money as wisely as you can to help build a brand in 21 months, how are you going to do that? It’s leveraging relationships, it's creating new relationships with the right kind of partners who share the same objective of helping small businesses.” Liz said. One of the main takeaways Liz, and her partners at Navii, learned throughout the grant application process has been recognising that it is different to running a business where you receive funding from one strategy cycle to the next. Due to the nature of the grant, you not only have a finite time to maximise how you use the funds themselves, but also the introductions and relationships that will allow you to continue your business growth for this start-up and into the future. “Given we went live in November, that was only a 21-month period, so we had to be really good at long-term visioning but short-term planning. It all came down to this short-term planning, but we had a very clear vision that we could talk to that was credible because we had already achieved that vision in tourism already.”

MANAGING THE GRANT APPLICATION For businesses looking to apply for grants and see what opportunities might be available to them, a clear strength of Liz’s is clearly being able to recognise what you are able to offer, to capitalise on these opportunities. Liz and her business partners at Navii were able to identify their business strengths. How they not only fit the criteria for the grant that was tendered but also recognise what they could bring to the table. “There are lots of other key things with managing a grant as we have, but for me writing the final grant acquittal report soon, I feel really comfortable because I feel like we’ve kept our promises to the government and that they will be happy to talk about the results of their investment because that’s what it is when they give out grants they’re investing.” “The reason we are able to report those solid outcomes was that we executed well but we kept the planning really tight and didn't think too far ahead.” “Achieving as much as we could during this grant period but knowing that what we were doing


would set us up for sustainability down the track because those relationships don’t stop on 30th June, all those leads we’ve generated with industry and small business we had to develop all of that as quickly as possible,” Liz said.

“Long-term vision and shortterm planning so that you can execute during that grant period.” GRANT APPLICATION TIPS 1. Be a strong contender You will recognise if you are right for the grant, it will be as clear as daylight that you are a good fit when you read the grant objectives and guidelines, so you have got to carefully and thoroughly read what they’re asking for. It’s a very competitive process, all grants are, it’s like going for a great big job where they will see you as a contender. There is a lot of effort required to manage the grant requirements going forward so you have to be sure that you’re a strong contender. 2. Show that you understand the problem and know how to solve it When you’re looking at the government's objectives that they will have articulated in the

ad for the grant, you have got to really read the strategy piece that is behind it and pull the magic keywords from that. They will have had a report written at some stage and whoever has written the ad for the grant, the public servant who has written and referenced that, go and read that report and find the problem that they are trying to solve, the government is always trying to fill a gap and solve a problem. Go and understand what that is and what their strategic objectives are and highlight the keywords that they’re using, use these in your application so that it’s really easy for the public servants who are assessing your application to understand that you “get it”. You need to really understand the question that is on the submission of the application form. Like writing any submission you have got to really answer the questions, and provide evidence to back up your response.

Work WITH the public servants not against When you win the grant and it comes to your requirements and the obligations and reporting whatever your deliverables are, don’t fight with the public servants. Just make their life easy. Give them all the details they need, get it to them on time, and keep them informed so that there are no surprises. Work your relationship with the public servants whose job it is to manage the grant on their side, make their job really easy so that they are going to be very supportive of you and will promote you internally up the line. Just always remember to make the public servant's life easy.

3. Think of the political master Whatever you are offering through your business and your pitch for this grant about what is going to be achieved, just imagine the politician that has that department in their portfolio, imagine them launching the program or cutting the ribbon.

The Growth Of The Party People 30 years ago Mala Salakas was "Patches The Clown" catering for kids parties. Her passion for parties led her to start a small party store with her father Peter Nikolas. In 2007 her sons Dean (me) and Peter Salakas took over the family business so they could retire. At that time The Party People Shop had 2 employees in the shop. We use to get teased at school because our mum was a clown and today we wear it with a badge of honor. Getting Your Business Grants-Ready Government grants can be an exceptional boost to your business. From allowing you to undertake an expansion or purchase new equipment to implementing digital enhancements that improve efficiency, there are grants for so many things that can help your business to grow. In fact, it has been quoted that in Australia there are around $80 billion worth of grants awarded per year. So what is stopping business owners from applying? Two main factors - many businesses are completely unaware they may be eligible for grant funding and others think grant applications are just too hard. For those individuals with an entrepreneurial mindset now is the perfect time to embrace this changing world and capitalise on your own cleverness.

An entrepreneurial mindset is not just an asset in this new world, but a skill. The good thing about skills is that they can be developed. So, how do you further develop that skill?

Step One: Drawn to Opportunities Opportunism can be described as the practice of taking selfish advantage of circumstances. It can be off putting for others when you are quicker than them to grasp a business opportunity. It can be very annoying for others if you are always talking about your ideas and not following through.


opportunities are found when some bold new “out of the box” thinking is let loose. Crazy ideas may seem childish but being brave enough to let that inner child test new ideas, demonstrates another entrepreneurial instinct. You have to be confident enough to be seen as crazy to develop that entrepreneurial mindset.

Step Three: Create new value This is the driver that converts ideas into money. Smart implementation of new ideas creates value. The real test of course is if anyone would really pay for your new idea? Here is where an entrepreneurial mindset skill needs to be applied. Your great idea is just that until it is commercialised. Compare the market for similar services. Would your idea improve that service for others or just better suit your personal style? The real commercial test is would anyone other you pay more for an improved service that uses your innovation?

Opportunism is a latent skill within every entrepreneur that is worth developing. To advance your skill convert that chatter into meaningful thought by drafting a one page product/service description. The one page will continue to grow as more of your thoughts flow.

Step Two: Innovation Improving old processes is innovative. Often small improvements on a large well established customer base can be worthwhile and profitable. The big and often daring

It could be that the service provider may be able to offer a better service but that doesn’t make it commercially viable. A great idea is not only a new way of doing things but has to deliver something better, that others are prepared to pay for. Your idea must improve service, potentially creating value, and either increase sales and/or reduce the service cost. Write up the full story of how your idea would achieve commercial advantage. This is not only a product description in the making but an assessment of how your product improves service and saves money. This will also need to be formalised in a spreadsheet. Step by step you will have started assembling the components of a business plan.

Step Four: Learn about entrepreneurs The more you read about entrepreneurs the more you will realise that they come in all shapes, sizes and ages. This fact is perhaps one of the most inspiring for those wishing to develop an entrepreneurial mindset. If reading is not your preference, simply look on Youtube and search for “entrepreneurs”. If ever you thought you were alone with your wacky ideas, not anymore!

Step Five: Network with Entrepreneurs Having studied from afar and concluded that you have a basic entrepreneur’s mindset it is now time to get your development into top gear. Join groups that sound likely to be entrepreneurial. Ask for advice. There is always someone at these gatherings that not only knows more than you but are often delighted to share some valuable experiences. When told as humorous stories the wisdom is often just below the surface. These tales may save you learning a few hard lessons first hand. You will also have learnt to talk the talk.

Step Six: Plan to Survive The entrepreneurial journey is a marathon, not a sprint. You will meet both friends and enemies along the way. External enemies are called competitors. Enemies from within are a far more powerful variety, often former friends and associates. An early lesson for entrepreneurs is that you need to look after number one to be number one. Whatever it takes, be flexible. Persistence is not just maintaining the good fight, it is the art of staying in the game. 43

Grant 3: Research and Development Tax Incentive “This is more of a tax incentive

than a grant but is valuable to businesses investing in research and development projects.” Sharma has seen how this initiative can reduce corporate taxes, which is fantastic news for the entrepreneur and an advantage for business start-ups, especially considering that even at a loss, these new businesses can receive a tax credit. Grant 4: Tourism Industry Regional Development Fund As we see more states opening up, the time is now to find out the benefits of the Tourism Industry Regional Development Fund. This fund is managed by each Australian state and has varying requirements for eligibility. Overall, it is a regional Australian initiative to improve tourism where funding can range from anywhere between $50,000 to $250,000. Check each state and territory's government websites for specific eligibility.

THE FUTURE OF SMALL BUSINESS The best way to utilise government grants to benefit longevity in your new business is to ensure you apply for those that best meet your needs. “It’s easy to get caught up in applying for this or that, but when you make the right connections and put your whole self into relevant applications, you have a better chance of achieving outcomes that will benefit you most,” says Sharma. Looking ahead for small to medium businesses, there is a lot to be gained from engaging in opportunities that are designed for business growth and development. Sharma says that while he believes that new enterprises will be slow to start as a result of the pandemic, getting market-ready is definitely easier with the added support of mentors and grants.

Depending on the size of your company, you may have a couple of causal staff or a large workforce with multiple team members. How you deal with this change and expose to your staff that you intend to sell the business, will be different.

HAVE SYSTEMS IN PLACE TO SELL A BUSINESS Employees may expect the sale or they may take it as a total surprise. Depending on how involved you are as a owner in the day-to-day operations of the business, you need to make sure there are systems in place so the staff can continue to offer exceptional service after you sell a business. Are you still heavily involved in the business? Your first role is to start

stepping back, map out what you complete on a daily basis, start allocating it to a team member, or create training materials for the new owner. You want to know that once the company is sold that the new owners can continue to operate successfully. When you go through the handover process you need to ensure it is as smooth as possible. It could be time to check what roles each team member actually has and outline clearly where their responsibilities lie. Having a clear employee chart and management system will make the transition easier when you sell a business. Check on each employee, are they having any struggles? Could they have more responsibility? Do they need more training? Are there areas that need more focus? Are there gaps that need addressing? When it's time to break the news to your staff that you will sell a business if you have current


systems and training resources it will reduce the stress and pressure when the change over occurs. There will be a clear path and understanding of each person's role and responsibility, they will know how to solve problems and handle day-to-day operations without the need to ask you.

CONDUCT EMPLOYEE PERFORMANCE REVIEWS A good way to start the conversation is to have performance reviews with your staff. Depending on the size of your operation you may have 360-degree reviews or one-onone with management. In these reviews, you can get a sense of how your employee is feeling, their happiness at the company, their future goals and any training they may require. You could look to introduce some training courses before you sell a business around topics such as; How to handle change, dealing with management, coping with stress in the workforce or related courses that you feel may assist employees in the changeover.

CHECK YOUR EMPLOYEE CONTRACTS AND LEAVE ENTITLEMENTS When its time to sell a business the amount of leave owing to employees may affect a buyers willingness to buy a business. Its important you encourage all staff to take their leave so that it is not seen as a liability to the new buyers. You may have casual, part time or full time staff with different awards, wages and entitlements. Check every employee’s contract is up to date and correct. You will also want to ensure that all super payments have been made.

Three-quarters Of Small Business Leaders Find The Tax System Confusing Edited by Caitlin Mary / Bsale Journalist

New research released by Officeworks shows small business leaders are concerned about the growth of their businesses postpandemic. Despite small business leaders (SBLs) feeling relatively more confident about their business and increasing their spend on business equipment compared to the same time last year, research shows almost three-quarters (73 per cent) of SBLs still find the tax system confusing and nearly two in three (63 per cent) are concerned about the growth or stability of their business beyond the pandemic. To assist in a healthy tax return, almost a quarter (23 per cent) have increased their year-onyear spending on office supplies, furniture or business assets to take advantage of the government’s depreciation concessions for an increased tax return. The research suggests SBLs are planning to capitalise on the depreciation concessions available, including the recently announced (although not legislated yet) ‘Technology Investment Boost’ in the 2022 federal budget. SBLs indicated they will spend an average of at least $17,000. One-in-four small business

However, if a course was offered in a new, up to date technology where there are not many courses, they may find they sell a lot of courses, so the course has a good product viability.

Only 25% of new businesses last over 15 years. One reason why they may fail is not looking carefully at whether a business and their products are viable. It is important to carry out an

Have they considered using a service/buying a product like yours before?

Looking at the online education business again, we have already seen that the market is growing, so that’s a good thing. We could then conduct research to find out who are our competitors? How well are they doing? The ones that are doing well, what are they doing? What are they selling? Look at their websites. How well do they perform? Look at their sales funnel. How do they encourage people to look at a product and then move through to the sale? What is their marketing strategy? Try to reverse engineer their business model. The ones who are not doing well, what are they doing? What are they selling? Are the products viable? When considering the market viability of a new good or service, we have to consider if it is likely to sell well and be a profitable product.

How do you know if a product will be viable? Conduct market research, as we have already mentioned. Ask people their opinion on a product, their honest opinion. We might think that an idea is amazing and brilliant, but other people may 54

simply not see the point. They are your potential customers. You need to be able to explain WHY it is a great product and WHY they NEED it. The aeroplane and lightbulb were both dismissed as pointless ideas when they were first invented!

Look at your strengths as something you can improve upon. Look at your weaknesses and threats as something you need to find a way to turn into opportunities and strengths. If we look at market trends, we will find out whether the business we are going to go into is growing and successful, so there is potential for you to get a market share. A shrinking market will have less opportunities and will most likely already be full of businesses trying to get their slice of the market. If we look at our competitors. We can learn from what they do. We can see what doesn’t work. AND we can see what does work. We can use the lessons we learn to improve our own business. This doesn’t mean copy them or do exactly the same. It means use that knowledge to improve our own business model. If we know who our customers are, we know who we are selling to!
