The Road Ahead The RBA just raised the cash rate for the first time in 11 years. Speaking with business lenders, interest rates will inevitably be going up over the next 12 months as the cash rate is expected to continually rise. With many banks still offering the SME Recovery Loans, there has been a rush in business owners looking for finance, with major banks such as CBA closing applications on 17 June 2022. Business owners need to prepare for the future, and continue to manage their cash flow and finances. Early voting is now open for the 2022 Federal Election, which is officially being held on Saturday, 21 May 2022. With political parties promising small business access to training, energy incentives, tax reductions, reduced transaction fees and more. It will be interesting to see which party wins and how they deliver on these promises. The past 2 years has seen many highs and lows for business owners. So how do these two major events affect business sales? Well in the past, we used to see a slowing in the number of businesses listed for sale once an election had been announced. This year, we have seen the opposite. Business owners and buyers are looking for opportunities. The opportunity to exit a business and follow a new path, or to find their ideal business and stop working the 9-5 for someone else. In this edition, we are focused on business brokers, what experience they bring to the table and how they are assisting business owners. There are over 1,000 licensed business brokers in Australia with a range of career backgrounds from accounting, to real estate to previously owning a business. A message from Ian Jones, President | National Chair (AIBB) It has been a very busy start to the year for me, the administration team and all committees but the good news is, the AIBB is well prepared for this year’s national conference which will be held in Sydney on the 18th, 19th and 20th August. This years conference promises to the best yet and is certainly one of the most highly anticipated events in recent AIBB history, considering its our first national conference in 3 years. This event has so much to offer for all brokers and will be very special, so make you and your entire team book in early as places will be limited and you will not want to miss it.

The AIBB has also continued its incredible run of delivering a phenomenal number of education and training courses for its members, including training for a large number of new members who have successfully completed the compulsory best practice course. Congratulations to all who have successfully completed these courses! The outlook for the future is even more positive than it was a month ago, with market conditions continuing to improve. We are still seeing moderate buyer demand, with more business owners feeling comfortable about putting their business on the market, which is very good news for all members. With market conditions continuing to improve, there has never been a better time for Brokers to upskill. Check out some of the incredible courses and in-demand online training

events coming up in the next few months. I would also like to acknowledge the team, especially Brain Sander for continuing to run the incredible online member forums. The March forum had 65 attendees which was conducted by the negotiator herself, Julia Ewert. Everyone that attended left the forum with knowledge to apply improved negotiating strategies in their own businesses. As I have previously stated the outlook for our profession is exceptionally bright, so stay connected, upskill and be ready… this year is going to be BIG! 1. WHY YOU SHOULD TALK TO A BROKER – EVEN IF YOU’RE NOT READY TO SELL Renewed focus on your Real Business Profit Talking to a broker will give you a renewed focus on your business profitability. When you understand that each $1 of your real profit will become $3 or $3.50 at settlement time, it will highlight in your mind why you need to be focused on maximising your bottom-line profit! 8

From this initial conversation, you might take advantage of the next three years and engage in a business development consultant, to ensure that you are really doing everything possible to maximise the profitability of the business. These are the years that the financiers and accountants will refer to when they are giving advice to their clients and approving, or declining, their finance applications. Finding the best broker for you and for your business If you talk to a number of brokers, you’ll get an understanding of ‘who’s who in the zoo’, which will allow you to make the best choice when the time comes to engage with a broker who you feel you’ll be able to have an ongoing relationship with and is best suited to the sale of your business. Initially, a business owner may not realise that there are specialist brokers who can better support the sale of their business. Many brokers are in knowledge of each

other, through industry bodies such as the Australian Institute of Business Brokers, and will be able to refer to one of their colleagues who they know is a specialist in your field if they feel that they are perhaps not the best broker for your industry/business. Selling a business is like running a marathon, it’s not a sprint, so you need to find someone you have confidence and trust in to do the right things by you at every step of the sales process. 2. CREATING AN EXIT STRATEGY THAT WORKS. Life doesn’t always go to plan and we never know what’s around the corner. As a business owner, it is so important to ‘Expect the best, plan for the worst, and prepare to be surprised’. To that end, it is important for business owners to have a range of strategies up their sleeve to tackle all that life throws up. Exit strategies might include a sale to someone that is already


within the business such as a management acquisition. It might be that the vendor starts consciously reducing their commitment to the day-to-day running of the clinic with a view to reducing any perceived risk by a buyer and the reliance on the vendor. Keeping a business ‘sales ready’ is a great position to operate in, with the BAS up to date, the financial statements prepared by a registered accountant and all staff superannuation paid will allow a sale to take place with relative ease should anything unexpected happen to the business owner by the remaining family members, in the event of an unexpected death or total and permanent disability. Having a will that is current; a partnership agreement in place and any legal issues sorted is a good position to be in too! 3. KIDS WON’T ALWAYS TAKE OVER THE FAMILY BUSINESS. WHY YOU NEED A BACKUP PLAN. Traditionally, we have seen the business owner’s children coming up and following in their footsteps… this is happening less and less these days as children follow their own interests and passions more than ever. Even in medicine, I see GPs children becoming hospital-based specialists who are not able to take over an existing GP patient base. If we can’t rely on family, can we rely on colleagues? Not always. Many people that work for someone don’t want to be the boss…they have no interest in being in charge of a business and are happy to be employees all their lives. So, if the family is not interested and the staff are not interested, then we have to look at a wider range of options. One of these is to engage a business broker to assist

you in finding the perfect buyer for your business. 4. YOU RISK LOSING MONEY IF YOU DON’T SELL CORRECTLY In the past, I have supported practice owners who have waited too long to sell. They have become blind and could no longer see a computer screen as a result of high blood pressure issues. I have had Drs become very unwell, partnership breakdown both professional and personal, I have had untimely deaths…..not one of these people was able to get the real value of the clinic at sale time. Getting the best price comes down to having a business prepared with maximised profit, having risk removed with the business owner not being highly involved in the operations of the business plus having a great deal team. Your broker, your accountant and your COMMERCIAL lawyer (not family lawyer or criminal lawyer) will need to be the very best at their roles within your deal team to ensure you get the very best sale. Ensuring your deal team is ‘en pointe’ … that your marketing is professional and that your Commercial lawyer is competent in working in your industry will also assist you in selling correctly. 5. A SPECIALIST BROKER KNOWS YOUR INDUSTRY Some brokers are generalists, while others are specialists. A broker might have so much knowledge in the areas of medical or automotive or restaurants/cafes or perhaps dental centres. These are the brokers that will talk in acronyms with you as they are across your industry, a generalist broker sells anything, they are skilled in quickly understanding businesses, marketing them appropriately and selling them. It’s a process, once you know the process you can sell a business. A

specialist broker will sell a business almost with a sixth sense, they know what to look out for, the ‘trip hazards’ and the perks! Ask your chosen broker how many businesses they have sold in your sector/industry before engaging with them; ask them what trends they are seeing and what they think the impact of current trends with have on your specific business. 6. WHY A BUSINESS BROKERS EXPERIENCE MATTERS I have been working as a specialist health broker in the medical sector now for about 8 years. I have sold maybe 100 clinics in that time in my sector. I have experience in selling in the following sectors: 1. Medical 2. Dental 3. Ages Care 4. Allied Health 5. NDIS Without rungs on the board, your broker is working from the training manual, you need to find someone who knows how to sell in your industry and can show you their ‘sold’ signs of businesses in your sector. Seek testimonials, check out google ratings, look at their LINKEDIN profile, and see how other brokers perceive them. Look for green flags and red. Ask questions, probe, and don’t just list with the first broker you chat with. I always suggest that for a big transaction, maybe get 3 quotes. Same when listing a business for sale. This might be the biggest transaction of your life; please take time to make sure that you are getting the very best broker possible to lead your deal team to a successful conclusion!

RBA CASH RATE: WHAT WILL THIS MEAN FOR MORTGAGE LOANS? Author:

he last time interest rates were a hot topic was 3 years ago in the weeks & months before the last federal election in May 2019 (it would seem that some things never change!). The RBA cash rate was at an historic low (at the time) of 1.5%. Depending on the lender, variable rates were around 3.7% climbing to over 4% by the end of the year. The general consensus at the time was that rates were going to rise after the election. But wages remained flat & inflation was still too low, stifling economic growth. Then the Covid pandemic hit Australian shores in early 2020 & the RBA along with central banks around the world reduced interest rates to record lows & governments injected 100’s of billions of dollars to buoy their economies. For the most part it worked, certainly for Australia. But those super low interest rates were for emergency relief during

Covid to minimise pressure on home owners & small business. These levels can’t last in a healthy economy as interest rates need a natural balance so that savers, borrowers & investors can all benefit. As a visual, balanced interest rates keep the economy turning rather than flat-lining in a single direction to oblivion. One of the reasons for increasing the RBA cash rate is to put

downward pressure on inflation, which has remained stubbornly low for years but has just flown right through the target band of (2-3%) to 5.1%. The drivers of this surge are not the usual suspects. Disruptions to supply chains, particularly building materials (Covid related) is one reason & the impact of increased energy & fuel prices as a result of the Russian invasion of Ukraine is another (though these were increasing


already) which follows through to a multitude of consumer products where cost to manufacture & transport products increase. The RBA is of course conscious of the impact that increased interest rates will have on mortgage holders. With this in mind, I believe that rate increases will be steady & monitored. With this first 0.25% increase (from 0.10% to 0.35%) in interest rates since November 2010 being announced today (3May22) it is likely there will be another ~0.50% increase before the end of 2022, a further 1% of increases throughout 2023 plateauing out in 2024 to level around 2.50%. Having said this, if inflation comes back into the target band & wages increase to a level that these economic contributors can live in tandem, then rates may level out sooner.

WHAT WILL THIS MEAN FOR MORTGAGE LOANS? A lot of people think that if their interest rate doubles so will their loan repayments. You’ll be happy to know that this isn’t true! A home loan comprises the repayment of two components: • Principle: which is paid down over the (usually) 30 year term • Interest: which will vary depending on the balance & the interest rate Banks generally increase their variable rates in-line with & soon after the RBA cash rate announcements (1st Tuesday of each month) so it’s time to get ready. Expect an increase of 1%

to your variable rate loan before the end of this year & another 1% - 1.5% by the end of 2024. This table shows how it may affect repayments for your variable home loan. For those of you with a fixed rate loan . . . you can relax for a while.

WHAT SHOULD YOU DO? My thoughts are that it’s too late to fix a variable rate now as the increase has already been factored into the fixed rates & you’ll just be paying an unnecessary premium upfront. To manage the forecast increases & as a general rule you should always try to make extra repayments into your offset account to prepare for future rate increases . . . & be prepared for any unexpected event! Even if you have a low fixed rate loan, start making extra repayments now to get used to a new era in interest rates & to give yourself a buffer if needed. Selling a Multi-Million Dollar Business If you’re thinking about it or you’ve decided to sell your multi-milliondollar business, how do you decide which business broker to choose? The first obvious decision must be to go with a large reputable agency. It doesn’t matter how good the business broker is, to achieve a successful sale requires the support that can only be provided by a large agency. In the current world we live in, the internet is vital for most businesses to operate successfully. It’s no different for business brokerage agencies. It is critical to attracting potential buyers.

Where do you find these buyers? The internet. The majority of business sales are the result of advertising on all available websites. Let’s go back to why a large agency, simple reason, due to the large volume of businesses they are selling they can obtain a better deal when advertising. The large agency is therefore in a position to advertise on a large number of websites, attracting the maximum number of potential buyers. The smaller agencies or the individual brokers are not able to do this. Now that you’ve decided to go with a large agency, what’s next? Which business broker do you choose? You want someone with a solid reputation, someone who is successful. Do you choose the broker who sells the largest number of businesses? This raises another question, the number might be high, but how many years did it take to achieve these results and where are any of the sales multimillion dollar businesses? Another critical question, has the 12

broker ever been involved in multimillion dollar negotiations? No disrespect to any broker, but keep in mind, that it is less demanding to sell low-end businesses than to sell multi-million dollar ones. The pool of potential buyers in the low-end sales is incredibly larger. Selling a multi-million dollar business is very different to selling businesses on the lower end of the market. One of the most critical aspects of being a business broker is the art of negotiation. A broker might be extremely successful selling businesses that are worth a couple of hundreds of thousands or even lower, but will he achieve the same success selling a multi-million dollar business? The calibre of buyers in the multimillion dollar market is far different to the ones on the lower end of the scale. Negotiating at this level is a completely different ball game. It is essential that the broker you choose can deal and negotiate with high profile, intelligent, highly educated individuals on an equal level. If your broker is not in the same league as those individuals, he might feel at a psychological disadvantage, he might feel bullied, and intimidated and therefore will not be able to negotiate the best outcome for you, his client. You must choose a broker who has the background, the education, the experience and expertise in negotiating with high-end business professionals, lawyers, accountants and if need be, government officials. There might be a large number of excellent business brokers, but there certainly aren’t many who meet these criteria. he business broker industry is changing. Zoran Sarabaca from Xcllusive Business Sales recently spoke to Bsale about the future of business broking and his unique approach to the broker business model. “I got into business because I was unemployable you see, I have actually never worked for anybody else myself. I used to have an electrical maintenance business I had to sell and I ended up selling it myself.” Zoran says of how he got into business broking, a very common story in his words. Through his experience selling his own business, Zoran recognised a flaw in the business broking agency model and decided he wanted to build a business broking business and Xcllusive Business Sales was established in 2004. Starting in an office in Sydney, Xcllusive has expanded to regional NSW, Melbourne and now has offices in Brisbane, Adelaide and Canberra as well.

THE TYPICAL AGENCY “When I started the business I never wanted to just work as a business broker, I always wanted a business broking business. That is a challenge. What happens now in business broking, is that it’s an agency model which is based on the real estate agency model which works in real estate but it doesn’t in business broking for a few reasons.”

and import-export to name a few. “What I noticed that is lacking with a lot of these agencies, is the fact that they are run as the agency model. Which means if you come and work with them, they give you their card and the world is your oyster. So you have to go out there and find the business, then you're gonna sign the business up for lack of a better word and then you have to sell that business.” Zoran said that one of the problems with this kind of model is that you, as the broker, have to run your own business within the business itself which ultimately encourages individual internal competition and you miss out on a team environment. “It’s not a really pleasant place to be. It happens in real estate and it’s happening in business broking as well. For example, if I’ve got a lead I don’t want anybody to know if I’ve got a buyer, well I want to sell to this buyer and I don’t want anybody to know.” Zoran said. In this scenario you are “not getting too much out of the organisation” that you are working with. With this in mind, Zoran said that upon founding Xcllusive they asked themselves “okay, what can we do so that we can eliminate that internal competition?”.

“Engaging people to sell, and selling businesses, are different skills. Engaging people to sell, in real estate you don’t have to worry about it, you engage the house and the house sells itself. In business broking, you engage the business to sell and then the hard work starts.” “Getting that deal across the line. It’s not about finding a buyer, when you find somebody who wants to buy you have to overcome all the obstacles, that's where brokers make money but here's the problem, that's very time consuming, and sometimes you’re gonna have multiple meetings in each week with the buyer and seller and Friday afternoon something happens you have to rush and drop everything to fix it. That doesn’t give you much time to find new businesses and without finding new businesses you’ve got nothing to sell.” When brokers spend more than half of their time looking for businesses to sell, this means they have even less time to actually sell the businesses “With less time to make the deal, the quality of work drops. So what we’ve done in our organisation is that we’ve actually got full-time people whose job it is to go out there and network, do what they

With having dedicated staff at Xcllusive who handle finding businesses to sell, Zoran said that they were able to attract “really good talent and get really good results”. “We actually have more supporting staff than the brokers that help these brokers in the back end with not only administration and marketing, but also with regulations and bringing in businesses. What we manage to do is generate really good income for the brokers by the virtue of leaving about 60% of their time to work directly on business deals rather than looking to find the deals so they don’t have to worry about it.” Zoran believes the future of business broking is not about finding businesses to sell. “I’m 100% certain that for business brokers to survive going forward, not just to survive but to thrive, the whole industry needs to change to professional advice.” Zoran said that when he started in business broking, he said that accountants would not recommend brokers but that now it is common practice, accountants 16

and now they’re exiting, thats pretty much the largest portion of their net worth. When helping them through processing, it gets very emotional but its also very complex so brokers need to live up to that expectation.” Zoran said.

TECHNOLOGY AND BROKING “I really believe that technology is going to kill this mass market

for brokers a lot easier, finding buyers has become a much lower priority task. “Once you find the buyer, negotiating this deal and facilitating the sale, getting the deal across the line and overcoming issues as they arise through due diligence through negotiation and its a very personal part so I really think the brokers job shifted because of technology a little bit


more deal-making by the virtue of finding a buyer being the smaller part.” “But by no means will technology make a business broker obsolete, never, it was always about emotions and people, it was never [just] about business. A lot of

For a few years after 2010, Zoran said that the market was ‘very fragmented’ as so many people were building websites and trying to sell businesses online. The problem of finding buyers was quickly eliminated thanks to the innovation of these websites. “You go on one of those websites and buyers will find you. Selling business stopped being about finding buyers, but actually getting the deal across the line, that’s why the brokers really have to improve their skills and improve their knowledge, work on less businesses and focus more on better results with fewer businesses.”

The brokers that will make good income and bring in good results are the brokers that engage with people, according to Zoran. They understand the ‘whole concept’,

business, all the way to lawyers and accountants on both sides.” Zoran compared the process to rowing a boat across the river; “You have all these people in the boat and they all want to go across the river and they’re running around on the boat, you have to keep it balanced to get them all safely on the other side, that’s what a brokers role is.” “Finding a buyer is the easy part

While technology can help to a degree, Zoran says that you really have to be personal and close with all of the people involved in the sale and keep your finger on the pulse, find systems to deal with issues that arise, mechanisms for de-risking certain sides of the transitions, managing people. “That's where the creative aspect of deal-making and experience comes into play, that a good broker will come up with a solution for this not just to suggest but to also help implement.” Zoran said. “You’ve got to share information, we put [out] a lot of free resources and that’s where the world is going. If you want to educate yourself, you can go online and 17


find enough information for just about anything from brain surgery to copywriting.” It’s common for people to feel the need to hide their business practices, likely rooted in that internal competitive business model. Zoran said it was ‘silly’ to not share your information and knowledge. Broking is so complex that explaining your competitive advantage does not mean that someone can copy it. Zoran said that one of the biggest problems on the market right now is when you’re talking to the seller, “where are you going to find the buyer?” They ask. “Don’t worry about the buyer, buyers are everywhere, it's once we find the buyer how are we gonna get this across the line. I’ll tell you how we’re gonna find the buyer we’re gonna put the listing on bsale and they’re gonna come and call me, that's the easy part.” Zoran said.

FUTURE OF BROKING On what to anticipate in the coming months, Zoran says he doesn’t know what will happen with the economy, that “no one knows what is going to happen with the economy, interest rates are going up and nobody can stop it.” Though the question is, how will it affect the business selling market?

“I remember doing this [broking] when interest rates were 6 or 7 per cent and deals were still happening. In fact, a lot of people were ‘cashed-up’ bc it makes sense to hold the cash when people are getting 6% interest. So deals were happening sometimes faster when interest is higher because you can deal very quickly. If somebody has a million dollars in the bank and they’re buying a business for a million dollars, they are going to just withdraw the money, there is no finance [involved] they don’t have to sell shares or investment property in order to make the deal.” On a positive note, business for everybody in the industry in general is going well right now Zoran remarks, that this was some what predicted going out of lockdown. With less people going to the market during lockdown. “When we were in the lockdown a lot of sellers were thinking it was not a good time to put the business on the market, logic tells you that, but because of security and everything else a lot of buyers were looking to buy businesses, but there was nothing on the market. While you had a seller's market there were no sellers on the market, so that was going for about a year, year and a half and what happened in the last 12 months, all these people that didn’t sell started putting businesses on the market

and the buyers are still there.” If it was a sellers environment during lockdown, out of lockdown with so many people bringing their retirement sooner, facing job insecurity and more, the trouble now is that it can be hard finding a good deal, as Zoran says: “There is a lot distortion and operations in the business, for example some people had a fantastic two years because of covid, they were in such a line of business (lets say protective equipment) but some people got hammered because they couldn’t see clients or such as hospitality venues entertainment in general being shut down or severely limited. It's really hard to gauge where the business is and what kind of recovery and what kind of performance they're going to have going forward. That's here to stay in the long run but it will work itself out.” Having been through recessions, major events such as the GFC and covid ( and other “hiccups” in Zorans words), experience shows that there is normally a six month lag. “When something happens everybody freaks out and stops, then they realise the world didn't end, and there is a boost in sales!” “When it goes down it opens up and you get this rush of people and to do the deal, it's just a timing issue…when you go back and look at the last 5 years, some years are up some are down, but the average is reached anyway.” Going forward, Zoran says while he isn’t sure what will happen with the economy, he believes that business broking will see some delays but eventually, the same number of deals (even if clustered around an election for example) will still average out. “Despite lifestyle and income opportunities offered in the business broking industry, women are hesitant to consider this as their re-entry to the workforce because of its appearance as a boys club,” said Business Broker and Director

of Negotia Group Kevin Lovewell. “Business brokers enjoy flexibility, being able to work the hours they want and operate from a home office rather than travel to one,” said Mr Lovewell. “Yet female entrepreneurs and those seeking to re-enter the workforce see business brokers as a profession that is hard to enter, (and is) still men only.” According to ABS, women made up almost half the paid workforce in Australia in 2020, compared to 21


around 30% in 1966. In addition to participating in paid work at much greater levels than in the past, women are also working longer. With cost of living increasing many women feel the need to work and balance family. As Lowell, highlights women can be very successful business brokers, its a career that they may not have considered; “There are women I know with the education, skills and talent to dominate in this profession; the industry needs to show them an easier path to enter this industry.” There has been a 46% increase in the number of women business owners over the past two decades. With 34% (or 668,670) of businesses having a female business owner. There are many talented women who understand business, how to manage a team, how to balance cash flow, how to run profitable enterprises and so on. Engaging more women in the business broking industry will be very advantageous for business owners and everyone involved in the process. One of the challenges that the business broker profession faces is its comparison to real estate agents. “Despite the fact that business brokers are governed by the Property Agents Act, and a Real Estate licence or Certificate is required to practice as a broker, the

proximity of business broking to real estate sales are simply not as close as women believe.” “A broker must be across all the business fundamentals like accounting, IR, commercial law, negotiating, market data; research and analysis… none of which property agents need concern themselves with.” “Women still see broking as a subset of selling real estate – with all the problems present in that industry.” The recent Real Estate Industry Australia (REIA) National Awards for Excellence saw a dramatic increase in the number of women taking out the top awards. REIA President, Hayden Groves said 2022 has proven to be the year for women who took out 10 of the 13 individual awards. “It was encouraging to see many more female participants in the 2022 NAFE with 45 women finalists which was a staggering 60% increase on last year.” Hayden Grove With this female success in the Real Estate industry, we look forward to seeing more women choosing to become business brokers and assist people in the process of buying and selling businesses.

The business broker environment is shifting, there has been an increase in female business brokers over the years, but Lowell highlights the need for agencies to support women to enter this profession. “There are not enough brokers already, we are a growth industry, so it seems obvious to me that Business Broking firms should be making better use of women and should be offering better support and mentoring.” He called for broking firms to change their recruitment and selection criteria by offering • Qualified trainers: Ensure anyone entering the industry is trained by those with extensive experience and are equipped at passing on their skills and knowledge. • Mentoring: Importance needs to be placed on mentoring and support to keep those who’ve entered the industry instead of risking them becoming disillusioned and unhappy. • Flexibility: There is no reason why working conditions can’t be flexible. “The industry desperately needs to find ways to encourage women to consider business broking as a career as it would suit many mothers who want a career but need flexibility around the children.” Business Owner Steph Balkin agrees and says, when she wanted to sell her business, all enquiries were fielded by men. “I was surprised, with more new Australian businesses like mine being started by women – we are significantly beating those started by male counterparts in technology, lifestyle and service enterprises – it is about time women saw broking as a way to financial freedom and a career in helping other business owners.”

espite the problems caused by COVID-19, the Australian economy is very strong. As lockdowns have eased and borders are open, it’s important that your business stands out to retain your current clients and also develop new leads. The most efficient way to do this is to turn your existing clients into raving fans. These ambassadors drive referrals, stay loyal and do a large part of your marketing for you. The best way to make a customer or client rave about you is to delight them. Most people tend to enjoy surprises, just so long as they are carefully planned to really benefit them. By pleasing an existing or potential customer, you encourage them to enjoy more of the company’s work and refer you to their friends and business associates. It also helps you retain and attract great team members. But how does a company go about delighting its customer base?

1. Provide More Than Expected If you just complete a job or provide goods or services as expected then it does not really surprise or delight them. It is the small additional surprises that make the memorable difference. I like to provide additional information or tasters of other products that we have.

5. Exceed Expectations While it may sound cliche, under promise and overdeliver. More important than “delighting” a customer by agreeing to custom requests and accelerated timelines, make realistic commitments and then beat them. Also, keep your customer informed along the way of your progress in meeting those commitments so there are no unexpected surprises.

6. Look For And Solve A Pain Point Ask what their concerns or problems may be and provide a solution. Don’t just try and sell your product. Delight them by taking the time to find out their pain points and offer a solution.

7. Develop A Relationship Surprise and delight prospects and customers is by connecting with them and making the relationship about more than just work transactions. Find out about their hobbies, interests, family and even aspirations. Take them out for lunch or a drink. Get to know them.

8. Be Aware Of Their Activities Follow their activities in the media, Facebook or occasionally google them – better still contact with a simple “how’s things?”. It is the small surprises and delights that make you stand out from your competitors. It makes you memorable and shows that you care more than just making a sale. s parts of New Zealand appear to be reaching the Omicron peak, and news that the country’s border will be reopening to the world, small to medium businesses will be collectively exhaling after a punishing two years of uncertainty and change. Jason Hayde

More than 90 percent of businesses in New Zealand are categorised as small to medium enterprises (SMEs) and Jayson Hayde, Bayleys’ national

director business sales, said the sector can take a bow for the fortitude displayed during the pandemic’s path. “SMEs have answered the battle cry, pivoted operations to cater to a largely-at-home audience, stood by their employees and suppliers – all while taking significant hits to bottom-lines, mental health and confidence along the way,” he said. “For the most part, SMEs have 27


weathered the onslaughts and I am humbled by the grit displayed by the business community as they’ve fended off the blows that kept coming.” In partnership with business advisory entity The Alternative Board, Bayleys has released the Summer Pulse Check based on survey responses from 3,520 small to medium-sized New Zealandoperated businesses. While there has been an uptick in sentiment since the earlier spring survey when business owners were at their lowest ebb, there are still some compelling challenges ahead. “Respondents indicated that vaccination mandates have not had a huge impact on workforces or businesses per se, but three quarters of business owners surveyed report they are having to manage significant labour issues,” Hayde said. “This includes skills shortages, juggling staff absences and retaining key staff through the Omicron outbreak. “Business owners rallied over summer, finding ways to manage uncertainty and pandemic pressures but aside from staffing, the main stressors are now rising input prices and lack of sales – with supply chain woes not far behind.” Respondents also confirmed that some SMEs need more financial support packages, working capital and customer relationships are holding steady for now and it’s too early to know how new business lending frameworks will ultimately play out. “From where I sit in the business sales’ industry, I applaud SMEs for the way they have navigated these uncertain times. 28

“The learnings that have come out of the last couple of years will strengthen business operational models should we ever face such disruption in the future, but the lessons have been hard to stomach for some. “Taking emotion out of the business equation has been necessary for survival, but the question ‘what is best for my business?’ has often been very confronting. “Some business owners have been forced to make life-altering decisions but most have realised the importance of family, relationships, health, community support – and technology.” Hayde said the Government has asked and expected a lot from businesses under the COVID-19 protection framework and SMEs have supported the health response by doing the right thing for the greater community good. “Business support payments have been appreciated, but have not gone far enough to address the continuing challenges in the marketplace resulting from COVID framework limitations. “The hospitality sector has been hardest hit by rolling lockdowns, rapidly-changing protocols, skills shortages and lack of foot traffic. “However, the whole ‘shop local’ response has been outstanding, with people getting behind local businesses in their communities, adapting to changing operating models and complying with prescribed mandates. “Traditional New Zealand values and neighbourly spirit have risen to the surface as everyone recognised they had a part of play in keeping trade alive.” Hayde acknowledges that certain

businesses have actually thrived through the pandemic and he believes some exciting new business models will emerge from the economic and social reset. “Innovative opportunities and pathways will be identified and given that the Kiwi number eight wire philosophy is embedded in small business DNA , I expect to see some cool ideas emerge. “In another upside, stakeholders have seen the importance of teamwork throughout this pandemic with landlords, bankers, business owners and staff all having to pull together and work for a sustainable outcome as the goalposts continually shifted. “Specifically, business relationships between landlord and tenant have largely matured, and it’s no longer a “them and us” situation.” With borders reopening, and commerce wheels starting to turn again, Hayde is optimistic that the SME segment of New Zealand’s economy will once again thrive. “I am excited to see what the next big thing will be for SMEs and how business models will evolve on the back of changed expectations, different consumer buying patterns, a revitalised appreciation for what Aotearoa can do for itself, and observations from the rest of the world. “We have the advantage of being able to look and learn from those countries ahead of us in the pandemic cycle and New Zealand’s comparatively successful record in keeping a lid on the virus’s spread will no doubt enhance our reputation as a safe haven.” Originally published: https://www. bayleys.co.nz/news/commercial/ fortitude-and-opportunity

MISTAKE 1: Crowdsourcing Your Digital Marketing Advice

Asking your mates for their advice on your digital marketing is like asking a plumber to check your weird-looking mole.

Mistake 4: Pushing People Down A Marketing Funnel

You know they aren’t qualified to give you an opinion and you just wouldn’t ask. So why are you posting on social media with your digital marketing questions? Just like you’d only ask an accountant for advice on your financials, only get advice on your marketing from the experts in that space. It’s the only way to find out what’s right for your business and your customers.

Mistake 2: Having Tone Deaf Marketing Over the last two years, people have been smashed by generic, irrelevant emails that seemed oblivious to their situation. While EDM (electronic direct mail) has a key role in digital marketing, there is no room for laziness with your audience. Take the time to really understand and segment your email database. Lean into the technology that ensures you’re creating strategic and relevant content. This is what keeps your audiences engaged and wanting to hear from you. Oh, and the same goes for your social media posts. If your clients are doing it tough because of an external situation don’t try to sell to them. Be there for them, acknowledge what they’re going through and offer support or content that will add value to them. Our clients remember those who support them when they need it.

Mistake 3: Ignoring The Clients You Already Have I keep seeing business owners who are constantly trying to add new people to their list, while they ignore existing clients or people who’ve previously engaged with them. In fact according to Invesp it costs 5x more to attract a new client than it does to sell to an existing one. And, existing clients are 50% more likely to try a new product as compared to 31% of new clients. It’s taken time, money and effort to build those contacts so don’t leave them out in the cold while you chase new butterflies. Create targeted communication that shows how much you value them for being a past

I’m absolutely gobsmacked that in 2022 some marketing companies are still talking about funnels. Whatever way you slice it, if you put people into a funnel they drop out the other end. I don’t know about you but I don’t want anyone to drop out. Instead, think of a wheel that constantly comes back around to meet people, wherever they are. When you’re creating assets for your digital marketing, you need to consider the various stages your customers move through and create content that meets their needs at each point. Whether they’re ‘just looking’, are ready to purchase or are existing clients who want to buy more or refer you, you don’t want to leave anyone behind.

Mistake 5: Thinking One Size Fits All For a while, it was acceptable to create one piece of content and then share it across all of your social media platforms. I’ve never been convinced that’s a smart move, and research is beginning to indicate that our clients don’t like it either. Take the time to tailor your content to suit the different platforms and the people who use each one. We all enjoy the feeling that a business created something just for us.

QUALITY TRAINING AT THE AIBB IS RAISING THE BAR The Australian Institute of Business Brokers (AIBB) was founded in 1989 and is the peak industry body in Australia for Business Broking, with the purpose of providing specialised education for business brokers. Kevin Lovewell is the chair of the AIBB Education and Training Committee and he recently spoke to Bsale about the courses that the AIBB offers.

FILLING A GAP Business broking is a relatively new industry, though it has grown large in Europe and America, the business broking industry in Australia is small in comparison. Prior to the commencement of the AIBB, there was (and still is not) any specific education for the profession of brokering. “The AIBB was actually commenced

to be a training and education or peak body association for brokers specifically and it commenced as a consequence of that visible gap in the market.” “We represent as the only recognised trainer for business brokers.” Kevin Lovewell said. As the peak business broker body in Australia, Kevin said that not only does the AIBB want to provide 39


their members with recognised quality training, the aim is to raise the bar not just for members but the industry in general. “Raising the bar is a very very important element for us an industry representative group.” “There is no education [for business brokers] other than which is provided by the AIBB. Let’s look at our governing regulations, for example, brokers are licensed under real estate law. I am a qualified accountant and retired tax agent (a lot of professionals in this industry have similar qualifications in engineering, accounting, and law…) we come from associations that have degree qualifications post-graduate qualifications. So I come from a background that has emphasised continued professional development.” Kevin said. Selling houses is distinctly different from selling businesses, while the governing regulations for business brokers are real estate-based, in order to get a real estate license you have to do a real estate course. The AIBB recognised and accepted that the training requirements as they currently exist, do not provide brokers with the skills necessary to transact a business sale. “To the REIs, we [business brokers] are too small a group of people for them to worry about us. That’s why the AIBB commenced, because of that gap, there was no training and there still is no training conducted by the REIs despite the fact that they are the body required to provide the education and training we need.” Kevin said.

THE COURSES The AIBB offers courses to fulfil practical requirements for business brokers, the business broker induction course, called best practice; The Certified Practicing Business Broker course (CPBB) and the Registered Business Valuer course (RBV). 40

According to Kevin Lovewell, Business Broking is not suitably recognised as a profession, in part due to the fact that there are so few brokers that earn their money solely from broking but also due to the lack of professional education and training. “We have the best practice course, which is obligatory, if you become a member of the AIBB irrespective of the number of years of experience prospective members have, we don’t permit recognition of prior learning, it is obligatory to do that course it is a number of modules and it goes from legal to negotiating to practice management to help people get their foot in the door. It is an introductory course and it is the first bar that we ask of participating members.” The more advanced courses the AIBB offers are the CPBB (certified professional business broker) and the RBV (registered business valuer). “The CPBB teaches you the elements needed to understand the language of business, assessing business value using financial and non-financial data; legal and ethical standards; marketing, communication, report writing, all those tools that go in the toolbox of a successful business broker.” “The RBV takes the foundation skills of the CPBB course and builds on them specifically to assist a broker to become a valuer. The RBV is a valued post-nominal, recognised by the courts. A person holding the RVB is recognised as a person sufficiently skilled and experienced to offer a written opinion of value.” Kevin said. Kevin is both a qualified accountant and now holds the post-nominal of RBV. In practice, Kevin explained that he does valuations for family law purposes, business start-up purposes, mergers and acquisitions, stamp duty, tax and more.

“What actually puts a person holding the post-nominal of RBV aside, as a practising broker, when you provide an opinion of market value we always have the evidence to back up that opinion. Whereas accountants for example, who are not in the market and do not transact sales are, taking a stab in the dark.” Kevin said.

EXCELLENCE IN BROKING What does the AIBB hope to achieve moving forward? “Our education and training subcommittee has a manifesto to train and educate and the forward plan for us as a sub-committee is excellence in broking. I think that explains our mantra, excellence in broking excellence in valuation. Our goal is the theory and practice of being a broker. We [the AIBB] represent approximately 30% of the industry and we seek to represent more but more importantly, we seek to expand our knowledge to those who may not necessarily be members because we do believe that a rising tide lifts all boats.” “If we can provide a formal framework of education and training with our peak RBV for the equivalent of a fellow I suppose, if we can continue to continue to raise the bar, we can better serve the community at large and also better serve our members.” Ultimately, the AIBB is striving to be recognised for the excellence in training that they provide, both to their brokers and members but also the industry as a whole. www.aibb.org.au

BUSINESS BROKERS QUALIFICATIONS What is the role of a business broker? A business broker is a licensed professional who acts on behalf of a business owner to assist them in the process of selling their business (or franchise). The main objective for a business broker

is to find the right buyer for a business (or franchise) and to help the owner successful exit or sell part of their business (i.e shares). They will guide the owner (aka vendor) to prepare the business for sale, market, negotiate and guide the sale to settlement. A business broker may also work with buyers to guide them through the process of buying a business. What training does a business broker have? There are different training requirements to receive a license in each state. Generally, a business broker must complete a certificate via an RTO such as CPP40507 Certificate IV in Property Services (Business Broking). This can then be submitted to the state governing body that will issue their license.

o you want to be a business owner or an entrepreneur but you don’t know where to start? Business finance can be a steep learning curve but it doesn't have to be a barrier. Sarah Eifermann describes herself as a “little bit different from a traditional finance broker”. A business owner, business strategist, motivational speaker and an award-winning finance broker Sarah has a wealth of knowledge across broad industries.

Bsale recently spoke with Sarah Eifermann about the different kinds of loan options for business owners and advice on the next twelve months. As most business owners know, the first 6-12 months of owning a business are the most challenging and often, least profitable. “We don’t go into business usually unless you’re in the position of wanting to change the world, to not make money. Yet a lot of business owners don’t make any money.”

“If you don’t do the research first you’re never going to be able to place yourself well in the market, to be successful and profitable, because you don’t actually know where you fit in the marketplace well enough to really come out the other side, and hit the ground running and be successful in that first 6-12 months.” Sarah said. With thorough research and good foundational business planning, business owners can drastically start turning over a profit. 51


Understanding your business, how your business fits in the marketplace and understanding the marketplace itself can be very steep learning curves for new business owners. “Business lending realistically doesn’t sit on par in the current marketplace with anything you would be familiar with in the residential lending.” Sarah believes a lot of this difficulty in understanding the marketplace is understanding the lending marketplace that is available in the business space. “SME lending is a very different commercial division of lending, than is commercial property or asset finance - it’s its own little niche industry and it’s got major lenders, like your major banks; it's got second-tier lenders like your second level banks or fintechs (financial technology) and it has private funders as well. So it can be very confusing to understand comparing apples for apples or like-for-like, if your knowledge is based solely on residential lending.” As most people’s knowledge base is in residential lending, looking at mortgages for example that are at 3 to 5 per cent annual percentage rate (APR), (lenders often quote in simple interest not APR), can lead to a lot of confusion and if the business owner doesn’t understand the difference they are severely disadvantaged. In terms of repayments and interest,

Sarah says business owners have to look at their “cost of funds”. “You have to have a look at the cost of borrowing this money as a cost of doing business, as opposed to feeling like you’re being ‘ripped off’ by the lender because you feel they’re charging you so much. The reality is that you obviously need the money to keep trading, which means you may not be trading solvently or you are going to be in a position where you are ham-strung for growth, because you don’t have the funds to facilitate that growth piece.” Sarah said. Of the different types of finance business owners can look at, there is debtor finance where you leverage against your debtors ledger, and short term business lending for example, where you can utilise property that you already own in order to secure debt to that business. The latter Sarah suggests should not be a business owners first point of call if you like keeping your assets away from your business structure. “Then there are also business loans, so term loans or lines of credit and they all sort of sit in different spaces, with different benefits or different negatives depending on what your needs are, which is why you need to ask yourself do you understand your business, first? Have you planned your model forward? Have you done cash flow forecasting? Because if you haven’t, how do you know what's the right product that's going to meet your needs?” Sarah said. If you’re looking at borrowing money or seeing what your options are, it is best to do it as early as possible. “If you’re looking at a major lender to get the cheapest facility, it can be up two months before you get your finance through and rather than holding out and trying to make it through, sometimes it is better to get a small facility like 20k - 50k to top you off with a second tier lender, so that you can trade easily.” Rather than waiting until you need the money, it is always best

to anticipate it as best as you can. “DON'T miss any repaymentconsistent repayments help build credit worthiness and then you’re in a position to potentially borrow easier with other lenders, when you have that behavioural history of paying a debt. It’s effectively known as a credit reference. Make all your payments and don’t overdraw your accounts. The argument from the lender is behaviorally, if you are overdrawing your account or missing your repayments to other facilities, you’re not trading solvently and it’s a higher risk to lend you any money.” “Banks are a business and so too are the second tier funders, and they are entitled to make money. In this space they will try to make money and they will be charge you accordingly for the risk, so just know what you’re doing when you’re borrowing the funds, and just do it earlier rather than later, as that’s a big issue we’re seeing now where business are waiting. After 3 months of downturn they can’t get finance, although, if they had done it three months ago they would have been fine. It’s that foresight and forward planning about what's coming, planning for the worst, hoping for the best and coming out the other side ending up much more in a stable position within your business model.” Sarah said. The next 6-12 months are going to be an interesting time for business finance with the election coming up, the end of financial year and the consequential flow-on affects from the last few covid affected years. “If you’ve got tax debt, get on top of it! Especially if you want to borrow money. It’s so much harder to lend if you have tax debt and no one is really financing for tax debt (to pay it out) at this point in time and the ATO has sent out 50,000 penalty notices, and that is going to be a problem moving forward for many business owners and wait for after the election, the ATO will be pushing harder to collect these debts, so get on top of your tax obligations.
