Summer Celebrations! Welcome to the last edition of the Bsale Magazine for 2021. As lockdowns ease, business owners are excited for the busy summer season ahead. After a difficult 18 months for many business owners, there are some welcome changes ahead. International borders have started to re-open and there is a definite change in the air. The business for sale marketplace has experienced a turbulent time. There have been tales of many successful sales and tales of hardship from the enforced closures and restrictions. Business brokers are excited to welcome back more business sellers as buyers are gaining confidence and there is more predictability for what lies ahead with COVID-19 in the community and vaccinations going above 80%. At Bsale, we have spent much of 2021 launching numerous changes to our website. Big obvious changes including navigation and our admin, to the smaller less noticeable updates that ensure the future success of our site. As we get closer to the end of the year, we are very happy with the changes and look forward to 2022 and continuing to build on this to reveal more features for our users. Our goal at Bsale has always been to assist business owners. Whether it’s providing useful information, connecting you with business brokers or gaining exposure for your business sale, it’s the business owners who make Bsale possible. A message from Ian Jones, President | National Chair (AIBB)

Well what a world we are living in, at the time of writing this report some States are still in lockdown, while others are living in relative freedom which is obviously impacting our members in different ways. I am really proud of our organisation and the commitment shown by our members, our partners and our many hardworking volunteers as we all work to meet the ever changing needs of the market and our members. We continue to see a transition with some of our more experienced members leaving the profession to enjoy their retirement, while we have more new members joining the AIBB to participate in our training and forums which have always been an important part of the AIBB culture. I encourage every member to make our new members feel welcome and invite others to join the AIBB as this will only strengthen our membership as we all stay firmly focused on delivering the best for our members, and our partners whilst crucially advancing our profession. We continue to receive great feedback from new and experienced brokers joining the AIBB about the compulsory ‘Best Practice’ course, and see experienced brokers growing in their skills and their capacity to service the market by participating in the RBV course. It’s important to note that whether you are a new broker or an experienced broker with 50 years’ experience, the AIBB has courses that makes all brokers, better brokers which allows us all to set a higher standards for our profession. The ‘Vaccinated Economy’ is approaching Lockdown restrictions are continuing to be lifted in Victoria and New South Wales, the two states hit the hardest by COVID. For many business owners the reprieve has been long-awaited, though not everybody will be able to partake in this new freedom. As vaccination rates increase in both states above 80%, restrictions are easing for those who are fully vaccinated, essentially creating a world-leading ‘vaccinated economy’, while people who are choosing not to get vaccinated (excluding those who are medically exempted) are facing delayed freedom as an incentive to get vaccinated. It was announced that after coming out of lockdown, NSW businesses would be able to open up their doors to vaccinated patrons from 1 December, but this date has been brought forward. The ‘vaccinated economy’ in NSW will take into effect from November 8, with restrictions set to ease further for those who are unvaccinated from December 15, or when the double vaccination rate is 95%. This has been met with varying degrees of criticism when compared to Victoria, where Premier Daniel Andrews has projected their ‘vaccinated economy’ to last “well into 2022” regardless of the rates of vaccination. For Victorians, the ‘vaccinated economy’ will be coming into effect from November 24, when the state is predicted to reach a vaccination rate of 90%. The general retail sector, however, will see a small reprieve from Friday, October 29, technically opening up to the public regardless of vaccination status as businesses are only required to verify status from November 24, the intention being that the 3 weeks of freedom will incentivise

people to get vaccinated. The coming weeks will be crucial for business owners in Victoria and New South Wales. It is more important now than ever to stay up to date with the rules and regulations for your business, industry and operations and understand your rights and obligations as a business owner. Most business owners with face-toface operating business operations will likely be well versed in having a ‘check in’ process, but the ‘vaccinated economy’ will require businesses in Victoria and NSW to be able correctly to verify the vaccination status of their customers or clientele, they may need a COVID marshal depending on the business, the requirements for social distancing may change depending on rates of vaccination and more.

Train Hard. Fight Easy. Choose Wisely. A business broker needs to develop a comprehensive understanding of his or her role in the sale of a business. The current model, in far too many instances, is that someone recruited into the industry is shown the ropes by being exposed to what other brokers are doing. Little or no training is achieved as it is a “hotbed” for recycling bad, antiquated methods, by some cynical survivor in the industry. It becomes a “sink or swim” eventuality. Furthermore, this position is aggravated by the remuneration archetype universally practiced in the industry. It leads to a high-contrition reality. I am in favour of the development of brokers through exposure to the rigours of reality. This is supported by my experience doing my military training where, I was exposed to the adage: Train Hard: Fight Easy. (Let me remind you that this was not a movie and we were at war). I believe this motto. You may argue that I imbibed it in the vulnerability of a unique physical and mental military extreme and that there might be truth in the possibility that the words were used as a justification for formalised abuse. However, these considerations do not change the certainty that underscores my understanding of the value of training to a business broker. Such training is a personal obligation of each individual broker and will often supersede the brokerage’s efforts. Initially, the most important grappling will be associated with the role that you play in the sales process. This will help you formulate your responsibilities and provide you with a focus point for your training. It is my experience that there is a lot of training available but few of the trainers understand our industry. Few in the greater community, understand the need to manage divergent and antagonistic perspectives that need

attention to effect the sale. However, each opportunity for training will provide you with gleanings that will enrich your abilities. Please note, you will be required to invest financially. (You should not expect anybody to separate with a lifetime of experience and knowledge without them being compensated financially, especially if you are going to benefit from that input). To pay someone for their knowledge is a measure of your respect for that person and is an acknowledgement of the value of that information. It is an investment in yourself and your personal brand. Furthermore, it is a method of fast tracking your personal growth and the growth of your business. Your training needs to be measured, deliberate, continuous and about knowledge pertinent or translatable to your industry rather than non-specific qualifications. With a unique entry into the world of business, Jasmine Robson is a successful businesswoman, broker and speaker with a passion for business and helping others achieve success. Bsale spoke to Jasmine about her fascinating history and what drives her to be the broker and professional businesswoman she is today. Jasmine Robson has always been drawn to business, throwing gender stereotypes to the wind and simply striving to do what she liked and what she was good at, not what was perhaps expected of her. “Growing up I was never your typical little girl, in the sense that my barbies had briefcases. I had always sort of been that way inclined, even in high school I did the highest level of business studies. It has just been how I’ve been wired I guess, it’s something I’m really passionate about.” Jasmine said. Jasmine was the first woman in her family to go to university, one of many accomplishments and privileges that she doesn’t take lightly and achieved a Bachelor of Business. “I loved marketing and people. So human resources and marketing was the natural major to go for,” While at university Jasmine started working as a marketing manager for different organisations. “I was also doing a lot of human resources for them as well. So, I studied full time and worked full time, I was a highly motivated high achiever.”

Transitioning into business from marketing was natural, Jasmine’s passion and skills were clear to those around her. While still at university working in marketing “people came to me for advice about their broken businesses, so I would go in and fix them,” Jasmine said. “My contract always stated that if I hit certain targets, then I would garnish a percentage of the business. That is how I started in business when I had no money and was really young, I used my intellectual property to bolster ailing businesses, getting a percent and rolling that percent over into another business.” Jasmine said that the brilliant idea to monetise her intellectual property in that way (as she was not a consultant at the time) came about instinctively, as her advice was so frequently sought after. “I knew that I could go in and fix businesses, so that was just what I put into the contract. Quite often businesses, when they’re failing, don’t have a lot of money to pay experts so that seemed to be the natural progression to go ‘ok well I’ll take a base fee for the work I have to do and when it is extremely successful there obviously needs to be a payoff for that’. So that is what I did in the beginning when I was young and had no money.” Jasmine said. In a male-dominated industry – including a male-dominated university degree – at the time, Jasmine was always very confident

and self-assured of her skill set and what she had to offer businesses which is refreshing to see, and it clearly paid off. “I just know what I’m good at, and business is what I’m good at.” During our conversation, it was obvious Jasmine had a natural affinity at viewing businesses from the outside in and could see the bridges necessary to overcome the gaps. The transition to becoming a broker herself was an easy development, as Jasmine was helping bolster these businesses and set them up to sell, she was dealing with business brokers more and more. “It was a natural progression to get the certification myself and to then sell the businesses. I’m just so passionate about businesses and different kinds of businesses as well, so it’s very interesting to me to see how all different industries run.” Jasmine said. Something that stands out about how Jasmine Robson operates is her liberal use of social media. Having garnered quite a following on multiple platforms, Jasmine doesn’t shy away from the likes of Instagram, using social media to her advantage. “It is the way of the world and being under 40, it is something that I knew from a very early age that it was going to be massive,” Jasmine said. “Every cent that I’ve ever made in my life has come some way through social media, it is a very good networking tool so most of my referrals come through people online for business sales. Every sale I have ever made has come through social media in one way or the other,” and it is not just business sales, Jasmine also said that most of the people that approach her for coaching find her online through social media as well. In Australia, there are just under 9.5 million Instagram users

which is approximately 37% of the population and an incredible 16 million users on Facebook accounting for 64% of the population and as Jasmine says, “it would be such a shame, and almost ignorant, to just ignore it.”. Due to Jasmine’s strong online presence and young age, a lot of the businesses she attracts are young and vibrant as well as online businesses. “There is also a limited number of female brokers in the industry, so I have a lot of female-founded businesses that come to me as well because they feel more comfortable talking to a woman.” In saying this, Jasmine deals with “all kinds of businesses from transport companies to beauty parlours,” describing her work as diverse. “I think having that range and that diversity is really beneficial to somebody who is wanting to sell their business because you can quite often network with a lot broader range of people,” Jasmine said. As a millennial herself, Jasmine is very aware of the sorts of challenges younger business owners have faced.

“They’ve [millennial business owners] built their success at a young age themselves, quite often bootstrapping and doing all the hard work themselves and they don’t want to go and speak to a business broker who is their father or grandfathers age.” “Buying, building, and growing businesses now is different to what it was like 20+ years ago. It is an ever-changing thing, and you have to keep abreast of what is going on. You need to keep on top of everything like you need to within a business; you need to be across all of the latest trends, and what is happening and what people demand because the market will tell you what they want; you just have to be open to listening.” Jasmine said.

Jasmine speaks about how it has been especially challenging for the hospitality industry, particularly with all of the sudden changes that are being made which are making it incredibly challenging for not just business owners themselves, but their staff.

As we all know, covid has taken a toll on business the last two years. Even in QLD (where Jasmine is based) a state that has not been as inundated by lockdowns; businesses have felt the effects.

“Just recently everybody in Brisbane was gearing up for a massive NRL grand final weekend and then all of a sudden, these restrictions came in, which meant you could only have 1 person per 4m2 [½ the capacity venues had been trading at], and everyone had to remain seated. So, all these live music and nightclub venues had to close and tell all their staff they couldn’t open because they are not set up for that, it’s not economically viable [for them to stay open]. So they went from gearing up to one of the biggest weekends in history in Brisbane to being closed.” Jasmine said.

“We’ve seen so many businesses that are normally really face-toface front of house brick and mortar style businesses that have really had to pivot to online or take away only or whatever that is, we even had some companies turning around and making face masks

“Generally, hospitality staff are all casual, because it is a very transient industry, so they are all on casual wages so that has such a flow-on effect because they’re not getting paid and they aren’t spending money in the economy and because it wasn’t a lockdown, 13


they aren’t getting any government support,” Jasmine said, prior to the pandemic more than half of Australians were already living paycheck-to-paycheck and a large majority of them were casual staff and millennials. “A lot of businesses have just folded and closed their doors and that is the reality of it, you need an exit strategy.” As Jasmine said, “nobody saw a pandemic coming,” but that goes to show just how important having an exit strategy for your business is. “It is better to leave your business and sell your business on a high, than having to just fold and shut the doors, so when you open your business you are generally not thinking about the end game but it is really good to be able to set it up at the beginning so that it has an ease of sale at the end so you can sell it when it is on a high and you are still passionate about the businesses rather than waiting for that passion to die out and the business and the figures die out with it.” “You kind of need a prenup for your business!” Jasmine laughed. Jasmine’s hard work and skillset haven’t gone unnoticed, and she said she has been headhunted by another company. “I get offers all the time, but I think it has become time now for me to move on,” Jasmine said of her recent shift to Morgan Business Sales.

“I think you grow through change and if you stay, you don’t want to stagnate. Even if you stay where you are you want to make sure that you’re having changes in that whether it’s upgrading the systems or how you do things or whatever it is you need to do to keep the passion alive.” As well as being an accomplished businesswoman, business broker and more, Jasmine is also a successful speaker. “I’m in the top 1% of a network marketing company and it [speaking engagements] came about from training the whole company and also my team individually. Once my team grew so large, I couldn’t do that one-to-one training anymore, it had to become one-to-many.” Jasmine said going on to say that she started training a room of 20, which became 50, which became 100 going on to say that “the largest group I’ve spoken in front of was 20,000 people in Las Vegas.” Jasmine is not only driven to coaching and speaking by her passion for business, but she is also passionate about sharing her knowledge with others, helping others. “It’s not rocket science, but if you don’t know it you don’t know it, and if somebody is willing to spend some time with you and impart some wisdom that is going to impact the rest of your life in a positive way, then I’m so happy to do that.” Being a successful woman in the industry is something that Jasmine takes very seriously and is hyper-aware of the fact that there are often a lot of women in her audiences.

Speaking on privilege Jasmine went on to elaborate: “You take somebody who may not have grown up in great circumstances, poverty or whatever it is and help them change the trajectory of their life and when they have children it changes the direction of their life and it breaks the cycle.” “If you are a woman and you are aware of those challenges and you do nothing about them, that is sad.” Finding success and creating a space for herself as a woman in a male-dominated industry hasn’t come without its own challenges of course. “A lot of the female founders that I know would say the same thing, you just need to hold your own in the room and the men in the industry will respect you if you respect yourself, you let your work do the talking for you,” Jasmine said. “I have had many battles to get to where I am and they have been made more challenging because I am a woman, but therefore they have become more rewarding…so I wouldn’t change anything.”.

“I think there just needs to be more female leaders out there giving back and making sure that when you hit the top, that you send the elevator back down and help other women up.” “I think that we have a responsibility to do that, not to sound condescending, helping others is so rewarding and it might 14

What does due diligence involve? The process is led by the potential buyer and is facilitated by other professionals involved in the sale process (typically his Accountant and Lawyer). Due diligence involves the review of all information provided to ensure accuracy; verifying financials and inspecting records before making a concrete and final decision to confirm the purchase. Examples of documents that are included in the due diligence review include, inter alia:

Financial statements (profit and loss statements etc.) backed up by tax returns

Condition reports of plant and equipment included in the sale. Plus financial agreements in place for equipment, if any

The ownership of essential assets and intellectual property

Working capital assessments

Staff- functions and history

Checking of all legal agreements in place, including the lease for the premises

Competition in the area and industry

When is due diligence conducted? The process begins before the sale takes place, but after the Buyer and Seller have agreed to detailed terms for the purchase of the business. These terms are often documented in a “term sheet” so that both parties are in agreement and aware of what needs to be done in the due diligence. In some instances, the parties will agree to finalising the contract of sale first, with a condition that the due diligence process be successfully concluded prior to settlement. Should the due diligence fail then the clause included would allow the buyer to end the agreement and get a refund of any deposit held in trust.

our business should always be ready to sell. Preparation is the key to a great outcome.

A business buyer can come knocking on your door at any time and you need to know a fair market price for your business so you can properly consider an offer. It’s equally important to understand the factors behind this fair market price to enable you to take measures to improve your enterprise value. Ideally most small to medium sized businesses should begin to prepare their business for sale one to two years prior to putting the business on the market and this period may be longer for large enterprises. In this way you can prepare and make your investment

and financial decisions with the upcoming sale in mind. However, the reality for small business owners is a much shorter preparation time. If the business owner has not yet started to prepare, then as long as you have realistic sales price expectations and can assemble a strong business sales team (typically an accountant, business broker and lawyer) there is still a good chance of a successful exit. Owners can significantly impact the price achieved upon sale by careful planning. A rushed or anxious seller will nearly always get less for their business. Selling your business should form part of your business strategy. Your strategy may dictate that the

time may be right to sell when you have achieved your business goals, such as: •

Achieving a certain age to continue to manage the business. E.g., retirement.

Achieving a certain Business Enterprise Value and introducing investors and partners.

Other business, commercial or personal interests become a priority. E.g., career change, other business opportunities or relocation.

Establish Your Reasons For Selling Among the first questions asked by a purchaser is, “why are they selling?” There are many reasons for wanting to place your business on the market. The potential buyer will find your reasons for selling very compelling and will want to know that they are legitimate. In fact, many buyers will also be trying to assess your urgency for selling. They will try to use this information in negotiations, looking to take advantage of any desire to exit quickly. Some of these reasons may include. BURN-OUT Starting and growing a business takes hard work and dedication. Sometimes just as the business is becoming successful and the profits rolling in, the owners become a little worn out. Rather than letting things deteriorate, it may be time to sell the business. Keep in mind that it is easier to sell a business with rising revenue and profits – if you can feel your energy as an owner slipping it may be better to act sooner rather than later. A good test is to take a short holiday and gauge your enthusiasm for the business on your return. If you aren’t returning with new energy and ideas burnout is a real possibility. If you can’t take a holiday in the first-place burn-out is almost inevitable. TECHNOLOGY CHANGE Some business owners find 22

themselves wanting to sell because they are unable to understand or fully take advantage of a new technology. Perhaps a new owner, with these new world skills could take the business to the next level e.g. implement e-commerce.

PARTNERSHIP DISPUTES You may have gone through a divorce or have a dispute with a business partner which has made it difficult to continue with the business. Partnership disputes may not be hostile, it could be as simple as an inability to agree on the strategic direction of the business. Sometimes the best resolution for this is to sell the existing business and for both partners to restart/ buy a more suitable business.

LACK OF INVESTMENT CAPITAL There are times in a business’s lifecycle when it needs investment capital to take advantage of new opportunities. Some owners are not able to invest further in the business and give it what it needs to prosper.

RETIREMENT Many business owners hold off selling a business for retirement just a few years too long. Keep in mind it can take longer than 6 months to sell a business and remember that it is harder to sell a business with declining revenue. Start A New Business Or Buy An Existing One? In modern times, over the past decades or even longer, business brokers and advisors have been and undoubtedly will continue to be asked this question countless of times.

Acquiring an existing business will give you access to historical financial information. Having this invaluable data will assist greatly in planning ahead with possible expansion, the ability to borrow money or secure investors.

Online Fitness Xtends Business Offering! 4. Set up your folders in Google Workspace. You will want to create a ‘Training’ folder where you can place all the photos and videos that can be embedded onto the Google Site. It will be worth organising into sections as well. 5. Allocate tasks to a team member. This can be done via a Google Sheet, or a more sophisticated task management software such as Asana, Teamwork, Monday etc... The more people you have creating systems, the faster it will be. You can have 1 person who inputs the information or make a team member responsible for an entire section, such as Marketing. Every time a team member completes a task such as ‘collecting the mail’ they need to document it, take photos, write steps and create a video. This is then put into the Google Site for everyone to see and understand. TIP: Create a system in multiple formats such as written, photos and videos. Everyone has a different way of learning, so if you cover all these 3 bases once, it can be learnt multiple times by different people. The goal of creating the systems is so you never have to train someone in it again and if systems change, your google site can simply be updated. The information will be there for everyone. Reducing the need for the business owner to continually answer questions and repeat tasks. When selling your business, you want to remove yourself from the business so it

can operate without you, or at least be transferable to the new business owner. Creating systems takes time, it may seem quick at the start and you may think there aren’t that many things, but there are a lot. As a business owner, you know all the aspects of your business especially if you started it from scratch, or have been running it for many years. When you start to unload all that information from your brain, you start to realise just how much information you were holding onto. The goal of any business owner should be to empower their staff and be focused on growing the business. This cannot be achieved if you are still collecting the mail, or telling a team member how to order coffee pods. A well-systemised business not only makes it easier for your team and onboarding new team members, but it also makes it much easier to sell.
