A Whole New Look It’s very exciting times here at Bsale HQ. Welcome to our new look Bsale Magazine! Change has definitely been our motto over the last few months as we faced the Covid affect on the business for sale industry. In this month’s edition (and going forward) you will find great articles and information from business brokers and industry leaders. When it comes time to buy or sell a business, it’s important you make an informed decision and seek professional advice. This Magazine is a leading publication in our industry and it will get better each and every month! The Bsale website is in final stages of design and the release is scheduled for November 2020. A launch date will be announced on our socials (@BsaleAustralia) in the coming weeks. The coffee fuelled sleepless nights are all coming together to create a site that will be a game changer and make it easier to find that right business for sale! Is Your Business Ready For Sale? If the prospect you’ve been waiting for suddenly appeared to buy your business, would you be ready for them? Just because you’ve decided it’s the right time to sell, and you’ve emotionally committed to selling, it doesn’t mean your business is ready for sale.

Increasingly businesses, and in particular service businesses, are relying more and more on enquiries and sales through the web so if you can provide website and social media analytical data (numbers) which tracks enquiries and conversions, that will also be of enormous value and help you sell.

• Your service or product has an enviable reputation, make a great impression.

• Potential buyers are very attracted to businesses that are ‘future proofed’.

• Excellent customer feedback, high levels of repeat business and a full order book. • The business runs without your day-today involvement. How B2B Sales Have Changed During COVID-19 COVID-19 has destroyed lives and livelihoods around the world.

The Losers: Airlines, tourism, shipping, restaurants and bars, conferences, sport and entertainment among others. Who could have predicted the impact to overseas travel, the closure of shipping ports across the world, or the rescheduling of the 2020 Olympic Games ? The Winners: Online shopping, supermarkets, technology that enable people to work from home, video conferencing, and home gym equipment. Kogan.com sales have increased 40%, Woolworths e-commerce arm, WooliesX has grown 43%, and shares in videoconference platform, Zoom are up 50% since Feb 2020. SELL A BUSINESS has been monitoring B2B buyer and seller activity during the pandemic, and three (3) key priorities have emerged: 1. While many businesses are reducing

Remote and more flexible work options and sales models – many businesses believe a model built around videoconferencing, phone, and online sales is equally or more effective than preCOVID-19 models. A financial lender asked me last week how I was finding the B2B selling market right now. I answered by saying “We are not overly busy, but we are very productive”. By that I meant we are talking to less buyers – the time wasters have left the market, so buyers contacting us today see opportunity, are keen to act, and have the financial capacity to do so. As a result our enquiry to sale ratio has improved dramatically since the start of the pandemic. Banks are starting to lend again, and deals are being settled. This is the ‘New Normal’ – changes like never before to the way we work and interact with our colleagues and clients. The businesses that embrace and adapt to these changes will prosper and grow – the ones that don’t will not survive.

The Affects of COVID on the Fitness Industry CLICK TO WATCH

Cameron Prosser was recently interviewed by Dennis Hosking from FITREC to talk about selling fitness businesses during the COVID climate. D: How do you come up with a valuation at times like this, surely there is so much uncertaintly? C: The old saying is always... what’s something worth? well what someone is willing to pay for it. However we do try to systemise it, we try to make things obviously really simple for people to get a fair and reasonable price estimate. We always use a multiple of their EBITDA or PBITDA . Which is an accounting phrase with what your expenses and obviously your top line is. But again, we are also doing things that are trying to take into consideration COVID... Is that taking away 6 months of trading or 3 months of trading... reducing your multiple of your EBITDA or PBITDA is that doing an estimate of market worth based on your asset value. Look, there’s alot of different ways we’re trying to ensure we do a reasonable valuation for clients before putting the business to market. I know the Australian Institute of Business Brokers that we’re strong advocates for and part of, we’ve had multiple discussions in the industry nationally on this sort of stuff. D: When someone is selling a business, have you ever bundled in the online component and how that may influence the sale price? C: Absolutely, I’ve done both Dennis. We’ve had a gym where you have the freehold and the assets and membership base. Where there is a standard 24/7 gym model. That we’ve sold. Part of that was the social media, online classes, intangible things you cant really touch that have actually helped to generate alot of value in the freehold thats been transferred across. It might have only have been 20% of revenue generated online. But, it was certaintly a large amount to be transferred and was important for the incoming purchaser to get ahold of that....

Experts Opinions on Market Conditions What a year it has been so far – certainly one that the majority of us will be looking forward to seeing the back of. The year in Western Australia started off in relative equilibrium with well performing and well priced businesses having demand. What happened from March onwards with the nation going into lockdown had a significant impact on transactions for obvious reasons. WA has so far successfully weathered the storm and life is as close to being back to normal as we could hope for. Many business are outperforming at present with retail and hospitality businesses seeing the success of the jobkeeper payments flowing through to the economy. There are also a number of “essential services” businesses that have been minimally impacted which shows significant strength in their business model also.

What we are seeing at the moment however is still a disconnect between the performance of businesses and the buyer demand as byers are tending to take a wait and see approach over concerns what happens to the economy when the jobkeeper payments come to an end. That being said the local WA economy appears to be at the start of a mini boom with the hard stance on borders meaning many people have moved back to WA, along with stock levels approximately 30% lower than this time last year leading to many homes selling in the first week and rental vacancy rates at all time lows. With commodity prices also on the increase the mining sector is performing extremely well and there is strong demand for employment.

Overall demand for real estate and historically low interest rates should see WA property market hold its ground and potentially even increase slightly. We would expect this to lead to Business buyers coming back into the market over the next 6 – 12 months meaning now is a great time to talk to an AIBB accredited business broker to find out what your business is worth.

My industry is pretty much pandemic proof and recession proof; for that I am grateful. Specialist health lenders/banks are still lending doctors, dentists and other health practitioners up to 100% on their acquisitions; albeit the time frames being pushed out for processing and taking longer than usual. Real estate sales associated with the practices I sell are also going through with bank support of up to 100% plus a bank valuation required for anything over $1M. With relatively few quality businesses on the market currently, it is a seller’s market with multiple offers being received for each solid business listed.


To give an analogy for compressed spring with business world in terms of vendors and buyers. On releasing a compressed spring, it bounces back with greater force similarly the market has been suppressed by Covid-19 which is now bouncing back to better than ever. This is a classic example of an Instinctive response which is key to human survival and are inherent in our mental programming, exerting a powerful influence on our behaviour.

We are all adjusting to the ‘new normal’ that follows border closures and lockdowns, as the economy gradually reopens here in Queensland. Many businesses have resumed pre-covid levels and trading conditions have improved as business confidence slowly returns and borders open. Business brokers would describe current conditions as a buyers’ opportunity market, with several banks loosening the lending purse strings and resuming lending albeit stricter restraints on Loan to Value Ratios. Moreover, market fundamentals have remained the same as good businesses continue to sell at premium prices and distressed businesses that require lower expectations/risk sat on the shelf for extended periods of time.

What is Vendor Finance and When you Should use it Vendor finance is an arrangement whereby the vendor agrees to lend all or part of the purchase price to the purchaser over an agreed timeframe with set terms and conditions. This is one of the best declarations of good faith a Vendor can provide a Purchaser in support of the continuing earning power of the business. The terms of the loan from the Vendor to the Purchaser normally include. • The amount of the loan • The rate of interest to be charged on the loan (if any) • The rest (interval) period of the interest calculation • The amount of repayment if interest and principal • The dates on which the repayment is to be made (repayment schedule) • Provisions for early repayment and for default of repayment. Benefits to Purchasers • Provides confidence about the business • Reduces/Mitigates Risk • Cash can be used to develop and grow the business • Provides finance to buy the business when unable to source funding through traditional lenders such as banks Benefits to Vendors • Attracts more buyers • Can drive price higher • Receive higher interest rate compared to bank deposit rates • A way of securing a sale when banks’ appetite for lending is low ( startup business, poor financials, poor economy)

Structure examples for Vendor Finance • Interest only with one principal payment paid at the end of the term • Interest and principal paid over agreed timeframe; monthly, quarterly etc • Stock Draw Down only • Earn Out Formula – payments based on a financial performance of the business When would Vendor Finance not suit the Vendor (all cash required) • Money required for new venture / acquisition • Retiring • Emigrating • Lack of confidence in Purchaser’s ability Where is the protection for the Vendor? It is common for a GSA (General Security Agreement) to be drafted up by the vendor’s lawyer. This GSA will normally be held over the assets of the business or private assets owned by the vendor or a combination of both. The GSA can also be held over the whole business. When offering a loan to the purchaser to buy the business both parties need to be confident that the business is financially capable of servicing the debt and can meet the obligations as set out in the terms and conditions of the loan. Vendor finance is common practice in other countries such as USA where approximately 70% of privately owned SME’s sales include some portion of lending by the seller to the purchaser. Meet the Co-Founder of Finn Business Sales: Steve Finn It was back in 2011 when I first encountered Steve Finn and Len Ferguson. They were running a Franchise Brokerage in WA and QLD and have been great supporters of Bsale over the years. Every encounter was been professional and friendly and they always left a good impression this was something I admired in their brokerage. It’s been 16 years since the Finn Group was established and it has been amazing to see the growth of this quality company over the years. Starting out in Franchising and expanding to Finn Business Sales, Finn Mergers and Acquisitions, Finn Financial Planning they are a complete service brokerage across multiple states of Australia. I sat down with Steve to chat about business broking, how he got started and advice he has for business owners. Vanessa: How was it back in the early days when you and Len started in the industry?

Steve: We came into the business broking world sort of accidentally because we actually started off in franchisee recruitment. That was our specialty and we did that for the first 7 years. At that point, we had never sold an independent business. And then what happened was, by coming into that niche, we were sort of the only ones specialising in franchising. So then a lot of the franchisors used us and then their franchisees used us, and we got quite a bit of exposure from there and then we decided... Okay well, maybe we should start to sell independent businesses as well. And that was when we started to move into business broking in 2012. V: What led you to want to work with Franchises initially? S: When we originally thought to get into franchising it was the professionalism of a lot of the franchises and how good their systems were. We could get volume with them because we started to work with the head office and that way we could

work with the franchisees rather than with independent businesses, trying to get one listing and then one more listing. Working with a franchisor like The Coffee Club, where we’ve done a lot of work with them and say, Boost Juice, you get one client, but you can then get, you know, 10 listings or 15 listings a year from one client. So that was really the main reason we went with franchises, it was the professionalism and the way a lot of franchises were operating. V: Did you ever see yourself and the Finn Group getting as big as it is today? S: Not really. It was just Len and I basically back then. I was in Western Australia and he was in Queensland. We both used to live in Victoria, and that’s how we met each other. We decided that we could live anywhere really. So I wanted to move to Perth which I did. He wanted to move to Brisbane which he did. Then I operated in Perth and Len operated in Brisbane and we just kind of shared the same website and the same forms and 13


documents and built the business that way. Then because of the franchisors we’ve got, a lot of the brands were asking, ‘So can you help us sell this in South Australia’, or ‘Can you help us sell this in Sydney’, so we were like ‘okay, well it’s sort of hard, because we would need to travel to all these locations to sell these franchises’. So we thought we would either have to employ a lot of people in all the other states or... we could turn our business into a franchise itself and then have other people open up in the other states and just use the same brand like we were doing really, and that was why we decided to do that. So it just sort of evolved into what it is today. V: All your experience in franchising from the earlier years probably helped a lot in that kind of decision making. S: Yeah. That’s right. We’re just lucky we knew a lot about franchising. We used all the systems to set it up and the person who comes on board, is an owner, so it worked. It’s hard though, like a lot of people come into our industry and even though they come in and use our brand and our systems, it’s still hard for them to make it. It’s a hard industry to make it in. The failure rate is a lot less than the general person who might start as a broker. The systems, branding and training make it a lot easier. But there’s no guarantees. V: Is there something in particular that you would look for in a business broker who is wanting to join Finn Business Sales.. Like personality traits or experience? S: I think in the end they still have to be a good salesperson. So, you’d see a lot of people who are kind of finance people, accountants, all that sort of stuff. But really, that doesn’t get them far. You’ve got to be able to sell your services to the business owners. You know, sell yourself as a trusted advisor to the seller and then, that’s the key, because you won’t get listings from the start. And if you’re not getting listings it really doesn’t matter how good you are. It doesn’t matter how much you know about valuations if you’ve only got one listing. The biggest thing is being able to sell, sell, sell. V: When it comes to a business 14

owner and they’re looking to find a broker is there anything that they should be looking for? S: I think there’s two things you need to look for. One, I would look for someone that’s really organized and really good at follow-up and really professional. You know, in the information they give you, how they present themselves and if you can contact them. If you can, organise a meeting and they can give you a presentation about what they do. All that stuff is the things that I would look for, because that tells you if they are the right fit. And then I think the other part is their marketing. How well are they set up to do that? Look at the whole marketing department. We monitor buyer inquiries and we’re proactively making sure we get enough enquiries for each listing. That’s why we use various websites to drive a high volume of leads. Because if you are listed with them, but they’re only using a small website or they might have a Facebook page, but it looks pretty average, you won’t get many enquiries.

“Look for someone thats really organised and really good at follow-up and really professional” V: On the flip side of that, do you think that a buyer should engage a business broker when they’re negotiating on buying business or even just looking for businesses? S: Yeah I think buyers probably should. The way buyers generally behave is they just search around for things and put an enquiry in but don’t engage very well, or very much, with a business broker really. I would suggest buyers look for a number of business brokers, talk to them on the phone and find someone who is really professional. Meet with them. Talk to them every few weeks. Just to say ‘hey anything new?’’. The broker can become a real valuable source of information to help you find that right business. Large brokerages have access to a lot of listings. Like us we’ve got maybe 500

businesses on the market and probably another 200 that are coming on board in the next few months. If you’re close to a business broker, you can find out about it in advance, and they can help match you up to it and all that sort of stuff. V: Yeah, the brokers know you want to buy as well. I guess, it shows them you are committed and will proceed with the right business when it becomes available. S: Yup. Definitely, you sort of make yourself stand out rather than just everyone who just submits an online enquiry. Then they disappear. That’s what brokers call a tyre kicker. V: What are the biggest mistakes business owners make when selling a business? S: Probably overpricing it. Thinking that the business is worth more. When they want more for it than what the market says someone will pay. It’s not their fault. They just don’t know. They think... I need $400,000 to retire but the business is only worth $200,000. Or I paid $400,000 so I want $400,000 back, but they overpaid at the time unfortunately. Or since they bought it, it has gone downhill a little bit or they’ve had a couple of bad years, but they still feel that they want the $400,000 back. So they just don’t know, that’s probably the biggest thing and then they get stuck. A stubborn seller is one that won’t budge on their asking price and then they just never really sell. A stubborn buyer is one that makes an offer on a $500,000 business for $250,000 and is always going to make low offers. So a stubborn buyer will never be able to buy anything and a stubborn seller will never be able to sell their business. V: Then, the broker sits in the middle and waits for some compromise. S: Yeah, or what happens a lot, is they change brokers. They’ll come to us and I’m sure they do this with us too. They blame the last broker, and try to get a new broker to sell the overpriced business. V: What are your biggest tips for anyone that’s looking to exit their business? S: Find the best business broker you can and give them all the resources


they need to get you the result. That’s what I would do. I wouldn’t just select anyone. I’d find a really good one and then I’d say to them, “ Okay, so you’re about to go and get me $500,000 say, so, what do you need?”, and if they said “ Okay, well, I need X amount for marketing and then I need to do a great IM document for you.. So here’s what you have to pay me to do it.”, then I’d say, “No problem, I’ll give you that, “It’s a team effort, you know, I’ll give you what you need and then you go get me my $500.000“. V: Obviously, it’s been an interesting year with Covid. How do you think the business for sale industry is faring at the moment? S: I think it’s actually surprisingly… not too bad. I think it’s starting to get better. Victoria not so much as yet really. But the other states seem to be okay. There’s a lot of enquiries. Not seeing as many people buy yet. V: Do you think many buyers are

getting finance? S: I haven’t really seen finance be tougher yet. Everyone keeps telling me it’s a bit tougher. I am not so sure. V: I guess it depends on the buyer. S: Yeah, exactly. Yeah, that’s always been the case really. I think people are searching but they’re scared to buy at the moment. They want to buy. They know they should be buying and looking that’s why enquiry levels are high. They still have quite a leap to go and borrow a few hundred thousand dollars against their house largely, you know in the current circumstances, that sort of what is kind of coming out to us, you know in a lot of states. So yeah, I think it’ll be okay. We’ve just probably got a few months to go yet, that’s all. V: Is there any industry you think has been hit harder than others? S: Oh, well hospitality. Yeah hospitality and tourism.

V: What is your advice to business owners who are emerging from the effects of Covid. Do you think it has affected the valuation of their businesses? S: No, I don’t think it’s affected the valuation. There’s been particular industries where sales dropped, well, that’s sort of expected. But yeah, I wouldn’t hold on for another whole year or 18 months and try to have a year without covid figures or anything like that. Honestly, I don’t think it makes much difference. I think the main thing is if you want to get out and you’ve kind of had enough, now is the time to do something about it … but if you’re kind of enjoying it, it’s ok to just keep going. V: Obviously JobKeeper is ending March 2021.There’s a lot of rumors going around that business owners should wait until March if they are looking to sell. Do you think it’s worthwhile waiting until then, or should they be looking to advertise now? Do you think there will be an 15


influx come March? S: It generally takes on average about six months from the time you go on the market, to finding the new owner, to handing over the keys. It might happen in three months, might be nine, you really don’t know. I tell everyone you’ve just got to have in your mind that it will take six to 12 months. I’d be doing something about it now, because you get to ride all the JobKeeper payments through and then it gets handed over to them on top, so it’s perfect timing. Whereas, if you come on the market then you’re in the middle of everyone else doing the same because they haven’t properly thought about it as much. People just think as soon as you get in the market you sell straight away. Which isn’t generally the case. V: Do you think a certain time of the year has more business sales? S: No, no, not really. You get more enquiries in January. People are just sort of reflecting, you know, what they want to do, over Christmas holidays. Do I still want to keep doing what I’m doing? It’s a good time to have a look online. So, enquiries are up, but it doesn’t mean more businesses sell. I think it’s just, there’s no right or wrong time. Honestly, if I had a business I am selling, I would just sell whenever I was ready. I wouldn’t think, I’ll wait until a certain month or I’ll wait until the end of the financial year, or whatever. Because it still takes that 6 to 12 months anyway. Yeah. I’d just do it when I was ready. When I felt I was getting close to having had enough. Then I better get this cracking before I’ve really really had enough because that’s risky.

Too often, a business owner waits until it’s too late. When the business goes on the market, the owners are already tired of running their business. For argument’s sake let’s say, after six months there’s still no buyer. By then, they’ve really had enough of running the business and they will call us back and say, let’s drop to $200,000 from $300,000. The owners think it’s fine because they want out, but it’s just dropped to $200,000 because they just think it’s going to sell faster. It’s actually probably not going to make much difference. Then, over the next six months there’s a few nibbles, but it still isn’t gone and the owner just makes it $150,000. The problem is, they waited too long to list it for sale in the first place, they’ve given away like $100,000plus just because they were frustrated. Whereas, you’re better to get in when you’re just starting to think of it, rather than get to the point where you’re completely frustrated. You’d be amazed how often we have to talk the client out of reducing the price of their business. Reducing the price, actually doesn’t always help. If you think about it, I’ll come to you and I go, ‘oh I’ve got this business making $150,000 and look the owners just reduced the price twice and you can buy it for a hundred’, you’re going to go….What’s wrong with it? … V: I’d imagine a lot of business owners feel so much frustration. Owning a business in general is hard work, and then you add in the stress of trying to sell a business, the owner would need a lot of patience and determination. S: Half the stuff we do is coaching the clients into understanding what is involved. You have to say to them that it’s going to take a year. So they are prepared and not stressing every week. V: Business sales are so different from real estate and I think a lot of people are so used to real estate sales because everyone has a house or bought a house or have experienced it in some way. I’d imagine finding a person who wants to take on a business and everything it involves is much harder? S: It is and people drop the price of their business a lot more than the price of their house because the house doesn’t cause you any pain, so you

can stay there like, oh I want to sell but really if you’re there another year, doesn’t really matter right? It’s not unless you have personal issues and you both live in the same house, that’s different. But your business can, once you decide you want out, you’ve got pain every day. You’ve got to get up. You’ve got to go there, you’ve got to unlock the door, you’re driving there in the morning and you go to that cafe or restaurant. You might be having troubles with the staff. You might be fighting with the chef. So, you’ve got to go and it’s causing you quite a lot of pain and if you have got another type of business, you’re getting sick of the customers.

Because it still takes 6-12 months anyway” It’s an interesting process and people don’t generally have much experience in selling a business because not many people sell a business. You might sell one or two in your life if that. V: This is where brokers can help the owners understand the commitment. S: Yeah, because we do it every day, but from their side they don’t, so a lot of what we do goes into kind of educating, how this works, how that works. Selling medical centres is a specialisation that only about 5x brokers in Sydney undertake….selling during COVID19 is even trickier! The remote buyer saw it on a Sat morning, and made a full price offer before the end of the weekend; after completing the round trip of 690k kms to see the clinic and return home. We settled 13 weeks later! The buyer was known to me as I had sold him his practice about 5 years before this transaction. I stay in touch with all of my buyers and sellers on a regular monthly basis so when he was ready to buy another clinic; he knew who to ask! My vendor was my husband’s dr and a very accommodating GP. It was a joy to support him in this transaction which will allow him to reduce his clinical hours and slowly and gradually reduce his workload allowing him to eventually retire. On settlement day, we celebrated his success at a local restaurant with a bottle of bubbles and seafood! His employee from day 1 was there to enjoy this successful transaction! The buyer will continue buying additional medial businesses and my relationship with him will continue whilst his empire grows!

Changing ownership for any business can be challenging, more so when there is limited co-operation between the buyer and seller. I recently experienced this on a café sale when the seller decided to put the business on the market at an unrealistic price. Based on past performance, incomplete financials, low profitability and the sellers’ realisation they overpaid for the business years earlier.

I was discussing with an experienced operator who was prepared to oversee the limited information available and make an offer. The seller refused initially but following discussion they accepted the offer and a contract was signed. It immediately became apparent that both parties disliked each other. This proved to be a problem as there were deliberate delays supplying documentation, there was minimal communication between the solicitors and the landlord was putting forward new conditions regarding the lease. Due to the parties’ mutual dislike, I was their only channel of communication and this added to the complexity of the sale. Nonetheless, I managed to continue the process until a delay in signing the lease resulted in the termination of the contract. While the contract looked dead, I managed to reassemble the parties, persuade them to reinstate the contract and have the buyer agree to the landlord’s lease changes. The deal was then completed four months from the signing of the original contract. Between August, September and early October in total 14 businesses will be settled. In addition, few more offers are in place and we are going through the relevant approvals. 17

Making a sale is not as easy as it appears, of course, but practice owners who avoid waiting too long to sell their practice may enjoy a more successful outcome. Waiting too long to sell, or not planning ahead, can cause practice owners to miss a valuable window of opportunity. Because it takes an average of 6 to12 months to sell a practice, long-term planning is necessary for any successful sale.

Never Wait Until You Have to Sell One of the keys to a successful practice sale is selling when you don’t absolutely have to. If a buyer sees that you’ve been planning this move for quite some time and that it’s not a desperate “I’ve had enough” step, you can dictate a much higher price. Proper planning means careful financial records, a detailed practice history and an extensive sales portfolio. Many practice owners make the mistake of waiting until their practice is on the decline to sell, which is exactly

the opposite of what you should do. The best time to sell is when your practice is at its peak, at the top of its game. The Right Conditions for a Sale In an ideal situation, a clinic sale would be completed when two conditions are met: when demand in the industry is strong, and buyers with deep pockets are available. It’s a smart idea before selling to take a look at market conditions for your industry in order to achieve the best return.

Events such as a recession or a practice downturn can affect your practice’s value and lower the asking price. This is why it’s beneficial to sell when the economy is healthy. Of course, even in the healthiest economic climate, having too high an asking price can lead to a dead-end street. Deciding on the right price for selling your practice is important, and it’s one that practice brokers can help you determine. They take a careful look at your overall profits, the state of your industry, similar practices and the marketplace when choosing an asking price. Pricing is crucial to selling your practice. The right price draws in buyers, but the wrong price turns them away. Many owners make the mistake of overpricing their practice. An unjustified value can make buyers walk away — for good. If your profits have held steady or risen in the past few years, this will be reflected in offer prices. In the same way, if your profits have been decreasing, you will have to lower your valuation. Keep in mind, your buyer will also look at industry trends when deciding on an offer. Changing demographics, government policies or environmental concerns can affect the value of your practice. Technology can have a particularly large effect on value. If the potential buyer is aware of technological advances in the industry, they may think your earnings aren’t maintainable. Outside Valuation It’s very rare for owners to value their practices accurately. In fact, some experts believe that as few as 10 percent of practice owners have a realistic view of the value of their practice.

Owners have usually spent countless hours, effort, sleepless nights and plenty of stress on building their practices. As a practice owner, you want to include all that sweat equity in your appraisal, but potential buyers aren’t interested in that. They’re only interested in whether they’ll continue to make a profit from their purchase. The other issue you have as an owner is that you know what you need to make from the practice. Owners often want to retire, travel or invest in a new enterprise so they reverse-engineer an appraisal, naming a price that matches their wants rather than on fair market value. Because objectivity is difficult in the appraisal process, going to a broker is the best way for you to get an accurate idea of your practice valuation. Brokers understand the different ways to value practices, the standard in your industry and current market trends, which all contribute to a fair price. In the end, your practice is worth what someone is willing to pay for it. If you have a realistic view of the value of your practice, you’ll be able to find the right buyer. Here’s some ideas on how to add value to your practice by making it less dependent upon you as the clinic owner: 1. Ask Questions: What will your business look like when it’s ready to be sold? Will all your patient offerings remain the same, or will you pare them down to the most profitable products and services? How essential are you to these products and services? Asking these questions allows you to get clear on how to make your practice as attractive as possible.

If you claim your practice is full of potential, a buyer will also question why you haven’t exploited it yourself. Your broker can help you talk about

2. Decide on the Critical Functions: What are the things that must happen to ensure your clinic continues to make money? These are the critical functions and should not be limited to providing your service. Are you critical to any business management processes and how can you ensure someone else can handle the task? 3. Document the Processes: A large part of the sale of your clinic relies on being able to transfer knowledge to new owners. If this knowledge is trapped in the current owner’s head, it means a long handover period, or the information is lost when you depart. Well-documented processes are essential to making yourself redundant when selling your business. A business with everything written down looks a lot less risky to prospective buyers. 4. Build a Strong Team: Once you have the procedures documented, it’s time to hire a strong team to handle critical functions. Having an established team reassures a prospective buyer that the business will continue to run as the ownership transitions. Ensure your team understands every aspect of the business. If you’re the one that normally undertakes anything other than clinic duties, make sure you have a new staff member who can take over these jobs. Spend time training the new staff and creating your dream business. 5. Take a Step Back and Let Your Team Work: It’s time to get out of your business’ way. Take a break. Fly overseas, renovate your bathroom or visit your in-laws. Don’t check your emails. The purpose of this step is to ensure that your business can run without you. You’ve created it, helped it grow stronger and now it’s independent and you can leave it to run on its own. This is an essential step. When you go back to the clinic after a break, your team will be able to point to holes in the process and places where you are still needed. Or, hopefully, you’ll come back to everything running smoothly and a continued profit. This will tell you what you need to fix for prospective buyers or if you’re ready to get your practice on the market. Owner dependence is one of the most important factors in the valuation of a business. Buyers know that in an owner-dependent business, much of

the value can be destroyed as soon as the owner departs. Taking steps to make your business independent will help you get the best price when you’re ready to sell your practice. So….when you have decided it is the right time to sell…and the practice is ready to sell, it important to consider how to position the clinic for sale. All buyers will be looking for the following in their search for a good business: Quality Information – the more transparent the business information, the more trustworthy it is. Buyers won’t make decisions if the quality of information is poor. Realistic Price Expectations – Most sellers have unrealistic expectations of their business’s value and believe it’s worth more than the market is prepared to pay. Well Presented Sales Collateral – A complete business information memorandum with comprehensive details about the business, the industry, its resources and its future opportunity for growth or expansion. This document needs to make an impression so you can ‘sell the sizzle’. Owners Who are Prepared to Stay Involved After the Sale – Expect buyers to want to retain owners for a period of time to ensure a smooth transition and to download all of their IP to the new owner. Depending on how your deal is structured, your final payment from the purchaser may be determined or incentivised by future business performance which you’ll want to ensure is optimised. Do Your Own Due Diligence Most business owners review their financial performance on an annual basis and judge the ongoing performance through their business bank account. Compliance, contract and employment documentation is often poor or non-existent, and the value in documenting business processes and operating systems is never even considered. When the time comes to sell, there is no documentation to demonstrate the value of the business aside from annual accounts which have often been prepared to minimise tax rather than demonstrate financial value. A failure to identify business weaknesses

in advance can often lead to the withdrawal of an offer or be cause for a price reduction when uncovered. Prospective buyers typically review every detail of the business in a process called due diligence. As a seller, you’ll need to anticipate the buyer’s questions and scrutiny and prepare your answers and arguments in advance. In order to do this, the owner needs to be their own biggest critic. This is usually the first time since starting the business that such a detailed review has been performed. After completing this process, many owners have a much more comprehensive understanding of their business – some even identifying that had they known what they learned through the process, they might have been more successful. If you want to sell your business to create retirement funds in the future, take the time now to create an appropriate business exit strategy. Identify your critical assets and your potential buyers. Carefully structure your plan so you understand what liquidity should be there for you. Make it an objective to run your business in a manner that if you received an irresistible offer today, you would be confident that the buyer’s due diligence wouldn’t uncover anything that would cause them to withdraw their offer. Once or twice a year look at your business as though you were interested in buying it.

There are two common ways to sell in a business sale. It is important that you understand the differences between them because the process and associated risks involved vary between the two. A basic understanding will allow you to highlight the strengths of your business and repair or minimise the risks. You can either sell your business through a: • business sale; where the business assets change ownership; or • share sale; where the business is owned by a company and the ownership of the company shares changes.

Business Sale A business sale, or asset sale, refers to the sale of the business assets from the current owner to a buyer. The seller and buyer can be different entities (such as a sole trader, company or trust) but the distinctive feature of an Asset Sale is that the business assets change ownership. This can include: • all of the assets used in the operation of the business, referred to as a Business Sale; or • only some assets, referred to as an Asset Sale. Share Sale A share sale involves the sale of the

shares of the company that owns the business. This means that the business assets do not change ownership, as they continue to be owned by the company. The ownership change occurs by way of the shares being sold from the current shareholder to the buyer, who will own the shares of the company after the sale has completed. What Is the Business Sale Process? A business sale can be more complex from a process perspective as you need to transfer all of the business assets, including contracts, to the buyer. Transferring contracts involves obtaining the consent of the other parties to the contract. This applies to leases, franchise agreements,

employee agreements and client agreements. The type of business will determine the other steps and documents required, but the typical process is that the:

You, the buyer and the landlord will need to enter a deed of assignment to transfer the lease. If the landlord or party to another key contract refuses to transfer the contract to the buyer, this can frustrate

In a share sale, the business assets (including business contracts) remain with the company. This means that no consents are necessary, which can result in a simpler process. This also means that all employees will continue to be engaged by the company. The exception is where there is a ‘change of control’ clause in the contract. This means that consent is required when the company shareholding changes. This is common in government contracts, leases and franchise agreements. In this case, you will need to go through a similar process as under a business sale. The formal agreement is a share sale agreement, which sets out:
