1. preambles Since 1907, the City of Lyon has been the owner of a building complex called the “Maison du Chamarier”, in its private estate, bounded by the Rue Saint-Jean, the Rue Sainte-Croix, the Rue Mandelot and the Rue de la Bombarde in the Conservation Area of Old Lyon (5th arrondissement of Lyon), located in the heart of the Historic Site of Lyon, classed as a World Heritage Site by UNESCO in 1998. Coming within the scope of the architectural prescriptions of the Conservation and Development Plan (PSMV) of the Conservation Area of Old Lyon, this building complex which is one of the rare canonical houses still standing and relatively little altered over the years, is also the subject of heritage protection measures due to its listing and classification as a Historic Monument. With a view to conserving and upgrading its most significant buildings, in 2001 in the context of the “Heritage Convention 1998-2007” in partnership with the State, the City of Lyon embarked on a procedure to restore the “Maison du Chamarier”, comprising in particular works to make good the elevations onto the courtyard and the external galleries and access balconies completed in 2005. However, this building complex over 4 floors (plus cellars), currently unoccupied except for the ground floor which houses a commercial baker’s / confectioner’s / ice-cream maker’s shop called “A la Marquise”, still
requires major refurbishment work involving all the building trades, and including the upgrading of its internal spaces. To this end, the City of Lyon wishes to place this remarkable building complex in the hands of an operator able to propose a scheme combining a quality upgrade and a long-term refurbishment of this emblematic building in Lyon. The complex will be made available by the City of Lyon to an operator in the context of a lease constituting rights in rem for a minimum term of eighteen years and a maximum term of ninety-nine years, including in return the obligation on the operator to carry out the necessary works for the restoration and upgrading of the building. At the end of the lease, the building work carried out will automatically become the property of the City of Lyon without payment, although the Local Authority will have the option of allowing a new lease. The City of Lyon is organising a consultation in two rounds, at the end of which the tenant will be selected. According to the forecast calendar of the consultation plans, the winning tender will be selected in the 2nd quarter of 2016.
The present specification defines in particular the procedure which the City intends to apply which, given its nature and its subject, is not subject to the legislation defined by the code of public procurement contracts. As such, the City of Lyon is in charge of its organisation and the conditions under which it takes place. It also intends to pass on the information documents which the City of Lyon has to date about this building complex, and thus to provide recommendations - which will not be exhaustive - for the preselected candidates in the context of the design of their restoration and refurbishment schemes. In this regard, the candidates may undertake or have their consultants undertake the verification of the information provided in the present specification (and its appendices), in particular information of a technical nature, which they judge appropriate to produce their schemes.

2. Presentation of the building complex 1 - Geographical situation

The “Maison du Chamarier” is bounded: • to the west by the Rue Saint-Jean; • to the north by the Rue de la Bombarde; • to the south by the Rue Sainte-Croix; • to the east by the Rue Mandelot. The “Maison du Chamarier” is located in the heart of the Saint-Jean district, a tourist attraction and UNESCO World Heritage site. Occupying a favourable geographical situation within the City of Lyon, the Saint-Jean district includes among its remarkable structures, the Palais de Justice with its 24 Columns, the Primatiale Saint-Jean and the adjacent archaeological gardens.

3 - Description of the building complex
The building complex comprises two adjacent buildings (with no internal access to each other) with a common internal courtyard: • The “Maison du Chamarier” at 37 rue Saint-Jean, dating from the Renaissance (16th century), is classed as a Historic Monument with the name Hôtel d’Estaing under the terms of a ministerial order dated 15 September 1943. • This building arranged in a U-shape is bounded by the Rue Saint-Jean to the west, the Rue de la Bombarde to the north and the Rue Mandelot to the east, the building being bounded to the south by a wall onto the Rue Sainte-Croix, thereby forming an approx. 90 m2 internal courtyard for the entire tenement. • The interior courtyard formed the subject of a restoration in 2005 in order to restore it to its initial state with the restoration of the floor in particular. • The main elevation of the building, located on the Rue Saint-Jean, comprises 4 levels, and includes cellars / basements. • Currently, just one part of the ground floor is currently occupied by the baker / confectioner / ice-cream maker “A la Marquise” under the terms of a commercial lease. • The rectangular building at 2 rue Mandelot, dating from the 19th century, is listed in in the supplementary inventory of Historic Monuments by prefectural order of 12 April 1937. • It comprises 3 floors above the ground floor, plus underground cellars, each of the levels serving a single room on either side of the landing.
It is stated once again that the building complex made available comprises the “Maison du Chamarier” and the building on 2 rue Mandelot, and they cannot be separated. The internal courtyard of the “Maison du Chamarier” houses the well and the Renaissance fountain which are attributed to Lyon architect Philibert de l’Orme.

In July 2001, the Senior Architect for Historic Monuments, Didier REPELLIN carried out a preliminary study for the general restoration of the “Maison du Chamarier”, appended to the present specification. This study, and likewise the heritage study by the same author in July 2014, also appended to the present specification, show the useful area on each level of the building.

4 - Origin of ownership
The City of Lyon is the owner of the “Maison du Chamarier” and the adjoining building at 2 rue Mandelot, following a legacy of which it was the universal legatee and which includes a clause of inalienability preventing it from selling them, accepted by deliberation of the Municipal Council on 25 March 1907.
5 - History
“The oldest remains in this canonical house which was to become the residence of the Chamarier – a high dignitary of the chapter responsible for the keys and policing of the cloister - date back to the 13th century; at that time, it seems to have already comprised at least two perpendicular dwellings: one onto the Rue Saint-Jean, in the southwest corner of the block, and the other onto the courtyard in the northeast corner. In the course of the 14th and 15th centuries, this structure was subject to a number of modifications, of which little remains other than the work to the courtyard access from Rue Saint-Jean. The remains of the transformations carried out during this time are very fragmented as they were largely obliterated by the major restructuring work effected in the period which followed. In the 16th century, major works were carried out by the Chamarier François d’Estaing (bishop of Rodez in 1529) and then by his nephew Charles. Within the framework in place since the 13th century, they reorganised the space and transformed a piecemeal dwelling into one enormous residential building which adopts the classic pattern of the urban house in the Renaissance: several dwellings connected by a spiral staircase and exterior galleries. This new architecture was supplemented by a decorative programme of painted render, numerous fragments of which are visible; the most remarkable decoration is probably the painted fresco in the Italianate humanist office in the west gallery. A well and a washing fountain, attributed to the architect Philibert de l’Orme, decorate the courtyard of this town which became one of the most beautiful homes in the district. It was these decorative items which were to be modified over the subsequent centuries. In this way, one can track the sequence of the various chamariers in the 17th century via the succession of painted decorations and blazons”.

6 - Occupation status
The “Maison du Chamarier” is vacant with the exception of a 65.90 m2 unit on the ground floor, which has been let under the terms of a commercial lease to a baker / confectioner / ice-cream maker “A la Marquise”, comprising a shop, a backroom, a laboratory and 1 m2 of cellar space, for a 9-year term.
It should be mentioned that the tenant will be subrogated to the rights and obligations of the landlord and shall assume personal responsibility for the commercial lease. The other floors of the “Maison du Chamarier” are vacant as are the premises at 2 rue Mandelot.
7 - Easements
The City of Lyon plans to establish a right of way ensuring public access to the internal courtyard of the “Maison du Chamarier” from Rue Saint-Jean. Furthermore, the tenant will be subject to all the passive easements, whether apparent or not, continuous or not, which may exist, resulting from the natural situation of the premises, planning regulations and co-ownership rules. He shall also be subject to any active easements there may be. The existence of other particular easements shall be verified during the writing of the preliminary contract yet to come. To the knowledge of the City of Lyon, the property is not encumbered by any easement other than those which may result from the natural situation of the premises, the Conservation and Development Plan for Old Lyon (PSMV) and the law in general.

8 - Sanitary condition of the premises
The “Maison du Chamarier” underwent a restoration scheme which was completed in 2005, jointly funded by the City and the State, in the context of the “Heritage Agreement 1998-2007”. The restoration works carried out related mainly to the external structure of the “Maison du Chamarier” and the internal courtyard, comprising: • the re-opening of the galleries; • the removal of one gallery to re-establish the initial position of the roofing; • the restoration of some of the painted decoration; • the repair of the elevations overlooking the courtyard with the re-opening or reinstatement of the original mullioned windows; • the restoration or reinstatement of wood joinery work and window panes; • the restoration and reinstatement of the courtyard flooring; • the refurbishment of the roofing overlooking the courtyard; • the re-opening of the passage to the Rue Saint-Jean. However, while the works allowed the conservation of the parts concerned, in particular the structural frame of the building, the “Maison du Chamarier” today suffers from a number of pathologies and structural problems affecting its internal spaces. The heritage study conducted by the Senior Architect for Historic Monuments, Didier REPELLIN, in July 2014, reported on the sequence of deterioration in the building, room by room.

9 - Technical diagnoses
It is stated that the property is let in its current state and condition, without redress or claim against the landlord for any reason whatsoever and without the right to claim any indemnity due to the poor state of the property, the basement, the ground, visible or hidden structural defects, lack of solidity of the structure of the edifice or any other reason. A set of technical diagnoses for the building complex has been produced with regard to the following aspects: • Mission report for identifying materials and substances containing asbestos (having concluded the low-level presence of materials and substances containing asbestos in the buildings from a visual nondestructive inspection) ; • Lead diagnosis before works or demolition; • Structural diagnosis; • Diagnoses with regard to parasitic activity (expert report on biological pathologies in the timber). They can be provided by e-mail if requested.
10 - Indicative sum of works
The sum of the works for the restoration and rehabilitation of the structure has been estimated by the municipal departments to be at least 7 million euro excl. VAT (excluding project management fees, archaeological excavations, contingencies etc.). This sum, which is purely for information only as it may need to change depending on the possible future use of the project, is simply an evaluation of the level of investment to be planned for this scheme.

3. Prescriptions and recommendations The information below presents a non-exhaustive summary of the main architectural, heritage and regulatory prescriptions relating to this building complex. It is for the candidate to verify and supplement this information by reference to various documents and regulations, in particular with regard to safety and accessibility.
1 - The architectural prescriptions in the Conservation and Development Plan (PSMV) for Old Lyon

The extremely rich architectural heritage of Old Lyon was the justification for the need to preserve and showcase this ancient 25-hectare district by the creation of a Conservation Area by the inter-ministerial order of 12 May 1964 on the territory of Saint-Jean inter alia. It was the first conservation area in France, in application of the “Malraux” act of 4 August 1962, and one of the largest Renaissance districts in Europe. In this Conservation Area, particular planning rules apply, being brought together in the Conservation and Development Plan (PSMV) for Old Lyon, to which the legislative provisions defined by articles L313-1 to L313-3 of the Urban Development Code apply. The PSMV, in the Conservation Area of Old Lyon, has the value of an urban planning document and thus replaces the Local Urban Development Plan. Produced by Jean-Gabriel MORTAMET, it was approved by the decree of 19 September 1985.

A modification to this document was approved by ministerial order of 28 March 1990. A revision, dated 30 September 1997, was approved by the Council of State on 27 November 1998. The Architect for the Buildings of France (ABF), in application of article R313-4 of the Urban Development Code, is competent for all authorisation applications (building, modification, demolition) and assesses compliance with the provisions of the PSMV. The ABF’s positive opinion will thus be necessary for the issue of any development authorisation applications.

“The existing buildings will be restored while respecting the original style and notable successive additions which may have been incorporated in them, this respect being with regard to: the nature and use of materials, and also their colour; the outline of openings; the nature and use of diverse joinery work (doors, portals, windows); the nature and arrangement of the glazing; ironmongery for all uses; rainwater flows on the elevations; the nature of the roofing (Roman tiles) and roof slopes, and all accessory elements, such as dormer windows, accesses, chimney stacks. The conservation measures ordered in the Conservation Plan extend to the internal architectural elements such as ramps, stairways, stringers, corbels, wainscots and panelling, door leaves, fireplaces and likewise sculpted motifs, and all decorative elements belonging to the building by their nature or purpose. They are to be kept in place and restored at the same conditions as the external elements”. […]. “No pipe or duct other than rainwater downpipes may be placed on the elevations. The smoke and ventilation ducts shall be placed together by category in line with the characteristics of Lyon’s chimneys, i.e. raised, with a large section and constructed of bricks either visible or rendered in the same colour as the elevations”. […]. “All advertising is forbidden in the Conservation Area except any permitted in the context of a restricted advertising zone, established in accordance with the provision of decree 80.293 of 21 November 1980”. […]. “Garages at ground level are forbidden, except for garages in silos. Parking for vehicles corresponding to the needs of the buildings and installations shall be located off public highways; to this end, the following is required as a minimum: for buildings with residential use, including assisted-living residences, 1 parking space per 50 m2 of net floor area; for buildings with office use, 1 parking space per 75 m2 of net floor area; for commercial buildings, 1 parking space per 25 m2 of net floor area; for hotel buildings, 1 parking space per 50 m2 of net floor area. […]. The parking spaces must be made underground, except for spaces for the disabled or car parks in silos” [...]. a) Where the provisions stated in the above paragraphs [relating to the number of vehicle parking spaces and their location] cannot be implemented, in whole or in part, for architectural or technical reasons, including in the event of restoration works or change-of-use works, the provisions of the Urban Development Code relating to financial contributions due to non-production of vehicle parks may be applied”.

2 - Natural risk prevention plan
The “Maison du Chamarier” and the adjoining building at 2 rue Mandelot are located in the green zone of the natural risk prevention plan for the flooding of the Rhône and the Saône in the territory of Greater Lyon.
According to its regulations, “the green zone covers the areas with a risk of flooding due either to a rise in the piezometric level of the groundwater, or to the overflowing of a drainage system due to its saturation. In order to take into account the problem of basement flooding, a recurrent event in the territory of Greater Lyon in particular close to the Saône and the Rhône, the risk indicated for the green zone includes the zones where the first underground level is potentially at risk. This zone is not subject to any particular restriction”.
3 - Heritage protection measures with regard to Historic Monuments
The candidate must take cognizance of the practical guides (books 1 and 2) issued by the Ministry for Culture and Communication relating to the developer and works to buildings protected as Historic Monuments, appended to the present specification. - The choice of the project manager for buildings classified as Historic Monuments

“Buildings classed as historic monuments due to their exceptional historic, artistic and architectural interest are subject to particular provisions relating to their conservation so that all maintenance, repair, restoration or modification interventions can be carried out while maintaining the cultural interest forming the grounds for their protection. Book VI of the Heritage Code details the conditions at which these interventions are carried out. The building classed as a historic monument cannot be destroyed or displaced, even in part, nor form the subject of any restoration, repair or modification works without the permission of the administrative authority. Before any intervention in particular works on a listed building, it is the responsibility of the owner to contact the State departments responsible for historic monuments (the Regional Directorates for Cultural Affairs). Authorised work on listed buildings is carried out under the scientific and technical control of the State departments responsible for historic monuments. The Heritage Code details the categories of professionals to whom the owner or controlling authority of a building classified as a historic monument is obliged to entrust the project management of restoration works. The project management for restoration works on a listed building is carried out by a senior architect for historic monuments (ACMH), by a heritage architect (graduate of the Chaillot school) or by an architect with a degree in specialist and further architectural studies (DSA), “architecture and heritage” option, or any other European degree recognised as being equivalent.

Moreover, the architect must provide high-level references with regard to the planned scheme and a ten-year experience in the field of the restoration of ancient structures. The architect must provide in his application file, references demonstrating his professional ability to deal with the characteristics and the complexity of the planned restoration project. To this end, the reference file shall include a list of the restoration projects he has managed and comprise at least one restoration project in relation to the planned scheme. He shall have been responsible for the design and the implementation. If applicable, the file may report on a group formed with relevant specialists to respond to the objectives defined in the consultation rules. The check on the equivalence of European degrees and diplomas will be carried out by the General Heritage Directorate – department for historic monuments and protected spaces. The developer shall pass to the DRAC [Regional Directorate for Cultural Affairs] the application file of the architect or architects who may be selected, this being before the end of the selection procedure. The regional prefect ensures that the documentary proofs produced by the architects are such that they allow him to manage the scheme at the right conditions for the proper conservation of the listed building. In the event of the lack of a private offer, the senior architect for historic monuments competent for the territory takes on the project management of the works on listed historic monuments not belonging to the State, where it has not been possible for the developer to select a project manager, in particular from those mentioned in article 5 of decree no. 2007-1405 of 28 September 2007 relating to the particular status of the body of senior architects for historic monuments and adaptation to community law of the rules applicable to the restoration of listed buildings and the articles R621-28 and R621-30. In this case, the people subject to the Code of Public Procurement Contracts or order no. 2005-649 of 6 June 2005 relating to contracts entered into by certain public or private people not subject to the Code of Public Procurement Contracts shall first have undertaken the advertising and competitive tender procedures provided by these texts and shall have declared them unsuccessful due to the lack of any tender or the inappropriate character of such tenders”.
- The authorisations for works In application of articles L621-9 and R621-11 et seq. of the Heritage Code, the tenant will be obliged to submit to the Regional Directorate for Cultural Affairs, an application for authorisation to carry out works with regard to the listed parts, and a planning application under the terms of article R425-16 of the Urban Development Code with regard to the parts classified as Historic Monuments.

4 - The specifications of heritage constraints of the heritage study – July 2014. D. REPELLIN
The specifications of heritage constraints included in the study of the Senior Architect of Historic Monuments, Didier REPELLIN, of July 2014, appended to the present specifications, must be taken into account when producing the restoration and refurbishment programme for the premises. It presents, room by room, a hierarchy of architectural elements (painted decoration, trims etc.) which need to be restored or preserved as evidence, in order of importance. It identifies in particular the spiral staircase as one of the most remarkable heritage elements to be preserved.
However, it is stated that it has not been possible to reveal a great deal of painted decoration, despite it having been located by surveys. Thus, the knowledge of the building is incomplete. Additional investigations will need to be provided by the tenant, in particular on the north wall of the “Maison du Chamarier » (former canonical enclosure). The specification of the heritage constraints was thus produced with the data known to date, and is subject to subsequent additions of all kinds from archaeological surveys.
5 - Preventive archaeological measures
The tenant shall take cognizance of the provisions of section II of book V of the Heritage Code. He shall also take into consideration the preliminary study to the works on the “Maison du Chamarier” carried out by the Archaeology Department of the City of Lyon (SAVL) in October 2014, and appended to the present specification. Depending on the nature of the planned development, the Regional Directorate for Cultural Affairs / Regional Archaeology Department may be called upon to prescribe an archaeological diagnosis which may be followed by excavations. These interventions may relate to the soil and the structure in elevation. Conservation measures for remains may be planned in consultation with the developer. The cost of the archaeological excavation will be borne by the developer.

4. Conditions relating to the legal structure of the scheme
The “Maison du Chamarier” will be made available by the City of Lyon to an operator in the context of a lease constituting rights in rem for a minimum term of eighteen years and a maximum term of ninetynine years. It will be for the tenant to meet the following objectives:
• to restore the “Maison du Chamarier” in compliance with the provisions of the PSMV for Old Lyon and the regulatory provisions imposed by its status as a listed building classified a Historic Monument; • to regenerate the premises according to the use planned by the tenant, while respecting their historic, architectural and heritage qualities.
Description of the works to be carried out: With regard to the works to be carried out, the tenant may not make any change which reduces the value of the property and if he makes improvements which increase the value of the property, he may not destroy them, nor claim any compensation in this regard.
Taxes and duties: For the entire term of the lease, the tenant will undertake to maintain the allocation and the use of the building complex, to maintain it and to pay all charges, in particular taxes, contributions and miscellaneous charges encumbering the property.
General conditions of the lease: The term of the lease to be granted may not exceed ninety-nine years. The lease may not be extended by tacit renewal.
Rent: The City of Lyon makes the building complex available in return for a rent which the tenant shall pay at the regular due dates, in accordance with the financial conditions which will be defined subsequently.
The tenant’s obligations: The tenant shall carry out all the restoration works on this communal heritage. The tenant will also be responsible for carrying out all the works incumbent on the owner, and likewise the maintenance of the building complex for the term of the lease.
End of lease: At the end of the lease, the building complex will be returned in a well-maintained state. All the works and improvements made to and incorporated in the building by the tenant shall become the property of the landlord without the tenant being able to claim any compensation for any reason whatsoever.

5. Organisation of the consultation 1 - Subject of the consultation

Expected of the candidates allowed to present a tender is a scheme reconciling the requirements of a restoration sensitive to the high architectural and historic quality of this heritage, in compliance with the applicable regulations and with regard to its status as a listed building, and a refurbishment guaranteeing long-term use compatible with the opening of the internal courtyard to the public.
In addition to all the essential exchanges with the Regional Directorate of Cultural Affairs, the City of Lyon will organise, before the submission of tenders, one or more interim meeting(s) and discussion phases with the pre-selected candidates with a view to reviewing the progress of their study, according to a calendar which will be set in the letter informing them of their selection to present a tender.
As such, the City of Lyon does not impose any specific constraint with regard to the future use of the “Maison du Chamarier”, as this is not strictly imposed by the regulatory provisions of the Conservation and Development Plan (PSMV) for Old Lyon. Thus, the planned project shall ensure: • a careful and high-quality restoration of the “Maison du Chamarier”, in accordance with the imperatives associated with the listing of the building and its classification as a Historic Monument and being in the Conservation Area, with the rehabilitation of its internal and external decorative elements; • the long-term re-use of the building which is respectful of and faithful to the spirit of the place; • accessibility of the public to the internal courtyard.

3 - Content of tenders
The candidate is asked to compile an application file in duplicate on paper and one copy in digital form (PDF format), which must contain the following: • an explanatory note presenting the composition of the project management team and its references, in particular with regard to the refurbishment of ancient buildings, and the allocation of the tasks of each of the members of the candidate’s team;
4 - Period of validity of tenders
Tenders shall be valid for a period of 9 months from the deadline for submission.
5 - Submission of tenders
• a detailed presentation note for the restoration and refurbishment project; • a notice detailing how the aforesaid prescriptions and recommendations in the present specifications and detailed in the appendices, will be incorporated in the scheme; • graphical and / or cartographical documents allowing the architectural scheme to be visualised; • the programme of restoration works appropriate for the conservation of the building, detailing the planned materials and techniques, it being stated that the rehabilitation works will require the intervention of specialist restorers and contractors qualified in this field; • the programme of works to be undertaken to bring the buildings up to standard (safety, accessibility etc.) in accordance with its planned use; • the forecast sum for all the works broken down into the main categories; • the forecast calendar of programmed interventions according to their level of urgency with their various durations, it being recalled that the phasing of the works shall take into account the archaeological excavation and survey work;

• a document presenting the financial structure for the project (forecast operating balance sheet if necessary), the financial conditions for carrying out the project and the proposed financial guarantees, and also the conditions precedent. The City of Lyon reserves the right to ask for any other additional information of the candidates, in particular due to the planned use of their project. The candidates have moreover the option of attaching to their file any documents they see fit for the clear understanding of their project. All the documents in the file must be written in French, and the sums appearing therein expressed in euros.

With regard to all the requirements raised in the present specification, the City will be particularly attentive to the provision made by the candidates for the remuneration of the project management team at consultation stage.

Hearings of the candidates may be held before the representatives of the City of Lyon. Given the scope of the project, the City of Lyon will enter into negotiations with one or more candidates which may relate to all the elements of their tender. The choice of the successful tender, which has to be submitted for the approval of the Municipal Council of the City of Lyon, could be made in the 2nd quarter of 2016. All the candidates who have submitted a tender in response to this consultation file will be informed by post of the decision reached by the City of Lyon. The City of Lyon reserves the right to automatically reject any tender if the file is inadequate or incomplete in a manifestly too important way.
The City of Lyon also reserves the right not to take any further action with regard to tenders received if any of them does not appear satisfactory with regard to the defined objectives, without the candidates being able to demand any compensation in return.
