PUBLIC CALL FOR APPLICATIONS — DESCRIPTION OF THE « MAISON DU CHAMARIER », made available under a long-term lease agreement located at 37 rue Saint-Jean, 69005 Lyon and adjoining building at 2 rue Mandelot, 69005 Lyon

1. preambles

The City of Lyon wishes to make available the “Maison du Chamarier”, a building listed as a Historic Monument, located at 37 rue Saint-Jean, and the adjoining building at 2 rue Mandelot, in the Conservation Area of the 5th arrondissement of Lyon, to an operator responsible for carrying out the restoration and rehabilitation of this remarkable heritage, in the context of a lease constituting rights in rem for a minimum term of eighteen years and a maximum term of ninety-nine years. In order to appoint the future operator and holder of the lease, the City of Lyon is organising a two-round consultation procedure, with the following calendar, presented here as a provisional calendar only: • 1st round public call for applications: pre-selection based on the files (motivations, financial guarantees) of the candidates invited to present a tender for the restoration and refurbishment of the building, in September 2015; • 2nd round submission of tenders setting out the restoration and refurbishment schemes planned by the pre-selected candidates, end of March 2016. Only the candidates selected in the first round will be allowed to take part in the second round of the consultation.

The choice of the successful tender, which has to be submitted for the approval of the Municipal Council of the City of Lyon, could be made in the 2nd quarter of 2016. The selection criteria for the successful tender will be listed in the consultation specification, available to the candidates by e-mail simply by request.

The public call for applications which constitutes the first round of the consultation is organised by the City of Lyon: Ville de Lyon - Direction Centrale de l’Immobilier – BP 1065 – 69205 LYON CEDEX 01. The objective is to collect the application files of operators who have the financial capacities and skills necessary to carry out a restoration and refurbishment project befitting the high architectural and historic quality of this exceptional building.

2. Presentation of the building complex 1 - Geographical situation

The building complex made available, belonging to the private estate of the City of Lyon, is recorded in the land register as AI no.10, on a 530 m2 plot in the 5th arrondissement of Lyon, comprising two adjacent buildings (with no internal access to each other) with a common internal courtyard: • The “Maison du Chamarier”, located on the right bank of the Saône at 37 rue Saint-Jean, comprises 3 dwellings arranged in a U-shape on the Rue Saint-Jean to the west, the Rue de la Bombarde to the north and the Rue Mandelot to the east, the building being bounded to the south by a wall on the Rue SainteCroix, thereby forming an approx. 90 m2 internal courtyard. Due to the exceptional architectural quality of this 16th century building, it was classed as a Historic Monument with the name Hôtel d’Estaing under the terms of a ministerial order dated 15 September 1943. • The building adjoining the “Maison du Chamarier”, located at 2 rue Mandelot, dating from the 19th century, is included in the supplementary inventory of Historic Monuments by prefectural order of 12 April 1937.

The “Maison du Chamarier” and the adjoining building at 2 rue Mandelot, are located between the Primatiale Saint-Jean adjacent to the archaeological gardens and the Palais de Justice with its 24 columns, in the Saint-Jean district, a tourist attraction and a UNESCO World Heritage site since 1998. They are served by metro line D and the nearby funiculars, and are just a 10-minute walk from the Presqu’île.

2 - Description of the building complex and indicative areas

• The «Maison du Chamarier”, 37 rue Saint-Jean: The main elevation of the “Maison du Chamarier” is located on the Rue Saint-Jean and comprises 4 levels, plus basement cellars, with a total area of around 1,000 m2. A splendid stairwell in the form of a tower and a gallery form the link between the various sections of the building. The “Maison du Chamarier” was the subject of an external restoration of the structure which was completed in 2005, comprising the renovation of the roof; the repair of the elevations to the internal courtyard and the exterior access balconies and galleries; the reinstatement of the courtyard flooring; and the restoration of some of the painted decor, windows and mullioned windows. Since 2001, the internal courtyard has housed the well (formerly at the Musée de Gadagne) and the fountain which are apparently the work of the Lyon architect Philibert de l’Orme.

• The adjoining building at 2 rue Mandelot: Dating from the 19th century, the building at 2 rue Mandelot forms a rectangular building, adjoining the “Maison due Chamarier”, but much more modest. It comprises 3 floors above the ground floor and underground cellars, each of the levels serving a single room on either side of the landing.

The potential total available area of the “Maison du Chamarier” (excluding cellars / basement and internal courtyard) and the building at 2 rue Mandelot should thus stand at around 1,074 m2. 3 - Occupation situation

The “Maison du Chamarier” is vacant with the exception of premises covering an area of 65.90 m2 on the ground floor, for which a commercial lease has been granted, for a shop, back room, laboratory and 1 m2 of additional cellar space, for the baker / pastry-maker and confectioner / ice-cream maker business “A la Marquise” - a name making reference to the Marquise de Sévigne who stayed at the “Maison de Chamarier” in 1672 and 1673 -. It should be mentioned in this regard that the tenant shall assume personal responsibility for the commercial lease in the context of the lease to be granted. The premises of the building at 2 Rue Mandelot are completely vacant.

4 - Sanitary state

• The “Maison du Chamarier”

There is a big contrast between the exterior of the structure facing the courtyard (elevations, galleries and exterior access balconies overlooking the courtyard) which has formed the subject of a renovation which was completed in 2005, complying with the specific requirements of this listed building, and the interior spaces of the building in need of restoration and the elevations onto the street. The bare walls of the interior spaces reveal ancient painted decoration, frescos, blazons and cupboards to be restored and preserved.

• The building at 2 rue Mandelot:

Its external and internal appearance seems in relatively good condition.

The property will be made available as is and without any possible redress against the landlord for any reason whatsoever, and without the possibility of claiming any indemnity due to the poor condition of the basement, a visible or hidden fault or defect or due to any other reason.

5 - Applicable planning rules: the Conservation and Development Plan (PSMV) for Old Lyon

The Conservation and Development Plan (PSMV) for Old Lyon replaces the Local Urban Development Plan for Greater Lyon in the Conservation Area. Particular urban development regulations thus apply in the Conservation Area, brought together in the PSMV for Old Lyon, to which articles L313-1 to L313-3 of the Urban Development Code apply.

6 - Heritage conservation measures: listing and classification as a Historic Monument

In application of articles L621-9 and R621-11 et seq. of the Heritage Code, the tenant will be obliged to submit to the Regional Directorate for Cultural Affairs, an application for authorisation to carry out works with regard to the listed parts, and a planning application under the terms of article R425-16 of the Urban Development Code with regard to the parts classified as Historic Monuments. The project management for the restoration works on a listed building is carried out by a senior architect for historic monuments (ACMH), a heritage architect (graduate of the Chaillot school) or by an architect with a degree in specialist and further architectural studies (DSA), “architecture and heritage” option, or any other European degree recognised as being equivalent. The architect must provide high-level references with regard to the planned scheme and a ten-year experience in the field of the restoration of ancient structures.

7 - Encumbrances

Given its general, historic, architectural and heritage interest, the courtyard of the “Maison du Chamarier” is accessible to the public from the passage on the Rue Saint-Jean. In order to guarantee that the courtyard will continue to be open to the public, a public pedestrian right of way to the courtyard will be established in favour of the City of Lyon to maintain the access for the people of Lyon and tourists. Other than the establishment of this right of way, the property does not, to the knowledge of the City of Lyon, have any other encumbrance other than those which may result from the natural situation of the premises, the Conservation and Development Plan for Old Lyon and the law generally.

8 - Preventive archaeology

Depending on the nature of the planned development, the Regional Directorate for Cultural Affairs / Regional Archaeology Department may be called upon to prescribe an archaeological diagnosis which may be followed by excavations. These interventions may relate to the soil and the structure in elevation. Conservation measures for remains may be planned in consultation with the developer. The cost of the archaeological excavation will be borne by the developer.

9 - Technical diagnoses

A raft of technical diagnoses for the entire complex has been carried out with regard to the following aspects: • Mission report for identifying materials and substances containing asbestos (having concluded the low-level presence of materials and substances containing asbestos in the buildings from a visual non-destructive inspection); • Lead diagnosis before works or demolition; • Structural diagnosis; • Diagnosis with regard to parasitic activity (expert report on biological pathologies in the timber). They can be provided by e-mail if requested.

10 - Indicative sum of works

The sum of the works for the restoration and rehabilitation of the structure has been estimated by the municipal departments to be at least 7 million euro excl. VAT (excluding project management fees, archaeological excavations, contingencies etc.). This sum, which is purely for information only as it may need to change depending on the possible intended uses of the project, corresponds simply to an evaluation of the level of investment to be planned for this scheme.

3. Method of submission & selection of applications 1 - Inspections and contacts

Candidates shall send their request for an inspection by e-mail to the following address: maisonduchamarier@mairie-lyon.fr Requests to provide survey drawings of the premises, technical diagnoses and other additional information are to be sent by e-mail to the following address: maisonduchamarier@mairie-lyon.fr , or by telephone to (+33) 4.72.10.38.52 / (+33) 4.72.10.56.42. The consultation specification which will serve as a basis for the design of the scheme in the context of the second round of the consultation is available to candidates who so request at the address stated above.

2 - Compilation of the application file

The candidate is asked to compile an application file in duplicate on paper and one copy in digital form (PDF format), comprising: • a letter of application setting out the candidate’s motivations, and a brief description of the planned restoration and refurbishment scheme, and stating the planned intended use. • a document presenting the candidate: the legal form; the company name; the registered office; the registered capital; the date of creation; contact information and e-mail address; the name of the director(s), the legal representative(s), or the person(s) duly authorised; if a member of a group, the name and organisation chart of the group; a copy of the up-to-date articles of association, certified by the candidate; a certified copy of the powers of attorney of the person representing the candidate and signatory. • documents demonstrating its financial investment capacity: the balance sheets and profit and loss accounts (and their appendices) for each of the past three years; in the event of a group of businesses or businesses only recently created, the applicant’s financial capacity may be proven by any other means which demonstrates its financial soundness. • if applicable, and while this is not a required document in the application file, a document listing the schemes completed by the applicant, attesting to its proven experience in the field of the restoration and rehabilitation of the ancient built heritage over the past ten years, stating the nature, the value, the human and technical resources used, and the public or private uses of the schemes.

For foreign candidates, the letter of application and the documents to be attached must be written exclusively in French.

3 - Submission of applications

4 - Selection of applications

The City of Lyon will freely choose the candidates selected based on the information received about their motivation and their financial guarantees. Any application with a file which is inadequate or incomplete in a manifestly too important way, will be automatically rejected. The City of Lyon reserves the right not to take any further action with regard to applications received, without the candidates being able to demand any compensation in return. The City of Lyon will not have to give grounds for this decision. Likewise, the City of Lyon reserves the right to interrupt the procedure at any time, and not to proceed with the second round. All applicants who have submitted a tender in response to this call for applications, will be informed by post of the decision reached by the City of Lyon.

Only the pre-selected candidates will be allowed to present a tender in the second round.
