FROM KEVIN

MESSAGE

We’re well on our way through what we’re

calling a year of transition for DIRTT. The past several months have been packed with initiatives as we work to drive positive change

throughout various areas of our company. I’m also fresh off my most recent round of The Latest DIRTT visits with our teams in Phoenix,

Calgary and Savannah. We used these sessions to provide updates, talk about our first quarter financial results and to answer questions. As usual, it was great having the opportunity to catch up with many of you in person throughout our various locations. To highlight our progress to date: • We released DIRTT’s first quarter financial results on May

8th. Our results reflect the excellent operational and strategic

progress we’re making as we work to build a platform for scalable and replicable growth. We saw a 7% growth in our revenue over the same time period last year, and our results are within our

expectations. We’re also on track for our listing on Nasdaq later this year. Be sure to check out the story in this issue of Diggin’ It for more on what it means to be listed in the US.

• We’re defining a data-driven sales strategy and moving

forward with enhancements to how we sell. This includes

implementing a national accounts strategy and developing a

framework to capture and deliver on targeted sales opportunities. The biggest move forward is that we’re working to gain market

data and analytics. This is being led by a leading global strategy

advisor, Boston Consulting Group (BCG), and the information they

gather will arm our Partners and Reps with tools to help increase win rates and grow our collective business. The project is now underway and Kingsley is the main point of contact on this. • Operations-wise, we implemented daily and long-term

performance tracking and measurement boards in all DIRTT plant locations, consistent with Lean Manufacturing principles. These

are intended to be a catalyst for our people in the plant to highlight areas of opportunity. We’re also working to develop standard

manufacturing operating baselines to ensure best practices are followed in all operations, and we’re conducting an in-depth analysis of our capacity as we plan for sales growth.

2

• At the end of April, we announced the rollout of DIRTT’s formal incentive plans for 2019. These non-discretionary programs

recognize and reward the immense value and importance of our

people. This provides all non-commissioned employees with the

chance to directly impact your compensation through performance-

based variable pay. For employees that are commission-eligible, that opportunity is provided through our commission structure.

We’re also doing a base salary review for our commissioned team members over the coming months.

• We’re working on plans for DIRTT’s new headquarters in

Calgary, as our current lease at 7303 ends in autumn 2022.

As you’ve likely heard me say before, people are absolutely

DIRTT’s greatest strength! We’re set on a workplace that properly supports our people and our clients as we work toward building the very best DIRTT. I’ll update you again on this move when there’s more to share, very likely within the next few months.

• DIRTT Connext is June 10-11, 2019 in Chicago. I am really

looking forward to my first Connext experience, especially as

I’ll have the chance to spend time meeting clients and chatting more with some of our reps and partners.

There are a lot of great things on the go and we’re well on our way to building DIRTT into a company poised for significant growth.

Thank you for your incredible work over the last several months. There are great things underway.

Sincerely,

Kevin

DIRTT IS LISTING ON

A US EXCHANGE: Here’s what you need to know As you may have heard, DIRTT is planning to list on a United States stock exchange this year. It’s a big step for the company and we know you have questions! Lucky for you, we have some answers. These are some of the most common questions we’ve seen so far:

1) Why is DIRTT listing on a US

stock exchange?

There are two main reasons we’re listing on a US Exchange:

• First, our shareholders have recently evolved and are now largely based in the United States. This means that DIRTT needs to follow many US rules and regulations. The most significant rule: any new Canadian DIRTT shares bought by an American institution must be held for at least one year before being sold or transferred. This is very restrictive for investors. Listing in the US can remove

There is no guarantee that the listing will have any effect on our share price. However, the listing has the potential to greatly increase DIRTT’s visibility as well as the number of

potential investors. This can sometimes result in a higher share price.

4) How will the US and Canadian stock prices correlate? Will they rise and fall together?

The price of the US stock and Canadian stock will be exactly the same, only in a different

currency. Any price difference will solely be the result of the $USD-$CAD exchange rate. This means that the shares will rise and fall in tandem.

5) How will the listing impact the DIRTT Employee

this restriction.

Share Purchase Plan (ESPP)?

• Secondly, listing in the US will increase the

There will be no change to the ESPP for

visibility and reputation of DIRTT on a larger stage. There are some US investors who aren’t allowed to invest in companies whose only listing is in Canada. Listing in the US will increase the number of people who could invest in DIRTT.

2) Will DIRTT continue to be listed on the Toronto Stock Exchange (TSX)?

Yes, DIRTT will continue to be listed and trade

on the TSX as it has been since 2013. This will not change. 6

3) How will this listing affect DIRTT’s share price?

Canadian employees. See question #6 if you are located in the United States.

6) Will American employees have shares bought on the US exchange in their ESPP?

Yes, American employees will have their shares purchased on the US exchange and in US

dollars. The benefit is that when you buy and sell your shares, it will be in US dollars. This

eliminates the need to convert the currency (as is the case right now).

OVERHEARD 7) How will the listing affect the stock option program?

AT DIRTT

Once we are listed on a US stock exchange, DIRTT can return to settling options directly

through Solium as we’ve done in the past. This

means you will no longer need to settle in cash. 8) When are we expecting to list on a US Exchange?

As you’d expect, this process is complex.

There’s a lot of work that still needs to be done, but, DIRTT has committed to listing in 2019. Once we have listed, we will change how our financials are reported. Numbers will

eventually be reported in US dollars instead of Canadian dollars.

9) Where can/should Canadian and American

employees buy DIRTT shares once the listing

DIRTT…

you are

too good

to be true!

is complete?

When buying shares outside of Solium, employees can buy and sell shares on whichever exchange they prefer.

10) Will a US listing impact the employee RRSP program?

- National sales leader for an international real estate firm

No. Currently, the Canadian Registered

Retirement Savings Plan available through

Solium allows you to purchase shares on the

TSX. This will remain unchanged once we have listed on a US exchange.

Every year on April 22nd, the world celebrates

Earth Day. It’s the largest environmental movement

Rich Alapack giving a presentation at the event on coming together as a community

globally. Since sustainability is at the core of everything we do, we couldn’t let this year’s event go by without joining in on the action!

To show our commitment to protecting our planet, we hosted various initiatives around North

America, led by the DIRTT green team. These mini-celebrations were put on to help build awareness around eco-friendly actions for

everyday life. Here’s a recap of what we did: “We All Live Here” GLC event Chicago

Electronic recycling drives Chicago & Salt Lake City

The goal of this initiative was to shed light on one of the fastest-growing waste streams. According to the World Economic Forum, 50 million tonnes

of e-waste is produced each year. To help tackle this issue, we held electronic recycling drives

at our Chicago and SLC spaces to help ensure

employees’ items didn’t make it into the landfill. Electronics brought in through the drive were donated to companies who repurpose and

then donate items to new homes. If they aren’t

salvageable, items are taken apart and recycled. Shout-out to DIRTT Chicago and Salt Lake for championing these collections.

Denim drives Phoenix & Savannah

It’s no secret that our insulation is made from

repurposed denim. The final product is 100%

cotton fiber, a rapidly renewable resource! For

Earth Day, we asked employees to bring in any old

pairs of jeans that are on their last leg to donate to our insulation suppliers. This allows their life cycle to continue instead of being thrown into a landfill.

Did you know that transportation makes up

37% of Calgary’s emissions? To help encourage

carpooling practices among Calgary DIRTTbags, we held a carpool day for Earth Day! Employees who shared a ride into work were allowed to

dress casual for the day or be entered to win a

gift card. This was aimed at reminding employees

that carpooling is a greener alternative that can be accomplished with little effort. Thank you to those

who took part in this activity! The Green team also

sent out an Earth Day quiz for the Calgary office to educate DIRTTbags on just how much the planet needs our help. If you missed it, find it here: http://bit.ly/EarthDayquiz2019

DIRTT AND THE ENVIRONMENT:

5 THINGS WALKING OUR SUSTAINABILITY TALK

Construction isn’t an industry known for its sustainability. With 40% of U.S. landfills being filled with building waste and debris, it’s a problem the world can no longer turn a blind eye to. At DIRTT, we work to change that by Doing It Right This Time. What we’re doing right is giving Clients the power to design and build interior spaces that defy convention, maximize flexibility and significantly minimize impact on the environment.

1

Here’s five ways we’re leading the way in sustainable construction year-round:

Designed for disassembly

What does this mean? Think the LEGO® you

played with growing up. It’s a similar approach. Every component of DIRTT solutions can be

disassembled and individually managed. This is

significant for two reasons: First, it allows interiors to adapt as the organizations in them change with painless reconfigurations. This means breaking

the cycle of tearing out drywall and construction debris only to start from scratch. Secondly, it

means materials can be reused and recycled at

the end of their life instead of dumped in a landfill.

2

Innovation through technology

Forget physical mockups! At DIRTT, we ditch

the material and energy waste that comes with mockups by going virtual. Our ICE software

allows our clients to walk through and experience their space in virtual reality – which we call

ICEreality – before construction begins. Since

physical mock-ups don’t typically end up as part

of the finished design and are usually disposed of, we’re doing our part for the planet.

14

natural environments. At DIRTT, we think that’s

choose like-minded suppliers. We gravitate

Nearly 80% of plastic ends up in landfills or 80% too much. As a result, we’ve banned

disposable plastic water bottles, straws and

other food-related single-use plastics at all of

our facilities. Our solution? DIRTT factories and

Green Learning Centers are stocked with reusable dishware and compostable options.

When it comes to forming partnerships, we toward organizations who share strict

requirements around material specifications, product tolerances and quality of working

conditions. We also focus on a greater use of

regionally-sourced materials since it both benefits local economies and reduces the transportation footprint. A win-win!

Transparency

We partnered with Climate Earth to complete a full Life Cycle Assessment (LCA) of our

assemblies, from extraction of raw materials

KANSAS CITY

In healthcare, patient experience and

wellbeing come first. Patients in Kansas City,

ORTHOPAEDIC

Missouri have a lot of options when it comes

to where they undergo their elective surgeries.

INSTITUTE

When choosing, they look for healing

environments. And of course, facilities with

low infection rates are at the top of their lists.

PUTS PATIENTS FIRST

The doctors at Kansas City Orthopaedic Institute

(KCOI) were ready to improve the care spaces

for their patients. But they needed a better option

than conventional construction! They needed to: • Continue caring for patients during the renovation and new construction •

Limit dust and noise to give their patients the best environment to heal

Make their space agile to expand in a few years

ICE visuals were key

The design of an orthopaedic institute is unique.

Patients are more active than a typical hospital. Spaces

need to accommodate physiotherapy. Wheelchairs are

common and surfaces need to be especially durable.

All of the KCOI staff provided input into the design to

Watch the full case study video: http://bit.ly/2IXHFT8

meet these unique needs. But as Kevin Purvis, Director

of Healthcare Planning at Pulse Design Group puts it,

“you just cannot expect [everyone] to understand two

dimensional drawings. You can review those drawings with

them a dozen times and they’re going to get surprised when

it gets built.” With ICE® visualizations, all the staff could see

how the space would suit their needs. And they didn’t have to

understand blueprints to do it. Listen to the podcast on your favourite platform. http://bit.ly/2H0DkMO

Next to no disruption

When construction was underway, it was so quick and quiet that

patients weren’t disturbed. Dust and debris was kept at bay. The

DIRTT spaces are so easy to clean, that infection rates will stay

incredibly low at the hospital. As one of the doctors put it, “by the

time we looked at time savings and the lack of all the dust, you get

something that was much nicer at a very similar price.”
