By hiving off the research department from the Umwelttechnik / Luftreinhaltung Leipzig GmbH in Markranstädt in 1991 it started as Dr. Födisch Umweltmesstechnik GmbH at first and changed to Dr. Födisch Umweltmesstechnik AG in 2000.

Long-time experiences of the staff in the field of development and test of process- and environmental measuring technologies combined with excellent knowledge in the field of environmental laws and regulations allow to create optimal customised solutions. Our engineers and technicians solve even difficult measuring problems favourably-priced and care for the customer from the idea to the realisation of the measuring task and also in the After-Sales-Service. This includes self-developed measuring devices and complete emission measuring facilities (continuous measurements of dusts and gases as well as other exhaust gas parameters) according to TI Air, 13th and 17th, 27th as well as 30th BImSchV and for operational measuring tasks. Different environmental and engineering services complete the company’s performance profile.

Selection of measuring point
In order to get representative results with regard to the dust concentration of plants whose emissions shall be monitored continuously, the correct installation of the dust measuring devices is a basic condition. 4.2.2.2 Measuring principle optic dust measurement The scattered light measurement by means of laser diodes can be done via a combination of emitter and receiver unit but also in form of a measuring rod. The measuring volume is defined by the intersection of the laser diode’s emitter beam with the receiver. Modulled light in a visible range is emitted, scattered by the existing particles and registered by a highlysensitive detector. This measuring arrangement allows a relatively simple assembly without complicate adjustments.

Function principle By means of a temperature-regulated probe the measuring gas is extracted from the process and led to the measuring chamber where the triboelectric dust sensors are placed. In order to produce evaluable measuring signals and to protect the triboelectric measuring cell respectively the gas lines of the measuring device the measuring gas sucked off is continuously heated and diluted with dry and dust-free ambient air. The active principle of the dust measurement is based on the triboelectric effect. Therefore 2 electrically isolated half-shells are arranged in a cylindric chamber (measuring cell) and are passed by the conditioned measuring air. When the Gas Filter correlation method is employed, the reference signal Io, which is independent from the concentration, is generated by inserting a gas filter in the light path. This gas filter is a miniature cell filled with the measuring component under high partial pressure. Measuring signal I, which is dependent on the concentration, is obtained by inserting an empty filter wheel aperture into the beam path. 4.2.3.4 Measuring principle O2MD 04 The oxygen measuring device O2MD 04 consists of an in-situ-probe with evaluation electronics and measuring value display in the probe head. The measuring gas flows through the measuring chamber of the probe rod. It can be applied for the measurement of the oxygen concentration in smoke, process and cover gases as well as for the mixture and production of special inert gases. Then the concentration of the free oxygen is measured. The core piece of the oxygen measuring device O2MD 04 is a potentiometric ZrO2-sensor. The probe is equipped with a regulated sensor heating and a high-quality electronic which provides the sensor signal (= oxygen concentration) as standard signal.
The oxygen measuring device O2MD 04 is designed for the in-situ â&#x20AC;&#x201C; measurement in gases. The advantage of the direct measurement without sampling compared to extractive measuring methods with gas sampling and gas conditioning lies in the signal reception being virtually without delay (t90 < 1 seconds), by that many control and automation procedures become only possible. Another advantage of the direct measurement results from the omission of any maintenance for the gas sampling and gas conditioning. Massive board electrodes and their ceramic covers lead to high life-times as the re-crystallisation occurrences do not limit the electrodesâ&#x20AC;&#x2122; lifetime as for layers and on the other hand the volatilisation of the platinum is reduced. A further advantage is that the probe does not have to be calibrated.

Field of application
The acid dew point measuring device AMD 08 offers an online monitoring of the acid dew point (STP) in flue gases of large combustion plants. Due to the continuous STP-measurement it is possible to reduce the flue gas temperature of power plants in a technologically and economically reasonable way. So far the exhaust gas temperature has been kept with a safety margin of up to 20 K above the expected acid dew point. By means of its measurement this safety margin can be minimised without having to expect plant damages by corrosion. The reduction of the exhaust gas temperature leads directly to an increase of the plant’s net efficiency.

The measuring gas is measured in the exhaust gas flow by means of a dynamic pressure probe. Hereby the differential pressure is continuously registered. The differential pressure over the dynamic pressure probe is a degree for the velocity of the exhaust gas. The flow of the exhaust gas can be determined in relation to the cross-section of the exhaust gas channel at the measuring point. The micro controller integrated in the control unit produces a signal being in proportion to velocity respectively flow. This is provided as 4 … 20 mA-signal.

DAS 05 The emission of specific substances into the atmosphere - e.g. dust, SO2, CO – is limited by immission acts. The kind of measuring data registration, the data processing, the data transfer to environmental agencies and the kind of reporting are stipulated in the guidelines published by responsible authorities. Emission evaluation computer must be approved by TUV. DAS 05 with the PC-system UmweltOffice2005 is a complete network-compatible system for the continuous registration, storage and evaluation of emission data in all industrial branches according to TA Luft, 13th , 17th , 27th and 30th BImSchV. Moreover the system provides important information for an environmentally-friendly and economic operation of the production facilities. In order to reduce maintenance costs the system is configures for remote maintenance done by Dr. Födisch AG. UmweltOffice 2005 is the programme for administration, evaluation and remote transfer of emission data. The programmes correspond to the requirements of the valid 13th and 17th BImSchV as well as to the federal guidelines. UmweltOffice 2005 shows the user interface in a window of the Internet Explorer and requires the Internet Explorer 6+ or higher and for the graphics a Java Plug-in. All reports are made as PDF files and offered as download respectively are shown via Adobe Acrobat Reader on the monitor. For some reports the data pool can be exported as CSV-file for further use. [GMD 06 Measuring case]
The GMD 06 is a semi-automatic sampling unit for gravimetric dust measurements. These measurements are used for the determination of dust concentration in streaming gases/air and as reference measuring method for the calibration of continuous dust measuring devices (in Germany e.g. VDI 2066). The GMD 06 is able to record independently all parameters being necessary for the dust measurement (e.g. humidity of the measuring gas, velocity in the exhaust gas channel as well as temperature and pressure). Under observance of the exhaust gas parameters the GMD 06 sucks off automatically a partial gas flow from the stack in isocinetic way, whereby the position of the sampling system is manually fixed respectively adjusted according to the valid regulations. This partial gas flow is sucked via a filter in which the dust contained is precipitated. Before and after the measurement the filter is conditioned (equilibrated) and weighed. After the weighed filter mass has been entered manually, the GMD 06 calculates the dust content of the probe in operational and standard state. Components

In preparation of the measurement the measurement should be planned following the VDI 2448 page 1. Moreover it is necessary to pretreat the filter sleeve and the plan filter from the measurement equipment before beginning and to weigh them subsequently. The principal construction of the sampling is shown in the upper picture. The extractive sampling for collecting the particles should be done iso-cinetically. That means, the sampling of the partial flow has to be done with the same velocity as the one of the main gas flow in order to prevent segregation occurences at the sampling. Fields of application The manual dust measurement in streaming gases serves judging the dust content per volume unit. This measurement is generally known as gravimetry. On the one hand this measuring method serves the determination of the dust concentrations and on the other hand it is the reference measuring method for the calibration of continuously measuring dust concentration measuring devices. For the dust measurement by means of cascade impactors the different inertia of particles is used. Thereby several combinations of nozzle plates and deflectors are switched successively. If the dust loaded gas flow meets the deflector the bigger (inerter) particles are separated, whereas the smaller onces follow the gas flow.

Product catalog Dr. FĂśdisch AG :: Specifications The nozzle diameter reducing from stage to stage leads to an increase of the gas velocity and therefore to separation of the single corn fractions. Before the exit there is an absoulte filter which absorbs the remaining dust content of the gas. Similar to the gravimetric measurement the cascade impactor has to be pretreated before executing the measurement in order to get respective faultless measuring values (see also GMD 06). The absolute filter is dried, equilibrised (exsiccator) and weighed. In addition it must be secured that before the measurement all elements are cleaned. Then the net weight of the nozzle plates and deflectors belonging together of each stage should be determined and documented. The structure of the sampling can be basically compared with the gravimetric dust measurement. The cascade impactor FIF 7 is a device with 7 separation stages. In the single stages there are hole circles (nozzles) which have per stage the same diameter reducing towards the flow direction. By that the gas velocity increases from separation stage to separation stage in a defined way.
Figure 1: Cascade impactor FIF 7 A circular dust collecting room formed as blind hole on the deflector is assigned to each opening of the nozzle exit. There the particles are deposited according to their separation characteristics. The decisive advantage of the device construction is not only the low wall losses whereby the collection of dust separated in total is relieved. A use of filter or adhesive mediums is not necessary so that no material changes occur during the measurements. In addition the device features a simple and handy, but robust design. So it is especially suitable for the measurement directly in the exhaust gas stream (In-stackarrangement). The FIF 7 can be combined with common measuring technology for the gravimetric dust measurement. In order to meet the different measuring gas conditions, different materials e.g. stainless steel of titan are available. The suction rate of the FIF 7 is limited by a critical nozzle at max. 3 mÂł/h. The sampling times to be realised with the device orientate at conventional dust measuring devices. The evaluation of the measurements is done according to VDI 2066 page 5.

Application and function The probe cleaning system PCS 03 is a system for periodic cleaning of differential and dynamic pressure probes with compressed air. For this the probe of the measuring device connected is linked to the transmitter via the integrated valve unit PCS 03. During the back-purging procedure the transmitter is separated from the probe by means of the valve unit and the probe is purged. The PCS 03 consists of a control unit with integrated valve unit and the display. The control unit is designed as wall assembly case. Tasks The condensate detector KM 2 is a highly sensitive system for condensate monitoring in measuring gases of continuous emission monitoring systems. Thereby the exhaust gas is monitored for condensate after the measuring gas cooler. The condensate could damage the analyser being subsequent in the measuring gas way (e.g. defective measuring cuvettes, defective measuring gas pumps,...). In order to protect the high-quality measuring technology in these emission monitoring systems the measuring gas pump can be switched off by means of the condensate detector in case of arising condensate. For the a potential-free contact is switched in the condensate detector KM 2. The function of the condensate detector KM 2 is based on the measurement of the conductivity, that means this function is only given in case of conductive gases. In Germany the installation of continuous emission measuring plants is required by diverse environmental regulations as e.g. the TI Air, the 13th BImSchV and 17th BImSchV. With erection, set up and calibration of a measuring plant the corresponding authority requirements are fulfilled at first, however, for some plants the observance of given minimum availabilities is stipulated. Moreover the environmental authorities are interested that the measuring plants in continuous operation guarantee a monitoring of their pollutant emissions being as consistently as possible.
Requirement: According to the "Bundeseinheitliche Praxis bei der Überwachung der Emissionen" (RdSchr. d. BMU v. 13.06.2005; GMBl Nr. 38 of 24.06.2005, page 795ff) it is valid for all plants obliged to monitor that: "The availability of the measuring systems has to reach at least 95 %. The measuring systems have to fulfil an availability of 98% for the determination of the oxygen reference content. The availability for evaluation systems has to be at least 99% in the sense of Nr. 2.5.1.3." Measuring systems for the use in plants of 13th BImSchV have to fulfil additionally the availability pointed out in annex II of the 13th BImSchV in the version of 2004. There it is stated: "Every day, at which more than six half-hourly average values are invalid because of failure or maintenance of the continuous measuring system, will be declared as invalid. If more than 10 days per year are declared as invalid due to such situations, the responsible authority has to oblige the operator to start suitable measures in order to improve the reliability of the continuous monitoring system."
For measuring systems in plants according to 17th BImSchV it is valid according to Art. 11 paragraph 11 of the directive 2000/76/EG of the European Parliament and the Council about the incineration of waste (ABl. of EC of 28.12.2000 Nr. L 332, S. 91, corrected by ABl. EC of 31.05.2001 Nr. L 145, S. 52): " In order to determine the valid daily average value in maximum 5 half-hourly average values of a day are allowed not to be considered for the continuous measurements because of being out of order or maintenance of the system. In maximum 10 daily average values per year are allowed not to be considered because of being out of order or maintenance of the continuous measuring system ."

Dust channel For being able to investigate the triboelectric measuring principle and its influencing factors more in detail it is necessary to simulate in a suitable test facility as many diverse operational states as possible for the single applications and device types. Ad hoc in 1998 a technical facility with a dust channel was erected at the Dr. Födisch Umweltmesstechnik AG. It offers the possibility to produce dust contents within the range of 1...10.000 mg/m³ and gas rates of 1...45 m/s. Apart from the purpose of research the dust channel allows at the same time a precalibration of single devices before delivery (dust and flow measuring devices). The dust channel contains four flow channels, where defined dust can be brought into in dispersed form. The system operates in suction mode. A flow rate of up to 22.000 m³/h is sucked alternating over the round flow channels with the diameters of 200 mm, 400 mm or 560 mm or over a rectangular flow channel with the dimensions 400 mm x 560 mm. The speed control of the fan is done by means of a frequency changer. For the production of defined dust concentrations the dosage of the solid dusts is done by means of a particle dosing and disperging device.
The dust-loaded gas flow is cleaned by a cartridge filter and blown back into the hall. In 2002 the facility was enlarged by an ESP in order to investigate ist effects and influences on the measuring behaviour on triboelectric dust measuring devices. All triboelectric dust concentration measuring devices run a calibration cycle under reall dust conditions and variable gas velocities before their delivery.

5.2
Terms of delivery
General conditions for the for the supply of products and services of the electrical and electronics industry I. GENERAL PROVISIONS 1. Legal relations between Supplier and Purchaser in connection with supplies and/or services of the Supplier (hereinafter referred to as “Supplies”) shall be solely governed by the present GL. The purchaser’s general terms and conditions shall apply only if expressly accepted by the supplier in writing. The scope of delivery shall be determined by the congruent mutual declarations. 2. The Supplier herewith reserves any industrial property rights and/or copyrights pertaining to its cost estimates, drawings and other documents (hereinafter referred to as “Documents”). The Documents shall not be made accessible to third parties without the Supplier’s prior consent and shall, upon request, be returned without undue delay to the Supplier if the contract is not awarded to the Supplier. Sentences 1 and 2 shall apply mutatis mutandis to the Purchaser’s Documents; these may, however, be made accessible to those third parties to whom the Supplier has rightfully subcontracted Supplies. 3. The Purchaser has the non-exclusive right to use standard software and firmware, provided that it remains unchanged, is used within the agreed performance parameters, an on the agreed equipment. Without express agreement the Purchaser may make one back-up copy of standard software. 4. Partial deliveries are allowed, unless they are unreasonable to accept for the Purchaser. 5. The term “claim of damages” used in the present GL also includes claims for indemnification for useless expenditure.
II. PRICES, TERMS OF PAYMENT, AND SET-OFF 1. Prices are ex works and excluding packaging; value added tax shall beaded at the then applicable rate. 2. If the Supplier is also responsible for assembly or erection and unless otherwise agreed, the Purchaser shall pay the agreed remuneration and any incidental costs required, e.g. for traveling and transport costs as well as allowances. 3. Payments shall be made free Supplier’s paying office. 4. The Purchaser may set off only those claims which are undisputed or non-appealable.
III. RETENTION OF TITLE 1. The items pertaining to the Supplies (“Retained Goods”) shall remain the Supplier’s property until each and every claim the Supplier has against the Purchaser on account of the business relationship has been fulfilled. If the combined value of the Supplier’s security interest exceeds the value of all secured claims by more than 10 %, the Supplier shall release a corresponding part of the security interest if so requested by the Purchaser; the Supplier shall be entitled to choose which security interest it wishes to release. 2. For the duration of the retention of title, the Purchaser may not pledge the Retained Goods or use them as security, and resale shall be possible only for resellers in the ordinary course of their business and only on condition that the reseller receives payment from its costumer or makes the transfer of property to the costumer dependent upon the costumer fulfilling its obligation to effect payment. 3. The Purchaser shall inform the Supplier forthwith of any seizure or other act of intervention by third parties. 4. Where the Purchaser fails to fulfil its duties, fails to make payment due, or otherwise violates its obligations the Supplier shall be entitled to rescind the contract and take back the Retained Goods in the case of continued failure following expiry of a reasonable remedy period set by the Supplier; the statutory provisions providing that a remedy period is not needed shall be unaffected. The Purchaser shall be obliged to return the Retained Goods. The fact that the Supplier takes back Retained Goods and/or exercises the retention of title, or has the Retained Goods seized, shall not be construed to constitute a rescission of the contract, unless the Supplier so expressly declares.
IV. TIME FOR SUPPLIES; DELAY 1. Times set for Supplies shall only be binding if all Documents to be furnished by the Purchaser, necessary permits and approvals, especially concerning plans, are received in time and if agreed terms of payment an other obligations of the Purchaser are fulfilled. If these conditions are not fulfilled in time, times set shall be extended reasonably; this shall not apply if the Supplier is responsible for the delay. 2. If non-observance of the times set is due to force majeure such mobilization, war, rebellion or similar events, e.g. strike or lockout, such time shall be extended accordingly. The same shall apply if the Supplier does not receive its own supplies in due time or in due form. 3. If the Supplier is responsible for the delay (hereinafter referred to as “Delay”) and the Purchaser has demonstrably suffered a loss therefrom, the Purchaser may claim a compensation as liquidated damages of 0,5 % for every completed week of Delay, but in no case more than a total of 5 % of the price of that part of the Supplies which due to the Delay could not be put to the intended use. 4. Purchaser’s claims for damages due to delayed Supplies as well as claims for damages in lieu of performance exceeding the limits specified in no. 3 above are excluded in all cases of delayed Supplies, even upon expiry of a time set to the Supplier to effect the Supplies. This shall not apply in cases of mandatory liability based on intent, gross negligence, or due to loss of life, bodily injury or damage to health. Rescission of the contract by the Purchaser based on statue is limited to cases where the Supplier is responsible for the delay. The above provisions do not imply a change in the burden of proof to the detriment of the Purchaser. 5. At the Supplier’s request, the Purchaser shall declare within a reasonable period of time whether it, due to the delayed Supplies, rescinds the contract or insists on the delivery of the Supplies. 6. If dispatch or delivery, due to Purchaser’s request, is delayed by more than one month after notification of the readiness for dispatch was given, the Purchaser may be charged, for every additional month commenced, storage costs of 0,5 % of the price of the items of the Supplies, but in no case more than a total of 5 %. The parties to the contract may prove that higher or, as the case may be, lower storage costs have been incurred.
V. PASSING OF RISK 1. Even where delivery has been agreed freight free, the risk shall pass to the Purchaser as follows: a) if the Supplier do not include assembly or erection, at the time when the Supplies are shipped or picked up by the carrier. Upon the Purchaser’s request, the Supplier shall insure the Supplies against the usual risks of transport at the Purchaser’s expense; b) if the Supplies include assembly or erection, at the day of taking over in the Purchaser’s own work or, if so agreed, after a fault-free trial run. 2. The Risk shall pass to the Purchaser if dispatch, delivery, the start or performance of assembly or erection, the taking over in the Purchaser’s own works, or the trial run is delayed for reasons for which the Purchaser is responsible or if the Purchaser has otherwise failed to accept the Supplies.
VI. ASSEMBLY AND ERECTION Unless otherwise agreed in written form, assembly and erection shall be subject to the following provisions: 1. The Purchaser shall provide at its own expense and in due time: a) all earth and construction work and other ancillary work outside the Supplier’s scope, including the necessary skilled an unskilled labor, construction materials and tools, b) the equipment and materials necessary for assembly and commissioning such as scaffolds, lifting equipment and other devices as well as fuels and lubricants, c) energy and water at the point of use including connections, heating and lighting, d) suitable dry and lockable rooms of sufficient size adjacent to the site for the storage of machine parts, apparatus, materials, tools, etc. and adequate working and recreation rooms for the erection personnel, including sanitary facilities as are appropriate in the specific circumstances; further more the Purchaser shall take all measures it would take for the protection of its own possessions to protect the possessions of the Supplier and of the erection personnel at the site, e) protective clothing and protective devices needed due to particular conditions prevailing on the specific site. 2. Before the erection work starts, the Purchaser shall unsolicitedly make available any information required concerning the location of concealed electric power, gas and water lines or of similar installation as well as the necessary structural data. 3. Prior to assembly or erection, the materials and equipment necessary for the work to start must be available on the site of assembly or erection and any preparatory work must have advanced to such a degree that assembly or erection can be started as agreed and carried out without interruption. Access roads and the site of assembly or erection must be level and clear. 4. If assembly, erection or commissioning is delayed due to circumstances for which the Supplier is not responsible, the Purchaser shall bear the reasonable costs incurred for idle times and any additional traveling expenditure of the Supplier or the erection personnel. 5. The Purchaser shall attest to the hours worked by the erection personnel towards the Supplier at weekly intervals and the Purchaser shall immediately confirm in written form if assembly, erection or commissioning has been completed. 6. If, after completion, the Supplier demands acceptance of the Supplier, the Purchaser shall comply therewith within a period of two weeks. In default thereof, acceptance is deemed to have taken place. Acceptance is also deemed to have been effected if the Supplies are put to use, after completion of an agreed test phase, is any.

VIII. DEFECTS AS TO QUALITY The Supplier shall be liable for defects as to quality (“Sachmängel”, hereinafter referred to as “Defects”,) as follows: 1. Defective parts or defective services shall be, at the Supplier’s discretion, repaired, replaced or provided again free of charge, provided that the reason for the Defect had already existed at the time when the risk passed. 2. Claims for repair or replacement are subject to a statue of limitations of 12 months calculated from the start of the statutory statute of limitations; the same shall apply mutatis mutandis in the case of rescission and reduction. This shall not apply where longer periods are prescribed by law according to Sec. 438 para. 1 No. 2 (buildings and things used for a building), Sec. 479 para. 1 (right of recourse), and Sec. 634a para. 1 No. 2 (defects of a building) German Civil Code (“BGB”), in the case of intent, fraudulent concealment of the Defect or non-compliance with guaranteed characteristics (Beschaffenheitsgarantie). The legal provisions regarding suspension of the statue of limitations (“Ablaufhämmung”, “Hemmung”) and recommencement of limitation periods shall be unaffected. 3. Notifications of Defect by the Purchaser shall be given in written form without undue delay. 4. In the case of notification of a Defect, the Purchaser may withhold payments to an amount that is in a reasonable proportion to the Defect. The Purchaser, however, may withhold payments only if the subject-matter of the notification of the Defect involved is justified and incontestable. The Purchaser has no right to withhold payments to the extent that its claim of a Defect is time-barred. Unjustified notifications of Defect shall entitle the Supplier to demand reimbursement of its expenses by the Purchaser. 5. The Supplier shall be given the opportunity to repair or to replace the defective good (“Nacherfüllung”) within a reasonable period of time. 6. If repair or replacement is unsuccessful, the Purchaser is entitled to rescind the contract or reduce the remuneration; any claims for damages the Purchaser may have according to No. 10 shall be unaffected. 7. There shall no claims based on Defects in cases of insignificant deviations from the agreed quality, of only minor impairment of usability, of natural wear and tear, or damage arising after the passing of risk from faulty or negligent handling, excessive strain, unsuitable equipment, defective civil works, inappropriate foundation soil, or claims based on particular external influences not assumed under the contract, or from non-reproducible software errors. Claims based on defects attributable to improper modifications or repair work carried out by the Purchaser or third parties and the consequences thereof are likewise excluded. 8. The Purchaser shall have no claim with respect to expenses incurred in the course of supplementary performance, including costs of travel, transport, labor, and matertial, to extent that expenses are increased because the subject-matter of the Supplies has subsequently been brought to another location than the Purchaser’s branch office, unless doing so complies with the normal use of the Supplies. 9. The Purchaser’s right of recourse against the Supplier pursuant to Sec. 478 BGB is limited to cases where the Purchaser has not concluded an agreement with its costumers exceeding the scope of the statutory provisions governing claims based on Defects. Moreover, No. 8 above shall apply mutatis mutandis to the scope of the right of recourse the Purchaser has against the Supplier pursuant to Sec. 478 para. 2 BGB. 10. The Purchaser shall have no claim for damages based on Defects. This shall not apply to the extent that a Defect has been fraudulently concealed, the guaranteed characteristics are not complied with, in the case of loss of life, bodily injury or damage to health, restrictions to liberty and/or intentionally or grossly negligent breach of contract on the part of the Supplier. The above provisions do not imply a change in the burden of proof to the detriment of the Purchaser. Any other or addition claims of the Purchaser exceeding the claims provided for in this Article VIII, based on a Defect, are excluded.
IX. INDUSTRIAL PROPERTY RIGHTS AND COPYRIGHT; DEFECTS IN TITLE 1. Unless otherwise agreed, the Supplier shall provide the Supplies free from third parties’ industrial property rights and copyrights (hereinafter referred to as “IPR”) with respect to the country of the place of delivery only. If a third party asserts a justified claim against the Purchaser based on an infringement of an IPR by the Supplies made by the Supplier and used in conformity with the contract, the Supplier shall be liable to the Purchaser within the time period stipulated in Article VIII No. 2 as follows: a) The Supplier shall choose whether to acquire, at its own expense, the right to use the IPR with respect to the Supplies concerned or whether to modify the Supplies such that they no longer infringe the IPR or replace them. If this would be impossible for the Supplier under reasonable conditions, the Purchaser may rescind the contract or reduce the remuneration pursuant to the applicable statutory provisions. b) The Supplier’s liability to pay damages is governed by Article XI. c) The above obligations of the Supplier shall apply only if the Purchaser (i) immediately notifies the Supplier of any such claim asserted by the third party in written form, (ii)does not concede the existence of an infringement and (iii) leaves any protective measures and settlement negotiations to the Supplier’s discretion. If the Purchaser stops using the Supplies in Order to reduce the damage or for other good reason, it shall be obliged to point out to the third party that no acknowledgement of the alleged infringement may be inferred from the fact that the use has been discontinued. 2. Claims of the Purchaser shall be excluded if it is responsible for the infringement of an IPR. 3. Claims of the Purchaser are also excluded if the infringement of the IPR is caused by specifications made by the Purchaser, by a type of use not foreseeable by the Supplier or by the Supplies being modified by the Purchaser or being used together with products not provided by the Supplier. 4. In addition , with respect to claims by the Purchaser pursuant to No. 1 a) above, Article VIII Nos. 4, 5, and 9 shall apply mutatis mutandis in the event of an infringement of an IPR. 5. Where other effects in title occur, Article VIII shall apply mutatis mutandis. 6. Any other claims of the Purchaser against the Supplier or its agents or any such claims exceeding the claims provided for in this Article IX, based on a defect in title, are excluded.
X. IMPOSSIBILITY OF PERFORMANCE; ADAPTATION OF CONTRACT 1. To the extent that delivery is impossible, the Purchaser is entitled to claim damages, unless the Supplier is not responsible for the impossibility. The Purchaser’s claim for damages is, however, limited to an amount of 10 % of the value of the parts of the Supplies which, owning the impossibility, cannot be put to the intended use. This limitation shall not apply in the case of mandatory liability based on intent, gross negligence or loss of life, bodily injury or damage to health; this does not imply a change in the burden of proof to the detriment of the Purchaser. The Purchaser’s right to rescind the contract shall be unaffected. 2. Where unforeseeable events within the meaning of Article IV No. 2 substantially change the economic importance or the contents of the Supplies or considerably affect the Supplier’s business, the contract shall be adapted taking into account the principles of reasonableness and good faith. To the extent this is not justifiable for economic reasons, the Supplier shall have the right to rescind the contract, it shall notify the Purchaser thereof without undue delay after having realized the repercussions of the event; this shall also apply even where an extension of the delivery period has previously been agreed with the Purchaser.
XI. OTHER CLAIMS FOR DAMAGES; STATUE OF LIMITATIONS 1. The Purchaser has no claim for damages based on whatever legal reason, including infringement of duties arising in connection with the contract or tort. 2. The above shall not apply in the case of mandatory liability, e.g. under the German Product Liability Act (“Produkthaftungsgesetz”), in the case of intent, gross negligence , loss of life, bodily injury or damage to health, or breach of a condition which goes to the root of the contract (“wesentliche Vertragspflichten”). However, claims for damages arising from a breach of a condition which goes to the root of the contract shall be limited to the foreseeable damage which is intrinsic to the contract, unless caused by intent or gross negligence or based on liability for loss of life, bodily injury or damage to health. The above provision does not imply a change in the burden of proof to the detriment of the Purchaser. 3. To the extent that the Purchaser has a claim for damages, it shall be time-barred upon expiration of the statue of limitations pursuant to Article VIII No. 2. The same shall apply to the Purchaser’s claim in connection with actions undertaken to avoid any damage (e.g. callback). In the case of claims for damages under the German Product Liability Act, the statutory statue of limitations shall apply.
XII. VENUE AND APPLICABLE LAW 1. If the Purchaser is a businessman, sole venue for all disputes arising directly out of the contract shall be the Supplier’s place of business. However, the Supplier may also bring an action at the Purchaser’s place of business. 2. Legal relations existing in connection with this contract shall be governed by German substantive law, to the exclusion United Nations Convention on contracts for the International Sale of Goods (CISG).
XIII. SERVERABILITY CLAUSE The legal invalidity of one ore more previsions of this Agreement in no ways affects the validity of the remaining provisions. This shall not apply if it would be unreasonable for one of the parties to be obligated to continue the contract.
