ast month, I shared my first five tips for building a history-making business. Those included 1. having a big goal, 2. creating work/life balance by being intentional, 3. defining your core values, 4. investing in your own personal development, and 5. building a DALY plan to execute from so you can always know where you are in relation to where you want to be.

Here are my other five tips: 6. Study your lead flow and sales process to determine where your best customers come from and strategize how to get more. Additionally, take time to write down all the objections in your sales process and reverse engineer your process so those objections either don’t come up or you’re ready to handle them when they do. If you study

Building a history-making business isn't just about strategies and goals, it's about transforming yourself and positively impacting others along the journey.

7. Check your attitude. Be excited. You are setting out to accomplish something amazing every day. Focus on the people you want to serve. When you help enough people get what they want, you will get what you want. If you approach your business from the perspective of getting rather than giving, you will never make history. Serve others. Bless others. Give more than you need to because it's the right thing to do and because it feels good. Don’t look for immediate returns on your giving. When you plant enough seeds and nurture your environment, trust me, you will reap an overflowing harvest. Trust the process. Sow the seeds and be patient. The seed that is buried in rich soil doesn’t sprout overnight, but with time and nurturing by the sun and water, it most certainly sprouts. The same will be true for your business. Seek to give and serve, and your rewards will be bigger and better than money. 8. Be consistent. Just like I can’t go to the gym one day and expect to have strong, lean muscles, I also can’t expect to prospect or advertise one day or one month and have an abundant customer base. 9. Hold yourself accountable. I mentioned this above, but accountability is what this entire ownership experience is about. No one is going to do this for you. Set the goal. Put your head down and work. Keep a good attitude. Adjust as you go. If you cannot be accountable to yourself, find a partner. The best part of a franchise is the network of other franchisees who understand your business. There are others in your franchise who want to do what you are doing. Personally, I don’t like sharing what I am doing with anyone. I don’t like the noise that others can bring to my clear dreams and ambitious goals, but if you need others to help you, find someone. We are all different, so do what works best for you. 10. Enjoy the journey! The goal is not in the getting, it is in the going. The person you get to become on the road to the history-making business is the real prize. When you wake up

wo years is a long time. Surprisingly, that’s how long it’s been since I shared with you my thoughts on the state of the fitness industry. I shared why I thought that the industry was facing both a generational opportunity and existential threats, basically “evolve or die.” I brought your attention to the growth of boutique workout gyms like Outlaw Fitness as consumers were turning away from the traditional big box model, as well as delving into the other opportunities and challenges the industry was facing. Today I will introduce you to possibly the newest intersection of fitness and franchising, in-home personal training. Mobile personal trainers are not new, but they are just starting

to break into the franchise world. As we have industry after industry reinventing itself in a post-pandemic, hybrid work era, you may understandably assume that this segment is another pandemic-reactionary business model. In fact, the genesis reaches a bit farther back in time, as a reaction to the tech revolution of the early 21st century. The iPhone, social media, and ubiquitous 4G all conspired to bring us the gig economy and pushed out a slew of apps a lá Uber, DoorDash, and the like. This, in turn, conditioned both consumer habits and consumer expectations; if I can get groceries delivered to my front door, why not a personal trainer, right? Bary and his brother Muhssin back in 2019 at a franchise trade show. At the time, they were extremely new in the franchise space and only had a single franchisee operating. I recognized their passion, their drive, and felt they truly had what it takes to be effective franchisors. I will be the first to admit, however, that I didn’t expect the explosion of growth they have experienced. We met up again just last month at another franchise convention and had some time to catch up. What was little more than an idea when I met them has grown into a franchise system with 120 locations from coast to coast. It was then that it clicked with me that I needed to tap into their collective wealth of knowledge to help inform you, dear reader, of this booming section of the industry. Though this article is not about Send Me a Trainer per se, they are one of the earliest


adopters and biggest names in this new space of franchising, so I will rely heavily on the brand to introduce the ideas of in-home personal training franchising. A short backstory is likely in order. In 2007 Bary was working as a personal trainer in a big box gym in the Washisngton, DC, metro area. He noticed a consistent issue: clients canceling because they couldn't make it in. A small fender bender on the freeway could change a 10-minute commute to 45 minutes, leading to cancellations. “I thought, ‘Why not bring the workout to them?’” Bary explained. With several current clients in the same basic area, he could avoid the pitfalls of urban travel and help his clients at the same time. By the end of that year, Bary had developed his idea into a full-time business, and was even bringing on other trainers to try to keep pace with demand. Bary teamed up with his brother Muhssin, who had spent many years in the private equity space and was at the time working on his MBA at Kellogg School of Management. Muhssin recognized the same opportunity that Bary did, and together they

were able to launch Send Me a Trainer. For those of you familiar with my previous contributions here, you know that I am numbers driven; passion only gets you so far. Let’s take a step back and look at the marketplace we are talking about here. The personal training market in the United States, which covers both the in-home type and the personal trainers at your local gym, is a $14.0 billion a year industry, and growing quickly. Globally, the most recent market trend forecasts for 2023 show an annual compound annual growth rate growth of 6.2% this year, finishing 2023 out at just over $39.10 billion. That growth isn’t a blip, either; looked at through a longer lens, the global personal training industry is forecast to reach $48.80 billion by 2027. That’s almost a decade of anticipated 6%+ CAGR growth. So how did the likes of Uber and DoorDash lead to Send Me a Trainer’s dominant position in this marketplace? “Our proprietary tech is a key part of our offering,” Bary explained to me. “We didn’t have to teach consumers the value of on-demand or to-you services; the Silicon Valley giants had paved that road in front of us.” As we were discussing both the marketplace in general and Send Me a Trainer

specifically, Bary consistently contrasted their technology, including their consumer-facing app, to the list type services. “Go to one of these websites and put in ‘personal trainer.’ Don’t be surprised if you find 15, 20, or even more trainers listed.” (I did just that, and in my part of Dallas, ThumbTack shows 30 trainers within 5 miles of me.) “How do you pick from that list? How do you know who to trust? Also, as frustrating as that may be to the consumer, imagine it from the trainer’s side. They often ghost these sites because they are not producing any real business for them.” The solution that Send Me a Trainer has put in place is to onboard an exclusive and limited number of trainers per franchised territory, and make sure they are well-vetted. The franchisee also sets the price across the marketplace for consistency. “Clients can buy a package and work with any trainer on the app and rotate trainers at any time. No more wasting time getting quotes and negotiating,” Bary shared.

to manage its location AND support four franchisees, and they have significant growth on the horizon. There is no question in my mind that brands like Outlaw and Send Me a Trainer will grow right alongside each other. The overall fitness industry is looking at almost 11% CAGR for the rest of the decade; one doesn’t have to grow at the expense of the other from a marketshare perspective.

THE PROS AND CONS OF INVESTING IN A HOME-BASED FITNESS FRANCHISE Of course, just because a segment is growing doesn’t mean any one franchisor is a good investment. Remember that this industry moves fast. Think about the buzz words in the fitness industry; high Intensity, turbulence training, Tabata, (developed by an Olympic speed-skating coach). If you are considering entering this space, make no mistake, the intensity, turbulence, and speed don’t stop just because you aren’t hitting the weights. Or as Bary put it to me, “Everyone has a plan until you get punched in the face, right? Our industry is guided by those words; be prepared to be unprepared.” Here are a couple of pros and cons to consider if you look into this space: ●

Today, many people in this group are targets for replacement. Venture capital companies are buying up a lot of the traditional business base. The first thing they look to do is cut costs. THE PRIVATE EQUITY, VENTURE CAPITAL, SBA AND NON-SBA LENDING HOOPS AND HURDLES SBA policy changes affect franchise financing By Lynne D. Shelton

T

he landscape of financing options and the alternatives to what once was the standard operating procedure continues to grow. The Small Business Administration (SBA) was for many years the typical way that a franchisee would buy into a franchise system. You would have one owner or maybe a couple of partners buying the franchise from the franchisor. The franchisor knew the new franchisees, had many conversations with them, oftentimes even a sitdown discovery meeting, and then approved them into the franchise system. Nowadays, financing alternatives have thrown all types of hoops and hurdles into that straightforward franchise entry.

Small Business Administration The SBA would require the franchisee to put down 20% liquid capital, and the SBA loan

would take care of the other 80% to get the business open. However, the SBA’s law changed earlier in 2023, which had some unexpected ramifications. Some of the changes did away with a long-held directory named appropriately the SBA Directory or Registry. No longer were franchise systems required to be pre-approved and on the SBA registry. This was always a helpful tool for franchisees and banks alike to be able to look to the registry to see if the SBA had laid eyes on the franchise disclosure document previously so they could speed up the lending approval process. Now franchisees and lenders will be left to their own due diligence. In addition, the decade-long tradition of receiving an SBA-required addendum to the franchise agreement called Form 2468 was purportedly gone as well. However, that seems to not be the case when being underwritten by private banks that processed the SBA loans. In August of 2023, SBA’s new

standard operating procedure 50_10_7 still requires the submission of the SBA Form 2468 addendum to the franchise agreement.

Non-SBA Funding Options Another change in the lending landscape is a decisively higher use of private equity and venture capital groups for both funding start-up franchisors and franchisees and purchasing existing multi-unit franchisees and emerging or growing yet established franchisors.

Venture Capital Groups Venture capital groups typically are looking at purchasing new or existing franchises. The typical target is an early development franchise system company. However, they have also been known to go after multi-unit franchisees that either have a varied portfolio of the types of franchises they own or own 50 franchise units or more.

They commonly have their eyes on a longer asset hold time. Venture capital groups are created as a long-term investment. They are perfectly happy withholding their investment ownership for more than 5, 10, or even 20 years. They will usually invest with a smaller dollar value ranging only up to a few million dollars.

Private Equity Companies Private equity companies, however, usually start at the investment level of at least a few dozens of millions of dollars, up to a few hundreds of millions of dollars. They're usually only interested in receiving a majority interest of the company. Oftentimes, the private equity company will retain the management or executive board to run the day-to-day operations. However, even if that becomes the purchased company's reality, they will typically insert a private equity executive on the management team as well. That executive will want to give management strategy rules and guidance on mandatory deliverables on how to turn the company around. Venture capital groups typically will hold their interest in the company only for 5 years or less before selling off the company to the next highest bidder.

Franchisor’s Hoops Franchisors that are dealing with buyouts from either venture capital groups or private equity groups need to pay particular attention to some hot buttons not present in a SBA or liquid capital sale. In a typical franchise sale, the franchisor would have the owners of the company sign a financial guarantee with the owners of the company. The Federal Trade Commission and state regulators and state statutes also have provisions that regulate the transfer of an existing franchise business. Commonly, the franchise agreement spells out all of the steps that must occur for a franchisee to sell their business and transfer it to a new owner as well as the franchisor’s right of first refusal on obtaining the franchisee’s business that is up for sale.

In several states, it is statutorily mandated under state relationship laws that franchisees have a right to transfer their business and that franchisors cannot unreasonably withhold such transfers. If the transfer occurs because the franchisor does not exercise its right of first refusal, there are additional considerations that the franchisor must take into account when dealing with the transfer. Franchisors may need to negotiate provisions with the venture capital or private equity companies in regard to the approval of the transfer. First and foremost would be having a guarantee signed by the new venture capital group or private equity group. Many times it is hard to discern who the actual head of a group is, and that it has signing authority that could bind the private equity group or venture capital group to a personal guarantee to guarantee the financial requirements as well as the operational requirements of the franchise being purchased. If a guarantee is not available, alternative options for the franchisor to secure its interest would be to receive a letter of credit on behalf of the new buyer or a surety bond that remains in place during the entire term of the franchise agreement as long as the private equity group or venture capital group are owners within the franchised business. If the private equity group or venture capital group is a publicly held company, there are other required filings that deal with staying in compliance with the Securities and Exchange

Commission, which will not be discussed in this article, but are daunting to say the least, especially for a newer franchise system. Whether it is a typical run-of-the-mill franchise sale or a transfer sale that is occurring with the private equity group or venture capital group, franchisors will have impact that typically will require documentation of some form or another. The biggest key for franchisors would be to have communication with their franchisees so that they can get a true sense of who their new buyers are. It is critical that, whenever possible, franchisors know who all of the buyers are in the company that owns the franchise unit. w Lynne D.
